The Roman Catholic Church Lands Act 1895

The Act introduces several distinct legal concepts. “Lands” is defined in section 8 and includes all lands vested in the Bishop, whether originally granted by the Crown without consideration or acquired by purchase or donation, including those acquired after the Act commenced. The “Bishop” refers to the office holder for the time being administering the Roman Catholic Church in Western Australia, who holds legal title under the Roman Catholic Church Lands Ordinance 1858. Crown-granted lands are a subset of lands that were granted by the Crown to or for the use or benefit of the Roman Catholic Church without pecuniary consideration. These attract additional protections: section 4(1)(a) and section 5 require Governor in Council consent for mortgages, leases over 21 years, and sales, and section 7 imposes a formal countersignature requirement for validity. Land acquired otherwise than by Crown grant is divided further. If such land is held upon an “express trust or condition against alienation”, section 4(1)(b) prohibits its mortgage. However, section 4(2) drastically narrows that prohibition by declaring that a trust expressed to be for the use, purposes, or benefit of the Roman Catholic Church, or words of like import, is not deemed an express trust for this purpose. This means that a donor’s statement that land is for the Roman Catholic Church does not alone create a restriction on mortgage; only a specific prohibition against alienation will suffice. The “Governor in Council” is the Governor acting with the advice of the Executive Council, not the Governor alone. The “advisers” mentioned in section 2(1) are not defined in the Act; the term presumably refers to a body of advisors within the church structure, but the Act does not specify who they are or how their consent is to be given. The concept of “mortgage” under the Act can include a power of sale and power of distress, and the mortgagee takes the land “freed and absolutely discharged from the trusts” upon which it was held (section 2(2)). This overrides the trust purposes that governed the land before the mortgage. “Lease” includes building leases and leases with rights of renewal for any term, subject to the 21-year cap for Crown-granted land. “Protection of third parties” under section 6 means that a purchaser, mortgagee, or lessee is not required to inquire whether the power was regularly exercised or to see to the application of borrowed moneys, and is not affected by notice of irregularity. This is a form of statutory estoppel that reduces transaction costs for counterparties but shifts risk to the church.

The Act directly affects the Bishop as office holder, who gains the legal capacity to encumber and dispose of church lands but also bears the compliance burden of obtaining consents. The Bishop’s successors in office are equally bound and empowered. Mortgagees, lessees, and purchasers of such lands are affected because they can rely on the transaction without investigating its internal regularity under section 6, but they cannot rely on that section to cure a fundamental invalidity where required Governor approval is missing under section 7. A lender advancing money on a Crown-granted parcel without evidence of Governor countersignature risks the mortgage being void. Lessees of Crown-granted land for terms exceeding 21 years are in the same position. The Roman Catholic Church community, including parishes, congregations, and diocesan institutions, is indirectly affected because their places of worship, schools, and other properties are the lands in question. The Bishop’s decisions to mortgage or lease can affect the ongoing use and security of those properties. Donors and settlors who gave land for Roman Catholic purposes are affected because section 4(2) weakens the protective effect of a trust that simply states the land is for the Church. A donor who wished to prevent mortgage or sale must have used explicit language of prohibition, which is easily missed. The Governor and the Executive Council are affected by having a role in approving certain transactions; this imposes a state oversight function over church property management that does not exist for most private landowners. The Act also affects the legal profession and title searchers: for any transaction involving Crown-granted land, a search for Governor countersignature is necessary to ensure validity. Compliance burdens fall on the Bishop to maintain records of land classification and consents, and to obtain adviser consent before borrowing. For counterparties, despite the protection of section 6, prudent practice will still involve requesting evidence of Governor approval for Crown-granted land because the invalidity under section 7 is not cured by section 6. The Act also affects the operation of other Roman Catholic property legislation in Western Australia, such as the specific Acts for Geraldton, New Norcia, Bunbury, and Broome, which may modify or supplement the powers and limitations in this Act.

The Bishop’s primary duty is to obtain the consent of the advisers before borrowing money under section 2(1). The advisers are not defined, but the provision clearly requires their consent. For Crown-granted land without pecuniary consideration, the Bishop must obtain the consent in writing of the Governor in Council before making any mortgage or lease for a term exceeding 21 years (section 4(1)(a)), and before selling such land (section 5). The Bishop must also ensure that any assurance on sale, mortgage, or lease over 21 years of Crown-granted land is countersigned by the Governor with the Executive Council, else it is invalid (section 7). There is no duty expressed to apply borrowed moneys for a particular purpose, even though the preamble states a desire to improve lands; section 2(1) permits borrowing for any purpose the Bishop deems necessary with adviser consent, and section 2(4) allows expenditure on any land not necessarily the security. The Bishop has the right to execute mortgages with or without a power of sale and leasing, and with powers of distress and other provisions. The Bishop may lease land for any term, with or without renewal, subject to the 21-year limit for Crown-granted land unless Governor consent is obtained. The Bishop has the right to sell Crown-granted land only with Governor consent; the Act does not expressly give a power to sell land acquired otherwise than by Crown grant, which is a notable gap. The Bishop is protected from personal liability for repayment of mortgage money unless the mortgage otherwise provides (section 2(3)). Mortgagees have the right to take land freed from trusts upon foreclosure or sale (section 2(2)). Purchasers, mortgagees, and lessees have the right not to inquire into the necessity, regularity, or propriety of the transaction, and are not affected by notice of irregularity (section 6). However, this right is subject to section 7: if the transaction is of a type that requires Governor countersignature and that countersignature is absent, the transaction is void regardless of the counterparty’s good faith. The Governor in Council has a right to grant or withhold consent, and the Governor alone must countersign certain instruments; the Act gives no criteria for decision, so the discretion appears unfettered.

The Act does not create any criminal offences or monetary penalties. Enforcement is primarily through civil invalidity. Section 7 renders any assurance on sale, mortgage, or lease for a term exceeding 21 years of Crown-granted land without pecuniary consideration invalid unless countersigned by the Governor with the Executive Council. A transaction that lacks this countersignature is void; no title passes, no security is created, and no leasehold interest exists. The counterparty cannot enforce the instrument. Section 6 prevents the counterparty from being affected by mere irregularities, but it does not cure the fundamental defect of missing Governor approval. For a mortgage of Crown-granted land without the required consent, the mortgagee would have no security and no recourse against the Bishop personally (since section 2(3) removes personal liability unless the mortgage states otherwise). A lessee under a lease exceeding 21 years without consent would have no valid lease. A purchaser of Crown-granted land without consent and countersignature would take no title. There is no enforcement mechanism against the Bishop personally for exceeding powers, except possibly equitable remedies for breach of trust by those with standing, but the Act does not address that. Section 2(2) provides that the mortgagee holds the land freed and absolutely discharged from trusts, which may defeat the interests of beneficiaries who could otherwise object. The Act also does not provide for any review of the Governor’s refusal to consent; presumably administrative law remedies would apply, but the Act is silent. The absence of penalty provisions means that the only deterrent to non-compliance is the risk of the transaction being void. For the Bishop, this risk may be low because the counterparty bears the loss. For counterparties, the risk is high, so they have an incentive to verify compliance. The Act thus enforces its restrictions through market discipline and due diligence rather than state prosecution. This approach is consistent with the Act’s age and its private act character, where the main enforcement concern is ensuring that Crown-granted land is not alienated without government oversight.

The Act is expressly required to be read as one with the Roman Catholic Church Lands Amendment Act 1902, and is affected by the Roman Catholic Church Property Act 1911, the Roman Catholic Church Property Act Amendment Act 1912, and the Roman Catholic Church Property Acts Amendment Act 1916. Those Acts may expand or modify the Bishop’s powers or impose additional requirements. The notes also list specific legislation for individual dioceses: Roman Catholic Geraldton Church Property Act 1925, Roman Catholic New Norcia Church Property Act 1929, Roman Catholic Bunbury Church Property Act 1955, and Roman Catholic Bishop of Broome Property Act 1957. For lands within those dioceses, the applicable property act may override or supplement the 1895 Act. The foundational Ordinance of 1858 (the Roman Catholic Church Lands Ordinance 1858) originally vested lands in the Bishop on trust; the 1895 Act gives the Bishop powers to deal with those lands inconsistent with some trusts. Section 2(2) overrides the trust terms by providing that a mortgagee takes land free from trusts. This creates a priority conflict: if the trust requires land to be held for a particular parish, the Bishop can mortgage it and the mortgagee can defeat that interest. General property laws, such as the Transfer of Land Act 1893 (WA) and the Property Law Act 1969 (WA), apply to dealings, but the 1895 Act may provide an exception to the requirement for court approval of charity land deals. There is no reference to charities legislation, so the Act may bypass protections that would otherwise apply to dispositions of charitable trust property. The Act also interacts with the law of trusts: a donor who gave land on a trust for Roman Catholic purposes cannot rely on that trust to prevent mortgage or lease because section 4(2) deems such a trust not to be an express trust for the prohibition. A donor who inserted a specific prohibition against alienation may restrict mortgages, but even then, the Bishop might argue that the Governor’s consent for Crown-granted land can override the trust. The Act does not address the interaction with the Roman Catholic Church (Property) Act 1911, but the note indicates it is affected. Practitioners must consult all the related Acts to ensure full compliance. The Act also may affect the vesting of land under the original Ordinance: if land was already vested in the Bishop, the 1895 Act gives additional powers. The Act does not repeal the Ordinance but supplements it.

The Act received royal assent on 12 October 1895 as a private act, originally numbered 59 Vict. Private Act. Its short title was inserted only in 2003 by the Statutes (Repeals and Minor Amendments) Act 2003 (No. 74 of 2003), which also applied minor amendments. Prior to that, the Act was cited by its full title or as “The Roman Catholic Church Lands Act 1895”. Section 2 was amended by the Roman Catholic Church Property Acts Amendment Act 1916 (No. 4 of 1916), which inserted the words “that the said Archbishop in his corporate name, with the consent of the advisers, may deem necessary” and made other changes to the borrowing power. The 1916 amendment expanded the purposes for which money could be borrowed and formalised the role of advisers. The Act was reprinted in 2003 as Reprint 1, incorporating amendments up to 15 December 2003. The compilation table lists the original Act, the 1916 amendment, and the 2003 amendment. The Act has not been substantially amended otherwise. It remains in force as a discrete piece of legislation, but it is intended to be read as one with the 1902 Amendment Act and is affected by the series of Roman Catholic Church Property Acts from 1911 to 1916. The separate Acts for Geraldton, New Norcia, Bunbury, and Broome are later and may be considered lex specialis for those areas. The amendment history shows that the core structure of mortgage, lease, and sale powers has remained stable, with only the borrowing purpose provisions updated in 1916 and the short title formalised in 2003. The Act is remarkably old for a piece of legislation still in active use, and its survival suggests that it has served its purpose without requiring major overhauls.

The source material does not reference any litigation concerning this Act. There are no reported cases mentioned in the text or notes. It is not possible from the source to determine whether the Act has been interpreted by Western Australian courts. The absence of referenced cases may indicate that the Act has operated without major dispute, or that disputes have been resolved through internal church processes or private settlements without reaching the courts. The protective provisions in section 6 may have reduced litigation by shutting out claims from third parties about irregularities. The requirement for Governor countersignature in section 7 provides a clear bright-line rule: if the countersignature is missing, the instrument is void, which may deter challenges by making validity easy to determine. On the other hand, the lack of definition of “advisers” in section 2(1) could give rise to disputes about whether consent was properly obtained, but section 6 would protect a mortgagee or lessee from inquiry on that point. The Bishop’s personal immunity under section 2(3) may also discourage lenders from suing. Overall, the Act’s design appears to minimise the risk of litigation by removing many causes of action against third parties. However, beneficiaries under trusts who have had their interests overridden by a mortgage under section 2(2) might theoretically bring an action against the Bishop for breach of trust. The Act does not provide a defence to such an action; it only protects third parties. Given the age of the Act, these potential claims may have been litigated but are not recorded in the provided text. A thorough practitioner would perform a separate case law search using databases. For the purposes of this analysis, it must be stated that the source provides no litigation history.

Several provisions of the Act contain traps for the unwary. The most significant is section 4(2), which provides that a trust expressed to be for the use, purposes, or benefit of the Roman Catholic Church “shall not be deemed to be an express trust” within the meaning of the section. This means that land donated “for the Roman Catholic Church” is not considered to be held on an express trust or condition against alienation. Therefore, such land can be mortgaged or leased (subject to the Crown-granted rules) even though the donor intended it to be used for church purposes. A donor who wanted to prevent mortgage or sale must have used explicit language such as “upon condition that this land shall not be mortgaged or sold” or “on trust to be used only as a church and not to be alienated”. General words of dedication do not suffice. Section 2(3) removes personal liability of the Bishop for repayment of mortgage money unless the mortgage otherwise provides. This means that a lender may be left with only the security of the land itself. If the land value falls or the Bishop fails to maintain it, the lender has no personal recourse. Section 2(4) allows money raised by mortgage on one parcel to be spent on a different parcel. This can create cross-collateralisation: land that is not improved may still be burdened by debt incurred for other purposes. Section 7 is a strict formality requirement: an assurance on sale, mortgage, or lease over 21 years of Crown-granted land must be countersigned by the Governor. If it is not, the transaction is void, even if the Governor in Council had earlier given consent in principle. The countersignature is a separate step. Section 6 will not save the counterparty because the protection from irregularity does not extend to a fundamental lack of validity. A lessee or mortgagee who relies on section 6 without checking for the Governor’s countersignature may find their interest void. There is also a gap in the sale power: section 5 expressly permits sale only of Crown-granted lands with Governor consent. It does not give the Bishop a power to sell lands acquired otherwise (purchased or donated). The Act is silent on sale of such other lands. That may be an oversight. The Bishop might rely on other legislation or general law, but the Act itself provides no authority. Additionally, the term “advisers” in section 2(1) is undefined. Failure to obtain their consent might be an irregularity, but section 6 protects third parties, leaving only internal church consequences. However, if the advisers are not properly constituted or their consent is not documented, a later Bishop could claim the transaction was ultra vires. Finally, the Act’s definition of “lands” in section 8 includes lands acquired after the Act, so the powers apply to all future acquisitions, expanding the scope indefinitely.

For the Bishop and church administrators, compliance begins with a complete inventory of all lands vested in the office, distinguishing Crown-granted land granted without pecuniary consideration from land acquired by purchase or donation. For each parcel, the original grant or conveyance must be examined to determine whether it contains an express trust or condition against alienation. A trust that merely says “for the Roman Catholic Church” or “for church purposes” does not count as an express trust under section 4(2); therefore that land can be mortgaged or leased without restriction other than the Crown-granted rules. Only a clear prohibition such as “this land shall not be mortgaged” would trigger the restriction under section 4(1)(b). For any transaction involving Crown-granted land without consideration, the Bishop must first obtain the consent in writing of the Governor in Council before making a mortgage, a lease for a term exceeding 21 years, or a sale. The consent should be documented and preserved. After consent is given, the instrument of mortgage, lease, or sale must be countersigned by the Governor with the Executive Council as required by section 7. This countersignature is a separate step; the instrument is not valid without it. For leases of Crown-granted land for 21 years or less, no Governor approval is required, but the Bishop must still be careful not to grant a lease that contains an option to renew that would take the total term over 21 years without consent. For borrowing, the Bishop must obtain the consent of the advisers. The identity of the advisers should be recorded, and their consent should be formally minuted. The Bishop should also consider whether the mortgage document should include a personal covenant for repayment, because section 2(3) removes personal liability unless the mortgage provides otherwise. Lenders may require such a covenant; if it is included, the Bishop must understand that personal liability arises. The Bishop should also consider the cross-collateralisation effect of section 2(4): money raised on one land can be spent on other lands. This could affect the church’s balance sheet and should be managed with proper financial records. For sales of non-Crown-granted land, the Act provides no explicit power. The Bishop should seek legal advice on whether other legislation or inherent powers allow such sales. For counterparties (mortgagees, lessees, purchasers), the prudent course is to require a copy of the Governor countersignature for any transaction on Crown-granted land that involves a sale, mortgage, or lease over 21 years. Despite the protection in section 6, the risk of invalidity under section 7 is not curable by section 6. The counterparty should also verify that the property is indeed not subject to any relevant restriction under other Roman Catholic property Acts for specific dioceses. Due diligence should include a search of the relevant Acts listed in the notes. All parties should retain copies of consents and countersignatures as part of the transaction records.
