What it does
This Act effects a statutory transfer and continuity package for the undertakings of The Commercial Bank of Australia Limited (CBA) and The Commercial Savings Bank of Australia Limited (CBA Savings Bank) into a pre‑existing “continuing bank” and “continuing savings bank”. Mechanically, on the appointed day (a day to be proclaimed by the Governor under section 2(2)), the Act vests the undertaking of CBA in the continuing bank and the undertaking of CBA Savings Bank in the continuing savings bank (s 6(1)). The Act defines “undertaking” to mean all property (other than specified excluded assets) and all rights and liabilities (other than those relating to excluded assets) of the relevant bank (s 3, definition of undertaking).
The vesting is statutory, immediate and comprehensive in scope. The Act treats places of business, existing contracts, securities, negotiable instruments, bailment relationships and customer relationships as continuing in the name of the continuing entities (s 6(2)-(3); ss 7 and 8). Legal proceedings in which CBA or CBA Savings Bank were parties immediately before the appointed day continue by or against the continuing entities (s 10). Documentary and bankers’ books evidence is preserved for admissibility (s 11). Employees of CBA transfer to the continuing bank with continuity of service and with identical terms on the appointed day (s 12).
The statute also carves out a class of “excluded assets” that do not vest (s 3, definition of excluded assets), and separately preserves certain instruments and deeds listed in the Schedule from operation of the Act (s 4 and Schedule). The Act provides machinery for trustee substitutions (s 13), the transfer of prescribed securities by certificate (s 14), adjustments affecting company charges if Commonwealth company law provisions apply as laws of New South Wales (s 15), and authorises registration entries for Crown lands when the property vesting is by way of security (s 16). It limits stamp duty in relation to certain Real Property Act dealings (s 18) and protects third parties and land registration officers from being required to investigate whether a particular asset is excluded (s 17). The Act binds the Crown (s 5) and contains commencement timing rules (s 2).
