Texas Company (Australasia) Limited (Private) Act 1928

Definitions and territorial scope are primary organising concepts. The Act defines “Company” as Texas Company (Australasia) Limited and includes its assigns (s 2). “Works” is broadly defined to include buildings, storage tanks, reservoirs, plant, pipes, mains, connections and other works incidental to the undertaking (s 2). “Undertaking” is defined as the storage, supply and distribution of the listed petroleum products within the limits mentioned (s 2). These definitions gate which activities are authorised and which facilities fall under the Act’s regulatory perimeter.

Territorial limits are explicit. Section 3 extends the Act to the Municipality of North Fremantle and “so much” of the area of lands vested in the Fremantle Port Authority as is contained within the inner harbour description in the Port of Fremantle under the Port Authorities Act 1999, together with Crown lands and lands vested in Ministers administering the Government Railways Act 1904 that adjoin or lie between the Port Authority lands and municipal boundaries (s 3). The Act therefore ties its jurisdiction to municipal, port and railway geographies rather than to the company’s arbitrary choice.

Construction and interference powers are limited by consent and plan approval. The company may erect and lay works in streets, Crown lands, railways and wharves and may open, break up or interfere with those places, and remove earth and materials as necessary (s 4). However, the power to open or interfere with Crown lands, railways or wharves requires the consent of the Minister administering the relevant statutory regime, subject to any conditions the Minister may impose (s 4 proviso). Plans and specifications for works within streets must be submitted to and approved by the Minister for Works before exercise of the power (s 4 proviso).

Administrative compliance with notice, plan deposit and on‑site supervision is central. The company must provide written notice not less than three clear days before commencing works and deposit a plan with the Minister or local authority (s 5). Unless an officer attends and supervises the work, the company may proceed without supervision if no officer attends at the appointed time (s 5). Emergency exceptions allow immediate repair without prior notice or plan deposit but require notice and plan deposit as soon as reasonably practicable thereafter (s 5).

Reinstatement, guarding, lighting, and post‑reinstatement maintenance obligations are specified. The company must complete and reinstate with all convenient speed to the satisfaction of the Minister or local authority, remove rubbish, guard and light the works while open, and, if required, keep the reopened area in good repair for six months after reinstatement (s 6). Failure attracts penalties and additional daily penalties after notice (s 7). The Minister or local authority may execute delayed or neglected works and recover expenses (s 8).

Liability and cost allocation principles are articulated. The company is obliged to make compensation for damage caused in executing its powers (s 9). Where the Minister or local authority requires alteration of a work’s situation, the company must comply within a reasonable time and bear expenses if the need arises from the company’s breach or default; otherwise the local authority bears the cost but must compensate the company for any injury caused by its employees while altering the works (s 10).

Revenue replacement is concretely set out. The Act deems the company’s underground and on‑street mains and conduits to be rateable land but substitutes a fixed annual payment of $70, payable half‑yearly beginning six months after construction begins, in full satisfaction of rates and rents in respect of those installations and the easement or rights conferred by the Act (s 14). The Act therefore replaces ad valorem municipal rates with a flat charge for the specified infrastructure.

Enforcement concepts combine criminal, civil and administrative remedies. Offences are created (s 11), civil compensation for damage is recoverable (s 12), penalties are recoverable in a court of summary jurisdiction (s 13), and the Minister or local authority have powers to carry out work and recover costs (s 8; s 10).

Parliamentary and administrative formalities remain: the Treasurer holds the company’s deposit made under Joint Standing Orders until completion and then returns it (s 16), and the Act is deemed a public Act (s 15). A temporal voidance clause provides that the Act ceases if works are not commenced before 1 January 1931 (s 17), a provision relevant to the lifecycle of a private Act.

Primary subjects and beneficiaries are identified in the Act. The Company (Texas Company (Australasia) Limited and its assigns) is the primary actor authorised to construct, hold and operate the works and undertake the storage and distribution activities within the designated area (s 2; s 4). Local government and statutory authorities are the principal regulators and decision makers charged with oversight. “Local authority” is defined to include, within their jurisdictions, the Mayor and Councillors of the Municipality of North Fremantle (Council), the Commissioner of Railways, and the Fremantle Port Authority (s 2). The Act therefore imposes duties on and confers powers to municipal and port authorities and the railway authority in respect of supervision, approval, enforcement and, where relevant, cost bearing (s 4; s 5; s 6; s 8; s 10).

Residents, road users, rail operators, maritime operators and other third parties who use or occupy affected streets, railways and wharves are indirectly affected. The company’s power to open and interfere with streets and other public places, and the statutory requirement to guard, light and reinstate works (s 4; s 5; s 6), create public safety impacts and potential disruption to the public. The Act expressly preserves persons’ rights to sue for damage resulting from the company’s acts, delay, neglect or omission (s 7; s 9), thereby maintaining third parties’ civil remedies in addition to statutory penalties.

Municipal finances and the Council’s revenue base are directly affected by the payment‑in‑lieu provision. The company’s mains, conduits and service pipes are to be treated as rateable land but are subject to an annual fixed payment of $70, payable half‑yearly beginning six months after construction commences, in full satisfaction of rates and rents in respect of those installations and the easement rights conferred (s 14). This substitutes a fixed income stream to the Council for what would otherwise be a valuation‑based rate.

Contractors and subcontractors engaged by the company will operate under the statutory regime: the company must ensure that work is performed under the required notice, supervision and plan approvals, and that reinstatement and guarding obligations are met (s 5; s 6). If the company fails to perform, the Minister or local authority may step in and cause the work to be carried out and recover expenses from the company (s 8), which creates a financial incentive for the company to manage contractors compliantly.

Ministers and departmental officers are empowered actors. The Minister administering the Land Acts, the Minister administering the Government Railways Act 1904, and the Minister responsible for port matters (as adjusted by later Acts referenced in the compilation notes) have consenting powers and can impose conditions governing the company’s use of Crown lands, railways and wharves (s 4). The Minister for Works must approve plans and specifications for work in streets (s 4). Local authority officers are expected to attend and supervise work when requested; if no officer attends the company may proceed without supervision (s 5).

Persons who intentionally or negligently interfere with company works are criminalised. Section 11 creates offences for unauthorised connections to company pipes, wilful or negligent damage to works, tampering with meter indices, and erecting fittings to obtain product without consent, each punishable by a statutory penalty (s 11). The company retains civil remedies for damages (s 12).

Finally, the Act affects parliamentary and treasurer functions by requiring the company to deposit money under Joint Standing Orders to be held by the Treasurer until work completion and returned thereafter (s 16). The Act’s temporal voidance clause (s 17) affects the company’s need to commence works within a statutory timeframe to maintain the Act’s validity.

The Act allocates a set of operational rights to the company and reciprocal duties to the company, local authorities and Ministers.

Rights granted to the company

• Authority to construct, erect, lay down and establish works for storage and distribution of the listed petroleum products within the Act’s limits, including laying mains, conduits and service pipes in, on or under streets, Crown lands, railways and wharves (s 4).
• Power to open, break up and interfere with streets and other described places for the purposes of constructing and maintaining works, and to remove and use earth and material in doing so (s 4).
• In the event that the relevant officer does not attend at the appointed time, the company may proceed with the notified work without supervision (s 5).
• A statutory easement‑like right arises from the Act for the company’s mains, conduits and service pipes as they are deemed rateable land but subject to the payment in lieu regime (s 14).

Duties imposed on the company

• Administrative procedural duties: deposit plans and particulars and give not less than three clear days’ written notice to the relevant Minister or local authority before commencing work, save in an emergency where notice and plan deposit must follow “as soon as possible” (s 5).
• Reinstatement and safety duties: complete the work with all convenient speed, reinstate and make good to the satisfaction of the Minister or local authority, remove rubbish, properly guard and sufficiently light works while they are open, and keep reinstated areas in good repair for six months post‑reinstatement if so required (s 6).
• Compensation and liability duties: make compensation for any damage done in exercising the Act’s powers (s 9); pay expenses if the Minister or local authority performs delayed work (s 8); alter or relocate works within a reasonable time when required and bear the expenses if the need arises from the company’s breach or default (s 10).
• Financial duty: pay $70 per annum, by half‑yearly instalments, to the Council in full satisfaction of rates and rents in respect of mains, conduits and service pipes and the easement or rights conferred, starting six months after the commencement of construction (s 14).
• Deposit duty: provide the deposit required under Joint Standing Orders, to be held by the Treasurer until completion and returned thereafter (s 16).
• Temporal duty: commence works before the statutory cut‑off (1 January 1931) or the Act ceases (s 17).

Duties and powers of Ministers and local authorities

• Ministers have a consent role regarding interference with Crown lands, railways and wharves and can impose conditions calibrated to the administration of the Land Acts, Government Railways Act 1904 and Port Authorities Act 1999 (s 4).
• The Minister for Works must approve plans and specifications for works within streets (s 4).
• Local authorities and Ministers receive notices and plans, supervise works, and assess satisfaction of reinstatement (s 5; s 6).
• If the company delays or omits work, the Minister or local authority may cause the work to be performed and recover expenses from the company (s 8).
• Local authorities may require the company to raise, sink or otherwise alter the situation of installed works; they may execute such alteration and bear costs when the need does not arise from the company’s breach, subject to compensating the company for injury caused by their employees (s 10).

Criminal and civil rights and duties

• The Act creates offences for unauthorised connections, damage, meter tampering and unauthorised fittings; offenders face fines (s 11).
• Civil remedies for wrongful damage are preserved: the company may recover compensation in a competent court (s 12).
• Penalties for offences under the Act are recoverable in a court of summary jurisdiction (s 13).

Administrative clarifications

• The Act is deemed a public Act for judicial notice (s 15).
• The company’s statutory position interacts with other legislation named in the Act (s 3; s 4), so rights and duties may be conditional on consents or ministerial oversight under those regimes.

Together, these provisions create a regulated licence to build and operate petroleum storage and distribution infrastructure within a confined territory, subject to pre‑construction approvals, post‑construction reinstatement and maintenance obligations, prescribed financial obligations to the council, and criminal and civil liabilities for interference and damage.

The Act establishes a mix of monetary penalties, administrative enforcement powers and civil remedies. For failure to comply with the notice, plan deposit and reinstatement duties in sections 5 and 6, the company is guilty of an offence and liable to a penalty not exceeding $100 for each offence, together with an additional penalty of $4 for each day the neglect or delay continues after notice by the Minister or local authority (s 7). Section 7 expressly preserves private rights of action, so statutory penalties supplement but do not replace third‑party remedies for damage or loss caused by the company’s contraventions (s 7).

Administrative enforcement is designed to be operationally direct. If the company delays, neglects or omits to perform the required work, the Minister or local authority may cause the work to be executed and recovered expenses are repayable by the company (s 8). The Act clarifies that a local authority is not compelled to undertake the work, nor is it liable for delay or failure to do so (s 8). This creates a mechanism for remedial action where statutory obligations are not met, with cost recovery from the company.

Sections 10 and related provisions provide a further administrative enforcement lever: the Minister or local authority may require the company to raise, sink or otherwise alter the position of works. The company must comply within a reasonable time after written notice and bear the expenses if the alteration is required due to the company’s breach or default; otherwise, the local authority bears the expense but must compensate the company for injury done by local authority employees when performing the work (s 10). This provision allocates post‑installation modification costs based on fault and provides for compensatory relief where works are injured by the authority’s agents.

Specific conduct is criminalised. Section 11 lists offences attracting a penalty not exceeding $10: laying a connecting pipe without the company’s consent; wilful or negligent removal, destruction or damage to company property; altering meter indices; and erecting or keeping apparatus to obtain product without the company’s written consent (s 11). The company retains civil remedies for damages caused by such conduct (s 11; s 12). Section 12 expressly provides a right to recover full compensation for wrongful damage to the company’s works in a court of competent jurisdiction.

Procedure and forum are succinct: all penalties under the Act are recoverable in a court of summary jurisdiction (s 13). The Act does not create a specialised tribunal or administrative penalty regime; it relies on traditional criminal summary jurisdiction for enforcement of statutory fines and on ordinary civil courts for damages.

Financial enforcement is reinforced through the payment‑in‑lieu mechanism: the company must pay an annual $70 to the Council in half‑yearly instalments in full satisfaction of rates and rents for the company’s mains and conduits (s 14). The Act does not set out penalties for non‑payment of this specific sum within the Act text, but non‑payment could be enforced under general law or through proceedings for breach or debt, and other statutory remedies remain available.

The Treasurer’s role is administrative: the deposit required under parliamentary Joint Standing Orders is to be held by the Treasurer until completion of the works and then returned (s 16). The Act provides a temporal enforcement device: if works are not commenced before 1 January 1931 the Act ceases, which is an automatic contractual/legislative consequence rather than an ex post penalty (s 17).

In sum, enforcement combines monetary fines, cost recovery powers for remedial action by public authorities, civil damages for wrongful acts, ministerial directives to alter works with indicated cost allocation, and standard court forums for enforcement (s 7; s 8; s 10; s 11; s 12; s 13).

The Act is explicitly drafted to operate alongside and subject to other statutory regimes. It cross‑references several Acts and administrative regimes governing land, railways, ports and municipal rating.

Consent and condition dependencies

• The company’s power to open or interfere with Crown lands, railways or wharves is subject to the consent of the relevant Minister administering the Land Acts, the Government Railways Act 1904, or the Port Authorities Act 1999, with such conditions as the Minister may deem expedient (s 4 proviso). This makes the Act operationally dependent on existing statutory frameworks that continue to govern Crown land, rail and port use.

Territorial definitions tied to port and rail law

• The limits of the Act tie into the Port Authorities Act 1999 and the Government Railways Act 1904 through the description of the inner harbour and lands vested in those authorities (s 3). Changes in vesting of lands under those Acts will affect the spatial extent where the company’s powers apply: the Act reaches “so much” of port lands contained within the inner harbour description or otherwise vested in the Fremantle Port Authority and adjoining railway and Crown lands (s 3). The compilation notes record that s 3 was amended and that references to Ministers and authorities are to be read with contemporary office titles (compilation notes).

Municipal rating and local government laws

• Section 14 replaces the municipal rating scheme in respect of the company’s mains, conduits and service pipes with a fixed annual payment of $70 “in lieu” of the provisions of the Municipal Corporations Act 1906 relating to valuation and making of rates. The compilation notes show subsequent local government legislation (Local Government Act 1960; Local Government Act 1995) and changes in municipal status (the Municipality of North Fremantle became part of the City of Fremantle). The Act thus creates a special rates regime that must be interpreted in the context of modern local government structures and any consequential amendments to municipal rating laws.

Parliamentary and procedural law

• The deposit provision (s 16) expressly ties to the Joint Standing Orders relating to Private Bills, placing the company’s deposit within parliamentary administrative practice. The Treasurer’s holding and return of the deposit is therefore coordinated with parliamentary procedures.

Criminal and civil law

• Offences and penalties under this Act are enforced in courts of summary jurisdiction (s 11; s 13), embedding the Act’s enforcement into the general criminal summary jurisdiction. Civil recovery for damages is available in courts of competent jurisdiction (s 12), thus interacting with ordinary civil procedure and tort principles.

Statutory updates and reprints

• The compilation table records later amending laws and reprints, including the Decimal Currency Act 1965 and Port Authorities (Consequential Provisions) Act 1999 (compilation table). The notes indicate that the company’s name as at reprint date was Caltex Petroleum Pty Ltd and that ministerial and authority titles have changed. Readers should therefore read the Act in tandem with these amending instruments and with contemporary administrative titles (compilation notes).

Interpretive consequences

• Because the Act conditions its powers on consents under other statutory regimes and references ministerial oversight and local authority supervision, the practical exercise of rights and duties under the Act requires coordination with those regimes. For example, works that cross vesting or operational boundaries (port authority land, railway land, Crown land) will require concurrent or sequential consents and compliance with both this Act and the controlling statutory framework for the particular land.

In short, the Act is not a freestanding code; it is an overlay that interacts with land, rail, port and municipal legislation, and with parliamentary procedures governing private bills. Implementers and enforcers must read these provisions with attention to the contemporary statutory environment for port, rail and local government.

The Act as compiled includes several later amendments and reprints identified in the compilation table and notes. The original Act received assent and commenced on 28 December 1928 (compilation table). Subsequent legislative adjustments recorded in the compilation table include:

• Decimal Currency Act 1965 (No. 113 of 1965): This Act made changes affecting currency references in (some) statutes; the compilation table and marginal notes indicate its effect on monetary amounts and commencement dates of various sections. The Decimal Currency Act entry and the reprint note indicate that the Act’s monetary amounts are expressed in dollars as presented in the reprint (compilation table).

• Port Authorities (Consequential Provisions) Act 1999 (No. 5 of 1999) s 21: This amending provision, assented 13 April 1999 and commenced 14 August 1999, updated references to the Fremantle Port Authority and other port‑related terminology in the Act (compilation table; notes to s 2 and s 3 reference these amendments).

• Statutes (Repeals and Minor Amendments) Act 2003 (No. 74 of 2003) s 116: This amending provision is listed in the compilation table with assent 15 December 2003 and commenced 15 December 2003. The reprint reflects these and earlier amendments as at 1 April 2005.

The reprint notes identify consequential administrative updates to defined terms and institutional titles:

• At the date of the reprint, the company’s name was Caltex Petroleum Pty Ltd (note 2).
• Ministerial titles and authority names have changed: the Minister responsible for land administration was termed the Minister for Planning and Infrastructure at the reprint date; the Commissioner of Railways has been replaced by the Public Transport Authority of Western Australia; the Minister for Works was known as the Minister for Housing and Works (compilation notes).
• The Municipality of North Fremantle was amalgamated into the City of Fremantle on 1 November 1961; under the Local Government Act 1995, references to a municipality may, where the context requires, be read as a local government (compilation notes).

Section‑level amendments are recorded in marginal notes: section 2 was amended by No. 5 of 1999 s 21; section 3 was amended by No. 5 of 1999 s 21 and No. 74 of 2003 s 116; section 4 was amended by No. 5 of 1999 s 21; and sections 4 to 9 had altered commencement timings under the Decimal Currency Act 1965 (compilation table). Section 7 and section 11 were amended by No. 113 of 1965 s 8(1) to reflect decimal currency adjustments (marginal notes).

The reprint date given is 1 April 2005, which includes the above amendments (compilation table). The Act’s original temporal condition (s 17) specifying that the Act ceases if the company does not commence works before 1 January 1931 remains expressed in the text; the reprint does not remove that clause, which suggests that the Act was preserved in force subject to any post‑1931 events that may have occurred outside the Act’s text.

No further amending Acts impacting substantive operational provisions are recorded in the compilation table beyond those mentioned. The reprint therefore represents the Act as amended through 2003 and reprinted in 2005, with marginal notes indicating how administrative titles and institutional vestings should be read.

Users should note: the compilation table and reprint notes are part of the official statutory history in this source; practitioners dealing with contemporary obligations should cross‑check whether any subsequent amendments post‑2005 exist in the current statute book and verify current institutional titles and vestings in contemporaneous registry materials.

The Act text and the compilation notes supplied contain no reported cases, judicial interpretations, or litigation history. The Act itself prescribes the forum for penalties: all penalties under the Act are recoverable in a court of summary jurisdiction (s 13), and civil compensation for wrongful damage to the company’s works is recoverable in a court of competent jurisdiction (s 12). Beyond these procedural references, the text does not cite any judicial decisions, nor does the compilation table or notes record litigation outcomes.

What the Act does provide that is relevant to litigation or dispute resolution is:

• Preservation of private rights of action: section 7 explicitly states that the statutory penalties for breaches of notice and reinstatement do not relieve the company from liability to any person’s right of action or remedy for any act, delay, neglect or omission contrary to sections 5 and 6. This preserves third‑party civil claims alongside statutory penalties (s 7).
• Civil recovery for damage: section 12 gives the company a statutory civil right to recover full compensation for unlawful or wrongful damage to its works, recoverable in a court of competent jurisdiction (s 12).
• Criminal summary enforcement: statutory fines for the company’s breach and for offences like unauthorised connections and meter tampering are to be recovered in courts of summary jurisdiction (s 7; s 11; s 13).

Given the absence of case law in the source, the Act leaves open several matters that could be adjudicated in litigation, including the scope of “reasonable time” for compliance with a relocation notice (s 10), the standard for “satisfaction of the Minister or local authority” in reinstatement (s 6), the application of the emergency exception to notice and plan deposit (s 5), and disputes over whether expenses incurred by a Minister or local authority in executing delayed works are properly recovered from the company (s 8). Such issues would be determined in ordinary courts if litigated.

For practitioners, the Act’s preservation of civil remedies and its express allocation of penalty forums makes it clear that disputes may proceed in criminal summary jurisdiction (for offences and penalties) and in civil courts (for damages and debt recovery). The Act does not provide an administrative appeal route within its text for ministerial decisions under s 4 or s 10; challenges to such administrative actions would therefore follow ordinary administrative law pathways under general law rather than a bespoke appeal mechanism in the Act.

Because no litigation history is contained within the source, practitioners and researchers should undertake a dedicated case law and tribunal search if judicial construction of the Act’s terms, or enforcement practice by the relevant local or port authorities, is required for a current matter.

The Act contains several implementation and interpretive features that have practical consequences and potential traps for both the company and public authorities.

Fixed monetary amounts and historical timing

• The Act fixes penalties and payments in nominal dollar amounts: penalties up to $100 plus $4 per day for delay under s 7; offences attracting up to $10 under s 11; and an annual payment of $70 in lieu of local rates (s 7; s 11; s 14). These fixed sums were set long ago and appear in the reprint as dollar figures following the Decimal Currency Act 1965 (compilation table; marginal notes). Because these amounts are nominal, they do not adjust automatically for inflation, which may materially affect the economic balance intended by the Act. Practitioners should check whether subsequent amending legislation, regulations or general penalty‑adjustment statutes have varied these amounts post‑reprint.

Temporal voidance clause

• The Act contains an absolute commencement deadline: if the company does not commence any authorised works before 1 January 1931, the Act ceases and determines (s 17). For historical or interpretive work, confirm whether commencement occurred pre‑1931; if not, the Act would have lapsed automatically. The compilation table’s existence of later reprints and amendments suggests the company or its successors acted under the Act historically, but the text itself leaves this as a legal contingency (s 17).

Interplay with ministerial consents and changing administrative titles

• The company’s power to interfere with Crown lands, railways or wharves is conditioned on the consent of the relevant Minister, with the Minister able to impose conditions (s 4). The identities and titles of those Ministers and agencies have changed (compilation notes). Without careful attention to which current agency or Minister succeeds the historical office, applications or notifications could be misdirected, causing procedural defects. The compilation notes flag successor bodies (for example, the Public Transport Authority replacing the Commissioner of Railways), but practitioners should verify current administrative responsibility.

Plan approval and supervision traps

• The Act requires plans and specifications for works within streets to be submitted to and approved by the Minister for Works (s 4). The Act also requires deposit of a plan with the relevant authority and at least three clear days’ notice (s 5). A practice risk arises where a company assumes that depositing plans with one body suffices or that absence of any officer means no approval is required; the Act allows the company to proceed without superintendence if no officer attends at the fixed time but does not excuse the prior plan deposit requirement. Failure to secure required approvals or to follow the notice and deposit requirements (including the specific timing of three clear days) exposes the company to penalties (s 5; s 7).

Reinstatement satisfaction standard

• Reinstatement must be to the “satisfaction of the Minister or local authority” (s 6). The Act does not define objective standards or a dispute resolution mechanism where the company and authority disagree about adequacy. Practically, this puts the tow of discretion with the authority and creates litigation risk if the parties contest the sufficiency of reinstatement.

Cost allocation on required alterations

• If the Minister or local authority requires alteration of installed works, costs fall on the company when the alteration is required because of the company’s breach or default; in other cases the local authority bears the cost but must compensate the company for injury to works caused by the local authority’s employees (s 10). The Act leaves open how “breach” or “injury” is to be proved and assessed, potentially producing disputes over cost allocation and required compensation.

Payment in lieu scope and municipal changes

• Section 14 substitutes a fixed annual payment in lieu of rates for mains and conduits. The Act’s reference to the Municipality of North Fremantle and the Municipal Corporations Act 1906 has been overtaken by local government reorganisation. The notes show the Municipality merged into the City of Fremantle and that local government statutes have changed (compilation notes). Failure to reconcile the Act’s payment‑in‑lieu with contemporary local government legislation and accounting practices can lead to enforcement and revenue collection difficulties.

Emergency exception

• The emergency exception allows immediate repairs without prior notice or plan deposit but requires that notice and plan deposit be made “as soon as possible after the commencement of the work” (s 5). This phrase is imprecise and could be contested; authorities may object to a company’s invocation of the emergency exception where they see delayed notification as unreasonable.

Deposit and parliamentary formalities

• Section 16 ties the company’s deposit to Joint Standing Orders relating to Private Bills. Practitioners dealing with the deposit should confirm the current standing orders and treasury procedures, which may have changed since the reprint. Failure to conform to parliamentary deposit requirements could affect the company’s statutory position, particularly in the context of historical private Act practice.

Offences by third parties and small penalties

• The Act criminalises various third‑party interferences (s 11) but sets relatively small maximum fines ($10) for those offences. The small statutory penalties may not be a sufficient deterrent in modern terms; however, the Act preserves civil recovery for full compensation (s 12) which remains an enforcement route. Practitioners should consider civil remedies alongside criminal penalties.

No internal appeal mechanism

• The Act grants substantial discretion to Ministers and local authorities (for example, plan approval and satisfaction on reinstatement) but provides no internal appeal or review mechanism within the Act itself. Administrative law remedies remain available but may require separate proceedings.

In aggregate, the Act’s dated financial figures, discretionary standards, overlapping agency consents and historical temporal clause are points where careful procedural and strategic planning is required to avoid enforcement or interpretive risks.

To operationalise compliance under the Act, a company or successor should adopt a checklist approach tied to the Act’s specified obligations and the locations where works will be undertaken.

Pre‑construction steps

• Confirm territorial applicability: determine whether proposed works lie within the Municipality of North Fremantle, the Fremantle Port area as described under the Port Authorities Act 1999, or Crown or railway lands abutting those areas (s 3). Where land vesting has changed, verify current vesting and control with the Fremantle Port Authority, the Minister responsible for land, and the relevant rail authority (compilation notes).
• Secure necessary ministerial consents: for any opening, breaking up, or interference with Crown lands, railways or wharves, obtain the consent of the Minister administering the relevant Act (Land Acts, Government Railways Act 1904, or Port Authorities Act 1999) and ensure any conditions are documented and accepted (s 4).
• Prepare and submit plans: for works within streets, prepare detailed plans and specifications and submit them to the Minister for Works for approval as required by s 4. For any works requiring plan deposit under s 5, deposit the plan with the Minister or local authority at the same time as serving notice.
• Serve statutory notice: serve written notice of intention to open, break up or interfere at least three clear days before commencement, and deposit the plan with the named authority (s 5). Ensure written records of the notice and deposit are retained.

On‑site operational compliance

• Supervision and attendance: liaise with the local authority or Minister to arrange for an officer to attend supervision at the appointed time; if no officer attends, the company may proceed without supervision but should document the absence of attendance (s 5).
• Emergency response: if emergency repairs are required, undertake necessary immediate repairs but provide notice and deposit a plan “as soon as possible” after the commencement of emergency work (s 5). Keep contemporaneous records explaining the emergency nature and the timing of subsequent notices and deposits.
• Reinstatement and finish standards: reinstate and make good “with all convenient speed” and to the satisfaction of the Minister or local authority; remove rubbish and ensure proper guarding and sufficient lighting while works are open (s 6). Where the Minister or local authority requires maintenance for six months post‑reinstatement, comply with those maintenance obligations.

Financial and administrative compliance

• Payment in lieu of rates: set up payments of $70 per annum in half‑yearly instalments, starting six months after commencement of construction, payable to the Council, in full satisfaction of rates and rents for mains, conduits and service pipes and the easement rights conferred by the Act (s 14). Confirm the current entity to receive the payments (the Council’s successor body) given municipal amalgamations (compilation notes).
• Deposit with Treasurer: lodge the deposit required under Joint Standing Orders for Private Bills with the Treasurer and retain documentation of the deposit; the Treasurer will hold it until completion and return it thereafter (s 16).
• Insurance and compensation mechanisms: maintain insurance and set aside funds to pay compensation for damage caused by works (s 9; s 12). Establish claims handling procedures for third‑party damage claims and internal processes for repair obligations.

Operational risk management

• Contract management: ensure contractors and subcontractors are contractually required to comply with the Act’s notice, plan and reinstatement obligations and to follow safety, guarding and lighting requirements (s 5; s 6). Have contractual clauses addressing liability allocation in the event the Minister or local authority carries out work and recovers expenses (s 8).
• Change requests and relocation obligations: prepare to comply within a reasonable time with any written notice to raise, sink or otherwise alter the situation of works (s 10). Maintain documentation to show whether any required alteration arises from the company’s breach or from other reasons to support the cost allocation rule in s 10.
• Meter and connection security: lock down meter and delivery infrastructure to prevent unauthorised connections, tampering, and illicit fittings that could give rise to offences under s 11. Have monitoring, inspection and enforcement procedures in place and an incident‑response protocol for suspected tampering.
• Recordkeeping: keep detailed contemporaneous records of notices served, plans deposited, attendance by authority officers, approvals granted, dates of commencement of works, completion and reinstatement, maintenance performed during any six‑month period, payments made under s 14, and any consents or conditions imposed by Ministers (s 5; s 6; s 10; s 14; s 16). These records will be essential if the Minister or local authority contests compliance or seeks to recover expenses.

Regulatory liaison

• Establish contact points with municipal, port and rail authorities and with the Ministers’ offices administering relevant Acts to ensure timely consents and clearances. Clarify which contemporary agency holds the functions (e.g., Public Transport Authority for rail matters) where historical titles differ (compilation notes).
• Where disputes arise about “satisfaction” of reinstatement or “reasonable time” for alterations, engage early with the authority and retain legal counsel to negotiate and, if necessary, document a remedial plan to avoid escalating to summary prosecution or expense recovery.

Legal contingency planning
