Telecommunications (Fibre-Ready Facilities in Real Estate Development Projects and Other Matters) Instrument 2022

Fibre-ready facility: The Act defines this term generally in section 7. The instrument exercises the ministerial power under subparagraph 372W(1)(b)(ii) to specify that any above ground fixed-line facility is a fibre-ready facility. The criteria are location-based: suspended, placed on a building, protruding from the surface, or otherwise above ground or water. This deeming provision means that a developer who installs above ground copper or HFC infrastructure can satisfy the fibre-ready obligation without needing an exemption. This substantially lowers the compliance bar for above ground developments but may conflict with the policy intention of ensuring fibre can be deployed later.

Underground fibre-ready facilities: The instrument does not define this term. It relies on the Act's definition. The exemption conditions in section 7 assume that underground fibre-ready facilities may be installed already, simultaneously, or within 12 months. The facilities must be "in proximity" to each building lot or building unit in the project area. Proximity is defined in section 372Y of the Act. This is a fact-specific test that may create uncertainty for developers.

Exempt conduct: Section 7 creates two categories of exempt installation of non-fibre-ready facilities. The first (subsections 7(1)-(3)) covers copper or HFC networks where fibre-ready backup is present or expected. The conditions are tiered: if underground fibre-ready exists or is installed simultaneously, no cap applies. If the developer relies on a reasonable belief that fibre-ready will be installed within 12 months, the project is limited to 10 building lots or units. If underground installation is not reasonably practical, the above ground track applies with the same sub-options. The second category (subsections 7(4)-(5)) covers minor works on pre-27 September 2011 lines. This exemption is not subject to a lot cap but is limited to minor supplementation, ancillary extensions of no more than 30 metres, minor replacement, minor modification, or relocation. The developer must also show it is not reasonably practical or technically feasible to use fibre-ready facilities for that work.

Reasonable belief: Section 8 provides two safe harbours for establishing a reasonable belief that fibre-ready facilities will be installed within 12 months. The first is published information from a carrier, carriage service provider, or other telecommunications infrastructure provider identifying the project area as one where fibre-ready will be installed. The second is a legally enforceable agreement for such installation with a carrier, CSP, developer, or other provider. These circumstances are inclusive, not exhaustive. The developer bears the risk that the belief was reasonable at the time: if the carrier changes its plans or the agreement is frustrated, the exemption may be lost retroactively.

Sale and lease limitation exemptions: Sections 9 and 10 remove the prohibition on selling or leasing a building lot or unit before fibre-ready facilities are installed. The exemption is tied to either: (a) the project having installed non-fibre-ready facilities under a section 7 exemption, or (b) the project having pre-27 September 2011 copper lines that are used or re-used without material change. The phrase "at the relevant time" in sections 9 and 10 means at the time of sale or lease, the project must be relying on the exemption. If the developer later installs fibre-ready facilities before sale, the exemption is unnecessary because the obligation is fulfilled.

Real estate developers are the primary duty-holders affected. They are responsible for installing fibre-ready facilities and for complying with sale and lease restrictions. The instrument reduces or modifies those obligations in specific circumstances, but only if the developer can satisfy the conditions. Large-scale developers building subdivisions of more than 10 lots cannot use the 12-month waiting exemption for underground non-fibre-ready facilities. They must either install fibre-ready upfront or rely on simultaneous installation. This imposes a cost and coordination burden, especially if the carrier is not ready to install fibre at the same time.

Carriers and carriage service providers, particularly NBN Co and competitive network operators, are indirectly affected. The exemptions allow non-fibre-ready networks (copper or HFC) to be installed in new developments even when fibre is not yet present. This can delay the fibre rollout and affect the commercial incentives of infrastructure providers. Carriers may be asked to provide published rollout information or enter into agreements to support a developer's reasonable belief claim under section 8. A carrier's refusal to provide such information may make it difficult for a developer to use the 12-month exemption.

Homeowners, buyers, and lessees of new building lots or units are affected because they may not receive a fibre-ready connection at settlement. If the developer uses an exemption, the property may initially be served by copper or HFC. The quality, speed, and future upgrade path depend on whether the fibre-ready installation actually occurs within 12 months and whether the exemption conditions were correctly applied. There is no statutory guarantee that fibre will be installed; the developer's reliance on a reasonable belief does not bind the carrier. Buyers should conduct due diligence on the telecommunications infrastructure before purchase.

Legal practitioners, conveyancers, and compliance consultants must verify whether a development relies on an exemption and whether the conditions were satisfied. The instrument does not require registration of exemptions or any public notice. A purchaser's solicitor may need to request evidence from the developer. Failure to detect non-compliance could expose the purchaser to a property without fibre-ready facilities and limited recourse.

The primary duties under the Telecommunications Act remain: a person carrying out a real estate development project must install fibre-ready facilities in the project area (subsections 372E(2) and 372F(2)) and must not sell or lease a building lot or unit before fibre-ready facilities are installed (sections 372G and 372H). The instrument creates rights to be exempt from those duties, but each exemption is conditional and self-assessed.

Under section 7, the right to install non-fibre-ready facilities arises only if the conditions are met at the time of installation. For the copper/HFC exemption, the key condition is that underground fibre-ready facilities are already in proximity, installed simultaneously, or will be installed within 12 months (with a 10-lot cap). The developer has a right to rely on published carrier information or a legally enforceable agreement to establish reasonable belief. However, this right is not absolute: the belief must be objectively reasonable at the time. If the carrier later delays or cancels the fibre installation, the developer may lose the exemption and face liability for breaching the Act.

For the pre-27 September 2011 minor works exemption, the developer has a right to supplement, extend, replace, modify, or relocate existing copper lines without installing fibre-ready, provided the work is minor and fibre-ready is not reasonably practical or technically feasible. The developer must document the date of original installation and the nature of the work. This exemption is narrow: it does not cover new backbone infrastructure or extensions to networks installed after 27 September 2011.

Under sections 9 and 10, the developer has a right to sell or lease lots or units before fibre-ready facilities are installed if the project qualifies. The exemption is tied to the use of a section 7 exemption or to pre-2011 legacy lines. The right is limited to the specific project as it exists at the time of sale or lease. If the project later changes material (for example, by adding new fixed-line facilities), the exemption may no longer apply.

The instrument does not create any private right of action for purchasers or neighbours. Enforcement of the Act is through ACMA or court proceedings. A developer who mistakenly claims an exemption breaches the Act and may be liable for civil penalties.

The instrument itself does not impose penalties. Penalties for non-compliance are found in the Telecommunications Act. Sections 372G and 372H are civil penalty provisions. A person who sells or leases a building lot or unit in a real estate development project without the required fibre-ready infrastructure, and who is not covered by an exemption, is liable to a civil penalty. The maximum penalty is set in the Act and is not stated in this instrument.

The burden of proving that an exemption applies rests on the person relying on it. If a developer installs non-fibre-ready facilities and later sells lots, and it is determined that the conditions of section 7 were not satisfied, the developer may face enforcement action by ACMA. The remedy could include an injunction, compliance order, or civil penalty. There is no grace period or cure mechanism in the instrument.

The reasonable belief condition under section 8 is not self-executing. If a developer relies on published carrier information, and the carrier has not actually committed to installing fibre within 12 months, the belief may be found unreasonable. Courts or ACMA may examine the quality of the published information. For example, a generic rollout map showing the area as "planned" may not suffice if it lacks a firm timeline. Similarly, a legally enforceable agreement that is conditional on financing or regulatory approvals may not be enforceable for the purpose of section 8.

The instrument does not require record-keeping or reporting. However, prudent compliance demands documentation. Without records, a developer may be unable to demonstrate that conditions were met. In litigation, the absence of contemporaneous evidence may be fatal. The cost of assembling and retaining such records is a compliance burden that the instrument does not address.

This instrument operates solely under Part 20A of the Telecommunications Act 1997. It is subordinate legislation. Any inconsistency with the Act would result in the Act prevailing. The instrument relies on the Act's definitions of building lot, building unit, project area, proximity, fibre-ready facility, and other terms. Changes to those definitions in the Act would automatically affect the operation of this instrument.

The instrument repeals the 2011 instrument of the same name. The 2011 instrument had similar exemptions but with different conditions. Projects that relied on the 2011 instrument for exemptions before 10 March 2022 (the date the 2022 instrument was made) continue to be governed by the 2011 instrument for past conduct. However, any installation of new facilities after the 2022 instrument commenced must comply with the 2022 instrument. There is no transitional provision saving ongoing projects. This means a developer who had partially completed a project under the 2011 instrument may need to re-evaluate whether the new conditions are met.

State and territory building and planning laws may impose additional requirements. For example, some states require fibre-ready pit and pipe infrastructure in new subdivisions regardless of federal exemptions. This instrument does not override state laws. A developer must comply with both federal and state requirements. The instrument only provides exemptions under federal telecommunications law; it does not create a defence to state law obligations.

The instrument interacts with the NBN Co network rollout. The published information that supports a reasonable belief claim (section 8(a)) is often NBN Co's network design schedule. However, NBN Co is not a party to this instrument and is not obligated to adhere to its published plans for the purposes of the exemption. If NBN Co defers fibre, the developer's belief may be called into question. Agreements with carriers under section 8(b) are contractual and may provide a remedy against the carrier, but regulatory liability remains with the developer.

This instrument is the original as made on 10 March 2022 by the Minister for Communications, Urban Infrastructure, Cities and the Arts. It commenced the day after registration. The sole amendment effect is the repeal of the Telecommunications (Fibre-Ready Facilities in Real Estate Development Projects and Other Matters) Instrument 2011 (Schedule 1). There is no indication of subsequent amending instruments. The 2011 instrument was in effect for approximately 11 years. The 2022 instrument represents a significant revision. The absence of transitional provisions means that any matters that were previously governed by the 2011 instrument must be reassessed under the 2022 instrument if the conduct occurs after its commencement. Legal practitioners should verify the registration date of the 2022 instrument to determine the exact cut-off.

The instrument does not record any litigation history, and no cases are cited. As a legislative instrument made in 2022, there is no reported case law interpreting its provisions. The predecessor 2011 instrument may have been the subject of administrative actions or tribunal reviews, but this is not mentioned in the instrument. Given the technical nature of the exemptions, litigation is likely to arise only in disputes over whether a developer met the conditions. Issues such as "reasonably practical" regarding underground installation, "direct cost", and "technically feasible" are fact-sensitive and have not been judicially considered under this instrument. The phrase "in proximity" is defined in section 372Y of the Act but its application to specific lots or units may be contested. In the absence of case law, the meaning of these terms will be determined by ordinary statutory interpretation, with guidance from any existing case law under the Act itself.

The 10-lot cap in subparagraphs 7(2)(c)(ii) and 7(3)(c)(ii) is a blunt instrument. A project with 11 lots cannot use the 12-month waiting exemption even if fibre is guaranteed within two months. The developer must either install fibre-ready facilities upfront or install them simultaneously. This creates a cliff edge that may incentivise developers to subdivide into smaller phases to stay under the cap, but the Act's definition of project area may treat the whole development as one project.

The "reasonably practical" test in subsection 7(3) considers "the nature and composition of the land" and "the direct cost associated with such an installation". The instrument does not specify whose direct cost is considered (the developer's, or an average) or what cost threshold applies. Disputes may arise over whether a developer's decision to avoid rock excavation costs or geotechnical difficulties is sufficient to justify using the above ground track. There is no independent certification requirement: the developer self-assesses.

The minor supplementation exemption for pre-27 September 2011 lines (subsections 7(4)-(5)) is precise about the date. Any line installed on or after 27 September 2011 cannot be used as the basis for this exemption. This creates a two-tier system: projects with older copper infrastructure have more flexibility. New subdivisions that were first connected after 2011 are excluded from this exemption entirely.

The definition of fibre-ready facility in section 6 is deceptively broad. Literally, any above ground fixed-line facility is a fibre-ready facility. That includes an aerial copper cable that is not designed to support fibre. If a developer installs such a cable on poles, it may be deemed fibre-ready, satisfying the obligation without any further action. This arguably undermines the policy of ensuring fibre readiness. The drafting is ambiguous: it is unclear whether the instrument intends to treat the supporting infrastructure (poles, ducts) as fibre-ready or the cable itself. Developers should seek legal advice on this point.

Reliance on published carrier information (section 8(a)) is risky. The information must be "published" at the time of installation. Internal rollout schedules or informal emails may not qualify. Even if published, the carrier is not legally bound to follow its own plan. If the carrier changes the plan after the developer installs copper/HFC, the developer may lose the exemption. The instrument does not provide a grace period or a mechanism to cure the loss of belief.

The sale and lease limitation exemptions (sections 9 and 10) are tied to the use of a section 7 exemption. If the developer initially installs non-fibre-ready under an exemption but later decides to install fibre-ready before sale, the sale is allowed because the obligation is fulfilled. However, if the developer sells while the only facilities present are non-fibre-ready and the project does not qualify for a section 7 exemption (for example, the 12-month period has lapsed without fibre being installed), the developer may breach section 372G or 372H. There is no sunset or cure for an exemption that fails after installation.

A person intending to rely on the exemptions should follow these steps:

1. Determine the project scope: Identify whether the project is a "real estate development project" under the Act and whether the fixed-line facilities to be installed are above ground or underground. If above ground, section 6 deems them fibre-ready; no exemption is needed for the installation. However, the developer must still ensure that the facilities are "fibre-ready" for the purpose of satisfying sections 372E and 372F. This may require documentation that the facility satisfies the criteria in section 6.

2. For non-fibre-ready facilities (typically underground copper or HFC), assess the availability of fibre-ready facilities:

   • Check if underground fibre-ready facilities are already in proximity to each building lot or unit. Obtain confirmation from the local carrier (such as NBN Co) in writing. If yes, the exemption under section 7(2)(a) applies without further condition.
   • If not, consider installing underground fibre-ready facilities simultaneously with the copper/HFC. This requires coordination with the carrier or a qualified installer. The fibre-ready must be installed in proximity to each lot before the copper/HFC is installed. Document the simultaneous installation timeline.
   • If simultaneous installation is not possible and the project has no more than 10 lots, the developer may rely on a reasonable belief that fibre-ready will be installed within 12 months. Obtain published carrier information (e.g., official rollout maps) or a legally enforceable agreement with a carrier, CSP, or infrastructure provider. Retain copies dated before the copper/HFC installation.
   • If underground installation is not reasonably practical due to land composition or high direct cost, assess the above ground track. Prepare a cost and feasibility analysis. The analysis should compare the cost of underground fibre-ready installation against the direct cost threshold. There is no prescribed threshold, so a conservative approach is to obtain a quote from a qualified contractor and document the reasons why underground is not feasible. Then follow the same sub-options as above (already installed, simultaneous, or 12-month belief) but using above ground fibre-ready facilities.

3. For minor works on pre-27 September 2011 lines, verify the date of original installation. Obtain evidence such as as-built drawings, installation contracts, or carrier records. Confirm that the work is within the scope: minor supplementation (no extension), ancillary extension up to 30 metres, minor replacement, minor modification, or relocation. Obtain a statement from an engineer or technician that it is not reasonably practical or technically feasible to use fibre-ready facilities for that work. Keep this statement with the project records.

4. Before selling or leasing a lot or unit, verify that the project qualifies for a sale/lease exemption under section 9 or 10. If the project used a section 7 exemption, the sale is exempt. If the project only has pre-27 September 2011 copper lines with no material change, the sale is exempt. Otherwise, ensure fibre-ready facilities are installed before settlement. A solicitor should add a condition to the contract requiring the developer to confirm the exemption status.

5. Maintain comprehensive records: Create a compliance file that includes:

   • Evidence of existing fibre-ready facilities (photographs, carrier confirmations)
   • Contracts for simultaneous installation
   • Published carrier rollout information or signed agreements for 12-month expectation (if applicable)
   • Cost and feasibility analysis for impracticability of underground installation
   • Date of original installation for pre-2011 lines
   • Scope of work description for minor works exemption
   • Declaration from the responsible person that the conditions were met at the time of installation
   • Sale or lease documents with dates

6. Monitor ongoing compliance: If relying on the 12-month expectation exemption, monitor the progress of the fibre-ready installation. If it becomes apparent that fibre-ready will not be installed within 12 months, consider remedial action (such as installing fibre-ready voluntarily) before any sale or lease. The instrument does not provide a cure, but early action may reduce liability exposure.

7. Engage legal counsel: Given the ambiguities in section 6 (above ground fibre-ready definition) and the fact-specific tests in sections 7 and 8, independent legal advice is recommended. Counsel can help draft agreements under section 8(b) and assess the reasonableness of cost analyses.

8. Check for state and territory obligations: Federal exemption does not override state building code requirements for fibre-ready infrastructure. A developer must comply with both regimes. Inconsistency may require the more stringent standard to be met.
