What it does
This Act creates a statutory framework by which Aurora Energy Pty Ltd, through directions from its members, may acquire shares in Alinta Energy (Tamar Valley) Pty Ltd and associated assets, rights and liabilities that form the Tamar Valley Project. The core operative powers are: the members of Aurora Energy may give written directions requiring Aurora Energy’s board to take steps necessary for Aurora Energy or a subsidiary to purchase and take transfers from Babcock and Brown Power and its subsidiaries of shares in the Company or assets, rights or liabilities related to the Tamar Valley Project (s 5(1)). The board is statutorily required to comply with any such direction (s 5(2)). The Act exempts those purchase and transfer transactions from any Tasmanian tax, duty, fee or charge (s 5(3)).
The Act also permits Aurora Energy, its subsidiaries and the Company to have the activity of generating electricity using the Tamar Valley assets as one or more of their corporate purposes despite provisions of the Electricity Companies Act 1997 (s 6). It provides for the converse: subject to the members’ approval, Aurora Energy (or any subsidiary) may sell or transfer shares in the Company and any assets, rights or liabilities related to the Tamar Valley Project (s 7). Members may give written directions to the board requiring sale or transfer, and the board must comply (s 8).
Certain statutory protections and processes in the Electricity Companies Act 1997 are expressly displaced for these sale or transfer transactions (s 9(1)). The members may, by special resolution, alter Aurora Energy’s constitution to reflect the purpose in s 6 and that resolution takes immediate effect notwithstanding the Electricity Companies Act (s 9(2)). Net proceeds from any sale are to be returned to the Public Account (s 10). The Act also effects amendments to the Government Business Enterprises Act 1995; the text records that those amendments have been incorporated into the authorised version of that Act (Part 4, ss 11-14). Administration of this Act is assigned to the Treasurer and the Department of Treasury and Finance until an Administrative Arrangements order provides otherwise (s 15). The Act commences on Royal Assent (s 2) and states its purposes in s 3.
