Takeovers Panel Procedural Rules 2020

Several interlocking concepts structure how the Rules operate.

Objectives drive interpretation and practice. Rule 6(1) lists four objectives: timely and cost-effective completion, avoiding unnecessary delay of commercial transactions, procedural fairness and obtaining the best available information. Rule 6(2) then states preferences flowing from those objectives: decisions on written submissions, private proceedings, access to material by parties and short time limits. Importantly, Rule 6(3) directs interpretation according to spirit, beyond form, and to promote the stated objectives. Those provisions declare the normative compass for otherwise discretionary decisions.

Control over proceedings is central. Rule 7(1)-(4) gives the Panel wide procedural control, including power to give directions (Rule 7(2)) and to excuse non-compliance with a Rule (Rule 7(3)). Where a direction conflicts with a Rule the direction prevails to the extent of the inconsistency (Rule 7(3)). Parties are required to comply with Panel directions and to cooperate in good faith to do so (Rule 7(4)). That creates a single point of normative authority on process, with explicit primacy of directions over the written Rules in case of inconsistency.

Party status is a defined gatekeeping concept. Rule 5 defines “party” broadly (applicant, ASIC, accepted Notice to Become a Party, Panel-deemed party, and persons who are parties under s657EA(1)(a) of the Corporations Act). Rule 16 sets the procedure for becoming a party, including an undertaking to comply with confidentiality (Rule 16(1)). The Panel can refuse or withdraw acceptance of Notices to Become a Party where a person is no longer an interested or proper party (Rule 16(5)) and may deem a person to be a party if they participate (Rule 16(6)). These provisions set both inclusive and exclusionary mechanisms for who can participate and when.

Confidentiality and publicity rules restrict external communications. Rule 18 sets a baseline that confidential material provided in proceedings must not be used or disclosed except in the proceedings or as required by law or exchange rules (Rule 18(1)). Rule 18(2) labels Panel communications as confidential unless the Panel publishes them. Rule 19 further restricts media engagement, prohibiting parties from “caus[ing], participat[ing] in or assist[ing] the canvassing in any media” of an issue before the Panel until the proceedings are determined or the review time expires (Rule 19(1)). Rule 19(2) provides narrow exceptions for neutral, non‑merits statements that merely identify parties or the broad nature of allegations to the extent such matters have been publicly disclosed by the Panel. These provisions restrict market-facing communications during takeover disputes.

Document and submission formality is another theme. Rule 9 requires documents to be succinct, expressed simply and clearly, and to include supporting market announcements or ASIC lodgments referenced therein (Rule 9(1)(d)-(f)). The Rules set service modalities (all documents to the Executive; a document is provided when received by the Executive, Rule 10(1)-(2)) and impose obligations to serve applications on ASIC and other potentially affected persons (Rule 10(3)-(5)). The Rules also cap written submissions appended to certain applications at 10 A4 pages in minimum 10 point font (Rules 12(1)(g), 13(1)(b), 14(1)(b)). That constrains the length of written advocacy and promotes the stated preference for concise written materials.

Procedural flexibility and de novo review. The Rules state that reviews of ASIC decisions under s656A and of Panel decisions under s657EA are de novo on the merits having regard to information available at the time of review (Rules 13(2), 14(2)). The Panel is not bound by the rules of evidence and may rely on logically probative material (Rule 22(1)); parties without personal knowledge must make enquiries to verify matters (Rule 22(2)). These features enable the Panel to re-assess matters on their merits, outside formal evidentiary constraints.

Role of the Executive and conflict disclosure. The Executive is the administrative interface; documents must be provided to the Executive (Rule 10(1)) and the Executive acts with the authority of the President or Panel, although it does not bind the Panel (Rule 28(1)-(2)). Parties must notify the Executive of any interest of a Panel member that could conflict with impartial performance where the party believes the interest is not immaterial or indirect and will prevent impartiality (Rule 27(1)-(2)). The mechanism requires a party-driven disclosure to the Executive rather than automatic public disclosure by the Panel.

Court interaction. If a party seeks a question of law referred to the Court, they should provide a draft case stated and indicate willingness to give an undertaking to meet the Panel’s costs on a solicitor and own client basis (Rule 25). Court referrals under s657EB of the Corporations Act from the Court to the Panel are to be conducted as a s657EA review unless otherwise directed by the Court (Rule 26). These clauses operationalise the interface between Panel procedure and judicial review.

These core concepts show a procedural design that privileges speed, private resolution and controlled disclosure while creating a compact of obligations around document form, service, confidentiality and the Panel’s discretionary direction-making power.

The Rules affect several overlapping groups by defining duties, capacities and procedural status.

Applicants and respondents in takeover-related disputes. The principal class affected is persons bringing or responding to applications under specified Corporations Act provisions: s657C (declarations of unacceptable circumstances and orders), s656A (review of ASIC decisions) and s657EA (review of Panel decisions). The definition of “application” in Rule 5 explicitly includes those three categories. Applicants must follow the Rules’ content and service requirements, including serving ASIC and identified interested persons (Rule 10(3)-(5)), and generally must include a Notice to Become a Party (Rules 12(1)(h); 13(1)(c); 14(1)(c)).

ASIC. ASIC is a named party category (Rule 5 defines “ASIC” and Rule 5 defines “party” to include ASIC). The Rules require applicants to provide certain documents to ASIC in the application process (Rules 10(3)-(5)), and in reviews of ASIC decisions the Rules require ASIC to provide statements of findings and reasons as soon as practicable (Rule 13(3)). Rule 18 exempts ASIC from the confidentiality and publicity restrictions in Rules 18-19.

Takeovers Panel members (the Panel and President) and the Executive. The Rules structure how the Panel is to be constituted and how it governs proceedings (Rule 5 definitions citing s184 and s173 of relevant statutes), and assigns administrative responsibility to the Executive (Rule 28). Panel members are affected by the conflict notification regime: parties must notify the Executive of interests of Panel members that could affect impartiality (Rule 27).

Interested persons and potential parties. The Rules define “interested person” (Rule 5) and provide procedures for third parties to become parties via a Notice to Become a Party, with an undertaking to comply with confidentiality and publicity rules (Rules 16(1)-(6)). The Panel may accept or refuse Notices and may deem a person to be a party if they participate (Rule 16(3)-(6)). Persons not listed in an application but who seek to join must explain why they are interested or able to assist the Panel (Rule 16(2)).

Representatives and advisers. The Rules define “Representatives” broadly to include directors, officers, employees, agents, contractors, service providers and advisers (Rule 5). Representatives receive confidential material to the extent required for the proceedings, but the party must ensure the Representative complies with confidentiality and publicity obligations (Rule 18(3)-(4); Rule 19(4)). Parties that want legal representation other than their commercial lawyers must request the Panel’s consent and explain why (Rule 17(2)). The form of request is included in the Notice to Become a Party (Rule 17(1)).

Market participants and the public. The publicity rules (Rule 19) place direct restrictions on parties’ public communications and therefore affect the flow of information to markets, investors, media and commentators during proceedings. Market announcements and documents lodged with ASIC must be provided when referenced (Rule 9(1)(f)), which can affect public disclosure strategies of affected companies.

Courts and litigants. Rule 25 contemplates parties seeking a case stated to the Court on questions of law, with potential cost undertakings. Rule 26 provides for Court referrals under s657EB to be treated as reviews under s657EA, linking Panel procedure to judicial processes.

In short, the Rules primarily affect parties to takeover-related Panel proceedings and their advisers, ASIC, Panel members and the Executive, and indirectly affect information flows to market participants because of the confidentiality and publicity constraints. The Rules reallocate some procedural obligations from courts and ASIC to the Panel and Executive (for example, document lodgement and service to the Executive, Rule 10), and set out mechanisms by which non‑party market participants can become parties or be deemed parties.

The Rules allocate specific duties and confer rights relevant to participation, disclosure, confidentiality, procedure and representation.

Duties

• Comply with Panel directions and cooperate in good faith. Rule 7(4) requires parties to comply with any direction of the Panel and, where necessary, to cooperate with other parties in good faith to comply with directions. Rule 7(3) permits the Panel to excuse failure to comply with a Rule, but the general duty remains.

• Provide documents to the Executive and effected parties. Rule 10(1) requires all documents in proceedings be provided to the Executive; a document is provided when received by the Executive (Rule 10(2)). Applicants under s657C must provide their application to ASIC and, using reasonable endeavours, to persons identified as interested (Rule 10(3)). Other application types carry similar service duties (Rules 10(4)-(5)). Rule 10(6) requires other documents to be provided to ASIC and each other party unless permitted otherwise by Rule 11 or Rule 27(3).

• Produce documents in required form and content. Rule 9(1) prescribes form requirements: in writing, succinct, clear, include referenced market announcements/ASIC lodgements (Rule 9(1)(a)-(f)), and identify matter and person (Rule 9(1)(g)). Non‑compliance permits the Panel to direct an amended document before consideration (Rule 9(2)).

• Abide by confidentiality constraints. Rule 18(1) forbids use or disclosure of confidential information provided in proceedings except within the proceedings or as required by law or exchange rules (Rule 18(1)(a)-(b)). Rule 18(3)-(4) permits disclosure to Representatives to the extent necessary and requires the party to ensure Representatives comply.

• Avoid media canvassing. Rule 19(1) prohibits parties from causing, participating in or assisting media canvassing of issues before the Panel until the proceedings are determined or the review period expires, and for any request to vary, revoke or suspend final orders from the time a person is aware of the request until the Panel decides. Rule 19(3) prohibits misrepresentation of Panel decisions in media from the relevant start time until publication of reasons.

• Seek consent and disclose for legal representation and conflicts. Rule 17 requires parties to request the Panel’s consent for legal representation outside commercial lawyers and to explain why. Rule 27(1)-(2) requires a party to notify the Executive of any interest of a Panel member that could affect impartiality and to explain why it is not immaterial.

Rights

• Right to be heard and to become a party. Interested persons are entitled to be heard (definition of “interested person” Rule 5), and persons may seek to become a party by submitting a Notice to Become a Party with an undertaking to comply with confidentiality and publicity rules (Rule 16(1)-(2)). The Panel has discretion to accept or refuse party status (Rule 16(3)-(6)).

• Right to receive and inspect material. Rule 6(2)(c) states the Panel prefers to give all parties access to all material before it in proceedings. While the Rule frames this as a preference, the Rule indicates an operational right for parties to access material, subject to confidentiality redactions and Panel directions.

• Right to make submissions, seek conferences and request summonses. Rules 20-23 provide that parties may make preliminary submissions, respond to briefs, request conferences and request the Panel to issue a summons to a witness (Rule 22(4)). Submissions in response to briefs must comply with Rule 9 and any directions (Rule 21(1)-(2)). Preliminary submissions, however, are restricted; an applicant cannot make them (Rule 20(2)).

• Right to request referrals and reviews. Rule 25 permits a party to request the Panel refer a question of law to the Court (accompanied by a draft case stated and an explanation), subject to possible cost undertakings. Rules 13(2) and 14(2) confirm that reviews of ASIC and Panel decisions respectively are de novo on the merits.

• Procedural rights in relation to confidentiality. Rule 11 allows parties to request the Panel withhold information from a party on confidentiality or other grounds, with a requirement to explain how procedural fairness and adverse effects are affected. Rule 11(3) allows parties to inquire whether an ASIC section 201A undertaking might suffice to satisfy the Panel.

Other operational entitlements. Parties may request extensions of time, and the Panel may consider such requests (Rule 10(9)). The Panel may also allow preliminary submissions from non‑parties (Rule 20(3)).

Summary of enforcement levers embedded in duties and rights: the Panel’s control over proceedings (Rule 7) and ability to accept, refuse or withdraw party status (Rule 16) are the principal procedural enforcement tools. The Rules rely principally on requirements to serve documents, abide by confidentiality and publicity constraints, and comply with Panel directions to shape conduct.

The Rules do not create standalone civil or criminal penalties within their text. Instead, enforcement is exercised through procedural controls, discretionary remedies and the Panel’s statutory powers referenced or incorporated into the Rules. The text itself relies on process-based enforcement rather than express fines or sanctions.

Procedural enforcement mechanisms and their textual bases are:

• Panel directions and control. Rule 7(2)-(4) gives the Panel control of proceedings and power to issue directions. Where a direction conflicts with a Rule, the direction prevails to the extent of the inconsistency (Rule 7(3)). Compliance with directions is mandatory (Rule 7(4)), and the Panel may excuse non-compliance (Rule 7(3)). The Panel can therefore shape outcomes by exercising direction powers; refusal to comply can lead to procedural consequences such as exclusion or adverse rulings in the conduct of the proceedings.

• Party acceptance and withdrawal. The Panel can refuse a Notice to Become a Party and notify the person if not accepted (Rule 16(3)-(4)). It can withdraw acceptance if the person is not or no longer an interested person or not a proper or necessary party (Rule 16(5)). The Panel may also deem a person a party if they participate (Rule 16(6)). These mechanisms allow the Panel to exclude or remove participants who do not comply with Rules or whose participation is not appropriate.

• Confidentiality and publicity constraints. Rule 18 makes documents and communications from the Panel confidential until published by the Panel (Rule 18(2)). Rule 19 prohibits media canvassing and misrepresentation of Panel decisions in media for specified periods (Rule 19(1) and (3)). The Rules do not specify express sanctions for breaches, but breaches could be addressed by the Panel through its control of proceedings (for example, by curtailing rights to participate, refusing evidence, or other procedural measures). The Rules also carve out that disclosure as required by law or exchange rules is permitted (Rule 18(1)(b)).

• Summons and statutory powers. Rule 22(4) notes that a party may request the Panel issue a summons to a witness; the accompanying Note references that the Panel may summon a person under section 192 of the ASIC Act. The Panel’s statutory ability to summon witnesses and documents provides a coercive mechanism backed by statute beyond the Rules themselves.

• Court referrals and cost undertakings. Rule 25 allows a party to request the Panel refer a question of law to the Court and indicates the requesting party should indicate willingness to give an undertaking to pay or reimburse costs of the Panel on a solicitor and own client basis. That suggests potential cost consequences for parties seeking judicial determinations via the Panel. Additionally, court processes accessible from Panel decisions (for example, judicial review or enforcement of statutory powers) remain available outside the Rules.

• Operational discretion over document admissibility and process. Rule 9(2) permits the Panel to require an amended document before consideration if it is non‑compliant or inaccessible; Rule 12(3), 13(4), 14(4) similarly permit directions for amended applications. These give the Panel an enforcement tool to regulate the form and timeliness of material.

What the Rules do not do by express text:

• No statutory fines, criminal offences or pecuniary penalties are created by the Rules themselves. Enforcement therefore is primarily processual and dependent on the Panel exercising its statutory and procedural powers.

• No express private rights of action for breaches of the Rules are established. Remedies available to parties remain those provided under the Corporations Act, the ASIC Act and common law, and the Panel’s own remedial powers under the Corporations Act (references throughout to final orders under s657D and interim orders under s657E of the Corporations Act are a reminder that the substantive remedy regime originates in the Corporations Act; see Rule 5 definitions).

• The Rules do not specify a sanctions catalogue such as costs orders, but they do reference costs undertakings in the context of court referrals (Rule 25).

In practice, enforcement will operate through the Panel’s exercise of discretion: accepting or excluding parties, directing the course of proceedings, requiring amended materials, using statutory summons powers, and coordinating with court processes where questions of law are engaged. Parties should treat procedural obligations as binding because non‑compliance can materially affect participation rights and the Panel’s view of the matter.

The Rules repeatedly situate themselves within the statutory framework of the Corporations Act, the ASIC Act and related regulations, and they both rely on and defer to other legal obligations.

Statutory foundation and interplay

• Made under ASIC Act section 195. Rule 3 expressly states the Rules are made under section 195 of the ASIC Act. That statutory basis locates the authority for the Rules within the ASIC Act framework.

• Corporations Act provisions are operational hooks for the Panels’ jurisdiction and remedies. The definitions and application provisions reference multiple Corporations Act sections, including:

  • s657A (declaration of unacceptable circumstances) and s657C (applications for declaration or orders) , Rule 5 defines “declaration” and “application” and Rule 12 concerns applications under s657C.
  • ss657D and 657E (final and interim orders) are defined in Rule 5 and used in application content requirements (Rules 12(1)(e), 12(2)).
  • s656A (review of ASIC decision) and s657EA (review of Panel decision) are included in the definition of “application” (Rule 5) and addressed in Rules 13 and 14 respectively.
  • s657EB (Court referral to Panel) is referenced in Rule 26.
  • The “Court” is given the meaning of s58AA of the Corporations Act (Rule 5). These cross-references mean the Rules are procedural complements to the substantive and remedial powers established in the Corporations Act.

• ASIC Act and ASIC Regulations. The Rules acknowledge regulation 16(1) of the ASIC Regulations as granting the Panel the power to make directions (Rule 7(2)), and Rule 28 references the Executive staff from the Commonwealth Department of Treasury who serve the Panel. The Rules also reference section 192 of the ASIC Act as the source power for issuing summonses (Rule 22 Note).

Disclosure and exchange rules. Rule 18(1)(b) expressly allows disclosure of confidential information "as required by law or the rules of a securities exchange". That proviso creates an interaction between Panel confidentiality and disclosure obligations under market rules or statutes. Parties must therefore be mindful to reconcile Panel confidentiality obligations with external regulatory disclosure duties, for example continuous disclosure obligations under the ASX listing rules or statutory disclosure obligations.

Evidence and procedural law. Rule 22(1) states the Panel is not bound by the rules of evidence and may act on any logically probative material. This departs from formal court evidentiary practices and signals de novo merits review for some applications (Rules 13(2) and 14(2)). Parties should therefore anticipate a more flexible evidentiary regime on review, but must ensure factual matters not within personal knowledge are verified by inquiry (Rule 22(2)).

Pre-existing rules and transitional effect. Rule 4 repeals the 2010 Procedural Rules but expressly preserves their continuing operation for applications made before these Rules take effect (Rule 4(2)). That provides a clear transitional regime aligning procedural law with the timing of applications.

Court inter‑operability and cost undertakings. If a party requests the Panel refer a question of law to the Court, Rule 25 requires a draft case stated, explanation of relevance and an indication whether the requesting party will undertake to pay or reimburse the Panel’s costs on a solicitor and own client basis. That links Panel procedure to judicial processes and can expose requesting parties to significant cost exposure if the Court accepts the referral.

Local regulatory overlap and confidentiality carve-outs. Rule 18 exempts ASIC from the confidentiality and publicity rules (Rule 18(5); Rule 19(5)). This recognises ASIC’s regulatory obligations and role. Likewise, Rule 11(3) provides a mechanism to propose an ASIC section 201A undertaking confidentially before circulating it to parties, indicating an operational interaction with ASIC’s s201A powers.

Practical friction points where the Rules interact with other laws:

• Disclosure obligations under listing rules or continuous disclosure laws may require information be released that the Panel would otherwise treat as confidential. Rule 18(1)(b) recognises this, but parties must assess timing and scope of disclosure carefully.

• The Panel’s direction-power prevailing over inconsistent Rules (Rule 7(3)) can create temporary procedural norms that depart from other prescriptive procedural requirements; parties should watch for directions that affect statutory time limits or formality expectations.

• De novo review of ASIC and Panel decisions (Rules 13(2), 14(2)) means outcomes may effectively re-litigate matters irrespective of earlier administrative or Panel determinations, which can affect parallel proceedings in courts or tribunals.

• Summons power under the ASIC Act (s192) can compel evidence or documents that might otherwise be subject to privilege claims; Rule 11 sets out what must be identified to sustain a claim of client legal privilege over advice (Rule 11(2)).

Overall, the Rules are procedural instruments that work in tandem with powers and obligations in the Corporations Act and the ASIC Act. Parties must manage obligations across these instruments, particularly where statutory disclosure duties, privilege law and judicial processes meet the Panel’s confidentiality and expedited procedural regime.

The Rules contain limited explicit amendment history within the instrument itself. The document records the following operative changes:

• Repeal of the 2010 Procedural Rules: Rule 4(1) expressly repeals the Procedural Rules to be followed in Panel Proceedings made on 12 April 2010 (F2010L00948). That replacement is mechanical: the 2020 Rules supplant the 2010 Rules from the commencement date.

• Transitional preservation of prior rules for pending matters: Rule 4(2) specifies that the repeal does not affect the continuing operation of the 2010 Rules for applications made to the Takeovers Panel before the 2020 Rules take effect. This provides a clear transitional rule for matters initiated before 1 April 2021.

• Commencement date: Rule 2 sets commencement on 1 April 2021.

Other textual pointers relevant to amendment and future change:

• Rule 8 allows the Takeovers Panel to publish guidelines to assist parties and advisers to understand and apply these Rules. Guidelines may be updated from time to time and are available on the Panel’s website. Guidelines are not the Rules themselves, but they serve as interpretive and procedural aids and could be revised independently of the Rules.

• The Rules are expressly made under section 195 of the ASIC Act (Rule 3) and therefore any future amendment to the ASIC Act or the Corporations Act that affects the Panel’s powers could necessitate consequential amendment to the Rules. The Rules do not specify an internal amendment mechanism beyond the statutory making power.

• The definitions refer to statutory constructs (for example, Panel constituted under s184 of the ASIC Act, President appointed under s173, Acting President under s182), indicating that changes to those statutory provisions would interact with the Rules.

The Rules themselves do not catalogue prior amendments beyond the stated repeal and do not include a revision history within the document beyond date and signature. For a full legislative amendment history one must consult the Register of Legislative Instruments or the Takeovers Panel and Commonwealth legislative instruments repositories, but that falls outside the text provided here. The Rules do, however, provide for evolving non‑binding guidance (Rule 8) which the Panel may publish and vary to reflect practice.

The text of the Rules contains no references to litigation history, case citations or judicial determinations that interpret the Rules, and it does not record any cases. The instrument situates procedure within statutory powers and cross-references to the Corporations Act and the ASIC Act but does not itself report precedents.

Consequences of the absence of litigation references in the text:

• The Rules must be read against the background of existing statutory case law developed under the Corporations Act, ASIC Act and previously under Panel practice, but the instrument does not summarise that jurisprudence. Practitioners should therefore review relevant judicial decisions and Panel determinations external to the Rules for interpretive guidance on issues such as the scope of “unacceptable circumstances”, procedural fairness in expedited proceedings, and the Panel’s power to issue relief.

• The Rules include procedural mechanisms for referring points of law to the Court (Rule 25) and for Court referrals to the Panel (Rule 26), which means litigation and judicial interpretation remain available and relevant despite the Rules’ procedural orientation.

• The Rules’ emphasis on de novo review for s656A and s657EA applications (Rules 13(2) and 14(2)) indicates that statutory appeals and reviews will be merits-based and thus likely to involve the same evidentiary and legal issues that generate litigation; again, the Rules themselves do not catalogue how courts have responded to Panel procedure.

If a practitioner requires the state of the law on interpretation or enforcement of these Rules, the text indicates the Panel’s procedural expectations but does not supply interpretive precedent. Legal research will therefore need to consult Panel determinations and relevant court judgments outside this instrument.

The Rules introduce practical traps and friction points that can materially affect participants in takeover matters. The following are concrete, source-grounded items to watch for.

Confidentiality and publicity restrictions are broad and operationally intrusive. Rule 18(2) declares that any communication from, and any document provided by, the Panel is confidential unless or until the Panel publishes it. Rule 19(1) prohibits media canvassing of any issue before the Panel until the proceedings are determined or the review window expires, and for any requests to vary, revoke or suspend final orders, from knowledge of the request until determination. “Media” is defined expansively to include email and social media (Rule 19(1) note). The practical effect is that normal market communications by a bidder, target or adviser during a dispute may be substantially curtailed. Exceptions are narrow: Rule 19(2) permits neutral descriptive statements only to the extent the Panel has publicly disclosed them. Parties must therefore carefully calibrate any external communications to avoid breaching Rule 19.

Notice to Become a Party is mandatory for many applications. Rules 12(1)(h), 13(1)(c), and 14(1)(c) require applications under s657C, s656A, and s657EA to be accompanied by a Notice to Become a Party (except where ASIC is applicant). Rule 16 requires the Notice to include an undertaking to comply with confidentiality and publicity Rules 18 and 19. Failure to include the Notice may prompt a direction to provide an amended application (Rules 12(3), 13(4), 14(4)). That can be an operational delay. Practitioners should not omit the Notice and should ensure the undertaking covers the Rules’ scope.

Short written submission limits. Rules 12(1)(g), 13(1)(b), 14(1)(b) cap submissions to 10 A4 pages in minimum 10 point font for specified applications. This constrains detailed advocacy and requires discipline to prioritise arguments and evidence. A non‑compliant longer submission can be directed to be amended before consideration (Rules 9(2), 12(3), 13(4), 14(4)).

Service to the Executive and other parties. Rule 10(1) requires all documents go to the Executive; a document is provided when received by the Executive (Rule 10(2)). Applicants must serve ASIC and, where possible, persons identified as interested (Rule 10(3)-(5)). Rule 10(7) requires informing the Executive if another person appears not to have received a document. Practically, failure to serve properly can be fatal to the timeliness of an application, and the executive’s receipt date controls provision timing.

Privilege and confidentiality tension. Rule 11 sets out how to request withholding information, including specific content to support a client legal privilege claim (Rule 11(2)). But Rule 22 notes the Panel may issue summonses under section 192 of the ASIC Act (Note to Rule 22); statutory summonses can compel production. Parties must prepare to explain privilege assertions and be ready for the Panel to require more detail or to issue summonses that probe privileged material.

Panel discretion can dominate. Rule 7(3) states a Panel direction prevails over a Rule if inconsistent and the Panel may excuse failure to comply with a Rule. Rule 6(3) requires interpreting the Rules “according to their spirit” and “by looking beyond form to substance.” Those provisions vest broad discretionary power in the Panel to prioritise objectives over strict rule compliance; predictability is therefore reduced.

Representative compliance obligations. Parties must ensure their Representatives comply with confidentiality and publicity obligations (Rules 18(3)-(4); Rule 19(4)). Liability for Representatives’ conduct is not spelled out, but parties carry the duty to ensure compliance. In cross-border matters, ensuring foreign advisers, employees or contractors adhere to the Rules can be practically difficult.

Conflict notifications are party-driven. Rule 27 requires a party, not the Panel, to notify the Executive of a member’s interest that could conflict with impartiality where the party reasonably believes the interest is not immaterial. A party must describe the interest and explain why it meets the test in Rule 27(2). That creates potential for late or strategic conflict notices which the Panel must evaluate.

Requests for Court referral carry cost risk. Rule 25 requires an indication whether the requesting party is willing to give an undertaking to pay or reimburse the Panel’s costs on a solicitor and own client basis if a referral is sought. Parties seeking judicial clarity must face potential exposure to high costs.

Deeming of parties and withdrawal of acceptance. The Panel can deem persons to be parties where they participate (Rule 16(6)), and can withdraw acceptance of a Notice to Become a Party (Rule 16(5)). Participation without an accepted Notice can therefore lead to unexpected party status with attendant obligations, or can result in withdrawal of status later.

De novo review with flexible evidence rules. Rules 13(2) and 14(2) state reviews of ASIC and Panel decisions are de novo on the merits, and Rule 22(1) removes formal evidentiary constraints. While this can be beneficial to re‑litigation of merits, it also means that new evidence may be admissible and parties must be prepared to address fresh factual material, potentially increasing costs and surprise.

Operational reliance on Executive. Rule 28 establishes the Executive as the point of contact and the repository for documents but clarifies the Executive does not bind the Panel (Rule 28(1)-(2)). Parties dependent on the Executive for timely action should be aware that Executive communications do not equal Panel determinations.

These “gotchas” are concrete risks and operational constraints implied by the Rules. Practitioners should adopt checklists addressing service, confidentiality, submission length, conflict checks, representation consents and communications strategy before engaging with the Panel.

Compliance under these Rules is largely procedural and requires discipline on serving documents, confidentiality, timelines, and Panel directions. Below are actionable steps, each grounded in the relevant Rule citations from the instrument.

1. Prepare applications in the expected form

   • Ensure the application identifies the company affected, sets out relevant circumstances and key reasons why circumstances are alleged to be unacceptable, states when circumstances first arose or the period, details related proceedings elsewhere, states interim or final orders sought, identifies interested persons, includes a Notice to Become a Party (except ASIC), and keeps supporting submissions to 10 A4 pages at minimum 10 point font where the Rule specifies (Rule 12(1)(a)-(h); 12(2); Rule 12(3)).
   • For reviews under ss656A and 657EA, follow the content rules in Rules 13(1) and 14(1), including provision of prior ASIC materials where available (Rule 13(1)(a)).

2. Serve documents correctly and promptly

   • Provide all documents in proceedings to the Executive; a document is considered provided when received by the Executive (Rule 10(1)-(2)).
   • Serve applications under s657C on ASIC and, using reasonable endeavours, any person identified as an interested person (Rule 10(3)). Serve s656A and s657EA applications as required by Rules 10(4)-(5).
   • Inform the Executive as soon as possible if a recipient appears not to have received a document (Rule 10(7)).

3. Comply with form and content requirements

   • Make documents succinct, on point, avoid repetition, expressed simply and clearly, accompanied by referenced market announcements or ASIC lodgements if not already provided, and identify matter, party and document type (Rule 9(1)(d)-(g)).
   • If a document does not comply, be ready to submit an amended document as the Panel may direct (Rule 9(2)).

4. Lodge a Notice to Become a Party

   • Use the form approved by the Panel (Rule 5 definition and notes). Include an undertaking to comply with Rule 18 (confidentiality) and Rule 19 (publicity) (Rule 16(1)). If not expressly identified as an interested person, explain why the applicant may be interested or able to assist (Rule 16(2)).
   • Expect the Panel to accept or refuse the Notice; do not assume party status until acceptance by the Panel (Rule 16(3)).

5. Manage confidentiality and publicity

   • Treat all communications from, and documents provided by, the Panel as confidential unless published by the Panel (Rule 18(2)).
   • Do not disclose confidential material except within proceedings or as required by law or exchange rules (Rule 18(1)(a)-(b)). Ensure all Representatives who receive confidential information comply with Rule 18(1) and Rule 19 (Rule 18(3)-(4); Rule 19(4)).
   • Avoid media canvassing of issues before the Panel until proceedings are determined or review period expires (Rule 19(1)). If public comment is necessary, limit statements to neutral, non‑merits descriptions permitted under Rule 19(2), and ensure the subject matter has been publicly disclosed by the Panel.

6. Limit submissions to prescribed page lengths where applicable

   • Keep submissions accompanying s657C, s656A and s657EA applications within the 10 A4 page limit at minimum 10 point font (Rules 12(1)(g); 13(1)(b); 14(1)(b)). If additional material is needed, use annexures or rely on succinct summaries with references to the materials submitted.

7. Seek consents for representation and obtain Panel permission for non‑commercial lawyers

   • Complete the form in the Notice to Become a Party to request consent under s194 of the ASIC Act for legal representation (Rule 17(1)). If the proposed legal representatives are not the entity’s commercial lawyers, explain why and request consent (Rule 17(2)).

8. Prepare privilege claims and withholding requests carefully

   • If seeking to withhold information, make the request before providing it to the Panel, explain why withholding is necessary, and include argument addressing procedural fairness and adverse effects (Rule 11(1)(a)-(c)).
   • For client legal privilege claims, identify the holder of privilege, the circumstances of advice and the subject matter (Rule 11(2)). Consider confidential preliminary engagement with the Executive if proposing an ASIC s201A undertaking (Rule 11(3)).

9. Manage conflicts and make timely disclosures

   • Conduct conflict checks on Panel members and notify the Executive promptly if a party becomes aware of an interest of a Panel member that could affect impartiality, describing the interest and explaining why it is not immaterial or indirect (Rule 27(1)-(2)). Remember Rule 27 requires party-driven notification, so proactive checking is prudent.

10. Use preliminary submissions and conferences strategically

    • Applicants are not permitted to make preliminary submissions (Rule 20(2)); respondents and other parties may. Requests for conferences should state the issues, persons to attend, reasons and estimated time (Rule 23(2)). The Panel may set directions and limit rebuttal submissions to preliminary submissions at its discretion (Rule 20(1)).

11. Be prepared for flexible evidentiary standards and de novo reviews

    • Understand the Panel is not bound by formal rules of evidence and may act on logically probative material (Rule 22(1)). Ensure that factual matters outside personal knowledge are verified (Rule 22(2)). For s656A and s657EA reviews, prepare for a de novo merits review (Rules 13(2), 14(2)).

12. Anticipate summons and court referral implications

    • If a witness is material, request a summons with specific matters to be addressed; be ready that the Panel may require written answers beforehand (Rule 22(4)). If proposing a Court referral, be prepared to provide a draft case stated and consider whether a costs undertaking to the Panel is necessary (Rule 25).

13. Observe timelines and seek extensions early

    • Provide documents by the time specified by the Panel, and if an extension is necessary request it ASAP, explain the reason and estimate extra time required (Rule 10(8)-(9)). For s657EA review applications where Presidential consent is required, address requests to the President and provide information sufficient to assess the effects and reasons for review (Rule 14(3)); note the Corporations Regulations’ time limit referenced in the Rules’ note (2 business days, per Reg 6.10.01).

14. Keep administrative logistics tight

    • Maintain records of delivery to the Executive; document the Executive’s receipt times, and use the Executive as the point of contact (Rule 28(2)). When providing documents to others, notify the Executive if delivery is in doubt (Rule 10(7)).

15. Ensure Representatives are briefed and bound

    • Require written instructions to Representatives that they must comply with Rules 18 and 19 and confirm that parties will ensure compliance (Rule 18(3)-(4); Rule 19(4)). Where Representatives are overseas, put contractual or compliance mechanisms in place to enforce obligations.

Following these steps will address the principal procedural traps created by the Rules. Practitioners should also track Panel-published guidelines (Rule 8) and be prepared to adapt practices in response to Panel directions (Rule 7(2)-(3)).
