TAB (Disposal) Act 2000

The Act operates around a small set of connected legal concepts. Set out below are the primary legal constructs, the statutory purpose-claims the Act advances, and their enabling mechanisms.

Authorised project (s 5)

• Concept: a defined preparation phase consisting of determining the disposal method, examining assets and liabilities, and other ministerially authorised preparatory actions (s 5(1)).
• Mechanism: any persons the Minister assigns or approves, including Crown employees, TAB/TABCO employees and external advisers, may participate (s 5(2)). The Minister may authorise disclosure of TAB/TABCO information to prospective purchasers despite other laws (s 5(3)). Members, employees and directors must facilitate this access (s 5(4)), subject to a ministerial certificate requirement for access (s 5(5)). The Act explicitly prevents disclosure of individual employees’ employment histories except to the purchaser once a sale agreement is executed (s 5(6)).

Conversion to company and continuity (Sch 1)

• Concept: TAB may be converted into a company under the Corporations Law, with Ministers able to be issued shares and the converted company continuing the legal personality of TAB (Sch 1 cll 1-3).
• Mechanism: proclamation triggers share capital and conversion steps, and the converted company is a continuation of the pre-existing legal entity (Sch 1 cll 1, 3).

Transfer order and sale agreement (ss 10-11)

• Concept: two routes to effect transfers. Transfer orders move assets/liabilities to Crown entities; sale agreements transfer assets/liabilities or shares to purchasers (ss 10(1), 11(1)).
• Mechanism: both operate "by force of this Act" and override contrary law/instrument (ss 10(4), 11(3)). Transfers discharge the transferor from liabilities (ss 10(5), 11(4)). A transfer or sale can treat securities as ceasing to apply to transferred assets if so provided (ss 10(6), 11(6)). Transferred instruments may be modified by sale agreement and operate as so modified from the specified date (s 11(7)-(8)).

Employee transfer mechanics (s 16; Sch 2)

• Concept: employees may be transferred to a Crown entity, to TABCO(B), or to the purchaser, depending on whether assets are transferred by transfer order or sale agreement and on employee elections (s 16).
• Mechanism: the Minister issues employee transfer orders; employees must be notified whether their position is required and whether it is a key position (s 16(2)). Employees can elect to be transferred, to participate in career transition programs, or may be retrenched with prescribed protections (s 16(2)-(13)). Schedule 2 sets prescribed transfer payments, termination payments, payment rules for temporarily transferred key employees, and rules for regular casual employees (Sch 2 cll 2-6).

Evidentiary and disclosure presumptions (ss 6-7, 13)

• Concept: the Act authorises disclosure and gives ministerial certificates weight.
• Mechanism: disclosure/use of information for the authorised project is authorised despite other law (s 6). Ministerial certificates about the authorised project, transfers, or transferees are to be accepted in legal proceedings as proof absent contrary proof (ss 7(1), 13(1)-(2)). This reduces the evidentiary friction in disputes about whether an action was authorised.

Overrides and interaction with other law (ss 4, 24-26)

• Concept: the Act is written to have extraterritorial effect and to operate despite specified other Acts.
• Mechanism: s 4 asserts the Act's extra-territorial reach. Section 25 states the Act has effect despite the Real Property Act 1886 and makes certain transactions not subject to Land and Business (Sale and Conveyancing) Act 1994, Retail and Commercial Leases Act 1995, or Part 4 of the Development Act 1993. Section 24 removes stamp duty and related lodgement obligations for transfers by transfer order. Section 26 provides that things done under this Act do not, by that fact, constitute breaches of other laws, contracts, duties of confidence, civil or criminal wrongs, or release sureties.

Financial controls and accountability (ss 14-15, 20)

• Concept: constraints on how proceeds are used and a parliamentary probity accountability step.
• Mechanism: the Treasurer may apply sale proceeds only for restructuring/disposal costs, racing industry development, or an account used to retire State debt (s 14). The Minister must cause an independent probity report on the sale processes to be prepared and table it within 12 sitting days after a sale agreement (s 15). The Treasurer may require TABCO to pay amounts in lieu of tax for periods while it is a State-owned company (s 20).

Superannuation and continuity (s 17)

• Concept: the TAB staff superannuation fund (Deed dated 28 July 1969) must have its surplus assessed, with 50 per cent applied to members and the balance to TAB/TABCO (s 17(1)-(2)). Transfer orders or sale agreements that necessitate employee transfer orders must preserve Deed application to transferred employees (s 17(3)).

Transitional and miscellaneous provisions

• Concept: provisions cover unclaimed dividends, appropriations for dividends required by sale agreements, registration of transfers, and proclamation-based dissolution of TABCO where assets/liabilities have been transferred (Schedule 4, ss 22-24, Sch 4 cll 5-6).

These main concepts combine a wide grant of executive authority over asset, legal and personnel transitions, statutory primacy to make transfers effective across legal regimes, detailed employee-protection formulas, and process constraints such as the probity report requirement and restricted use of sale proceeds.

The Act creates a defined set of affected parties and categories. The statutory language identifies who is empowered, who is constrained, who receives payments, and who must take administrative steps.

Primary institutional actors

• TAB and TABCO: TAB is the pre-existing statutory totalizator agency (defined as "TAB"), and TABCO refers to TAB as converted to a company (TABCO(A)) or a State-owned company nominated by the Minister (TABCO(B)) (s 3 definitions; Sch 1). The Act governs conversion, continued status as instrumentality of the Crown until it ceases to be a State-owned company (s 21), and the dissolution of TABCO by proclamation once assets/liabilities are transferred (s 22).

• The Minister and Treasurer: the Minister has broad powers to authorise preparatory action (s 5), direct TAB/TABCO and execute agreements as agent (s 8), issue transfer orders and employee transfer orders (ss 10, 16), and to authorise disclosure (s 5(3)). The Treasurer manages application of sale proceeds (s 14) and may require TABCO payments in lieu of tax (s 20).

• Crown entities and purchasers: transfer orders transfer assets/liabilities to Crown entities (s 10). Sale agreements transfer assets/liabilities or shares to purchasers (s 11). Purchasers and their agents may be authorised to access information during the authorised project (s 5(3)).

Employees and employee representatives

• Transferred employees: those moved to purchaser or TABCO employment by employee transfer order, or who are employed by TABCO when the shares are transferred (s 3 definition); they are the focus of Schedule 2 protections and the mechanics in s 16.

• Regular casual employees: defined at s 3 and carried through Schedule 2, they have distinct protections around average weekly hours and payments for reduced hours (Sch 2 cll 1, 5).

• Executives and fixed-term employees: the Act excludes employees employed under a fixed term contract and executives from various Schedule 2 entitlements (Sch 2 cll 2(2), 3(2), 4(8)). The Minister may designate executive positions by order in writing (s 3 definition).

• Unions and employee bodies: the Public Service Association of South Australia, the Australian Municipal, Administrative, Clerical and Services Union (South Australian Clerical and Administrative Branch), and the Employee Ombudsman are specifically named as parties with whom a memorandum of understanding may be made; the Minister must make orders to give effect to such memoranda (s 18).

Other stakeholders and indirect actors

• Trustees and superannuation fund members: the Trustee of the South Australian Totalizator Agency Board Staff Superannuation Fund must determine the Fund surplus and, with the Board, allocate 50 per cent to members and the balance to TAB/TABCO as near to 50 per cent as reasonably achievable, and amend the Deed accordingly (s 17(1)-(2)). The Deed and the defined terms Board, Fund, Member and Trustee in s 17(4) anchor these obligations.

• Creditors, security holders and contracting counterparties: the Act transfers rights and obligations by force of statute. Transferred securities may cease to apply where provided (ss 10(6), 11(6)). The transferee steps into rights and priorities of the transferor under securities to the extent referable to transferred assets/liabilities, absent contrary provision (s 12(2)(a)(i)-(ii)). Section 12(1) contemplates indemnity where foreign law does not recognise a transfer.

• Registrar-General and registering authorities: must record transfers under the Act on application by the Minister or a Minister-nominated person (s 23).

• Parliament and the public: the Minister must table an independent probity report within 12 sitting days after a sale agreement (s 15), creating a parliamentary accountability step.

Who pays and who benefits

• Purchaser: stands to receive assets, liabilities or shares and may benefit from statutory transfers that operate despite other law (s 11). Purchaser obligations can include indemnities where foreign law does not recognise statutory discharge (s 12(1)).

• Employees: receive prescribed transfer payments and termination protections under Schedule 2 depending on status; certain employees have rights to continued employment, career transition assistance, and minimum payment protections on retrenchment (s 16; Sch 2).

• Crown/Treasury: receives prescribed balance of pensions fund surplus and controls application of sale proceeds under s 14; the Treasurer may also require TABCO to make payments in lieu of tax while it is a State-owned company (s 20).

Excluded or partially affected

• Fixed-term and executive employees: excluded from specified monetary and termination protections under Schedule 2 (Sch 2 cll 2, 3, 4).

• Third parties in other jurisdictions: the Act asserts extra-territorial application (s 4) but recognises the potential for non-recognition and provides an indemnity mechanism (s 12(1)).

The Act therefore concentrates operational control in the Minister/Treasurer and sets statutory outcomes for purchasers, employees, trustees and registrars, while limiting some entitlements for executives and fixed-term staff. The designated unions and ombudsman may be party to memoranda that are given force by Ministerial order (s 18).

The Act creates duties for public actors, rights for employees and purchasers, and statutory entitlements and remedies. These duties and rights are expressed primarily in Parts 2-5 and Schedule 2.

Ministerial duties and powers

• Prepare and authorise the authorised project: s 5(1) authorises specified preparatory actions and s 5(2) prescribes who may carry them out. The Minister may authorise disclosure of TAB/TABCO information to prospective purchasers despite other law (s 5(3)) and give directions or execute agreements as agent of TAB/TABCO (s 8(1)-(2)).

• Issue transfer orders and sale agreements: the Minister has the power to transfer assets and liabilities to Crown entities by transfer order (s 10(1)), and to transfer assets, liabilities or shares in TABCO by sale agreement to a purchaser (s 11(1)). Both methods are effective by force of the Act (ss 10(4), 11(3)).

• Make employee transfer orders and notices: before a sale agreement transfers assets/liabilities or shares, the Minister must notify employees whether their position is required and whether it is a key position (s 16(2)). The Minister must issue written employee transfer orders effecting the transfers described in s 16, and may transfer employees to a Crown entity where assets/liabilities are so transferred (s 16(1), (3), (5), (6)).

• Tabling probity report: the Minister must have an independent probity report prepared and lay it before both Houses of Parliament within 12 sitting days after the sale agreement (s 15).

• Make orders to give effect to memoranda with unions/ombudsman: s 18 requires that the Minister make an order containing provisions to give effect to any memorandum of understanding entered into with named unions or the Employee Ombudsman; such an order may incorporate terms as contractual conditions and must be published in the Gazette (s 18(1)-(2)).

Treasurer duties and discretions

• Apply proceeds of sale agreement only as specified: s 14 restricts application to restructuring/disposal costs, racing industry development, or an account at Treasury used to retire State debt. The Treasurer therefore has both a custodial and discrete allocation role.

• Require TABCO to pay amounts in lieu of tax: s 20 gives the Treasurer discretion to require TABCO payments in lieu of taxes from which TABCO is exempt while a State-owned company.

Employee rights and entitlements

• Notification and election: employees (other than fixed-term or executives) receive written notice under s 16(2) about the status of their positions and a minimum 14-day window to elect to be transferred or to opt into a career transition programme.

• Transfer order protections: transfers do not affect remuneration or interrupt service continuity, do not constitute retrenchment or redundancy, and accrued leave entitlements carry over as entitlements of the transferee (s 16(9)-(10)). References to the transferor in contracts are construed as references to the transferee (s 16(12)).

• Prescribed transfer payments: the Minister must pay transferred employees the prescribed transfer payment within 14 days after they become transferred employees (Sch 2 cl 2(1)). The Schedule defines the prescribed transfer payment amounts by years of service and caps (Sch 2 cll 1 definitions, 2).

• Termination and retrenchment payments: schemed prescribed termination payments apply where employees are retrenched while TAB is an instrumentality, where career transition employees resign and fail to secure alternative employment, and for certain protections for transferred employees in the two years post-transfer (Sch 2 cl 4). Formulas are set out for prescribed termination payment and required payment in lieu of notice (Sch 2 cll 1 definitions, 4(3)).

• Temporary key employee remuneration: temporarily transferred key employees receive additional fortnightly payments capped at either 20 per cent of the previous fortnight's remuneration or $30 per day attendance, subject to exclusions (Sch 2 cl 3).

• Regular casual protections: regular casual employees becoming transferred employees who are offered fewer hours without consent in the first 52 weeks are to be paid as if employed for their prior average weekly hours (Sch 2 cl 5).

Rights and protections for trustees and members of superannuation fund

• Fund surplus allocation: the Trustee must assess the Fund surplus and the Board and Trustee must amend the Deed to apply 50 per cent of the Fund surplus to members in an equitable manner with the balance to TAB/TABCO, per the Deed (s 17(1)-(2)). The Act also requires transfer orders or sale agreements that necessitate employee transfer orders to preserve application of the Deed to transferred employees (s 17(3)).

Rights for purchasers and transferees

• Statutory vesting: transferees receive transferred assets, liabilities or shares by force of the Act and, except where otherwise provided, are discharged from liabilities as per the transfer instrument (ss 10(4)-(5), 11(3)-(5)).

• Rights under securities and contracts: where securities relate to transferred assets or liabilities, the transferee is entitled to those securities and the same rights and priorities as the transferor, unless the transfer instrument provides otherwise (s 12(2)(a)). The transferee may ratify contracts and continue legal proceedings started before transfer (s 12(2)(f)-(h)).

Evidentiary presumptions and legal effect

• Certificates and proofs: ministerial certificates as to authorised project participation, transfers, transferred instruments and transferees must be accepted in legal or administrative proceedings as proof in the absence of proof to the contrary (ss 7(1), 13(1)-(2)). This creates a statutory prima facie evidentiary advantage for ministerial statements.

Limitations and exclusions

• Fixed-term employees and executives: excluded from prescribed transfer payment, temporary key employee payment, and prescribed termination payment exceptions (Sch 2 cll 2(2), 3(2), 4(8)).

• Non-recognition abroad: s 12(1) contemplates non-recognition in other jurisdictions and gives the transferor an entitlement to be indemnified by the transferee for payments required overseas where the transfer and discharge are not recognised.

These duties and rights combine statutory procedural obligations on the Minister and Treasurer, defined monetary entitlements for a subset of employees, and broad statutory effect for purchasers and Crown transferees.

The Act contains limited explicit enforcement mechanisms and no express criminal penalties for breaches of the transfer regime. Enforcement dynamics are primarily structural and administrative rather than penal. The following points summarise enforcement-related features and the legal levers by which rights and obligations would be enforced.

Absence of express criminal sanctions

• The text does not create specific offences or criminal penalties linked to the authorised project, conversion, transfers, sale agreements or employee transfer orders. The Act focuses on statutory powers and transitional protections rather than specifying fines, imprisonment or regulatory sanction regimes.

Evidentiary strengthening for administrative actions

• Ministerial certificates under ss 7 and 13 are admissible and must be accepted as proof of matters certified in legal or administrative proceedings in the absence of evidence to the contrary. That is, the Minister's written certificates reduce evidentiary friction when demonstrating that an action was part of the authorised project or that specified assets/liabilities were transferred and to whom (ss 7(1)-(2), 13(1)-(2)). This allocation of evidentiary weight functions as an enforcement-facilitating mechanism for the Crown side of the transaction, making it easier to resist factual challenges to the status of an act as authorised under the Act.

Statutory finality and immunity for acts under the Act

• Section 26 is emphatic: nothing done, authorised or allowed by or under the Act, a transfer order, sale agreement or employee transfer order constitutes a breach of other Acts or contracts, a breach of a duty of confidence, a civil or criminal wrong, or gives rise to other rights or remedies, or releases sureties, unless the Act or transfer instrument provides otherwise. This provision restricts the availability of remedies that parties might otherwise have against acts taken under the Act. It therefore reduces the scope for enforcement actions by third parties based on acts compliant with the Act.

Administrative recording and registration

• The Registrar-General and other registration authorities must record transfers effected by the Act on application by the Minister or a nominated person, which operationalises and publicises the transfer (s 23). While not a penalty, registration is an administrative mechanism that supports enforceability and notice to third parties.

Indemnity and cross-border non-recognition

• Section 12(1) establishes an indemnity right for a transferor if foreign law does not recognise a discharge of liability effected by this Act and the transferor is required under foreign law to pay. The indemnity right is, in effect, a private enforcement mechanism by which the transferor can seek compensation from the transferee for amounts required to satisfy liabilities in jurisdictions that do not recognise statutory discharge.

Remedial and monetary obligations

• Employee monetary obligations are enforceable as statutory entitlements: prescribed transfer payments must be paid within 14 days after a person becomes a transferred employee (Sch 2 cl 2(1)), and prescribed termination payments and temporary key employee supplements are mandatory where applicable (Sch 2 cll 3-4). Recourse for non-payment would ordinarily be civil enforcement proceedings for unpaid statutory entitlements, although the Act does not set out a specific new tribunal or penalties.

Regulatory instruments and proclamation powers

• Regulations may be made by the Governor to further the Act (s 27). These regulations could create administrative offences or procedural enforcement mechanisms. The Act itself leaves such matters to delegated instruments, but the text does not specify any current regulation-based penalties.

Probity and parliamentary scrutiny

• The Minister must cause an independent probity report on sale processes to be prepared and tabled within 12 sitting days after the sale agreement (s 15). The tabling requirement does not by itself impose penalties for non-compliance; however the political and parliamentary accountability function may have enforcement effects through scrutiny and, potentially, political consequences.

Practical enforcement risks and dispute friction

• Because the Act provides statutory effect to transfers and immunities for acts taken under it, third parties who lose rights as a result of transfers may find their remedy constrained. Where parties contend that the Minister exceeded statutory powers, review may still be available by judicial review of administrative decisions, subject to the Act’s provision that things done under the Act do not constitute breaches of other laws (s 26). The evidentiary presumptions for ministerial certificates (ss 7, 13) may raise the bar for challengers who must produce contrary evidence.

In short, enforcement under the Act is predominantly achieved through statutory vesting, registration, mandatory payment formulas for employees, ministerial certificates carrying prima facie weight, parliamentary probity reporting, and delegated regulations. The Act focuses on creating statutory effect and limiting traditional legal remedies for actions carried out under it, rather than specifying criminal or administrative penalties.

The Act expressly addresses its relationship with other statutes, private-law instruments and foreign law. It both asserts primacy in particular areas and provides mechanisms to manage cross-jurisdictional difficulties. The most relevant interaction points are set out below with section references.

Declared extra-territorial operation (s 4)

• The Act states Parliament's intention that the Act apply within and outside South Australia to the full extent of the Parliament’s extra-territorial legislative capacity (s 4(a)). It also declares that orders and agreements made under the Act have effect in relation to assets, liabilities, transactions, acts and matters located either within or outside the State, whether South Australian law or another place’s law would otherwise apply (s 4(b)). Further, the Act requires courts and tribunals exercising judicial power outside the State to apply South Australian law to questions about the effect of the Act and its instruments despite any inconsistent law of that other place (s 4(c)). These clauses attempt to secure extraterritorial legal effect for transfers and vestings effected by the Act.

Effect despite other law and explicit overrides (s 25)

• Section 25(1) provides that the Act has effect despite the Real Property Act 1886 or any other law. Section 25(2) specifies that transactions under the Act are not subject to the Land and Business (Sale and Conveyancing) Act 1994, the Retail and Commercial Leases Act 1995, or Part 4 of the Development Act 1993. Section 25(3) provides that certain development-certification requirements need not be accompanied by a Part 4 Development Act certificate when the Minister certifies the application relates to a transaction under this Act. These are direct statutory displacements designed to reduce legal and administrative impediments to transfer.

Stamp duty and lodgement exceptions (s 24)

• Section 24 removes stamp duty liability and filing obligations under South Australian stamp duty law for transfers effected by transfer orders. It also removes the obligation to lodge statements or returns relating to such transfers under the Stamp Duties Act 1923. That limits tax friction for transfers effected by transfer order.

Corporations Law and company conversion (Sch 1)

• Conversion of TAB to a company is to be carried out under the Corporations Law; Schedule 1 directs TAB to take action for registration as a proprietary or public company limited by shares under the Corporations Law and to adopt a constitution approved by the Minister (Sch 1 cll 1-4). After conversion, TAB as a company is the continuation of the pre-existing entity (Sch 1 cl 3). The Act therefore works in conjunction with Corporations Law registration and corporate governance regimes.

Contractual and trust rights (ss 11(5), 12(2))

• Sale agreements may transfer assets and thereby discharge trust obligations in favour of the Crown unless the sale agreement provides otherwise (s 11(5)). Section 12(2)(a) secures the transferee’s entitlement to securities that are referable to transferred assets or liabilities, maintaining rights and priorities in security interests subject to any contrary provision in the transfer instrument.

Evidence and administrative law (ss 7, 13)

• Ministerial certificates are accepted as proof in proceedings in the absence of contrary proof (ss 7(1), 13(1)-(2)). This provision interacts with ordinary civil and administrative evidential rules by creating a statutory evidentiary presumption favourable to certificate holders.

Non-recognition abroad and indemnity (s 12(1))

• The Act recognises that foreign legal systems may not give effect to a transfer that, under this Act, discharges the transferor from liability. If a transferor is required under foreign law to make a payment in satisfaction of the liability, the transferor is entitled to be indemnified by the transferee for that payment (s 12(1)). This provides a private-law mechanism to manage cross-border enforcement gaps. It is distinct from any statutory recognition in foreign law, but gives the transferor a contractual/statutory right against the transferee.

Interaction with employees’ superannuation deed (s 17)

• Section 17 requires the Trustee to determine the Fund surplus and for the Board and Trustee to amend the Deed to apply 50 per cent of the surplus for members and the balance to TAB/TABCO. Transfer orders or sale agreements that necessitate employee transfer orders must include provisions necessary to continue the Deed's application to transferees (s 17(3)). The Act therefore directly prescribes interactions with the existing trust deed of the staff superannuation fund dated 28 July 1969.

Limitations on remedy and contract breach claims (s 26)

• Section 26 states that nothing done under the Act constitutes a breach of an Act or other law, a contract, a duty of confidence, a civil or criminal wrong, or results in rights to terminate agreements, except where the Act or transfer instrument provides otherwise. This has the effect of insulating actions under the Act from many ordinary private-law claims, and it therefore interacts significantly with contract law and equitable duties.

Registers and recordation (s 23)

• Registering authorities are obliged to note transfers under this Act on application by the Minister or a nominated person. That imposes registration duties under the Real Property Act and similar registration regimes, notwithstanding the Act’s declared primacy.

Regulations and future subordinate instruments (s 27)

• The Governor may make regulations necessary or expedient for the Act’s purposes. Regulation-making power means that further interactions with other laws may be shaped by delegated instruments.

Overall, the Act both harnesses and displaces other legal regimes. It asserts statutory primacy in property and employee transfer contexts, exempts certain transactions from ordinary sale and stamp procedures, provides indemnities for cross-jurisdictional non-recognition, and creates a limited statutory insulation from other legal remedies for acts done under it.

The Act’s legislative history included within the source provides commencement and amendment details, and records of Acts it repealed or amended. The key recorded legislative-history points are as follows.

Enactment and commencements

• The TAB (Disposal) Act 2000 received assent on 21 December 2000 (Legislative history, Principal Act details). Most of the Act commenced on 25 January 2001, as notified in the Gazette (Gazette 25.1.2001 p301), with particular exceptions noted in the source.

• Section 2(2) was commenced on 21 December 2000. Section 2(3) and certain parts commenced on specified dates. Section 17 came into operation on 21 December 2000 as to subclause 5, with sch 3 coming into operation on 26 April 2001 being the time TAB was converted to a company (Gazette 25.1.2001 p301). Schedule 4 commenced on 14 December 2001 (Gazette 6.12.2001 p5267). The source records these staggered commencements; where a specific clause is noted as an exception in the commencement line this marks different operation dates for certain parts.

Repeals and amendments effected by the Act

• The TAB (Disposal) Act 2000 repealed the Racing Act 1976 (Legislation repealed by principal Act). This is a significant structural change given that TAB business was previously connected with the Racing Act framework.

• The Act amended the Racing Act 1976, Stamp Duties Act 1923 and State Lotteries Act 1966 (Legislation amended by principal Act). The Act’s s 24(1) and (2) expressly removed stamp duty and related lodgement obligations for transfers effected by a transfer order.

Subsequent revisions noted

• The long title and other minor provisions were amended under the Legislation Revision and Publication Act 2002, as reflected in the legislative notes (Legislative history section: Long title amended under Legislation Revision and Publication Act 2002; Pt 1, s 2 omitted under Legislation Revision and Publication Act 2002; Sch 3 omitted under Legislation Revision and Publication Act 2002; Sch 4 cll 1,4 omitted under Legislation Revision and Publication Act 2002). The source includes annotations marking the omission of certain provisions under that Act.

Schedules and transitional amendments

• Schedule 4 contained transitional provisions concerning unclaimed dividends and appropriation of money for dividends (Sch 4 cll 5-6). The commencement notes indicate Schedule 4 commenced 14 December 2001.

Gazette references and dates

• Commencement dates and related Gazette citations are recorded in the provided legislative history. For example, the principal Act's commencement information is annotated as Gazette references (e.g. Gazette 25.1.2001 p301; Gazette 6.12.2001 p5267). These entries document when parts of the Act formally came into operation.

Practical import

• The repeal of the Racing Act 1976 and the requirement for schedule and deed adjustments (s 17) indicate the Act was intended to shift regulatory and ownership structures away from the prior Racing Act framework. The conversion timetable and staggered commencements reflect a designed transition path: conversion to company, transfer orders or sale agreements, employee transfer mechanics, and transitional provisions for dividends and superannuation.

The legislative history in the source is largely administrative: enacting dates, staggered commencements, specific repeals and amendments, and later revision and omission under the Legislation Revision and Publication Act 2002. The text supplied does not contain consequential amendments beyond those enumerated.

The source text does not identify any judicial decisions, appeals or litigation specifically interpreting the TAB (Disposal) Act 2000. No cases are named in the Act text or in the legislative history section included. Accordingly, this section records what the Act itself makes salient about litigation risk and procedural features that would expect to affect litigation, rather than reporting any adjudicated rulings.

Evidentiary presumptions that would shape litigation

• The Act gives statutory evidentiary weight to ministerial certificates in both the authorised project and disposal phases. Certificates certifying that an action formed part of the authorised project, or that specified assets/liabilities are transferred or identifying transferees, "must be accepted as proof" in legal proceedings in the absence of proof to the contrary (ss 7(1)-(2), 13(1)-(2)). That allocation of evidentiary burden makes it procedurally harder for claimants to dispute ministerial statements without producing countervailing proof.

Limits on remedies and defences against claims

• Section 26 provides that actions done by or under the Act do not constitute breaches of other laws, contracts, duties of confidence, civil or criminal wrongs, or permit termination rights or remedies, unless the Act or a transfer instrument provides otherwise. That statutory provision would likely be invoked in any litigation where an affected party sought to bring contract, tort or equitable claims based solely on transfers effected under this Act. The Act’s scheme therefore narrows the basis on which litigation could be founded against actions compliant with the statutory regime.

Probity report and parliamentary disclosure as factual record

• The probity report required by s 15 to be prepared by an independent person and tabled in both Houses creates an administrative record. In litigation challenging processes, such a report, while an executive document, may be treated as relevant evidence about the sale processes subject to parliamentary privilege considerations. The Act requires its preparation and tabling within 12 sitting days after the sale agreement (s 15), and the report may be a factual resource that litigants, tribunals and courts would consult.

Potential judicial review of ministerial power use

• Although the Act provides that things done under it do not constitute breaches of other laws (s 26), judicial review may still be available to challenge the exercise of administrative power where statutory limits or requirements (e.g. those in the Act itself) are alleged to have been exceeded. The Act does not abolish common law or statutory judicial review remedies by its terms; it creates evidentiary presumptions but does not expressly remove the availability of review of administrative acts that exceed statutory powers. The source text does not discuss or curtail judicial review expressly.

Cross-border enforcement issues

• Section 12(1) anticipates non-recognition of a transfer abroad and provides an indemnity right for the transferor against the transferee if the transferor must pay under foreign law. Litigation arising from cross-border non-recognition would therefore be more likely to be private disputes between transferee and transferor about indemnity obligations than direct claims against the Crown if the transferor is indemnified under the Act.

Absence of recorded litigation in the source

• The supplied legislative text and history contain no reference to litigation outcomes or reported cases. Therefore the Act’s operational litigation history is not recorded in the text provided. Parties considering potential legal challenges should therefore focus on the Act’s procedural provisions (certificates, transfer instrument contents, employee protections, tabled probity report), the administrative record, and available common law remedies, bearing in mind the Act’s explicit constraints.

In short, while the source contains no litigation history, it sets up evidentiary and remedial structures that would shape any litigation that arises. The Act’s provisions would tend to strengthen the Crown’s procedural position by providing certifying mechanisms, limiting ordinary remedies for things done under the Act, and offering statutory indemnities for cross-border non-recognition.

The Act contains several features that practitioners, employers, purchasers and employee representatives should treat as operational "gotchas" where assumptions from ordinary commercial or employment practice might fail. Each item below is drawn to express concrete mechanisms and statutory consequences.

Ministerial evidence weight and access to information

• Ministerial certificates are prima facie proof in legal proceedings unless rebutted (ss 7(1), 13(1)). A buyer or third party that has not independently secured documentary confirmation on key facts may later find it difficult to dislodge a ministerial certificate certified as to the authorised project or transfer status.

• The Minister can authorise prospective purchasers and their agents to access TAB/TABCO information despite other laws and instruments (s 5(3)). Members, employees and directors must permit such access despite other law (s 5(4)). Confidentiality expectations, including contractual or statutory secrecy obligations, are curtailed for the authorised project. However, employee personal information must not be disclosed except to the purchaser after execution of a sale agreement (s 5(6)). Practitioners must plan for selective disclosure and constrained use of employee personal data.

Statutory displacement of ordinary transfer formalities

• Transfers by force of the Act override contrary law or instrument (ss 10(4), 11(3)). Accordingly, typical legal protections derived from statutory conveyancing regimes, lease transfer rules, or commercial security enforcement may operate differently, especially because s 25(2) makes certain statutory sale and lease regimes inapplicable. Purchasers should be careful to ensure the sale agreement includes protections where the Act’s default displacements create gaps, for example by expressly preserving or modifying securities under ss 10(6) and 11(6).

Trust and security consequences

• Unless the sale agreement provides otherwise, transfer of an asset operates to discharge the asset from any trust in favour of the Crown and transfer of shares operates to discharge TABCO assets from any statutory trust in favour of the Crown (s 11(5)). This can change the beneficiary profile of trust assets and alter contingent claims. Security holders should verify whether a sale agreement modifies securities or leaves them intact; the Act permits modification but does not mandate it.

Employee exclusions and caps

• Fixed-term employees and executives are excluded from certain Schedule 2 entitlements (Sch 2 cll 2(2), 3(2), 4(8)). Parties who assume uniform protections for all staff will find that executives and fixed-term staff may have different compensation or redundancy outcomes.

• Prescribed transfer payments and termination payments are capped by formulae (Sch 2 cll 1, 2, 4). For employees with very high earnings, statutory caps or comparison to prescribed formulas may yield outcomes lower than alternative commercial redundancy settlements. The Act’s formulas, including prescribed transfer payment percentages and caps ($5,000; $13,000; $20,000) and the prescribed termination payment alternatives (20 times AWE plus 3 times AWE per year of service, or 116 times AWE), need close arithmetic attention.

Career transition programme and employee elections

• Employees who are told their position is not a required position and who do not elect to participate in a career transition programme must be retrenched before assets or shares are transferred to the purchaser (s 16(13)). Practitioners must track notice timing, election periods (minimum 14 days per s 16(2)), and retrenchment procedures. Failure to comply with these timing mechanics could generate payment obligations under Schedule 2 or procedural defects in the transfer.

Temporary key employees treated as retrenched by time elapse

• A temporarily transferred key employee will be taken to be retrenched three months after the date of transfer unless agreed otherwise (Sch 2 cl 4(4)). That creates a short window for employers/purchasers to decide whether to secure key staff or accept the retrenchment consequence. This timing affects retention strategies and integration planning.

Transfer orders and securities cessation

• A transfer order or sale agreement may provide that a security ceases to apply to an asset on transfer (ss 10(6), 11(6)). This can result in loss of security for mortgagees if the transfer instrument so specifies. Mortgagees and secured creditors should not assume continuing security without checking the transfer instrument.

Foreign-law non-recognition and indemnity risk

• If a foreign jurisdiction does not recognise a liability discharge effected by the Act, the transferor is entitled to be indemnified by the transferee for payments required under the foreign law (s 12(1)). Transferors should seek clear contractual indemnities from purchasers, because the Act’s indemnity right is a statutory entitlement against the transferee but may require proof and dispute resolution where foreign enforcement occurs.

Statutory insulation from common-law remedies

• Section 26’s wide wording prevents acts done under the Act from constituting breaches of law, contracts or duties of confidence, or civil or criminal wrongs. Parties relying on typical remedies for breach may find statutory insulation limits.

Probity report timing

• The Minister must have an independent probity report prepared and table it within 12 sitting days after the sale agreement (s 15). The short tabling window leaves little practical time for full parliamentary discussion before public scrutiny, and missing the tabling window may have procedural and political consequences.

Superannuation surplus allocation

• Section 17 requires calculation of the Fund surplus and that 50 per cent be applied to members in an equitable manner with the balance to TAB/TABCO. The Board and Trustee must amend the Deed accordingly. Trustees and actuaries must plan timely valuations; mis-timing or inadequate valuation methodology could affect allocation outcomes and compliance.

Registration and public notice

• Registering authorities must note transfers on application by the Minister or a nominated person (s 23). Third parties reliant on registration notices must ensure they search for statutory transfer registrations and request updating if transfer instruments are recorded late or inadequately.

Regulation-making and delegated power uncertainty

• The Governor may make regulations as necessary or expedient (s 27). Practitioners should consider the possible existence of subordinate instruments which may alter practical compliance or impose additional requirements absent from the principal Act.

These gotchas underline the need to read the actual transfer instruments, to secure contractual protections where statutory effects may be unfavourable, to track employee notices and payment timetables closely, and to account for the Act’s evidentiary and insulation mechanisms when planning litigation or transactional strategy.

Complying with the Act requires coordinated action by Ministers, TAB/TABCO management, purchasers, trustees, employees and registrars. Below is an operational checklist and practical steps mapped to the statutory provisions to help ensure compliance.

For the Minister and Department

• Authorise the authorised project and document scope: use s 5(1) to define determination of disposal method, examination of assets/liabilities and any other preparatory actions. Record delegations and approvals under s 5(2) and s 5(3).

• Issue access certificates: where prospective purchasers and their agents require access to TAB/TABCO information, issue ministerial certificates under s 5(5) certifying entitlement to access. Maintain a log of information disclosed and the certificate basis; keep employee personal data separate per s 5(6).

• Use ministerial directions and agency execution carefully: if directing TAB/TABCO under s 8(1) or executing agreements on behalf of TAB/TABCO under s 8(2), record the agency relationship and rationale to ensure traceability and to support any future reliance on ministerial certificates (ss 7, 13).

• Prepare transfer orders or sale agreements: where a transfer order is used (s 10) or a sale agreement executed (s 11), ensure the instrument specifies the effective date (ss 10(3), 11(8)) and expressly addresses the treatment of securities, trusts and instruments (ss 10(6)-(7), 11(5)-(8)). Include indemnity clauses where foreign-law non-recognition is reasonably likely; rely on s 12(1) as a statutory backstop but secure contractual clarity.

• Prepare employee notices and transfer orders: before a sale agreement that transfers assets or shares, provide written notice to employees (other than fixed-term or executives) stating whether their position is a required position and whether it is a key position (s 16(2)). Provide at least 14 days for elections. Issue employee transfer orders (s 16(1), (3), (5)) with specified effective dates.

• Superannuation compliance: ensure the Trustee obtains actuarial/advice promptly and that the Board and Trustee amend the Deed in accordance with s 17(1)-(2). Include appropriate continuance provisions in transfer instruments to preserve Deed application for transferred employees (s 17(3)).

• Probity processes and tabling: engage an independent person to prepare a probity report on sale processes and ensure the report is tabled in both Houses within 12 sitting days after the sale agreement per s 15. Keep procurement and evaluation records to support the probity report.

• Use Treasurer’s directions on proceeds: if you are the Treasurer, restrict application of sale proceeds to the three permitted uses under s 14; document allocations and accounting treatments to satisfy audit and legislative oversight.

For TAB/TABCO management and trustees

• Facilitate authorised project access: comply with s 5(4) obligations to allow persons engaged on the authorised project access to information, co-operation and facilities, subject to ministerial certificate verification.

• Preserve employee records: maintain clear records of employees’ status, hours and earnings to ensure accuracy when calculating prescribed transfer and termination payments under Schedule 2. Keep separate records for regular casual employees and fixed-term or executive employees.

• Superannuation trustees: order advice and determine Fund surplus as soon as practicable under s 17(1); amend the Deed to apply 50 per cent to members and the balance to TAB/TABCO under s 17(2). Ensure transfer instruments continue the Deed’s application for transferred employees (s 17(3)).

• Security and instrument review: identify all securities and instruments referable to assets or liabilities and confirm whether transfer orders or sale agreements will preserve, modify or extinguish them per ss 10(6), 11(6) and 12(2)(a).

For purchasers

• Secure due diligence under ministerial access: seek and record ministerial authority for access under s 5(3); obtain as much documentary evidence as practicable and note potential limits on employee personal data until after sale agreement execution (s 5(6)).

• Contractually allocate cross-border risk: although s 12(1) provides a statutory indemnity for transferors for foreign non-recognition, purchasers should negotiate express indemnities and warranties to cover this risk and to specify dispute resolution mechanisms.

• Negotiate protections on securities and liabilities: where transfer instruments may extinguish securities, seek express protections in the sale agreement. Confirm whether the transferee steps into transferor security priorities as provided by s 12(2)(a).

• Prepare for employee transfer mechanics: expect the Minister to give written notice to employees (s 16(2)); purchasers should plan offers for required positions, manage key employees, and be ready to receive employee transfer orders (s 16(3)). Understand the two-year protection for transferred employees against retrenchment and the related payment mechanics (Sch 2 cl 4(3)).

• Confirm tax-lieu payments and accounting: be aware the Treasurer may require TABCO payments in lieu of tax while TABCO is a State-owned company (s 20); structuring and pricing should account for any such liabilities.

For employees and unions

• Track notices and election windows: employees must respond within the prescribed election period (no less than 14 days) when notified under s 16(2). Union representatives should monitor notice content to ensure accurate characterization of “required” and “key” positions.

• Verify payment timetables and calculations: the Minister must pay prescribed transfer payments within 14 days after transfer (Sch 2 cl 2(1)). Check the prescribed transfer payment and termination payment formulas, average weekly earnings calculations and relevant caps (Sch 2 cll 1-4); seek ministerial orders under Sch 2 cl 6 if there are ambiguities in the method of calculation.

• Career transition and retrenchment planning: employees whose positions are not required may elect career transition programs and have rights to continued employment for up to 12 months, training and assistance subject to Ministerial order (s 16(4)); failing to elect could result in retrenchment before transfer (s 16(13)). Understand the conditions that constitute retrenchment for regular casuals and transfer-related forced relocations (Sch 2 cl 4(6)(a)-(b)).

For registrars and authorities

• Process transfer registrations: on application by the Minister or nominated person, note transfers effected under the Act as required by s 23. Ensure procedural forms and fee processes reflect s 24’s stamp-duty exemptions for transfer orders.

Cross-cutting compliance and documentation

• Maintain robust records to support ministerial certificates and probity report inputs. Given the evidentiary weight of ministerial certificates (ss 7, 13) and the parliamentary tabling requirement (s 15), comprehensive contemporaneous documentation of deliberations, valuations, independent advice and negotiations is essential.

• Check subordinate instruments and proclamations: review any Ministerial orders, proclamations under Schedule 1, and regulations under s 27 that may further define obligations, executive designations (executive positions per s 3 definition), or calculation methods under Sch 2 cl 6.

• Seek legal and actuarial advice where necessary: for superannuation surplus calculations (s 17), valuation of assets and liabilities, and the drafting of transfer instruments that may modify securities, specialist advice should be obtained and recorded.

Following these steps will reduce transactional risk, align parties with statutory timing and payment obligations, and create the administrative record necessary to support transfers, employee entitlements and parliamentary scrutiny under the Act.
