Sustainability Victoria Act 2005

The Act organises a few recurring legal and programmatic concepts that determine how Sustainability Victoria operates.

Objective and functions. The Act states a single objective: “to facilitate and promote environmental sustainability in the use of resources” (s 6). That objective is operationalised by an enumerated list of functions in s 7. Functions include advice and information provision (s 7(d), (e)), promoting resource and energy efficiency and renewable energy (s 7(e), (f)), promoting waste avoidance and recycling (s 7(g)), supporting fledgling technologies and demonstration projects (s 7(h)), developing strategies and implementation plans and measuring progress against government targets (s 7(j), (k), (r)), and entering into agreements including financial assistance (s 7(s)). Amendments in 2021 and 2022 re‑oriented certain functions to work with the Head, Recycling Victoria and to advise councils and Alpine Resorts on waste and circular economy matters (see s 7(n), (o) as amended).

Corporate form and governance. Sustainability Victoria is a body corporate with a common seal and full legal capacities (s 5). Governance is by a board of members numbering seven to nine, appointed by the Minister (s 9). The Minister must attempt to ensure that collectively the members have skills across environment, marketing, change management, business management, education, behavioural change, energy and resources, and regional and rural affairs (s 9(4)(b)). One member is to be nominated by the Minister administering the Electricity Industry Act 2000 and other seats are allocated to people with waste-related expertise (s 9(3)). Members hold office on terms determined by the Minister for up to five years and may be removed by the Minister (s 10).

Executive and staff. A Chief Executive Officer is to be appointed with Ministerial approval (s 15). Employees necessary to assist Sustainability Victoria are to be employed under Part 3 of the Public Administration Act 2004 (s 17). Delegation is available: Sustainability Victoria can delegate functions to members or the CEO under an instrument under its common seal (s 14) and the CEO can delegate to employees (s 16).

Ministerial control and planning. The Minister may issue written directions that Sustainability Victoria must comply with (s 18). Sustainability Victoria must submit a draft business plan for the next three financial years and a final business plan after any Ministerial amendments (s 19(1)-(2)), must not depart significantly from its budget without Ministerial approval (s 19(3)), and must publish and make its business plan available to the public (s 19(5)).

Information sharing. Part 2A (ss 19A-19C), inserted by the Environment Legislation Amendment Act 2022, is a central operational concept. It authorises the collection, use and disclosure of any information necessary to perform functions under this Act and enumerated other Acts (s 19A). Sustainability Victoria may request information by “information sharing notice” from “relevant entities” defined broadly to include government agencies and prescribed persons or entities (s 19B). The Act criminalises unauthorised disclosure of confidential or commercially-sensitive information obtained in the exercise of functions under the Act, subject to enumerated exceptions, and prescribes a penalty of 120 penalty units (s 19C).

Definitions and cross-references. The Act builds heavily by reference. Key definitions appear in s 3. The Act imports definitions and institutional references from the Circular Economy (Waste Reduction and Recycling) Act 2021, the Environment Protection Act 2017, the Public Administration Act 2004, the Privacy and Data Protection Act 2014, and other laws. The meaning of terms such as “government agency”, “Head, Recycling Victoria”, “waste”, “de‑identified” and “commercially‑sensitive information” are set by s 3 or by cross-reference (s 3; see definitions inserted or amended by later Acts cited in the table of amendments).

Regulations and delegated law. The Act gives broad rulemaking power to the Governor in Council to make regulations “for or with respect to anything required or permitted by this Act to be prescribed” and expressly permits regulations to confer discretionary authority, impose duties on specified classes of person, exempt classes of persons, and to adopt material from other instruments (s 19D(1)-(2)).

Transitional continuity. The Act makes Sustainability Victoria the successor in law to two predecessor entities and preserves references, instruments and transferred employees’ terms and entitlements (ss 21-22, 27). Employees of EcoRecycle Victoria are re‑classified as employed under the Public Administration Act from the “relevant day” with continuity of service and entitlements preserved (s 22).

Taken together, these concepts show the Act functioning as both an administrative establishment and a statutory coordination mechanism with powers to collect and share information, to be directed by the Minister, and to operate within broader environmental and waste legislation through cross-agency cooperation.

The Act identifies several groups directly affected by its establishment, and creates potential downstream effects for others.

Sustainability Victoria and its officers. The primary affected entity is Sustainability Victoria itself, established by s 5. Members and the Chair are appointed by the Minister (s 9(2), (5)), serve up to five years and are subject to removal by the Minister (s 10(1)(a), (e)). The Chief Executive Officer is appointed with Ministerial approval and is responsible to Sustainability Victoria for carrying out its functions (s 15). Employees are employed under Part 3 of the Public Administration Act 2004 (s 17). Those governance arrangements place legal duties and procedural obligations on board members, the CEO and staff.

Minister and Department. The Minister gains formal supervisory tools. The Minister can issue written directions that Sustainability Victoria must comply with (s 18) and must approve the organisation’s business plan (s 19(1)-(2)). The Department of Energy, Environment and Climate Action is referenced in the definitions (s 3) and the Act requires Sustainability Victoria to work “in conjunction with the Department” on policy matters (s 7(l)). These provisions directly involve ministerial and departmental decision‑makers in setting and approving priorities, budgets and compliance expectations.

Transferred employees and predecessor bodies. The Act declares that Sustainability Victoria succeeds the Sustainable Energy Authority Victoria and EcoRecycle Victoria (s 21) and repeals the Sustainable Energy Authority Victoria Act 1990 (s 27). Transferred employees (those who were EcoRecycle employees immediately before the relevant day) are treated as employed under the Public Administration Act with continuity of service and entitlements preserved (s 22(1)-(5)). Those employees and their unions or representatives are affected by the reclassification and by any subsequent changes to their terms under general employment law (s 22(6)).

Government agencies and prescribed entities. Part 2A authorises information sharing and allows Sustainability Victoria to request information from “relevant entities” defined to include government agencies and prescribed persons or classes (s 19A(2)-(3); s 19B(3)). The definition of “government agency” in s 3 (as inserted by amendment) lists the Environment Protection Authority, councils, the Municipal Association, Alpine Resort Management Boards, the Head, Recycling Victoria and other prescribed public sector bodies. Those entities are the direct targets of information sharing notices under s 19B. They are obliged to respond to notices to the extent set out in the notice and in regulations (s 19B(1)-(2)).

Local government, Alpine Resorts and industry. The Act’s functions require engagement with local government and the waste industry. The Minister must appoint at least two members with skills in waste management within local government and two with skills relating to the waste industry (s 9(3)(b)-(c) prior amendment references); the Act now explicitly directs Sustainability Victoria to advise councils, Alpine Resorts Victoria and businesses on best practices for waste, recycling or resource recovery services in conjunction with the Head, Recycling Victoria (s 7(o)). Councils, Alpine Resorts and businesses will therefore face Sustainability Victoria’s advisory and information initiatives, and may be recipients of information sharing notices.

Businesses and persons with information. Businesses and persons whose data is required for Sustainability Victoria’s functions may be affected because s 19A authorises the collection, use and disclosure of “any information” necessary to perform the functions of this Act or to exercise powers under this or other Acts. The Act contains a confidentiality protection and an offence for unauthorised disclosure (s 19C), but also broad exceptions allowing disclosure to law enforcement and oversight bodies (s 19C(2)(i)) and disclosure where aggregated and de‑identified (s 19C(2)(h)).

Regulatory and oversight bodies. A range of oversight bodies are expressly incorporated into the disclosure exceptions (s 19C(2)(i)): the Head, Recycling Victoria; the Environment Protection Authority; Victoria Police; the Australian Federal Police; the Victorian WorkCover Authority; IBAC; the Victorian Inspectorate; the Ombudsman; and the Auditor‑General. These agencies are potential recipients of information flowing from Sustainability Victoria and so are affected operationally and legally.

The public. The Act requires Sustainability Victoria to make its business plan available for public inspection at its principal place of business and to publish it on the Internet (s 19(5)). That creates a transparency mechanism affecting public access to the organisation’s objectives and budgets. Members of the public with interests in waste, recycling, energy efficiency and resource use may therefore use that public availability to assess Sustainability Victoria’s priorities.

Persons holding confidential or commercially-sensitive information. Section 19C makes it an offence to disclose confidential or commercially-sensitive information obtained under the Act, subject to exceptions. This creates compliance obligations and potential criminal exposure for staff, members, contractors and recipients of such information.

In short, the Act affects the statutory body and its internal governance, Ministerial and departmental actors, transferred employees from predecessor bodies, a range of government agencies and local authorities that are potential targets of information notices, businesses and other providers of data, oversight and enforcement agencies that are exceptions to confidentiality protections, and the public through required transparency of business plans.

The Act creates concrete duties for Sustainability Victoria, its members and third parties, and confers a set of rights and capacities that enable the organisation to act.

Duties of Sustainability Victoria. Sustainability Victoria has a primary duty to ensure its objective is met “to the maximum extent that is practicable” and to perform the catalogue of functions in s 7. Those functions carry operational duties: for example, to provide information and advice on environmental sustainability and energy efficiency (s 7(d)-(e)); to promote waste avoidance, reduction and recycling (s 7(g)); to develop implementation strategies for Government policy objectives (s 7(k)); to develop tools to measure, monitor and report on government waste, water and energy targets (s 7(r)); and to provide support to the Head, Recycling Victoria (s 7(n)). The Act imposes an annual planning and budgeting duty: prepare and submit a draft business plan for the next three years with financial projections and budget for the next financial year; amend as required by the Minister and submit a final business plan (s 19(1)-(2)). Sustainability Victoria must not depart significantly from its budget without the Minister’s approval (s 19(3)) and must have regard to its current business plan in carrying out functions (s 19(4)).

Compliance with Ministerial directions. The Minister may issue written directions to Sustainability Victoria and the organisation must comply with them (s 18(1)-(2)). This is an express statutory duty that places the organisation within a Ministerial supervisory framework.

Information collection and disclosure duties. Part 2A empowers and implicitly obliges Sustainability Victoria to collect, use and disclose information necessary to perform its functions and to exercise its powers (s 19A(1)). The Act also enables Sustainability Victoria to issue written “information sharing notices” to request information from “relevant entities” at specified intervals (s 19B(1)). Where such notices are issued, the recipient will be obliged to provide the information specified in the notice in the intervals set by the notice; the notice must contain any prescribed information and be in the prescribed form (s 19B(2)). The Act thus creates an administrative duty on recipients of properly constituted notices to comply with disclosure requirements imposed by Sustainability Victoria within the statutory and regulatory framework.

Confidentiality obligations and limits. A duty not to disclose confidential or commercially-sensitive information obtained under or in connection with the Act is imposed by s 19C(1) with a penalty. However, s 19C(2) lists multiple exceptions where disclosure is permitted, including disclosures in the exercise of powers under this or other Acts, with consent of the person to whom the information relates, to courts, to legal practitioners for legal advice, to a list of enforcement and oversight agencies, or where information is aggregated and de‑identified (s 19C(2)(a)-(l)). Those exceptions limit the practical scope of the confidentiality duty.

Duties on members. Members are under a statutory duty to disclose direct or indirect pecuniary interests as soon as practicable (s 12(1)), to disclose potential conflicts arising from offices or property (s 12(2)), and, having disclosed, to refrain from further discussion or voting on the matter (s 12(4)). The presiding officer must record disclosures and voting details in minutes (s 12(3)). A vote cast in contravention of the abstention duty must be disallowed (s 12(5)). Members also are subject to other requirements of the Public Administration Act as applied by s 10(1)(f).

Rights and capacities of Sustainability Victoria. As a body corporate, Sustainability Victoria has the legal capacities and rights of a corporation: to acquire, hold and dispose of property; to sue and be sued in its corporate name; to hold intellectual property (s 5(2); s 8(2)). It may enter into agreements, including agreements to provide financial assistance (s 7(s)). It has statutory delegation powers to delegate functions to the Chair, members, CEO or employees (s 14), and the CEO may delegate responsibilities to employees (s 16). The Act also protects acts and decisions from invalidation due to membership vacancies or defects in appointment (s 13).

Rights of the public and transparency duties. The Act requires Sustainability Victoria to make its current business plan available for public inspection at its principal place of business and to publish the plan on the Internet (s 19(5)). That is a positive transparency duty creating a public right to inspect its plan and objectives.

Transfer and employment rights. Transferred employees are to be regarded as having been employed under the Public Administration Act from the relevant day and to have accrued equivalent entitlements, with continuity of service preserved (s 22(1)-(2), (5)). That gives the transferred employees statutory protection for their employment entitlements and continuity.

Enforcement and oversight rights. The Act’s confidentiality exceptions permit disclosures to oversight bodies such as IBAC, the Victorian Inspectorate, the Ombudsman and the Auditor‑General (s 19C(2)(i)). Those agencies thereby gain access rights to information held by Sustainability Victoria for investigatory or oversight purposes.

In sum, the Act imposes operational duties on Sustainability Victoria to plan, to provide advice and monitoring, to collect and request information, and to comply with Ministerial direction. It imposes fiduciary-style duties on members to disclose conflicts, creates confidentiality obligations (with detailed exceptions), and confers corporate rights and delegation mechanisms that enable the organisation to act in markets and to enter into agreements.

The Act contains one explicit criminal penalty and several other mechanisms that enforce compliance through administrative controls, statutory obligations and delegated rules.

Criminal penalty for unauthorised disclosure. Section 19C(1) creates an offence: a person must not disclose any confidential information or commercially‑sensitive information obtained during the exercise of a power or performance of a function or duty under, or in connection with, this Act or the regulations except in accordance with Part 2A. The penalty is 120 penalty units. The Act then lists a suite of exceptions in s 19C(2), which include disclosure in the exercise of a power under this or any other Act, with consent of the affected person, to courts or by court order, to legal practitioners for legal advice, to a comprehensive list of named agencies (Head, Recycling Victoria; the Environment Protection Authority; Victoria Police; AFP; Victorian WorkCover Authority; IBAC; the Victorian Inspectorate; the Ombudsman; the Auditor‑General), disclosure where information is aggregated and de‑identified, disclosure necessary for research without personal information, and disclosures to prevent or minimise serious risks to waste services, human health or the environment (s 19C(2)(a)-(l)). The statutory offence therefore creates a compliance burden on persons handling such information and provides enforcement teeth for unauthorised disclosures outside the enumerated exceptions.

Ministerial direction and business plan controls. The Act enforces administrative control via s 18 and s 19. The Minister may issue written directions and Sustainability Victoria must comply (s 18(1)-(2)). Sustainability Victoria must submit a draft business plan, amend it if required by the Minister and submit a final business plan for approval (s 19(1)-(2)). It may not significantly depart from its budget without the Minister’s approval (s 19(3)). These provisions are administrative enforcement mechanisms: non‑compliance would result in Ministerial corrective action, and could have practical consequences (funding, removal of members, or other administrative responses) though the Act does not specify a monetary penalty here.

Delegation and procedural validation. The Act permits delegation of functions by Sustainability Victoria under an instrument under its common seal (s 14) and by the CEO to employees by instrument (s 16). Procedurally, the requirement for instruments under the common seal and the requirement that the common seal be used only as approved by Sustainability Victoria (s 5(3)) imposes internal control over delegation. The courts must take judicial notice of the common seal (s 5(4)), which streamlines evidentiary proof of delegation instruments.

Information sharing notices and regulatory backing. Section 19B authorises Sustainability Victoria to issue written notices requesting information from relevant entities, specifying the intervals and containing any prescribed information in the prescribed form. The statutory requirement that notices be in prescribed form (s 19B(2)) suggests that regulations will provide procedural and compliance rules. The regulations power (s 19D) allows the Governor in Council to prescribe offences, duties or processes in regulations and to confer discretionary authorities or exemptions. Enforcement of notices therefore flows from the notice mechanism backed by regulation and potential administrative remedies.

Members’ disclosure regime. The member disclosure regime in s 12 includes an administrative sanction in that votes taken in contravention of the prohibition on participating after disclosure must be disallowed (s 12(5)). The Minister must remove a member who becomes insolvent under administration, is convicted of an indictable offence or imprisoned, or fails to comply with s 12 (s 10(2)). Those are immediate statutory removal triggers and represent direct enforcement measures affecting membership.

Employment and public sector controls. Employees are to be employed under the Public Administration Act (s 17), which provides its own disciplinary, investigatory and enforcement mechanisms. Transferred employees retain their entitlements and are subject to normal employment law changes thereafter (s 22(6)), which implies enforcement through employment law processes.

Oversight and investigatory access. The Act explicitly permits disclosure to oversight and enforcement bodies (s 19C(2)(i)). That grants those agencies access rights to investigate suspected misconduct or systemic failures, enabling enforcement through existing agencies’ powers.

Regulatory reach and penalties in delegated instruments. Section 19D permits regulations to confer discretionary authorities, impose duties, prescribe exemption classes and adopt external materials. The regulations could therefore create additional offences, penalties or compliance mechanisms that are not in the primary Act. The Act itself does not list other monetary penalties besides s 19C(1), so enforcement beyond that relies on ministerial and regulatory instruments and on cross-referenced Acts.

In practice, the Act enforces compliance by combining (1) a statutory confidentiality offence with a substantial penalty, (2) Ministerial supervisory powers over planning and direction, (3) statutory triggers for member removal, (4) delegated regulatory prescription powers that can create further compliance obligations and penalties, and (5) the involvement of other enforcement or oversight agencies through disclosure exceptions.

The Act intentionally cross-references and integrates with multiple other statutes and institutions. Those cross‑references create legal interactions and, in places, potential tension that practitioners should note.

Direct cross-references and institutional links. The Act imports definitions and institutional roles from a range of statutes through s 3. These include the Circular Economy (Waste Reduction and Recycling) Act 2021 (Head, Recycling Victoria; waste, recycling or resource recovery service definitions referenced in s 3 and reflected in s 7(n), (o)), the Environment Protection Act 2017 (definition of waste and the Environment Protection Authority), the Public Administration Act 2004 (employment of staff and application of public service rules; ss 17 and 22), the Privacy and Data Protection Act 2014 (definition of personal information), the Independent Broad‑based Anti‑corruption Commission Act 2011 (definition of IBAC), the Ombudsman Act 1973, the Audit Act 1994 (Auditor‑General), the Victorian Inspectorate Act 2011, the Alpine Resorts (Management) Act 1997, and the Electricity Industry Act 2000 (a Ministerial nominee requirement in s 9(3)(a)). Those references mean that rights, obligations and definitions in those Acts govern aspects of Sustainability Victoria’s operation. For example, staff employment matters are governed by the Public Administration Act 2004 by virtue of s 17.

Information sharing and privacy. Part 2A integrates Sustainability Victoria with other legislative frameworks for waste and environment by explicitly allowing the collection, use and disclosure of information necessary to perform functions under this Act, the Circular Economy Act 2021 and the Environment Protection Act 2017 (s 19A(1)). The Act’s definition of “personal information” points to the Privacy and Data Protection Act 2014 (s 3), which means that, even where s 19A permits collection and use, other data protection obligations may apply. Section 19C creates an offence for unauthorised disclosure but provides an exception for de‑identified aggregated disclosures (s 19C(2)(h)), and an exception for disclosure to a government agency where necessary for research provided the information does not include personal information (s 19C(2)(k)). Practitioners therefore need to navigate the interaction between s 19A’s permissive collection powers and separate privacy law constraints on personal data use and disclosure.

Regulatory and delegated law. The Act grants the Governor in Council power to make regulations (s 19D). Those regulations may prescribe procedural forms for information sharing notices (s 19B(2)) and can confer duties or exemptions, adopt external standards and create classes of persons for regulatory application (s 19D(2)(c)-(f)). The regulations regime can therefore implement and operationalise inter‑Act interactions by specifying how information requests interface with other statutory regimes.

Ministerial oversight and other statutes. The Minister’s power to give directions and approve business plans (ss 18-19) may intersect with obligations set out in other legislation. For example, where Sustainability Victoria is performing functions in relation to the Circular Economy Act 2021 or the Environment Protection Act 2017, ministerial direction under this Act may interact with duties or objectives in those Acts; the Act does not state a hierarchy, but s 19A(1) is “subject to anything to the contrary in this Act or any other Act”, signalling that other Acts may limit or shape the information powers.

Employment law and continuity. The transitional provisions (s 22) treat transferred employees as employed under the Public Administration Act from the relevant day and preserve accrued entitlements and continuity of service. The Act also preserves references to predecessor bodies in other Acts (s 21(2), s 27(3)), which maintains legal continuity across the legislative landscape.

Disclosure to enforcement and oversight bodies. Section 19C(2)(i) permits disclosure to an enumerated list of agencies including Victoria Police, AFP, IBAC, the Victorian Inspectorate, the Ombudsman and the Auditor‑General. That integration provides a statutory pathway for inter‑agency cooperation and cross‑Act investigations.

Interpretation conduits. Section 27(4) expressly reserves the Interpretation of Legislation Act 1984, which governs statutory interpretation and consequential references. The Act’s endnotes also reference interpretation rules about headings, examples and punctuation, which affect how cross‑references and examples are read.

Potential friction points. The Act’s permissive language in s 19A allowing the collection, use and disclosure of “any information” necessary to perform functions, together with the overlay of privacy law, creates compliance questions about when information sharing is lawful. The confidentiality offence in s 19C must be read with the privacy and data protection regime referenced in s 3. The Minister’s direction power (s 18) may affect how Sustainability Victoria exercises functions under other Acts, and those interactions are not exhaustively spelled out in the Act.

Overall, the Act operates as an integrating statute: it embeds Sustainability Victoria into an existing suite of environmental, waste, public administration and oversight laws by cross‑reference, by creating statutory channels for information exchange with named agencies, and by empowering regulations to adopt or modify external documents and standards for practical operation.

The Act has been amended multiple times since its 2005 enactment. The endnotes provide a table of amendments listing each amending Act, assent date and commencement where relevant. The notable amendments and their mechanical effects as recorded in the text include the following.

Public Sector and appointment matters. The Public Sector Acts (Further Workplace Protection and Other Matters) Act 2006 (No. 80/2006) introduced amendments that affected the Act; the endnote records commencement of those items on 11 October 2006. Specific textual evidence of amendment in the main body includes the insertion in s 10(1)(f) that members are “subject to the Public Administration Act 2004 (other than Part 3 of that Act)”, which was inserted by the 2006 Act (see s 10(1)(f) as amended).

Membership composition and skills. The Environment Protection and Sustainability Victoria Amendment Act 2014 (No. 20/2014), assented to 1 April 2014 and commencing certain provisions on 1 August 2014, amended s 9. The table of provisions indicates s 9(3)(b) and (c) were substituted and s 9(4) was amended, with the Minister required to ensure that collectively members have skills across environment, marketing, change management, business management, education, behavioural change, energy and resources and regional and rural affairs (s 9(4)(b) as inserted). The endnotes flag these specific changes.

Waste and circular economy integration. The Environment Protection Amendment Act 2018 (No. 39/2018) and the Circular Economy (Waste Reduction and Recycling) Act 2021 (No. 55/2021) introduced changes linked to waste definitions and Sustainability Victoria’s role in circular economy coordination. The 2018 Act amended the definition of “waste” in s 3 to align with the Environment Protection Act 2017; commencement for that amendment is recorded as 1 July 2021. The 2021 Circular Economy Act resulted in insertion and substitution in s 7, adding functions requiring Sustainability Victoria to provide information, advice and support to the Head, Recycling Victoria under that Act, and to assist the Head in developing strategies to foster sustainable markets (see s 7(n) and (o) as substituted by No. 55/2021 s 211). The table of amendments confirms s 211 commenced on 1 July 2022.

Alpine resorts and local government. The Alpine Resorts Legislation Amendment Act 2022 (No. 9/2022) made targeted amendments, including the insertion in s 3 of definitions such as Alpine Resort Management Board and changes in s 7(o) to require advice to Alpine Resorts Victoria and businesses (commencement details indicate s 43 on 1 October 2022).

Environment Legislation Amendment (Circular Economy and Other Matters) Act 2022. This Act (No. 36/2022) inserted Part 2A (ss 19A-19C) and s 19D (Part 2B) into the Sustainability Victoria Act, creating the information sharing powers, the information sharing notice mechanism, and the unauthorised disclosure offence with exceptions. The endnotes record commencement of ss 76-78 on 1 June 2023, and the main text includes notes such as “Pt 2A (Heading and ss 19A-19C) inserted by No. 36/2022 s. 78.”

Statute Law Revision and machinery changes. The Statute Law Revision Act 2011 (No. 29/2011) repealed certain transitional sections (ss 23-26) and made other technical updates. The Statute Law Revision Act 2025 (No. 41/2025) updated the Department definition in s 3 to the Department of Energy, Environment and Climate Action and has a commencement date of 22 October 2025 for that item.

Other amendments. The Motor Car Traders Amendment Act 2008 (No. 4/2008) affected s 10(2)(a) as indicated in the table of amendments. Other changes and insertion of definitions (Auditor‑General, IBAC, Victorian Inspectorate, de‑identified, commercially‑sensitive information) were effected by No. 36/2022 s 76(a) and related provisions.

Transitional continuity. The 2005 Act itself provided transition arrangements and repeal of the Sustainable Energy Authority Victoria Act 1990 (s 27), and the endnotes record the original commencement dates and the Government Gazette notices for 2005.

Mechanically, the amendment history shows a shift over time to integrate Sustainability Victoria more closely with the state’s circular economy and environment protection framework, to expand information sharing powers, to modernise definitions and to reallocate roles vis‑à‑vis new offices such as the Head, Recycling Victoria. The explicit insertions of Part 2A and s 19D are particularly consequential, adding statutory information collection and disclosure powers and creating a legal framework for sharing with a regulated class of entities.

For practitioners, the amendment history demonstrates that key functional authorities of Sustainability Victoria, especially in waste and information sharing, are the result of later amendments that connect the Act to the Circular Economy Act 2021 and the Environment Protection Act 2017. The table in the Act’s endnotes is the authoritative source for commencement dates and amending instruments, and should be consulted for precise timing and transitional application in any compliance or litigation context.

The text provided contains no named cases or reported litigation under the Sustainability Victoria Act 2005, and the endnotes do not record any litigation history. The Act’s endnotes, the table of amendments and the explanatory details list amending Acts and legislative history but do not cite judicial decisions. Accordingly, there is no case law reported in the source material that interprets the Act.

Absent specific judicial authorities in the provided text, it is still possible to identify the provisions that are likely to give rise to litigation or administrative review because they create legal obligations, regulatory discretions and new offences. The provisions that could generate disputes include:

• Information sharing powers and confidentiality (ss 19A-19C). Enforcement of the offence in s 19C for unauthorised disclosure and disputes about whether a particular disclosure falls within one of the many exceptions could lead to criminal prosecutions or judicial review of administrative decisions. Questions may arise about the scope of “confidential information”, the meaning of “commercially-sensitive information”, whether the disclosure was “obtained… during the exercise of a power or performance of a function or duty under, or in connection with, this Act”, and whether statutory exceptions apply.

• Information sharing notices (s 19B). Litigation could arise from disputes about whether a notice is properly constituted (contains prescribed information, is in the prescribed form and specifies appropriate intervals), whether the recipient is a “relevant entity” as defined, and whether an entity is legally obliged to comply with a notice. Challenges could be brought through judicial review on administrative law grounds if recipients claim that a notice is beyond the issuer’s powers or is procedurally defective.

• Ministerial direction and business plan approval (ss 18-19). Disputes could occur where Sustainability Victoria resists or challenges the exercise of Ministerial directions or required amendments to its business plan, raising questions of statutory authority and reasonableness. The Act expressly requires compliance, and practical disputes may instead be resolved through Ministerial or administrative processes rather than litigation, but judicial review of excessive or unlawful directions could be contemplated.

• Member removal and conflict of interest (ss 10, 12). The statutory obligation for members to disclose conflicts and for the Minister to remove members under specified grounds (s 10(2)) could generate disputes about whether a member failed to comply with s 12, whether the Minister properly removed a member, and whether removal was procedurally fair.

• Employment continuity and transferred employees (s 22). Transferred employees may seek judicial determination of entitlements, continuity of service, or disputes about superannuation treatment although s 22(5) states that superannuation entitlements are to be taken not to be affected. Section 22(4) provides a certificate by the Secretary as conclusive proof of employment status, which limits litigation on some factual points but could generate arguments about legal effect.

• Interaction with privacy and data protection laws. Conflicts between s 19A’s authorisation to collect “any information” necessary to perform functions and separate obligations under the Privacy and Data Protection Act 2014 could produce legal contestation about the permissible scope of data collection and disclosure, particularly where personal information is implicated. Litigation could involve interpretation of how those regimes fit together.

• Delegation and validity of acts (ss 13-16). Challenges to decisions made by persons purporting to act under delegation could raise issues about the formality of delegation instruments, compliance with the common seal requirement for delegations under s 14, and whether acts are invalid due to defective appointment or delegation. Section 13 attempts to protect decisions from invalidation but disputes could still arise about the limits of that protection.

Although the Act itself contains safeguards such as s 13 validating actions despite appointment defects and s 22(4) providing conclusive certificates about transferred employees, those provisions do not eliminate all litigation risk where legal questions about statutory interpretation, administrative law standards, privacy conflicts or criminal culpability for disclosure arise.

Practitioners should therefore search external case law databases and tribunal decisions for any post‑enactment litigation, particularly on s 19C offences, information sharing notices and Ministerial directions, to obtain up‑to‑date interpretative guidance. The Act as provided does not include that litigation history; any assertion about judicial interpretation would require consulting judgments outside the supplied text.

The Act contains a number of provisions and drafting features that create practical pitfalls, compliance traps and delegation risk that advisers should flag explicitly.

Broad information powers combined with privacy cross‑references. Section 19A authorises Sustainability Victoria to “collect, use or disclose any information” necessary to perform its functions or to exercise powers under this and other Acts. That language is very broad. At the same time the Act imports the definition of “personal information” from the Privacy and Data Protection Act 2014 (s 3). The interplay of a broad collection power with privacy law means that entities responding to information sharing notices must carefully assess whether the information sought includes personal information and how privacy protections apply. The exception in s 19C(2)(k) allows disclosure for research if it does not include personal information, but the Act does not define the threshold for de‑identification beyond the inserted definition in s 3. Missteps can risk the 120 penalty unit offence in s 19C(1).

Criminal penalty with many operational exceptions. Section 19C(1) prescribes a substantial penalty for unauthorised disclosure of confidential or commercially‑sensitive information. However, s 19C(2) contains wide exceptions including disclosures to a long list of agencies (police, AFP, IBAC, the Ombudsman, Auditor‑General, the Environment Protection Authority, WorkCover, and others), disclosures made in the exercise of powers under other Acts, and disclosures for preventing harm to services or the environment. Practitioners need to understand both sides: the existence of a large penalty increases compliance stakes, while the many exceptions create uncertainty about when a disclosure is or is not unauthorised. Determining whether a disclosure is authorised by another Act is a legal question that may require advice.

Prescribed forms and delegated regulation risk. Information sharing notices must contain any prescribed information and be in the prescribed form (s 19B(2)). The Act gives broad regulatory powers (s 19D) to make regulations that can vary by time, place or circumstance, confer discretionary authority, exempt classes of persons, and adopt external documents. That structure places a lot of implementation detail in delegated instruments. It would be a mistake to assume the Act alone governs compliance; practitioners must consult the regulations and any prescribed forms to determine obligations.

Ministerial control over plan and budget. The Minister may issue directions that Sustainability Victoria must follow (s 18) and must approve its business plan (s 19). The organisation cannot depart significantly from its budget without the Minister’s approval (s 19(3)). For stakeholders, this means that formal independence is constrained by express statutory Ministerial powers. Be cautious about relying on a governance structure that appears independent; Ministerial control has statutory weight.

Membership removal power. The Minister may remove a member at any time (s 10(1)(e)) and must remove a member for insolvency, conviction of an indictable offence or failure to comply with the conflict rules (s 10(2)). Those removal provisions create potential for abrupt governance change. For prospective members, the combination of Ministerial discretion to remove and strict disclosure duties in s 12 is a compliance risk.

Delegation formalities. Delegations by Sustainability Victoria must be made by an instrument under its common seal (s 14). The CEO’s delegations require instruments (s 16). A failure to observe the common seal or formal instrumental requirements may raise challenges, though s 13 seeks to validate acts despite defects in appointment. Nonetheless, ensure delegations are properly sealed and recorded to reduce risk.

Public availability and commercial sensitivities. The business plan must be available for public inspection and published on the Internet (s 19(5)). For parties negotiating with Sustainability Victoria or providing commercially‑sensitive information, this creates a potential reputational and commercial exposure. The Act protects confidential information, but parties should be mindful how their information might feature in a business plan or in public reporting tools developed under s 7(r).

Transfer of staff and conclusive secretary certificates. Section 22 preserves continuity of transferred employees’ entitlements and provides a certificate by the Secretary as conclusive proof of employment status (s 22(4)). While this certificate limits disputes about the fact of employment transfer, it does not eliminate disputes about evolving terms or subsequent changes. Also, s 22(3) clarifies that transferred employees are not entitled to payment merely because they ceased to be EcoRecycle officers due to the Act,avoid assuming transfers trigger redundancy payments.

Ambiguity in “relevant entity” and “prescribed” classes. The Act frequently relies on prescribed persons, entities or classes (s 19A(3), s 19B(3)). Until regulations or proclamations define those classes, the practical scope of the information sharing regime can be uncertain. Parties should watch subordinate instruments to know whether they will fall within the “relevant entity” definition.

Exception breadth to enforcement and oversight agencies. The list in s 19C(2)(i) of agencies to which disclosure is permitted is long and includes investigative bodies. Information provided to such agencies may be used in enforcement or investigations under other Acts. Providers of information should anticipate possible onward disclosure and legal uses by those agencies.

Regulations may adopt external standards. Section 19D(2)(f) allows regulations to apply, adopt or incorporate documents, codes, standards or methods published by other bodies. This creates a risk that standards developed outside parliament may be given statutory effect by regulation. That may import technical or compliance obligations that industries must monitor.

In short, the key gotchas are: broad information powers balanced by privacy law and a significant confidentiality penalty, dependence on regulations and prescribed forms for crucial procedural detail, strong Ministerial control over planning and budgets, formal delegation and sealing requirements, and the potential for disclosures to a wide set of enforcement agencies. Practitioners should treat the Act as a framework statute whose practical contours will often be set by subordinate instruments and by inter‑Act litigation or administrative interpretation.

Compliance under the Act requires managing governance duties, information handling, Ministerial and planning obligations, employee relations and interactions with prescribed regulations. Below are concrete steps and practices linked to specific provisions.

Governance and board processes

• Ensure appointment instruments and terms for members do not exceed five years and comply with Ministerial conditions (s 10(1)(a)-(b)). Track reappointment windows and resignation routes (s 10(1)(c)-(d)).
• Implement a formal conflicts register and disclosure procedure at every meeting to comply with s 12: require immediate disclosure of direct or indirect pecuniary interests and record the nature of interest and who voted on the matter in minutes (s 12(1), (3)).
• When a member discloses under s 12, ensure the member takes no further part in discussion or voting (s 12(4)). If a contravention occurs, disallow the vote as required by s 12(5).

Ministerial directions and business planning

• Build business plan submission processes to meet Ministerial timelines and to allow rapid amendment where the Minister requires changes (s 19(1)-(2)). Keep document traces of Ministerial feedback and Sustainability Victoria’s amendments.
• Treat the approved business plan as binding for internal budgeting. Obtain written Ministerial approval before any significant budget departure (s 19(3)). Keep records demonstrating “regard” to the current business plan when carrying out functions (s 19(4)).
• Publish the current business plan on the organisation’s website and make it available for inspection at the principal place of business as required by s 19(5).

Information handling, sharing and notices

• Maintain a legal register and policy aligned with Part 2A: before collecting or disclosing information, identify whether the information is “personal information” (s 3), “commercially‑sensitive information” (s 3), or “confidential information” for s 19C purposes.
• If issuing or receiving an information sharing notice (s 19B), check that the notice contains any prescribed information and is in the prescribed form; ensure the intervals specified are feasible to operationalise (s 19B(2)). If acting as a recipient, designate a compliance officer to validate the notice against regulations and to coordinate responses.
• Use data governance controls for de‑identification where aggregated disclosure is intended. The Act permits aggregated, de‑identified disclosure (s 19C(2)(h)), but the organisation must ensure de‑identification standards meet the statutory meaning. Maintain technical documentation proving de‑identification for auditability.
• Create disclosure protocols that reference the enumerated exceptions in s 19C(2) so staff can rapidly determine whether a proposed disclosure is lawful. For disclosures to oversight or enforcement agencies, require written requests and legal sign‑off given the broad exceptions (s 19C(2)(i)).

Confidentiality and criminal risk management

• Train employees, members and contractors about the s 19C offence and the 120 penalty unit risk. Implement contract clauses prohibiting unauthorised disclosure and requiring notification if requests are received from enforcement agencies or third parties.
• For commercially‑sensitive or confidential information provided by third parties, secure confidentiality agreements and document the legal basis for any sharing, particularly where the organisation will disclose such data internally or to agencies under s 19C(2) exceptions.

Delegation and sealing formalities

• Ensure any delegation by Sustainability Victoria under s 14 is made by instrument under the common seal and is properly recorded in the instrument register. The same applies for CEO delegations under s 16. Maintain a delegation matrix and published instruments to demonstrate compliance.
• Keep minutes and records showing the common seal’s approval and use (s 5(3)-(4)).

Employment and transferred employee compliance

• For transferred employees, maintain documentation evidencing continuity of service and entitlements as required by s 22. Use the Secretary’s certificate (s 22(4)) where procedural proof of status is required in disputes or proceedings.
• Apply the Public Administration Act employment rules for staff under s 17 and ensure human resources processes align with Part 3 of that Act.

Regulations and subordinate instruments

• Monitor the regulations made under s 19D closely because they will prescribe forms, classes of prescribed persons, exemptions and possibly new duties. Maintain a tracker for commencement dates and regulatory instruments that affect information sharing, notice content and compliance obligations.
• Where regulations adopt external standards (s 19D(2)(f)), maintain a compliance mapping that links those standards to operational procedures and procurement specifications.

Interaction with other agencies and laws

• Coordinate with the Head, Recycling Victoria, the Environment Protection Authority and local councils as required by s 7(n)-(o) and s 3 definitions. Enter into memoranda of understanding where ongoing data exchange or technical collaboration is anticipated.
• For activities implicating personal information, consult the Privacy and Data Protection Act 2014 and obtain legal advice before collecting, storing or sharing personal information. Document lawful bases for processing under s 19A and any supporting regulation.

Recordkeeping and audit readiness

• Keep auditable records of all information sharing notices issued or received, minutes of decisions about disclosures, legal advice obtained, de‑identification methods used, and any Ministerial directions received or complied with.
• Given the ability of oversight bodies to receive disclosures under s 19C(2)(i), retain a compliance file for any disclosures made to those agencies to support any future inquiries or legal processes.

Practical implementation checklist

• Appoint a nominated Privacy and Information Sharing Officer and a Board Secretary to manage s 12 disclosures, s 19B notices and Ministerial communications.
• Establish standard operating procedures for responding to s 19B notices within the prescribed timelines and forms.
• Draft template instruments of delegation and confirm the process for applying the common seal.
• Conduct staff training on s 19C, confidentiality obligations and exceptions.
• Maintain a regulatory watch on instruments made under s 19D and updates to definitions in s 3.

Following these concrete steps aligned with the Act’s text will mitigate legal and operational risk, support compliance with Ministerial and statutory duties, and ensure that information sharing occurs within the Act’s prescribed legal architecture.
