State Trustees (State Owned Company) Act 1994

Central concepts in the Act define both who acts and how. The Act defines State Trustees as State Trustees Limited (s 3). The Act’s stated purpose is conversion to a company structure while preserving trustee functions and enabling public-service provision (s 1). Key doctrinal and operational concepts follow.

Represented person, executor and administrator: the Act treats “represented person” as the meaning fixed in the Guardianship and Administration Act 2019, and ties State Trustees’ appointment as administrator to that Act (s 3; s 19(a)(i)). State Trustees may act as executor where named in a will and may apply for administration where no other person is able and ready (s 4-5). The transfer of predecessor rights and liabilities to State Trustees on commencement is express (s 25).

Trust management and advisory trustees: the Act permits State Trustees to be sole trustee or co-trustee regardless of trust instrument numerosity rules unless expressly prohibited (s 8). It separately permits appointment of advisory trustees (s 9). When advisory trustees are present, the trust property vests in State Trustees and State Trustees retains sole management and administration; advisory trustees are not liable for acts of State Trustees (s 9(3)(a)-(b)). Disputes between State Trustees and advisory trustees can be brought to the Supreme Court in a summary manner (s 9(3)(e)). Persons dealing with State Trustees need not enquire into an advisory trustee’s concurrence or otherwise (s 9(3)(f)).

Financial operations and consumer protections: State Trustees may make advances to beneficiaries or represented persons in necessitous circumstances from its general account; interest is capped (s 10(1)-(2)). Section 13 expands State Trustees’ fee-earning activities to specific estate services , genealogical services, financial planning, informal administrations and administrations under the Guardianship and Administration Act 2019 , and includes legal services subject to section 14 and publication requirements (s 13(1), (2)). Section 14 restricts charging for legal services by a legal practitioner employed by State Trustees unless beneficiary approval is obtained, with specified exceptions (s 14(1)-(2)).

State liability and public backing: the Crown guarantee is a structured safety net, not an unconditional indemnity. The government guarantees satisfaction of liabilities arising from negligence, wilful default or fraud by State Trustees or its officers, but only after insurance proceeds and non-trust assets of State Trustees are insufficient, and only when State Trustees is of a corporate kind for which a declaration could be made under s 66 of the State Owned Enterprises Act 1992 (s 15(1)-(2)). The guarantee is payable from the Consolidated Fund and may be enforced under the Crown Proceedings Act 1958 (s 15(3)-(4)). The Treasurer can require a fee for the guarantee after consulting the board (s 15(5)).

Secrecy, evidentiary and third-party protections: secrecy obligations apply to those formerly or currently employed by State Trustees in relation to the estate of a represented person, with a penalty (s 17). Certificates issued by State Trustees that state it is entitled to act as personal representative or that an administration order appointing State Trustees is in force are prima facie evidence until contrary is proved (s 19). Third parties dealing with State Trustees are not required to investigate the internal powers of State Trustees (s 18).

Statutory carve-outs and continuity: the Act expressly prevents Part IX of the Trustee Companies Act 1984 applying while State Trustees remains of the state-owned-enterprise type (s 20). At the same time s 20A preserves continued application of the Trustee Companies Act 1984 to State Trustees despite later amendments, with specified exceptions (s 20A(1)-(3)). The Act also preserves duties under the repealed State Trust Act by appropriating the Consolidated Fund for outstanding liabilities and requiring maintenance of Common Fund No. 1 until existing moneys are properly applied (s 16).

Community service obligations: the Minister has responsibility for ensuring access to trustee, will-making and related services to members of the public who the Minister considers lack resources to obtain them, and must supply those services by agreement with State Trustees or other providers (ss 21-23). Part 4 only applies to those the Minister deems unable to obtain services (s 21(2)). The contracts may authorise trustee companies to charge fees under agreement notwithstanding other statutory restrictions (s 23).

Each of these concepts is enacted in statutory text rather than policy statements; the Act therefore creates a mosaic of company status, trustee powers, public service duties and limited Crown backing, with operational detail delegated to other statutes through cross-reference.

The Act allocates legal status and operating permission across several identifiable groups. The principal addressee is State Trustees Limited, defined in s 3. The Act makes State Trustees successor in law to the former State Trust and vests assets and liabilities in it on commencement (s 25(1)). That transfer changes who holds and administers estates previously under the State Trust regime.

Represented persons, beneficiaries and testators: persons for whom State Trustees acts , beneficiaries of estates, people with administration orders under the Guardianship and Administration Act 2019 and persons with wills naming State Trustees , are directly affected. The Act specifies that “represented person” carries the meaning in the Guardianship and Administration Act 2019 and that State Trustees’ administration of such estates triggers secrecy obligations (s 3; s 17). Beneficiaries are also asked to authorise legal fees (s 14(1)), and their consent or incapacity shapes whether charged legal services may be levied (s 14(2)).

Other trustee companies and private trustee service providers: Part 4 contemplates the Minister may contract with State Trustees or with another trustee company, person or body to provide services to those without resources (s 22). Section 23 expressly permits State Trustees or another trustee company to charge fees and recover disbursements under an agreement with the Minister, even if other statutory provisions might restrict charging in the absence of an agreement. That creates market opportunity for other trustee companies while also creating procurement dependency on the Minister’s decisions (ss 21-23).

Government entities: the Minister has a new statutory role responsible for ensuring access to trustee and related services for those unable to pay (s 21). The Treasurer gains an active role in risk and cost allocation through the ability to require a fee for the government guarantee after consultation with State Trustees’ board (s 15(5)). The Consolidated Fund is the funding source for guarantee payments and for any deficiency in Common Fund No. 1 preserved from the State Trust era (ss 15(3); 16(3)).

Creditors and third parties dealing with estates: the Act protects third parties dealing with State Trustees by insulating them from detailed inquiry into State Trustees’ internal powers or the concurrence of advisory trustees (ss 18; 9(3)(f)). Proper officers and equivalent foreign administrators outside Victoria who hold reciprocal arrangements with State Trustees are affected by s 12, which provides a mechanism to certify State Trustees’ authority and to transfer custody or administer property across jurisdictions subject to reciprocity agreements (s 12).

Persons employed by or advising State Trustees: directors, members, officers and employees have statutory secrecy obligations in respect of represented-person estates with a penalty attached (s 17(2)-(3)). Legal practitioners employed by State Trustees or who share remuneration with State Trustees are affected by the charging restrictions in s 14 which require beneficiary approval except in enumerated circumstances.

Insurers and other counterparties: because the government guarantee is residual (s 15(2)(a)), insurers and holders of State Trustees’ corporate assets will be first in line in the loss waterfall. State Trustees’ insurance arrangements will therefore materially affect whether the Consolidated Fund guarantee is ever triggered (s 15(2)). The Act allows State Trustees to charge for a defined set of services (s 13(1)), but requires public lodgement and publication of the scale of charges, which affects transparency for consumers and competitors (s 13(2)).

Courts and the registrar: the Supreme Court and its registrar have continuing gatekeeping roles , the Court may be the forum for summary determinations between State Trustees and advisory trustees (s 9(3)(e)), and State Trustees may apply for administration where the Court or the registrar is satisfied that no other person is ready and capable to take a grant (s 5). Certificates issued by State Trustees are prima facie evidence in court unless rebutted (s 19).

In short, the statutory design places State Trustees at the hub of estate administration, with represented persons, beneficiaries, private trustee firms, Ministers, the Treasurer, insurers, creditors and courts all having clearly defined statutory interests and procedural hooks in the Act.

The Act sets out a mixture of powers enabling State Trustees to act and obligations that shape how it exercises those powers. These are expressed as rights to act in certain capacities and duties to third parties, the Minister and the State.

Rights and powers

• Executor and administrator rights: State Trustees may be authorised to apply for probate either alone or jointly with other executors and may apply to administer estates where no other person is ready and capable to take out letters of administration (s 4-5). The Court or the registrar must be satisfied as to the unavailability of others before State Trustees may act by application (s 5).

• Trustee powers: State Trustees may be appointed or become sole trustee or co-trustee, notwithstanding any contrary trustee-number stipulation in other Acts or trust instruments unless the trust expressly bars State Trustees (s 8).

• Advisory trustee regime: State Trustees may act with advisory trustees and has sole management and administration powers when advisory trustees are involved; advisory trustees are not liable for acts of State Trustees (s 9(2)-(3)(a)-(b)). State Trustees may consult advisory trustees and may apply to the Court for appointment of new advisory trustees under the same powers any other person would have (s 9(3)(c), (h)).

• Financial and administrative powers: State Trustees may make advances from its general account to beneficiaries or represented persons in necessitous circumstances and may charge interest on advances up to the Penalty Interest Rates Act 1983 rate minus 2.5% (s 10(1)-(2)). State Trustees is entitled to charge fair and reasonable commissions, fees and recover disbursements for estate-related services, including specified services such as genealogical services, financial planning and administrations under the Guardianship and Administration Act 2019 (s 13(1)).

• Evidentiary and transactional protections: A certificate issued by State Trustees certifying its entitlement to act as personal representative or that an administration order is in force is prima facie evidence until contradicted (s 19). Persons dealing with State Trustees are protected from being concerned to see or inquire whether acts are within State Trustees’ powers (s 18).

Duties, constraints and procedural obligations

• Publication of charges: State Trustees must lodge with the Minister and cause publication in the Government Gazette of its scale of charges for the services for which it may charge (s 13(2)). This imposes an ongoing transparency duty.

• Restrictions on charging for legal services: State Trustees must not charge or recover fees for services by legal practitioners employed by or sharing remuneration with State Trustees unless beneficiaries have first approved, subject to exceptions where beneficiaries cannot be located, are under disability, or where estates have multiple beneficiaries and the service is reasonably required with fair and reasonable fees (s 14(1)-(2)). Section 14 defines "legal practitioner" as an Australian legal practitioner (s 14(3)).

• Secrecy: Directors, members, officers or employees must not record, divulge or use information acquired in administering the estates of represented persons except to the extent necessary to perform official duties or where permitted (s 17(2)-(3)). There is a civil or criminal sanction in the form of a 10-penalty-unit fine (s 17(2) note).

• Government guarantee obligations: Where the government guarantee is engaged, the Treasurer can require State Trustees to pay a reasonable fee for the guarantee after consultation with the board (s 15(5)). The guarantee is conditional on insurance and asset cushions (s 15(2)(a)), and the guarantee may be enforced under Part II of the Crown Proceedings Act 1958 (s 15(4)).

• Transitional and legacy duties: State Trustees must maintain Common Fund No. 1 in accordance with the terms of the repealed State Trust Act until all monies in that fund at the commencement of s 16 have been properly applied (s 16(2)). The Consolidated Fund is appropriated to discharge prior liabilities under s 14 of the State Trust Act that arose before the commencement of s 16 (s 16(1)).

Ministerial and contractual duties

• Community service obligations: The Minister has the duty to ensure access to trustee, administration and will-making services for those the Minister considers lack resources to obtain them (s 21). The Minister must provide those services by agreement with State Trustees or, if the Minister determines, another trustee company or person (s 22). Under such agreements State Trustees or other trustee companies may charge fees and recover disbursements notwithstanding other restrictions (s 23).

Court and registrar roles

• Court jurisdiction for disputes: The Court is the designated forum for summary procedure to resolve disputes between State Trustees and advisory trustees (s 9(3)(e)). The Court or registrar also officiates on whether State Trustees may be appointed by reason of absence of others ready and capable to take administration (s 5).

Taken together, these rights and duties create an operational perimeter: State Trustees has expanded managerial and transactional authority but is required to observe beneficiary consent thresholds, secrecy rules, published charges and the conditions attached to public financial backing. The Act sets administrative duties on State Trustees and the Minister while structuring liability lines and evidentiary protections that affect third-party commercial interactions.

The Act contains a limited set of explicit penalties and multiple enforcement and accountability mechanisms that are primarily civil, administrative or procedural rather than criminal.

Express penalty

• Secrecy breach: A breach of the secrecy obligation in relation to the administration of a represented person’s estate attracts a penalty of 10 penalty units (s 17(2) note). The secrecy prohibition is scoped narrowly to directors, members, officers or employees of State Trustees and applies only to administration of represented-person estates (s 17(1)-(2)). The prohibition does not prevent production of documents in court or disclosure where required or permitted by other Acts or with written consent where personal affairs are concerned (s 17(3)).

Enforcement routes and practical mechanisms

• Court processes and summary jurisdiction: The Supreme Court is the forum for summary resolution of disputes between State Trustees and advisory trustees (s 9(3)(e)). The Court’s role is also present in State Trustees’ ability to apply for administration and in substitution in pending proceedings upon the transitional vesting of State Trust’s rights to State Trustees (s 5; s 25(2)(b)). These statutory hooks make the Court a primary enforcement and dispute-resolution route.

• Evidentiary weight and rebuttable presumptions: Certificates issued by State Trustees certifying entitlement to act are, until contrary proved, for all purposes sufficient evidence of the facts so certified (s 19). That makes it administratively cheaper for third parties and reduces immediate litigation costs, but the presumption is rebuttable and therefore does not eliminate longer-form legal process if contested.

• Protection of third parties: Section 18 shields persons dealing with State Trustees from being obliged to inquire into internal powers or into whether State Trustees has assumed management or control in accordance with law. This reduces transactional friction for third parties and makes State Trustees a safer counterparty, effectively lowering the standard of due diligence required.

• Government guarantee and Crown enforcement: The government guarantee (s 15) supplies an enforceable backstop for certain liabilities arising from negligence, wilful default or fraud by State Trustees or its officers. The guarantee is enforceable under Part II of the Crown Proceedings Act 1958 (s 15(4)). The guarantee’s conditional structure, however, requires insurers and State Trustees’ assets other than trust assets to be exhausted before the Consolidated Fund becomes liable (s 15(2)(a)-(3)). Any sums paid under the guarantee are appropriated from the Consolidated Fund (s 15(3)), and any recoveries must be paid back into the Fund (s 15(6)). The Treasurer may exact a fee for the guarantee (s 15(5)), creating an administrative lever to internalise some cost.

• Regulatory carve-outs and continuations: The Act carves out Part IX of the Trustee Companies Act 1984 while State Trustees remains of a kind for which a declaration under s 66 of the State Owned Enterprises Act 1992 could be made (s 20). Simultaneously s 20A maintains the continued application of the Trustee Companies Act 1984 to State Trustees despite other amendments, save for specified exclusions (s 20A(1)-(3)). These provisions change the regulatory enforcement regime by selectively preserving and excluding statutory requirements under trustee-company legislation.

• Ministerial contract enforcement: Where the Minister enters agreements for community service provision, the contractual terms will govern fee recovery, service standards and remedies (ss 22-23). Section 23 expressly allows State Trustees or another trustee company to charge under such agreements despite other statutory restrictions. Enforcement in these cases may therefore proceed under contract law and public administration oversight.

Practical enforcement considerations and limits

• Limited criminal sanctions: The Act contains only the single explicit penalty for secrecy breaches. Other breaches of statutory duties (for example, charging unauthorised legal fees) attract civil law consequences, professional discipline under other statutes (e.g., legal profession legislation), contractual recourse or administrative sanctions rather than specified criminal penalties within this Act.

• Reputational and fiscal levers: The Treasurer’s power to seek guarantee fees (s 15(5)) and the requirement to publish scales of charges (s 13(2)) create non-penal enforcement pressure points. Breach of publication obligations or improper charging can be addressed through civil dispute resolution, regulatory oversight under the Trustee Companies Act 1984 where still applicable, contract remedies when dealing with the Minister and professional misconduct proceedings for legal practitioners.

• Dependencies on other statutes: Enforcement pathways for many obligations are interwoven with other legislation: the Crown Proceedings Act for guarantee enforcement (s 15(4)), the Guardianship and Administration Act 2019 for administration powers and duties (s 3; s 12; s 13(1)(d); s 19(a)(i)), and the Trustee Companies Act 1984 where preserved by s 20A. This means the practical enforcement landscape depends on the enforcement machinery of those statutes as well as this Act.

In sum, the Act provides targeted penalties and a set of civil, contractual and administrative enforcement tools, with a structurally important public backstop that is conditional and administratively managed through Treasurer and Ministerial powers.

The Act is designed as part of a legislative ecosystem and cross-references multiple statutes, creating a bundled compliance and interpretation regime. Key interactions and the mechanism by which they operate are as follows.

Guardianship and Administration Act 2019: The Act imports the term “represented person” from the Guardianship and Administration Act 2019 (s 3). Section 12(5) expressly applies the Guardianship Act to property in Victoria when a proper officer outside Victoria certifies general care and authorises State Trustees to act, as if the person were resident and the administration order gave State Trustees all powers in Divisions 6-8 of Part 3 of that Act (s 12(5)(c)-(d)). The Act also references administrations and examination of administrators’ accounts under the Guardianship Act as a specific chargeable activity (s 13(1)(d)). The effect is that procedures, duties and definitions in the Guardianship and Administration Act 2019 govern represented-person administration exercises by State Trustees.

Trustee Companies Act 1984 and its amendments: The Act sits alongside the Trustee Companies Act 1984. Section 13 states fees and commissions are in addition to those recoverable under the Trustee Companies Act 1984 and despite s 21(2) of that Act (s 13(1)). Section 20 excludes Part IX of the Trustee Companies Act 1984 while State Trustees remains of the state-owned-enterprise type (s 20). Section 20A preserves continued application of the Trustee Companies Act 1984 to State Trustees despite the Trustee Companies Legislation Amendment Act 2010, while carving out specified provisions (s 20A(1)-(3)). Consequently, State Trustees is subject to a selective application of trustee-company regulation, which preserves many trustee-company obligations but excludes or alters specific parts.

Penalty Interest Rates Act 1983: The interest cap for advances made from State Trustees’ general account is tied to the rate fixed under the Penalty Interest Rates Act 1983 less 2.5 per cent (s 10(2)). Thus calculation of permissible interest on advances depends on the external statutory rate, not an internal commercial assessment.

State Owned Enterprises Act 1992: The government guarantee under s 15 applies only to liabilities incurred when State Trustees is a company of a kind in respect of which a declaration could be made under s 66 of the State Owned Enterprises Act 1992 (s 15(2)(b)). Whether State Trustees meets that description is therefore informed by the State Owned Enterprises Act and any declarations under it. The corporate status hence determines whether the fiscal backstop applies.

Crown Proceedings Act 1958: The guarantee may be enforced under Part II of the Crown Proceedings Act 1958 (s 15(4)). Any claimant seeking to invoke the guarantee will use the Crown Proceedings mechanisms for suits against the State, subject to that Act’s procedures and immunities.

Common law and administration/probate statutes: State Trustees’ rights to obtain grants of probate and to be substituted in proceedings where State Trust previously was a party are procedural implementations that operate within existing probate and administration practice (s 4; s 25(2)(b)). The Act ties into the Court’s probate jurisdiction by allowing State Trustees to apply for probate and for administration where no other person is ready and capable (s 4-5).

Foreign jurisdiction arrangements: Section 12 enables reciprocal arrangements with places outside Victoria (defined as other States, Territories, New Zealand, the UK or other countries with which State Trustees has reciprocity agreements). It sets out a mechanism by which State Trustees may certify its authority to proper officers elsewhere and authorise collection and administration of property outside Victoria (s 12(1)-(4), (8)). The Act therefore creates a statutory bridge for cross-border fiduciary administration contingent on reciprocity agreements.

Legal profession and regulatory overlay: Section 14’s restrictions on directly or indirectly charging for legal services provided by legal practitioners employed by State Trustees were amended substantially by later professional legislation (see Table of Amendments: Legal Practice Act 1996; Legal Profession Uniform Law Application Act 2014). Section 14(3) defines “legal practitioner” as an Australian legal practitioner, tying the charging regime to national professional standards and associated misconduct regimes. Additionally, s 13(1)(e) anticipates legal services being chargeable subject to s 14 and to relevant Trustee Companies Act provisions.

Interpretation of legislation and style changes: The endnotes reference the Interpretation of Legislation Act 1984 and style and numbering changes that affect headings, notes and examples (Endnotes). While not operational rules for trustees, these interpretation aids can affect statutory construction and are relevant to lawyers analysing the Act.

Transitional legacy provisions: Section 16 preserves the application of portions of the repealed State Trust Act to liabilities arising prior to the repeal, and requires maintenance of Common Fund No. 1 in accordance with the earlier Act until its funds are properly applied (s 16). This mandates continuity of funding and priority rules that interact with existing trust-accounting and claims processes.

Procurement and contractual interaction: Part 4 (ss 21-23) permits the Minister to contract with State Trustees or other trustee companies to provide community service obligations. Those contracts can override otherwise applicable charging constraints (s 23). That creates an explicit intersection between public procurement, statutory fee rules and trustee operations.

Overall, the interaction map is multifaceted: the Act delegates many operational details to other statutes and preserves legacy rights and obligations, while selectively carving out trustee-company regulation. Practitioners must therefore read the Act in conjunction with the Guardianship and Administration Act 2019, the Trustee Companies Act 1984 and its amendments, the State Owned Enterprises Act 1992, the Penalty Interest Rates Act 1983 and the Crown Proceedings Act 1958 to obtain a complete compliance and liability picture.

The Act has been amended multiple times since assent in 1994. The endnotes provide a table of amendments identifying the amending statutes, assent dates and commencement dates. Major amendment themes include corporate consequential changes, legal profession norms, guardianship and administration updates, and trustee-company legislative reform. Key entries and their operative effects in the Act text are as follows.

• Legal Practice Act 1996 (No. 35/1996): Assented 6 November 1996; s 453 (Sch. 1 item 78) commenced 1 January 1997. The Table of Amendments records that this amending Act affected provisions in this Act, in particular s 14 , the restriction on charging fees for legal services , which was amended (see Table of Amendments entry for 1996).

• State Trustees (Amendment) Act 1998 (No. 15/1998): Assent 28 April 1998; s 3 commenced 1 August 1998. The 1998 amendments appear in the Act’s history and are noted as having repealed ss 6 and 7 earlier and adjusted definitions (see s 3 notes reflecting repeals and substitutions).

• Tribunals and Licensing Authorities (Miscellaneous Amendments) Act 1998 (No. 52/1998): Assent 2 June 1998; commencement 1 July 1998. This amending Act altered several definitions (reflected in s 3 annotations) and amended s 11 and other provisions as noted in the schedule references.

• State Trustees (State Owned Company) (Amendment) Act 1999 (No. 20/1999): Assent 18 May 1999 and commenced the same day. The Table notes wider operational changes and repeals of Parts 6-8 as recorded in the main text.

• Corporations (Consequential Amendments) Act 2001 (No. 44/2001): Assent 27 June 2001 and commenced for specified items on 15 July 2001. This amendment substituted the definition of State Trustees in s 3 to the company name and ACN (s 3 note), reflecting the corporate-conversion objective.

• Legal Profession (Consequential Amendments) Act 2005 (No. 18/2005): Assent 24 May 2005; commencement date for the amendment to this Act was 12 December 2005. Section 14 was further amended by this instrument, and s 14(3) was inserted to define “legal practitioner” as an Australian legal practitioner (see s 14(3) insert).

• Trustee Companies Legislation Amendment Act 2010 (No. 17/2010): Assent 11 May 2010; specific sections (20 and 21) commenced on 11 May 2010. This amending Act repealed or altered parts of the original Act (for example, s 24 was repealed), and s 20A was later inserted to manage continued application of trustee-company law.

• State Taxation and Other Acts Amendment Act 2012 (No. 76/2012): Assent 4 December 2012; s 28 commenced 5 December 2012. This Act amended s 20A and its interaction with the Trustee Companies Act.

• Legal Profession Uniform Law Application Act 2014 (No. 17/2014): Assent 25 March 2014 and, among its effects, amended s 14: the Table records that s 160 (Sch. 2 item 91) commenced 1 July 2015 and influenced the legal-practitioner charging provisions.

• Consumer Acts and Other Acts Amendment Act 2016 (No. 23/2016): Assent 10 May 2016; s 45 commenced 1 June 2016. This Amendment inserted further material into s 20A as indicated in the Act text (s 20A(3) insertion).

• Guardianship and Administration Act 2019 (No. 13/2019): Assent 4 June 2019; commencement of amendments to this Act was on 1 March 2020 (s 221(Sch. 1 item 50)). The Guardianship Act amendments updated the definition of “represented person”, adjusted cross-references throughout the Act (for instance in ss 3, 12, 13, 14, 17, 19) and integrated the Guardianship Act’s procedural regimes into State Trustees’ operations (see s 3 notes and multiple cross-references).

The endnotes explicitly list these amending Acts and the dates at which the amendments commenced. The Table of Amendments in the published version of the Act is the source for the dates and the items amended; practitioners should consult the Table for itemised identification of which provisions were altered by which instrument. The effect of the amendments is visible within the Act text: substitutions to definitions in s 3; addition of s 20A preserving continued application of the Trustee Companies Act 1984; insertion of s 14(3); and multiple cross-references updated to the Guardianship and Administration Act 2019.

For compliance and historical analysis, two implementation points matter: transitional provisions (s 25) that vest assets and liabilities on commencement and the preservation clause (s 16) that keeps pre-commencement liabilities and Common Fund No. 1 obligations operating under the earlier State Trust Act until discharged. Amendment history therefore matters to both interpretation and to ongoing operational obligations.

The published Act and its endnotes do not list any judicial decisions or reported litigation concerning the Act itself. The endnotes provide legislative, amendment and commencement history but do not record case law. Consequently, the statutory text is the primary source for operation and interpretation as presented in this document.

Although no cases are cited in the statute or endnotes, the Act contains several provisions that create likely litigable issues and points of judicial interest. Those issues, grounded in specific sections, include:

• Validity and scope of beneficiary consent under s 14: disputes may arise over whether a beneficiary validly approved charging legal fees or whether the exceptions in s 14(2) apply. Litigation could focus on evidentiary sufficiency of consent and on the reasonableness of fees and disbursements where the statutory exception allows charging for services to estates with multiple beneficiaries or where beneficiaries cannot reasonably be located (s 14(1)-(2)).

• Interpretation of advisory trustee liability and powers (s 9): litigation may arise over the boundary between advisory input and managerily binding directions, or over the scope of “sole management and administration” vested in State Trustees when advisory trustees are appointed. Questions of fiduciary duty and reasonable consultation obligations could be litigated; s 9(3)(a)-(f) frames the legal background but not all practical boundaries.

• Secrecy obligations and permitted disclosures (s 17): litigation might address the meaning of “necessary to perform official duties” and the interplay with statutory disclosure requirements under other Acts. The penalty unit attached to s 17(2) could give rise to prosecutorial or civil enforcement action where uses or disclosures are contested.

• Government guarantee triggers and scope (s 15): disputes concerning whether the Crown guarantee is payable may require judicial determination of whether relevant insurance proceeds and non-trust assets were insufficient, whether the liability arose from negligence, wilful default or fraud, and whether State Trustees was a company of the kind for which a declaration could be made under s 66 of the State Owned Enterprises Act 1992 at the time of liability (s 15(1)-(2)). Enforcement actions would be brought under the Crown Proceedings Act 1958 (s 15(4)).

• Cross-border reciprocal arrangements under s 12: disputes could arise over the validity of authority certified to proper officers in other jurisdictions, the effect of revocation notices, and the accounting or discharge obligations under s 12(3)-(7). These issues may involve private international law and conflict-of-law questions as well as statutory construction.

• Transition and successor substitution issues (s 25): where proceedings were pending against the State Trust at the time of conversion, courts could be asked to determine substitution or whether particular rights and defences survive the succession in law (s 25(2)(b)).

• Application and limits of exclusion of Part IX of the Trustee Companies Act 1984 (s 20): litigation could clarify what Part IX’s non-application removes in terms of regulatory obligations and protections and whether s 20 interacts with remaining trustee-company statutory duties preserved by s 20A.

Given the absence of reported cases in the statute, practitioners should assume that these issues may be novel or under-developed in case law and that litigation risk is therefore a function of statutory interpretation disputes, administrative decisions (e.g., by the Minister or Treasurer) and commercial claims against State Trustees. Any party contemplating litigation should build argumentation closely tied to the statutory text (primarily ss 9, 12, 14, 15, 17, 19, 20 and 25) and to the cross-referenced statutes cited in those provisions.

The Act has multiple provisions that create traps for the unwary. These are practical “gotchas” where reading the statutory text alone flags non-obvious compliance or liability risks.

Secrecy is limited but penal: s 17’s secrecy prohibition applies only to administration of the estates of represented persons (s 17(1)). That narrower scope means that records and communications relating to non-represented estates may not be covered by s 17’s protection, and conversely some disclosures about represented-person estates that seem harmless may breach s 17 if not in the service of official duties; the penalty is 10 penalty units (s 17(2) note). Disclosure that is “required or permitted by any Act” or disclosure to a court are exceptions (s 17(3)).

Beneficiary approval for legal services: s 14 forbids State Trustees from charging for legal services provided by legal practitioners employed by or sharing remuneration with State Trustees unless the beneficiary has approved the service and charging. The approval requirement is strict and applies “directly or indirectly” (s 14(1)). Exceptions are narrow and triggered only when beneficiaries cannot reasonably be located, there is no beneficiary, or the beneficiary is under a legal disability, or multiple beneficiaries exist and the service is reasonably required with fees being fair and reasonable (s 14(2)). Failing to secure proper documented approval risks challenge and recovery claims.

Government guarantee is conditional: s 15 is not an unconditional State indemnity. It applies only to the extent that insurance proceeds and State Trustees’ non-trust assets are insufficient to satisfy a liability, and only when State Trustees is of the corporate kind to which s 66 of the State Owned Enterprises Act 1992 could apply (s 15(2)(a)-(b)). Practically, parties should not assume immediate Crown support; insurers and State Trustees’ asset pool rank first.

Common Fund No. 1 obligations continue: s 16 preserves the requirement to maintain Common Fund No. 1 in accordance with the repealed State Trust Act until moneys existing at commencement are properly applied (s 16(2)). Even though the earlier Act is repealed, this transitional obligation survives and may require ongoing accounting and reserve maintenance that could be overlooked.

Publication of charges is mandatory: State Trustees must lodge and publish its scale of charges with the Minister and in the Government Gazette (s 13(2)). Failure to publish or to keep the scale up to date may expose State Trustees to disputes over fee validity and transparency complaints.

Advances interest cap linked externally: interest on advances from the general account is capped at the Penalty Interest Rates Act 1983 rate less 2.5 per cent (s 10(2)). Because the permissible rate is linked to an external statutory rate, changes to that statute affect permissible interest, which may lead to inadvertent non-compliance if not monitored.

Ministerial discretion shapes community service reach: Part 4 services apply only to members of the public who, in the Minister’s opinion, do not have the resources to obtain them (s 21(2)). This grants wide discretion to the Minister and can create eligibility uncertainty for potential clients and for private providers contracting under ministerial agreements (ss 21-23).

Selective regulatory carve-out: Part IX of the Trustee Companies Act 1984 does not apply while State Trustees remains of the relevant state-owned-enterprise kind (s 20). At the same time s 20A preserves the Trustee Companies Act 1984 for State Trustees with specific exceptions. Practitioners must not assume full application or full exemption: the net regulatory position is mixed and must be checked provision-by-provision.

Reciprocity limits and revocation: s 12 allows reciprocal arrangements with “places outside Victoria” but only where State Trustees has a reciprocity agreement. The proper-officer mechanism (s 12(2)-(5)) can be revoked by either side, and State Trustees is not bound to see to the application of payments made to a proper officer after a foreign officer’s exercise (s 12(7)). Cross-border claims therefore require careful attention to whether a reciprocity agreement exists and its terms.

Certificates are only prima facie evidence: s 19 provides that certificates are sufficient evidence “until the contrary is proved.” That reduces transactional friction but does not convert certificates into irrebuttable proof. Counterparties relying on certificates should nevertheless be prepared for litigation if the certificate’s facts are challenged (s 19).

Substitution in proceedings: s 25(2)(b) substitutes State Trustees for State Trust in pending proceedings, which preserves litigation continuity but can introduce novel issues of representation and defences, particularly where historical acts were done under the old statutory regime.

Taken together, these gotchas show that several obligations or protections are conditional, rebuttable, or require administrative steps that may be missed. Close operational procedures and liaison between State Trustees, the Minister, the Treasurer and insurers are necessary to manage these risks.

Compliance requires operational procedures, documentation standards and coordination with other arms of government and with external counterparties. Below is a practical checklist and explanation tied to the Act’s provisions.

1. Corporate and successor-in-law steps (s 25; s 26)

• Ensure formal vesting of assets and liabilities is recorded and transfer documentation is completed and archived (s 25(1)(a)-(b)).
• Update contracts, trusts, wills and instruments to reflect that references to State Trust or Public Trustee are to be construed as references to State Trustees (s 26).

2. Probate and administration practice (s 4-5)

• Establish a probate team that can apply for grants of probate and letters of administration, and create templates for authorisation where a person named in a will delegates State Trustees to apply as executor (s 4).
• Maintain a checklist for registrar and Court satisfaction when applying under s 5, documenting searches and evidence that no other person is entitled or capable to take grant.

3. Advisory trustee processes (s 9)

• Prepare advisory trustee appointment and consultation procedures: record minutes of consultation, retain any advisory trustee agreements and ensure the trust property is formally vested in State Trustees per s 9(3)(a).
• Ensure advisory trustees sign acknowledgements regarding non-liability for acts of State Trustees (s 9(3)(b)), and set up a fast-track procedure for applications to the Supreme Court where disputes arise (s 9(3)(e)).

4. Advances policy and interest calculation (s 10)

• Implement a policy for making advances from the general account with strict eligibility criteria for “necessitous circumstances” and documentation of insufficient estate funds (s 10(1)(a)-(b)).
• Automate interest calculations in accordance with the Penalty Interest Rates Act 1983 rate minus 2.5 per cent and document basis for rate applied (s 10(2)).

5. Fees, disclosure and publication (s 13(1)-(2))

• Maintain and regularly review a scale of charges for services listed in s 13(1). Lodge the scale with the Minister and publish it in the Government Gazette as required (s 13(2)).
• Ensure billing systems itemise charges to line up with the published scale to avoid disputes.

6. Charging legal fees , consent and exceptions (s 14)

• Implement a beneficiary-consent process for legal services: obtain written approvals and retain them in the estate file before charging (s 14(1)).
• Where beneficiaries cannot be located or are under disability, document the factual grounds for invoking s 14(2) exceptions and the reasonableness assessment for fees and disbursements (s 14(2)(a)-(c)).
• Ensure legal practitioners engaged are Australian legal practitioners and that their remuneration arrangements are transparent (s 14(3)).

7. Insurance, guarantee and Treasurer consultation (s 15)

• Maintain insurance records demonstrating coverage for liabilities arising from negligence, wilful default or fraud; document the priority of insurance proceeds and non-trust asset cushions before any guarantee call (s 15(2)(a)).
• Maintain audit-ready documentation for any Treasurer consultation regarding guarantee fees and for payment or recovery of sums under the guarantee (s 15(5)-(6)).
• Coordinate with the Department of Treasury to clarify the company’s status under the State Owned Enterprises Act 1992 to understand when the guarantee is available (s 15(2)(b)).

8. Secrecy and information handling (s 17)

• Institute confidentiality protocols specific to represented-person administration. Train directors, officers and staff on s 17 obligations and exceptions and retain consent documentation when disclosure of personal affairs is permitted (s 17(2)-(3)).
• Map information flows to ensure disclosures are “necessary to perform any official duties” or are exempted by statute or by court order (s 17(3)).

9. Reciprocal arrangements and cross-border administration (s 12)

• Maintain an up-to-date list of reciprocity agreements and templates for instruments to be sent to and received from proper officers. Record authorisations, revocations and accounting obligations under s 12(2)-(7).
• When paying or delivering balances to proper officers, document deductions for costs, charges and expenses and any debts of which State Trustees has notice (s 12(3)).

10. Contracting under community service obligations (ss 21-23)

• When contracting with the Minister, ensure agreements specify fee schedules, recovery mechanics and conform to the published scale or the contract’s express terms (s 23).
• Implement eligibility verification procedures for persons claimed to be unable to obtain services, documenting the Minister’s opinion or decision as required (s 21(2)).

11. Recordkeeping, certificates and third-party dealings (ss 18-19)

• Create standard-form certificates described in s 19 and retain supporting evidence so that the certificate’s prima facie status is defensible if challenged.
• For third parties, proactively provide assurances under s 18 to reduce due-diligence friction and to rely on the statutory protection against inquiry into powers.

12. Regulatory compliance with Trustee Companies Act 1984 and other statutes (s 20; s 20A)

• Map the specific provisions of the Trustee Companies Act 1984 that continue to apply to State Trustees under s 20A and reconcile excluded provisions under s 20.
• Maintain cross-reference binders that set out where obligations derive from other Acts (Guardianship and Administration Act 2019, Penalty Interest Rates Act 1983, Crown Proceedings Act 1958, State Owned Enterprises Act 1992).

13. Litigation preparedness and dispute resolution

• Establish a litigation reserve and protocols for early Court referral where s 9 disputes or beneficiary consent disputes under s 14 are likely to escalate.
• Keep templates for substitution notices in pending proceedings following s 25(2)(b) and for representation changes.

14. Audit, governance and ministerial liaison

• Ensure the board maintains minutes of consultations with the Treasurer regarding guarantee fees (s 15(5)) and keep a compliance calendar for publication and reporting dates (s 13(2)).

Following these steps will align operational practice with the Act’s principal obligations. Because many obligations are contingent on cross-referenced statutes, ongoing legal review is required whenever related statutes (for example the Guardianship and Administration Act 2019 or trustee-company legislation) are amended.
