5 Board of directors of ICNSW
> > (1) There is to be a board of directors of Insurance and Care NSW.
>
> > (2) The ICNSW Board is to consist of the following directors—
> >
> > > (a) the Secretary of the Treasury, or an officer of the Treasury nominated by the Secretary of the Treasury to represent the Secretary,
> >
> > > (b) the following directors appointed by the Minister (the appointed directors)—

> > > > (i) 1 director nominated by an employee body,

> > > > (ii) 1 director nominated by an employer body,
> > >
> > > > (iii) up to 6 other directors.

> > Note.
> >
> > Schedule 1 contains provisions relating to the board of directors of ICNSW.

> > (3) The appointed directors are to be persons who, in the opinion of the Minister, together have skills and experience relevant to the administration of State insurance and care schemes and that will assist ICNSW in exercising its functions.
>
> > (4) A person who is an appointed member of the SIRA Board is ineligible to be appointed as a director of the ICNSW Board.
>
> > (5) In exercising his or her functions as a director of the ICNSW Board, the director is to exercise the degree of care and diligence that a reasonable person in a like position would exercise in the circumstances.
>
> > (6) If an employee body or employer body fails to nominate persons for the purposes of subsection (2)(b)(i) or (ii) within the period specified in a written request given to the body by the Minister—
> >
> > > (a) the Minister may appoint a director under that subparagraph, and
> >
> > > (b) the appointment is taken to have been made as if the director had been nominated under the subparagraph.

> > (7) In this section—

> > employee body means Unions NSW.
> >
> > employer body means a body that represents employers in New South Wales.
