Standard No. 1 of 2016 The Setting of Interchange Fees in the Designated Credit Card Schemes and Net Payments to Issuers

The Standard is definition-heavy; its operative reach depends on a set of technical concepts. These are the main ones, as given in the text.

Interchange Fees. Interchange Fees are wholesale fees payable between Issuers and Acquirers in relation to Credit Card Transactions in a Scheme (definition in clause 2.3). The Standard treats interchange fees both at the transaction-category level (Interchange Fee Category, clause 4.1(b)) and at the aggregate scheme level (total value of Interchange Fees across a Reference Period, clause 4.2).

Multilateral vs International Multilateral Interchange Fees. A Multilateral Interchange Fee is a fee set by the scheme administrator and applies irrespective of the identity of the Acquirer or Issuer (clause 2.3). An International Multilateral Interchange Fee is the international equivalent (clause 2.3). The Standard requires publication of multilateral and international multilateral rates or amounts on scheme websites (clause 6.1).

Direct Issuer Participant and Indirect Issuer Participant. A Direct Issuer Participant is a participant in the Australian Scheme acting as an Issuer or Sponsor for Issuers and not an Indirect Issuer Participant (clause 2.3). The text gives examples from scheme rules for MasterCard and VISA. An Indirect Issuer Participant participates as Issuer through Sponsorship by another participant (clause 2.3). The distinction matters because clause 5’s Net Compensation prohibition applies to Direct Issuer Participants and the receipts/payments calculations reference the Direct Issuer Participant’s issuance and sponsored issuance.

Core Service and Core Functions. Core Service, defined in clause 2.3, is a service provided by the scheme administrator or its associated entities that satisfies three tests: it is used in relation to Devices that can be used to purchase on credit (2.3 Core Service(a)); without it, a Direct Issuer Participant could not be an Issuer or sponsor an Issuer (2.3 Core Service(b)); and it relates to one or more specified Core Functions such as licensing of intellectual property, connection/maintenance, transaction processing, clearing and settlement, authentication, authorisation, fraud prevention and dispute/charge-back handling (2.3 Core Service(c)(i)-(ix)). Direct Issuer Participant Payments (clause 5.2(b)) are amounts paid by the Direct Issuer Participant to the administrator or associated entities for Core Services.

Benefits, Incentive Test and Direct Issuer Participant Receipts. “Benefit” is broadly defined (clause 2.3) and the Incentive Test (clause 2.3) identifies Benefits that count as receipts if they are given for purposes including incentivising issuance, promoting issuance/use, or funding cardholder incentives. Clause 5.2(a) then specifies that Direct Issuer Participant Receipts are the total of such Benefits earned/accrued/receivable in a Reporting Period and payable by the administrator or associated entities, with a specific exclusion if that Associated Entity is an Acquirer (clause 5.2(a)).

Net Compensation and Reporting Periods. Net Compensation is the excess of Direct Issuer Participant Receipts over Direct Issuer Participant Payments in a Reporting Period (clause 5.1). Reporting Periods are 12-month periods ending 30 June (clause 2.3). Reference Periods used in the Above Benchmark test are 12-month periods ending the last day of a Quarter (clause 2.3).

Apportionment and Fair Value. Where Benefits or payments relate to multiple device types or span Reporting Periods, the Standard prescribes apportionment methods (clause 5.2(c)-(e)), including a permissible pro-rata method based on transaction values (clause 5.2(d)). Fair Value is defined and may be adjusted once per Reporting Period if materially different and if fair, reasonable and consistent with the objective (clause 2.3 Fair Value).

Reporting, Publication and Certification. Administrators must publish multilateral rates (clause 6.1), provide quarterly scheme statistics and category breakdowns within 30 days of quarter end (clause 6.6), and certify annual compliance with interchange fee limits and the Net Compensation prohibition (clauses 6.3 and 6.4). Acquirers and Direct Issuer Participants must report ranges of non-multilateral interchange fees to the Reserve Bank annually by 31 July (clause 6.2).

Anti-avoidance and interpretation. Clause 3 forbids entering into plans to avoid the Standard, and clause 2.7 requires interpretation in accordance with the objective and by “looking beyond form to substance.” Clause 2.4 further deems purposes where provisions were included for substantial purposes, and conduct undertaken for substantial purposes. Clause 2.8 provides guidance on expressing interchange fees numerically (positive for Acquirer-to-Issuer, negative if paid from Issuer to Acquirer).

Temporal and transitional rules. The Standard commenced on 1 July 2017 with transitional application (clause 7.1) and was varied by later instruments (endnotes list variations in 2017, 2019 and 2021; compilation date 1 January 2022). Clause 6.5 contains special treatment for New Issuers via an Initial Reporting Period mechanism.

These concepts determine which transfers are captured as receipts/payments, how to measure them, the timing and frequency of reporting and certification, and the remedial mechanics if aggregate interchange exceeds the benchmark. The Standard embeds considerable measurement detail, placing emphasis on defined categories, apportionment methods and consistency of approach over Reporting Periods.

The Standard affects a defined set of actors in the MasterCard and VISA payment systems operating in Australia. The primary categories are administrators of the Scheme in Australia, Direct Issuer Participants, Indirect Issuer Participants (via their relationship to a Direct Issuer Participant), Acquirers, Merchants, scheme-associated entities, and any representative bodies authorised to act for participants.

Administrators and Associated Entities. Administrators of the VISA and MasterCard systems in Australia, and their Associated Entities (as that term is defined by s 50AAA of the Corporations Act 2001, cited in clause 2.3), are directly affected. Administrators must publish Multilateral and International Multilateral Interchange Fee rates on the Scheme’s website (clause 6.1), certify annual compliance with interchange fee requirements (clause 6.3), provide quarterly certified statistics (clause 6.6), and, where relevant, are parties that pay Benefits or provide Core Services which feed into the Net Compensation calculation (clause 5.2).

Direct Issuer Participants. Direct Issuer Participants are a principal focus. The Net Compensation prohibition (clause 5.1) applies to every Direct Issuer Participant in a Scheme. Direct Issuer Participants must calculate Receipts and Payments under clause 5.2, apply apportionment rules where Benefits relate to multiple device types, allocate Benefits spanning Reporting Periods subject to limits, and maintain consistent methods across Reporting Periods unless the Reserve Bank agrees otherwise (clause 5.2(f)). Direct Issuer Participants must also provide annual reports to the Reserve Bank about ranges of non-multilateral interchange fees they received or paid (clause 6.2(b)), and certify annually that they complied with clause 5 (clause 6.4). New Issuers have transitional arrangements via the Initial Reporting Period (clause 6.5).

Indirect Issuer Participants. Indirect Issuer Participants participate through Sponsorship. They are within the scope of “Devices issued through Sponsorship by a Direct Issuer Participant” for apportionment and other calculations (clause 5.2(c)(i)(A) and definitions). Although the Net Compensation prohibition applies to Direct Issuer Participants, associated issuance through Sponsorship affects the Relevant Portion calculations and thus affects the payments and receipts attributed to Direct Issuer Participants.

Acquirers and Merchants. Acquirers are expected to report ranges of Interchange Fee rates or amounts they received or paid in respect of non-multilateral interchange fees (clause 6.2(a)). Merchants are not direct reporting parties under the Standard, but their acceptance of credit-card transactions determines transaction volumes and values that are used in benchmark calculations (clause 4.2) and the apportionment examples (clause 5.2(d)). The Standard also deems an Acquirer to include Merchants that bear risk as principal for issuer payment obligations (definition of Acquirer, clause 2.3).

Cardholders and Consumers. Cardholders are not addressees of duties, but cardholder incentives and rewards are within the Standard’s scope when they are funded or provided by scheme administrators or their Associated Entities and meet the Incentive Test (clause 2.3, Incentive Test; clause 5.2(a)). The Standard therefore affects the flow of funds to fund cardholder incentives, because those are captured as Benefits and count toward Receipts.

New Issuers. New Issuers are given specific treatment to account for start-up timing. For a New Issuer, an Initial Reporting Period is defined (clause 2.3) and clause 6.5 sets out how the Standard’s obligations are treated for periods prior to and including that Initial Reporting Period, including a requirement to comply with clause 5 as if the Reporting Period were the Initial Reporting Period and to certify compliance by 31 July of the year the Initial Reporting Period ends.

Representative bodies. The Standard contemplates that a representative of the participants in a Scheme may publish interchange rates or certify certain matters on behalf of participants (clauses 6.1 and 6.3), so authorised industry bodies can act as reporting agents.

Who pays and who decides. The Standard assigns duties to administrators, Direct Issuer Participants and Acquirers to calculate, disclose, publish and certify interchange fees and associated receipts/payments. The Reserve Bank of Australia is the recipient of reports and has an oversight role in accepting or agreeing to methods and receiving certifications (clauses 6.2-6.6, 5.2(f)). The Standard does not itself set sanctions or enforcement mechanisms in its text; enforcement mechanisms would be in the parent Act (clause 2.1 identifies the Act as the enabling statute).

The scope is limited to the designated MasterCard and VISA systems operating within Australia (clause 2.2). The Standard therefore does not, on its face, apply to non‑designated schemes, to debit/prepaid schemes (which are covered by Standard No. 2 of 2016, see clause 2.3 definition of Debit Card Scheme), or to international operations of participants beyond Australian-scheme transactions (except insofar as International Interchange Fees and International Card Transactions are defined and subject to publication requirements, clause 2.3 and clause 6.1).

This section summarises the principal positive obligations and operational rights that the Standard imposes or recognises. All citations below refer to clauses of the Standard text.

Duty to comply and ensure compliance. Clause 2.5 obliges each participant in a Scheme to do all things necessary on its part to ensure compliance with the Standard. This is a general active-duty provision that requires participants to take internal steps necessary to meet the Standard’s technical requirements.

Interchange fee ceiling and expression rules. Clause 4.1 imposes a hard ceiling: an Interchange Fee must not exceed 0.800 per cent of the value of the Credit Card Transaction (exclusive of GST). Clause 4.1(b) requires fees applying to categories be expressed as a single percentage or fixed amount for the whole category, not as a range, and to apply uniformly within that category.

Aggregate benchmark duty. Clause 4.2 creates a scheme-wide duty: if in a Reference Period total interchange fees exceed 0.500 per cent of the total value of transactions (an Above Benchmark Reference Period), participants must take all necessary steps to vary rates or amounts so that, with effect no later than two months and one day after the end of that Reference Period, the rates would have been such that the Reference Period would not have been an Above Benchmark Reference Period (clause 4.2(b)). That is a remedial timing requirement tied to observable aggregate outcomes.

Constraints on fee changes. Clause 4.3 limits the lawful introduction, removal or variation of an Interchange Fee by requiring that post-change fees must be such that had they applied for the whole of the most recent Reference Period prior to the date of change, that Reference Period would not have been Above Benchmark. Clause 4.3 operates in addition to the corrective duty in clause 4.2.

Net Compensation prohibition and measurement duties. Clause 5.1 prohibits a Direct Issuer Participant from receiving Net Compensation in the Reporting Period; Net Compensation exists where Direct Issuer Participant Receipts exceed Direct Issuer Participant Payments. Clauses 5.2(a) and (b) define Receipts and Payments and therefore establish measurement duties: issuers must identify Benefits that meet the Incentive Test (clause 2.3), identify payments for Core Services (clause 2.3 Core Service and clause 5.2(b)), and compute totals. Clause 5.2 also sets apportionment rules when a Benefit relates to multiple devices (clause 5.2(c)-(d)) and allocation rules for Benefits spanning Reporting Periods (clause 5.2(e)). Direct Issuer Participants must ensure certain inclusions and exclusions and must not double‑count across Reporting Periods (clause 5.2(g)).

Consistency and Reserve Bank oversight. Clause 5.2(f) requires a Direct Issuer Participant who adopts a permitted method of measurement or allocation to continue to use it consistently from one Reporting Period to the next, unless the Reserve Bank otherwise agrees in writing. This creates a duty of method consistency and gives the Reserve Bank a discretion to allow changes.

Reporting, publication and certification obligations. Administrators must publish multilateral rates on the scheme website (clause 6.1). Acquirers and Direct Issuer Participants must report ranges of non-multilateral interchange fees to the Reserve Bank by 31 July each year (clause 6.2). Administrators or representatives must certify to the Reserve Bank by 31 July each year that interchange fees during the recent Reporting Period complied with the Standard (clause 6.3). Administrators and Direct Issuer Participants must certify by 31 July that they complied with clause 5 in the recent Reporting Period (clause 6.4). Administrators must certify quarterly statistics and fee-category breakdowns to the Reserve Bank within 30 days after each Quarter (clause 6.6). New Issuers are subject to tailored timing via clause 6.5.

Anti-avoidance duty. Clause 3 bars participants from entering into or knowingly participating in plans or arrangements that would be concluded to have a substantial purpose of avoiding the Standard and that achieve or would achieve that purpose.

Interpretive duties. Clause 2.7 requires interpretation in accordance with the Standard’s objective (clause 1) and by looking beyond form to substance. Clause 2.4 provides deeming rules for purpose and motive in contracts or conduct that inform application of the Incentive Test and anti-avoidance provisions.

Rights and permitted actions. The Standard recognises rights and permitted actions indirectly by specifying what may count as payments for Core Services and what count as Benefits, and by allowing apportionment on a fair and reasonable basis, including a pro-rata method (clause 5.2(d) and (e)). The Fair Value definition permits revision of value once per Reporting Period when materially different and consistent with the Standard’s objective (clause 2.3 Fair Value(b)). Direct Issuer Participants can change measurement methods only with the Reserve Bank’s written agreement (clause 5.2(f)). Administrators have a right to rely on specified certifications and reporting processes stipulated in clause 6.

Procedural timing duties. The Standard prescribes specific timelines: annual reporting and certifications by 31 July (clauses 6.2-6.5); quarterly certification of statistics within 30 days after quarter end (clause 6.6); corrective actions following an Above Benchmark Reference Period to be completed no later than two months and one day after the end of that period (clause 4.2(b)); and on- and from 1 January 2022 obligation to comply with variations (clause 7.2).

Limitations and exclusions. Clause 5.2(a) excludes interchange fees when the Associated Entity paying a Benefit is an Acquirer. Clause 2.8 prescribes a standard for numerical expression of interchange fees. The Standard replaces prior Standard No.1 on the Commencement Date but explicitly does not affect that earlier standard before commencement (clause 2.9).

The Standard contains detailed duties on measurement, reporting, and corrective action, but it does not itself lay out sanctions or enforcement mechanisms in its text. Those matters fall to the enabling Act, which the Standard cites as its source (clause 2.1).

The text of this Standard sets compliance duties, reporting obligations and prohibitions, but it does not itself specify penalty amounts, criminal offences, or the detailed enforcement powers that a regulator may exercise. The Standard is determined under section 18 of the Payment Systems (Regulation) Act 1998 (clause 2.1), and enforcement mechanisms, injunctive powers, and civil penalties, if any, are matters addressed by the Act rather than in this Standard. The Standard therefore operates as a regulatory rule whose non-compliance would trigger whatever enforcement regime is provided by the enabling statute.

What the Standard does set out are administrative instruments that facilitate oversight. It requires a number of certifications and reports to the Reserve Bank of Australia (clauses 6.2-6.6). Those reporting and certification duties create an information flow to the Reserve Bank which the Reserve Bank can use to monitor compliance. The Reserve Bank is explicitly the recipient of annual reports of ranges of interchange fees (clause 6.2), annual compliance certifications for interchange fee compliance (clause 6.3) and for Net Compensation compliance (clause 6.4), and quarterly certified scheme statistics (clause 6.6). Clause 5.2(f) creates a procedural role for the Reserve Bank in approving changes to calculation methods. Clause 6.1 requires publication of multilateral rates on scheme websites, a transparency measure that aids public and administrative scrutiny.

The Standard includes an anti‑avoidance clause (clause 3) that bars participation in arrangements intended to avoid the Standard. The anti-avoidance provision is framed to capture plans or arrangements that have the substantial purpose of avoidance and have achieved or would have achieved that purpose; the clause imposes a substantive prohibition on such conduct. The Standard also requires interpretation “by looking beyond form to substance” (clause 2.7(b)) and deems purposes where parties included provisions for substantial purposes (clause 2.4). These provisions are designed to make enforcement more straightforward conceptually, because a formalistic compliance argument will be less likely to succeed if the substance is avoidance.

Because the Standard does not itself specify sanctioning tools, practitioners must consult the Payment Systems (Regulation) Act 1998 for the enforcement framework (the Act is the legal source under which this Standard is made, clause 2.1). The compilation endnotes list the instrument’s registration and variation history (endnote 3) but do not record statutory penalty provisions in the Standard itself. The Standard does, however, create obligations that are objectively verifiable (caps, published rates, certified numbers, and filings by dates), so enforcement, where exercised under the Act, could proceed with reference to the documentary outputs the Standard requires.

In practice, enforcement risk for a participant comprises: the risk that required monthly/quarterly/annual reports and certifications will disclose non‑compliance; the risk that the Reserve Bank will not accept methods or changes (clause 5.2(f)); and the risk that the Reserve Bank or other enforcement agencies will use powers available under the enabling statute to remedy non‑compliance. The Standard itself creates no self-contained civil or criminal penalty schedule; it relies on the Act for enforcement mechanics.

The Standard is an instrument made under the Payment Systems (Regulation) Act 1998 (clause 2.1) and is therefore embedded in the statutory framework that governs Australian payment systems. The Standard explicitly cross‑references and imports definitions from other statutes and instruments. Practitioners must therefore read the Standard together with the Act and with scheme Rules, and be attentive to other statutory definitions that it borrows.

Statutory parent. The Standard expressly states it is determined under s 18 of the Payment Systems (Regulation) Act 1998 (clause 2.1). The enabling Act provides the legal basis for standards regulating designated payment systems. The Standard does not reproduce the Act’s enforcement, registration, designation or penalty regimes. Parties should therefore consult the Act to identify enforcement powers, penalty mechanisms, ministerial discretions and consequential administrative processes that are not set out in the Standard.

Corporations Act linkage. Clause 2.3 uses the term Associated Entity with the meaning given by Section 50AAA of the Corporations Act 2001. That imports the Corporations Act’s concept into the Standard, which matters because Benefits and Core Services provided by Associated Entities are in scope for Receipts and Payments (clauses 5.2(a) and (b)). Similarly, the term Related Body Corporate is used with the Corporations Act meaning (clause 2.3). This linkage affects group accounting and transfer pricing considerations when apportioning Benefits and payments within corporate groups.

Goods and services tax. The Standard repeatedly quantifies Interchange Fees and totals “exclusive of goods and services tax” (clauses 4.1, 4.2, 6.6(c)-(d)). The Standard therefore interacts with the GST regime because calculations must exclude GST, which will affect accounting treatment and the preparation of the statistics and certifications required.

Scheme Rules and private contracts. The Standard refers to “Rules of a Scheme” (clause 2.3 definition) and requires that participants ensure compliance (clause 2.5). The Scheme Rules (constitutions, by‑laws, procedures) therefore remain the background contractual framework governing relationships among participants and with the administrator. The Standard overlays statutory constraints on the fees and transfers that may flow under those Rules. Clauses 4.3 and 5.2(g) require assessing the effects of changes to fees or arrangements against the Standard’s benchmarks and prohibitions.

Other Standards and instruments. Clause 2.3 references Standard No. 2 of 2016 (Debit Card Scheme standard) in defining “Debit Card Scheme.” The existence of that separate Standard indicates parallel regulatory regimes for debit and prepaid instruments. The endnotes record later variations to this Standard (2017, 2019, 2021), which changed operative clauses (endnote 3 and 4). When advising clients, practitioners must consider the current consolidated text including variations as noted in the compilation.

Contract and evidence rules. Clauses 2.4 and 2.7 include interpretive and deeming rules about purpose and motive: a provision is deemed to have a particular purpose if it was included for a substantial purpose that includes that purpose (clause 2.4(a)); conduct is similarly deemed to have been made for a particular purpose if undertaken for purposes that include that purpose and that purpose was a substantial purpose (clause 2.4(b)). Clause 2.7(b) instructs that interpretation should look beyond form to substance. These rules intersect with evidence and contract law principles when assessing whether a benefit or transaction was intended to evade the Standard: substantive evidence of purpose can be decisive.

Financial reporting and tax law. The Standard’s references to Fair Value (clause 2.3) and to the requirement that certain Benefits be included in Receipts/payments implicate accounting treatments. Fair Value is to be the amount that would be paid in an orderly transaction between independent parties at the earlier of provision or commitment, with constrained ability to revise that value (clause 2.3 Fair Value). Valuation standards, accounting policies and tax law considerations will therefore interact with the Standard’s measurement requirements.

Overlap with competition and consumer law. The Standard’s stated objective is to promote efficiency and competition in the payments system (clause 1). The text does not, however, override other competition law obligations or consumer protection obligations under separate statutes; it operates in parallel. The Standard’s anti-avoidance clause (clause 3) and interpretive instructions could be relevant in enforcement or litigation brought under other statutes, but the Standard does not itself displace other statutory duties.

International operations. The Standard applies to transactions within the Australian schemes (clause 2.2) and defines International Card Transactions and International Interchange Fees (clause 2.3). Publication requirements cover international multilateral rates (clause 6.1). However, the Standard’s mechanics and prohibitions are framed around Australian-scheme activity; cross-border contractual arrangements and foreign regulatory regimes will interact with the Standard where international issuers, Acquirers, or related-entity payments are involved.

In short, the Standard must be read in context: it is an instrument under the Payment Systems (Regulation) Act and imports concepts from the Corporations Act and GST law. It overlays scheme Rules and private contracts with mandatory caps, measurement rules and reporting duties. Enforcement aspects and detailed regulatory powers are not contained in the Standard text and require reference to the enabling Act and other legislation.

The compilation includes the Standard and variations up to the compilation date 1 January 2022. The endnotes list the instrument’s registration and subsequent variations. The key entries in the legislation and amendment history are recorded in the compilation endnotes appended to the instrument.

Registered instrument and commencement. The original Standard No. 1 of 2016, titled The Setting of Interchange Fees in the Designated Credit Card Schemes and Net Payments to Issuers, was registered on 26 May 2016 and commenced on 1 July 2017 (endnote 3). On commencement the Standard replaced the prior Standard No. 1 relating to the VISA and MasterCard systems (clause 2.9).

Variations. The endnotes list three variations to the Standard included in this compilation:

• Variation registered 21 November 2017 (F2017L01506), noted in the amendment history (endnote 3). The amendment history table indicates that paragraph 4.2(b) was amended by F2017L01506 (endnote 4). Practitioners should note that clause 4.2(b) contains the timing obligation requiring participants to vary interchange rates "with effect no later than 2 months and 1 day after the end of the Above Benchmark Reference Period" so the 2017 variation related to that corrective duty.

• Variation 2019 registered 3 June 2019 (F2019L00720), with commencement recorded as 1 July 2019 (endnote 3).

• Variation 2021 registered 18 November 2021 (F2021L01573), with commencement recorded as 1 January 2022 (endnote 3).

Compilation notes. The compilation is identified as Compilation No. 3 with a compilation date of 01/01/2022 and notes that it includes amendments up to F2021L01573 (top matter and endnote 1). The compilation also explains that any uncommenced amendments are not displayed in the compiled text and that modification by other laws may mean the compiled law operates as modified but without textual amendment being shown in the compilation (prefatory notes). Users are advised that uncommenced amendments, if any, will be underlined in the endnotes and that the Legislation Register should be consulted for further details.

Specific provision amendments. The amendment history table in the endnotes indicates that paragraph 4.2(b) was amended by the 2017 variation (endnote 4). The compilation text therefore reflects the post-variation wording of clause 4.2(b). The endnotes do not provide further clause-level details for the 2019 and 2021 variations in the table, but the legislation history lists the variation instruments and their commencement dates (endnote 3). A practitioner wanting clause-level amendment detail must consult the variation instruments themselves (as listed) or the Legislation Register for the exact textual changes effected by each variation.

Transitional and commencement notes. Clause 7.1 states the Standard came into force on the Commencement Date, 1 July 2017, but certain provisions had transitional application as set out in clause 7 as at the Commencement Date. Clause 7.2 then records that from 1 January 2022 each participant must comply with the Standard as varied with effect from that date,this signals a later variation with practical effect from 1 January 2022 (endnote 3 lists the 2021 variation commencing 01/01/2022).

Readers should note that compilation endnotes may flag misdescribed amendments and other technical drafting matters (endnote 1 and 2). The compilation includes a table of legislation history and an amendment history summary but does not embed uncommenced amendments in the main text.
