Stamp Regulations 2003

The regulations introduce or operationalise several key concepts that interact with the Stamp Act 1921. The first is the concept of a “recognised financial market”. Regulation 5 prescribes the Australian Stock Exchange Limited, the Stock Exchange of Newcastle Limited, and any stock exchange that is a member of the World Federation of Exchanges. This designation matters because it determines which market transactions may be excluded from stamp duty or treated differently under the Act. The second concept is “endorsement” of an instrument under section 17C(1)(g). Regulation 6 requires that the notation contain enough information to indicate which of the events listed in section 17C(1) has occurred, the amount of duty, penalty tax or other amount paid, and that the endorsement is made by or on behalf of the Commissioner. The Commissioner may add any other information. This process is how a dutiable instrument is formally marked as having been dealt with under the Act. The third concept is the “business licence” category for the purposes of section 31B. Regulation 7 lists specific licences: fishing authorisations and entitlements under the Fish Resources Management Act 1994; pearling licences, hatchery licences and quotas under the Pearling Act 1990; liquor licences under the Liquor Licensing Act 1988; egg marketing licences under Part IVA of the Marketing of Eggs Act 1945; and certain broadcasting licences under the Commonwealth Broadcasting Services Act 1992. These are the licences that trigger stamp duty consequences when transferred or dealt with. The fourth concept is “market value” of vehicles for stamp duty purposes. Regulation 8 prescribes motor cars, motor cycles and motor wagons (as defined in the Road Traffic Act 1974 as at March 2004) other than heavy vehicles. For these classes, market value is determined under paragraph (a)(i) of the definition in section 76B(1). The fifth concept is “optional feature” in relation to vehicles. Regulation 8A prescribes that any particular type of engine in a vehicle is an optional feature for the purpose of paragraph (b) of the definition. This is a broad inclusion - it means that engine type is treated as an optional extra, potentially increasing the dutiable value of a vehicle. The sixth concept is the “prescribed records” that dealers must keep for vehicles that receive an exempt licence under section 76D(4), (5) or (5a). Regulation 8B requires a dealer to record the date of grant or transfer, and for each loan of the vehicle (including to a charitable organisation, school or individual), the dates of loan, the name of the recipient, the purposes, a description of the vehicle, and if loaned to an individual for a philanthropic purpose, a copy of the Commissioner’s approval. The records must be attested to by the dealer and, if loaned, also by the person responsible for the vehicle while on loan. The final concepts are the specific exemptions in the Third Schedule. Regulation 9 exempts animals held or used in connection with a business that is not in the business of primary production from stamp duty on conveyances under item 2(7a)(c). Regulation 10 exempts health insurance policies issued by registered organisations and Defence Service Homes Insurance policies from duty on policies of insurance under item 8(4). Regulation 11 exempts from duty on vehicle licences under item 9(3) the following: tractor plants and tractors (other than prime mover types) as described in the First Schedule to the Road Traffic Act 1974; persons who own a vehicle whose licence fee is reduced under regulation 21M of the Road Traffic (Licensing) Regulations 1975; and the uses of the vehicle described in that regulation 21M.

The regulations affect a relatively narrow but commercially important set of parties. The most directly affected are vehicle dealers who handle exempt licences under section 76D of the Act. Regulation 8B imposes a specific record-keeping and attestation obligation on them, with a penalty of $2,000 for non-compliance. This affects any dealer who receives a grant or transfer of a vehicle licence for which section 76D(4), (5) or (5a) applies (the exempt dealer provisions). Dealers who loan vehicles to charitable organisations, schools or individuals for philanthropic purposes are also caught; they must record loan details and obtain Commissioner approval for philanthropic purposes. The second group affected are holders or transferors of prescribed business licences. Regulation 7 applies to any person who holds an authorisation under the Fish Resources Management Act 1994, a pearling licence, a liquor licence, an egg marketing licence, or a commercial broadcasting licence (radio, television, or subscription). When such licences are transferred or dealt with, the stamp duty consequences under the Act are triggered. This affects participants in the fishing, pearling, hospitality, egg marketing, and broadcasting industries. The third group are parties to conveyances of animals. Regulation 9 means that if a business that is not in primary production sells animals, the conveyance may be exempt from stamp duty. Conversely, primary producers (as defined in section 75D(1)) do not get that exemption. This affects farmers, agribusinesses, and any business that holds animals but whose primary business is not primary production (e.g., a zoo, a racing stable, a petting farm). The fourth group are insurers and policyholders. Regulation 10 exempts health insurance policies issued by registered organisations under the National Health Act 1953 and policies under the Defence Service Homes Insurance Scheme. This directly affects health insurers, the Defence Service Homes Insurance Scheme, and their policyholders, as those policies are not subject to stamp duty. The fifth group are owners of certain vehicles. Regulation 11 exempts from stamp duty on vehicle licences: tractor plants and tractors (other than prime movers), and vehicles whose licence fee is reduced under regulation 21M of the Road Traffic (Licensing) Regulations 1975. This affects farmers, agricultural businesses, and owners of specific low-use or concession vehicles. The sixth group are participants in prescribed financial markets. Regulation 5 benefits parties transacting on the ASX, the Stock Exchange of Newcastle, or any member exchange of the World Federation of Exchanges, because those transactions are on a “recognised financial market” and may be excluded from duty. The seventh group are those who need to endorse instruments under section 17C. Regulation 6 affects any person who must have an instrument endorsed by or on behalf of the Commissioner, typically in connection with a dutiable transaction. The Commissioner of State Revenue is also affected because the regulations define how such endorsements are to be made and what records dealers must keep. In summary, the regulations impose compliance burdens on dealers and endorsees, provide relief for specific industries (health insurance, broadcasting, fishing, liquor, egg marketing, certain vehicle owners), and narrow the stamp duty base in limited ways.

The regulations impose several specific duties and confer limited rights. The primary duty is on vehicle dealers under regulation 8B. A dealer who receives a grant or transfer of a licence for a vehicle to which section 76D(4), (5) or (5a) applies must keep prescribed records for that vehicle. Those records must include the date of grant or transfer and, for each loan of the vehicle described in section 76D(5a) (loans to charitable organisations, schools, or individuals), the date the loan commenced and ceased, the name of the charitable organisation, school or individual, the purposes of the loan, a description of the vehicle including type, make, model, licence plate number and engine number, and if the vehicle is loaned to an individual for a philanthropic purpose, a copy of the Commissioner’s approval of that purpose. The dealer must attest to the accuracy of the records, and if the vehicle is loaned, the person responsible for the vehicle while on loan must also attest. The records must be kept in an approved manner. Failure to comply attracts a penalty of $2,000. This is a strict record-keeping duty with no explicit defence of reasonable mistake. Another duty is on any person who endorses an instrument for the purposes of section 17C(1)(g). Regulation 6 requires that the endorsement be effected by a notation on the instrument containing sufficient information to indicate which of the events in section 17C(1) has occurred, the amount of duty, penalty tax or any other amount paid, and that the endorsement is made by or on behalf of the Commissioner. The Commissioner may include additional information. This duty is triggered when an instrument requires endorsement under the Act; the regulation specifies the manner. There is no penalty specified in the regulation for non-compliance, but the Act likely provides consequences for failing to have a properly endorsed instrument. The rights conferred by the regulations are primarily exemption rights. Regulation 9 gives a right to claim an exemption from stamp duty on the conveyance or transfer on sale of animals if those animals are held or used in connection with a business that is not in the business of primary production. This right is conditional on the business characterisation. Regulation 10 gives a right to claim an exemption from duty on policies of insurance for policies issued by registered organisations in the course of their health insurance business, and for policies under the Defence Service Homes Insurance Scheme. Regulation 11 gives a right to claim an exemption from duty on vehicle licences for certain tractors and for vehicles with reduced licence fees under regulation 21M of the Road Traffic (Licensing) Regulations 1975. These exemptions are not automatic - they must be claimed in the manner prescribed by the Act (which the regulations do not detail). Parties also have a right to have an instrument endorsed in accordance with the manner prescribed, and the ability to rely on a prescribed financial market under regulation 5. However, the rights are limited: the exemptions are specific and narrow. For example, the animal exemption excludes primary production businesses, which is a significant carve-out. The vehicle exemption is limited to two narrow categories. The insurance exemption does not extend to general insurance or life insurance. The duties, on the other hand, are enforceable with penalties, creating a compliance burden.

The regulations themselves contain only one penalty provision, but it is significant. Regulation 8B(2) states that the accuracy of the records for a vehicle is to be attested to by the dealer, and if the vehicle is loaned, also by the person responsible for the vehicle while on loan. The penalty for failing to comply with that attestation requirement is $2,000. Regulation 8B(3) states that the records must be kept in an approved manner, with a separate penalty of $2,000 for non-compliance. These are fines that apply per vehicle (or per instance of non-compliance). The amount is fixed, not indexed to the duty at stake. The regulations do not specify any investigation powers or enforcement mechanisms; those are found in the Stamp Act 1921 itself, which gives the Commissioner of State Revenue powers to audit, demand records, and impose additional penalty tax for non-compliance. The regulations also do not create any criminal offences; the penalties are likely civil pecuniary penalties payable to the Commissioner. The $2,000 amount is modest relative to the value of vehicles or licences, but it can accumulate across multiple vehicles. There is no specific penalty in the regulations for failure to comply with the endorsement requirements of regulation 6, or for incorrectly claiming exemptions. However, the Act would provide the enforcement teeth: if an instrument is not properly endorsed, it may be unstamped and thus unenforceable. If an exemption is claimed incorrectly, the Commissioner can assess duty plus penalty tax. The regulations do not create any new enforcement bodies or processes. The Commissioner’s existing powers under the Act apply. Notably, regulation 8B does not specify a time limit for keeping the records. The Act’s section 76N may or may not impose a period; the regulation merely prescribes the records. Practitioners should assume the standard six-year retention period under tax law unless the Act states otherwise. The penalty of $2,000 for failing to keep records in an approved manner is also vague - “approved manner” is not defined in the regulations; it presumably means in a manner approved by the Commissioner, potentially including electronic form, retention period, and accessibility. This creates uncertainty: a dealer who does not obtain explicit approval could be in breach even if the records are accurate and complete.

The regulations explicitly reference a number of other statutes, creating a layered interaction. First, the regulations interact with the Commonwealth Broadcasting Services Act 1992: regulation 7(e), (f) and (g) prescribe commercial radio and television broadcasting licences and subscription broadcasting licences under that Commonwealth Act. This means that the stamp duty treatment of those licences under Western Australian law depends on the existence of the federal licence. If the Commonwealth Act is amended, the reference in regulation 7 may become outdated - it does not adopt the Act as amended from time to time. Second, the regulations interact with the Road Traffic Act 1974 (WA) in two places: regulation 8 defines “motor car”, “motor cycle” and “motor wagon” by reference to that Act “as in force on the commencement of the Stamp Amendment Regulations 2004” (1 March 2004). This is a static reference, meaning any subsequent changes to the Road Traffic Act 1974 definitions do not affect the stamp duty vehicle categories. Regulation 11(a) similarly refers to “tractor plants and tractors (other than prime mover types), as described in the First Schedule to the Road Traffic Act 1974” without specifying a date - that is likely a dynamic reference to the current First Schedule. This inconsistency in approach can cause confusion. Third, regulation 10(b) refers to the Commonwealth Defence Service Homes Act 1918 and the National Health Act 1953 for definitions of “Defence Service Homes Insurance Scheme”, “health insurance business” and “registered organisation”. These are references to Commonwealth Acts as amended from time to time, unless otherwise stated. Fourth, regulation 7 lists licences under several WA Acts: Fish Resources Management Act 1994, Pearling Act 1990, Liquor Licensing Act 1988, and Marketing of Eggs Act 1945. These interactions mean that a transaction involving any of those licences may have stamp duty implications under the Stamp Act as supplemented by the regulations. Fifth, the regulations contain provisions under the Commonwealth Places mirror tax regime. The notes 1M and 1MC indicate that modifications to the Stamp Act and these regulations have been prescribed under the Commonwealth Places (Mirror Taxes Administration) Act 1999 (WA) and the Commonwealth Places (Mirror Taxes) Act 1998 (Cth). Those modifications insert regulations 3 and modify the application of these regulations in Commonwealth places (such as defence bases or Commonwealth-owned land in WA). Practitioners dealing with transactions in Commonwealth places must check those separate instruments. Sixth, regulation 11(b) and (c) refers to regulation 21M of the Road Traffic (Licensing) Regulations 1975 (WA). This creates a dependency: the stamp duty exemption for vehicle licences depends on the vehicle owner qualifying for a reduced licence fee under that specific road traffic regulation. If that regulation is amended or repealed, the stamp duty exemption could change. Seventh, regulation 9(2) defines “primary production” by reference to section 75D(1) of the Stamp Act, not by reference to another piece of legislation. So that definition is internal to the stamp duty regime. Overall, the regulations are heavily interwoven with other WA and Commonwealth laws, requiring practitioners to cross-reference multiple instruments to determine the correct stamp duty treatment.

The Stamp Regulations 2003 were originally gazetted on 27 June 2003 and commenced on 1 July 2003, the same day as the Stamp Amendment Act 2003. Since then, they have been amended on multiple occasions. The first amendment was the Stamp Amendment Regulations 2003 (Gazette 30 December 2003, operative 1 January 2004). That amendment is not shown in the remaining text; but it preceded the major changes in 2004. The Stamp Amendment Regulations 2004 (Gazette 27 February 2004, operative 1 March 2004) inserted regulation 8, which prescribes the classes of vehicles for the definition of “market value”. The Stamp Amendment Regulations (No. 2) 2004 (Gazette 7 May 2004, operative same day) inserted regulation 9, which created the conveyance exemption for animals held in connection with a non-primary production business. The Stamp Amendment Regulations (No. 3) 2004 (Gazette 29 June 2004, operative same day) amended regulation 5 to include “any stock exchange that is a member of the World Federation of Exchanges” in the list of recognised financial markets. This was likely in response to the increasing globalisation of financial markets. The Stamp Amendment Regulations (No. 4) 2004 (Gazette 13 August 2004, operative same day) deleted regulation 12 (which is not reproduced). The Stamp Amendment Regulations (No. 6) 2004 (Gazette 16 November 2004, operative 1 December 2004) inserted regulation 8A, which prescribes that any particular type of engine in a vehicle is an optional feature. The Stamp Amendment Regulations (No. 5) 2004 (Gazette 3 December 2004, operative 3 December 2004) amended regulation 6 to add the possibility of endorsement by someone on behalf of the Commissioner and to allow the endorsement to include any other information the Commissioner considers appropriate. Regulation 6 originally required endorsement “by the Commissioner” and was narrower. The next amendment was in 2006: the Stamp Amendment Regulations 2006 (Gazette 21 March 2006, operative same day) inserted regulation 8B, which imposes the record-keeping requirements for dealers with exempt vehicles. The most recent amendment is the Stamp Amendment Regulations 2019 (Gazette 28 June 2019, operative 2 July 2019). That amendment deleted former regulation 7(c) (which had related to a now-repealed Act) and added paragraph (e), (f) and (g) to regulation 7, covering egg marketing licences and broadcasting licences. That expanded the list of prescribed business licences. The compilation table also notes that regulation 3 was omitted under the Reprints Act 1984 s. 7(4)(f), and there are separate modifications for Commonwealth places (1M and 1MC) that may have inserted a regulation 3. The amendment history reveals a pattern of incremental expansion: the regulations initially dealt with financial markets and endorsement, then added vehicle valuation and conveyance exemptions in 2004, then record-keeping in 2006, and finally broadcasting licences in 2019. The regulations have not been subject to wholesale review; they are a patchwork of discrete additions.

The regulations themselves do not cite any court cases. The source text contains no references to litigation, and there is no reason to infer that these regulations have been the subject of reported judicial decisions in their own right. Any litigation involving these regulations would likely arise as part of a broader challenge to a stamp duty assessment under the Stamp Act 1921, where a taxpayer disputes the application of a prescribed definition or exemption. For example, the interpretation of “primary production” in regulation 9 might be contested in a case about animal conveyances. The definition of “optional feature” in regulation 8A being so broad (“any particular type of engine”) could be argued to be outside the scope of the enabling power in section 76B(1), or could be challenged as unreasonable. The static reference to the Road Traffic Act 1974 as at 2004 for vehicle classes could be challenged if the Road Traffic Act is later amended and the regulation becomes inconsistent with modern classifications. There might also be disputes about what constitutes an “approved manner” for record-keeping under regulation 8B(3). However, without specific case names or citations in the source, the deep dive cannot identify any known litigation. It is possible that the regulations have been considered in Victorian or New South Wales stamp duty cases by analogy, but the methodology requires grounding only in the source. The lack of cited litigation does not mean the regulations are uncomplicated; it may mean that the duty amounts involved are typically small enough not to warrant litigation, or that the Commissioner’s interpretation prevails in practice. Practitioners should be aware that the regulations’ definitions could be contested, but the litigation risk appears low based on this source.

Several provisions in the regulations contain traps for the unwary. The first is the static definition of vehicle classes in regulation 8. It refers to the Road Traffic Act 1974 “as in force on the commencement of the Stamp Amendment Regulations 2004” (1 March 2004). If the Road Traffic Act has since changed its definitions of “motor car”, “motor cycle” or “motor wagon”, the stamp duty definition may be frozen in time. This can lead to a vehicle being classified one way under road traffic law but differently for stamp duty purposes. A dealer or owner relying on the current Road Traffic Act definitions could miscalculate duty. The second gotcha is that regulation 8A prescribes “any particular type of engine” as an optional feature. The phrase is extremely broad. It likely includes different engine sizes, fuel types (petrol, diesel, electric, hybrid), and even different engine configurations. This means that when calculating the market value of a vehicle, the value of the engine as an optional extra must be included. The regulation does not limit this to optional extras that are factory-fitted or that have a separate price; it captures any engine type. A dealer who sells a vehicle with a more expensive engine (e.g., a V8 vs. a V6) may need to treat that as an optional feature, increasing the dutiable value. The third gotcha is the attestation requirement in regulation 8B(2). Both the dealer and, if the vehicle is loaned, the person responsible for the vehicle while on loan must attest to the accuracy of the records. If a dealer loans a vehicle to multiple individuals or organisations consecutively, each loan must be recorded, and each person responsible for the vehicle must attest. Collecting these attestations could be administratively burdensome. Failure to obtain an attestation incurs a $2,000 penalty. The fourth gotcha is the requirement that records be kept in an “approved manner” (regulation 8B(3)). There is no guidance in the regulations on what constitutes an approved manner. It is not defined. The dealer must presumably seek approval from the Commissioner, which may involve a specific application or acceptance of an electronic record-keeping system. A dealer who uses a standard paper file without explicit approval may be in breach. The same $2,000 penalty applies. The fifth gotcha is the narrowness of the exemptions. Regulation 9 exempts animals held in connection with a business that is not in the business of primary production. Many businesses that hold animals (e.g., agistment operators, pet breeders, equestrian centres) may not be “primary production” as defined in section 75D(1). But that definition may be narrower than the ordinary meaning, potentially trapping businesses that think they are exempt. Conversely, a farmer who sells animals as part of a primary production business cannot claim the exemption. The sixth gotcha is the vehicle licence exemption under regulation 11. It only applies to tractor plants and tractors (other than prime movers) as described in the First Schedule to the Road Traffic Act 1974, and to persons who own a vehicle with a reduced licence fee under regulation 21M of the Road Traffic (Licensing) Regulations 1975. The exemption does not extend to other agricultural vehicles (e.g., harvesters or quad bikes), nor to other concession vehicles. A dealer or owner who assumes all farm vehicles are exempt could be wrong. The seventh gotcha is the list of business licences in regulation 7. It includes licences under the Marketing of Eggs Act 1945 and licensing under the Pearling Act 1990, which are specialised industries. If a person holds a similar licence under a different Act (e.g., a fishing licence that is not under the Fish Resources Management Act 1994), it is not prescribed. The stamp duty implications for that licence might be different. The eighth gotcha is that the recognised financial market list in regulation 5 is not exhaustive - it only includes the ASX, Stock Exchange of Newcastle, and members of the World Federation of Exchanges. Other financial markets (e.g., Chi-X or private trading platforms) are not prescribed, so transactions on those markets may not get the benefit of being on a recognised financial market. The final gotcha is the interaction with Commonwealth places modifications (1M and 1MC). These modifications are separate statutory instruments that are not reproduced in the regulations. A dealer or practitioner in a Commonwealth place (e.g., a vehicle dealer on a defence base or in a Commonwealth territory in WA) must check those separate instruments to see if the definitions or exemptions have been modified. Relying solely on these regulations could lead to incorrect stamp duty treatment.

Compliance with the Stamp Regulations 2003 requires different steps depending on the party’s role. For vehicle dealers subject to regulation 8B, the compliance steps are as follows. First, identify every vehicle for which a licence is granted or transferred under section 76D(4), (5) or (5a) of the Act (the exempt dealer provisions). Second, for each such vehicle, maintain a record containing the date of grant or transfer. Third, if the vehicle is loaned to a charitable organisation, school or individual under section 76D(5a), record for each loan: the start and end dates, the name of the recipient, the purposes of the loan, a description of the vehicle (type, make, model, licence plate number and engine number), and if the loan is to an individual for a philanthropic purpose, a copy of the Commissioner’s approval of that purpose. Fourth, ensure that the accuracy of the records is attested to by the dealer (and if loaned, also by the person responsible for the vehicle during the loan). This likely requires a signed declaration or statement. Fifth, keep the records in a manner approved by the Commissioner. The dealer should proactively contact the Commissioner of State Revenue to inquire what is considered an approved manner - whether electronic database, hard copy, specific format, or retention period. Sixth, comply with the attestation requirement before the records are due. Seventh, monitor any changes to the Road Traffic Act 1974 or the Road Traffic (Licensing) Regulations 1975 that might affect the vehicle classifications under regulation 8 or the exemption under regulation 11; but note that the regulation 8 definition is static, so the 2004 definitions apply regardless of later amendments. For non-dealers seeking to claim exemptions, the compliance steps are different. For a conveyance of animals under regulation 9: verify that the animals are held or used in connection with a business, and that the business is not in the business of primary production as defined in section 75D(1) of the Act. Obtain legal advice on that characterisation. Then claim the exemption in the instrument of conveyance or transfer, likely by submitting the appropriate form to the Commissioner and referencing item 2(7a)(c) of the Third Schedule and regulation 9. Keep evidence of the business characterisation. For insurance policies under regulation 10: confirm that the policy is issued by a registered organisation under the National Health Act 1953 (for health insurance) or is a Defence Service Homes Insurance policy. If so, claim the exemption when lodging the policy for stamping. For vehicle licences under regulation 11: check if the vehicle is a tractor plant or tractor (other than prime mover) as described in the First Schedule to the Road Traffic Act 1974. If not, check if the vehicle owner qualifies for a reduced licence fee under regulation 21M of the Road Traffic (Licensing) Regulations 1975 and the vehicle is used for the purposes described in that regulation. If so, claim the exemption from duty on the vehicle licence. For any party dealing with prescribed business licences under regulation 7 (fishing, pearling, liquor, egg marketing, broadcasting): determine whether the transfer or dealing triggers stamp duty under the Act. The regulations do not create the duty; they only identify which licences are caught. Compliance requires lodging the instrument and paying any duty assessed, or claiming an exemption if available elsewhere in the Act. For parties needing to endorse an instrument under section 17C: follow the manner prescribed in regulation 6. The notation must include: which event under section 17C(1) has occurred; the amount of duty, penalty tax or other amount paid; and that the endorsement is made by or on behalf of the Commissioner. The Commissioner may require additional information. Ensure the endorsement is on the instrument itself (not on a separate document). For financial market participants: rely on regulation 5 only if the transaction is on the ASX, the Stock Exchange of Newcastle, or a stock exchange that is a member of the World Federation of Exchanges. For any other market, the transaction may not be on a recognised financial market, and different stamp duty treatment may apply. For practitioners dealing with Commonwealth places: consult the modifications under the Commonwealth Places (Mirror Taxes Administration) Regulations 2007 (WA) and the Commonwealth Places (Mirror Taxes) (Modifications of Applied Laws (WA)) Notice 2007 (Cth) to see if any regulation has been modified, added or deleted. These modifications are separate instruments and take precedence over these regulations for transactions in Commonwealth places. In all cases, keep clear records of the basis for any exemption claim or compliance step. The regulations are short, but their interaction with the Act and other laws means that professional advice should be obtained for any non-standard transaction. The penalties under regulation 8B are fixed and can be avoided by diligent record-keeping and attestation.
