St George Bank and Advance Bank Australia Act 1998

The central concept in this Act is the translated asset and translated liability. These are defined in section 3 by reference to the New South Wales regulation: a translated asset is an asset of Advance Bank that, under that regulation, has become an asset of St George; a translated liability is a liability that has become a liability of St George. The Victorian Act does not itself identify which assets or liabilities fall into these categories. That work was done by the NSW regulation. The Victorian Act then attaches legal consequences to those translations within Victorian jurisdiction. This means that to determine whether a specific piece of Victorian land, a contract governed by Victorian law, or a cause of action in a Victorian court has been transferred, one must first consult the NSW regulation. The Victorian Act simply assumes the classification and then gives it effect.

The concept of payment in lieu under section 6 is another core feature. The Act does not exempt St George from state taxes absolutely. Instead, it substitutes a single payment for the multitude of duties, charges, and imposts that would otherwise apply to each individual asset transfer, each instrument, each land dealing, and each filing. The amount is set by the opinion of the Treasurer. The section defines taxes, duties, charges, and imposts broadly but expressly excludes amounts payable to the Australian Securities Commission under the Corporations Law or the ASC Law, and amounts payable to the Registrar of Titles or Registrar General in respect of land transactions. This means that St George still has to pay the normal fees for registering land transfers and for corporate filings under the Corporations Law. The payment in lieu covers only State taxes in the strict sense, such as stamp duty, financial institutions duty, and debits tax.

The certificate power in section 7 is a significant evidentiary tool. The chief executive officer of St George may certify any matter in relation to the operation or effect of the Act or the NSW regulation, and may specifically certify that a specified asset has become a translated asset or that a specified liability has become a translated liability. The certificate is conclusive evidence of the matters certified for all purposes and in all courts, tribunals, and proceedings, except to the extent that the contrary is established. This reverses the usual evidentiary burden: a party challenging a certificate must prove it wrong; St George does not have to prove the certificate is correct. The certificate can be used by St George to prove its title to assets, its assumption of liabilities, and its standing in proceedings without having to produce the underlying NSW regulation or the corporate records.

The deemed consent mechanism under section 10(3) is a blunt override of private contractual rights. Where the advice or consent of a person would otherwise be necessary to give effect to the Act, that advice is taken to have been obtained and that consent is taken to have been given. This applies irrespective of any contractual provision prohibiting, restricting, or regulating the assignment of assets or liabilities. Counterparties such as lessors, lenders, guarantors, or joint venture partners who had contractual veto rights over the assignment of Advance Bank's interests cannot block the transfer to St George. Their consent is statutorily supplied. This is a clear intrusion into freedom of contract, but it is limited to this specific merger and is common in facilitating legislation for bank amalgamations.

The Act directly affects three categories of entities. First, St George Bank Limited (now part of Westpac after later mergers) is the primary beneficiary and obligor. It gains the right to operate under the Advance Bank and BankSA business names without registering them under the business names legislation. It is required to pay the Treasurer the amount determined in lieu of state taxes. It may issue certificates that become conclusive evidence. It is deemed the registered proprietor of Advance Bank's Victorian land. It inherits Advance Bank's pending legal proceedings. It is protected from breaching contracts, confidentiality obligations, or Victorian laws as a consequence of the merger steps.

Second, Advance Bank Australia Limited is the disappearing entity. It was the transferor of assets and liabilities. The Act does not dissolve Advance Bank that would have been done under corporations law but it completes the legal consequences of the transfer in Victoria. After the vesting, Advance Bank ceases to have any Victorian assets or liabilities that have been translated. Its name can be used by St George. Its pending legal proceedings are taken over by St George.

Third, counterparties to contracts, leases, and other instruments with Advance Bank who would have had consent rights or who could have claimed that the merger triggered a breach or terminated an agreement are adversely affected. Section 10 overrides their rights explicitly. A lessor who had a clause prohibiting assignment of the lease without consent has no remedy. A lender who had a change of control clause that would have allowed acceleration cannot rely on it. A guarantor of Advance Bank's obligations is not released from liability despite the substitution of St George as the principal debtor (section 10(2)(d) expressly provides that no release occurs). These counterparties lose contractual entitlements that would otherwise have value, such as the ability to renegotiate terms, demand higher security, or exit the relationship.

Fourth, the Treasurer of Victoria receives the payment in lieu of taxes and determines its amount. The Treasurer's opinion is not subject to appeal or review under the Act. The Treasurer also gives a certificate confirming payment, which is likely a prerequisite for St George to fully enjoy the exemption from stamp duty and other taxes.

Fifth, the Registrar of Titles and the Registrar General have duties under section 8 to make recordings and entries necessary to give effect to the vesting of land titles. They must act upon request by St George and upon payment of relevant fees. They have no discretion to refuse on the basis that the transfer does not comply with the Transfer of Land Act because section 8(1) deems St George to be the registered proprietor despite anything to the contrary in any written law.

Sixth, courts and tribunals in Victoria are affected because section 9 automatically substitutes St George for Advance Bank in existing proceedings without requiring any application, order, or consent of the court. The substitution takes effect on 1 April 1998, which was before the Act itself was passed (the Act received Royal Assent on 2 June 1998). This retroactive effect is unusual but expressly provided.

St George's primary duty is set out in section 6(1): it must pay to the Treasurer an amount that, in the opinion of the Treasurer, equals the taxes, duties, charges, and imposts that would otherwise be payable under Victorian law as a result of the vesting of translated assets and the transfer of translated liabilities. This is not a discretionary payment. The wording is mandatory: "St George must pay". The Treasurer determines the amount. The Act does not specify any time limit for payment, nor any interest or penalty for late payment. If St George pays, it is discharged from all liability for those taxes and from any obligation to lodge statements or returns relating to stamp duty, financial institutions duty, or debits tax. The Treasurer must then give a certificate that the sum due has been paid.

St George's rights include the right to operate under the permitted business names (section 5). This right is statutory and does not depend on registration under the Business Names Registration Act 2011. However, section 5(3) expressly preserves St George's ability to register those names voluntarily under the Commonwealth Act, which would give additional protection. The right to use the names "Advance Bank Australia Limited" and "BankSA, a Division of Advance Bank Australia Limited" was originally time limited until 30 November 1998. That period has long expired. The other names are permanent entitlements.

The right to issue conclusive certificates under section 7 is a powerful evidentiary right. The chief executive officer may certify matters concerning the operation of the Act or the NSW regulation. The certificate is conclusive evidence except to the extent the contrary is established. This means that in litigation or administrative proceedings, St George can produce a certificate to prove, for example, that a particular debt is a translated liability or that a particular property is a translated asset. The opposing party then bears the burden of proving the certificate wrong. The certificate does not require any independent verification, registration, or approval. It is a self serving document that carries legal weight.

St George's right to be deemed registered proprietor of Victorian land formerly held by Advance Bank is automatic under section 8(1). This operates despite anything in the Transfer of Land Act 1958 or any other law. St George can then deal with the land as owner. The Registrar of Titles must make the necessary recordings upon request and payment of fees. This eliminates the need for a formal transfer of land instrument and avoids the normal conveyancing process.

Third parties who are counterparties to contracts with Advance Bank have a right under section 10(2) not to be placed in breach of contract or confidence by the merger, but this is a negative right: they are not in breach. However, they also had the right to receive consent or advice before assignment of assets or liabilities, and that right is extinguished by section 10(3). Their consent is deemed given. Their right to terminate or exercise a power under an agreement is not triggered by the merger (section 10(2)(c)). Their position is that the contract continues with St George substituted as the counterparty, but the terms and conditions remain the same.

Sureties and guarantors are expressly not released from liability by section 10(2)(d). This right of the obligee (St George or the counterparty, depending on the arrangement) to hold the surety to its obligation is preserved despite the substitution of the principal debtor.

The Act contains no offence provisions. It creates no criminal penalties, no civil penalties, no infringement notices, and no enforceable undertakings. The only monetary obligation is the payment in lieu of state taxes under section 6, and that is to the Treasurer. The Act does not specify what happens if St George fails to pay. There is no interest, no late fee, no penalty for non payment. Presumably the Treasurer could sue St George in debt for the amount determined, but the Act is silent on enforcement mechanisms. The certificate of payment under section 6(3) is merely a statement of fact; it does not create a debt if unpaid.

The enforcement of the conclusive certificate provision in section 7 is a matter for evidence law. If St George issues a certificate and a court or tribunal accepts it as conclusive evidence, the opposing party cannot contest the fact certified unless they can prove the contrary. The Act does not create an independent cause of action for issuing a false certificate. The chief executive officer who signs a certificate that is factually incorrect may be subject to the general law of misrepresentation or perhaps the Crimes Act 1958 provisions on false statements, but the Act itself does not criminalise false certification.

For third parties whose contractual rights are overridden by section 10, the Act provides no compensation mechanism. There is no provision for a person who suffers loss from the deemed consent or from the override of a contractual prohibition to claim compensation from St George or the State. The Act simply states that St George and Advance Bank are not in breach and that no civil wrong occurs. If a third party had a valuable contractual right to veto the assignment of a lease or loan, that right is extinguished without payment. The only recourse for such a third party would be to argue that the Act does not apply to their specific situation, for example, that the asset in question is not a translated asset or that the liability is not a translated liability. They could attempt to rebut a certificate under section 7, but the burden of proof lies on them.

The only potential enforcement mechanism against the State would be a proceeding for judicial review of the Treasurer's opinion under section 6(1). The Act does not exclude judicial review, but the Treasurer's opinion is expressed in subjective terms. A court might be reluctant to review the quantum of the payment unless the Treasurer acted in bad faith or on a wrong legal principle. The opinion is not required to be reasonable or proportionate; it simply must be the opinion of the Treasurer.

Section 10(1) provides that the Act has effect despite anything in any contract, deed, undertaking, agreement, or other instrument. This is a paramountcy clause. It subordinates private agreements to the Act. Section 10(2) then clarifies that nothing done by or under the Act places anyone in breach of contract, confidence, or a civil wrong, nor in breach of any Victorian law or contractual provision prohibiting assignment. This overrides provisions in the Property Law Act 1958, the Trustee Act 1958, and any other Victorian statute that might imply a prohibition on assignment of choses in action or that requires consent for the transfer of property.

Section 10(3) deems consents and advice to have been obtained. This interacts with laws that require consents for the transfer of particular interests, such as the Transfer of Land Act 1958 (which requires a registered proprietor to execute a transfer), the Landlord and Tenant Act 1958 (which may require consent to assign a lease), and the Corporations Act 2001 (which may require approval for transactions affecting substantial assets). The deemed consent eliminates the need to obtain these consents.

Section 6 interacts with Victorian taxation law. It overrides the Stamp Act 1958, the Financial Institutions Duty Act 1982 (now repealed but in force at the time of the merger), and the Debits Tax Act 1990 (also now repealed). St George is exempt from stamp duty, FID, and debits tax on all instruments and transactions that give effect to the vesting. However, the exemption is conditional on payment of the amount in lieu determined by the Treasurer. If St George does not pay, the exemption may not apply. The Act also excludes from the "taxes, duties, charges or other imposts" definition amounts payable to the Australian Securities Commission under the Corporations Law. That means corporate filings, such as lodgement of notices of change of director or shareholding, are still subject to the normal fees under that regime.

Section 5 interacts with the Business Names Registration Act 2011 (Cth). Originally, the Act allowed St George to operate under the named business names without registering under the Victorian Business Names Act. The 2011 amendment updated the provisions to refer to the Commonwealth Act. Section 5(3) expressly does not prevent St George from registering the names under the Commonwealth Act, but it is not required to do so. This saves St George the cost and administrative burden of registration, though it also means that the name protection offered by registration is not obtained.

Section 8 interacts with the Transfer of Land Act 1958. It deems St George to be the registered proprietor of land for the purposes of that Act, despite any other written law. This overrides the requirement that a transfer must be executed by the registered proprietor and lodged with the Registrar. The Registrar must make necessary recordings upon request and payment of fees. This is a form of statutory compulsory transfer of title that bypasses the normal indefeasibility provisions, though the result is that St George obtains registered title with all the protections of indefeasibility.

Section 9 interacts with court procedure laws, including the Supreme Court Act 1986 and the rules of court. It automatically substitutes St George as a party without any order or consent of the court. This is a statutory change of party that overrides the normal procedural rules requiring a court application for substitution.

The Act has been amended only once since its enactment in 1998. The amending Act was the Business Names (Commonwealth Powers) Act 2011 (No. 79 of 2011), section 37 of which amended section 5 of this Act. The amendment took effect on 28 May 2012, as proclaimed in Special Gazette No. 151 of 8 May 2012.

The amendment was purely mechanical. It updated subsections 5(3) and 5(4) to replace references to the former State based business names legislation with references to the Commonwealth Business Names Registration Act 2011. This was necessary because Australia moved from a state based business names registration system to a national system under the Commonwealth Act, effective 28 May 2012. The 2011 amending Act was a Victorian Act that, among other things, referred powers to the Commonwealth to legislate for a national business names regime. The amendment to this Act ensured that St George's statutory permission to operate under the named business names continued to operate seamlessly despite the change in the underlying registration system.

No other amendments have been made. The Act remains substantially as it was in 1998. There have been no amendments to the definitions, the payment in lieu provisions, the certificate provisions, the land provisions, the legal proceedings provisions, or the override provisions. The endnotes table of amendments confirms this. The Act is therefore a relatively stable piece of facilitating legislation that has not needed updating other than for the business names regime change.

The Act itself does not cite any cases, and the endnotes provide no litigation history. As a facilitating statute for a specific merger, it is unlikely to have generated a body of case law. The nature of the Act a statutory override of contractual rights and a conferral of conclusive evidentiary powers means that it could be the subject of litigation if a third party challenged the application of the Act to their particular contract or asset.

Hypothetical grounds for challenge include: whether a particular asset is a "translated asset" within the meaning of the NSW regulation; whether the certificate issued by the CEO is conclusive or whether the challenger can establish the contrary; whether the Treasurer's opinion on the payment in lieu was formed without proper basis; whether the Act retroactively applies to proceedings that commenced after the merger date but before the Act's commencement (section 9 operates from 1 April 1998, before the Act's 2 June 1998 commencement); and whether the Act exceeds the legislative power of the Victorian Parliament, particularly in overriding contractual rights and deeming consents.

A litigant could also argue that the Act does not apply because the asset or liability was not validly translated under the NSW regulation, or that the NSW regulation itself was invalid. The Victorian Act does not confer validity on the NSW regulation; it only attaches consequences to the translation. If the NSW regulation were found to be invalid or not to cover a particular asset, the Victorian Act would not apply and the normal rules of property and contract would govern.

The Act's provision that certificates are "conclusive evidence of the matters certified, except to the extent that the contrary is established" places the burden of proof on the challenger. This is a significant procedural hurdle. In practice, a challenger would need to adduce positive evidence that the asset or liability was not translated, which may require access to the internal records of Advance Bank and St George and to the NSW regulation. The Act's allowance for rebuttal means it is not an absolute bar to challenge, but it does reverse the usual evidentiary position.

It is also possible that the Act was tested in litigation concerning the land title provisions. The Transfer of Land Act 1958 provides for compensation from the Torrens assurance fund for persons who lose an interest in land due to an incorrect recording. A person who had an interest in land that was sold by St George after being deemed registered proprietor might have a claim against the assurance fund if the vesting was not valid under the NSW regulation. That would be a claim under the Transfer of Land Act, not this Act, but this Act would be the basis for the Registrar's action.

No specific cases are reported in the Victorian law reports or in any accessible database that directly interpret this Act. It is a piece of transactional legislation that likely operated without judicial intervention.

The first major trap for an unwary third party is section 10(3): the deeming of consents and advice. A lessor or lender who had a contractual right to vet and approve the transfer of a lease or loan to St George loses that right entirely. The consent is deemed given. There is no compensation. The provision operates automatically and without notice. A counterparty who objects to dealing with St George rather than Advance Bank has no contractual recourse. Their only avenue is to argue that the specific asset or liability is not a translated asset or liability, which is a factual question that carries the burden of proof and may require access to the NSW regulation.

Second, section 10(2)(d) provides that no surety or other obligor is released from liability even though the principal debtor has changed from Advance Bank to St George. A guarantor of Advance Bank's obligations might assume that a material change in the debtor releases the guarantee. This Act expressly states it does not. The guarantee continues in full force. Guarantors need to be aware that their exposure is unaffected by the merger despite the substitution of a different corporate entity as the primary obligor.

Third, the conclusive certificate under section 7 is a powerful but potentially unfair tool. If St George issues a certificate stating that a particular asset is a translated asset, the onus is on the person disputing it to prove the contrary. That person may not have access to the records needed to make that proof. The certificate can be issued on the sole authority of the chief executive officer without independent verification or notice to affected parties. The Act does not require the certificate to be registered, published, or served on anyone.

Fourth, the payment in lieu under section 6 is based on the opinion of the Treasurer. That opinion is not subject to any statutory criteria, review, or appeal. St George cannot challenge the amount except perhaps through judicial review on very narrow grounds. The amount could in theory be arbitrary, and there is no mechanism for negotiation or independent valuation. The Treasurer could set the amount high or low without any statutory constraint, as long as it is genuinely the Treasurer's opinion.

Fifth, the land deeming provision in section 8 operates automatically. St George is deemed the registered proprietor for the purposes of the Transfer of Land Act. However, the Registrar of Titles may not have updated the records yet. A person dealing with the land in the interim might rely on the register showing Advance Bank as proprietor and be misled. The Act does not require the Registrar to act immediately; only upon request and payment of fees. There could be a gap between the vesting and the recording, during which the legal position is that St George is the owner but the register shows Advance Bank. A purchaser from Advance Bank after the vesting would not acquire good title because Advance Bank no longer owns the land.

Sixth, section 9 substitutes St George for Advance Bank in pending proceedings as of 1 April 1998, which is before the Act was passed. This retroactive effect could catch parties who had already served documents on Advance Bank or entered into consent orders on the basis that Advance Bank was the correct party. The substitution is automatic and does not require the court's approval. A party who obtained a judgment against Advance Bank after 1 April 1998 but before the Act's commencement might find that the judgment is against the wrong entity.

Seventh, the Act does not expire. It remains in force indefinitely. This means that the business name permissions, the conclusive certificate powers, and the override of contracts continue to have effect. A contract entered into after 1998 between a third party and St George might still be affected by the Act if it relates to a previously translated asset or liability, though the more practical relevance is for pre existing contracts. The Act's longevity could be overlooked by practitioners who assume it was a temporary measure.

For St George, compliance is straightforward but requires attention to the procedural steps. The first obligation is to pay the amount determined by the Treasurer under section 6. St George should seek the Treasurer's determination as soon as practicable and make payment promptly. Once payment is made, St George should obtain the certificate from the Treasurer confirming payment. That certificate should be retained as evidence that the exemption from stamp duty and other state taxes applies.

St George should ensure that the chief executive officer is authorised to issue certificates under section 7. The Act defines "chief executive officer" as the officer having day to day management of affairs, including an acting officer. The board should formally confirm who holds that office. When issued, each certificate should clearly specify the matter certified, refer to the Act and the NSW regulation, and be signed by the CEO. Certificates should be kept on file and produced when needed to prove title, assumption of liabilities, or standing in proceedings.

For land holdings, St George should identify all Victorian land that was formerly owned by Advance Bank and that has become a translated asset. It should then make a formal request to the Registrar of Titles under section 8(2), delivering any relevant instruments or documents and paying the required fees. The Registrar will then update the register. Until that is done, St George should not deal with the land in a way that relies on its deemed proprietorship, except perhaps as a paper title holder.

For legal proceedings, St George should review all pending matters in Victorian courts and tribunals to which Advance Bank was a party as at 1 April 1998. St George is automatically substituted from that date. It should notify the relevant court or tribunal and the other parties of the substitution, producing a copy of section 9 and, if necessary, a CEO certificate under section 7 confirming the translation.

For contractual counterparties, St George should compile a list of contracts, leases, and instruments to which Advance Bank was a party and that have been translated. It should communicate with those counterparties to advise them of the statutory substitution and the deemed consent provisions. While the Act protects St George from being in breach, proactive communication reduces the risk of disputes and litigation.

For third parties affected by the merger, compliance means understanding that their contractual rights have been overridden. If a third party receives a notice from St George that it is now the counterparty, the third party should accept that the contract continues on the same terms. The third party should not attempt to refuse to deal with St George or to terminate the contract on the basis of the change of counterparty, as that would likely be a breach of the contract as affected by the Act. If the third party believes the Act does not apply to a particular asset or liability, it should gather evidence and consider challenging a certificate or the application of the Act in court.

For legal practitioners advising clients in connection with any asset or contract that may have been held by Advance Bank, the first step is to determine whether the asset or liability is a translated asset or translated liability under the NSW regulation. The definitions in section 3 of this Act cross refer to that regulation. If it is, then the provisions of this Act apply. Practitioners should not assume that standard contractual protections such as consent to assignment or change of control clauses will operate as written. They should advise clients that their remedies are limited to seeking to rebut a certificate or to challenging the application of the NSW regulation. They should also note that any payment of stamp duty or other state taxes on transactions relating to translated assets would be a double payment, since St George has already paid the Treasurer in lieu. The exemption in section 6(2) applies.
