Spicer Cottages Trust Act 1978

The central legal concept is the ‘Trust’, a statutory body corporate that holds property on trust under the Declaration of Trust. The ‘Declaration of Trust’ set out in Schedule 2 is the governing instrument; it supersedes all earlier declarations from 1897‑1902 (clause 1). ‘The former declarations of trust’ are those referred to in the recitals to the Declaration (s 3). ‘The repealed Act’ is the Spicer Cottages Trust Act 1934 (s 3). The Trust is not a charitable trust in the traditional sense of a fixed beneficiary class, but rather a trust for specified purposes: first, providing homes for widows of ministers or retired ministers of the Uniting Church (or successor churches); second, now also providing assistance to persons in poor, needy or difficult circumstances through affordable housing, education, training, health services, or other services and support (clauses 3 and 4A). This dual object structure is significant: the original object is a narrow religious‑occupational class; the new object is a broad, essentially discretionary welfare purpose. The Trust has a power to charge rental that is sufficient to meet outgoing expenses for its intended occupants, but also an unqualified power to let homes to any person at any rental (clause 3). That power effectively allows the Trust to deviate from its charitable purposes when it considers it necessary or desirable, and to generate market‑rate income from its properties. The Trust may sell any of its homes and use the proceeds to purchase or erect other homes, or in any other way that in its opinion advances the objects (clause 9). This gives the Trust a broad discretion to convert capital assets into other forms or to spend capital on services. The powers to mortgage, charge, borrow and encumber property (clause 11) mean the Trust can leverage its assets for further acquisition or expenditure. The investment power (clause 5) is broad and allows investment in any form authorised by law for trust funds or by the Uniting Church bodies. The ability to receive and manage property on behalf of other trusts or the Synod (clause 7) allows the Trust to act as a service entity for related religious bodies. The power to combine funds, property or assets subject to separate trusts, provided accounting standards are complied with and separate accounting is possible (clause 7(f)), is a notable innovation: it permits the Trust to pool assets that might be subject to different beneficial purposes, effectively creating a common fund subject to internal accounting. The governance concepts include quorum (4 out of a maximum of 8 members), majority voting, a chair with both deliberative and casting votes (clause 12), the ability to make and amend regulations and to amend the Declaration of Trust itself (clause 13), and the ability to pass resolutions by email without a physical meeting (clause 15B). The concept of ‘vacancy’ is defined broadly: a member’s place becomes vacant on death, incapacity, refusal or resignation to act, or removal to such a distance from Adelaide, or such other acts as the Trust considers make it inexpedient for the member to remain (clause 18). This gives the Trust a wide discretion to remove members.

The primary persons and entities affected by the Act are the Trust itself (its members and officers), the beneficiaries of the trust, and the Uniting Church in Australia (South Australian Synod). The Trust’s members are directly affected by the membership requirements (at least two must be Uniting Church members or members of a church formed by a union of the Uniting Church; s 4(3)). They are also subject to the appointment, removal and vacancy provisions (clauses 17‑19). Officers (chair, secretary, treasurer etc.) can be appointed, suspended or removed by resolution (clause 14). The beneficiaries fall into two distinct classes. The original class consists of widows of ministers and retired ministers of the South Australian Synod of the Uniting Church (or any church formed by a union of the Uniting Church with another church) (clause 3). These persons have a right to be considered for occupancy of the Trust’s homes, but the Trust has discretion to select which individuals and to charge them rent sufficient to meet outgoing expenses. The Trust also has power to terminate any occupancy or tenancy (clause 4), so occupants occupy at the Trust’s pleasure. The second, much broader class created by the 2025 amendment consists of any ‘persons in poor, needy or difficult circumstances’ (clause 4A). That class is not limited to church members, ministers or widows; it could encompass anyone the Trust determines is in such circumstances. The Trust may provide them with affordable housing, education, training, health services, or other services or support, either directly or through third parties (clause 4C). This expansion potentially affects many South Australians, but the Trust remains a small body with limited resources, so the practical reach is modest. The Synod is affected by the Act in several ways: at least two Trust members must be drawn from it (or from a church formed by its union with another church); the Trust may receive and manage property on behalf of the Synod (clause 7(c)‑(d)); and the Synod has a residual power to appoint a member when the Trust has fewer than four members (clause 19). The Synod also has some indirect influence through the investment power, which permits investment in forms authorised by the Assembly or Synod (clause 5). Donors and other entities that transfer property to the Trust are affected because the Trust may receive gifts subject to special directions or limitations (clause 7(b)), or may manage property on behalf of other trusts on terms mutually agreed (clause 7(d)). The Supreme Court of South Australia is affected because it has a statutory role under clause 8: the Trust or any two trustees may apply for advice or direction on management, administration, or construction of trust documents. The Court’s jurisdiction is engaged without need for a formal proceeding. Third parties who provide services or support may receive funds from the Trust (clause 4C). Tenants who are not in the beneficiary class (i.e. any person to whom a home is let under the residual power in clause 3) are affected as lessees but have no special rights under the Act; they are contractual tenants subject to ordinary residential tenancy law.

The Act imposes relatively few duties on the Trust, and grants extensive rights. The core duty is found in clause 2 of the Declaration of Trust: the Trust stands possessed of the land and property upon trust, meaning it must hold and apply them in accordance with the Declaration. The broader duty is to act consistently with the objects stated in clauses 3 and 4A. However, the Trust has enormous discretion in how it does so. The duty to permit homes to be occupied by eligible persons (clause 3) is tempered by the Trust’s right to select which individuals, to charge rent, and to let homes to any person at any rental. In practice, the Trust has no duty to provide homes to all eligible persons; it merely has a power to do so. The duty to keep minutes (clause 16) is a formal obligation, but minutes are only evidence of proceedings and validity cannot be impeached on grounds not appearing on the face of the minutes. The duty to comply with applicable accounting standards when combining funds (clause 7(f)) is a constraint but does not prescribe which standards. The duty to apply the Trustee Act 1936 is preserved but the Act states it is in addition to and does not derogate from that Act (s 5), meaning the Trustee Act’s duties of care, prudence, and impartiality apply unless modified by the Declaration. The Trust has an extensive set of rights. It may charge rental sufficient to meet outgoing expenses for eligible occupants, or any rental for any person (clause 3). It may terminate any occupancy or tenancy (clause 4). It may invest any moneys in any form of investment authorised by law or by the Uniting Church bodies (clause 5). It may sell any investments and use proceeds to advance objects (clause 6). It may receive gifts with or without directions (clause 7(a)‑(b)). It may receive and manage property from other trusts or the Synod, and manage property on behalf of others, combining funds subject to accounting standards (clause 7(c)‑(f)). It may sell any homes and apply proceeds to purchase or erect other homes or otherwise advance objects (clause 9). It may erect, renovate, alter or demolish buildings (clause 10). It may acquire, hold, deal with and dispose of property; mortgage, charge or encumber; borrow; use funds to repay debts; and expend income or capital (clause 11). It may apply to the Supreme Court for advice or direction (clause 8). It may make, repeal or alter rules and regulations, and amend the Declaration of Trust itself (clause 13). It may appoint, suspend or remove officers (clause 14). It may call meetings, hold them by video conference, and pass resolutions by email (clauses 15‑15B). It may appoint members by resolution (clause 17) and declare a vacancy when a member dies, becomes incapacitated, refuses or resigns, moves too far from Adelaide, or acts in a way making it inexpedient to remain (clause 18). Among the rights, the ability to amend the Declaration of Trust (clause 13(b)) is particularly noteworthy: it means the Trust can alter the very terms of its own existence, objects and powers without returning to Parliament. The only limit is that the amendment must be ‘as it thinks necessary’. This is an unusually broad self‑amendment power for a statutory trust.

The Act contains no penalty provisions. There are no criminal offences, fines, or civil penalties imposed directly by the Spicer Cottages Trust Act 1978. Enforcement of the Trust’s obligations would therefore occur through general trust law and the Trustee Act 1936. Beneficiaries (or the Attorney‑General as protector of charitable trusts) could bring proceedings for breach of trust if the Trust misapplies property, acts beyond its powers, fails to consider objects, or engages in self‑dealing. The Declaration of Trust itself provides a mechanism for advice and direction: under clause 8, the Trust or any two trustees may apply to the Supreme Court for advice or direction on matters connected with management, administration, or construction of any deed or document relating to the Trust. This is a shield‑like process: if the Trust follows the Court’s advice, it is generally protected from liability. The minutes clause (clause 16) provides that minutes signed by the chair are evidence of matters stated, and the validity of proceedings cannot be impeached on any ground not appearing on the face of the minutes. This limits the ability to challenge internal decisions based on procedural irregularities that are not recorded. Vacancy and removal provisions (clause 18) give the Trust broad power to remove members, but the member to be removed might seek judicial review if the removal is alleged to be ultra vires or in bad faith. The Synod’s residual appointment power (clause 19) only arises when the Trust has fewer than four members; the Synod cannot otherwise remove or appoint members. Since the Trust holds property on charitable‑like purposes, the South Australian Attorney‑General has standing to enforce the trust. The Supreme Court also has inherent jurisdiction to supervise trusts and to remove trustees. The 2025 amendment did not introduce any enforcement regime; it expanded objects and powers but left enforcement to the general law. A practical enforcement risk arises from the breadth of the new objects (clause 4A) , ‘persons in poor, needy or difficult circumstances’ is an amorphous class. If the Trust were to apply property for objects outside this class (or outside the original class), it would be at risk of a breach of trust. However, given the wide discretion, a court would likely be reluctant to second‑guess the Trust’s decisions absent bad faith or complete failure to consider the objects.

The Act expressly provides that it is in addition to, and does not derogate from, the Trustee Act 1936 (s 5, inserted by the 2025 amendment). This means the Trustee Act’s standards , such as the duty of a trustee to exercise reasonable care (s 6), the power to invest in authorised investments, the power to apply to the Court for advice, and the rules about self‑dealing, conflicts of interest, and impartiality between beneficiaries , apply to the Trust unless modified by the Declaration of Trust. The Declaration does modify some aspects: clause 5 authorises investment in any form authorised by the Assembly of the Uniting Church or its South Australian Synod, which may be broader than the Trustee Act’s default investment powers. Clause 8 mirrors the Trustee Act’s court advice mechanism but is not identical. Clause 13(b) gives the Trust power to amend the Declaration, which may effect further departures from the Trustee Act. The Trust is a body corporate (s 4(2)), so it is subject to South Australian corporations law to the extent not excluded. However, it is likely a ‘special Act’ corporation and not registered under the Corporations Act 2001 (Cth). It would need to comply with any reporting obligations under the Australian Charities and Not‑for‑profits Commission Act 2012 (Cth) if it is registered as a charity, which is probable given its charitable objects. The Act does not address this. The Trust holds land, so it is subject to the Real Property Act 1886 (SA) for land dealings, and to the Landlord and Tenant Act 1936 (SA) and the Residential Tenancies Act 1995 (SA) for any tenancies. The power in clause 3 to let homes to any person at any rental would operate subject to those Acts, which impose minimum standards, termination procedures, and restrictions on eviction. The Trust’s powers to mortgage, charge, borrow and encumber (clause 11) must comply with general property and securities law. The ability to combine funds subject to separate trusts (clause 7(f)) raises potential issues under the Trustee Act’s rule against mixing trust funds, but the clause expressly requires compliance with relevant accounting standards and the ability to separately account, which may be sufficient to avoid a breach. The Act repeals the Spicer Cottages Trust Act 1934 (s 2), so the old Act no longer has effect. The Declaration of Trust supersedes the former declarations (clause 1). The Act does not interact with any Commonwealth legislation aside from potential charity registration. It is a narrow piece of private legislation and does not create any general precedent or interact with other state Acts beyond the Trustee Act.

The Act was originally assented to and commenced on 30 November 1978, repealing the Spicer Cottages Trust Act 1934. It remained largely unchanged for 47 years. The Spicer Cottages Trust (Miscellaneous) Amendment Act 2025 (No 56 of 2025) was assented to on 20 November 2025 and commenced on 1 January 2026. That amendment made extensive changes. It substituted section 4(3) (membership composition) to require at least two members to be members of the Uniting Church in Australia or of any church formed by a union of the Uniting Church with another church, replacing a simpler earlier provision. It inserted section 5, which clarifies the interaction with the Trustee Act 1936 (the Act is in addition to and does not derogate from that Act). It deleted Schedule 1, which presumably contained former provisions that are now superseded. It inserted clauses 4A‑4C into the Declaration of Trust, adding the broad new object of providing assistance to persons in poor, needy or difficult circumstances, and giving the Trust power to provide or apply funds on terms, and to apply benefits directly or indirectly through third parties. It amended clause 5 (investment power) , likely to update the reference to authorised investments. It amended clause 7 (powers to receive and manage property) , the specific amendments include new subclauses (e) and (f) allowing receipt of funds from any entity or person and management of any money, property or assets as the Trust thinks fit, with ability to combine funds subject to accounting standards. It amended clause 11 (general powers) , the specific changes are not detailed but likely expanded the power to expend funds and give notices. It amended clause 12 (quorum and voting) , possibly to clarify the chair’s casting vote. It amended clauses 14, 15, 16 (officers, notice, minutes). It inserted new clauses 15A (telephone/video conference meetings) and 15B (email resolutions without a meeting). It substituted clause 17 (appointment of members) , now simply says the Trust may appoint a person as a member by resolution, removing any earlier restrictions. It amended clause 18 (vacancy and replacement). It inserted clause 19 (Synod appointment power when fewer than four members). A transitional provision in Schedule 1 of the amending Act provides that a member of the Trust immediately before the commencement of the amendment continues to be a member despite the substituted section 4(3).

The Act has not generated any reported litigation. There is no evidence in the source text of any court cases involving the Spicer Cottages Trust or the Act. Given the Act’s nature as private legislation governing a small charitable trust, litigation would be unlikely and would probably appear in trust law disputes rather than in statutory interpretation cases. Potential future litigation could arise if beneficiaries contest the Trust’s selection of occupants or its decision to let homes to non‑eligible persons at market rent (clause 3). The broad discretion would make such challenges difficult. Another potential area is disputes over the exercise of the power to terminate occupancy (clause 4) , a terminated occupant might argue that the Trust failed to follow procedural fairness, though the Act gives no such right. The new broad objects (clause 4A) could lead to a dispute about whether funds are being applied within those objects , for example, whether a particular service is within ‘poor, needy or difficult circumstances’. The Supreme Court’s advice jurisdiction under clause 8 could be used to resolve interpretive questions without contentious litigation. The Trust’s power to amend the Declaration (clause 13(b)) might be challenged if exercised in a way that fundamentally alters the character of the trust, on the basis that the power is not unlimited and must be exercised consistently with the Act’s purpose. The 2025 amendment’s transitional provision about continuing membership could also be tested if a member’s eligibility under the new section 4(3) is later questioned. The Act includes a privative‑like provision in clause 16: minutes signed by the chair are evidence, and the validity of proceedings cannot be impeached on any ground not appearing on the face of the minutes. This would limit judicial review of procedural irregularities that are not recorded. The Act does not name any cases and there is no known litigation history associated with this Act or its predecessor.

Several features of the Act deserve careful attention because they may not be obvious. The first is the power to let homes to any person at any rental whatsoever (clause 3). This power is not conditional on there being no eligible beneficiary; the Trust may use it ‘from time to time’ if it is in the Trust’s opinion necessary or desirable. This means the Trust could convert its entire housing portfolio to market‑rate tenancies, effectively abandoning the charitable purpose of providing homes for ministers’ widows. The only constraint is that the Trust must form that opinion; but the opinion cannot be challenged easily. The second gotcha is the power to sell any home and apply proceeds in any way that advances the objects (clause 9). Combined with the broad new objects (clause 4A), the Trust could sell homes and use the proceeds to fund education, health services, or other ‘support’ for persons in need, completely unrelated to housing. This could fundamentally change the nature of the trust from a housing charity to a general welfare fund. The third is the power to amend the Declaration of Trust itself (clause 13(b)). This is an extraordinary power for a statutory trust. The Trust can alter its own governing instrument, including possibly the objects, powers and membership provisions, without any further legislative approval. The only limit is that it thinks the amendment necessary. A court might imply that amendments must not be inconsistent with the Act, but the Act largely incorporates the Declaration by reference (s 4(4)), so an amendment to the Declaration effectively becomes part of the statutory framework. The fourth gotcha is the membership composition requirement in section 4(3): at least two members must be members of the Uniting Church in Australia, or of any church formed by a union of the Uniting Church with another church. The phrase ‘or of any church formed by a union of the Uniting Church with another church’ is potentially ambiguous , it could mean any church that results from a future union involving the Uniting Church, which may be difficult to ascertain. The fifth gotcha is the quorum of four out of a maximum of eight members (clause 12). With only a bare majority of at least two church‑related members, a meeting could be held with four members where the two non‑church members have a majority. The chair has both a deliberative and a casting vote, so a tied vote is effectively broken by the chair. The sixth gotcha is the ability to pass resolutions by email without a meeting (clause 15B). Notice must be given to all members, and a majority must express concurrence by email setting out the terms. This creates a risk that a resolution could be passed quickly without the full deliberation a meeting might provide, and members who do not respond in time could be deemed to have not concurred but the resolution still passes if a majority concur. The seventh gotcha is that the Act does not require the Trust to publish any reports, accounts, or to make its decisions public. There is no transparency mechanism, so beneficiaries and the public have no statutory right to information. The eighth gotcha is the relationship with the Trustee Act: while s 5 says the Act is in addition to and does not derogate from the Trustee Act, the Declaration’s broad powers may effectively override some Trustee Act protections. For example, the power to mix funds subject to separate trusts (clause 7(f)) is at odds with the general law against mixing trust assets, but the clause purports to authorise it if accounting standards are complied with.

Compliance with the Act primarily governs the Trust itself, not external parties. For the Trust and its members, the following steps are necessary. Ensure the membership composition complies with section 4(3): among the maximum eight members, at least two must be members of the Uniting Church in Australia (or a church formed by a union of the Uniting Church with another church). The transitional provision from the 2025 amendment confirms that members appointed before the amendment continue as members, but any new appointment must meet this composition requirement. When appointing new members, use a resolution of the Trust (clause 17). If the Trust has fewer than four members, the South Australian Synod may appoint a member by resolution (clause 19). For meetings, observe the quorum of four members (clause 12). The chair has both deliberative and casting votes; ensure this is recorded. Notice of meetings must be given at least four days in writing to all members, stating time and place; notice is deemed given when posted or emailed to the last known or provided address (clause 15). For telephone or video conferences, notice must be given in the manner determined by the Trust, and each participating member must be capable of communicating with every other participant (clause 15A). For resolutions without a meeting, notice must be given to all members in accordance with procedures determined by the Trust, and a majority of members must express concurrence by email setting out the terms of the resolution (clause 15B). The Trust should formalise its procedures for notice and for consent to email resolutions, and keep a record of the procedures. Minutes of all proceedings must be kept; they should be signed by any person purporting to be the chair of that meeting or of a subsequent meeting (clause 16). The minutes will be evidence of matters stated, and the validity of proceedings cannot be impeached on grounds not appearing on the minutes. For financial management, the Trust should comply with applicable accounting standards when combining funds subject to different trusts (clause 7(f)). It must be able to separately account for differing classes of funds, property or assets. The Trust should maintain separate ledgers or sub‑accounts even if assets are pooled. Investment decisions should be consistent with clause 5: investments must be authorised by law for trust funds or by the Assembly or Synod. The Trust should obtain advice on what is authorised and document its decisions. When letting homes to eligible occupants, the Trust should set rental at a level sufficient, in its opinion, to meet all necessary outgoing expenses. When letting to any person (clause 3 second paragraph), the Trust should form and record an opinion that it is necessary or desirable to do so. When terminating any occupancy or tenancy (clause 4), the Trust should comply with any applicable residential tenancy laws. When exercising the power to sell homes (clause 9) or to mortgage, charge, borrow, or encumber (clause 11), the Trust should resolve that the action advances the objects and record the reasoning. The Trust should consider whether any proposed action falls within the original object (clause 3) or the new broader objects (clauses 4A‑4C), as property may be subject to constraints from the original trusts. The Act does not require external reporting, but if the Trust is registered with the Australian Charities and Not‑for‑profits Commission, it must comply with the ACNC Act’s annual information statement and financial reporting obligations. The Trust should also consider applying to the Supreme Court for advice under clause 8 if any management or administration matter is uncertain, or if the construction of the Declaration is in doubt. Finally, the power to amend the Declaration (clause 13(b)) should be exercised cautiously and only after legal advice, as amendments could affect the Trust’s charitable status, its relationship with the Uniting Church, and its compliance with the Trustee Act.
