SPECIAL PURPOSES LEASES REGULATIONS 1955

The Regulations rely on and define a small set of interconnected legal concepts that structure special purposes leases.

• Qualified person. The term “qualified person” is defined in r 2(1) as a person, a government, an association, a statutory corporation established under a law of the Commonwealth or of a State or Territory, or a company to whom or to which the Minister may grant a lease for a special purpose in accordance with the Act. That definition sets the category of eligible applicants and ties eligibility to the Minister’s power under the principal Act.

• Forms and form approval. References to numbered forms are governed by r 2(2): a reference to a form by number means the form as numbered and approved by the Minister under s 32A of the Act. The application form is Form 1 (r 3(1)) and the form required for the purpose of s 4A of the Act is Form 3 (r 9). The Regulations therefore require Ministerial approval and standardisation of documentary format.

• Application mechanics and jurisdictional locus. Applications must be lodged at the Lands Office, Darwin (r 3(2)). That establishes a central filing location for all applications.

• Fees and refund rules. For applications outside the Darwin Town Area or a municipality, an application fee of 3 dollars is payable (r 4(1)). If an application is refused, the fee is refunded less any expenses incurred by the Minister (r 4(2)). If the application is granted, no additional fee is payable for preparation and registration of the lease (r 4(3)). If an applicant withdraws the application or it is deemed withdrawn, the fee is forfeited (r 4(4)). The fee regime allocates processing costs and defines the circumstances for refund or forfeiture.

• Mandatory lease content. Regulation 5 lists mandatory reservations, covenants and conditions to be included in every lease. These include: Ministerial right of inspection and entry (r 5(a)); Crown reservation of minerals and broad mining rights (r 5(b)); power to resume land under the Act (r 5(c)); a right of entry to establish and maintain services (r 5(d)); rent paid annually in advance and associated covenants (r 5(e)); a covenant restricting use to the granted purpose or ancillary purposes (r 5(f)); obligation to pay rates and taxes (r 5(g)); and conditions linking conferral of rights and right of entry to payment of the first year’s rent (r 5(h)-(i)). The lease must also provide for interest on overdue rent at 5 per cent per annum after a three-month grace period if demanded by the Minister (r 5(j)), and for surrender where all rent due has been paid (r 5(k)).

• Offer and acceptance timing. If an applicant does not execute acceptance within three months of receipt of an offer, the Minister may give written notice setting a withdrawal time not less than 14 days (r 6(1)-(2)). Failure to accept by that time withdraws the offer (r 6(3)). This governs the life of offers and the Minister’s administrative power to withdraw them.

• Recovery of moneys. Regulation 8 authorises recovery of money due but unpaid under a lease in any court of competent jurisdiction, in the name of the Territory, by a person authorised by the Minister. That provides an explicit enforcement pathway.

These concepts are interlocked: the Minister’s discretion under the Act is operationalised through approved forms, central lodging, a modest fee for non-municipal applications, mandatory protective lease terms, time-limited offers, and a statutory route for recovery. The Regulations rarely create freestanding rights; instead they prescribe the form and content that flows from the Act.

The Regulations identify and impose obligations on a bounded set of actors.

• Qualified persons as applicants. Individuals, governments, associations, statutory corporations established under a Commonwealth or State or Territory law, and companies that the Minister may lease to under the Act are the class authorised to apply (r 2(1), r 3(1)). The Regulations therefore apply to both public and private entities within that definition, subject always to the Minister’s underlying grant power in the Act.

• The Minister. The Minister appears as the central decision-maker and rights-holder in multiple provisions. The Minister approves forms under s 32A of the Act (r 2(2)); directs where applications are lodged (r 3(2)); receives and may refund fees subject to expenses (r 4(2)); holds rights of entry and inspection that must be reserved in every lease (r 5(a)); reserves and may authorise others to exercise Crown mineral rights (r 5(b)); may resume land under the Act (r 5(c)); may give written notices withdrawing offers (r 6(1)); may demand overdue rent and trigger the 5 per cent per annum imposition (r 5(j)); and may authorise a person to sue for unpaid moneys in the name of the Territory (r 8). The Minister’s role is administrative, supervisory and enforcement-oriented as recorded in the Regulations.

• Lessees. Once a lease is granted, the lessee is subject to a set of compulsory covenants and conditions included in r 5. These impose payment obligations (r 5(e), r 5(j)), use restrictions (r 5(f)), liabilities for rates and taxes (r 5(g)), limits on rights until first-year rent is paid (r 5(h)-(i)), and surrender mechanisms (r 5(k)). The lessee must also accept that Ministerial entry, Crown mineral reservations and service-entry rights are included in the title (r 5(a)-(d)).

• Officers authorised by the Minister and third parties invited by the Minister. The Regulations envisage officers authorised in writing by the Minister entering to inspect (r 5(a)) and persons authorised by the Crown to enter for mining and related works (r 5(b)). They also contemplate persons authorised by the Minister to sue for unpaid moneys in the Territory’s name (r 8). These provisions create roles for delegated officials and third-party agents.

• Administrative staff and the Lands Office, Darwin. The staff who operate the Lands Office, Darwin, are indirectly affected because the Regulations require lodging at that office (r 3(2)) and because preparation and registration of leases are addressed in the fee provisions (r 4(3)). The Regulations point to a central administrative locus for processing.

• The Territory (as plaintiff). For recovery of rent and other moneys the Territory is the named plaintiff; the Minister may authorise a person to act for the Territory (r 8).

The Regulations therefore affect applicants, the Minister and the Minister’s delegates, lessees, and court processes where recovery is pursued. They do not create an open-ended public rights regime; rather they specify the legal and administrative roles each actor must perform and the limits on the rights of lessees (for example, use restrictions and withheld entitlements until the first year’s rent is paid).

The Regulations embed a set of compulsory duties for lessees and concurrent rights for the Crown and the Minister. These duties and rights are designed to protect public interests named in the instrument.

Duties imposed on lessees

• Pay rent annually in advance. Regulation 5(e) imposes a covenant that the lessee will pay the rent annually in advance. This is an express, ongoing payment duty forming a core term of the lease.
• Use the land only for the agreed purpose. Regulation 5(f) requires a covenant restricting use of the land to the purpose for which the lease is granted or to ancillary uses. That duty constrains permitted economic activity on the parcel.
• Pay rates and taxes. Regulation 5(g) makes the lessee responsible for all rates and taxes that become due in respect of the leased land.
• Surrender rights tied to rent payment. Regulation 5(k) conditions a lessee’s ability to surrender on the lessee having paid all rent due, tying exit flexibility to discharge of financial obligations.
• Observe the condition regarding the first year’s rent. Regulations 5(h) and 5(i) mean the lease does not confer rights and no right of entry arises until the rent for the first year is paid. Lessees therefore have a duty to pay that initial rent to obtain possession and operative rights.

Rights and powers reserved to the Crown and Minister

• Entry and inspection. Regulation 5(a) reserves a right of entry for the Minister or an authorised officer at all reasonable times and in any reasonable manner to inspect the leased land and improvements. That is a unilateral inspection right that must be included in the lease.
• Reservation of minerals and mining rights. Regulation 5(b) reserves all minerals and mineral substances to the Crown and grants the Crown a right to authorise persons to enter and mine, work, recover and remove minerals and to do necessary acts. That reservation is broad and specific in listing minerals and related substances.
• Power to resume land. Regulation 5(c) preserves the Crown’s statutory power to resume the leased land under the Act, which the lease must reflect.
• Right of entry for services. Regulation 5(d) reserves the right to enter for providing and maintaining water, sewer, electricity and other services on the leased land or other land.
• Recovery of arrears and interest. Regulation 5(j) provides for an additional amount deemed recoverable as rent at 5 per cent per annum on overdue rent (other than first-year rent) from the expiry of a three-month period following non-payment, but only if demanded by the Minister. This creates a Minister-triggered monetary sanction for arrears.
• Administrative rights concerning offers and refunds. Regulation 4(2)-(4) allows the Minister to refund the fee less expenses if an application is not granted and to forfeit fees where applications are withdrawn or deemed withdrawn, and r 6 allows the Minister to withdraw offers after specified notice periods.

Enforcement mechanism

• Civil recovery in the name of the Territory. Regulation 8 allows money due under a lease to be sued for and recovered in any court of competent jurisdiction in the name of the Territory by a person authorised by the Minister.

Administrative duties for the Minister

• Approve forms under the Act (r 2(2)); process and refund fees in accordance with r 4; provide written notices before withdrawing offers (r 6); demand overdue rent and authorise recovery actions (r 5(j), r 8). The Regulations therefore specify both negative duties (to refund less expenses) and affirmative administrative powers.

These duties and rights are mandatory for leases under the Regulations and appear repeatedly as non-negotiable terms that must be included in the lease instrument (r 5). The text links concrete payment and usage obligations for lessees with reserved Crown rights and administrative enforcement instruments for the Territory.

The Regulations do not create criminal offences but do establish civil enforcement mechanisms, monetary consequences for non-payment, and administrative remedies.

Monetary remedies and interest

• Interest on overdue rent. Regulation 5(j) provides that if rent other than the first-year rent is not paid within three months from the date it becomes payable, an additional amount (deemed recoverable as rent) will become payable by the lessee at the rate of 5 per cent per annum from the expiry of that three-month period, but only if demanded by the Minister. The provision frames the interest as a contractual remedy that the Minister may activate by demand; it is not automatic unless the Minister exercises the demand power.
• Refund and forfeiture of application fees. Regulation 4(2)-(4) governs financial consequences around applications: if an application is not granted the fee is refundable less expenses, if granted no additional fee for preparation and registration is payable, and if withdrawn or deemed withdrawn the fee is not refunded. These are administrative financial outcomes rather than punishments, but they operate to allocate costs between applicants and the Territory.

Civil recovery and court enforcement

• Suits for unpaid moneys. Regulation 8 authorises recovery of moneys due but unpaid under a lease “in any Court of competent jurisdiction in the name of the Territory by a person authorised in that behalf by the Minister.” This gives the Territory a statutory route to pursue civil litigation for unpaid rent or other moneys recoverable under the lease. The provision places the procedural posture in the name of the Territory and requires ministerial authorisation for the person conducting the litigation.

Administrative power to withdraw offers

• Time-limited offer and withdrawal. Regulation 6 enables the Minister to withdraw an offer if the applicant has not given written agreement within three months after receipt of the offer. The Minister must give written notice specifying a withdrawal time of at least 14 days (r 6(1)-(2)). If the applicant does not accept within that period the offer is withdrawn (r 6(3)). Withdrawal is an administrative remedy that prevents creation of the lease and removes any entitlement to proceed under the offer.

Reserved Crown powers and entry rights

• Inspection and entry. Regulation 5(a) reserves an unconditional right of entry to the Minister or an authorised officer at all reasonable times and in any reasonable manner to inspect the leased land and improvements. Regulation 5(d) reserves a right to enter for provision and maintenance of services. The reserved rights enable administrative oversight and physical intervention without a separate enforcement step beyond the reservation in the lease.
• Mineral rights and authorised entry for mining. Regulation 5(b) reserves minerals to the Crown and allows the Crown to authorise persons to enter and undertake mining and related works, which may affect the lessee’s enjoyment of the land.

No criminal sanctions in the text

• The Regulations do not create express criminal penalties or prescribe fines or imprisonment. Enforcement is limited to contractual terms, civil recovery (r 8), administrative withholding or withdrawal of offers (r 6), and reserved rights the Crown may exercise under the lease (r 5).

In short, enforcement is primarily civil and administrative: payment obligations are enforced through contractual interest (5 per cent after a three-month default if demanded), the Minister’s ability to authorise court actions in the Territory’s name, and the reservation of entry and mineral rights that allow the Crown to act without separate adjudication. The Regulations do not detail criminal sanctions or administrative penalties beyond fee forfeiture for withdrawn applications.

The Regulations are expressly subordinate to and interact with provisions of the Special Purposes Leases Act 1953 and reference other statutory instruments via the endnotes.

Connection to the Act

• Instrumental dependency on the Act. The Regulations are framed as made under the Special Purposes Leases Act 1953 (title line). Several provisions explicitly reference the Act: r 2(2) ties the numbered forms to approval “under section 32A of the Act”; r 5(c) reserves a power to resume the leased land “in accordance with the Act”; and r 9 prescribes the form for the purposes of section 4A of the Act. The Regulations therefore implement and give effect to powers and processes that the Act confers, including form approval and resumption powers.

Form approval and form-based interaction

• Ministerial approval under the Act. The Regulations treat the Minister’s approval of forms under s 32A as authoritative (r 2(2), r 3(1), r 9). That creates a statutory link whereby the Act’s procedural machinery (form approval) controls the documentary requirements that the Regulations impose.

Administrative locus and property law procedures

• Lodgement at the Lands Office, Darwin. Regulation 3(2) requires application lodging at the Lands Office, Darwin. This centralisation interacts with the administrative architecture under the Act and any real property registration practice or systems referenced there. The endnotes mention consequential amendments under the Real Property (Consequential Amendments) Act 1991 (Endnotes 2 and 5), signalling that these Regulations have been adjusted to accord with changes in property law or land registry practice.

Reservation of Crown mineral rights

• Crown’s mineral reservation. Regulation 5(b) reserves all minerals and mineral substances to the Crown and authorises the Crown to permit third parties to enter and mine. That reservation must be read against any statutory mining or resource laws that govern Crown minerals, although those statutes are not reproduced in the Regulations. The text makes the reservation express and broad in scope, naming metals, gems, coal, mineral oils and “valuable earths or substances.”

Interaction with taxation and rates regimes

• Lessee’s obligation to pay rates and taxes. Regulation 5(g) places responsibility for rates and taxes on the lessee. That clause interacts practically with the rates and taxation statutes and local government charging mechanisms, although those instruments are not detailed in the Regulations. The Regulations allocate incidence of these charges to the lessee.

Amendment history and consequential acts

• The endnotes list several Acts and orders that have amended these Regulations: Ordinances Revision Ordinance 1973; amendments in 1978; Transfer of Powers (Self-Government) Ordinance 1978; Real Property (Consequential Amendments) Act 1991; Amendments of Special Purposes Leases Regulations (1991); and Lands, Planning and Environment Legislation Amendment Act 2025 (Endnotes 2 and 5). The Regulations have been kept aligned with broader changes in territorial administration and property law via those amending instruments. The list of amendments shows specific regulations amended by particular instruments (Endnote 5), which identifies how the Regulations have been adjusted to reflect changes elsewhere in the statute book.

Reference to section numbers omitted or repealed

• The endnotes also identify that r 7 was repealed (Endnote 5) and that the schedule has been amended or omitted by various instruments (Endnote 5). Such changes reflect interactions where particular procedural provisions were superseded by other statutory reforms.

Limits of interaction within the text

• The Regulations do not, on their face, attempt to vary the operation of other statutes; they implement the Act and reference ministerial approvals, lodgement practice and property/resumption/fees. The specific effect on other laws is therefore functional: the Regulations create forms and mandatory lease terms that must co-exist with other property, mining and taxation laws. The Regulations do not state how conflicts with other statutes are resolved; readers must consult the Act and any relevant statutes to determine priority where statutory conflict arises.

The endnotes attached to the reprint provide the statutory amendment record and commencement details. The Regulations were originally notified and commenced on 21 December 1955 (Special Purposes Leases Regulations SL No. 10, 1955). The endnotes then list subsequent instruments that altered the Regulations.

Chronology recorded in the text

• 1955: Special Purposes Leases Regulations (SL No. 10, 1955), notified and commenced 21 December 1955 (Endnote 2).
• 1973: Ordinances Revision Ordinance 1973 (Act No. 87, 1973), assent 11 December 1973, commenced 11 December 1973; the endnotes indicate formal amendments of a technical nature were applied to rr 2, 4, 5, 6 and the schedule pursuant to s 11 of that Ordinances Revision Ordinance (Endnote 3).
• 1978: Amendments of the Special Purposes Leases Regulations (SL No. 6, 1978), notified 2 June 1978 and commenced 2 June 1978 (Endnote 2). The Transfer of Powers (Self-Government) Ordinance 1978 (Act No. 54, 1978) received assent 1 July 1978 and commenced (s 2) on that date, and that instrument amended several regulations (see Endnote 5).
• 1991: Real Property (Consequential Amendments) Act 1991 (Act No. 33, 1991) received assent 25 June 1991 and commenced 1 October 1991. An amending instrument (Amendments of Special Purposes Leases Regulations SL No. 50, 1991) was notified and commenced 1 October 1991 (Endnotes 2 and 5). The schedule was amended by No. 50, 1991, r 3 (Endnote 5).
• 2018: Interpretation Legislation Amendment Act 2018 made general amendments of a formal nature to rr 1 and 2 and the schedule (Endnote 4).
• 2025: Lands, Planning and Environment Legislation Amendment Act 2025 (Act No. 25, 2025) received assent 12 September 2025 and has certain parts commenced and certain parts not commenced as recorded (Endnote 2). The endnotes attribute multiple amendments to s 47 of Act No. 25, 2025 across rr 2, 4, 5, 6, 8 and r 9 insertion/amendment (Endnote 5). Part 6 was not commenced and remainder commenced 13 September 2025 (Endnote 2).

Specific amendment mapping (as recorded)

• Endnote 5 gives a list tying provisions to amending instruments. For example, r 2 was amended by No. 6, 1978, r 1 and Act No. 25, 2025, s 47; r 4 was amended by No. 6, 1978, r 2 and Act No. 54, 1978, s 6; r 5 was amended by No. 6, 1978, r 3, Act No. 54, 1978, s 6, and Act No. 25, 2025, s 47; r 6 was amended by Act No. 54, 1978, s 6, Act No. 33, 1991, s 7 and Act No. 25, 2025, s 47; r 7 was repealed by Act No. 33, 1991, s 7; r 8 was amended by Act No. 54, 1978, s 6 and Act No. 25, 2025, s 47; r 9 was inserted by No. 50, 1991, r 2 and amended by Act No. 25, 2025, s 47; the schedule was amended multiple times and partly omitted by Act No. 25, 2025, s 47 (Endnote 5).

Nature of amendments

• The endnotes distinguish between formal, non-substantive amendments effected by revision Acts (for instance, the Ordinances Revision Ordinance 1973 and the Interpretation Legislation Amendment Act 2018) and substantive amendments effected by other Acts (for instance, the 1978 transfer of powers and the 1991 Real Property consequential amendments). The 2025 Act effected further amendments as enumerated.

Practical consequence of amendment history

• The recorded amendment mapping shows the Regulations have been maintained to reflect changes in territorial governance (Transfer of Powers 1978), property law practice (Real Property consequential amendments 1991), statutory revision and interpretation updates, and to align with later land, planning and environment reforms (2025). The endnotes also identify that specific regulations have been repealed or omitted at various times (for example r 7 rep, schedule omissions), indicating pruning and consolidation have occurred.

Users relying on the Regulations should consult the reprint dates and the specific amending instrument citations (Endnote 5) to trace any substantive shifts in wording or effect of particular clauses. The Regulations as presented here reflect those amendments up to the noted 13 September 2025 reprint date.

The Regulations themselves do not record any litigation history or cite judicial decisions. The text provides no cases, reported decisions or judicial interpretations. Where the Regulations touch on enforceable matters (for example, recovery of moneys under r 8 and the 5 per cent contractual rate in r 5(j)), they specify procedural and substantive terms rather than catalogue any adjudicated controversies.

Implications from the text for litigation

• Civil enforcement pathway. Regulation 8 expressly contemplates court action for unpaid moneys by allowing recovery “in any Court of competent jurisdiction in the name of the Territory by a person authorised in that behalf by the Minister.” That provision creates the procedural posture for litigation but does not supply case law or adjudicative guidance about evidentiary or jurisdictional issues. Practical litigation questions that would fall to courts are not addressed in the Regulations (for example: whether the Minister’s demand for interest was properly made; whether the three-month period commenced coincident with a particular event; or conflicts between reserved mineral rights and lessee use). Such questions would be resolved in courts under the usual rules of civil procedure and statutory construction; the Regulations provide the statutory hooks that litigation would use.

• Contractual interpretation. The mandatory inclusion of covenants and conditions in r 5 (for example, the covenant to use the land only for its granted purpose, and the condition that rights do not accrue until first-year rent is paid) frames likely contractual disputes. If a lessee were to use the land outside the permitted purpose or assert rights absent payment of the first year’s rent, those disputes would be litigable under the lease terms the Regulations require. The Regulations themselves do not provide adjudicative standards for such disputes beyond prescribing the contractual text that must be included.

• No recorded litigation in instrument. Because the Regulations are a statutory instrument, not a case law report, the absence of litigation references in the text is unsurprising. The Regulations must be read alongside the Act and any court decisions for a full picture of judicial treatment.

As drafted, this instrument is silent on litigation history. Any practitioner wishing to understand judicial interpretation of these provisions must search reported decisions and statutory construction authorities outside the Regulations themselves. The Regulations supply enforcement mechanisms and mandatory lease clauses; they do not narrate how courts have applied those clauses.

The Regulations contain several features that can trip up applicants, lessees, and administrators if they are not closely observed. These are concrete procedural and contractual points to watch.

Application fee scope and forfeiture (r 4)

• The flat $3 application fee in r 4(1) applies only to applications outside the Darwin Town Area or a municipality. That means applications within Darwin or within a municipality are not covered by r 4(1), which may imply no fee or a different regime; the Regulations do not specify the internal municipal fee treatment. The refund rule (r 4(2)) refunds fees when applications are not granted but permits deduction of expenses incurred by the Minister, a potential source of dispute about what constitutes “expenses.” The fee is forfeited if the application is withdrawn or deemed withdrawn (r 4(4)). Applicants who withdraw risk losing the fee.

Lodgement centralisation (r 3(2))

• All applications must be lodged at the Lands Office, Darwin. For applicants remote from Darwin this centralisation creates a procedural hurdle and may be a source of delay or confusion if other lodgement channels are assumed.

Rights contingent on first-year rent (r 5(h)-(i))

• Two separate but related conditions bar rights and entry until the first year’s rent is paid. Regulation 5(h) states the lease does not confer any rights until the rent for the first year has been paid; r 5(i) states the lessee has no right of entry until first-year rent is paid. Applicants or lessees expecting immediate possession on signing may be surprised that the lease creates no operative rights until that payment is made.

Ministerial discretion for interest charge (r 5(j))

• The 5 per cent per annum charge on overdue rent after three months is not automatic; it becomes payable if demanded by the Minister. That creates a managerial discretion: the Minister may or may not press the interest charge. Parties should ensure clear records of any demand to avoid dispute about whether the interest was properly activated.

Broad Crown mineral reservation (r 5(b))

• The reservation in r 5(b) enumerates a wide range of minerals and mineral substances, and expressly includes the right to authorise persons to enter to mine and do “all things necessary or convenient” for mining. Lessees must be aware that their possession is subject to potentially intrusive mining activity authorised by the Crown, which could affect land use and the lessee’s operations even where the lessee holds a lease for a special purpose.

Ministerial notice and withdrawal timing (r 6)

• Offers expire if applicants do not give written agreement within three months; the Minister may issue a notice setting a withdrawal time not less than 14 days (r 6(1)-(2)). Applicants who miss the three-month acceptance window and fail to respond to notices risk losing the offer. The interaction between the initial three months and any subsequent notice period needs careful calendar management.

Ambiguity over municipal fee treatment

• The Regulations specify the $3 fee for applications "other than" within Darwin Town Area or a municipality (r 4(1)), but do not state the fee for applications within Darwin or a municipality, or whether other instruments intervene. That lacuna can produce uncertainty for municipal applicants unless other instruments or departmental practice clarify.

Form dependence and form approval (r 2(2), r 3(1), r 9)

• The Regulations require use of forms approved under s 32A of the Act. If the Minister has not updated or published those forms, or if forms change, applicants must ensure they use the current approved forms. Failure to use the correct Form 1 for application or Form 3 where s 4A applies could generate processing delays or invalid lodgement.

Recovery in the Territory’s name requires ministerial authorisation (r 8)

• Regulation 8 requires that suits for unpaid moneys be brought in the name of the Territory by a person authorised by the Minister. This procedural requirement means a private owner or Ministerial staffer cannot unilaterally initiate recovery without formal authorisation; obtaining that authorisation may take time and is a precondition to litigation.

No criminal penalties expressed

• The absence of criminal penalties may be surprising to those expecting statutory fines or offences. The Regulations rely on civil contractual and administrative mechanisms; enforcement of non-monetary breaches will often require civil proceedings.

These “gotchas” are practical and textual: they arise from the precise wording of the Regulations and the administrative choices the instrument embeds. Parties should verify forms, calendar deadlines, fee applicability, and Ministerial demands or authorisations before acting.

Compliance under these Regulations requires attention to forms, fees, payment timing, and the mandatory lease terms. The following steps outline practical compliance actions tied to specific provisions.

Before application

• Confirm status as a qualified person. Ensure the applicant falls within the definition in r 2(1): a person, government, association, a statutory corporation established under Commonwealth/State/Territory law, or a company to whom the Minister may grant a lease under the Act.
• Obtain the current approved Form 1. Regulation 2(2) and r 3(1) require use of the form as approved by the Minister under s 32A of the Act. Do not assume outdated forms are acceptable; obtain the current Form 1 from the Lands Office or the Minister’s office.

Lodgement and fee payment

• Lodge at the Lands Office, Darwin. Regulation 3(2) requires lodging the application at that office. Plan for the administrative and logistical implications of centralised lodgement.
• Pay the correct fee where applicable. Regulation 4(1) requires a fee of 3 dollars for applications outside the Darwin Town Area or a municipality. If the application is within Darwin or a municipality check with the administering office whether a fee applies or another instrument governs.
• Understand refund and forfeiture rules. If the application is refused, expect a refund less any expenses incurred by the Minister (r 4(2)). If the application is granted, no additional fee for preparation and registration of the lease is payable (r 4(3)). If you choose to withdraw the application or it is deemed withdrawn, the fee will not be refunded (r 4(4)).

Acceptance and timing

• Execute acceptance within three months. If offered a lease, ensure written agreement of acceptance is delivered to the Minister within three months of receipt of the offer to avoid exposure to withdrawal under r 6(1).
• Monitor for withdrawal notices. If an applicant misses the initial three months, the Minister may give a written notice specifying a time of not less than 14 days after which the offer will be withdrawn (r 6(1)-(2)). Respond to such notices within the prescribed period.

Lease operation and financial compliance

• Pay the first year’s rent before expecting rights or entry. Regulations 5(h)-(i) make rights and right of entry contingent on payment of the first year’s rent. Do not assume possession or the right to enter until that payment is made.
• Pay rent annually in advance thereafter. Regulation 5(e) requires the lessee to covenant to pay rent annually in advance.
• Keep rent current to avoid interest. If rent (other than the first year) is overdue more than three months, the Minister may demand an additional amount calculated at 5 per cent per annum from expiry of the three-month period (r 5(j)). Maintain records of payment dates and confirm any Ministerial demands in writing.
• Pay all rates and taxes. Regulation 5(g) makes the lessee responsible for rates and taxes that may at any time become due on the leased land.

Operational compliance and property use

• Use land only for granted purpose or ancillary uses. Ensure any operational plans, sub-leases or activities align with r 5(f) to avoid breach of the covenant.
• Permit entry and inspection. The lease must reserve a right of entry for the Minister or authorised officer to inspect at all reasonable times and in any reasonable manner (r 5(a)) and a right to enter for provision and maintenance of services (r 5(d)). Keep the land and improvements accessible for inspection and service works.
• Be aware of mineral reservation. Recognise that the Crown reserves all minerals and mineral substances and may authorise persons to enter and undertake mining activities (r 5(b)). Factor this into site plans and risk assessments.

Surrender and exit

• Surrender contingent on paying all rent due. Regulation 5(k) provides that a lessee may surrender the lease at any time in accordance with the Act and these Regulations only after paying all rent due. Ensure that any intended surrender is accompanied by full discharge of rent obligations.

Dispute avoidance and enforcement readiness

• Keep documentary proof of all payments and Ministerial communications. Given that recovery actions are brought in the Territory’s name by an authorised person (r 8), clear records of payments, demands, notices and the periods specified in the Regulations will be essential in any dispute or enforcement action.
• Seek ministerial authorisation routing where recovery is needed. If seeking to have unpaid moneys recovered, ensure the Minister has provided the necessary authorisation for the person who will act in the Territory’s name, per r 8.

Administrative housekeeping

• Check for changes to approved forms. Because the Regulations require use of Minister-approved forms under the Act (r 2(2)), periodically check that Form 1 and Form 3 are the current versions when preparing applications or lodgements.
• Confirm local practice for municipal applications. Where applications relate to land within Darwin or within a municipality, confirm with the Lands Office what fees or local procedures apply since r 4(1) explicitly excludes those areas from the $3 fee rule.

Following these steps will align applicants and lessees with the Regulations’ explicit procedural and contractual requirements. Non-compliance tends to be tied to missed deadlines (three-month acceptance window), failure to use approved forms, non-payment of first-year rent prior to possession, and failure to respond to Ministerial demands or notices; addressing those items avoids most operational breaches the Regulations define.
