#### 22 Board’s functions and powers not affected by vacancy etc. The performance of the functions or the exercise of the powers of the Board is not affected merely because: (a) there is a vacancy in the office of the Chairperson or Deputy Chairperson; or (b) there is a vacancy in the office of Managing Director; or (c) the number of non‑executive Directors falls below 4 for not longer than 6 months.
