Southgate Project Act 1994

Definitions and spatial scope: The Act operates around three spatial concepts: project land (the Schedule parcels , s 3 defn), the adjoining area (the area bordered red on Plan LEGL/94‑7, subject to Minister/Governor in Council variation , s 3 defn; s 4), and internal boundaries (boundaries within plans that do not border land outside the subdivision , s 3 defn). “Listed purposes” is a statutory label for activities for which express easements or restrictive covenants may be created; the list includes access to common services, car parking, storage, placement of equipment and other purposes prescribed by Governor in Council Order on Ministerial recommendation (ss 3 defns, 5).

First subdivision and boundary adjustments: The “first subdivision” is the first subdivision of project land after commencement and is subject to special rules (s 3 defn; Part 2). Sections 8-13 implement a framework: the first subdivision is exempt from Part 3 and certain Subdivision Act provisions (s 8), and consent requirements for plan registration are modified so that registered lessees, sub‑lessees and specified caveators need not consent (s 9(1)), while registered mortgagees and others are addressed by substitutional provisions (s 9(2)). Internal boundaries may be shown by dimensions rather than by reference to a building and Council cannot refuse certification on that ground (s 10). Boundary adjustment plans are a defined resubdivision vehicle for correcting or rationalising internal boundaries; Council certification of the sole‑purpose statement is conclusive evidence (s 11(1)-(2)); and registration of such a plan can result in vesting and automatic inclusion of the adjusted land in mortgages and instruments without separate instruments, with no stamp duty payable on vesting (s 11(5)-(7)).

Easements, restrictions and Crown land: The Act reconfigures easement and restrictive covenant creation and effect. It allows the first subdivision plan to specify proposed easements or restrictions for listed purposes (s 13(1)-(2)), and provides that easements or covenants can be created over Crown land by instrument lodged at the Central Plan Office with consents from the benefited owner and lessees (s 14). The Act expressly permits easements and restrictive covenants to be effective even where the same person has interests in the burdened and benefited land (s 15(1)), and allows express temporal limitation of such interests (s 15(3)).

Management statements: The management statement is the Act’s central governance device for common facilities and cross‑parcel obligations. It is a single document that may provide for an extensive list of matters: car parking, land use, insurance, cost sharing, management committee and manager appointment, maintenance, garbage disposal, designation of restricted land and its uses, safety and security, record keeping and inspection, levies, noise control, trading restrictions, design consistency, and dispute resolution including mechanisms for amendment disputes (s 16(2)(a)-(r)). The management statement may be general or limited, have staged commencement conditions, impose differing provisions by class and may extinguish or prevent implication of certain easements where specified (s 16(3)(a)-(g)). Once lodged and applied according to the procedures tied to the Transfer of Land Act, it binds owners and later lessees, mortgagees and occupiers as if under seal and operates as a contract enforceable between those bound (ss 17-19).

Regulatory and judicial levers: The Act gives the Governor in Council regulation‑making power to address matters left unregulated and to exempt plans or instruments from Subdivision Act or Transfer of Land Act regulations (s 28). It also confers wide remedial powers on the Supreme Court to order consolidation, resubdivision, extinguishment or creation of easements and interests, amendment or cancellation of management statements, directions to the Registrar and modifications of the application of this Act and the Subdivision and Transfer regimes necessary to facilitate redevelopment, and those orders operate despite other laws (s 26(3)-(4)).

Interaction with other legislation: Several “despite” clauses and read‑as‑one instructions make clear the Act displaces or modifies other laws in enumerated areas. The Act must be read together with the Subdivision Act 1988 and Transfer of Land Act 1958 but prevails where inconsistent (s 7(1)-(2)). It expressly affects application of building controls (s 25), public open space contributions (s 24), Crown land legislation for easements and covenants (ss 14(5), 16(7)), and excludes fences legislation (s 27).

Administrative practicalities: The Act assigns roles and procedural forms: the Minister recommends and the Governor in Council may add or remove land from the adjoining area or list additional purposes (ss 4-5); the Central Plan Office is the lodgement point for Crown land instruments (ss 3 defn, 14(3)); the Registrar has powers to amend the Register and dispense with production of instruments in specified circumstances (e.g. ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)); and the Council has certifying responsibilities for boundary adjustments and a specific duty before discontinuing certain roads (s 23(8)-(10)).

The Act delineates a defined set of parties who are directly affected by its provisions, and a broader set of actors with obligations or discretionary powers.

Primary private parties:

• Owners of project land, defined to include registered proprietors under the Transfer of Land Act and special definitions for certain categories of Crown land and authorities (s 3, defn of owner). Owners are the central actors for preparing, amending, consenting to and lodging management statements (ss 16-21). Owners may also apply to the Supreme Court for redevelopment orders (s 26(1)).
• Lessees and registered sub‑lessees: They are directly affected by the Act in three ways. First, consent exclusions for plan registration (s 9(1)) remove their requirement to consent in some cases. Second, a management statement binds lessees whose leases commence after the statement applies, and a covenant to comply is implied into leases on and from the date the management statement applies unless excluded by express terms (ss 17(4), 19(1)(b)(ii), 22(2)-(3)). Third, lessees of Crown land must consent to Crown‑land easements and covenants created under s 14(3)(c) and must be joined for certain amendments (s 20(2)(c)).
• Registered mortgagees and annuitants: The Act alters which encumbrancers must consent to plan registration and to management statements. Section 9(2) modifies the Subdivision Act provisions to treat registered mortgagees as the relevant consenting class for the first subdivision; ss 17(4)(a) and 18(2) require registered mortgagees or registered annuitants to be included in consents to management statements or instruments that extend the management statement to additional land.
• Caveators: Where a caveat is recorded in the Register, the Act specifies when caveators must be included in consent clauses for plan registration or for management statements (ss 9(1)(b), 17(4)(a), 18(2)(b), 20(2)(b)(ii)).

Crown and public actors:

• The Crown and Ministers: The Act expressly binds the Crown (s 6). Owners of Crown land are treated as owners and may create easements and restrictive covenants by lodging instruments at the Central Plan Office with required consents under s 14(3). The Minister has the role of recommending Orders to the Governor in Council to add or remove land from the adjoining area and to list additional purposes (ss 4-5). The Minister may also recommend approval of a stratum plan for the Yarra footbridge, leading to vesting in the Council (s 23).
• Governor in Council: Makes Orders adding or removing land to the adjoining area (s 4(3)), listing purposes (s 5(2)), approving the footbridge stratum plan (s 23(3)), and can make regulations under s 28.
• Melbourne City Council (Council): Has certification responsibilities for boundary adjustment plans, cannot refuse certification based on internal boundary depiction (s 10), receives vesting of the footbridge stratum and must not discontinue vested roads without owners’ written consent (s 23(4), (8)). Council is explicitly defined as the Melbourne City Council (s 3 defn; note amendment by Local Government Act 2020 is recorded).

Administrative and registry actors:

• Registrar under Transfer of Land Act: Given broad authority to amend the Register and make recordings, dispense with production of certificates and to implement changes consequent on boundary adjustment plans, management statements and amendments, cancellations and additions under ss 11(7), 17(4)(b), 18(7), 20(7), 21(7).
• Central Plan Office: Designated lodgement point for instruments affecting Crown land (s 3 defn; ss 14(3), 16(6), 17(3), 18(5), 20(5), 21(4)).

Adjoining‑area owners and occupiers:

• Owners of land in the adjoining area can be beneficiaries of easements or be burdened by obligations under management statements if the owner consents or the instrument extends application to them (ss 4-5, 13(4)-(5), 16(3)(e)-(f), 18). Those owners are affected by Orders adding land to the adjoining area under s 4.

Judicial actors:

• The Supreme Court: Can make wide remedial orders to facilitate redevelopment or refurbishment of project land, including orders that modify the application of the Act and other Acts and that operate despite contrary law (s 26(3)-(4)). Applicants must notify persons with an interest in the affected land (s 26(2)).

Who gains rights and who pays:

• The Act creates new private rights (express easements, restrictive covenants and management statement obligations enforceable as contract , ss 13-16, 19). Owners of the project land, and sometimes adjoining land, gain structured rights to use shared facilities and to require maintenance and cost sharing (s 16(2), (3)). Costs are borne by owners and occupiers in the form of levies under management statements (s 16(2)(n)), and mortgagees and registered encumbrancers may be required to consent to management statements or subsequent applications and thus are implicated in transaction costs (ss 17(4), 18(2), 20(2)).

Excluded or modified claims:

• The Act removes the ability to require public open space contributions in respect of project land under the Subdivision Act or planning instruments (s 24). It also removes application of the Fences Act 1968 to the project land (s 27). Building‑regulation treatment is modified for specified fire, safety, services and access requirements by treating project land as one allotment for those purposes (s 25).

The Act therefore realigns incentives and transaction costs across owners, occupiers, encumbrancers, the Council, the Registrar and Crown land managers by reallocating who must consent, what records must be lodged, and which public levies and statutes apply to the project land.

Statutory duties and private rights are created, modified and extinguished by specific provisions. This section sets out those concrete obligations, consents and entitlements and the mechanism by which they arise.

Rights created or preserved

• Management statement rights and enforcement: Once a management statement applies under s 17 or s 18, it binds owners, subsequent lessees and other persons specified and is enforceable as if it were a contract among them (s 19(1)-(2)). That creates private law rights of enforcement for other persons bound by the statement.
• Easements and restrictive covenants: The Act allows creation of express easements and covenants for “listed purposes” over project land and over adjoining area land for the benefit of project land (ss 5, 13(1)-(4), 14(1)-(3)). These may be created over Crown land by instrument lodged at the Central Plan Office with required consents (s 14(3)), and may be expressed to operate for specified periods (s 15(3)). Section 15(1) permits an easement or covenant to be effective even though the same person may hold interests in both burdened and benefited land.
• Boundary adjustment outcomes: Registration of a boundary adjustment plan vests removed/added land in fee simple in the owner of the lot or body that holds the reserve or road, frees the land from previous estates or encumbrances other than easements, deems the land included in mortgages/leases/restrictive covenants that applied to the lot before registration and attracts no stamp duty on vesting (s 11(5)-(6)). This changes legal title and attachments automatically on registration.
• Council vesting of footbridge stratum: On Governor in Council approval following Ministerial recommendation and publication, the specified stratum vests in fee simple in Council, free of leases and other encumbrances, and is declared a public highway (s 23(1)-(6)).

Duties and procedural obligations

• Lodgement and consent formalities for management statements: The management statement must be lodged under Division 1A of Part V of the Transfer of Land Act as modified (s 17(1)-(2)). If an owner of Crown land has signed, a copy must be lodged at the Central Plan Office on the same day (s 17(3)). When an owner of land signs, the statement must include consent of registered mortgagee or annuitant, caveator and certain annuitant/mortgage interests lodged before lodgement (s 17(4)). Similar consent requirements apply when extending a management statement to other land (s 18(1)-(4)) and when amending it (s 20(1)-(6)).
• Implied covenant in leases: On the management statement applying to land, a covenant is implied into each lease or sub‑lease to comply with the management statement insofar as it relates to that land, unless the lease expressly excludes or modifies the covenant (s 22(2)-(3)). The Act says this applies despite anything to the contrary in any Act or law (s 22(1)).
• Council certification and boundary adjustment: A boundary adjustment plan requires the Council to certify that its sole purpose meets the narrow purposes in s 11(1); that statement is conclusive evidence (s 11(1)-(2)). Council must not refuse to certify a plan solely because internal boundaries are shown by dimensions rather than by reference to a building (s 10(1)-(2)).

Rights to modify or extinguish

• Management statement amendment and cancellation: Owners of the land to which it applies may amend the statement by instrument with the consents prescribed (s 20(1)-6). Owners of all land to which a management statement applies may cancel it; cancellation must be in writing under seal and must be recorded by the Registrar or lodged at the Central Plan Office for Crown land (s 21(1)-6).
• Supreme Court powers: An owner or registered mortgagee may apply to the Supreme Court for orders to consolidate or resubdivide land, amend or replace plans, vary or extinguish easements or restrictions, create or extinguish interests, amend or cancel the management statement, direct the Registrar, authorise lodgement at the Central Plan Office, modify application of this Act and related Acts , the Court may make such Orders if satisfied they are desirable to assist redevelopment and just and equitable having regard to owners as a whole (s 26(1)-(4)). Order effects operate notwithstanding other law (s 26(4)).

Registry and administrative duties

• Registrar powers and duties: The Registrar may make the recordings and amendments in the Register necessary because of registration of boundary adjustment plans, lodging of management statements and amendments, cancellations or instruments under ss 11, 17-21 and may dispense with production of certificates of title or other instruments and need not give notice or obtain consent when this Act so provides (e.g. ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)).
• Minister and Governor in Council roles: The Minister may recommend additions or removals from the adjoining area and listing of additional purposes (ss 4-5); the Governor in Council makes Orders acting on those recommendations (ss 4(3), 5(2)).

Limitations and contextual duties

• Exclusion of other statutory claims: The Act explicitly prohibits public open space contributions in respect of project land (s 24(1)-(2)) and removes the Fences Act 1968 from applying to project land (s 27). Building regulators treat project land as one allotment for specified regulatory requirements, but building surveyor powers to treat land as one allotment are not limited (s 25(1)-(2)).
• Interaction with Crown land statutes: The Act’s operation regarding easements and management statements applies despite the Land Act 1958 or the Crown Land (Reserves) Act 1978 (ss 14(5), 16(7)).

Practical compliance duties and timing

• A management statement has no effect over registered‑title land until an instrument prepared by the owner is recorded in the Register or the statement is amended under s 20 (s 16(5)). For Crown land, the management statement has no effect until the owner lodges at the Central Plan Office an instrument prepared in accordance with this Part (s 16(6)). This creates an express timing duty for recording/lodgement to activate rights and duties.

The statutory architecture therefore establishes explicit duties to obtain specified consents for registration, to lodge instruments with the Registrar or Central Plan Office, to keep and enforce management statements, and to abide by implied lease covenants once a management statement applies, while conferring rights to create, alter and extinguish property interests and to obtain court orders to facilitate redevelopment.

The Act contains few explicit criminal penalties or fines; its enforcement architecture is primarily civil, administrative and judicial. The source provides these enforcement and compliance pathways and the limits on penalty provisions.

Civil enforcement via private rights and implied covenants

• Management statements are enforceable as contracts between persons bound by them (s 19(2)). That gives private parties the ability to seek contractual remedies (injunctions, damages, specific performance) in respect of breaches of the management statement, subject to ordinary contractual and property law principles. The Act also implies a covenant in leases to comply with the management statement (s 22(2)). Those implied covenants can be excluded by express lease terms (s 22(3)). The Act itself does not stipulate a statutory penalty for breach; enforcement is through civil action between parties bound by the statement.

Registry and administrative enforcement and effect

• The Registrar has express statutory powers to amend the Register and make recordings and to dispense with production of documents under various sections (e.g. ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)). Those registry powers are the mechanism by which the Act causes legal effects to attach to title and by which compliance is registered. Non‑registration or incorrect lodgement will mean the management statement or instrument does not have statutory effect for registered title land (s 16(5)), creating an incentive to comply with recording procedures rather than imposing a statutory fine.

Judicial enforcement and compulsory restructuring

• The Supreme Court is given wide remedial power to make orders designed to assist redevelopment or refurbishment where the Court is satisfied it is desirable and just and equitable having regard to owners as a whole (s 26(3)). Orders may include consolidation or resubdivision, amendment or replacement of plans, variation or extinguishment of easements, creation or extinguishment of interests, amendment or cancellation of the management statement, direction to the Registrar, lodgement directions at the Central Plan Office, and modification of the application of the Act, Transfer of Land Act or Subdivision Act in relation to the subject matter of the Order. These orders can operate despite anything to the contrary in any Act or law (s 26(4)). The Court can therefore compel structural legal change to facilitate redevelopment where the statutory tests are met. The Act requires notice of an application to any person with an interest in the land to which the application relates (s 26(2)), which creates procedural guardrails for affected stakeholders.

Regulatory powers

• The Governor in Council may make regulations for or with respect to matters provided in the Act and may confer discretionary authority or impose duties on specified persons (s 28(1)-(2)). Regulations could, in principle, prescribe offences or administrative penalties under the usual machinery of subordinate legislation, but no such penalties appear in the Act text itself. The Act authorises exemptions from Subdivision Act or Transfer of Land Act regulations (ss 28(1)(b)-(c)), which shifts enforcement emphasis back onto the bespoke mechanisms the Act provides.

Non‑application of statute as an enforcement outcome

• The Act expressly removes certain statutory claims or obligations as a matter of law, which is a form of enforcement consequence: public open space contributions cannot be required in respect of the project land under the Subdivision Act or planning scheme (s 24(1)-(2)), and the Fences Act 1968 does not apply to project land (s 27). Those are obligations that would otherwise be enforceable by local government or private parties; the Act removes them for the project land.

Limits on criminal sanction: The Act contains no express criminal offences, monetary penalties or infringement notices in its text. Enforcement therefore comes mainly through private contractual remedies, registry mechanisms, and the Supreme Court’s equitable and statutory powers. Because the Act allows the Registrar to dispense with production of instruments and to make amendments and recordings (e.g. ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)), the compliance risk is operational and administrative: failure to follow lodgement, consent and recording procedures prevents the legal effects from arising rather than creating prescribed criminal liability.

Implementation risks and compliance incentives

• Parties are incentivised to ensure correct consents are recorded before lodging management statements or instruments because the mechanics of the Transfer of Land Register and the Central Plan Office lodgement determine whether rights and obligations attach (ss 16(4)-(6), 17-18, 20-21). The Supreme Court route provides a backstop for stakeholders who cannot obtain consensual restructuring, but it is discretionary and requires the Court to be satisfied regarding desirability and justice and equity for owners as a whole (s 26(3)). Administrative discretion at the Minister, Governor in Council and Registrar levels means compliance and enforcement can be shaped by non‑litigious administrative action as well as by adjudication.

In sum, the Act provides civil and administrative enforcement mechanisms, registry remedies and a judicial power to authorise compulsory restructuring. It does not itself prescribe criminal penalties; non‑compliance primarily results in the absence of statutory effect or in civil remedies being pursued by affected parties.

The Act is drafted to operate alongside and, where necessary, to modify the Subdivision Act 1988, the Transfer of Land Act 1958 and other statutes affecting land and planning. The text sets out specific read‑together provisions, overrides, exclusions and adaptations. The following catalogue describes those interactions with section citations.

Read‑as‑one and statutory primacy

• Section 7(1) directs that the Act must be read as one with the Subdivision Act 1988 and the Transfer of Land Act 1958. Section 7(2) provides that where a provision of this Act is inconsistent with a provision of the Subdivision Act or the Transfer of Land Act, the provision of this Act prevails. That establishes express statutory primacy for the Southgate Project Act in areas of inconsistency.

Modifications to the Subdivision Act 1988

• First subdivision exemptions: Section 8 excludes the first subdivision from application of s 5(3)(d) and Part 3 of the Subdivision Act; and modifies the application of s 22(1) of the Subdivision Act by requiring a statement that the plan is the first subdivision and is exempt from Part 3 (s 8(1)-(2)). This produces a bespoke planning of the first subdivision process.
• Boundary adjustment plans: Section 11 identifies specific Subdivision Act provisions that do not apply to boundary adjustment plans (s 11(3)), and reworks the operation of s 22(1) as it applies to boundary adjustment plans (s 11(4)). It also deals with vesting consequences under s 24 of the Subdivision Act, but provides its own vesting rules (s 11(5)).
• Implied easements: Section 12 interacts with s 12 of the Subdivision Act 1988 by excluding s 12(3A) for the first subdivision and allowing plans for first and subsequent subdivisions to provide that certain easements or rights are not implied, subject to protections for support, shelter or protection rights (s 12).
• Internal boundary and certification: Section 10 controls Council's certification powers and states that a Council must not refuse to certify a plan solely because internal boundaries are shown by dimensions. This applies despite anything to the contrary in the Subdivision Act (s 10(2)).

Transfer of Land Act 1958 interactions

• Management statements use Division 1A Part V procedures of the Transfer of Land Act for lodging and registration, with substitutional references to the management statement concept and required consents (s 17(1)). Section 16(4)-(6) sets out when a management statement has effect in relation to land under the Transfer of Land Act, and requires specific recordings by the Registrar in an approved form (s 16(4)-(5)). Section 11(7), 17(4)(b), 18(7), 20(7) and 21(7) repeatedly empower the Registrar to make Register amendments and dispense with production of instruments because of administration under this Act.

Planning and environment legislation

• Public open space contributions: Section 24 overrides the application of s 18 of the Subdivision Act 1988 and planning schemes under the Planning and Environment Act 1987 by prohibiting public open space contributions in respect of the project land (s 24(1)-(2)). The provision is explicit that it has effect despite anything to the contrary in a planning scheme or permit (s 24(2)). The Act states that subsections (1) and (2) do not affect contributions already paid before commencement (s 24(3)).

Building legislation

• Building control treatment: Section 25 directs that for the purposes of building regulation provisions under the Building Control Act 1981, the Building Act 1993, and their building regulations, the project land is to be regarded as one allotment in a single occupancy for the purposes of requirements like fire prevention, service provision, structural integrity, and access to light and ventilation (s 25(1)). Section 25(2) notes the subsection does not limit any power of a building surveyor to treat land as one allotment. This provision modifies how building regulatory requirements apply to the project land in a targeted way.

Crown land statutes

• Section 14(5) and s 16(7) state the Act’s provisions operate despite anything to the contrary in the Land Act 1958 or the Crown Land (Reserves) Act 1978. Section 14 explicitly permits the creation of easements or restrictive covenants over Crown land for the benefit of project land and prescribes lodgement and consent formalities (s 14(1)-(4)).

Other statutes excluded or modified

• Fences Act: Section 27 provides that the Fences Act 1968 does not apply to the project land.
• Local Government Act: Section 23(6) deems the land vested in Council under s 23(4) to be declared a public highway under s 203 of the Local Government Act 1989; amendments to the Council definition in s 3 reflect updates under the Local Government Act 2020 (noted in the endnotes and in s 3 annotations).
• Transport Integration Act: The definition of owner in s 3 was amended so that, for Crown land that is a road within the meaning of the Road Management Act 2004, Victorian Rail Track is an owner within the meaning of s 3, reflecting a cross‑statute interaction recorded in the endnotes.

Regulatory and superior law modification

• The Governor in Council may make regulations and may exempt plans or instruments from Subdivision Act regulations or Transfer of Land Act regulations (s 28(1)(b)-(c)). Regulations may confer discretionary authority, impose duties or provide exemptions and conditions and authorise their revocation (s 28(2)). This means the Act not only modifies specific provisions of other statutes but also delegates power to modify regulatory interactions via subordinate legislation.

Judicial power to override other laws

• The Supreme Court may make orders modifying the application of this Act, the Transfer of Land Act or the Subdivision Act in respect of matters dealt with in an Order to facilitate redevelopment (s 26(3)(i)), and Orders have effect despite any other Act or law (s 26(4)). This creates a statutory mechanism for case‑by‑case modification of the interaction between this Act and other laws.

Overall, the Act is not an isolated instrument. It is tightly integrated with the Subdivision Act and Transfer of Land Act by design, and it disapplies or overrides specific provisions of planning, building and Crown land statutes in specified respects. The Act uses Orders, regulations, Registrar powers and the Supreme Court’s remedial jurisdiction to manage and, where necessary, constrain the application of other legislative regimes.

The Act as presented incorporates a number of later amendments. The endnotes and in‑text annotations record which provisions were altered and by what amending legislation. The source lists five amending Acts that have affected the Southgate Project Act 1994 in the published version as at 6 April 2020. The following are the concrete amendments and the provisions they mention or effect as recorded in the Act text and endnotes.

Transport (Further Amendment) Act 2001 (No. 54/2001)

• This amending Act is recorded in the Table of Amendments. The endnote entry records s 43 of that Act and a commencement note. The Act text indicates that the definition of owner in s 3 was amended by Nos 54/2001 s. 43 (as recorded in the s 3 annotation). The effect was to alter the definition of owner to include certain Crown land categories, as reflected in the textual note to s 3.

Statute Law Revision Act 2005 (No. 10/2005)

• The endnotes record that s 3(Sch. 1 item 20) of that amending Act commenced on 28 April 2005 and that it amended the Southgate Project Act 1994. The Act text shows an explicit amendment to s 20(7) by No. 10/2005 s. 3 (Sch. 1 item 20). The manifest effect in the current text is that the Registrar may make modifications or amendments in the Register as required by an application under s 20 and may dispense with production of relevant instruments or certificates of title (s 20(7) as amended).

Owners Corporations Act 2006 (No. 69/2006)

• The endnotes record the Owners Corporations Act 2006 amendments and a commencement for s 224 (Sch. 3 item 8) on 31 December 2007. The Act text shows textual substitutions effected by that amending Act: s 11(5)(b) was amended by No. 69/2006 s. 224 (Sch. 3 item 8.1) and s 19(1)(b)(v) was substituted by No. 69/2006 s. 224 (Sch. 3 item 8.2). These amendments reflect interactions with owners corporation (formerly owners corporation/commonly known arrangements) provisions and lot entitlement rules; concretely, s 11(5)(b) now vests added land in common property in fee simple in the owners of the lots affected by the owners corporation in accordance with lot entitlements, and s 19(1)(b)(v) brings owners corporations within the persons bound by a management statement where applicable.

Transport Integration Act 2010 (No. 6/2010), as amended by No. 45/2010

• The endnotes record amendments with commencement provision s 203(1)(Sch. 6 item 44) commencing on 1 July 2010. The in‑text annotation to s 3 indicates that the definition of owner for Crown land that is a road was amended to include Victorian Rail Track within the meaning of the Transport Integration Act 2010 (as amended), reflecting cross‑statute definitional alignment.

Local Government Act 2020 (No. 9/2020)

• The endnotes list this amending Act, with s 390 (Sch. 1 item 95) commencing 6 April 2020. The in‑text annotation to s 3 records that the definition of Council was amended by No. 9/2020 s 390 (Sch. 1 item 95). This changes the reference to the municipal authority in the Act so that the “Council” is the Melbourne City Council constituted under the City of Melbourne Act 2001 but with definitional alignment to contemporary local government legislation.

Practical effect of amendments recorded in the Act

• The annotations in the text indicate how key definitions and operational clauses were edited to interlock with later land, transport and local government statutes. For example, reference to Victorian Rail Track as an owner in specified circumstances (s 3 defn of owner) reflects transport infrastructure statutory evolution. Owners corporation amendments alter how vesting and common property treatments operate after boundary adjustments and in relation to the management statement (ss 11, 19). The Statute Law Revision amendments updated procedural or drafting aspects of s 20(7), a Registrar power provision.

No retrospective or repeal entries beyond those recorded in the Table of Amendments appear in the source. The endnotes include an “Amendments Not in Operation” heading but do not list any specific amendments not yet in force as at the publication date. The “Explanatory details” field in the endnotes is empty, indicating no explanatory notes were appended in the published instrument.

Readers should consult consolidated free‑form legislative databases or the Victorian Government Gazette for precise textual histories, commencement dates and the exact text of amending provisions referenced. The Act text itself includes annotations tying particular subsections to the amending Acts (for example, s 3 defn notes and s 19(1)(b)(v) substitution references), which provide authoritative pointers to the specific amendments.

The text of the Southgate Project Act 1994 and its endnotes as provided do not list any reported cases or judicial interpretations of this Act. The Act itself establishes a role for the Supreme Court to make redevelopment orders (s 26), but the source contains no recorded cases brought under s 26 or any other section. The endnotes include a reference to the Minister’s second reading speech (Legislative Assembly 17 May 1994; Legislative Council 27 May 1994) but no subsequent litigation history.

What the Act does provide that may generate litigation is visible in its structure:

• The implied covenant in leases to comply with management statements (s 22(2)) creates an enforceable agreement that could lead to disputes between landlords, tenants, and third parties about the scope and enforceability of particular management statement provisions.
• Management statements may contain dispute resolution mechanisms, including disputes about amendment of the statement and unreasonable refusal to consent (s 16(2)(r)). If those mechanisms are invoked and fail, parties may proceed to court, especially if a management statement purports to bind persons who dispute they are bound.
• The Act preserves and creates property interests (easements, restrictive covenants) and provides mechanisms to vary or extinguish them (ss 13-15, 26). Conflicts about whether an easement is properly created, whether it benefits particular land, whether an easement is extinguished by later instruments or whether a restrictive covenant is enforceable are typical grounds for property litigation.
• The Supreme Court’s broad power in s 26 to make orders to facilitate redevelopment, including modifying the effect of this Act or other Acts, invites litigation through applications under s 26. The statutory test requires the Court to be satisfied that an Order is desirable to assist redevelopment and just and equitable having regard to owners of the project land as a whole (s 26(3)). That language frames a judicial balancing exercise likely to generate contested proceedings over evidence of desirability, owner interests and fairness.
• Registry decisions enabled by the Act (Registrar dispensing with production of title instruments, making Register changes under ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)) could be the subject of judicial review if stakeholders assert jurisdictional error or procedural unfairness in administrative actions.

Given no cases are listed in the source, users requiring litigation precedents must undertake separate case law research in Victoria’s courts and tribunal databases for decisions invoking the Southgate Project Act or addressing management statements, boundary adjustment plan disputes, s 26 redevelopment applications, or registry actions linked to the Act.

In practice, anticipated litigation risks under the Act are in three categories:

1. Title and Register disputes (improper recordings, vesting under boundary adjustment plan registration , s 11(5)-(7); Registrar actions).
2. Contractual and covenant disputes arising from management statements (scope, enforceability, implied covenant in leases under s 22).
3. Redevelopment applications under s 26 where competing owner interests require judicial balancing and where the Court may exercise equitable powers to modify property arrangements or statutory application.

Because the Act allows Orders to operate despite other Acts (s 26(4)), s 26 applications have the potential to raise constitutional or statutory interpretation arguments if use of s 26 appears to conflict with other statutory or property rights; whether such challenges have succeeded is not recorded in the Act’s endnotes. Users should therefore treat this Act as potentially fertile for contested litigation but must consult external case law sources for recorded decisions.

The Act contains specific mechanics and drafting features that create practical traps if overlooked. The following are concrete items that cause loss of rights, unexpected burdens or operational friction unless stakeholders attend to the statutory details.

Activation of obligations depends on proper lodgement or registration

• Management statements have no effect for land under the Transfer of Land Act unless an instrument prepared by the owner is recorded in the Register or the statement is amended under s 20 (s 16(5)). For Crown land the statement has no effect unless the owner lodges an instrument at the Central Plan Office (s 16(6)). Practically, that means parties who assume a management statement is binding merely because it has been signed may be mistaken; registration or proper lodging is the activation trigger.

Consent ropes and timing pitfalls

• The Act prescribes exact classes of people whose consent must be included in a lodged management statement (s 17(4)) and for instruments extending or amending the management statement (ss 18(2), 20(2)). These include registered mortgagees, registered annuitants, caveators recorded in the Register and certain pre‑existing annuitant or mortgage interests. Missing a required consent can render the lodgement defective and the statement ineffective for registered title land. Because consents from lessees or Crown lessees may be required in addition to owner consent, transaction timetables and title searches are essential before lodging.

Lease timing trap

• A management statement binds lessees whose leases commence on or after the date on which the statement applies to the land (s 19(1)(b)(ii)). That means existing lessees may escape the management statement if their leases predate its application unless their consent was included in the management statement when lodged (s 17(4)(a)-(b)). Practitioners should check lease commencement dates, and owners should secure the consent of existing registered lessees where they intend the statement to bind them.

Implied covenant can be contracted out, but only if explicit

• Section 22(2) implies a covenant in leases to comply with the management statement but allows express exclusion or modification (s 22(3)). That means a lessee can avoid the implied obligation if the lease expressly excludes it; however, absent explicit wording, the covenant will be implied by operation of statute. Parties must draft lease terms carefully.

Boundary adjustment plan consequences are automatic and far‑reaching

• Registration of a boundary adjustment plan vests the added land in fee simple in the owner of the lot or body it is added to, frees it from estates or encumbrances other than easements, deems it to be included in mortgages and restrictive covenants applying to the receiving lot, and no stamp duty is payable on vesting (s 11(5)-(6)). The Registrar may dispense with production of titles and need not give notice or obtain consent (s 11(7)). Those automatic effects can override expectations of mortgagees, caveators or other encumbrancers and create title changes that parties may not anticipate if they do not monitor registration activity.

Conclusive certification and Council discretion

• A Council’s certification that a boundary adjustment plan has the sole purpose described in s 11(1) is conclusive evidence of Council satisfaction (s 11(2)). That reduces judicial review scope over Council’s satisfaction on those facts and places a premium on precise certification wording and pre‑lodgement agreement with Council.

Management statement can extinguish implied easements

• The management statement can provide that specified easements or rights that would otherwise be implied under s 12(2) of the Subdivision Act are not implied over land specified in the statement or are extinguished where the plan is registered (s 16(3)(g)). That can remove what would otherwise be standard implied rights of support, access to services or other uses. Parties must check the management statement to ensure essential implied easements are not excluded inadvertently.

Registrar may dispense with production and notice

• Multiple provisions allow the Registrar to dispense with production of instruments or titles and to not give notice or obtain consent when making Register amendments consequent to boundary adjustment registration or management statement lodgement/amendment (e.g. ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)). This expedites transactions but heightens title vigilance: affected parties should monitor Register changes rather than rely on notification as a protective mechanism.

Open space contribution prohibition is absolute for project land

• Section 24 prevents public open space contributions from being required or payable in respect of the project land, and states this applies despite planning schemes or permits (s 24(1)-(2)). That is a carve‑out from standard subdivision financial obligations and may affect local government revenue expectations and how contributions to communal open space are funded by owners and developers.

Supreme Court orders may operate “despite anything to the contrary”

• An Order under s 26 may modify the application of this Act and the Subdivision and Transfer regimes and has effect despite anything to the contrary in any Act or law (s 26(3)-(4)). While this is powerful for facilitating redevelopment, it creates uncertainty for affected holders of rights until and unless a Court makes an order. Parties facing potential s 26 applications should obtain prompt legal advice and ensure notice procedures are observed (s 26(2)).

Building regulatory treatment does not limit surveyor powers

• Section 25 treats project land as one allotment for certain building requirements, but expressly does not limit a building surveyor’s power to treat land as one allotment (s 25(2)). This preserves administrative discretion that can produce outcomes different from owners’ expectations about building compliance and fire safety strategy.

Crown land exceptions and consent requirements

• Easements and covenants over Crown land can be created under s 14 by lodging an instrument at the Central Plan Office with consents from benefited owners and lessees (s 14(3)). The Act operates despite the Land Act 1958 or Crown Land (Reserves) Act 1978 (s 14(5)). Practically, Crown land managers must respect the stricter consent formalities and lodge correctly to activate interests; otherwise intended rights over Crown land may not materialise.

Cancellation requires unanimity

• Cancellation of a management statement requires the owners of all the land to which it applies to agree and must be in writing under seal (s 21(1)-(2)). That creates a collective action problem: a single owner’s refusal can prevent cancellation and lock in obligations.

Regulatory discretion and delegation

• The Governor in Council may make regulations that confer discretionary authority or authorise exemptions from Subdivision Act or Transfer of Land Act regulations (s 28(2)). This broad delegation can produce variable outcomes over time and requires stakeholders to monitor subordinate legislation for new exemptions or conditions.

In short, the Act confers powerful and automatic property effects tied to registry events and Council certification and creates binding contractual obligations once the prescribed registration or lodgement steps are completed. The principal “gotchas” are registry and consent formalities, timing of leases, the automatic nature of vesting and inclusion into mortgages after boundary adjustment registration, and the potential for Court orders under s 26 to alter property arrangements notwithstanding other legal entitlements.

Compliance under the Act is largely procedural: the legal effects the Act creates attach upon prescribed lodgements, registrations and consents. The practical roadmap below sets out stepwise actions for common stakeholders: owners seeking to implement or amend a management statement, developers preparing first subdivision or boundary adjustment plans, owners of Crown land, mortgagees, lessees and the Council.

Pre‑transaction checks

1. Title and encumbrance review: Conduct a full title search for the parcel(s) to identify registered mortgagees, annuitants, caveators and registered lessees whose consent must be captured under ss 9, 17, 18 and 20. The Act specifically identifies classes whose consent is required for lodgement and amendments (s 17(4), s 18(2), s 20(2)).
2. Lease timing review: Confirm lease commencement dates. A management statement binds lessees whose occupation commences on or after the date on which the statement applies (s 19(1)(b)(ii)), but existing leases will not be bound unless their consent is included when the statement is lodged (s 17(4)).

Preparing plans and boundary adjustments 3. First subdivision planning: For plans that constitute the first subdivision, apply the exemptions available under s 8. Ensure the statement required under substituted s 22(1) of the Subdivision Act (as modified by s 8(2)) is included, i.e. a statement the plan is the first subdivision and exempt from Part 3. 4. Boundary adjustment plans: If correcting or rationalising internal boundaries, prepare a boundary adjustment plan that satisfies the narrow purposes in s 11(1). Secure Council certification that the sole purpose is a permitted one; the Council’s statement is conclusive evidence (s 11(2)). Anticipate the vesting consequences on registration (s 11(5)) and confirm how the vesting will interact with existing mortgages and common property arrangements, noting the Owners Corporations Act amendments reflected in s 11(5)(b).

Drafting and lodging the management statement 5. Management statement content: Draft the management statement to address the matters listed in s 16(2) as appropriate: car parking, cost sharing, maintenance, establishment of a management committee, appointment of a manager, levies, dispute resolution, restrictions on use, etc. Specify classes, staged commencements and any limited durations in accordance with s 16(3). 6. Inclusion of necessary consents on lodgement: If an owner signs a management statement for land under the Transfer of Land Act, the statement must include the consent of a registered mortgagee or registered annuitant, caveators recorded in the Register and any pre‑lodgement annuitant/mortgage interests (s 17(4)(a)-(c)). If the statement applies to Crown land, ensure a copy is lodged at the Central Plan Office on the same day (s 17(3)). Prepare appropriate forms for the Registrar consistent with Division 1A Part V of the Transfer of Land Act as modified (s 17(1)-(2)). 7. Application to additional land: Use the instruments under s 18 to extend application to adjoining area land or additional project land. Instruments must include the consents listed in s 18(2) for registered title land and comply with lodging rules and approved forms (s 18(6)).

Amending and cancelling the management statement 8. Follow s 20 for amendments: Amendments require consents from owners of directly affected land and, for registered title land, registered mortgagees, caveators and relevant indebted holders as set out in s 20(2). Remember that the amendment has no effect until the Registrar amends the lodged management statement for registered land or a copy is lodged at the Central Plan Office for Crown land (s 20(6)). Use approved forms for Registrar applications (s 20(4)). 9. Cancellation protocol: When cancelling a management statement under s 21, obtain the unanimous consent of owners of all land to which it applies, prepare a sealed instrument of cancellation, lodge the cancellation with the Registrar (or the Central Plan Office for Crown land) and request the Registrar record the cancellation and make necessary Register amendments (s 21(1)-(6)).

Handling consents and encumbrancers 10. Engaging mortgagees and caveators: Because the Registrar may dispense with production of documents and need not obtain consent in some circumstances, nevertheless obtain explicit written consents from registered mortgagees and caveators where required by the Act to avoid defective lodgement (ss 17(4), 18(2), 20(2)). For the first subdivision, check the modified consent rules in s 9 carefully: registered lessees and certain caveators need not consent to registration of the first subdivision plan (s 9(1)), but registered mortgagees remain relevant under substituted s 22(1A) treatment (s 9(2)).

Registry interactions and procedural practicalities 11. Registrar dealings: Prepare applications in the approved form when requesting the Registrar to amend the lodged management statement or to record instruments (ss 17(4)(b), 18(4), 20(4)). Be aware the Registrar may dispense with production of instruments or title certificates when making necessary amendments (ss 11(7), 17(4)(b), 18(7), 20(7), 21(7)), but do not rely on the Registrar to resolve missing consents; obtain consents proactively. 12. Central Plan Office lodgement for Crown land: For Crown land easements, restrictive covenants, management statement lodgement or amendments relating to Crown land, lodge copies at the Central Plan Office on the same day as dealings under the Transfer of Land Act transactions (ss 14(3), 16(6), 17(3), 18(5), 20(5), 21(4)). Ensure the instrument describes nature of the easement/covenant, identifies burdened and benefited land and includes consents required (s 14(3)).

Boundary plan and vesting consequences 13. Stamp duty and vesting: Note that no stamp duty is payable on vesting under s 11(6). Understand that added land may be freed from estates or encumbrances other than easements (s 11(5)(e)), and may become included in a mortgage or restrictive covenant relating to the receiving lot (s 11(5)(f)). Notify mortgagees as appropriate to manage their security profile.

Avoiding disputes 14. Build dispute resolution clauses into management statements: Include dispute resolution mechanisms for amendment disputes and unreasonable refusal of consent in the management statement as contemplated by s 16(2)(r). If the dispute resolution provision allows the making of a direction dispensing with consent, s 20(9) ensures that the amendment regime operates accordingly; draft the clause carefully to ensure enforceability and clarity. 15. Lease drafting: If a landlord wishes to exclude the implied covenant in s 22(2), ensure the lease contains explicit exclusion language. Conversely, lessees should negotiate express protections if they wish to avoid being bound by future management statements.

Redevelopment pathway 16. Supreme Court applications: If consensual restructuring is impossible, an owner or registered mortgagee may apply to the Supreme Court under s 26. Ensure broad notice to persons with interests in the affected land (s 26(2)). Prepare evidence to establish that proposed Orders are desirable to assist redevelopment or refurbishment and that granting relief is just and equitable having regard to owners as a whole (s 26(3)). Orders can be wide and operate despite other Acts (s 26(4)), so litigation planning is essential.

Regulatory monitoring 17. Track regulations and Orders: Since the Governor in Council may list additional “listed purposes” (s 5) and may make regulations exempting plans or instruments from Subdivision Act or Transfer of Land Act regulations (s 28(1)(b)-(c)), monitor the Government Gazette and the Central Plan Office for Orders and regulations that change the scope of permitted easement purposes or procedural exemptions.

Practical checklist recap

• Obtain and record required consents before lodging (registered mortgagees, caveators, annuitants, registered lessees where necessary).
• Prepare management statement to address all functions required and include dispute resolution and levy provisions (s 16).
• Lodge management statements with the Registrar in approved form and lodge copies at Central Plan Office for Crown land (s 17).
• For boundary adjustment plans, obtain Council certification of the narrow purpose and anticipate vesting effects on registration (s 11).
• Where necessary, prepare for a s 26 Supreme Court application with full notice to interested parties.

Following the Act’s procedural mandates will activate the statutory property and contractual effects the Act creates; failure to follow filing, consent and registry rules is the principal compliance risk and may prevent intended rights or obligations from arising.
