South Australian Water Corporation Act 1994

Several recurring legal and operational concepts structure the Act. Define these concretely from the text.

• Corporation and statutory corporation. "Corporation" means the South Australian Water Corporation (s 4). Section 5(1) establishes it; s 6 expressly makes it a statutory corporation to which the Public Corporations Act 1993 applies. That import means the Corporation sits in a hybrid legal space: a public entity created by statute but governed by corporate-style rules found in the Public Corporations Act.
• Functions and commercial orientation. Section 7 splits the Corporation’s responsibilities into primary operational functions (reticulated water supply, bulk water storage and treatment, sewerage systems) and further functions that are explicitly commercial in character. The Corporation may "develop commercially and market products, processes and intellectual property produced or created in the course of the Corporation’s operations" (s 7(2)(c)), and may "provide consultancy and other services within areas of the Corporation’s expertise" (s 7(2)(b)). These provisions authorise revenue-generating activity beyond supply of core services.
• Governance and appointment structure. The board is the governing body (s 12(1)). Composition is six Governor-appointed members plus the chief executive officer (s 12(2)). The Governor appoints the chair and may appoint a deputy (ss 12(5)-(6)). Appointment and removal of directors are governed by ss 13-15, with directors appointed for terms not exceeding three years and removable by the Governor on Ministerial recommendation (s 13). There is a minimum gender representation rule: at least two women and two men on the board (s 12(4)).
• Delegation and Ministerial power. Section 18 permits the Minister to delegate any of the Minister's powers or functions under any Act to the Corporation by instrument in writing, and those delegations are revocable at will by the delegator (s 18(1), (3)(d)). The instrument can authorise subdelegation by the Corporation (s 18(2)).
• Property, land and charging mechanisms. Sections 18C and 18D create statutory security and enforcement mechanisms. Section 18C makes amounts due to the Corporation for water or sewerage services a first charge on the land to which those services were provided and prevents statutes of limitation from affecting recovery actions (s 18C(1), (3)). Section 18D sets out a multi-step process allowing the Corporation, with Minister approval, to publish notices, auction or privately sell the land or assume title by Gazette if sales fail, and gives priority rules for application of sale proceeds (s 18D(1)-(16)). Schedule 1 vested pre-existing assets, rights and liabilities of the Minister in the Corporation (Sch 1 cl 2).
• Public access and control over Corporation land. Section 18A makes unauthorised entry onto Corporation land an offence, provides for public authorisation by Gazette notice, allows the Corporation to impose conditions and require identification, and criminalises failure to comply with such conditions (s 18A(1)-(9)). Penalties and expiation fees are specified.
• Leasing of infrastructure. Section 18B permits the Corporation to lease infrastructure "as the Corporation thinks fit" and to create leases with terms and conditions it determines (s 18B(1)-(3)). The Governor may, by proclamation, declare that lessees exercise rights or that leased infrastructure is treated as infrastructure of the lessee for purposes of other Acts (s 18B(4)). The definition of infrastructure refers to the Water Industry Act 2012 (s 18B(5)).

These concepts intertwine: corporatisation and commercial functions enable the Corporation to engage with private actors and monetise assets; the property and charging provisions give it tools to secure revenue; governance provisions vest oversight in a Governor-appointed board with Ministerial influence via appointment, removal, and delegation powers. The Public Corporations Act 1993 is an explicit overlay that may impose additional duties, reporting and accountability that are not spelled out in detail in this Act but are imported by s 6.

The Act’s effects are distributed across several clearly identifiable groups. State actors and the Corporation itself are the primary decision-makers, but private actors, landowners, users of water and sewerage services, and creditors are also directly affected.

• The Corporation and its board. The Corporation is both the object and main actor. Board members (appointed by the Governor under s 12) are directly affected by appointment terms (s 13), removal provisions (s 13(2)-(3)), remuneration (s 15), meeting procedures and quorum rules (s 16), and execution rules for the common seal (s 11). The board controls staffing decisions, including appointment of the chief executive officer with Ministerial approval (s 17(1)). The Corporation holds powers to lease infrastructure (s 18B), to charge land for unpaid service amounts (s 18C), and to sell or assume title to land for designated charge arrears (s 18D).
• The Treasurer and Minister. The Treasurer has statutory information rights. Section 10 requires the Corporation to furnish the Treasurer with information or records as required, with specified procedural effect by reference to s 7(2)-(4) of the Public Corporations Act 1993. The Minister retains active levers: the Minister can recommend removal of directors (s 13(2)-(3)), the Governor appoints directors in the Minister’s opinion must have certain abilities (s 12(3)), and the Minister may delegate powers to the Corporation under s 18(1). The Minister’s recommendation power is broad: the Minister may recommend removal on "any ground the Minister considers sufficient" (s 13(3)).
• Ratepayers, property owners and occupiers of land supplied with services. Section 18C makes amounts due for water or sewerage services a first charge on the land supplied with those services until payment. Section 18D sets out a procedure by which the Corporation can publish notice, seek Ministerial approval, and ultimately sell land for arrears after specified notice and advertising requirements, and, if necessary, assume title by Gazette. These provisions directly affect property owners’ security, mortgagees and encumbrancers, and occupiers.
• Mortgagees, encumbrancers and persons with caveats. The sale provisions regulate service of notice on registered mortgagees and caveat holders (s 18D(4)), and the order of application of sale proceeds prioritises costs and liabilities, then mortgages and encumbrances (s 18D(10)). Notably, title vested in purchasers under s 18D(12) or vested in the Corporation under s 18D(13) is to be free of mortgages, charges and caveats, and generally free of leases and licences other than Crown leases (s 18D(14)).
• Lessees or potential private operators of infrastructure. Section 18B authorises leasing of infrastructure to any body or person, confers broad discretion on the Corporation to set lease terms, and allows the Governor to proclaim lessee rights and to treat leased infrastructure as infrastructure of the lessee for other Acts (s 18B(1)-(5)). Private firms interested in operating infrastructure will be affected by the form of leases and any proclamations that alter legal status for regulatory or tax purposes.
• Members of the public, particularly visitors to Corporation land. Section 18A makes unauthorized entry onto Corporation land an offence with maximum penalties and expiation fees and allows the Corporation to authorise public entry by Gazette notice subject to conditions including carrying and producing identification (s 18A(1)-(9)). Persons who are directed by authorised staff must comply or face penalty.
• Employees transferred from government departments. Schedule 1 cl 5 transfers employees of the Engineering and Water Supply Department to the Corporation, preserving their pre-existing employment rights and obligations to the extent described and subject to industrial awards and agreements (Sch 1 cl 5(1)-(3)). The first chief executive appointment is made by the Governor on Ministerial nomination per Sch 1 cl 4(1).

Who pays. The Corporation funds director remuneration (s 15), the Corporation will collect charges for services and may enforce recovery as a charge on land (s 18C), and the Corporation may apply proceeds of sale under s 18D to satisfy various liabilities. Users who fail to pay service amounts ultimately pay through enforcement mechanisms affecting land. Who decides. The Governor appoints directors and the chair and can appoint the first CEO; the Minister recommends removals and can delegate powers to the Corporation; the board makes operational decisions including leasing, staffing, and execution of the seal. The Treasurer and Minister retain oversight and information rights (s 10, s 18).

The Act distributes specific duties and rights across the Corporation, its board, the Minister and affected third parties. These are mechanical obligations and entitlements within the Act’s structure.

Corporation’s duties and rights

• Duty to provide services and perform functions set out at s 7. The Corporation’s "primary functions" include provision of reticulated water supply, bulk water storage and treatment, and sewerage services (s 7(1)). It has additional powers to research, offer consultancy services, develop and market intellectual property, advise on efficient water use, and encourage private or public investment in service provision (s 7(2)).
• Right to exercise broad powers. Section 8(1) confers on the Corporation all the powers of a natural person together with any powers conferred by statute; s 8(2) permits exercise of powers inside and outside the State.
• Duty to give information to the Treasurer. Section 10 requires the Corporation to furnish the Treasurer with information or records as requested in the manner specified by the Treasurer, and provisions of the Public Corporations Act 1993 apply to such requests.
• Right to contract, lease and sell. The Corporation may lease infrastructure on terms it thinks fit (s 18B(1)-(3)) and has the power to sell land where designated charges are in arrears following the statutory procedure (s 18D).
• Right to secure payment and enforce charges. Section 18C creates a first charge on land for amounts due to the Corporation for services, and s 18C(3) prevents statutes of limitation or other Acts from affecting recovery actions.
• Right to control access to Corporation land. Section 18A makes unauthorised entry an offence, authorises public entry by Gazette notice subject to conditions, and permits directions by authorised persons and identification requirements.

Board duties and rights

• Duty to give full consideration before contracting out. Section 9 obliges the board not to cause water or wastewater services to be provided or operated by another party under contract without "first giving full consideration ... as to whether the Corporation could provide or operate the same services or facilities competitively." That creates a governance/process duty before outsourcing.
• Power to determine procedures and manage corporate affairs. The board is the governing body, may determine its own procedures subject to the Act (s 16(9)), must keep accurate minutes (s 16(8)), and controls the use of the common seal (s 11(1)).

Director duties and rights

• Appointment, terms and removal. Directors are appointed by the Governor (s 12), serve up to three-year terms with eligibility for reappointment (s 13(1)), may be removed by the Governor on Ministerial recommendation (s 13(2)), and are entitled to remuneration, allowances and expenses from corporate funds as determined by the Governor (s 15).
• Voting and meeting rights. Directors each have one vote at meetings, a quorum is four, and decisions are by majority with a casting vote for the presiding director where necessary (s 16(1), (4)-(5)).

Ministerial rights and duties

• Power to delegate. Section 18 allows the Minister to delegate any Ministerial powers under any Act to the Corporation by written instrument, subject to revocation at will.
• Influence over board composition and removal. The Minister’s opinion is the basis for required board skills in s 12(3), and the Minister may recommend removal on any ground the Minister considers sufficient (s 13(3)).

Rights of landowners and third parties

• Notice and opportunity to remedy. Before sale under s 18D, the Corporation must serve notice on owner and occupier stating arrears and the amount outstanding and give one month to pay or a longer period the Corporation allows (s 18D(3)). The Corporation must also serve registered mortgagees and caveat-holders (s 18D(4)).
• Priority in sale proceeds. Section 18D(10) prescribes the order for applying sale proceeds, including costs, discharge of designated charges, Crown liabilities for rates, council liabilities, and registered mortgages.

Enforcement and compliance rights

• Expiation regime and criminal penalties on land entry. Section 18A sets a maximum penalty of $2 500 and an expiation fee of $315 for unauthorised entry and a similar regime for failure to comply with conditions of authorisation (s 18A(1), (9)). The Act also sets conditions on authorised persons giving directions and requiring ID (s 18A(5)-(8)).

Procedural protections and limitations

• Vacancies do not invalidate board acts. Section 14 provides that board acts are not invalid solely because of a vacancy or defect in appointment.
• Delegation limits. Delegations under s 18 must be by instrument in writing, may be absolute or conditional, do not derogate from the delegator’s power, and are revocable.

These duties and rights create a framework in which the Corporation may pursue commercial activities, manage land and infrastructure, secure payment, and control access to its property while remaining subject to Ministerial oversight and Public Corporations Act obligations. The Act prescribes procedural steps for enforcement such as notice, advertising and Minister approval in land sale situations, and it protects corporate actions from procedural invalidation due to board vacancies.

The Act specifies criminal penalties, expiation fees, property enforcement mechanisms and administrative enforcement processes that the Corporation may use to secure payment and manage property and access.

Criminal and expiation penalties

• Entry onto Corporation land. Section 18A(1) makes it an offence to enter or remain on land owned, occupied or under the care of the Corporation without authorisation. The maximum penalty prescribed is $2 500, and an expiation fee of $315 is specified. The same maximum penalty and expiation amount apply to contravention or failure to comply with conditions attached to an authorisation (s 18A(9)).
• Conditions and authorised directions. An authorised person may give directions relating to entry and rights to remain on Corporation land, and such directions are conditions of authorisation (s 18A(5)-(6)). A person directing under s 18A(5) must carry and present Corporation-issued identification authorising them to act under the section (s 18A(8)(a)-(b)). Failure to carry appropriate ID when requested to present it is an offence if the director’s conditions include it.

Property and debt enforcement

• First charge on land for unpaid amounts. Section 18C(1) establishes that amounts due to the Corporation for water or sewerage services under the Water Industry Act 2012, and deferred payment agreements, are a first charge on the land in relation to which services were provided until payment is made. Section 18C(2) deals with common property in strata or community title schemes by creating first charges on each lot rather than the common property.
• No statutory limitation defence. Section 18C(3) removes the usual protection of statutes of limitation or other Acts as a bar to action for recovery of amounts due; effectively civil recovery proceedings for such amounts remain viable irrespective of limitation periods.
• Power to sell land for arrears. Section 18D contains a stepwise method for the Corporation to sell land where designated charges are in arrears for two years. The process requires publication of a prescribed notice (s 18D(1)), waiting at least one year from publication before sale with Ministerial approval (s 18D(2)), service of notice on owner and occupier with details and a one month payment window (or longer period as allowed) (s 18D(3)), service on registered mortgagees and caveat-holders (s 18D(4)), and advertising of auction on at least two separate occasions (s 18D(6)-(7)). If an auction fails or the land is Crown-held under a lease, the Corporation may sell privately for the best obtainable price (s 18D(9)).
• Vesting of title in the Corporation. If the Corporation cannot sell after reasonable steps, it may assume title by Gazette notice and the value of the land as at that date is to be deducted from outstanding amounts (s 18D(13)). Instruments of transfer executed by the Corporation will vest title in purchasers and must be accompanied by a statutory declaration from the chief executive officer confirming compliance (s 18D(12), (15)-(16)). Title vested under s 18D(12) or (13) is, with limited exceptions, free of mortgages, charges, caveats, leases and licences (s 18D(14)).
• Application of sale proceeds. Section 18D(10) prescribes a descending priority for the application of sale proceeds, prioritising sale costs, the Corporation’s designated charges and liabilities, Crown liabilities for rates and taxes, council liabilities, registered mortgages and encumbrances, and finally payment to the former owner.

Administrative enforcement elements

• Ministerial approval and procedural safeguards. The sale power is not wholly autonomous; the Corporation requires the Minister’s approval under s 18D(2) before selling land. The Act then imposes notice and advertising steps and service on mortgagees and caveat-holders, which are procedural safeguards for affected third parties.
• Exemption from stamp duty on vesting of property. Schedule 1 cl 2(4) provides that vesting of property in the Corporation under the Schedule is exempt from stamp duty despite s 29(1) of the Public Corporations Act 1993. That can reduce transactional costs in early vesting arrangements.

Enforcement risks and burdens created by the Act

• Enforcement concentrates power to enforce payment on the Corporation, including land-based security and sale powers that can extinguish competing interests in title (s 18C, 18D). The Act removes the statute of limitations as a potential bar to recovery (s 18C(3)), which shifts litigation risk to landowners and debtors.
• Administrative burden for the Corporation includes requirements for publication, service, advertising and statutory declarations in sale proceedings (s 18D). For buyers, the transfer process requires an accompanying statutory declaration from the chief executive officer when registering an instrument of transfer (s 18D(15)).

The Act therefore combines criminal penalties for trespass and non-compliance on Corporation land with significant civil enforcement tools to protect revenue, including land charges and sale or assumption of title, all within processes that incorporate prescribed notice, Ministerial approval and registration steps.

The Act expressly imports or interacts with other statutes and legal frameworks in several places. The text itself signals where further statutory regimes apply and where the Corporation’s legal status intersects with property, public corporations, and water industry law.

Public Corporations Act 1993

• Section 6 declares that the Corporation is a statutory corporation to which the Public Corporations Act 1993 applies. The Act also cross-references the Public Corporations Act in s 10, where subsections (2), (3) and (4) of s 7 of the Public Corporations Act apply to Treasurer information requirements "in the same way as to a requirement of the Minister." The practical effect is that governance, reporting, oversight and any statutory duties in the Public Corporations Act are applicable to the Corporation. The text does not reproduce those duties, but the import is clear.

Water Industry Act 2012

• Sections 18B, 18C and 18D reference the Water Industry Act 2012. Section 18B(5) defines "infrastructure" by reference to the Water Industry Act 2012. Section 18C makes amounts due "with respect to the provision of a water service or a sewerage service under the Water Industry Act 2012" a first charge on land. Section 18D defines "designated charges" by reference to amounts due under the Water Industry Act 2012. Thus, the substantive nature of service charges and definitions of infrastructure are governed by the Water Industry Act 2012; legal practitioners must read that Act alongside this one to understand the full regime for charges and infrastructure.
• Sections 18C and 18D therefore rely on the Water Industry Act 2012 to identify the sorts of amounts that can be charged to land and the corresponding enforcement steps. The Water Industry Act will also contain the regulatory and licensing regime that governs supply and service standards, which in turn informs what the Corporation is entitled to charge.

Real Property Act and Registrar-General functions

• Schedule 1 cl 3 requires the Registrar-General to register the Corporation as proprietor of land vested in the Corporation under the Schedule on application (Sch 1 cl 3(1)). It also permits registration of instruments executed by the Corporation as proprietor even where the Corporation has not yet been registered as proprietor (Sch 1 cl 3(2)). The Real Property Act therefore intersects with the appointment and vesting machinery for land and with the registration obligations created by s 18D that require statutory declarations to be lodged with the Registrar-General (s 18D(15)-(16)).

Unclaimed Money Act 2021

• Section 18D(11) was amended by the Unclaimed Money Act 2021 so that amounts payable to a former owner that cannot be found are to be dealt with under s 6 of the Unclaimed Money Act 2021. The Act thereby channels unclaimed sale proceeds to the unclaimed money regime.

Legislation revision and commencement notes

• The legislative history records amendments and repeals. For legal effect now, the Act includes changes made by the Water Industry Act 2012 which inserted ss 18A-18D and by subsequent amendments. Those insertions broadened enforcement and property powers and tied the Corporation’s charging and infrastructure definitions into the Water Industry Act 2012.

Other statutory cross-links

• The vesting of property in Schedule 1 refers to the Sewerage Act 1929 and Waterworks Act 1932 and states the Corporation succeeds to property and liabilities of the Minister arising under those Acts (Sch 1 cl 2(1)). That Schedule also creates a stamp duty exemption for vestings done under the Schedule (Sch 1 cl 2(4)). Practitioners dealing with historic rights and liabilities will need to examine those prior Acts and any instruments that transferred rights at commencement.

Administrative law overlay

• The Act gives the Governor formal appointment and removal functions and allows the Minister to recommend removal on broad grounds (s 13), with delegations of Ministerial powers revocable at will (s 18(3)(d)). Those features raise customary administrative law questions about procedural fairness and justiciability where ministerial decisions affect directors. The Act itself does not set out procedural limits on the Minister’s recommendation power; the broader public law framework will be relevant in disputed removals or delegations.

In short, the Act must be read in combination with the Public Corporations Act 1993, the Water Industry Act 2012, the Real Property Act (and Registrar-General rules), and the Unclaimed Money Act 2021 to understand fully the Corporation’s regulatory, property and enforcement environment. The text repeatedly ties the Corporation into other statutes as the source of definitions, duties and enforcement categories rather than standalone self-contained rules.

The Act contains its own legislative history at the end of the text. Key amendments and their mechanical effects are set out in that history. Describe the amendments recorded in the source and what they changed in the Act.

• Enactment and commencement. The South Australian Water Corporation Act 1994 (No 82 of 1994) received assent on 8 December 1994 and commenced on 1 July 1995 except Schedule 1 (clause 7) which commenced earlier (22 June 1995) as noted in the history.
• 1995 amendments. The Waterworks (Rating) Amendment Act 1995 (No 23 of 1995) and the South Australian Water Corporation (Board) Amendment Act 1995 (No 55 of 1995) amended provisions in 1995. The Board Amendment Act amended s 12(2) and substituted s 12(4), and amended s 16(1) (see history entries noting those sections were amended by No 55/1995 with the commencement on 19 October 1995). Practitioners should consult those amending instruments for the detailed text changes in director composition and meeting quorums that resulted.
• 2012 Water Industry Act amendments. The Water Industry Act 2012 (No 9 of 2012), assented 19 April 2012, inserted ss 18A-18C and s 18D into this Act. Those additions were consequential to the 2012 water industry reform and have effect from 1 January 2013 for the listed clauses. The 2012 insertion introduced entry offences for Corporation land (s 18A), power to lease infrastructure (s 18B), recovery of amounts by creating land charges (s 18C), and power to sell land for arrears (s 18D).
• 2016 and 2021 amendments. The Real Property (Electronic Conveyancing) Amendment Act 2016 (No 29 of 2016) affected Schedule 2 and deleted s 18D(17) by amendment. The Unclaimed Money Act 2021 (No 45 of 2021) amended s 18D(11) so that unclaimed amounts payable to a former owner are to be dealt with under the Unclaimed Money Act 2021; the commencement of that amendment is recorded as 25 November 2023 for Schedule 1 (cl 14) via cross-references to the Legislation Interpretation Act 2021.
• Legislative revision notes. The legislative history records that some provisions or references have been omitted or altered under the Legislation Revision and Publication Act 2002, which indicates statutory tidy-up of obsolete references may have occurred (for example s 2 omitted).
• Transit of assets and staff. Schedule 1 provided transitional mechanics at commencement to vest property, rights and liabilities from the Minister’s prior statutory arrangements in the Corporation, appointed the first chief executive officer by Governor on Ministerial nomination, and transferred staff from the Engineering and Water Supply Department to the Corporation.
• Reprints. The history lists reprints of the Act as of 1 July 1995, 19 October 1995, 1 January 2013 and 4 July 2016, reflecting consolidation points that incorporated amendments up to those dates.

The history therefore records incremental changes concentrating on board composition and procedures in 1995 and substantive additions in 2012 that created entry offences and property enforcement powers, with follow-up amendments to ensure compatibility with other reforms such as electronic conveyancing and the unclaimed money regime. For precise drafting differences across time, the amending Acts should be read alongside the consolidated text. The Act as presented integrates those amendments; the legislative history warns that cross-references to other legislation or titles may not be automatically updated and could be obsolete, so practitioners should verify cited Acts and commencement provisions where necessary.

The Act text and its legislative history as provided do not list any judicial decisions or litigation concerning the South Australian Water Corporation Act 1994. The statutory record in the source contains no case law citations, no reported challenges, and no judicial interpretation notes. What the source documents instead are statutory amendments and reprints.

Points to note for practitioners seeking litigation context

• No cases named in the Act. The Act itself does not enumerate cases or interpretive pronouncements. It is a statutory creation and the text supplied contains only legislative provisions and amendment history.
• Litigation will likely involve cross-referenced statutes. Any litigation arising from the Act’s operation is likely to engage the Public Corporations Act 1993, the Water Industry Act 2012 (particularly concerning the nature of designated charges and infrastructure definitions), the Real Property Act (in relation to registration and vesting of title), and administrative law principles pertaining to Ministerial power and delegations. Therefore, when seeking precedent or litigation history, researchers must examine those statutes and reported decisions that interpret them.
• Enforcement and property disputes. The practical enforcement mechanisms in ss 18C-18D could generate litigation around the nature and effect of the first charge, the procedural sufficiency of notices, the adequacy of advertising, the validity of sales, and the operation of s 18D(14) which extinguishes mortgages and caveats on vested titles. Any such litigation is not recorded in the Act text; practitioners should search case law databases for disputes involving water corporations or those specific sections.
• Administrative law challenges to removals or delegations. Section 13 allows the Governor to remove an appointed director on the Minister’s recommendation and authorises the Minister to recommend removal on "any ground the Minister considers sufficient" (s 13(3)). Challenges to such removals, or to the revocation of delegation instruments under s 18(3)(d), would fall into administrative law. The Act does not discuss procedures or appeal routes for such decisions.
• Trespass and compliance prosecutions. Section 18A creates enforceable offences for unauthorised entry and provides expiation fees. Any prosecution under these offences would be in the courts or dealt with under administrative expiation procedures; the Act does not record outcomes.

Because the text supplied contains no litigation data, a researcher or litigator must conduct a separate search of reported decisions, tribunal files and commission records that concern the South Australian Water Corporation, the Public Corporations Act 1993, the Water Industry Act 2012, and related property enforcement matters. The Act’s enforcement and property provisions create plausible grounds for litigation in the areas indicated above, but the source provides no record of any such cases.

Practical pitfalls and non-obvious consequences arise from the Act’s drafting. These are mechanical risks, drafting features requiring attention, and operational points that practitioners and compliance officers should monitor closely, grounded strictly in the Act’s text.

1. Ministerial and Governor discretion in appointments and removals

• The Governor appoints directors (s 12(2)) and the chair (s 12(5)). The Governor may remove an appointed director on the recommendation of the Minister (s 13(2)). Critically, s 13(3) allows the Minister to recommend removal "on any ground that the Minister considers sufficient," which the Act does not limit or qualify. That is a broad statutory power; any director appointment carries the risk of removal subject to Ministerial will unless other procedural protections arise under the Public Corporations Act 1993 or administrative law. The Act does not set out an appeal or review procedure for removal.

2. "Full consideration" before outsourcing is not a prohibition

• Section 9 requires the board not to cause services or facilities to be provided or operated by another party without first giving "full consideration ... as to whether the Corporation could provide or operate the same services or facilities competitively." The section imposes a process standard, not an absolute bar on contracting out. The Act does not define what "full consideration" entails, leaving scope for differing interpretations and potential governance disputes about adequacy of procurement decision-making.

3. Delegations are revocable at will

• Section 18(3)(d) makes clear that a delegation from the Minister to the Corporation is revocable at will by the delegator. That feature can create operational uncertainty where the Corporation exercises delegated functions and private contractors or lessees rely on continuation of delegated powers. The Act does not prescribe notice periods or transitional arrangements on revocation.

4. Leasing plus proclamation can change legal status of infrastructure

• Section 18B(4) allows the Governor by proclamation to declare that the lessee has, in relation to leased infrastructure, the rights and powers vested in the Corporation under this or any other Act and that the infrastructure may be taken to be infrastructure of the lessee for the purposes of other Acts. That is a potent mechanism that can alter regulatory and legal treatment of leased assets; the Act leaves the content and reach of any such proclamation to the Governor. Practitioners drafting leases should anticipate the possibility of such proclamations and their effect on compliance, tax, regulatory obligations and third-party rights.

5. Charge on land and extinguishment of competing interests on sale

• Section 18C creates a first charge on land for amounts due. Section 18D permits sale for arrears and provides that title vested in purchasers or in the Corporation will be free of mortgages, charges and caveats and, except for Crown leases or licences, free of leases and licences (s 18D(14)). A buyer may obtain title free of incumbent mortgages and leases. Mortgagees and other secured parties are at risk if they do not act when notice is served. The Act requires the Corporation to serve notice on registered mortgagees and caveat-holders (s 18D(4)), but the practical risk remains if mortgagees are unaware, do not act, or if registration timestamps complicate priority.

6. No statute of limitations defence

• Section 18C(3) provides that no statute of limitations or other Act will bar or affect an action for recovery of amounts due. This can create long-tail liabilities for landowners and successors in title and complicate conveyancing searches where decades-old service debts might survive.

7. Procedural requirements for sale are exacting

• The Corporation must follow prescribed notice and advertising steps, obtain Minister approval, allow at least a year after publication of the initial notice before sale, and provide a statutory declaration to the Registrar-General when transferring title (s 18D(1)-(3), (6), (15)-(16)). Failure to comply with those steps could put a sale at risk, but the Act also provides the Corporation with a fallback to assume title by Gazette if reasonable steps to sell fail (s 18D(13)).

8. Public access rules and personal identification requirements

• Section 18A lets the Corporation authorise public entry by Gazette notice and attach conditions including carrying identification that shows name and residential address and presenting it when requested (s 18A(2), (7)). It also requires authorised Corporation persons to carry authorising ID when giving directions or requesting presentation of ID (s 18A(8)). The interplay between these requirements may raise privacy or operational concerns in implementation and enforcement.

9. Interaction with external statutes requires cross-checking

• Many substantive definitions and procedural rights depend on the Water Industry Act 2012, Public Corporations Act 1993 and Real Property Act. Practitioners must read those statutes in conjunction with this Act; relying on the South Australian Water Corporation Act alone can omit critical elements such as the technical meaning of "water service," regulatory licensing and other cross-cutting mandates.

10. Transitional vesting and exempt stamp duty

• Schedule 1 vests property and liabilities in the Corporation and makes Ministerial certificates conclusive evidence of vesting (Sch 1 cl 2(2)-(3)). Clause 2(4) exempts such vestings from stamp duty despite the Public Corporations Act. That can have lasting effects on the Corporation’s asset base and on historic obligations that transitioned at commencement.

These are structural "gotchas" embedded in the Act’s mechanics that raise governance, property, procurement and enforcement risks. Practitioners should build compliance checklists and drafting safeguards around ministerial removal, delegation revocation, leasing proclamations, charge registration, notice procedures for sale, and data/privacy implications of identification and access rules.

Compliance under the Act entails a combination of corporate governance practices, administrative processes, record-keeping and procedural checklists. Below are concrete, source-grounded steps and controls that a practising lawyer, compliance officer or manager should implement to align with the Act’s requirements.

Governance and board compliance

• Appointment and removal processes. Ensure instrumented appointment letters and terms do not exceed three years (s 13(1)) and that the Governor’s appointment process is documented. Maintain records of Ministerial recommendations and any grounds for removal; while the Minister may recommend removal on any ground (s 13(3)), procedural fairness principles and requirements of the Public Corporations Act 1993 may apply. Keep up-to-date registers of board membership, chair and deputy appointments (s 12(5)-(6)).
• Gender composition monitoring. Maintain a composition register to ensure at least two women and two men are on the board at any time (s 12(4)). Include this in recruitment planning.

Board procedures and minutes

• Meeting protocols. Observe quorum rules of four members (s 16(1)), voting rules including casting vote of presiding director (s 16(5)), and procedures for telephone or electronic conferences (s 16(6)). Implement a procedure for circulating proposed resolutions in writing and recording concurrence for decisions made out of meeting (s 16(7)). Keep accurate minutes of proceedings as required (s 16(8)).

Seal and execution controls

• Seal attestation and authority registers. The common seal must not be affixed except by decision of the board and must be attested by signatures of two directors (s 11(1)). Maintain an instrument of authority registry for persons authorised to execute on behalf of the Corporation under s 11(2). Ensure copies of authorisations are readily available to counterparties and registrars.

Staff and CEO appointments

• CEO appointment and Ministerial approval. The board must appoint the chief executive officer with the approval of the Minister (s 17(1)). For the first CEO, follow Schedule 1 cl 4 where the Governor appointed on Ministerial nomination at commencement. Keep complete recruitment documentation and Ministerial records.
• Employment terms. Ensure employment contracts for transferred staff or new hires comply with the rights preserved under Schedule 1 cl 5(2) and account for applicable industrial or enterprise awards and subsequent agreements (Sch 1 cl 5(3)).

Information to Treasurer and Public Corporations obligations

• Treasurer information requests. Adopt a compliance protocol for responding to notices from the Treasurer under s 10, including a single point of contact, a records disclosure log and timelines for delivery. Treat such requests as falling within the Public Corporations Act 1993 s 7(2)-(4) framework as applied by s 10.
• Reporting. Prepare annual reports and any required reports to the Minister as mandated by the Public Corporations Act 1993 and Schedule 1 cl 6 which allows incorporation of departmental operations in the corporate report.

Procurement, outsourcing and contracting

• Outsourcing checklist to satisfy s 9. Before causing services or facilities to be provided by another party, document a structured "full consideration" assessment comparing the Corporation’s capacity to provide or operate the services competitively (s 9). Include market testing, cost-benefit analysis, conflict of interest declarations and board resolution recording consideration undertaken. The Act requires only consideration, not a prohibition, but documentation evidences compliance with the statutory governance duty.

Leasing infrastructure

• Lease drafting and proclamation clauses. For leases under s 18B, ensure leases have clear terms on rent, duration, rights and liabilities, and include clauses that account for the possibility of Governor proclamations under s 18B(4). Consider warranties and indemnities addressing regulatory change, third party claims and treatment of the infrastructure under other Acts should a proclamation alter legal status.

Managing land charges and recovery

• Charge registration and conveyancing controls. Record amounts due and liaise with Land Titles/Registrar-General to register charges or to ensure the charging mechanism under s 18C is properly reflected. For strata or community title schemes, ensure charges are registered on each lot where required by s 18C(2).
• Debt recovery policies. Maintain a statutory-compliant notice template and calendar to check when designated charges become arrears for two years to trigger s 18D processes. Ensure Ministerial approval before taking sale steps (s 18D(2)) and follow s 18D(1), (3) and (4) on publication and serving notices on owner, occupier and registered mortgagees/caveat-holders.
• Auction and sale procedures. Before auction, ensure advertising occurs on at least two separate occasions in a newspaper circulating generally throughout the State (s 18D(7)). Record the reserve price where set and maintain receipts and records to apply sale proceeds in the priority order in s 18D(10). Prepare statutory declarations by the chief executive officer to accompany instruments of transfer when lodging with the Registrar-General (s 18D(15)).
• Fallback and vesting. Where sale cannot be effected after reasonable steps, compile evidence of such steps to support a Gazette notice of assumption of title and the valuation to be deducted under s 18D(13). Ensure the Registrar-General is informed and statutory declarations are lodged per s 18D(16).

Access control and trespass compliance

• Gazettal of authorised access and conditions. If the Corporation authorises public access to land, publish notice in the Gazette under s 18A(2) setting out conditions. Maintain notice versions and a process for varying or revoking them by subsequent Gazette notices as allowed by s 18A(3).
• ID and enforcement protocols. Operational staff who will issue directions under s 18A(5) must be issued with Corporation identification and trained to present that ID (s 18A(8)). Ensure signage and communications explain conditions of entry, identification requirements and the consequences of non-compliance, and develop a standard operating procedure for dealing with people who refuse to present ID or follow directions.

Delegations and revocation risk management

• Delegation documentation and contingency planning. Any Ministerial delegation under s 18 must be a written instrument. Keep copies and track revocation capability per s 18(3)(d). Build contingency plans for sudden revocation affecting ongoing contracts or licences by third parties, and ensure deeds with third parties address allocation of risk around revoked delegations.

Interface with other statutes

• Cross-check the Water Industry Act 2012 and the Public Corporations Act 1993. Many obligations and definitions are located in those Acts. Ensure legal teams have current copies and maintain a statutory cross-reference table mapping duties and definitions.
• Registrar-General interactions. For vesting and transfers, maintain ready access to statutory declaration templates in the form required by s 18D(15) and the Real Property Act registration processes as per Schedule 1 cl 3.

Record keeping and audit trails

• Maintain comprehensive records for board decisions on contracting out under s 9, all notices and Gazettes published under s 18A and s 18D, statutory declarations, correspondence with the Minister and Treasurer, lease files under s 18B, and minutes evidencing board approval of seal use (s 11).

Operational training and stakeholder communications

• Provide training for staff and contractors on entry protocols, ID presentation, and how to respond to directions from authorised personnel. Communicate with councils, mortgagees and local stakeholders about charge and sale procedures so they understand notice mechanisms and timelines that could implicate their interests.

Following these steps grounded in the Act will materially reduce legal and operational risk arising from governance, enforcement and property powers the Act confers. Legal and compliance teams should also maintain up-to-date monitoring of amendments to the Public Corporations Act 1993, the Water Industry Act 2012 and the Real Property Act, because the Act incorporates and depends on those statutes for definitions, processes and obligations.
