South Australian Tourism Commission Act 1993

The Act builds around a few organising legal concepts that determine statutory incentives, decision rights and constraints.

Statutory corporation and Crown instrumentality (s 5). The Commission is a body corporate with perpetual succession, corporate powers and capacity to sue and be sued (s 5(2)(a)-(c), (ca)). It is an instrumentality of the Crown and holds its property on behalf of the Crown (s 5(3)). That placement brings the Commission within public finance, audit and administrative accountability regimes (s 23, s 24).

Board governance with Ministerial control (s 6-7, s 9-13). A board is established as the governing body and is subject to control and direction by the Minister (s 6(1); s 7(1)). The board must negotiate and pursue agreed annual performance targets (s 7(3)). The Act mixes independent board functions with explicit executive control by the Minister, and requires publication of directions and the performance agreement in the annual report (s 7(2), (4)).

Delegation and execution mechanics (s 16-17). Execution of documents via the common seal is tightly controlled: affixing the seal requires a board decision and attestation by two directors (s 16(1)). The board may authorise specified officers to execute documents and may delegate functions in writing; delegations are revocable and subject to conditions (s 16(2); s 17(1)-(3)). Delegates are criminally prevented from acting where they have a direct or indirect personal or pecuniary interest (s 17(4): penalty as Division 5 offence). The board must keep accurate minutes (s 13(7)). These rules set internal control and corporate governance obligations.

Staffing by employing authority (s 4; s 18A). The Commission cannot itself directly employ staff (s 18A(11)). Instead, staff are employed by an employing authority, a person designated by proclamation (s 4 definition). The employing authority sets terms and conditions and may direct staff to perform functions for other public sector agencies (s 18A(1)-(4)). The employing authority is subject to Ministerial direction (s 18A(5)), but the Minister may not give directions relating to appointment, transfer, remuneration, discipline or termination of a particular person (s 18A(6)). The Commission must make employment-related payments at the direction of the Minister, Treasurer or employing authority (s 18A(10)). This division allocates employment risk, payroll obligations and industrial relations exposure away from the Commission to the employing authority, with continuing Ministerial oversight.

Function and power remit (s 19-20). The Commission’s functions are prescriptive: promotion (international and domestic), identification and promotion of tourism opportunities including events and festivals (s 19(1)(a)-(ba)), preparing tourism promotion plans, encouraging industry participation and financial support for cooperative marketing, assisting regional bodies, providing information and booking services, advising operators on quality improvement, encouraging actions that enhance visitor experience, advising the Minister and performing other Ministerially assigned consistent functions (s 19(1)(a)-(k)). Powers are broadly stated as necessary or incidental (s 20(1)), with specific examples including entering contracts, engaging consultants, providing services for fees, and establishing committees (s 20(2)(a), (c)-(e)).

Financial and accountability controls (s 21-24). The Commission may operate ADI bank accounts and invest surplus funds subject to Treasurer approval (s 21). It must submit budgets for Ministerial approval and cannot spend without budget provision or Ministerial approval (s 22). Proper accounting, compliance with Treasurer instructions, Auditor-General auditing and an annual report with audited statements and reporting against performance targets are mandatory (s 23-24). The Minister must lay the Commission’s annual report before Parliament within 12 sitting days (s 24(3)).

Name protection and enforcement (s 25-26). The Commission has proprietary interest in its statutory name and any other prescribed name; unauthorised commercial use is a criminal offence with a maximum $10,000 fine, and civil remedies include injunctions and court-ordered compensation (s 25(2)-(6)). The Governor may make regulations for the Act with fines up to $2,500 (s 26(1)-(2)).

Conflict-of-interest carve-out (s 14). Section 14 provides that a director will not be taken to have an interest for the purposes of the Public Sector (Honesty and Accountability) Act 1995 merely because the director shares an interest with those engaged in the tourism industry generally, or a substantial section of it. That modifies how the public sector conflicts regime applies in practice to board members with common industry interests.

Amendment, transitional and proclamation mechanisms. The Governor may make proclamations varying the employing authority (s 4(2)); the Governor appoints directors and chair, and can appoint deputies (s 9(5)-(6)); the legislative history records multiple amendments that have altered staffing rules, conflict treatment, and the Commission's powers (Legislative history).

These concepts set the institutional incentives: central Ministerial oversight through performance agreements and budget approval, board-based decision-making subject to statutory governance mechanics, delegated staff provided by a separate employing authority, and statutory obligations for financial prudence, audit and public reporting.

The Act affects multiple classes of legal and economic actors. Identifying who pays, who decides and how behaviour is likely to change is necessary to understand stakeholder incentives.

Primary public-sector actors

• The Commission itself. As the statutory corporation, it has the legal identity to contract, hold accounts, engage services and carry out its statutory functions (s 5(2), s 20). It is obliged to follow Ministerial directions, annual performance agreements and budgetary constraints (s 7(1), s 7(3), s 22(1)-(3)). The Commission cannot employ staff directly (s 18A(11)), which materially affects its operational control and recruitment capacity.
• The board and directors. Directors hold governance responsibilities and vote on decisions (s 9; s 13). Directors are appointed by the Governor (s 9(2)), may be removed for misconduct, incapacity or other grounds by the Governor (s 10(2)), receive remuneration set by the Governor (s 12), and must keep accurate minutes (s 13(7)). The board is the legal decision-maker whose acts bind the Commission (s 6(2)); however, the board is expressly subject to Ministerial control (s 7(1)).
• The Minister. The Minister issues directions, negotiates and receives annual performance agreements and approves budgets (s 7(1), s 7(3), s 22(2)). Ministerial directions and performance agreements must be published in the Commission’s annual report (s 7(4)). The Minister also has a role in the employing authority's direction (s 18A(5)) and participates, with the board and Minister, in the CEO appointment process via recommendation to the Governor (s 8(3)).
• The Governor. The Governor appoints directors, the chair, the CEO (on recommendation), and may appoint the employing authority by proclamation and make regulations (s 9(2), s 9(5)-(6), s 8(3), s 4(2), s 26).

Employing authority and staff

• The employing authority (as defined and designated by proclamation) employs staff who perform functions for the Commission and determines their terms (s 4 definition; s 18A(1)-(2)). The employing authority may direct staff to perform functions for other public sector agencies (s 18A(4)) and is subject to Ministerial direction (s 18A(5)). The employing authority bears legal employer responsibilities, and the Commission bears some financial payment obligations at direction (s 18A(10)).
• Employees and contractors. Persons employed by the employing authority to work for the Commission are legally employees of the employing authority (s 18A(3)). Consultants and contractors engaged by the Commission are within the Commission’s contractual powers (s 20(2)(c)).

Private sector and regional bodies

• Tourism operators, regional bodies and industry participants. The Act anticipates active engagement with private operators and regional bodies: encouraging industry participation in cooperative marketing (s 19(1)(e)), assisting regional bodies (s 19(1)(f)), providing advice to operators for quality improvement (s 19(1)(h)), and providing booking services (s 19(1)(g)). Private entities are therefore potential co-payers of cooperative marketing and recipients of Commission programs. The Commission may charge fees for services it provides (s 20(2)(d)), creating potential revenue streams and contracts with private sector providers.
• Commercial users of names. Businesses that might use the terms “South Australian Tourism Commission” or any other prescribed name need to cease such use unless consented by the Commission, or face criminal fines up to $10,000 and possible civil injunctions and compensation (s 25(2)-(6)). This affects branding and marketing strategies for industry participants.

Public finance and oversight bodies

• Treasurer and Auditor‑General. The Treasurer approves investment of Commission funds (s 21(2)); accounting records must comply with Treasurer instructions under the Public Finance and Audit Act 1987 and with Auditor‑General requirements, and the Auditor‑General audits accounts and statements (s 23(2)-(3)). The Commission’s budget and expenditures are subject to Ministerial approval and Parliamentary scrutiny via the annual report (s 22; s 24).

Affected rights and behaviour

• The Commission’s inability to hire staff directly (s 18A(11)) reduces its unilateral control over staffing decisions and shifts industrial relations and payroll liability to the employing authority. This influences how quickly the Commission can mobilise workforce changes and may increase transaction costs in negotiating staff terms with the employing authority.
• Private operators are incentivised to participate in cooperative marketing if the Commission succeeds in preparing and implementing tourism promotion plans and in offering booking and marketing services (s 19(1)(d)-(f), s 19(1)(g)). Where the Commission charges fees for services, market participants may face additional costs but also receive new services (s 20(2)(d)).
• Directors and senior officers are influenced by the statutory mix of board governance and Ministerial control: board decisions bind the Commission (s 6(2)), but Ministerial directions and budget approvals condition what the Commission may pursue (s 7(1), s 22(3)).

Who pays and who decides

• Public money: the State funds the Commission’s budgeted activities, subject to Minister approval (s 22). The Commission can generate revenue through fee‑for‑service activities (s 20(2)(d)), but cannot expend funds without an approved budget or Ministerial approval (s 22(3)), so the State ultimately controls spending allocation.
• Decision-makers: the board decides operationally (s 6(2)), the Minister decides policy direction via directions and performance agreements (s 7), the Governor appoints key office holders (s 8(3); s 9(2)), the Treasurer approves investments (s 21(2)) and the Auditor‑General audits (s 23).

In short, the Act affects a network of public actors (board, Minister, Governor, Treasurer, Auditor‑General, employing authority), private operators and industry bodies. It distributes decision rights and payment obligations across those actors in ways that create coordination needs and potential principal‑agent tensions between the Commission, the Minister and the employing authority.

This section lists and explains statutory duties and rights imposed on the Commission, the board, directors, the employing authority and third parties, with section references and the practical implications.

Duties of the Commission

• Carry out statutory functions (s 19(1)). The Commission must promote South Australia as a tourist destination, identify and promote tourism opportunities including events and festivals, prepare tourism promotion plans, encourage industry participation, assist regional bodies, provide information and booking services, advise on quality improvement, and advise the Minister. These duties are framed as non‑exclusive and may be supplemented by Ministerial assignments consistent with the Act (s 19(1)(k)).
• Conduct functions in consultation and co‑operation (s 19(2)). The Commission must act in consultation with the Minister and co‑operate with government agencies, industry, local government and relevant regional and community bodies. This imposes procedural duties and a collaborative standard.
• Ensure consistency with government objectives (s 19(3)). The Commission must ensure plans and initiatives give effect to government economic development, social, employment and environmental objectives, linking Commission activity to wider public policy.
• Financial discipline (s 22). The Commission must submit budgets to the Minister and may not expend money unless covered in an approved budget or approved by the Minister. This is a primary control on expenditure.
• Accounting and audit compliance (s 23). The Commission must keep proper accounting records, prepare annual statements, comply with Treasurer instructions under the Public Finance and Audit Act 1987, and comply with Auditor‑General requirements. The Auditor‑General may audit accounts and must audit annual statements (s 23(2)-(3)).
• Reporting (s 24). The Commission must produce an annual report by 30 September, containing audited statements, a report on the state of tourism, plans and implementation, and the extent to which performance targets were met. The Minister must lay the report before Parliament within 12 sitting days (s 24(1)-(3)).

Duties of the board and directors

• Governance obligations (s 6(2); s 13). The board governs the Commission; its decisions bind the Commission. Directors must follow board procedures, ensure accurate minutes are kept (s 13(7)), and meet quorum and voting requirements (s 13(1), (3), (4)). The board may determine procedures subject to the Act (s 13(8)).
• Enter into annual performance agreements with the Minister (s 7(3)). The board must set performance targets for the Commission each financial year and pursue them. The agreement and any Ministerial direction must be published in the annual report (s 7(4)).
• Avoid conflicts where a delegate has a pecuniary or personal interest (s 17(4)). Delegates must not act in such matters; breach carries a Division 5 penalty (see Penalties).
• Compliance with Public Sector (Honesty and Accountability) Act rules subject to carve‑out (s 14). Section 14 provides that a director is not taken to have an interest for the purposes of the Public Sector (Honesty and Accountability) Act merely because the director shares an interest with those engaged in or associated with the tourism industry generally. That reduces the ordinary conflict presumption in cases of widely shared industry interests.

CEO duties and appointment rights

• CEO responsible for managing staff and resources and giving effect to board policy, subject to board control (s 8(2)). The CEO is appointed by the Governor on recommendation of the Minister and the board, with terms set by the Governor (s 8(3)). The CEO is ex officio a director (s 9(2)).

Employing authority duties and limits

• Employ staff for Commission operations (s 18A(1)). The employing authority hires staff for Commission activities and determines terms (s 18A(2)).
• Employment legal status (s 18A(3)). Employees are taken to be employed by or on behalf of the Crown, but are not in the Public Service unless brought into an administrative unit under the Public Sector Act 2009.
• Direction and internal redeployment (s 18A(4)). The employing authority may direct staff to perform functions in connection with the operations or activities of another specified public sector agency, and staff must comply.
• Ministerial direction to employing authority (s 18A(5)). The employing authority is subject to Ministerial direction, but the Minister may not give directions concerning the appointment, transfer, remuneration, discipline or termination of a particular person (s 18A(6)).
• Payments and liabilities (s 18A(10)). The Commission must, at the direction of the Minister, Treasurer or employing authority, make payments with respect to employment matters (salary, superannuation, taxation, workers compensation, termination payments, insurance and vicarious liabilities).

Rights and remedies

• Proprietary interest in name and enforcement (s 25(2)-(7)). The Commission has a proprietary interest in the statutory name and any prescribed name. Unauthorised commercial use is a criminal offence (max $10,000) (s 25(3)), consent can be conditional (s 25(4)), and the Commission may seek injunctions and compensation in the Supreme Court (s 25(5)-(6)).
• Contracting and fee‑for‑service rights (s 20(2)(a), (d)). The Commission may enter contracts, provide services and set terms, including fees, for the services it provides.
• Banking and investment rights (s 21(1)-(2)). The Commission may hold ADI accounts and invest surplus funds with Treasurer approval.

Constraints and limits

• Expenditure cannot occur without budget or Ministerial approval (s 22(3)). This constrains operational autonomy.
• Delegations are revocable and the delegator retains power to act (s 17(3)(b)); this means the board retains ultimate responsibility even where powers are delegated.
• Statutory limitations on Ministerial suppression of Commission reports (s 7(2)). A Minister cannot direct the board to suppress information or recommendations from a Commission report; however, the Minister can issue other directions to the board (s 7(1)).

Taken together, these duties and rights create formal accountability chains: the board directs the Commission’s operations but within an architecture of Ministerial direction, Treasurer investment oversight, Auditor‑General audit, employing authority staffing, and statutory reporting obligations. Those chains determine who decides and who carries financial and legal duties for the Commission’s activities.

The Act establishes both criminal penalties for specified offences and administrative enforcement through budgetary, audit and Court remedies. The Appendix to the Act sets divisional penalty levels that translate to maximum fines and imprisonment; where the Act references a Division the Appendix provides numerical caps.

Criminal penalties and statutory offences

• Unauthorised commercial use of protected names (s 25(3)). A person who, without the Commission’s consent, in the course of trade or business uses a protected name for promoting the sale of services or the provision of benefits commits an offence. The maximum penalty specified in the section is $10,000. The section also contemplates conditional consents (s 25(4)).
• Delegation conflict (s 17(4)). A delegate must not act in any matter pursuant to a delegation if the delegate has a direct or indirect pecuniary or personal interest in the matter. The text says: “Penalty: Division 5 fine or division 5 imprisonment.” The Appendix lists Division 5 as a maximum of 2 years imprisonment and a maximum fine of $8,000. Therefore a conviction for acting in breach of s 17(4) can attract those penalties.
• Regulation breaches. Regulations may impose fines not exceeding $2,500 for breach of a regulation (s 26(2)). Those are statutory fine‑only penalties created by subordinate instrument-making power.

Enforcement and civil remedies

• Injunctive relief and compensation for name protection (s 25(5)-(6)). The Supreme Court may grant an injunction to restrain breaches of s 25. In addition, the court by which a person is convicted of an offence under s 25 may, on the Commission’s application, order the convicted person to pay compensation to the Commission of an amount fixed by the court (s 25(6)). The Act emphasises that subsections (5) and (6) do not derogate from other civil remedies available to the Commission (s 25(7)). Hence the Commission may pursue injunctive and compensatory relief in the civil courts separate from criminal prosecution.

Administrative controls and oversight

• Accountkeeping and Auditor‑General audit (s 23). The Auditor‑General may audit the Commission’s accounts and must audit annual statements of account (s 23(3)). The Commission’s obligation to comply with Treasurer instructions and Auditor‑General requirements (s 23(2)) provides administrative enforcement levers for financial compliance.
• Budgetary approval (s 22). The Minister may approve budgets submitted by the Commission, including with modifications (s 22(2)). The Commission is prohibited from expending money unless provision is in an approved budget or the Minister has approved the expenditure (s 22(3)). Non‑compliance with this constraint would expose the Commission and its officers to administrative remedy and possibly criminal or civil consequences under other financial management statutes and regulations, though this Act itself imposes the prohibition.
• Publication and Parliamentary scrutiny (s 7(4); s 24(3)). Ministerial directions and the annual performance agreement must be published in the annual report for the relevant financial year (s 7(4)), and the Minister must table the annual report in Parliament within 12 sitting days (s 24(3)). This creates a political and parliamentary enforcement mechanism via public transparency.

Practical enforcement pathways and interactions

• Criminal prosecutions for name misuse require prosecution by the relevant prosecuting authority; successful prosecutions can trigger court-ordered compensation to the Commission (s 25(6)). The Act does not set out who prosecutes; standard public prosecutorial arrangements would apply.
• Administrative sanctions relating to financial mismanagement flow through the budget approval regime and audits by the Auditor‑General; adverse audit reports or breaches of budgetary limits open routes for Ministerial direction, reconstitution of the board via Governor removal power (s 10(2)(c)), and Parliamentary scrutiny (s 24).
• Breaches of statutory duties by directors (for example, failing to keep accurate minutes or improperly delegating) do not in each case attract a specified penalty in the Act, but s 17(4) expressly criminalises delegates acting with conflicts and s 17(5) makes ignorance of interest a defence. For other conduct, removal by the Governor (s 10(2)) is the specified administrative sanction for directors (misconduct, incapacity, or serious irregularities leading to reconstitution).

Mapping penalties to Appendix divisional scheme

• The Appendix lists maximum penalties for divisions. The Act’s explicit reference to Division 5 for s 17(4) means an offending delegate could face up to two years imprisonment or a fine up to $8,000. This is the principal express criminal sanction in the Act text. The unauthorised use of the Commission’s name carries a maximum monetary fine of $10,000 under s 25(3), which sits outside the divisional table (the section specifies the penalty directly).

Enforcement risk allocation

• The Act delegates a combination of criminal and civil enforcement to courts (injunctions, compensation), criminal sanctions for specific breaches, and routine public financial oversight via Treasurer instructions, Auditor‑General auditing, and Parliamentary tabling. That design channels most near-term enforcement outcomes through administrative oversight and public transparency, reserving criminal sanctions for narrow types of misconduct or misuse of Commission intellectual property.

The Act is designed to operate within South Australia’s broader public law, finance and employment regulatory matrix. Several explicit cross‑references and structural interactions appear in the Act text.

Public finance and audit regime

• Public Finance and Audit Act 1987: The Commission’s accounting records and statements of account must comply with instructions of the Treasurer under s 41 of the Public Finance and Audit Act 1987 (s 23(2)(a)). The Auditor‑General audits the Commission’s accounts and annual statements (s 23(3)). These clauses integrate the Commission into the State’s public finance controls and audit regime.

Public sector employment and employing authority

• Public Sector Act 2009 and relevant transitional provisions: Section 18A(3) provides that persons employed under s 18A are taken to be employed by or on behalf of the Crown but will not be Public Service employees unless brought into an administrative unit under the Public Sector Act 2009. The legislative history records amendments associated with the Statutes Amendment (Public Sector Employment) Act 2006 and consequential changes in 2009, which adjusted the definition and operation of employing authority and staffing arrangements. The Act thus creates an employment arrangement that is hybrid: staff are Crown‑employed but sit outside the Public Service unless they are later brought into it.

Industrial relations and Commonwealth changes

• The transitional schedule (Statutes Amendment (Public Sector Employment) Act 2006 Sch 1) deals with continuity of employment and transfers in the context of changes to industrial instruments, including references to the Commonwealth Workplace Relations Act 1996 and Fair Work regimes. The schedule provides that certain awards or agreements are taken to be created under the Fair Work Act 1994 subject to modification or exclusion by regulation. Practitioners should note that the Act contemplates continuity of employment despite transfers between prescribed bodies and employing authorities (Transitional Sch 2 and 3), meaning industrial obligations follow the persons transferred.

Public Sector (Honesty and Accountability) Act 1995

• Conflict rules: Section 14 of the Tourism Commission Act modifies how the Public Sector (Honesty and Accountability) Act 1995 applies to directors: a director will not be taken to have an interest for the purposes of the Public Sector Act merely because the director has an interest shared in common with those engaged in the tourism industry generally or a substantial section of it. This interacts with the broader public sector conflict and disclosure regime, creating a limited statutory carve‑out for widely shared industry interests among board members.

Crown property and litigation

• The Commission is an instrumentality of the Crown and holds property on behalf of the Crown (s 5(3)). That status has practical implications for indemnities, claims against the Commission and the application of Crown immunities in particular contexts. The Act also provides that the Commission can sue and be sued in its corporate name (s 5(2)(c)), so ordinary civil remedy pathways remain available.

Regulatory instruments and Governor powers

• The Governor’s power to make regulations under s 26 includes the capacity to impose fines not exceeding $2,500. The Governor may also make proclamations to designate the employing authority (s 4(2)). The Act expressly contemplates the Governor varying the employing authority proclamation from time to time (s 4(2)(b)). These mechanisms permit administrative reallocation of responsibilities and fine‑tuning of subordinate rules.

Other Acts and Ministerial assignments

• The Commission may carry out any other functions assigned by the Minister or conferred under another Act consistent with the object of this Act (s 19(1)(k)). That clause creates a route for functions to be conferred by other Acts or assigned by Ministers, potentially creating overlapping or concurrent responsibilities that must be reconciled with the Commission’s statutory duties.

Interaction with court remedies

• The Commission may seek injunctions and compensation in the Supreme Court for breaches of s 25 (name protection) (s 25(5)-(6)). Criminal convictions under s 25 can lead to court‑ordered compensation, and the Act states that these do not derogate from other civil remedies (s 25(7)). Those cross‑references clarify the availability of civil relief alongside criminal enforcement.

Statutory ambiguity and prospective inconsistency

• The Act contains provisions that rely on subordinate instruments (regulations, Governor proclamations) and on other statutes (Public Finance and Audit Act 1987, Public Sector Act 2009, Public Sector (Honesty and Accountability) Act 1995). Practitioners must therefore read the Act alongside those instruments and note the Legislative history entries that show prior amendments and the potential for changes in administrative arrangements, particularly the employment and industrial relations provisions recorded in the Transition sections.

In sum, the Act is interwoven with South Australia’s public finance, employment, audit and public sector integrity statutes. It relies on regulations and proclamations to set the employing authority and additional operational details, and it anticipates that functions may be conferred by other Acts or Ministerial assignment. Practitioners must treat the Tourism Commission Act as a node in the broader statutory network rather than as a self‑contained code.

The Act’s Legislative history records multiple amendments that materially changed governance, staffing and conflict provisions. The key amendment entries and their mechanical effects, as recorded in the source, are as follows.

Principal Act

• South Australian Tourism Commission Act 1993, No 26. Assented 29 April 1993 and commenced 1 July 1993 (Gazette 27.5.1993 p1753).

Subsequent amendments recorded in the Legislative history summary

• Financial Sector Reform (South Australia) Act 1999, No 33 (assent 17 June 1999). Sch (item 54) amended s 21(1): commencement 1 July 1999 (linked to Commonwealth Financial Sector Reform transfer date). This amended the Commission’s banking powers to reflect ADI account arrangements (s 21(1) as amended).
• Statutes Amendment (Public Sector Employment) Act 2006, No 41 (assent 14 December 2006). Pt 22 (ss 99-102) commenced 1 April 2007 (Gazette 29.3.2007 p930). This amendment introduced the concept of an employing authority into the Act and added Division 5 (s 18A) on staffing arrangements. The legislative history notes that s 4 was redesignated and the "employing authority" definition was inserted by this 2006 Act.
• Statutes Amendment (Public Sector Consequential Amendments) Act 2009, No 84 (assent 10 December 2009). Pt 143 (ss 327-329) commenced 1 February 2010 (Gazette 28.1.2010 p320). This Act substituted s 14 (conflict of interest) and deleted s 15 and s 18 (old provisions), and amended other staffing-related subclauses. It also amended s 18A(3) and the definition of public sector agency in s 18A(13).
• Statutes Amendment (Boards and Committees,Abolition and Reform) Act 2015, No 8 (assent 18 June 2015). Pt 36 (ss 231-236) commenced 1 July 2015 (Gazette 25.6.2015 p3076). This Act amended s 3 (object), inserted the definition of "promote" in s 4, amended s 5(2) (powers of the Commission), inserted s 5(4) (presumption about common seal) and amended s 19(1) to add express promotion of events and festivals (s 19(1)(ba)). It also amended s 25(3) (name protection) and s 26(2) (regulation penalties).

Provision-level changes recorded in the table (select highlights)

• s 4: redesignated as s 4(1) by the 2006 Act; "employing authority" inserted (1.4.2007); "promote" inserted by 2015 amendment (1.7.2015).
• s 5(2): amended by 2015 (1.7.2015); s 5(4) inserted by 2015 (1.7.2015).
• s 14: substituted by the 2009 Act (1.2.2010).
• s 16(2): amended by the 2006 Act (1.4.2007).
• Pt 2 Div 5 (s 18A): inserted by 2006 Act (1.4.2007); s 18A(3) amended by 2009 Act (1.2.2010).
• s 19(1): amended by 2015 (1.7.2015) to expand promotional remit to include events and festivals (s 19(1)(ba)).
• s 21(1): amended in 1999 to allow ADI accounts (1.7.1999).
• s 25(3): amended by 2015 (1.7.2015); s 26(2) amended by 2015 (1.7.2015).

Transitional provisions and saving clauses

• The Statutes Amendment (Public Sector Employment) Act 2006 includes a Schedule containing detailed transitional provisions concerning transfer of employment, continuity of rights, award and enterprise agreement transitions and superannuation transfer (Transitional Sch). Those provisions provide mechanisms for transferring employees of prescribed bodies to the employing authority, maintaining accrued rights and treating awards and agreements under Commonwealth changes. The source includes clauses ensuring continuity of employment without termination (Trans Sch cl 2(4)) and addressing superannuation continuity (Trans Sch cl 3). These transitional arrangements took effect from 1 April 2007 and contain further detail about proclamations, transfers, and modifications by regulation.

Practical effects of the amendments

• The 1999 amendment modernised banking arrangements allowing ADI accounts (s 21(1) amendment), aligning Commission banking with contemporary financial institution definitions.
• The 2006 and 2009 amendments reorganised public sector employment architecture: introducing the employing authority model, clarifying that staff are Crown‑employed but not necessarily Public Service employees, and creating transitional arrangements to protect employment continuity and industrial instruments.
• The 2009 substitution of s 14 narrowed how conflicts of interest are assessed under the Public Sector (Honesty and Accountability) Act 1995 for directors with shared tourism industry interests.
• The 2015 amendments broadened the Commission’s promotional remit to events and festivals (s 19(1)(ba)), inserted a non‑rebuttable presumption about documents appearing to bear the Commission’s seal (s 5(4)), and updated name protection and regulatory penalties.

Notes and warnings in the legislative history

• The Act carries a general note that references to other legislation, instruments or titles are not automatically updated in the published text and may be obsolete. Users must cross‑check references to other statutes and instruments because the Act has been amended several times and interacts with other legislative regimes.

For legal practice, the amendment history shows a legislative trajectory: adding modern public‑sector staffing mechanisms, adjusting conflict standards, expanding promotional duties, and updating financial and administrative powers. Anyone advising the Commission or third parties must read the Act together with the relevant amending statutes and the transitional schedules to understand employment, industrial relations and auditing obligations.

The Act text and legislative history supplied contain no citations to judicial decisions or litigation that have construed the South Australian Tourism Commission Act 1993. There are no cases named in the source material, and the legislative history records statutory amendments only. The Act does, however, create express civil and criminal remedies that could be litigated:

• Civil enforcement rights under s 25(5)-(7) permit the Commission to apply to the Supreme Court for injunctions and compensation relating to unauthorised use of protected names. Those provisions anticipate civil litigation in the Supreme Court but the source does not record any decisions.
• Criminal offences under s 25(3) (unauthorised use of name) and s 17(4) (delegate acting with a pecuniary or personal interest) create prosecutable offences. The source does not record prosecutions or adjudications.
• Audits by the Auditor‑General (s 23) can generate audit reports and findings that lead to administrative follow‑up, and these findings could in principle be the subject of litigation or Parliamentary inquiries; the source records the audit power but not outcomes.

Because the supplied Act text contains no reported cases, practitioners should treat the Act as without recorded domestic judicial interpretation in the provided material. Actual litigation history, if any, would have to be sought in case law databases, court registries or government records outside the provided text.

The Act does create routes that commonly give rise to litigation in other contexts , contract disputes under s 20(2)(a), injunctive relief and compensatory claims under s 25, employment disputes arising from the employing authority model (s 18A), and public law challenges (for example, on procedural fairness in Ministerial directions) , but the source itself does not record any adjudicative developments. Where an issue under the Act raises contested statutory interpretation or constitutional questions, those matters would be litigated in court and their outcomes would then become precedential materials for future practitioners.

This section flags concrete, source‑grounded traps for advisers, boards, operators and officials that arise from the text.

Staffing control but no employment power (s 18A(11))

• The Commission cannot employ anyone directly (s 18A(11)). Employment is vested in the employing authority, which sets terms and conditions (s 18A(2)) and is itself subject to Ministerial direction (s 18A(5)). Practitioners should not assume the Commission can recruit, terminate or unilaterally set remuneration for staff. The Act further states that the Minister may not give directions relating to the appointment, transfer, remuneration, discipline or termination of a particular person (s 18A(6)), but that limit sits alongside the broader employing authority’s subjection to Ministerial direction (s 18A(5)). This arrangement can create operational ambiguity and coordination costs when the Commission needs staffing changes or quick recruitment.

Budgetary gatekeeping (s 22)

• The Commission may not expend money unless the expenditure is provided for in an approved budget or separately approved by the Minister (s 22(3)). Operational plans that require rapid spending may be constrained by budgeting cycles and by the Minister’s willingness to approve modifications. Failure to comply with this prohibition risks administrative consequences and potentially audit findings.

Ministerial control plus publication safeguard (s 7)

• The board is subject to control and direction by the Minister (s 7(1)). However, the Act prevents the Minister from giving directions that suppress information or recommendations from a Commission report under the Act (s 7(2)). The board must also enter an annual performance agreement and publish it with any Ministerial directions in the Commission’s annual report (s 7(3)-(4)). This is a mixed control model: the Minister may direct board activities, but there is a statutory transparency constraint that limits suppression. Advisers should not assume Ministerial direction is without check, publication is required, but should expect Ministers to exercise substantive influence through budgets and directions that are nonetheless public.

Conflict‑of‑interest carve‑out (s 14)

• Section 14 provides that a director will not be taken to have an interest for the purposes of the Public Sector (Honesty and Accountability) Act merely because the director shares a common interest with the tourism industry generally or a substantial section of it. That carve‑out narrows conflict obligations in cases where interests are widely shared. Practitioners must recognise that this is not a blanket removal of conflict duties; it applies only for the purposes of the referenced Act and to interests shared with the industry generally. Other fiduciary, statutory or common law duties may still apply.

Delegation liability and criminal sanction (s 17(4))

• Delegations must be in writing (s 17(1)) and delegates must not act where they have a direct or indirect pecuniary or personal interest (s 17(4)). The penalty is mapped to Division 5 (maximum 2 years imprisonment or $8,000 fine as per the Appendix). Ignorance of the interest is a defence (s 17(5)). This raises compliance needs: the board must ensure written delegations include conflict declarations and monitoring to avoid criminal exposure for delegates.

Name protection attracts both criminal and civil remedies (s 25)

• Using the Commission’s protected name in trade or business without consent is an offence with a maximum fine of $10,000 (s 25(3)), and the Supreme Court can grant injunctions and compensation (s 25(5)-(6)). Commercial parties should not assume that use of a statutory name or similar branding is harmless. Consent may be given with conditions (s 25(4)), and the Commission may pursue both civil and criminal routes.

Quorum and decision validity (s 13; s 11)

• A quorum is one half the total number of members plus one (s 13(1)). Acts are not invalid merely because of a vacancy or defective appointment (s 11). This reduces disruption from vacancies but requires attention to board size: with a minimum of seven directors (s 9(1)), the quorum will be four. Boards must ensure attendance meets quorum rules and that decisions are correctly minuted.

CEO appointment and political interface (s 8(3))

• The CEO is appointed by the Governor on recommendation of the Minister and the board, with terms determined by the Governor (s 8(3)). The appointment process therefore requires coordination between the Minister and the board; advisers should prepare for political dynamics and the need to record recommendations properly.

Investment and banking constraints (s 21)

• The Commission may hold ADI accounts (s 21(1)), and any money not immediately required may be invested only in a manner approved by the Treasurer (s 21(2)). That approval requirement could restrict investment options and affect short‑term cash management strategies.

Ministerial transparency timing (s 24)

• The annual report must be forwarded by 30 September each year and include audited accounts and reporting against performance targets (s 24(1)-(2)). The Minister must lay the report before both Houses within 12 sitting days (s 24(3)). Late or incomplete reporting may attract Parliamentary scrutiny and potentially political consequences.

Regulation penalties (s 26(2))

• Regulations under the Act may impose fines up to $2,500. Practitioners should not overlook subordinate legislation that may create new offences or compliance obligations.

Transitional complexity

• The statutory schedule records detailed transitional and saving provisions associated with the 2006 employment amendments. These provisions affect continuity of employment, awards and superannuation arrangements and require careful review when dealing with staff transfers, especially for older entitlements predating amendments.

In practice, the principal operational gotchas are the separation of employment power from the Commission, the budgetary expenditure constraint, the mix of Ministerial control and required transparency, the delegation/conflict criminal sanction, and the potential for political or administrative friction in appointments, budgets and employing authority directions. Advisers must coordinate across the Commission, employing authority, Minister’s office and Treasurer’s office to manage these risks.

This section sets out concrete, source‑grounded steps the Commission, board, directors, employing authority and commercial partners should take to comply with statutory obligations and to manage implementation risk.

Governance and board procedures

• Formalise and document board composition, appointments and terms. Ensure the board has between 7 and 10 directors, including the CEO ex officio, appointed by the Governor (s 9(1)-(2)). Ensure skill mix meets the Minister’s opinion criteria (tourism business operation, regional tourism, business and financial management, marketing, environmental management and industrial relations) and that minimum gender representation (at least two women and two men) is achieved (s 9(3)-(4)). Maintain appointment instruments specifying term lengths not exceeding three years (s 10(1)).
• Keep accurate minutes and board records. The board must keep accurate minutes of proceedings (s 13(7)). Minutes should record quorum satisfaction (one half the total number plus one, s 13(1)), votes, casting votes and teleconference attendance if used (s 13(5)).
• Maintain written delegations and conflict declarations. Any delegation must be in writing (s 17(1)) and include conditions and subdelegation permissions if relevant (s 17(3)). Implement a conflict-of-interest register and require delegates to declare direct or indirect pecuniary or personal interests before acting, because acting in breach of s 17(4) attracts Division 5 penalties; ensure ignorance of interest is not relied upon by maintaining up-to-date disclosures (s 17(5)).

Ministerial engagement and performance agreements

• Negotiate and document the annual performance agreement with the Minister for each financial year and ensure the board understands the performance targets that it is expected to pursue (s 7(3)). Publish the agreement and any Ministerial directions in the annual report for the relevant year (s 7(4)) to satisfy the statutory transparency requirement.
• Where the Minister gives directions, record them in writing, assess their consistency with statutory functions, and ensure they are reflected in operational plans and budgets. The Minister cannot direct suppression of Commission report information (s 7(2)), and any attempts to do so should be rejected and recorded.

Budgeting, expenditure controls and financial compliance

• Prepare and submit budgets to the Minister in accordance with any Ministerial timetable (s 22(1)). Ensure budgets include detailed estimates of income and expenditure and are approved by the Minister before any committed expenditure (s 22(2)-(3)).
• Maintain accounting records that comply with Treasurer instructions under the Public Finance and Audit Act 1987 and with any Auditor‑General requirements (s 23(2)). Ensure annual statements of account are prepared and audited in time for the 30 September annual report deadline (s 24(1)-(2)(a)).
• Liaise with the Treasurer regarding investment approvals for surplus funds (s 21(2)), and operate ADI accounts in compliance with relevant banking rules (s 21(1)). Maintain documentation for all investments to evidence Treasurer approval.

Staffing arrangements and employing authority coordination

• Do not attempt to directly employ staff. Instead, enter formal operational agreements with the employing authority that specify staffing levels, terms and conditions, reporting lines, secondment arrangements, costs, indemnities and processes for managing redeployment (s 18A(1)-(4), (10)-(12)).
• Obtain written authorisations where staff are directed to work for other public sector agencies (s 18A(4)). Establish Service Level Agreements (SLAs) between the Commission and the employing authority clarifying who pays what, how liabilities (superannuation, workers compensation, taxation) are treated and who bears termination and vicarious liability exposure (s 18A(10)).
• Document any Ministerial directions to the employing authority and ensure they do not purport to direct the appointment, transfer, remuneration, discipline or termination of a particular person, which the Minister is expressly barred from doing (s 18A(6)).

Contracts, services and revenue

• Where the Commission provides services for fees, document clear terms and conditions, fees, intellectual property rights (particularly regarding use of the Commission’s name), performance standards and dispute resolution clauses (s 20(2)(d)). Ensure procurement and engagement of consultants follows applicable public procurement and financial rules.
• Maintain clear procedure for the Commission to enter contracts and establish committees or advisory bodies (s 20(2)(a), (e)). Ensure any committee established and assigned delegated powers is constituted according to s 20(2)(e) and delegations are in writing and monitored under s 17.

Name protection and brand use

• Register any prescribed trading name under regulation if the Commission intends to operate under a name other than the statutory name (s 25(1)). For third parties, obtain written consent before using the Commission’s statutory name or a prescribed name in commerce; where consent is given, ensure it is conditional and documented (s 25(3)-(4)).
• For enforcement, keep records of unauthorised uses and be prepared to seek injunctions and compensation in the Supreme Court under s 25(5)-(6) if necessary. Consider a graduated approach of cease and desist letters followed by injunctive relief where warranted.

Audit, reporting and transparency

• Prepare the annual report with audited statements, a report on the state of tourism and plans implementation, and a statement on meeting performance agreement targets (s 24(2)(b)(i)-(iii)). Ensure timely forwarding to the Minister by 30 September and co‑ordinate with the Minister’s office to meet the 12 sitting‑day tabling obligation (s 24(1), (3)).
• Ensure that any Ministerial directions and the performance agreement are included in the annual report for the relevant financial year (s 7(4)).

Compliance systems and training

• Implement compliance training for directors, delegates and staff concerning delegation rules, conflict-of-interest declarations and financial management obligations, with particular emphasis on the criminal sanction under s 17(4) for delegates acting with a personal or pecuniary interest.
• Maintain a register of instruments of delegation and authorisations to sign documents under the Commission’s common seal (s 16(2)-(4)), and periodically review authorities for currency and appropriate limitations.

Legal documentation and contracts

• Ensure all instruments of delegation, appointment instruments, authority to execute documents, SLAs with the employing authority, and performance agreements with the Minister are in writing and stored in a secure, searchable register to demonstrate compliance with s 16, s 17, s 7, and s 18A.
• For significant contracts, include clauses protecting the Commission’s name and IP, specify dispute resolution and indemnities, and align contract terms with the Commission’s statutory object and functions (s 3; s 19).

Regulations and subordinate instruments

• Monitor the Gazette and regulations made under s 26 for any fine‑creating instruments and for regulations prescribing names or other operational rules. Ensure operational procedures implement any regulatory requirements promptly, as regulation breaches can attract fines up to $2,500 (s 26(2)).

Record retention and transparency

• Maintain records to facilitate Auditor‑General audits and Ministerial queries. Records should evidence compliance with Treasurer instructions, delegation instruments, minutes, budgets, performance monitoring against targets, and all transactions where the Commission makes employment‑related payments at direction (s 18A(10), s 23).

By following these concrete steps, the Commission and its advisers can manage statutory compliance, limit legal risk, and align operational practices with the Act’s governance, financial and staffing architecture. Legal and financial advisers should also cross‑check the Act against up‑to‑date subordinate legislation, Treasurer instructions and Auditor‑General directives as these instruments operationalise many of the Act’s duties.
