South Australian Ports (Bulk Handling Facilities) Act 1996

Bulk handling facilities are defined in s 3 to mean the equipment designed principally for handling grain installed at six named government ports: Port Adelaide, Port Giles, Wallaroo, Port Pirie, Port Lincoln and Thevenard. That equipment includes modifications and substitutions made from time to time. The definition also extends to other equipment for loading or unloading commodities at a government port that is classified by proclamation as bulk handling facilities to which the Act applies. The definition of “commodity” is broad: it includes primary produce, minerals, petroleum, natural gas, other mining industry products, and manufactured goods. The Act therefore gives the government the flexibility to add other port handling infrastructure by proclamation without further legislation. Government port means a port vested in the South Australian Ports Corporation under the South Australian Ports Corporation Act 1994. The Corporation is that body. The Treasurer is the executive actor who executes the sale agreement and exercises powers to sell, lease or grant other rights over Corporation land. Section 7(2) provides that the Treasurer is taken to be acting as agent of the Corporation when doing so.

Statutory easement is the central property law concept in the Act. On the sale of bulk handling facilities, an easement arises automatically over subjacent and adjacent land, entitling the owner of the facilities to support for the facilities and to access the land (through agents and employees) as reasonably required for operating, maintaining, repairing, modifying, removing or replacing the facilities (s 5(1)). “Adjacent land” includes land declared by proclamation to be adjacent (s 5(4)). The easement is not registered by plan; s 6(1) directs the Registrar-General to note it on each affected certificate of title or Crown lease based solely on a schedule provided by the Treasurer, without any obligation to verify accuracy (s 6(3)). The landowner may, by agreement with the facility owner, replace the statutory easement with a conventional easement or discharge the land altogether (s 5(3)).

Bulk handling facilities to be regarded as chattels (s 39) is a deeming provision that overrides the common law rule that fixtures pass with the land. Despite the extent of their affixation, the facilities are treated as chattels capable of being acquired, owned, dealt with and disposed of as such. This removes any argument that the facilities are part of the freehold and therefore cannot be sold separately from the land.

Sale agreement is defined by operation; the Treasurer may enter into one or more agreements for different facilities with the same or different purchasers (s 4(1)). The sale agreement vests title in the purchaser and discharges the facilities from any trust or other interest in favour of the Crown, except to the extent expressly preserved (s 4(2)(b)). The agreement may require the purchaser to indemnify the Corporation against specified liabilities (s 4(4)).

The Act directly affects four categories of parties. First, the South Australian Ports Corporation, which holds the bulk handling facilities and the land on which they sit. The Act overrides the Corporation’s normal constraint on disposing of land without ministerial approval (s 7(4) cross-referencing s 10(3) of the South Australian Ports Corporation Act 1994). The Corporation ceases to own the facilities and may have its liabilities discharged or recouped from sale proceeds. It also obtains a right of indemnity from the purchaser if the sale agreement so provides. Second, the purchaser of the bulk handling facilities. That party acquires title to equipment that is statutorily deemed to be chattels, even if permanently fixed, and obtains the benefit of a statutory easement over surrounding Corporation land (and potentially other land declared adjacent by proclamation). The purchaser may also acquire or lease Corporation land under s 7. The purchaser must comply with any indemnity obligations in the sale agreement and must exercise the statutory easement rights with reasonable care to minimise damage and avoid unnecessary interference (s 5(2)). Third, owners of land affected by the statutory easement. Those landowners cannot prevent the easement from arising; it arises automatically upon sale. Their only statutory remedy is to negotiate with the facility owner to substitute a conventional easement or discharge the land from the statutory easement (s 5(3)). They have no right to compensation under the Act itself, though the general law of nuisance or trespass may apply if the easement rights are exercised unreasonably. Fourth, the Registrar-General, who is obliged to note the easement on each affected certificate of title or Crown lease upon the Treasurer’s application, relying solely on the information provided (s 6). The Act does not require a survey plan; the Registrar has no verification obligation and is effectively immunised from liability for relying on the schedule.

Indirectly affected parties include creditors or interest holders in the Corporation, as the sale discharges the facilities from any trust or other interest in favour of the Crown (s 4(2)(b)). Users of the port facilities are affected only to the extent that the Act originally contained an access regime (Part 3) that was later deleted, so there is now no statutory right of third-party access to the privatised facilities. The deletion of Part 3 means that the Act no longer governs who may use the facilities or on what terms; that is left to private contract between the facility owner and users, subject to any applicable competition or access laws at Commonwealth level.

The Act creates relatively few duties and rights because it is primarily a transaction vehicle rather than a regulatory code. Rights of the purchaser: the purchaser obtains title to the bulk handling facilities by force of s 4(2)(a), discharged from Crown interests. The purchaser also acquires the statutory easement under s 5(1) over adjacent and subjacent land, entitling it to support and access for operating, maintaining, repairing, modifying, removing or replacing the facilities. The purchaser may also obtain a lease, sale, or other rights over Corporation land under s 7. Rights of the Treasurer: the Treasurer has the power to execute the sale agreement, to apply proceeds to discharge Corporation liabilities and to retire State debt (s 4(5)). The Treasurer may also sell, lease or grant other rights over Corporation land to the purchaser on whatever terms the Treasurer thinks fit (s 7(1)), and in doing so is deemed to act as agent of the Corporation (s 7(2)). Duty of the purchaser: the purchaser must take reasonable steps when exercising the statutory easement rights to minimise damage to land or other property and to avoid unnecessary interference with land or other property or its use or enjoyment (s 5(2)). This duty sounds in tort but is statutory; breach may give rise to an action for damages or injunction. The purchaser must also comply with any contractual indemnity in the sale agreement (s 4(4)). Duty of the Treasurer: the Treasurer must pay the net proceeds of sale (after discharging Corporation liabilities) into the Asset Management Task Force Operating Account for State debt retirement. The Treasurer must also apply to the Registrar-General to note the statutory easement (s 6(1)). Duty of the Registrar-General: the Registrar-General must note the statutory easement on each certificate of title or Crown lease identified in the Treasurer’s application, but is entitled to rely solely on the information provided and need not verify its accuracy (s 6(3)). Rights of affected landowners: the owner of land affected by the statutory easement may, by agreement with the facility owner, execute an instrument that confers an easement to the exclusion of the statutory easement, or that discharges the land from the statutory easement (s 5(3)). On registration, the land is discharged. There is no statutory right for the landowner to compel such an agreement; it is purely consensual. The landowner has no statutory right to compensation or to prevent the easement arising in the first place.

Broad enabling rights of the Governor: the Governor may make regulations and proclamations for the purposes of the Act, and may vary or revoke proclamations by subsequent proclamation (s 43). This includes the power to classify additional equipment as bulk handling facilities by proclamation, and to declare land as adjacent land for the purposes of the statutory easement.

The Act contains only one provision that prescribes a penalty. Section 43(3) provides that a regulation may prescribe a fine not exceeding $2,000 for contravention of the regulation. That is a relatively modest maximum, and it depends on regulations being made. No regulations are evident from the Act text itself. The Act does not create any specific criminal offences or civil penalties for breach of its core provisions. For example, a purchaser who exercises the statutory easement unreasonably and causes damage is not subject to a statutory penalty; the landowner’s remedy lies under the general law of nuisance, trespass or negligence, or possibly in an action for breach of the statutory duty under s 5(2). The Act does not provide for enforcement by any regulator. The Treasurer’s powers under the Act are not policed by any oversight body; the Treasurer is answerable politically and possibly through judicial review if the sale agreement is ultra vires, but the Act gives no private right of action for misuse of the power. The Registrar-General’s duty to note the easement is mandatory but there is no stated consequence for failure to do so; presumably mandamus could lie to compel performance. The absence of penalties within the Act itself is consistent with its character as a permissive transaction mechanism rather than a regulatory regime. The only real enforcement lever is the fine under regulations, but if no regulations have been made, that lever does not exist. In practice, the enforcement of rights and duties under the Act will occur through private law contracts (the sale agreement) and through the general law of property and tort. The Act gives no standing to third parties to challenge the sale, the easement, or the manner of its exercise, aside from the general ability of an affected landowner to sue for unreasonable interference.

The Act contains several express override provisions that remove the transaction from the operation of other State laws. Land and Business (Sale and Conveyancing) Act 1994: s 40(1) provides that a transaction under this Act is not subject to that Act. That exemption removes the normal pre-sale disclosure, cooling-off, and vendor statement requirements that apply to land and business sales in South Australia. Retail Shop Leases Act 1995: s 40(2) provides that a transaction under this Act is not subject to that Act. This is relevant if the transaction involves a lease of Corporation land under s 7; the normal protections for retail shop lessees (such as minimum term, disclosure, and rent review constraints) do not apply. Development Act 1993: s 40(3) provides that no consent, approval or authorisation is required under Part 4 of the Development Act for a transaction under Part 2 of this Act. Part 4 of the Development Act deals with development assessment and approval. This means that the sale or lease of the facilities and associated land does not require development approval, even if the transaction involves a change of use or physical alteration of land. Real Property Act 1886: s 40(4) provides that an application under s 223LD of the Real Property Act for division of land in consequence of a transfer or lease under this Act need not be accompanied by a certificate from the Development Assessment Commission. That exemption removes a normal requirement for a planning certificate when creating new titles by division. Section 6 of this Act also overrides the usual requirement for a survey plan when noting an easement; the Registrar-General acts on a schedule of titles provided by the Treasurer. South Australian Ports Corporation Act 1994: s 7(4) provides that the Treasurer’s powers under s 7 are not limited by s 10(3) of that Act, which provides that the Corporation cannot sell, lease or otherwise dispose of any land except with the approval of the Minister. This is a direct override that allows the Treasurer to bypass the normal ministerial approval process for land dealings by the Corporation. The Act also discharges the facilities from any trust or other interest in favour of the Crown (s 4(2)(b)), which may interact with any trust obligations the Corporation held over the assets. Commonwealth laws: the Act does not purport to override Commonwealth laws. For example, the Competition and Consumer Act 2010 (Cth) and its access regime for essential facilities may continue to apply to the privatised facilities if they meet the relevant tests. The deletion of Part 3 (the original access regime) may increase the relevance of the Commonwealth access provisions. The Act also does not override Commonwealth taxation laws; the sale may attract GST, stamp duty (though s 40 exemptions may affect duty liability for land transactions), or capital gains tax, which are governed separately.

The Act was assented to on 12 December 1996 and commenced on 31 July 1997 (Gazette 31 July 1997 p236), except for Part 3 and sections 41 and 42, which commenced on 11 September 1997 (Gazette 11 September 1997 p704). The Act originally contained a Part 3 that dealt with access to bulk handling facilities, and sections 41 and 42 which were transitional or miscellaneous provisions. Those provisions were deleted in full by the Maritime Services (Access) Act 2000 (No. 82 of 2000), Schedule paragraph (c) and (d), effective from 31 October 2001 (Gazette 25 October 2001 p4686). The long title was also amended by that Act (paragraph (a)), and the definitions of “bulk handling service” and “operator” were deleted (paragraph (b)). The effect of the 2000 amendments was to strip the Act of its regulatory access regime, leaving only the sale and easement infrastructure. Subsequently, under the Legislation Revision and Publication Act 2002, section 2 (which would have been the commencement provision) was omitted, and the Schedule to the Act was omitted. Those are standard housekeeping amendments to remove spent provisions. The Act as it currently stands is therefore composed only of Part 1 (preliminary), Part 2 (sale of bulk handling facilities), and Part 4 (miscellaneous, containing ss 39, 40 and 43). There have been no substantive amendments since the 2000 deletion. The legislative history note in the Act also records that the Act amended the South Australian Ports Corporation Act 1994, but the details of that amendment are not reproduced. The Act is now a relatively static piece of legislation; its operative effect has been largely spent if the contemplated sales have occurred, although the statutory easement provisions continue to run with the land and the chattel deeming provision has ongoing effect for any subsequent dealings with the facilities.

The Act is not reported in the source as having generated any litigation, and the text does not refer to any court proceedings. Given the Act’s narrow scope and the fact that its operative provisions were designed to avoid legal challenge by overriding other laws and providing for automatic vesting and easement creation, it is plausible that no significant case law has developed. The statutory immunity given to the Registrar-General (s 6(3)) and the conclusive- instrument provision for the Treasurer’s execution (s 7(3)) are designed to reduce the prospect of title challenges. The deletion of Part 3 removed the most likely source of litigation: disputes over third-party access to the facilities. There is no case list appended to the Act, and no known high-court interpretation. The Act’s interaction with the Real Property Act 1886 and the Development Act 1993 could theoretically generate litigation if a landowner or third party challenged the validity of the statutory easement or the exemption from development approval, but no such cases have been identified in the public record from the source material. The absence of litigation may also reflect the fact that the sale was a government-to-purchaser transaction with strong legislative backing; the statutory easement arises automatically without negotiation, and affected landowners have limited standing and no compensation rights, making challenge costly and unlikely to succeed. A practitioner should assume that the Act operates as drafted and that the courts have not yet had occasion to construe its provisions. Any future litigation would most likely concern the scope of the statutory easement (what constitutes “reasonably required” access, or what “unnecessary interference” means under s 5(2)), or the classification of equipment as bulk handling facilities by proclamation. The indemnity provisions in sale agreements may also be a source of private disputes.

The Act contains several features that may catch unwary parties. First, the statutory easement arises automatically upon sale without any consent from the affected landowner. The landowner has no right to object, no right to compensation, and no right to impose conditions unless the facility owner agrees to negotiate a substitute easement under s 5(3). The easement can cover land that is not adjacent in the ordinary sense, because the Governor may declare land to be adjacent by proclamation (s 5(4)). A landowner could find that land kilometres from the port is burdened by a statutory easement if a proclamation is made. Second, the Act does not require a plan of the easement; the Registrar-General notes it based solely on a schedule of titles provided by the Treasurer (s 6). This means the precise location of the easement may be ambiguous, and the landowner cannot rely on a registered plan to know exactly where the facilities owner may enter or what land is subject to the right of support. Third, the deeming of bulk handling facilities as chattels (s 39) overrides the general law of fixtures, but it does not affect the characterisation of the facilities for other purposes such as taxation or insurance. The facilities are chattels for ownership and dealing purposes, but may still be regarded as improvements to land for rating or valuation purposes under other State laws, unless those laws are also overridden. The interaction with local government rates is not addressed. Fourth, the sale agreement can include an indemnity from the purchaser to the Corporation (s 4(4)), but there is no limit on the scope of that indemnity. A purchaser could be required to indemnify the Corporation against pre-existing liabilities, including environmental liabilities arising from past operation of the facilities. Due diligence before signing is essential, but the Act provides no statutory protection for the purchaser against unknown liabilities. Fifth, the exemption from the Development Act under s 40(3) applies only to transactions under Part 2 of this Act. It does not exempt subsequent development of the facilities by the purchaser. The purchaser will need development approval for any new structures or changes of use after the sale. Sixth, the deletion of Part 3 (the access regime) means that third parties who wanted to use the bulk handling facilities have no statutory right of access. They must negotiate with the private owner. If the owner refuses access, there is no remedy under this Act. The Commonwealth access regime under Part IIIA of the Competition and Consumer Act 2010 may apply if the facilities are declared, but that is separate and uncertain. Seventh, the Act is silent on the ongoing obligations of the purchaser after the sale. There is no requirement to continue operating the facilities, no performance standards, and no price regulation. The purchaser could shut down the facilities or sell them on to another party without any statutory restriction. Eighth, the Treasurer’s power under s 7 to sell, lease or grant rights over Corporation land is broad and not subject to any requirement of market value or public tender. There is no statutory duty to obtain the best price; the Treasurer may act on terms thought fit. This could expose the transaction to allegations of undervalue, but the Act provides no mechanism for challenge.

Compliance with the Act is a one-off event for the parties involved rather than an ongoing regulatory obligation. The primary compliance tasks fall on the Treasurer, the purchaser, and the Registrar-General. For the Treasurer: before executing a sale agreement, ensure that the facilities being sold fall within the definition in s 3. If they are not grain handling equipment at the six named ports, they must have been classified as bulk handling facilities by proclamation under s 3(b) read with s 43. The Treasurer should also confirm that the sale agreement operates to vest title by force of the Act and that it discharges Crown interests. The Treasurer must apply the net proceeds as required by s 4(5): first to discharge or recoup Corporation liabilities, then to the Asset Management Task Force Operating Account for State debt retirement. The Treasurer must lodge an application for noting of the statutory easement under s 6(1), providing a schedule of all affected certificates of title and Crown leases. The Treasurer may also need to exercise powers under s 7 to sell, lease, or grant rights over land to the purchaser, and should execute any necessary instruments as agent of the Corporation, ensuring they are apparently genuine to attract the evidentiary benefit of s 7(3). For the purchaser: the purchaser must comply with any indemnity obligations in the sale agreement (s 4(4)). When exercising rights under the statutory easement, the purchaser must take reasonable steps to minimise damage to land or other property and to avoid unnecessary interference with land or its use or enjoyment (s 5(2)). This duty applies to the purchaser and its agents and employees. The purchaser should document its compliance with this duty, particularly when entering land for maintenance or modifications. The purchaser should also consider obtaining a substitute easement by agreement with affected landowners under s 5(3) if the statutory easement is too vague or causes conflict; this is optional but may reduce legal risk. The purchaser should also ensure that any subsequent dealings with the facilities treat them as chattels, not fixtures, for transaction purposes, but be aware that other laws (taxation, rates) may treat them differently. For the Registrar-General: upon receiving the Treasurer’s application, the Registrar-General must note the statutory easement on each certificate of title and Crown lease in the schedule (s 6(1)). The Registrar-General should not require a plan or verify the information; the Act explicitly relieves the Registrar of that obligation (s 6(3)). The notation should be recorded as directed. For affected landowners: there is no compliance obligation under the Act itself. The landowner may seek to negotiate a substitute easement or discharge under s 5(3). If the facility owner exercises the easement unreasonably, the landowner’s remedy lies under general law (nuisance, trespass, negligence). The landowner cannot prevent the easement from arising, but should monitor its exercise for compliance with s 5(2). For the Governor: when making proclamations under the Act (e.g. classifying equipment or declaring adjacent land), the Governor must follow s 43(2) and (3) as to variation and revocation. There is no other compliance requirement. Practically, the Act imposes very few ongoing compliance steps after the initial sale and easement noting. The main risk for the purchaser is the duty under s 5(2); proactive risk management, such as giving notice before entry, repairing damage promptly, and avoiding land that is not reasonably required, will reduce exposure. The Treasurer should maintain a proper record of sales, proceeds application, and easement applications. Beyond that, the Act is largely spent unless further sales occur.
