Governance and board compliance. The board must operate within the Act’s appointment, term and procedural framework. Ensure that director appointments are documented by the Governor’s instruments and that eligibility is assessed in line with the Minister’s articulated opinion about qualifications, experience or expertise (s10(2)-(3)). For meetings, maintain a majority quorum (s14(1)), record accurate minutes (s14(8)), adopt procedures consistent with the Act and the Public Corporations Act 1993 (s6, s14(9)), and ensure the presiding director’s role and casting vote rules are properly observed (s14(2)-(5)). Use the Act’s written concurrence and electronic conference provisions to formalise out‑of‑meeting decisions where required (s14(6)-(7)).
Document execution and internal authorisations. The common seal must only be affixed pursuant to a board decision and must be attested by one or more directors (s9(1)). If operational convenience requires other officers to sign, the board should create written instruments under s9(2) authorising specific named persons or officeholders to execute documents, and include any conditions or limits on authority. Where joint execution is required to meet s9(3), ensure instruments reflect that requirement. Keep records of the board's decision(s) authorising use of the seal and of any instruments delegating execution authority.
Property vesting and registration. Apply to the Registrar‑General to register estates in land that have vested in the Corporation under Schedule 1 (Sch 1 cl 3(1)). Where the Corporation needs to lodge registrable instruments before being registered as proprietor, ensure instruments are executed by the Corporation and are otherwise in registrable form so they can be accepted under cl 3(2). Preserve Ministerial certificates of vesting as evidentiary proof, recognising the Schedule’s conclusive and presumptive rules (cl 2(2)-(3)).
Rates and local government obligations. Treat rates on commercially managed land as a present liability. Establish procedures to identify which land is "managed by the Corporation for commercial purposes" and ensure timely payment in accordance with the Local Government Act 1999, in which the Corporation is to be assessed as if it were a freehold owner (s17(1)). Engage early with affected councils given the statutory requirement that councils, after consultation, apply half of amounts received from the Corporation towards road maintenance or upgrading where affected by Corporation operations (s17(2)). Document consultation steps to demonstrate compliance.
Employment and industrial compliance. For staffing, appoint the chief executive with the Minister’s approval and set terms only after consultation with the Commissioner for Public Sector Employment where required (s15(1), s15(3)). When hiring new employees after commencement, ensure terms are not less favourable than those applying to transferred employees, as required by s15(4). Understand the Corporation’s declared exclusion from the national workplace relations system (s15(5)) and ensure that employment contracts, awards and enterprise agreements are compliant with the applicable State industrial regime and with Schedule 1 cl 4(3) if industrial or enterprise awards bind the Corporation post‑transfer.
Transitional staff transfers. If the Minister transfers staff under Schedule 1 cl 4(1), ensure employment records, accrued rights, and liabilities are correctly transferred so that transferred employees retain equivalent rights and obligations (Sch 1 cl 4(2)). Check any enterprise or industrial awards that may become binding on the Corporation after transfer (cl 4(3)).
Delegations and Ministerial instruments. When relying on a delegation from the Minister under s16, ensure the delegation instrument is in writing, review any conditions or limitations, and understand that delegations may be revoked at will (s16(3)). Where the instrument permits further delegation by the Corporation, document any sub‑delegations carefully with references to the instrument of delegation.
Regulatory watch. Monitor for regulations made under s18, as they may impose additional procedural, reporting or compliance obligations not contained in the principal Act.
Records, reporting and Public Corporations Act obligations. Because the Public Corporations Act 1993 applies (s6), ensure annual reports and other statutory reporting obligations under that Act are complied with. The Schedule permits the Corporation’s annual report to the Minister to incorporate ForestrySA unit reporting for a financial year (Sch 1 cl 6), so use that mechanism when practical.
Transaction and counterparty due diligence. For counterparties to land transactions or contracts with the Corporation, verify the authority of signatories against s9 authorisations and the Minister’s vesting certificates under Schedule 1 cl 2. Retain confirmations of registrability under Sch 1 cl 3(2) when registering instruments.
Risk management and contingency. Account for the revocability of delegations (s16(3)) in operational plans. Plan for continuity when acting directors approach six months of continuous service to avoid governance gaps (s10(6)(a)). Keep a legal compliance checklist referencing statutory duties and cross‑statutory interactions with the Public Corporations Act, Local Government Act, Forestry Act and relevant employment law to ensure no obligations are overlooked.
By implementing these procedures and documentation practices, the Corporation and its stakeholders can align operations with the Act’s formal requirements, avoid common procedural pitfalls, and create an auditable compliance trail tied to the Act’s specific provisions.
