What it does

Mechanically, the South Australian Film Corporation Act 1972 establishes a statutory corporation, prescribes its corporate form and governance, sets out its functions and powers relating to film production, distribution and promotion, and provides an enforcement and regulatory framework for the Corporation’s premises, insignia and staff. The Act (the principal Act) creates the South Australian Film Corporation as a body corporate with perpetual succession, a common seal, capacity to sue and be sued, and status as an instrumentality of the Crown holding property on behalf of the Crown (s 5(1)-(2)). The Act then specifies membership of the governing body, meeting and delegation rules, staffing arrangements, the functions the Corporation must or may carry out, financial reporting and audit obligations, powers of authorised officers on Corporation premises, offences and penalties for obstructing those officers, and a scheme protecting and enforcing the Corporation’s official titles and logos (Parts 2-5).

Operationally, the Act requires the Corporation to pursue specific functions such as producing films, promoting financing schemes for production, storing and exhibiting films, providing library and information services, offering projection training, and advising the Minister on industry development (s 10). It gives the Corporation wide commercial powers akin to those of a natural person (s 11(1)) and an enumerated non‑exhaustive list of powers including contracting, lending or advancing money, acquiring intellectual property, operating venues and charging admission fees, entering joint ventures, borrowing, and acting as trustee (s 11(2)(a)-(x)). Certain high‑risk financial actions (acquiring shares or borrowing) require Treasurer approval (s 11(3), s 24).

The Act also creates administrative and accountability mechanisms. The Corporation must meet at least six times a year and keep accurate minutes (s 8(7)-(8)), prepare budgets and submit them to the Minister for approval (s 12), keep proper accounts and have annual statements audited by the Auditor‑General (s 13), and forward an annual report to the Minister that is to be laid before Parliament (s 14). The employing authority , a separate designated person , appoints the Chief Executive Officer and employs other staff on terms it determines, while the Corporation itself does not have power to employ staff (s 9(1)-(3); s 9A(1), (11)).

1 South Australian Film Corporation Act 1972

This section provides a practical compliance checklist mapped to the Act’s operative provisions. The checklist is aimed at boards, CEOs, employing authorities, authorised officers, suppliers, venue hirers, and commercial users of the Corporation’s brands.

Board governance and membership

Ensure appointments comply with composition rules: appoint no more than eight members; maintain at least two women and at least two men on the board (s 6(1)-(3)). Track term limits: appointments not to exceed three years and non‑CEO members should not serve more than nine consecutive years without a break (s 7(1)-(2)). Maintain attendance records and manage leave approvals to avoid vacating office for failure to attend three consecutive meetings (s 7(4)(f)).
Observe quorate meeting procedures: quorum is half the total number of members plus one; record accurate minutes (s 8(1), (8)). For out‑of‑session decisions, follow the written concurrence procedure in s 8(6) and ensure notice requirements are respected.

Delegation and conflicts

Implement written delegation instruments for any delegated function or power (s 8D(1)-(2)). Ensure delegations are signed, precise about conditions and revocable, and record whether further sub‑delegation is permitted (s 8D(2)(a)-(c), (3)).
Operate a rigorous conflict‑of‑interest register and declaration protocol to prevent delegates from acting where they have direct or indirect pecuniary or personal interests; compliance is critical because breach carries serious criminal sanction (s 8D(4)-(5)). Remember s 8E narrows application of the Public Sector (Honesty and Accountability) Act for common‑industry interests, but do not rely on this as a blanket exemption , document the basis for any reliance on s 8E.

CEO and staffing

Coordinate early with the employing authority on CEO appointments: the employing authority must consult the Corporation before appointing or removing a CEO (s 9(2)). Clarify roles: the CEO manages operations under the board’s control (s 9(3)).
Understand employment chain: staff are employed by the employing authority, not by the Corporation (s 9A(1), (11)). Ensure service contracts, payroll, superannuation, insurance and workers’ compensation responsibilities are documented, with a process to comply with directions under s 9A(10).

Budgeting, accounts and audit

Prepare a timely budget for submission to the Minister as required (s 12(1)-(3)). Confirm the budget form meets Ministerial requirements and obtain approval; do not spend outside approved budgets unless you have written Ministerial consent (s 12(4)-(5)). For receipts from testamentary or other gifts, document the gift terms to rely on the s 12(6) carve‑out.
Keep accounting records that comply with Treasurer instructions under the Public Finance and Audit Act 1987 and Auditor‑General requirements (s 13(2)). Maintain audit‑ready records and provide full cooperation to the Auditor‑General (s 13(3)). Deliver the annual report with audited accounts by 30 September and ensure the Minister can lay the report before Parliament within 12 sitting days (s 14).

Authorised officers and premises

If appointing authorised officers, issue identity cards for non‑police authorised officers and record any conditions and limitations on appointments in the instrument (s 15(1), (3)-(5)). Ensure departing authorised officers return identity cards immediately to the Minister (s 15(6)).
Train authorised officers in the scope of powers and legal limits: they may require names, exclude persons for up to 24 hours, detain pending police handover, seize suspected contraband or unautorised‑insignia goods, and give directions for order and safety (s 16(1)-(2)). Emphasise reasonable‑force constraints and documentation of “reasonable suspicion.”

Official insignia

Register and manage official titles and logos: the Minister may declare official titles and logos (s 19). Keep records of Gazette notices and any consent notices the Corporation issues. If the Corporation licences insignia usage, use written consents that state conditions (including payments) and retain evidence for enforcement (s 20(4)(a)-(b)).
For commerce: do not use the Corporation’s official title or logo in trade or on goods without written consent (s 20(2)-(4)). If seized goods are returned, follow the compensation procedures and be prepared to institute proceedings within three months if challenging seizure (s 21(2)(a)-(c)).

Commercial transactions and Treasurer approvals

Plan capital transactions with Treasurer gates in mind: if intending to form, acquire or deal with shares in body corporates, or to borrow money, secure Treasurer approval in advance (s 11(3); s 24). Build lead time for Treasury processes into transaction timetables.

Regulatory compliance

When operating or hosting events on Corporation premises, familiarise yourself with regulations made under s 30, covering admission control, disorderly conduct, eating/drinking rules, smoking/consumption bans, parking and vehicle controls, fees, and penalties up to $1 250 (s 30(2)(a)-(k)). If an event requires temporary road closures, coordinate with the Commissioner of Police and the relevant council and obtain required approvals or Ministerial direction (s 29).

Legal risk management and dispute response

Implement rapid response protocols for seizures: if goods are seized under s 21, commence proceedings or apply for return within three months to avoid forfeiture risk (s 21(2)(a)). Keep documentary evidence of proprietary rights to rebut seizure or to support civil claims for wrongful seizure compensation (s 21(3)).
If the Corporation seeks injunctions to stop misuse of insignia, prepare evidentiary materials to support urgent relief in the Supreme Court under s 20(5).

Recordkeeping and audit trail

Maintain readily auditable records for delegation instruments, minutes of meetings, conflict declarations, budget approvals, consent letters for insignia use, staff terms and employing authority directions, identity card issuance and return, and seizure logs. These records assist with compliance and with the Auditor‑General’s audit powers (s 13(3)).

Checklist for counterparties and commercial users

Before contracting or using the Corporation’s name/logo, obtain written consent and confirm any payment or condition (s 20(4)).
If hiring Corporation venues or staging events, follow authorised officer directions, check applicable regulations under s 30, and confirm insurance and liquor licensing where applicable (s 11(2)(k), (o), (r)).
If entering financing arrangements with the Corporation (loans, joint ventures, advances), ensure the transaction is within s 11 powers and ascertain whether Treasurer approval is required (s 11(2)(e), (u), (v), (w); s 11(3)).

Admin controls to adopt internally

Conflict check procedures and written delegation registers (s 8D).
Budget calendar and Minister/Treasurer liaison plan (s 12; s 11(3)).
Employment and secondment documentation aligned with employing authority roles (s 9A).
Insignia licensing templates and enforcement playbook (ss 19-21).
Authorised officer training and equipment for lawful seizures and use of force protocols (ss 15-16).

Following this operational checklist and mapping each proposed activity to the cited sections will reduce legal and operational risk. Where statutory approvals (Minister or Treasurer) are required, build in sufficient lead time and secure written approvals to evidence compliance.
