Small Business Commission Act 2017

The Act is built around a few discrete statutory concepts and mechanisms. First, the institutional concept: the Commission and the Commissioner. The Commission "is to be constituted by the Commissioner" (s 4(2)), and the Commissioner "has all the functions and powers of the Commission" (s 21(1)), with acts by the Commissioner taken to be acts of the Commission (s 21(2)). Appointment, term, remuneration and removal rules are in ss 18-19; acting arrangements are in s 20.

Second, the functional concept: alternative dispute resolution and assistance. The Act defines "alternative dispute resolution" to include mediation and "preliminary assistance" (s 3). Giving the Commission discretion to determine the form of ADR (s 10(1)) is a core operational design feature. The Commission may also charge fees for ADR (s 10(2)), and may issue certificates that ADR has failed or is unlikely to resolve a dispute, or that a party unreasonably refused ADR (s 12(1)-(3)). Those certificates may be admitted in evidence in VCAT or court proceedings (s 12(4)), and the Commission is not required to give a party an opportunity to be heard before issuing a certificate (s 12(5)).

Third, scope and subject‑matter. The Act defines "dispute" as "a contractual or commercial dispute between a small business and one or more of" a list that includes other businesses, public entities, public service bodies, Councils, non‑profit organisations, particular education providers and a range of other bodies, while excluding certain "special bodies" (s 3; note the exclusions at s 3(g)(i)-(vii)). The Act does not contain an express statutory definition of "small business," so eligibility or the practical reach of the Commission will depend on administrative practice and any secondary instruments or guidelines adopted by the Commission; the Act leaves room for operational definition rather than prescribing it.

Fourth, information and confidentiality. The Commission can make written requests to public entities or public service bodies for information reasonably necessary to perform its functions (s 6(1)), and those public bodies are obliged to respond timely and efficiently (s 7). The Commission must not disclose documents obtained from an agency under FOI if those documents are exempt in the hands of that agency (s 6(2)). Where a provider supplies confidential material and identifies it as confidential, the Commission must seek consent before disclosing it unless disclosure is lawfully required (s 8).

Fifth, reporting, oversight and ministerial influence. The Commission is not a "public body" for Financial Management Act purposes (s 16(1)), but it must submit an annual‑type report to the Minister within three months after the end of the financial year and the Minister must lay the report before Parliament by 31 October (s 16(2)-(3)). The Commission may include details of certificates in the report but must notify affected parties and permit submissions (s 16(4)-(6)); it must also provide a reasonable opportunity to respond to adverse comments proposed for the report (s 16(7)). The Minister may give written directions to the Commission about performance of its functions, subject to an exception for functions expressly not subject to Ministerial direction or control (s 17).

Sixth, limits on power. The Act expressly says the Commission’s functions do not include the development of legislation and regulatory policy (s 5(5)), although the Commission may comment or advise on such matters (s 5(6)). The Commission’s power to request information is limited to public entities and public service bodies (s 6(1)); the Act does not give a general coercive power to compel information from private parties. The Commission may refuse to deal with complaints that are trivial, vexatious, unlikely to be resolved through ADR or better dealt with by another body (s 9(1)(a)-(c)). There are no express penalty or enforcement powers in the Act beyond investigatory, ADR, certification and reporting tools.

Seventh, legal protections. The Commissioner and others performing ADR for the Commission are not personally liable for acts or omissions done in good faith in the performance of ADR functions (s 23). Delegation of powers is permitted to staff employed under the Public Administration Act (s 15), but the Commission may not delegate its power to delegate.

These concepts structure incentives: the Act provides a low‑burden administrative forum for disputing small businesses to access ADR, while giving public entities a statutory obligation to assist information gathering. The Act balances facilitation with temporal and administrative limits , e.g. fee charging, refusal to deal, and the certificate mechanism that assists access to court or tribunal remedies if ADR fails.

The Act affects several distinct groups and institutional actors differently.

Small businesses: The Act is framed to assist "small businesses" but does not itself define that term. The immediate practical consequence is procedural: small businesses are the primary complainants and intended beneficiaries of the Commission’s functions , the Commission is empowered to "receive and investigate complaints by small businesses regarding unfair market practices or commercial dealings" and to provide ADR (s 5(2)(c),(e)). Because the Act lacks an express statutory threshold for "small business," access criteria, eligibility and triage will be determined by the Commission’s operational policies and interpretations. Small businesses that engage with the Commission may face fees for ADR (s 10(2)), and risk having a certificate issued that may be used against them if they unreasonably refuse ADR (s 12(3)).

Other businesses and counterparties: The Act explicitly contemplates disputes between small businesses and other businesses (s 3(a)). These counterparties will be drawn into ADR at the Commission’s discretion (s 10(1)). There is no statutory compulsion on private businesses to provide documents under s 6 , that power applies only to public entities and public service bodies (s 6(1)). Private businesses may still be asked to participate in ADR, and if they decline unreasonably the Commission may issue a certificate to that effect (s 12(3)), which can be admitted as evidence (s 12(4)).

Public sector bodies: The Act imposes two specific obligations on the public sector. First, the Commission can make written requests to public entities or public service bodies for specified information to perform its functions (s 6(1)). Second, those public entities and public service bodies "must respond to a reasonable request under section 6(1) in a timely and efficient manner" (s 7). Public sector bodies therefore face an explicit statutory duty to assist the Commission’s information gathering, subject to FOI and confidentiality protections (s 6(2), s 8). The Commission may also encourage government to adopt small business service charters and monitor their operation (s 5(2)(g)-(h)), which creates an incentive for agencies to implement small business service standards.

Councils and non‑profit organisations: Councils are included in the list of parties with whom small businesses may have a dispute (s 3(d)), and the definition of "Council" was updated to mirror the Local Government Act 2020 (table of amendments). Non‑profit organisations are explicitly included (s 3(e)) although the Act defines "non‑profit organisation" narrowly as organisations with charitable or benevolent dominant purposes and excludes schools and certain educational entities (s 3, definition of "non‑profit organisation").

Tribunals and courts: The Act interacts with VCAT and the courts in several ways. Certificates issued by the Commission can be admitted in evidence in VCAT or court proceedings (s 12(4)). The Commission may refer matters to VCAT for advisory opinions under s 125 of the VCAT Act, if the Commission believes the referral is in the public interest (s 13). These mechanisms lower transaction costs for parties seeking recourse after ADR and create a formal connection between Commission activity and adjudicative forums.

Minister, Secretary and departmental staff: The Minister has an express power to issue written directions to the Commission on performance of its functions generally, except where functions are expressly not subject to direction (s 17). The Secretary to the Department of Economic Development, Jobs, Transport and Resources (defined at s 3) has an active resourcing obligation: the Commission is "responsible to the Secretary for the general conduct and management of the functions and activities" and the Secretary "must take reasonable steps to ensure that adequate resources are made available to the Commission" (s 5(7)-(8)). The Commission may also employ staff under the Public Administration Act and engage consultants and contractors (s 14).

Parties excluded from Commission jurisdiction: The Act carves out certain "special bodies" from the definition of dispute (s 3(g)(i)-(vii)) such as IBAC, Ombudsman, FOI Commissioner, Mental Health Tribunal, VAGO, VCAT, and Integrity Oversight Victoria. Those exclusions limit the Commission’s reach where specific oversight or investigatory mechanisms already exist.

Who pays and who makes decisions: Public resourcing is allocated through the Secretary and ministerial oversight (ss 5(7)-(8), 16(2)-(3), 17). The Commission can generate revenue from charging fees for ADR (s 10(2)), and the Commissioner’s appointment and remuneration are determined by Governor in Council (s 19). Operational decisions about ADR type, refusal to accept complaints, issuing of certificates and referrals to VCAT are made by the Commission or Commissioner (ss 9, 10, 12, 13).

In sum, the Act establishes a small business‑facing ADR and advisory agency. Small businesses gain a structured administrative route to raise contractual and commercial disputes, public sector bodies acquire information and cooperation obligations, private sector counterparties acquire potential exposure to ADR and certificate mechanisms, and the Minister, Secretary and Governor in Council retain institutional levers over resources and senior appointments.

The Act creates a set of statutory duties for the Commission, public entities and public service bodies, and confers rights on parties to access ADR and to have certain matters evidenced to tribunals and courts.

Duties of the Commission and Commissioner:

• Perform the enumerated functions in s 5, including facilitating fair treatment, promoting informed decision‑making, receiving and investigating complaints, providing ADR, making representations on behalf of complainants, monitoring market practice trends and industry codes, and advising the Minister on matters relevant to the Commission (s 5(2)(a)-(m)). The Commission may also act at ministerial request, any other person's request, or on its own motion (s 5(3)).
• Act in accordance with confidentiality obligations: where information or a document provided to the Commission is identified as confidential, the Commission must not disclose it unless the supplier consents or disclosure is lawfully required (s 8(1)-(2)).
• Report annually to the Minister in the manner set out in s 16, including providing notice to parties before including certificate details in the report and allowing submissions (s 16(2)-(6)), and allowing a reasonable opportunity to respond to adverse comments intended for the report (s 16(7)).
• Where seeking information from public entities/public service bodies, do so by written notice and limit requests to reasonably necessary information (s 6(1)); the Commission must also respect FOI exemptions (s 6(2)).

Duties of public entities and public service bodies:

• Respond to reasonable written requests for information from the Commission "in a timely and efficient manner" (s 7). This is an express statutory duty and creates an information‑sharing obligation that public bodies must comply with, subject to legal limits (e.g. FOI exemptions, confidentiality, privacy and other lawful constraints).

Rights and procedural features for other parties:

• Small businesses have the right to have the Commission receive and investigate complaints and to access ADR provided by the Commission (s 5(2)(c),(e)). The Commission may provide preliminary assistance as part of ADR (s 3).
• Parties have the right to have the Commission consider whether referral to VCAT for an advisory opinion is in the public interest before making such a referral (s 13(3) requires the Commission to be satisfied a referral is in the public interest).
• A party has the right to be notified and to make submissions if the Commission intends to include details of an ADR certificate in its annual report (s 16(4)-(6)). For any proposed adverse comment or opinion to be included in a report (other than certificate details), the Commission must give the person a reasonable opportunity to respond and fairly set out the response in the report (s 16(7)).
• Parties subject to ADR should be aware of the Commission’s discretion to charge fees and expenses for ADR (s 10(2)), which may affect access.

Discretionary powers and limits:

• The Commission may refuse to deal with complaints that are trivial, vexatious, unlikely to be resolved by ADR, or better dealt with elsewhere (s 9(1)(a)-(c)), and upon refusal must give written notice to the complainant, and where applicable, provide details of the appropriate body (s 9(2)).
• The Commission may determine the form of ADR and charge fees (s 10(1)-(2)).
• The Commission may issue certificates certifying that ADR has failed or is unlikely to resolve a dispute, or that a party unreasonably refused ADR; those certificates may be admitted in evidence in VCAT or a court (s 12(1)-(4)). The Commission is not obliged to afford a party an opportunity to be heard before issuing a certificate (s 12(5)), although procedural protections exist in the reporting context (s 16(4)-(7)).

Ministerial and Secretary roles:

• The Minister may give written directions about performance of the Commission’s functions, except where functions are expressly not subject to direction or control (s 17). The text does not list specific functions that are immune from direction; it uses a general caveat, so interpretation may depend on whether other Acts confer non‑subject to direction language on specific functions.
• The Secretary is given responsibility to ensure adequate resources are made available to the Commission (s 5(7)-(8)). The Commission is “responsible to the Secretary for the general conduct and management of the functions and activities of the Commission” (s 5(7)).

Rights and immunities for ADR practitioners:

• The Commissioner and persons performing ADR functions under the Act or any other Act are protected from personal liability for acts or omissions done in good faith in performing ADR functions or in the reasonable belief that the act or omission was in performance (s 23).

Limits on legislative, regulatory and coercive powers:

• The Commission is explicitly not tasked with developing legislation and regulatory policy (s 5(5)), although it can comment or advise on such matters (s 5(6)). Its information gathering power is limited to public entities and public service bodies (s 6(1)); there is no general coercive information power against private parties in the Act.

These duties and rights combine to create a system where the Commission operates as an ADR facilitator with investigatory and information‑gathering powers in respect of the public sector, procedural controls around confidentiality and reporting, and a capacity to create evidentiary outcomes (certificates) that can be used in courts and VCAT. The Act builds in administrative choice points (fee‑setting, refusal to deal, certificate issuance) that will shape access and incentives for users and counterparties.

The Act does not create new criminal penalties or civil sanctions; its enforcement architecture is administrative and evidentiary rather than punitive. There are no express monetary fines, licensing suspensions or enforcement injunction powers created by this statute. Instead, the Act provides a set of procedural enforcement levers and interactions with existing judicial and tribunal processes.

Key enforcement and compliance mechanisms:

• Certification and evidentiary effect: The Commission may certify that ADR has failed or is unlikely to resolve a dispute, or that a party unreasonably refused to participate in ADR (s 12(1)-(3)). A certificate issued under s 12 may be admitted in evidence in proceedings before VCAT or a court (s 12(4)). Practically, a certificate is an evidentiary instrument that may affect litigation strategy, burden allocation or judicial perception of reasonableness, but it is not a sanction per se; its weight will be determined by the tribunal or court admitting it.
• Refusal to deal and triage: The Commission may refuse to deal with complaints that are trivial, vexatious, unlikely to be resolved by ADR, or more properly handled by another body (s 9(1)(a)-(c)). This is a gatekeeping tool rather than a sanction; refusal must be communicated in writing and (where applicable) include contact details for the appropriate body (s 9(2)).
• Investigatory function: The Commission may investigate matters relevant to its functions and powers (s 11). The Act does not set out coercive compulsory information‑gathering powers against private parties; the explicit power to request information applies only to public entities and public service bodies (s 6(1)). The investigatory power is therefore primarily evidence‑gathering and analytical, intended to support reporting, advisory work and ADR.
• Information requests to public bodies: Public entities and public service bodies are obliged to respond to reasonable written information requests from the Commission "in a timely and efficient manner" (s 7). Non‑compliance by public bodies could give rise to administrative or political accountability but the Act does not prescribe specific penalties for non‑response; enforcement would involve departmental oversight or other administrative remedies.
• Immunity for ADR practitioners: The Commissioner and others performing ADR functions are given immunity from personal liability for acts or omissions done in good faith in performing ADR (s 23). That immunity reduces personal risk for ADR practitioners but also limits private enforcement against them; it does not shield the Commission from institutional or judicial review where jurisdictional error or bad faith exists.
• Ministerial direction and administrative control: The Minister may issue written directions to the Commission about performance of its functions (s 17). While not an enforcement mechanism against private parties, ministerial control is an enforcement lever within the executive branch as to how the Commission operates.
• Reporting and reputational enforcement: The Act requires the Commission to prepare a report to the Minister that is to be laid before Parliament (s 16(2)-(3)). The Commission may include details of certificates in that report, subject to notice to the affected party and an opportunity to make submissions (s 16(4)-(6)). Public reporting is a reputational instrument that can influence behaviour and compliance across industry and public sector bodies.
• Referral to adjudicative bodies: The Commission may refer matters to VCAT for advisory opinion under s 125 of the VCAT Act (s 13). Parties may also take disputes to VCAT or court themselves, with the Commission’s certificates admissible as evidence (s 12(4)). The Act therefore connects administrative ADR to formal adjudication rather than creating new statutory penalties.

Gaps and limits:

• No specified sanctions against private parties for non‑participation beyond the certificate mechanism. The Act lacks express compulsion to participate in ADR or to produce documents if the target is a private party.
• No criminal penalties or civil fines are embedded in the Act for substantive contraventions. Any enforceable orders must come through existing courts or VCAT using ordinary procedural rules, informed but not constrained by the Commission’s certifications and processes.
• For public bodies, enforcement is largely administrative and political; the Act does not create a statutory penalty regime for failing to respond to s 6 information requests.

In summary, enforcement under the Act leans on administrative instruments: ADR, certificates with evidentiary utility, information requests to public bodies, reporting and reputational exposure, and referrals to VCAT. The Act deliberately provides facilitative and evidentiary tools rather than statutory punishment mechanisms.

The Act is designed to operate alongside existing Victorian statutes and tribunal structures. It references and interfaces with several other laws and institutional frameworks explicitly, which shapes its practical operation.

Freedom of Information Act 1982:

• Section 6(2) requires the Commission not to disclose any document obtained from an agency or Minister that is an exempt document under the FOI Act in the hands of that agency or Minister. The Act therefore preserves FOI secrecy classifications when the Commission receives FOI‑exempt material, and creates a duty to maintain those exemptions.

Public Administration Act 2004:

• The Act imports definitions for "public entity," "public service body" and "special body" from the Public Administration Act 2004 (s 3). The Commission may employ staff "under Part 3 of the Public Administration Act 2004" (s 14(1)) and the Commission may delegate to persons employed under that Part (s 15). These cross‑references stitch the Commission into the broader Victorian public sector employment and delegation regime, ensuring staff appointment and delegation follow established public service rules.

Victorian Civil and Administrative Tribunal Act 1998:

• The Commission can refer matters to VCAT for an advisory opinion under s 125 of the VCAT Act (s 13). This creates a formal pathway for the Commission to obtain tribunal guidance on legal or interpretive questions relevant to its functions, subject to a public interest test (s 13(3)). Certificates issued by the Commission may be admitted in evidence before VCAT or a court (s 12(4)), providing a direct bridge to adjudicative processes.

Financial Management Act 1994:

• The Act provides that the Commission is not a "public body" within the meaning of the Financial Management Act 1994 (s 16(1)). Despite that exclusion, the Commission must submit a report to the Minister within three months after the end of the financial year "as if it were an annual report of operations under Part 7 of the Financial Management Act 1994" (s 16(2)). The duality produces a hybrid accountability posture: not subject to the FMA’s public body classification but required to produce an annual‑type report consistent with FMA norms.

Local Government Act 2020:

• The definition of "Council" in s 3 was amended to align with the Local Government Act 2020 (table of amendments). This ensures disputes involving municipal councils are captured within the Commission’s remit where appropriate (s 3(d)). The amendment reflects cross‑statute consistency in how councils are defined.

Independent Broad‑based Anti‑corruption Commission Act 2011 and Integrity Oversight Victoria Act 2011:

• The Act excludes certain bodies (IBAC, Ombudsman, FOI Commissioner, Mental Health Tribunal, VAGO, VCAT, Integrity Oversight Victoria) from the definition of "dispute" (s 3(g)(i)-(vii)). These carveouts prevent forum overlap with specialised oversight and accountability agencies.

Other cross‑statutory interactions and limits:

• The Commission’s functions exclude the development of legislation and regulatory policy (s 5(5)), but the Commission may advise or comment on such development (s 5(6)). This limits the Commission’s role to advisory and advocacy functions with respect to law reform, rather than statutory rule making.
• The Minister may give directions to the Commission about performance of its functions (s 17), except for functions "expressed to be not subject to the Minister's direction or control" under this Act or any other Act. This requires reading the Commission’s functions in the context of any other Acts that might confer immunity from Ministerial control to particular functions.
• The Act’s evidentiary certificate power (s 12) interacts procedurally with court and tribunal rules on admissibility and weight of evidence but does not override those forums’ powers.

Transitional and repeal provisions:

• The Act repeals the Small Business Commissioner Act 2003 (s 71) and contains a transitional provision that automatically appoints the 2003 Act Commissioner to the new office on the commencement day (s 72). The endnotes and table of amendments also record later amendments to references and the definition of "dispute" effected by the Justice Legislation Amendment (Integrity, Defamation and Other Matters) Act 2024, demonstrating ongoing interplays with other statutory reforms.

Taken together, the Act is designed to operate as an administrative, ADR and advisory overlay on existing tribunal and regulatory architecture, using procedural connections to VCAT and courts (certificates and references) and relying on public sector employment and information regimes for operational support (Public Administration Act, FOI Act). The Act does not seek to displace existing adjudicative powers but to provide an intermediary forum and source of evidence and analysis to inform formal dispute resolution and policy debate.

The text provided includes the Act as in force incorporating amendments to 10 February 2025; the Endnotes and Table of Amendments list the legislative changes that have affected the Act since assent.

Primary enactment and commencement:

• The Small Business Commission Act 2017 was assented to on 10 May 2017 and came into operation on 1 July 2017 (endnotes). The long title confirms the Act’s purpose to repeal the 2003 Act and re‑enact the law with amendments (endnotes).

Repeal of Part 3 and commencement note:

• The Table of Amendments records that section 70 repealed Part 3 (ss 24-70) on 15 December 2018. The note in the Table indicates that s 70 repealed Pt 3 on that date.

Amendments listed in the Table of Amendments:

• Local Government Act 2020, No. 9/2020: The Act’s definition of "Council" was amended by s 390(Sch. 1 item 94) of the Local Government Act 2020, with commencement 6 April 2020 (Table of Amendments). This aligns the Commission statute with updated definitions for local government entities.
• Justice Legislation Amendment (Integrity, Defamation and Other Matters) Act 2024, No. 31/2024: This Act amended the definition of "dispute" in s 3 (s 113(Sch. 1 item 32)), with commencement 10 February 2025 (Table of Amendments). The replacement definition lists the types of counterparties with which a small business dispute may arise and excludes several special oversight bodies (s 3(g)(i)-(vii)). This amendment updated scope and clarified exclusions.

Transitional provisions:

• The Act repeals the Small Business Commissioner Act 2003 (s 71) and contains transitional provisions (s 72) that, on commencement, treat the 2003 Act Commissioner as appointed under the new Act on the same terms and permit resolution of previously pending disputes that had not had a certificate issued by the 2003 Act Commissioner (s 72(2)(a)-(b)).

No other amendment entries appear in the provided Table of Amendments beyond the two linked Acts. The Endnotes also note that amendments to the Interpretation of Legislation Act 1984 (ILA) affect stylistic and interpretive elements of the printed Act (endnotes section 1), which is typical in consolidated legislative publications.

Implications of amendment history:

• The Local Government Act amendment updated the meaning of "Council" to stay aligned with changes in local government legislation, indicating periodic housekeeping to maintain cross‑statute consistency.
• The 2024 Justice Legislation Amendment altered the definition of "dispute," a substantive scope provision; that change likely altered the Commission’s jurisdictional footprint in particular sectors (for example, specifying exclusions of oversight bodies).
• The repeal of the 2003 Act and the transitional provision ensured continuity by bringing the incumbent Commissioner into the new institutional form without a break.

Absent from the Act text and the Table of Amendments are subsidiary instruments, regulations, or guidelines that might further elaborate definitions (for example, of "small business"), fee scales for ADR or procedural rules. The Act leaves operational detail to the Commission and administrative practice; any such instruments would be relevant for practitioners but are not included in the provided legislative text.

The provided statute text and the Endnotes do not include reported case law or litigation outcomes relating to the Small Business Commission Act 2017. The Act itself does not list judicial decisions, and the Endnotes and Table of Amendments contain no references to litigation. Therefore there is no litigation history contained within the source material to summarise.

However, the Act creates several provisions that could generate litigation or tribunal disputes, and these identify the principal legal questions and potential points of contention that parties and advisers should expect. The statute’s text indicates where litigation risk and jurisdictional issues may arise:

• Admissibility and weight of certificates (s 12): Because the Commission’s certificates are admissible in evidence in VCAT and court proceedings (s 12(4)), litigants may litigate the admissibility or probative weight of such certificates in subsequent proceedings. Challenges could focus on the basis for the certificate, procedural fairness (noting the Act does not require the Commission to give a party an opportunity to be heard before issuing a certificate, s 12(5)), and whether the certificate was produced in circumstances meeting statutory requirements.

• Judicial review of Commission decisions: The Commission exercises administrative discretions such as refusing to deal with complaints (s 9), deciding ADR form (s 10(1)), issuing certificates (s 12), and referring matters to VCAT for advisory opinions (s 13). Those discretionary administrative acts could be subject to judicial review if they are alleged to involve jurisdictional error, bad faith, denial of natural justice where required, or other legal error. The Act, however, provides some immunities for ADR conduct (s 23) and protective clauses on the validity of acts done by Acting Commissioners (s 20(6), s 22), which could affect challenge strategies.

• Scope of "dispute" and eligibility: The Act’s amended definition of "dispute" (s 3) establishes who may access Commission services. Litigation or tribunal proceedings could arise where the Commission’s interpretation of whether a matter is a "contractual or commercial dispute" within the list provided is contested, especially given the absence of a statutory definition of "small business." Challenges may concentrate on whether a particular matter falls within the Commission’s remit or is excluded by the s 3(g) carveouts.

• Confidentiality and FOI interaction (ss 6(2), 8): Disputes may occur over the Commission’s handling of confidential materials and whether the Commission appropriately refused disclosure under s 8 or complied with FOI exemptions under s 6(2). Contested releases or refusals could attract FOI litigation or review in other forums.

• Ministerial directions and independence (s 17): The Minister’s power to give written directions about performance of the Commission’s functions, except where functions are expressly not subject to direction, opens the door to disputes about whether a particular directive was lawful or whether certain functions are impervious to Ministerial direction by reason of other statutory protections. Litigation might focus on unlawful direction, improper motives or limits imposed by other statutes.

• Obligations on public entities (ss 6-7): The duty of public entities and public service bodies to respond to reasonable information requests presents potential conflict if an agency declines production on legal grounds. Disputes could involve the scope of "reasonable request" and timeliness obligations, and whether an agency’s refusal is legally defensible.

Although the Act itself contains no reported litigation, these text‑identified areas are the likeliest sources of future litigation or tribunal engagement. Practitioners should monitor cases that test certificate admissibility, administrative law challenges to Commission decisions, FOI/confidentiality disputes arising from information requests, and any contestation of the Commission’s jurisdictional boundaries given the absence of a statutory "small business" definition.

This section flags specific provisions and absences in the Act that create operational risks, ambiguity, or non‑obvious consequences for users, counterparties and public bodies.

No statutory definition of "small business":

• The Act repeatedly refers to "small business" as the class of intended beneficiaries (s 1(c), s 5(2)(a), s 5(2)(c)), but it does not contain a statutory definition of "small business." The absence of a definition is consequential: it leaves eligibility and triage to administrative policy and creates potential uncertainty about who can legitimately complain to the Commission. Practitioners should not assume a particular turnover, headcount or incorporation form is automatically within scope; check the Commission’s published operating guidelines or practice notes.

Certificate issuance without hearing:

• The Commission may issue certificates that a party unreasonably refused ADR, or that ADR failed or is unlikely to resolve a dispute (s 12(1)-(3)), and such certificates are admissible in evidence in VCAT or court (s 12(4)). Critically, the Commission "is not required to give a party to the dispute an opportunity to be heard or make submissions to the Commission before issuing a certificate under this section" (s 12(5)). That asymmetric procedural posture can produce evidentiary risk for parties who have not been given an opportunity to respond prior to certificate issuance.

Fees for ADR:

• The Commission may charge fees and expenses for ADR (s 10(2)). There is no fee scale in the Act, and the Act allows the Commission to charge under any other Act (s 10(3)). Fees could deter access for low‑income small businesses and may change the composition of disputes brought to the Commission. Parties should confirm current fee practices and whether waivers or concessions exist.

Limited coercive powers against private parties:

• The information request power in s 6(1) is limited to public entities and public service bodies; there is no equivalent statutory power to compel private businesses to produce documents to the Commission. If a private business refuses to engage in ADR or withhold documents, the Act’s primary recourse is a certificate (s 12(3)), not direct compulsion. Practitioners should not assume the Commission can obtain private party documents by notice; alternative pathways are litigation or negotiation.

Confidential material and reporting:

• The Commission must seek consent before disclosing confidential information provided by a person or body (s 8). Yet the Commission may include details of a certificate in its annual report (s 16(4)) after providing written notice and allowing submissions (s 16(5)-(6)). A party could find sensitive information disclosed publicly via the report unless it acts within the 21‑day submission window or persuades the Commission otherwise. The Commission also must not include identifying information about persons who are not the subject of adverse comment unless certain public interest and non‑damage criteria are met (s 16(8)). Carefully manage sensitive disclosures and use the notice/submissions mechanism.

Ministerial directions:

• Section 17 gives the Minister the power to give written directions about the Commission’s performance, "except those functions under this or any other Act that are expressed to be not subject to the Minister's direction or control." The Act does not enumerate which functions, if any, are not subject to direction. That drafting creates potential uncertainty about the Commission’s operational independence and whether particular decisions could be overturned or constrained by direction. Advisers should assume ministerial influence is possible unless a specific statutory immunity is identified.

Commission not a public body for FMA but subject to reporting:

• The Commission is "not a public body within the meaning of the Financial Management Act 1994" (s 16(1)) but must prepare and submit a report to the Minister "as if it were an annual report of operations under Part 7 of the Financial Management Act 1994" (s 16(2)). This hybrid status may affect procurement, financial oversight, audit pathways and freedom of information requests. Parties should clarify the implications for financial transparency and audit.

Immunity and limited personal liability:

• The Commissioner and other ADR practitioners are protected from personal liability for acts or omissions done in good faith in performing ADR (s 23). This protects personnel but can limit recourse for participants alleging negligence or procedural unfairness, shifting disputes to institutional or judicial review avenues rather than private tort claims.

Validity protections for Acting Commissioners:

• Section 20(6) and s 22 protect the validity of acts done by or in relation to persons purporting to act as Commissioner against challenges based on appointment defects. While enhancing administrative certainty, this provision reduces technical avenues to challenge Commission actions on procedural appointment grounds.

Exclusions to "dispute" definition:

• The Act’s definition of "dispute" excludes a number of "special bodies" (s 3(g)(i)-(vii)) such as IBAC, the Ombudsman and VCAT. Users should check whether their issue is excluded from Commission jurisdiction by virtue of the body type, and where a dispute involves a public oversight body other than those listed, further analysis is required.

No explicit sanctions for non‑compliant public bodies:

• Public entities must respond to reasonable information requests (s 7), but the Act does not set a penalty for non‑compliance. Enforcement is therefore administrative and political rather than statutory‑penal. Practitioners dealing with uncooperative public entities must consider alternative remedies, including seeking ministerial assistance or judicial review where appropriate.

Taken together, these "gotchas" highlight practical points where the Act’s design imposes constraints, creates discretion that will be exercised administratively, or leaves unanswered questions that should be addressed by procedure, practice notes, or external legal remedies.

This section sets out practical steps for the principal classes of actors affected by the Act: small businesses and private counterparties; public entities and public service bodies; the Commission; the Commissioner and Minister; and solicitors/advisers.

For small businesses (complainants):

• Confirm eligibility before lodging: Because the Act lacks a statutory definition of "small business," check the Commission’s published operating guidelines or intake criteria to confirm eligibility and whether your dispute falls within the statutory definition of "dispute" (s 3). Gather contract, invoice and communication records that demonstrate the contractual or commercial nature of the dispute.
• Use ADR proactively: The Commission has discretion to decide the form of ADR (s 10(1)) and may charge fees (s 10(2)). Consider whether ADR is appropriate and cost‑effective; weigh potential ADR fees against the benefits of quicker resolution and the risk of a certificate if you or the counterparty are recorded as unreasonably refusing ADR (s 12(3)).
• Preserve confidentiality preferences: If supplying confidential documents to the Commission, mark them clearly as confidential and communicate any restrictions; the Commission must seek consent before disclosure unless the law requires disclosure (s 8). Retain copies and a record of any confidentiality requests.
• Engage with reporting safeguards: If the Commission notifies you of an intention to include certificate details in its report, use the 21‑day submission window to object or provide material (s 16(4)-(6)). For any adverse comments the Commission intends to include in its report, ask for an opportunity to respond and ensure your responses are recorded (s 16(7)).
• Prepare for possible court or tribunal use of certificates: Understand that a certificate that ADR failed or that a party unreasonably refused ADR may be admitted in future VCAT or court proceedings (s 12(4)). Preserve contemporaneous evidence of ADR offers, participation or reasons for refusal to challenge or contextualise any certificate.

For private counterparties (respondents):

• Document ADR offers and reasons for non‑participation: Be ready to show whether any refusal to participate in ADR was reasonable, because the Commission may certify unreasonable refusal and that certificate may be used in later proceedings (s 12(3)-(4)). Contemporaneous records reduce evidentiary risk.
• Anticipate possible ADR fees and resource commitments: If approached by the Commission, decide early whether to participate in the Commission’s chosen form of ADR and budget for any fees the Commission may charge (s 10(2)).
• Clarify private documents and non‑disclosure: The Commission’s s 6 information request power applies only to public entities; private parties are not subject to the same compulsion. If requested informally, respond to the Commission only after legal checking, and if confidentiality concerns exist, make them explicit and seek terms for disclosure.

For public entities and public service bodies:

• Respond timely and efficiently to written Commission requests: Section 7 imposes a statutory duty to respond to reasonable written requests from the Commission in a timely and efficient manner. Implement an internal point of contact for Commission requests and a file protocol to assess and provide releasable material swiftly.
• Check FOI and confidentiality constraints before release: The Commission may not disclose documents obtained from an agency that are exempt under FOI (s 6(2)). When asked for documents, determine whether they are exempt under the FOI Act and if so, advise the Commission and ensure confidentiality protections are preserved.
• Adopt small business service charter practices: The Commission is empowered to encourage and monitor small business service charters within government (s 5(2)(g)-(h)). Consider developing or revising charters to align with Commission expectations and reduce disputes.
• Escalate complex or sensitive requests: If a request implicates legal privilege, statutory secrecy, or sensitive procurement issues, involve legal counsel and, if necessary, the Secretary or Minister, noting that the Commission is responsible to the Secretary for its conduct and management (s 5(7)).

For the Commission and Commissioner:

• Publish clear operating rules and eligibility criteria: Given the Act’s degree of discretion and the absence of a statutory "small business" definition, publish triage criteria, ADR fee schedules, confidentiality policies and guidance on certificate issuance to reduce uncertainty and complaints about administrative discretion.
• Observe procedural safeguards in reporting: Before including certificate details or adverse comments in the annual report, give requisite notice and fair opportunity to respond (ss 16(4)-(7)). Keep effective records of submissions and responses.
• Apply FOI and confidentiality provisions rigorously: Ensure s 6(2) limits and s 8 consent requirements are complied with when handling documents obtained from agencies and when receiving confidential material.
• Use delegation appropriately but retain oversight: The Commission may delegate to public service staff (s 15) but the power to delegate cannot itself be delegated. Maintain robust delegation instruments and oversight to ensure lawful exercise of powers.
• Manage conflict with Ministerial directions transparently: Where the Minister issues directions under s 17, ensure they are documented, lawful, and that the Commission records any potential conflicts between ministerial direction and functions that may be said to be non‑subject to direction.

For solicitors and advisers:

• Preserve ADR-related documentary evidence: Keep written records of ADR invitations, refusals, correspondence with the Commission, and reasons for non‑participation. These materials matter if the Commission issues a certificate that could be adduced in later proceedings (s 12(4)).
• Advise clients about fee risk and strategic use of certificates: Counsel clients on the costs and benefits of engaging with the Commission versus proceeding directly to VCAT or court. Certification can be a tactical device; understand how it may affect outcomes.
• Consider administrative review or judicial review options: If an administrative decision by the Commission raises legal issues (for example, refusal to deal under s 9, or the handling of confidential material under s 8), consider whether merits review, internal review by the Commission, or judicial review is appropriate.

Across all actors:

• Be conscious of timing and procedural windows: The Commission must provide certain notices and allows time for submissions (notably the 21‑day window under s 16(5)). Parties should act promptly on any Commission notices to preserve rights and influence reporting outcomes.
• Monitor the Commission’s published materials: Because the Act leaves operational detail to the Commission, practitioners should rely on the Commission’s practice notes, guidelines and fee schedules to understand day‑to‑day compliance obligations.

Complying with the Act is as much about good administrative practice, record keeping and early engagement on ADR as it is about understanding the statute. The Act establishes processes and discretion that can be managed through clear internal procedures and timely legal advice.
