Serpell Joint Schools Act 1981

Third parties: Insurers, contractors, architects, staff and service providers are affected indirectly through the allocation of procurement and insurance obligations. The Company is required to take out insurance and to procure maintenance, cleaning, and operation, but the State and RCTC are contractually obliged to pay specified proportions of those costs when the Committee recommends them and approvals are obtained (Schedule cl 4(h), 6(c), 9(c)).

The wider public: The Agreement requires notice of the Committee’s annual general meeting to be published in a daily Victorian newspaper and a local paper (Schedule cl 13(3)), which has transparency implications for the local community.

Statutory effect of Agreement: Section 4(1) converts every term of the Schedule Agreement into a statutory entitlement or obligation. Parties therefore hold rights and duties enforceable under statute, not merely private contract.

State duties and rights: The State must purchase specified land from the Council at the Valuer‑General’s price and join it with State land before transferring the joined parcel to the Company (Schedule cl 4(a)-(c)). The State is required to design and construct the building on the Company‑vested land (Schedule cl 4(d)) and to finance specified proportions of capital and recurrent costs. Notices and deemed delivery: Schedule cl 19(7) prescribes formalities for notice and consent, including authorised signatories for each party and deemed postal delivery timing. Non‑compliance with notice formalities could affect the timing and enforceability of dispute referrals and other statutory processes.

Practical enforcement risks: The Agreement centralises certain decision rights in the Committee and requires approvals by State and parish priest for specified works to trigger funding payments (Schedule cl 4(h)(i)). Where parties disagree about approvals, the arbitration mechanism is available but only after a specified notice and timeout period. Education Act 1958 and school governance: The Agreement explicitly references the State School Council constituted under section 13 of the Education Act 1958. Parties should not rely on ancillary agreements to alter material statutory obligations without legislative amendment, because such changes could be ultra vires the statutory ratification effected by s 4(1).

Implementation checklist for parties and advisers, cross‑referenced to specific clauses of the Act and Schedule.

1. Commencement and proclamation: Confirm the Act’s commencement date in the Government Gazette. The endnotes record commencement on 24 March 1982 (Endnotes 1), but practitioners acting at the time needed to watch for proclamation dates per s 1(2). If any dates remain relevant for successor transactions, confirm them with the government records.

2. Condition precedent compliance: Ensure the share issuance required by Schedule cl 3 is executed before Part II obligations take effect. The Company must issue to the Minister a number of shares equal to those held by the Roman Catholic Trusts Corporation. Draft and register share transfers, update company registers, and document the issuance with formal minutes and signed share certificates to satisfy the statutory condition.

3. Land transactions: Coordinate the State purchase from the Council at the Valuer‑General’s price (Schedule cl 4(a), 8(a)), the joining of land parcels (Schedule cl 4(b)), and the transfer of the joined land to the Company (Schedule cl 4(c)). Ensure conveyancing complies with the Valuer‑General’s valuation process and local land transfer registration requirements. Document the RCTC gratuitous transfer to the Company (Schedule cl 6(a)).

4. Company status and immunities: Record and document the Company’s statutory privileges under s 5. Legal advisers should obtain clarity on operational consequences of instrumentality status, including implications for tort liability, procurement rules, taxation and immunity from certain writs, to inform contract drafting, insurance cover and creditor arrangements.

5. Design, construction and procurement: The State must cause the building to be designed and constructed (Schedule cl 4(d)). Parties should coordinate procurement strategies to reflect the funding percentages (Schedule cl 4(e), 6(b), 8(h)) and ensure contracts incorporate the approval gates required by the Agreement. Maintain records of invoices and progress claims to match percentage funding obligations and to provide auditable trail for payments.

6. Funding schedules and agreements: The Agreement requires payments "at times to be agreed" between State and Committee or between parish priest and Committee for various maintenance and operational contributions (Schedule cl 4(h) and 6(c)). Parties should contemporaneously document agreed payment schedules, including quarter‑by‑quarter operational cost assessments, to avoid disputes about timing. Quarterly financial reports and budgets must be prepared at the beginning of each quarter (Schedule cl 16(1)) and forwarded to each party (Schedule cl 16(2)).

7. Insurance procurement: The Company must take out fire, burglary, theft, malicious damage and public liability insurance (Schedule cl 9(c)). Insurers’ policies should reflect the apportionment arrangements in Schedule cl 4(h)(iii)-(v) and 6(c)(iii)-(v), with certificates and endorsements recording each party’s contributions and interests. Ensure public liability apportionment is calculated per the February pupil census each year.

8. Committee governance: Constitute the Committee according to Schedule cl 12, with accurate appointment letters for the principal of the State school, principal of the Catholic school, two Ministerial appointees, two parish priest appointees, and three Council appointees. Maintain minutes of monthly meetings (Schedule cl 13(1)), keep the annual general meeting open to the public and advertise as required with 14 days’ notice in the specified newspapers (Schedule cl 13(2)-(3)). Ensure the Secretary provides at least three days’ notice for ordinary meetings and seven for extraordinary meetings (Schedule cl 13(1), 13(9)).

9. Delegations and deputies: Use Schedule cl 12(5) provision for deputy appointments to cover illness, absence or vacancies; document deputy appointments so quorum and continuity are preserved. Monitor grounds for vacancy under Schedule cl 12(6) such as absence without permission from three consecutive meetings, bankruptcy, indictable convictions and incapacity.

10. Use permissions and fee rules: For any proposed use during school hours obtain approval from the State School Council and the Catholic school’s equivalent body or parish priest (Schedule cl 17(4)). For outside‑hours use, coordinate with the Council which may arrange bookings for which the Company must not charge fees (Schedule cl 17(3)). For third‑party use not arranged by the Council, the Committee may direct the Company to enter agreements and charge fees (Schedule cl 17(1)-(2)). Put any external hire contracts in writing, reflecting insurance and indemnity requirements.

11. Approval of works and staff appointments: For maintenance and renovation recommended by the Committee, secure the necessary approvals of the State and parish priest where required to trigger funding obligations (Schedule cl 4(h)(i), 6(c)(i)). When appointing staff to either school, follow the desirability expressed in Schedule cl 5 and 7 that appointees be eligible for registration with both the Primary Teachers Registration Board and the Council of Public Education. Document eligibility verification.

12. Financial controls and accountability: All moneys received by the Committee are to be paid to the Company (Schedule cl 14(1)), and the Company must apply funds only on Committee direction (Schedule cl 14(2)). Maintain robust accounting systems, produce quarterly financial reports as prescribed (Schedule cl 16), and have the Company present annual report and balance sheet to the Committee (Schedule cl 9(d)). Ensure Company records are available for inspection by Committee members (Schedule cl 9(e)).

13. Notices and dispute triggers: To activate arbitration or other statutory processes, adhere to the notice formalities in Schedule cl 19(7). If a dispute is not settled within one month of notice, prepare for arbitration under Schedule cl 19(6), including securing agreement among the Minister of Education, the Minister for Local Government and the Catholic Archbishop of Melbourne for arbitrator appointment.

14. Insolvency contingency planning: Draft and maintain documentation for valuation and distribution methods on determination per Schedule cl 19(5), so parties can quickly implement the prescribed deemed entitlements and any agreed compensation arrangements if liquidation or repudiation occurs.

15. Record retention and public transparency: Maintain records to support census‑based insurance apportionments, financial contributions, and Committee decisions. Publish the required AGM advertisement and keep minutes accessible to demonstrate compliance with the Agreement’s public notice and reporting obligations (Schedule cl 13(2)-(3)).

Following these steps and documenting agreements, approvals, budgets and notices will minimise friction in implementing the statutoryised Agreement. Legal counsel should be engaged to confirm the precise interaction of the Company’s instrumentality privileges under s 5 with taxation, procurement and liability regimes, and to prepare drafting for any ancillary agreements permitted by Schedule cl 19(2) in ways that do not conflict with the Act.
