### 22 Offences by directors of bodies corporate
> If a body corporate is guilty of an offence against this Act, each of its directors is guilty of an offence and is liable to the same penalty as is prescribed for that offence unless it is proved that the director could not, by the exercise of reasonable diligence, have prevented the commission of the offence by the body corporate.
