Screen Australia (Transfer of Assets) Act 2011

The Screen Australia (Transfer of Assets) Act 2011 (Cth) is a targeted transitional and amending statute designed to structurally reorganise the federal government’s management of cultural and cinematic assets. Mechanically, the Act achieves two primary policy objectives. First, under Schedule 1, it changes the name of the National Film and Sound Archive, a statutory authority established under the National Film and Sound Archive Act 2008 (Cth), to the "National Film and Sound Archive of Australia" (NFSAA). This name change is systematically propagated through related statutory frameworks, including the Freedom of Information Act 1982 (Cth) and previous transitional legislation. Second, under Schedule 2, the Act strips Screen Australia of the historical "film library" assets and liabilities originally held by Film Australia Limited (FAL) and transfers them directly to the newly named NFSAA.

This asset reallocation is not merely a bookkeeping entry; it is an active statutory transfer of ownership and legal responsibility. At the "transition time", defined as the commencement of 1 July 2011, all specified film library assets and liabilities automatically ceased to be assets and liabilities of Screen Australia and vested in the NFSAA without the need for any conveyance, transfer, or assignment. The NFSAA became the statutory successor in law in relation to these assets and liabilities. To ensure flexibility and prevent administrative friction, the Act grants the Minister wide unilateral powers to make written determinations that either pull other related Screen Australia assets into the transfer or, conversely, exclude specific film library assets from the transfer, ensuring they remain with Screen Australia.

Geographically, the Act operates with an extra-territorial reach. Section 4 explicitly provides that the Act extends to every external Territory and applies both within and outside Australia, which is necessary given that film distribution rights, copyright licensing, and intellectual property contracts related to the film library are routinely held or exploited in international markets. Economically, the Act shifts the financial and administrative burden of managing, licensing, and preserving these historical cinematic assets from Screen Australia, which functions primarily as an industry funding and development body, to the NFSAA, which operates as a preservation and archival agency.

2 Film library assets and film library liabilities of Screen Australia become assets and liabilities of NFSAA

(1) This item applies to assets and liabilities of Screen Australia immediately before the transition time.

(2) Subject to this item, at the transition time, all film library assets and film library liabilities cease to be assets and liabilities of Screen Australia and become assets and liabilities of NFSAA without any conveyance, transfer or assignment. NFSAA becomes the successor in law in relation to the film library assets and film library liabilities.

(3) Before the transition time, the Minister may determine, in writing, that specified assets or liabilities of Screen Australia (other than film library assets or film library liabilities) that are related to or connected with the film library, are to become assets or liabilities of NFSAA.

(4) If the Minister makes a determination under subitem (3) that specified assets or liabilities of Screen Australia (other than film library assets or film library liabilities) are to become the assets or liabilities of NFSAA, then, at the transition time, the specified assets or liabilities cease to be assets or liabilities of Screen Australia and become assets or liabilities of NFSAA without any conveyance, transfer or assignment. NFSAA becomes the successor in law in relation to those assets or liabilities.

(5) Before the transition time, the Minister may determine, in writing, that despite subitem (2), specified film library assets or film library liabilities of Screen Australia:

Screen Australia (Transfer of Assets) Act 2011

No. 20, 2011

An Act to change the name of the National Film and Sound Archive and to transfer certain assets and liabilities of Screen Australia to the National Film and Sound Archive, and for related purposes

[Assented to 12 April 2011]

The Parliament of Australia enacts:

1 Short title

This Act may be cited as the Screen Australia (Transfer of Assets) Act 2011.

2 Commencement

Commencement information

To understand the legal mechanics of this Act, one must parse several critical statutory definitions set out in Part 1 of Schedule 2. The definition of "asset" under item 1 is exceptionally broad. It encompasses any legal or equitable estate or interest in real or personal property, whether actual, contingent, or prospective. Crucially, it also includes "any right, power, privilege or immunity, whether actual, contingent or prospective." This means that the transfer covers not only physical film canisters and master tapes but also intangible intellectual property rights, future licensing options, contractual indemnities, and statutory immunities associated with the film library.

The counterpart to this is "liability", defined as "any liability, duty or obligation, whether actual, contingent or prospective." This ensures that the NFSAA inherits all future performance obligations, outstanding litigation risks, debt structures, and contractual performance requirements previously borne by Screen Australia in connection with the transferred library.

The core subject matter of the transfer is the "film library". This refers to the library of films and associated materials that were previously owned by Film Australia Limited (FAL) and subsequently became assets and liabilities of Screen Australia under the Screen Australia and the National Film and Sound Archive (Consequential and Transitional Provisions) Act 2008 (Cth). A "film library asset" specifically includes assets relating to the sale and licensing of materials within the library, as well as assets relating to the use of materials within the library for digital learning purposes. This dual focus highlights the commercial exploitation and educational dissemination roles of the library.

Another central concept is the "transition time", which is pinned to the exact start of 1 July 2011. This creates a bright-line chronological boundary for accounting, taxation, and liability purposes. Finally, the concept of "exempt matter" under item 5 is vital for transaction cost management. An exempt matter is the vesting of any asset or liability under the statutory mechanisms of the Act, which is automatically insulated from State or Territory stamp duty or other taxes.

The Act directly impacts a range of public and private sector actors, restructuring their legal rights and operational relationships. Within the federal bureaucracy, the two primary affected entities are Screen Australia and the National Film and Sound Archive of Australia. Screen Australia had its balance sheet altered through the divestment of the FAL library, while the NFSAA expanded its asset base, administrative responsibilities, and operational liabilities.

The staff of Screen Australia represent another highly affected group. Under Part 2 of Schedule 2, non-APS (Australian Public Service) officers and employees engaged by Screen Australia who were covered by a determination under section 72 of the Public Service Act 1999 (Cth) were compulsorily transferred to the NFSAA as APS employees. This transition altered their statutory employment framework, shifting them from a corporate Commonwealth entity structure to the standard APS employment model, while preserving their leave and continuous service entitlements.

Beyond the public sector, the Act directly affects commercial third parties. This includes commercial distributors, broadcasters, educational institutions, and digital platforms that hold active licensing agreements, distribution contracts, or intellectual property arrangements linked to the historical FAL film library. Because the Act automatically substitutes the NFSAA as the successor in law, these private enterprises suddenly found their contractual counterparty swapped from Screen Australia to the NFSAA.

Furthermore, "assets officials", who are state, territory, or federal registrars responsible for keeping registers of land, titles, intellectual property, or other assets, are affected. They are legally compelled under item 3 of Schedule 2 to register transfers of title based on Minister-signed certificates, bypassing standard transactional registration documentation and filing requirements. Finally, State and Territory revenue offices are affected, as they are legally barred from levying stamp duty or other transaction-based taxes on any asset vestings occurring under the Act.

The Act establishes a asymmetric matrix of executive rights, administrative duties, and statutory protections. The Minister holds the primary rights of executive determination. Under Schedule 2, item 2, the Minister has the unilateral right to determine in writing that specified Screen Australia assets or liabilities (not otherwise falling under the definition of film library assets) are to be transferred to the NFSAA, or that specific film library assets are to be retained by Screen Australia. These determinations are explicitly declared under item 2(7) not to be legislative instruments, which immunises them from parliamentary disallowance and scrutiny.

Conversely, the Act imposes strict statutory duties on the NFSAA. If a transferred film library asset was held by Screen Australia on trust immediately before the transition time, the NFSAA is bound by a statutory duty under item 2(8) to hold that asset on trust, subject to the exact terms of the original trust instrument. The NFSAA also inherits the legal duty to defend or prosecute any pending court or tribunal proceedings to which Screen Australia was a party, provided those proceedings relate to a transferred asset or liability (item 10).

For transferred employees, the Act creates protected statutory rights. Under item 6 of Schedule 2, transferred staff are granted the right to retain accrued annual leave and personal/carer's leave entitlements equivalent to those they held at Screen Australia immediately before the transition. Their service is deemed to be continuous for the purposes of unpaid parental leave under the Fair Work Act 2009 (Cth) and for all other statutory purposes, protecting their redundancy, long service leave, and promotional seniority calculations.

For third parties whose property rights might be disrupted by these sweeping statutory transfers, item 14 establishes a crucial constitutional safeguard. If the operation of the Act results in an "acquisition of property" within the meaning of paragraph 51(xxxi) of the Constitution otherwise than on "just terms", the Commonwealth is under a statutory liability to pay a reasonable amount of compensation, enforceable by instituting civil proceedings in a court of competent jurisdiction.

Unlike standard regulatory legislation, the Screen Australia (Transfer of Assets) Act 2011 (Cth) does not contain a regime of civil penalties, infringement notices, or criminal offences. Instead, its enforcement mechanisms are entirely administrative, proprietary, and constitutional, designed to ensure the seamless execution of an inter-agency asset transfer.

The primary compliance tool is the "certificate of vesting" under item 3 of Schedule 2. If a film library asset vests in the NFSAA, the Minister may sign a certificate identifying the asset and stating that it has vested under the Act. When this certificate is lodged with an "assets official" (such as a state land titles office or an intellectual property registrar), that official is empowered, and administratively expected, to treat the certificate as if it were a proper and appropriate instrument of transfer. Under item 4, the certificate is statutorily presumed to be authentic and properly given unless the contrary is established, which shifts the burden of proof to any party challenging the validity of the transfer.

For tax enforcement, item 5 immunises the transfers from State or Territory stamp duty or other taxes. The Minister can issue a written certificate stating that a specific matter is an "exempt matter". In all courts and for all purposes (excluding criminal proceedings), this certificate serves as prima facie evidence of the facts stated within it. This effectively blocks State and Territory tax authorities from pursuing the NFSAA or Screen Australia for unpaid transaction taxes.

If a private entity disputes the transfer or asserts that its intellectual property or contractual rights have been expropriated without proper compensation, enforcement shifts to the courts under item 14. The affected party has the explicit right to sue the Commonwealth in a court of competent jurisdiction. The court is empowered to determine what constitutes "reasonable compensation" under the constitutional "just terms" standard, ensuring that the statutory transfer cannot be used by the executive to bypass constitutional property protections.

The Act serves as a structural bridge, interacting deeply with a wide array of Commonwealth, State, and Territory statutes. Its primary statutory interface is with the National Film and Sound Archive of Australia Act 2008 (Cth) (originally enacted as the National Film and Sound Archive Act 2008). Schedule 1 of the 2011 Act systematically amends this principal Act to change the corporate name of the entity, which in turn alters how the entity enters into contracts, holds property, and exercises its statutory functions. It similarly amends the Freedom of Information Act 1982 (Cth) to ensure that FOI requests directed at archival documents are processed under the correct institutional name.

The employment transitions under the Act rely heavily on the Public Service Act 1999 (Cth). The transfer of personnel from Screen Australia (which is a corporate Commonwealth entity with its own statutory employment powers under the Screen Australia Act 2008 (Cth)) to the NFSAA (a non-corporate or corporate entity operating within the APS) is triggered by determinations made under section 72 of the Public Service Act 1999. Furthermore, the Act interacts with the Fair Work Act 2009 (Cth). Item 7 of Schedule 2 explicitly states that nothing in the Schedule results in a "transfer of business" for the purposes of the Fair Work Act 2009. This is an important exclusion: it prevents the triggering of complex enterprise agreement transfer rules and associated industrial relations obligations that would otherwise apply under Part 2-8 of the Fair Work Act 2009 when employees move between employers alongside an asset transfer.

Regarding financial administration, item 11(7) of Schedule 2 explicitly links the transfer of custody of accounting records to section 20 of the Commonwealth Authorities and Companies Act 1997 (Cth), applying those statutory record-keeping and audit obligations to the NFSAA as if it had generated the records itself. For public funding, item 13 interacts with federal Appropriation Acts. It authorises the Finance Minister to issue legislative instruments that reallocate appropriated funds from Screen Australia to the NFSAA, overriding the original terms of the Appropriation Acts to reflect the new asset and staff distribution, without changing the total amount of money appropriated by Parliament.

The Screen Australia (Transfer of Assets) Act 2011 (Cth) was enacted as Act No. 20 of 2011, having received Royal Assent on 12 April 2011. The Bill was introduced into the House of Representatives on 17 November 2010 and passed through the Senate on 28 February 2011.

Under the commencement table set out in section 2, the Act's provisions took effect in a staged sequence:

Sections 1 through 4, which establish the short title, commencement, schedule structures, and geographic application, commenced on 13 April 2011 (the day after Royal Assent).
Schedule 2, which contains the substantive asset transfer provisions, staff transitional rules, and legal proceeding substitutions, also commenced on 13 April 2011. This early commencement allowed the Minister and administrative officers to begin drafting determinations, certificates, and staff transfers ahead of the physical asset migration.
Schedule 1, items 1, 2, and 3 (the bulk name-change amendments to the Freedom of Information Act 1982 and the National Film and Sound Archive Act 2008) commenced on 1 July 2011.
Schedule 1, items 4, 5, 6, and 7 (the title and heading amendments to the National Film and Sound Archive Act 2008) commenced immediately after items 2 and 3 on 1 July 2011.
Schedule 1, item 8 (the bulk name-change amendments to the Screen Australia and the National Film and Sound Archive (Consequential and Transitional Provisions) Act 2008) commenced on 1 July 2011.
Schedule 1, items 9, 10, 11, and 12 (consequential definition and heading changes) commenced immediately after item 8 on 1 July 2011.

Because this Act was designed primarily as a transitional, "one-off" structural instrument rather than an ongoing regulatory framework, it has not been subjected to extensive subsequent substantive amendments. Its operational provisions spent their force once the assets, liabilities, and staff were successfully vested in the NFSAA on 1 July 2011, leaving the ongoing administration of the film library to the revised principal Acts.

The statutory text of the Screen Australia (Transfer of Assets) Act 2011 (Cth) does not identify or name any specific past court cases, disputes, or judicial decisions that influenced its drafting. However, the Act itself establishes explicit pathways and rules for managing active and future litigation.

Under item 10 of Schedule 2, the Act directly addresses pending legal proceedings. If any court or tribunal proceedings were pending immediately before 1 July 2011 to which Screen Australia was a party, and those proceedings related in whole or in part to a transferred film library asset or liability, the NFSAA was automatically substituted as a party to those proceedings. For disputes that did not automatically trigger this substitution but still touched on the broader operation of the transfer, the Minister was granted the power to determine in writing that the NFSAA be substituted for Screen Australia. This statutory substitution ensured that active commercial or intellectual property litigation concerning the FAL film library did not lapse, suffer from a lack of standing, or face procedural dismissal due to the sudden dissolution of Screen Australia’s ownership.

Additionally, item 14 creates a specific statutory cause of action for constitutional property disputes. If an affected private entity or copyright holder asserts that the statutory transfer of the film library or any associated licensing rights constitutes an "acquisition of property" other than on "just terms" under paragraph 51(xxxi) of the Constitution, the Act explicitly authorises them to institute civil proceedings against the Commonwealth. These proceedings must be brought in a "court of competent jurisdiction" (such as the Federal Court of Australia or the High Court of Australia) to recover a reasonable amount of compensation, ensuring a clear judicial forum for the resolution of any expropriation claims arising from the transition.

For legal practitioners, corporate compliance officers, and commercial parties holding contracts linked to the historical Film Australia Limited (FAL) library, this Act contains several subtle "gotchas" that require careful management.

First, under Schedule 2, item 12, the Minister possesses a retrospective variation power. The Minister may determine in writing that the standard transition rules governing instruments (item 9), legal proceedings (item 10), or records (item 11) do not apply to specifically identified items. Critically, item 12(2)(a) permits this determination to take effect at a time specified by the Minister, which can be "a time before the determination is made", provided it is not earlier than the transition time of 1 July 2011. This retrospective power means that a commercial counterparty relying on the automatic statutory assumption of their contract by the NFSAA could find that a subsequent ministerial determination retrospectively strips the contract out of the transfer, leaving them dealing with Screen Australia or in a legal limbo.

Second, the pervasive exclusion of the Legislative Instruments Act 2003 (Cth) (now the Legislation Act 2003 (Cth)) creates a significant transparency deficit. Written ministerial determinations made under items 2(3), 2(5), 8(2), 9(3), 10(3), 11(3), and 12(1) are explicitly declared not to be legislative instruments. Consequently, these determinations are not required to be registered on the Federal Register of Legislation, nor are they tabled in Parliament or subject to disallowance. This makes it difficult for third-party commercial partners to independently verify, via public registers, whether a specific asset, liability, contract, or legal proceeding was successfully transferred, retained, or retrospectively varied by executive decree.

Third, while item 6 preserves leave and service continuity for transferred Screen Australia staff, item 7 explicitly excludes the "transfer of business" provisions of the Fair Work Act 2009 (Cth). This means that while individual employees retain their accrued leave balances, they do not carry over any broader corporate enterprise agreements or collective bargaining protections that would normally be protected during a commercial business transmission.

Finally, trust assets transferred under item 2(8) must be held by the NFSAA "on trust and subject to the terms of the trust." Because these historical trusts (often associated with cultural donations, estate bequests, or film preservation endowments) are not centrally registered in public land or corporate registries, identifying the precise terms of these trusts requires exhaustive historical due diligence, exposing the NFSAA to latent breach-of-trust liabilities if the terms are not met post-transfer.

Compliance with the Screen Australia (Transfer of Assets) Act 2011 (Cth) requires systematic due diligence by commercial partners, legal counsel, and government administrators. To ensure regulatory and contractual alignment, parties should adopt the following procedures:

Conduct Contractual Due Diligence: Any entity holding a licensing, distribution, or digital learning contract originally executed with Screen Australia (or historically with Film Australia Limited) must review the agreement's terms. Because item 9 automatically substitutes references to "Screen Australia" with "NFSAA" if the contract relates to a transferred film library asset, commercial parties must update their internal contract management systems, invoicing templates, and communication protocols to reflect the NFSAA as the correct legal counterparty.
Verify Ministerial Determinations: Given the Minister's power to exclude certain film library assets under item 2(5) or retrospectively vary transfers under item 12, legal advisors must formally request copies of any written ministerial determinations from the Department of Infrastructure, Transport, Regional Development, Communications and the Arts (or the current department administering the Act) to confirm that their specific contract or asset was not subject to an executive carve-out.
Manage Property Registration and Vesting: For any real property, intellectual property, or registered security interests linked to the film library, compliance officers must secure a vesting certificate signed by the Minister under item 3. This certificate must be lodged with the relevant state, territory, or federal "assets official" (such as IP Australia or land titles offices) to update the register. Practitioners must ensure that no stamp duty or transfer tax is paid on these transactions, citing the statutory exemption under item 5 and, if necessary, requesting a written exempt matter certificate from the Minister under item 5(3).
Align HR and Payroll Records: For HR managers within the NFSAA, compliance requires updating payroll systems to integrate the transferred Screen Australia staff in accordance with item 6. This involves auditing and importing the exact accrued balances of annual leave and personal/carer's leave as they stood immediately before 1 July 2011, and adjusting service-length calculations to reflect continuous service for the purposes of long service leave and unpaid parental leave.
Review Trust Instrument Compliance: The legal and compliance teams of the NFSAA must locate, catalog, and review all original trust deeds and bequest instruments associated with any transferred film library assets to ensure that ongoing archival, preservation, and exhibition activities comply strictly with the trust terms preserved by item 2(8).
