Science and Industry Research Regulations 2017

Consultative Council. The core institution created by section 56 of the Act and detailed in these regulations. It is a permanent statutory body with a mixed membership drawn from the CSIRO Board and from organisations representing CSIRO officers. Its role is to facilitate consultation on matters affecting officers, though its specific functions are not enumerated in the regulations themselves; they are implied from its establishment under the Act and its ability to conduct inquiries and report to the Board. The Council is not a decision-making body for CSIRO; it is an advisory and consultative forum.

Board. The governing body of CSIRO as defined in the Act. Under these regulations, the Board is responsible for appointing up to seven members of the Council (other than the Chairperson) and the Chairperson itself. The Board also has the power to direct the Chairperson to convene a meeting of the Council. The Board’s appointees are not merely observers; they are part of the Council’s membership and participate in its inquiries and votes. The quorum rules ensure that at any meeting, at least four Board appointees (plus the Chairperson, who is also a Board appointee) are present, giving the Board significant influence over proceedings.

CSIRO Staff Association. Specifically named in regulation 7(2) as the body entitled to appoint up to five representatives to the Council. This is the principal union for CSIRO officers. The regulations give the Staff Association a direct role: it can appoint members unilaterally without needing Board approval. The Deputy Chairperson of the Council must be elected from these Staff Association appointees, ensuring that if the Chairperson (a Board appointee) is absent, a representative of the officers presides.

Registered organisation. Defined by reference to the Fair Work (Registered Organisations) Act 2009. This includes unions and employer organisations registered under that Act. The Consultative Council may appoint a person nominated by any such registered organisation (other than the CSIRO Staff Association) whose members include CSIRO officers. This allows for representation of any other union that covers CSIRO staff, such as the Community and Public Sector Union or professionals associations, provided they are registered and have officer members. The total number of representatives from all organisations of officers (including the Staff Association) cannot exceed eight. This cap prevents the employee side from being larger than the Board’s appointees (who number up to eight with the Chairperson) and ensures rough parity.

Quorum. A specific composition requirement: for a meeting to be valid, the Chairperson (or Deputy) plus nine other members must be present, of whom at least four are Board nominees and at least five come from the employee side. This is unusual because it requires a supermajority of employee representatives to be present. It means that if the Council has fewer than five employee representatives (e.g., only four attend a meeting), the meeting cannot proceed even if Board appointees are present. This gives the employee side a blocking power if they collectively absent themselves, but it also ensures that business is not conducted without adequate employee input.

Minority report. Required under regulation 13 when a resolution passed by majority vote relates to a report to the Board. The majority report must be accompanied by a summary of the views of members who voted against it. This protects dissenting voices and ensures the Board receives a balanced picture of internal disagreement. It does not apply to resolutions on internal Council matters, only to those that generate a report to the Board.

Acting appointments. A detailed framework for filling vacancies or temporary absences. The Board can appoint acting members for its own appointees; the relevant organisation of officers can appoint acting members for its representatives; and the Council can appoint acting members for persons appointed under regulation 7(3) (other registered organisations), but only on the recommendation of the nominating organisation. This ensures that the appointing body retains control over who acts in its stead.

The regulations directly affect three categories of persons: members of the CSIRO Board, CSIRO officers (employees), and registered organisations that represent officers. The Board is required to appoint nominees and a Chairperson, and must respond to reports and directions from the Council. The cost falls on CSIRO administration: time spent coordinating appointments, convening meetings, processing inquiries and minority reports, and maintaining records. For the CSIRO Staff Association, the regulations give a statutory seat at the table with up to five representatives and the right to elect the Deputy Chairperson. This is a free benefit to the union: it does not need to negotiate for consultation rights; they are mandated by law. However, the cap of eight total union representatives limits the number of unions that can be involved, which may exclude smaller or less organised groups.

Other registered organisations that have CSIRO officer members can also participate if the Council agrees to appoint a nominee. This imposes a procedural hurdle: the nominee must be recommended by the organisation, and the Council must then vote to appoint. The regulation does not create an automatic right; it is at the Council’s discretion. This may disadvantage smaller unions that lack influence on the Council. The savings provision (regulation 14) ensures that anyone who was a member under the old regulations is automatically deemed a member under the new ones, so no immediate disruption.

CSIRO officers indirectly benefit from the Council’s existence as a consultation mechanism. The minority report provision gives them a voice even when their representatives are outvoted. The requirement for at least five employee representatives at every meeting ensures that the Council cannot be captured by Board appointees alone. On the other hand, the quorum rule creates a risk: if employee representatives cannot muster five members, the Council cannot function. This could be weaponised by either side to delay or prevent meetings. The costs of administering the Council are borne by the taxpayer through CSIRO’s budget, which could otherwise be spent on research. There is also an opportunity cost: time spent by Board members and officers on Consultative Council meetings is time not spent on core CSIRO activities. The regulations do not limit the number of meetings, but they mandate at least one per year. The Board can also direct meetings, so the potential for over-consultation exists.

The regulations do not affect the general public, competitors, customers, or suppliers of CSIRO. They are entirely internal governance. For legal professionals, the significant aspect is the interplay with the Act and the Acts Interpretation Act 1901 (re note 1 and note 2 to regulation 9). The regulation is a narrow instrument that defines only the machinery of the Council; substantive rights of officers are governed by the Act, enterprise agreements, and general employment law.

The primary duty is on the Board to appoint the Chairperson and up to seven ordinary members of the Consultative Council (regulation 7(1)). The Board must also, under regulation 11(3)(b), convene a meeting if it directs the Chairperson to do so. There is no explicit duty on the Board to consider or act on reports from the Council, but the minority report mechanism (regulation 13) implies that reports are submitted to the Board and that the Board receives dissenting views. The Board also has the right to direct the Chairperson to call a meeting, which gives it control over timing.

The CSIRO Staff Association has the right to appoint up to five representatives (regulation 7(2)). It has no duty to do so; it may choose to appoint fewer or none. The Deputy Chairperson must be elected from the Staff Association appointees, which is a right given to that group. Other registered organisations have a right to propose nominees, but only if the Council agrees to appoint them. The Council itself has the right to appoint such nominees (regulation 7(3)), subject to the eight-person cap. The Council must, if there are more than eight employee representatives, terminate appointments of its own appointees to bring the number down to eight (regulation 7(5)). This is a duty to maintain parity.

All members of the Council have the right to attend meetings, vote, and participate in inquiries (regulation 12). The minority report right in regulation 13 is a right of any members who voted against a resolution on a report to the Board: their views must be summarised and attached. This is a meaningful procedural protection, especially if the Board gives weight to internal disagreement.

The Deputy Chairperson has the right to preside when the Chairperson is absent (regulation 11(6)). The Chairperson has the power to convene meetings (regulation 11(2)) and must do so if the Council resolves or the Board directs (regulation 11(3)). The Council as a whole has the power to regulate its own proceedings (regulation 11(8)) and to invite outsiders to advise or inform (regulation 11(9)). These are broad procedural powers that allow the Council to operate flexibly.

Regulation 9 creates a framework for acting appointments. The Board, organisations, and the Council have the right to appoint acting members during vacancies or absences. The condition that acting appointments by the Council require a recommendation from the registered organisation (regulation 9(4)) imposes a duty on the Council not to act unilaterally. Acting appointees have the same rights and duties as substantive members while they serve.

Membership of the Council does not appear to carry any personal liability or financial duty. The regulations do not impose record-keeping, reporting, or confidentiality duties. Such duties may arise under the Act or CSIRO’s internal policies, but are not in this instrument. The rights are thus purely consultative: to be heard, to vote, to dissent, and to meet.

The Science and Industry Research Regulations 2017 contain no penalty provisions. They do not create any offences or civil penalty regimes. Enforcement of the Council’s rules therefore depends on internal governance mechanisms within CSIRO and, ultimately, on the Act. For example, if the Board fails to appoint a Chairperson, the Consultative Council may be unable to perform its functions, but there is no prescribed dollar fine or criminal sanction for such failure. The remedy would likely be through the Minister’s power under the Act to give directions to the Board, or through the Commonwealth Ombudsman, or judicial review if the Board’s inaction is unreasonable.

The absence of penalties is typical for regulations that set procedural rules for advisory bodies. However, it means that compliance relies on good faith and administrative culture. If the Board decides to ignore the Council or to not convene meetings, there is no direct enforcement mechanism in these regulations. The quorum rule in regulation 11(4) is a gatekeeper: if the required numbers are not present, the meeting cannot proceed and any purported decisions would be invalid. That could be challenged in the Federal Court as a breach of the statutory requirement to properly constitute the Council.

The failure to include a minority report (regulation 13) when required may also be justiciable. A member who dissented could argue that a report submitted without their summary is invalid and that the Board should not have acted on it. This could potentially lead to litigation to set aside a Board decision that relied on such a flawed report.

The savings provision (regulation 14) is self-executing and does not require enforcement; it operates by law. The repeal of the old regulations (Schedule 1) is effective from commencement. There is no transitional enforcement issue.

For such a small instrument, the practical enforcement burden is low. The Council itself could refer a breach to the Board or the Minister. But for a lawyer advising a CSIRO officer or the Staff Association, the key takeaway is that while the regulations create rights and duties, they lack teeth. The real compulsion comes from the reputation risk of non-compliance and the potential for external scrutiny under the Act or the Public Governance, Performance and Accountability Act 2013 (which governs Commonwealth entities). The regulations should be read as part of a larger compliance framework.

The regulations are subordinate to the Science and Industry Research Act 1949, which is the primary statute governing CSIRO. They are made specifically under subsection 56(3) of that Act, which empowers the Governor-General to make regulations prescribing matters relating to the Consultative Council. Therefore, the Act trumps these regulations if there is any inconsistency. The Act also defines key terms (Board, officer, Organisation) that are used in the regulations. Practitioners should consider whether the Act itself imposes additional duties on the Board regarding consultation that are not replicated in these regulations.

Section 56 of the Act establishes the Consultative Council and provides that its membership shall consist of representatives of the Board and of organisations of officers, in such numbers as are prescribed. The regulations fill in those numbers and procedures. If the Act were amended to change the composition of the Council, these regulations would need to be updated.

The regulations incorporate the Fair Work (Registered Organisations) Act 2009 by reference to define “registered organisation”. That Act sets out the registration and accountability framework for unions and employer bodies. It also imposes duties on officers of registered organisations, but those duties would apply to the organisations themselves, not to their role on the Consultative Council. This means that the CSIRO Staff Association must remain registered under that Act to continue as a nominating body under these regulations.

The Acts Interpretation Act 1901 is referenced in the notes to regulation 9. Sections 33AB and 33A of that Act govern the validity and duration of acting appointments. Practitioners should consult those provisions for rules on when acting appointments end and whether they can be retrospective. Subsection 33(2B) of the Acts Interpretation Act confirms that a vacancy in the membership of the Council does not invalidate its proceedings.

There may be interaction with CSIRO’s enterprise agreements. If an agreement contains consultation clauses that go beyond what the Consultative Council provides, those clauses would continue to operate. The regulations do not override industrial agreements; they are a statutory floor. Also, the Privacy Act 1988 may apply if the Council processes personal information about officers. The regulations themselves do not address confidentiality, so CSIRO’s privacy policies and the Privacy Act would govern.

The Public Governance, Performance and Accountability Act 2013 (PGPA Act) imposes duties on CSIRO as a Commonwealth entity, including to govern efficiently and with propriety. The costs of the Consultative Council must be justified under PGPA requirements. The regulations do not mention the PGPA Act, but CSIRO’s compliance with those broader duties is separate.

The regulations do not interact with competition, consumer, or tax law. They are a niche procedural instrument. For a lawyer undertaking due diligence on CSIRO’s governance, the key task is to ensure the Council is properly constituted under these regulations, that meetings are documented, and that minority report requirements are honoured.

The Science and Industry Research Regulations 2017 were made on 18 September 2017 and commenced on 1 October 2017. The instrument was created by Governor-General Sir Peter Cosgrove on the advice of the Federal Executive Council, with the responsible minister being Arthur Sinodinos AO, Minister for Industry, Innovation and Science. The instrument replaced two sets of regulations that were repealed on commencement: the Science and Industry Research (Consultative Council) Regulations and the Science and Industry Research (Gifts, Trusts and Contracts) Regulations 2000. The repeal is effected by Schedule 1.

The regulations themselves have not been amended since their commencement, based on the text provided. The commencement table in section 2 indicates that the whole instrument commenced on 1 October 2017, and there is no subsequent amendment table included. The note to section 2 states that the table relates only to the original instrument and will not be amended for later amendments. Therefore, any subsequent amendments would appear in a separate compilation. As the user provided only the original text, we assume no amendments have been made. The original regulations were a consolidation and simplification of the older rules, as evidenced by the savings provision (regulation 14) that preserved the continuity of appointments. The repeal of the Science and Industry Research (Gifts, Trusts and Contracts) Regulations 2000 suggests that those regulations were no longer needed, perhaps because the subject matter (gifts, trusts and contracts) was covered elsewhere or was considered obsolete.

This is a rare case where the instrument itself has a short history. No transitional or application provisions beyond the savings clause. The regulations are relatively static. For researchers or lawyers, the integrity of the instrument is important: any subsequent amendment would need to be checked against this base. Because the provided text is the original, analysts should verify the current version on the Federal Register of Legislation.

The Science and Industry Research Regulations 2017 have not been the subject of reported litigation, based on the source provided. The instrument does not cite any cases, and it is unlikely that such narrow procedural regulations have generated judicial attention. Disputes about the Consultative Council’s composition or procedures would more likely be resolved internally or through administrative review rather than court proceedings. The regulations do not impose penalties or create private rights of action. The most plausible litigation scenario would be a challenge to the validity of a meeting or a report on the ground that the regulations were not complied with. For example, if the Board failed to appoint a Chairperson, a member might seek an injunction under the Act or declaratory relief. Alternatively, if a minority report was suppressed, a dissenting member might argue that a Board decision based on the majority report was procedurally flawed and seek to have it set aside under the Administrative Decisions (Judicial Review) Act 1977. Such cases would turn on the interpretation of regulation 13 and whether the duty to attach a minority report is mandatory.

The Acts Interpretation Act 1901 sections referred to in the notes have been the subject of case law generally, but not in connection with these regulations. The fair work references might bring proceedings under the Fair Work (Registered Organisations) Act, but only if the nominating organisation’s registration is challenged. The savings provision (regulation 14) could theoretically lead to a dispute if a person deemed a member under the old regulations is later argued not to meet the qualifications under the new ones, but the provision is designed to avoid that.

Given the lack of case law, legal practitioners should be aware that these regulations are untested. Any litigation would likely centre on the meaning of “as soon as practicable” in regulation 7(5) or the scope of “full and proper consideration” in regulation 12. The minority report requirement is unusual and might be contested if a board argues that the summary is not sufficiently representative. In sum, the litigation history is a blank slate, which imposes caution: there is no judicial gloss on the text.

Several features of the regulations could surprise a first-time reader. First, the quorum rule in regulation 11(4) is asymmetrical. It requires that among the nine other members present, exactly four must be Board nominees and five must be employee representatives. If only four employee representatives attend, the meeting cannot proceed even if the Chairperson and many Board appointees are present. Conversely, if nine employee representatives attend but only three Board nominees, again no quorum. This gives each side a de facto veto over the other’s absence. A strategic group could refuse to attend to block meetings, though this may be a breach of good faith obligations. The Chairperson must also be present (or the Deputy), so if both are absent, no quorum.

Second, the cap on employee representatives is eight, but the Board can appoint up to seven ordinary members plus the Chairperson, giving the Board eight as well. However, the Board could appoint fewer than seven, giving the employee side a potential numerical advantage in full membership. But the quorum rule ensures that at any meeting the employee side must supply five of the nine non-Chairperson members, so the imbalance is corrected at the meeting level.

Third, the Deputy Chairperson must be elected from the Staff Association appointees (regulation 8). This means that if the Staff Association fails to appoint any members, there is no Deputy Chairperson, and if the Chairperson is absent, no one can preside (unless another person is entitled to preside - but regulation 11(6) only names the Deputy as the person to preside when the Chairperson is absent). This is a flaw: a single union’s inaction could paralyse the Council.

Fourth, regulation 7(5) requires the Council to terminate appointments of its own chosen members (from other registered organisations) if the total employee representatives exceed eight. This creates a potential conflict: the Council must decide which of its own appointees to axe, likely influenced by the Board and the Staff Association, who have the majority of votes. Smaller unions may be squeezed out.

Fifth, the minority report provision (regulation 13) only applies to resolutions that are “in relation to a report to be made by the Council to the Board”. It does not apply to internal resolutions or to reports to other bodies. So a dissenter on an internal procedural vote has no right to have their views recorded. Also, the requirement is to provide a “statement in summary form”. The summary might not capture the full strength of dissent and could be watered down by the majority who prepare it. The regulation does not say who drafts the summary; presumably it is the dissenting members themselves, but the text is ambiguous.

Sixth, the acting appointment provisions (regulation 9) require that the Board, organisations, or Council appoint acting members in writing. Verbal arrangements are not sufficient. Also, for acting appointments by the Council for a representative of another registered organisation, the recommendation must come from the registered organisation itself. If that organisation ceases to exist or refuses to cooperate, no acting appointment can be made, potentially leaving a seat vacant indefinitely.

Seventh, the regulations do not prescribe term limits for members. A member appointed under regulation 7(1) or 7(2) serves until resignation, removal, or death. The Board could theoretically remove its own appointees at will, but the regulations are silent on removal. This gives the Board flexibility but also uncertainty. The CSIRO Staff Association may also remove its appointees without cause. There is no stability guarantee.

Eighth, the Council is given broad power to “regulate the conduct of proceedings at its meetings as it thinks fit” (regulation 11(8)). This could be used to impose gag rules, limit debate, or exclude press. Combined with the ability to invite outsiders (regulation 11(9)), the Council could become quite closed. This discretion could be abused to stifle dissent, though the minority report rule and the ability of the employee side to block quorum provide some checks.

Compliance with these regulations requires attention to appointment processes, meeting management and reporting obligations. For CSIRO’s Board and management, the first step is to nominate and appoint the Chairperson and up to seven ordinary members to the Consultative Council under regulation 7(1). Appointments should be in writing and recorded in Board minutes. The Board should also ensure that the CSIRO Staff Association is formally invited to appoint its representatives (up to five). The Association will handle its own internal process. The Chairperson of the Board or a designate should maintain a current register of all Council members, including their appointing body and the date of appointment.

When the Council makes an appointment under regulation 7(3) for a nominee from another registered organisation, it must ensure that the total number of employee representatives from s7(2) and s7(3) does not exceed eight. If the number exceeds eight, the Council must terminate the required number of s7(3) appointees, prioritising those it appointed last or as agreed. This step should be taken promptly, as regulation 7(5) uses “as soon as practicable”. The Council should hold a meeting (even if informal) to make this decision. The quorum for such a meeting can be based on the existing membership before the reduction; the Chairperson and a majority of Board appointees and employee representatives will likely suffice.

For acting appointments, the Board or relevant organisation should issue a written instrument (regulation 9). A recommended template should specify the name of the acting member, the position being filled, the reason (vacancy or absence), and the period. For acting appointments by the Council under s9(3), the Council must first obtain a recommendation in writing from the registered organisation that nominated the absent member. Without that recommendation, the appointment is invalid. Counsel should maintain a file of these instruments.

Meeting compliance is critical. The Council must meet at least once per financial year (regulation 11(1)). The Chairperson must convene a meeting if the Council passes a resolution to that effect or if the Board directs it. Compliance with the quorum rule (regulation 11(4)) is strict: the Chairperson (or Deputy) plus nine others, comprising four Board nominees and five employee reps. The meeting convenor should check attendance before proceeding. If the required composition is not met, the meeting should be adjourned. Minutes should record the members present and confirm quorum. Voting is by majority, and any resolution that will form a report to the Board must trigger the minority report procedure. If the vote is not unanimous, the Council must ensure that the report is accompanied by a summary of dissenting views. This summary should be prepared by the dissenting members, or if they decline, the Chairperson may request that they submit it within a reasonable time. The Council should attach the summary to the report without editing.

The Council may conduct inquiries under regulation 12. It can establish subcommittees or assign individual members. Compliance requires a clear terms of reference and reporting back to the full Council. Inquiries must be necessary for “full and proper consideration” of a matter; that standard is subjective to the Council but should be documented.

Finally, the Council should maintain records of all appointments, meeting minutes, reports, minority statements and any written instruments for acting appointments. These records will be subject to the Archives Act 1983 and potentially FOI requests. Under the PGPA Act, CSIRO must maintain proper books and records, so the Council’s documentation forms part of that obligation. The savings provision (regulation 14) has already taken effect, so transitional arrangements are no longer relevant unless a person is still serving under a deemed appointment. If the composition of the Council has changed, the Board should confirm that all existing members are properly appointed under the current regulations and if not, make fresh appointments.
