Safety, Rehabilitation and Compensation (Licence Eligibility—Toll Transport Pty Ltd) Declaration 2022

The instrument is short and revolves around a small set of legal concepts and mechanics. These are: statutory authority, definitions, declaratory eligibility, and sunset/repeal. Each concept appears in a discrete provision.

Statutory authority: s 3 records that the instrument is “made under section 100 of the Act.” The instrument therefore rests on powers conferred by the Safety, Rehabilitation and Compensation Act 1988. The instrument itself does not recite the text of s 100 of the Act; it records only the source of power.

Definitions: s 4 supplies in‑instrument definitions. The Act is defined as the Safety, Rehabilitation and Compensation Act 1988; “Toll Transport” is defined by the corporate name and by ABN 31 006 604 191 and ACN 006 604 191. These precise identifiers fix who the instrument applies to and remove ambiguity about corporate identity; they are the legal anchors for any administrative or judicial inquiry about the instrument’s application.

Declaratory eligibility: s 5 contains the operative declaration. The declarant states they are “satisfied that it would be desirable for the Act to apply to employees of Toll Transport,” and on that basis declares Toll Transport “eligible to be granted a licence under Part VIII of the Act.” Note the language: the instrument confers eligibility to be granted a licence; it does not itself grant a licence nor set licence conditions. The “desirable” language is an express factual predicate the decision‑maker records. The accompanying Note states the relevant competitive fact: Toll Transport is carrying on business in competition with a Commonwealth authority or a corporation formerly a Commonwealth authority. The instrument therefore links an assessment of desirability with a specified competitive context.

Time limitation and repeal: s 6 sets a fixed lifespan for the instrument. It provides that the instrument is “repealed the day after the end of the period of 54 months beginning on the day this instrument commences.” The compilation endnotes record the original registration and commencement dates and subsequent amendment instruments; the compiled text of s 6 is the then‑current operation of the instrument. The self‑repeal mechanism limits the ongoing legal effect of the declaration unless replaced or reissued.

Ancillary administrative concepts appear in the compilation notes and endnotes: the compilation shows the instrument was prepared by the Department of Employment and Workplace Relations and identifies amending instruments and dates of registration and commencement (endnote 3 and endnote 4). The endnotes also record that s 2 was repealed (by the Legislation Act s 48D) and that s 6 was amended by two later instruments (F2024L00233 and F2025L00116). Those entries form part of the instrument’s procedural history.

Collectively, the main concepts indicate that the instrument is an administrative declaration changing an entity’s eligibility status under a statutory licensing scheme, identified precisely by corporate identifiers and time‑bound by a statutory repeal clause. The instrument does not set licence terms, contributions, premiums, enforcement or penalties; those are matters for the Act and for the licensing process under Part VIII.

Directly affected parties

• Toll Transport Pty Ltd. The instrument names Toll Transport expressly and attaches exact corporate identifiers (ABN 31 006 604 191; ACN 006 604 191) in s 4. That precise identification means the declaration applies only to that corporate legal entity as defined. Practitioners should treat the instrument as applying to the legal entity named, not to related entities, subsidiaries or affiliates unless they are legally the same entity or covered by a separate declaration.

• Employees of Toll Transport. The declarant states the purpose is “that it would be desirable for the Act to apply to employees of Toll Transport” (s 5). The instrument’s effect is to create eligibility for a licence which, if granted under Part VIII, would result in the Act applying to Toll Transport’s employees. The instrument therefore potentially affects the legal rights and entitlements of those employees, but only through the further action (the grant of a licence) that the instrument enables.

Indirectly affected parties

• The licensing authority under Part VIII of the Act. The instrument records eligibility; the entity that actually grants or refuses licences under Part VIII will be the body that must consider applications in light of this declaration. The instrument does not itself identify or change the regulatory decision‑maker; the Act and Part VIII establish who grants licences and under what conditions.

• Commonwealth authorities or corporations formerly Commonwealth authorities. The instrument’s Note states Toll Transport is “carrying on business in competition with a Commonwealth authority or with another corporation that was formerly a Commonwealth authority.” This is a factual point recorded in the instrument and may affect comparative regulatory treatment or assessment of desirability, but the instrument does not itself alter the status of those Commonwealth authorities.

• Other employers and insurers operating in the same sector. Because the instrument potentially places Toll Transport within the licensing framework of Part VIII, other market participants will face a changed competitor profile if a licence is issued and the Act is applied to Toll Transport’s employees. The instrument itself does not specify any obligations on those third parties; the effect is contingent on licence grant and the application of Part VIII rules.

Unchanged parties and limits

• The instrument does not itself confer obligations, create penalties, or impose contributions or premiums. It declares eligibility only; any employer financial obligations, insurance arrangements, or reporting duties will derive from the Act and from the conditions attached to any licence granted under Part VIII. The instrument does not alter the legal status of employees of subsidiaries or staff of related entities unless those entities are separately captured.

• The instrument does not itself name a decision‑maker (the text uses “I declare”), but s 3 records that it is made under s 100 of the Act. The compilation does not identify the officeholder who signed the instrument; practitioners should look to the instrument’s registration and the administrative record for the identity of the declarant.

Temporal effect

• The declaration is time‑limited by s 6. The instrument commenced on 2 April 2022 (endnote 3) and, under s 6 as compiled, is repealed the day after the end of the 54‑month period beginning on commencement. Using the noted commencement date, the instrument would cease to have effect after the 54‑month period ends (see the Repeal section below for dates and the amendment history for any changes to that period). Affected parties must therefore factor expiry into planning and licensing strategies.

In sum, the principal legal stakeholders are the named corporate entity and its employees, the licensing authority under Part VIII and, indirectly, competitors. The instrument creates a conditional change in legal status , eligibility for a licence , whose downstream effects depend on subsequent administrative steps under the Act.

Duties and rights created directly by this instrument are narrow and procedural. The instrument does not itself create broad operational duties, financial obligations, or enforcement powers; instead it alters eligibility status under the Act, which in turn enables the licensing process under Part VIII to operate.

Rights conferred by the instrument

• Eligibility to be granted a licence under Part VIII. The operative right is that Toll Transport is declared “eligible to be granted a licence under Part VIII of the Act” (s 5). That eligibility is a legal predicate that enables Toll Transport to seek or be considered for a licence that can bring the Act to bear on its workforce. The instrument, however, does not itself award the licence or specify licence conditions.

• A recorded factual basis for the declaration. The instrument records the declarant’s satisfaction that it would be desirable for the Act to apply to Toll Transport employees. The Note explicitly records that Toll Transport competes with a Commonwealth authority or a corporation formerly a Commonwealth authority. Those recorded facts, while not substantive rights, can be relied on as the administrative rationale for the declaration.

Duties created or implied by the instrument

• No direct regulatory duties are imposed by the instrument itself. The text does not specify compliance requirements, reporting duties, or contribution obligations. Any duties for Toll Transport (for example, to maintain particular insurance, to report incidents, to pay levies or premiums, or to adhere to rehabilitation or compensation rules) will arise only if and when a licence is granted under Part VIII and under the Act itself. This instrument functions as a gateway rather than a regulatory instrument setting obligations.

• Administrative duty to monitor temporal limitation. Section 6 imposes a de facto duty on administrative actors and the affected entity to monitor the instrument’s lifespan. The instrument is repealed automatically the day after the end of the 54‑month period beginning on commencement. Parties affected by the declaration therefore have a temporal duty to ensure any licence processes or entitlement considerations are aligned with that timeframe.

Decision rights and discretion

• The instrument does not displace or specify the licensing authority’s discretion under Part VIII. Declaring eligibility to be granted a licence is distinct from exercising the licensing body’s discretion to grant or refuse licences under the Act. The instrument therefore preserves the licensing authority’s decision rights; it merely confirms eligibility as a precondition for licence grant consideration.

• The identity of the person who made the declaration is not explicit in the body of the instrument (it uses “I declare”), but s 3 records that it is made under s 100 of the Act. The instrument thereby records that a decision‑maker exercised the statutory power and satisfied themselves of the stated facts; administrative review or challenge would need to engage that statutory power and the factual record.

Limits and caveats

• This instrument does not itself change employees’ substantive entitlements under the Act; those entitlements only attach if a licence under Part VIII is granted and the Act is applied. The instrument therefore confers eligibility as a procedural right; substantive rights and duties come from subsequent action under Part VIII and the Act.

• The instrument contains no penalty, enforcement, or sanction provisions. Any such measures would be sourced in the Act and in the terms of any licence issued pursuant to Part VIII.

Practical implication for duties and rights

• For practitioners, the critical operational point is that this instrument is a gateway to the licence regime: it directly changes eligibility but leaves the substantive licensing process, the licence terms, and any consequent employer duties and employee rights to Part VIII and the Act. The instrument therefore should be treated as an enabling instrument rather than a rules‑setting instrument.

The instrument itself contains no penalty or enforcement provisions. It is declaratory and procedural in form; it designates an entity as eligible to be granted a licence under Part VIII of the Act (s 5) and provides a finite lifespan (s 6). There are therefore three immediate source‑grounded statements to make about penalties and enforcement.

1. No penal or enforcement powers in the instrument

• The instrument does not create offences, civil penalties, infringement measures, or enforcement mechanisms. It simply records eligibility; it does not set or enforce compliance obligations. Any penal consequences related to workplace safety, rehabilitation, compensation, or licence conditions are matters for the Act and for the terms of any licence granted under Part VIII.

2. Enforcement and penalties, if any, will be found in the Act and in Part VIII

• Since the instrument refers to eligibility for a licence under Part VIII of the Act, any enforcement mechanisms, conditions, breach consequences, or sanctions that might apply to a licensed employer will derive from Part VIII and other provisions of the Act. The instrument does not alter or create those mechanisms; it operates as a procedural precursor. Practitioners must consult Part VIII and the Act for the full range of enforcement tools and penalties that could attach to a licence holder.

3. Administrative effect relevant to enforcement pathways

• The declaration recorded in s 5 may alter enforcement pathways indirectly by changing the class of entities that can hold licences under Part VIII. If a licence is granted to Toll Transport, enforcement action relevant to licensed entities under the Act may become available against Toll Transport. But until a licence is granted, the instrument alone does not create an enforcement anchor. Enforcement against Toll Transport under the Act presupposes that a licence has been granted or that other statutory bases for enforcement exist.

Ancillary procedural enforcement considerations

• Identification precision (s 4) reduces ambiguity for enforcement where a licence is issued; the ABN/ACN anchor will ensure that any compliance or enforcement action relates to the precisely named corporate entity. The instrument’s recorded factual predicate (the Note that Toll Transport competes with a Commonwealth authority or formerly Commonwealth authority) provides part of the administrative record that could be relevant in any review of the decision to declare eligibility.

• Time limit under s 6 creates a finite window in which the eligibility remains effective. If a licence is not granted before the instrument expires, subsequent enforcement options that depend on the Act applying to Toll Transport’s employees via such a licence may be time‑limited. Conversely, if a licence has been granted while the declaration was in force, enforcement will depend on the licence terms and the Act.

In sum, this instrument does not itself provide enforcement powers or penalties. Those instruments are located in the underlying statute and in any licence granted under Part VIII; the instrument simply changes eligibility status and thereby may enable licensing‑based enforcement in future.

The instrument operates as an exercise of power under an Act and interacts with that Act and the machinery for legislative instruments more generally. The compilation and endnotes provide specific pointers to these interactions.

Primary interaction: the Safety, Rehabilitation and Compensation Act 1988

• The instrument is made under s 100 of the Act (s 3). Its subject matter , eligibility to be granted a licence under Part VIII , is squarely a statutory feature of the Act. The instrument does not amend the Act, nor does it purport to displace other provisions; it operates within the framework provided by the Act.

• The instrument confers eligibility to be granted a licence under Part VIII. The substantive content of Part VIII (licence conditions, application processes, rights and duties of licence holders) is part of the Act. Therefore the instrument’s legal consequences are realised only to the extent permitted by and consistent with the Act and with Part VIII. Practitioners must read this instrument together with Part VIII and other relevant provisions to understand the operational legal regime.

Legislative Instruments Act and compilation mechanics

• The compilation notes record standard legislative instrument machinery: the compilation includes endnotes about commencement, amendment and uncommenced amendments, and notes on modifications and self‑repealing provisions. Endnote 3 records the registration and commencement dates for the instrument and its amending instruments; endnote 4 records amendment history at the provision level (for example, s 2 being repealed by LA s 48D and s 6 being amended by later instruments). These endnotes reflect the fact that the instrument is a legislative instrument and interacts with the Legislative Instruments Act and the Legislation Act 2003 for procedural requirements such as registration, publication and amendment.

Relation to competition or Commonwealth authority law

• The instrument’s Note records that Toll Transport “is a corporation that is carrying on business in competition with a Commonwealth authority or with another corporation that was formerly a Commonwealth authority.” That factual statement locates the instrument within a competition context relative to Commonwealth authorities. The instrument does not itself alter the legal status of the Commonwealth authority or change general competition law; it simply records the competitive relationship as part of the declarant’s rationale. Any implications for competition law, procurement or other Commonwealth statutes are not addressed in the instrument itself and would require analysis of those other statutes.

Interplay with administrative law

• As an administrative instrument made under the Act, the declaration is subject to standard administrative law principles: it is an exercise of statutory power, it must be lawful, and it may be subject to judicial review on grounds available under administrative law. The instrument’s text records the factual predicate (“being satisfied that it would be desirable…”) which forms part of the administrative record. The compilation notes that the instrument was prepared by the Department of Employment and Workplace Relations, indicating the administrative ownership of the instrument.

Temporal interaction with amendment instruments

• The instrument has been amended since registration (see endnote 3 and 4). The compilation shows amendments registered in February 2024 and February 2025, which suggests it interacts with later legislative instruments that changed aspects of the declaration, notably s 6. The endnotes indicate s 6 was amended by instruments F2024L00233 and F2025L00116. Practitioners must therefore consult the most recent instrument text and the amendment history recorded in the compilation to understand the law as in force.

Limits on interaction

• The instrument does not modify other Acts in text; it operates within the Act and as a legislative instrument. It contains no express saving or transitional provisions within its four operative sections; any cross‑Act consequences will flow from how the Act and Part VIII operate when a licence is granted.

In summary, the instrument interacts primarily with the Safety, Rehabilitation and Compensation Act 1988 (and Part VIII in particular), with legislative instrument procedures under the Legislation Act (as evidenced in the compilation notes), and with administrative law processes. It records a competition‑related factual predicate but does not itself modify competition or other Commonwealth laws.

The compilation includes endnotes that record the instrument’s amendment history and registration/commencement details. Those entries form the only source‑grounded account of the instrument’s amendments and timing.

Original registration and commencement

• The original declaration instrument was registered on 1 April 2022 (F2022L00477) and commenced on 2 April 2022, according to Endnote 3 (Legislation history). That is the entry point for the instrument’s 54‑month lifespan as set out in s 6 of the compiled text.

Subsequent amending instruments

• Safety, Rehabilitation and Compensation (Licence Eligibility,Toll Transport Pty Ltd) Amendment Instrument 2024, registered 28 February 2024 (F2024L00233), commenced on 29 February 2024 (Endnote 3). The amendment history recorded in Endnote 4 shows that s 6 was amended by this instrument.

• Safety, Rehabilitation and Compensation (Licence Eligibility,Toll Transport Pty Ltd) Amendment Instrument 2025, registered 11 February 2025 (F2025L00116), commenced on 12 February 2025 (Endnote 3). Endnote 4 records that s 6 was amended by this instrument as well.

• The compiled text that you have in front of you is Compilation No. 2, with compilation date 12 February 2025 and includes amendments up to F2025L00116. That indicates the version of the instrument at that compilation date reflects the amendments made by the 2024 and 2025 amendment instruments.

Specific provision history recorded

• Endnote 4 provides a provision‑by‑provision amendment history summary. It records that:

  • s 2 was repealed by the Legislation Act s 48D (entered as “s 2 rep LA s 48D”).
  • s 6 was amended by F2024L00233 and F2025L00116 (entered as “s 6… am F2024L00233; F2025l00116”).

• The main body of the compiled instrument does not contain a labelled s 2; it moves from s 1 to s 3, which aligns with the endnote entry that s 2 was repealed under the Legislation Act. Users should consult the Legislation Register and the specific amending instruments if they require the pre‑amendment text or the reasons for those amendments.

Notes on compilation and uncommenced amendments

• The compilation preface states it shows the text of the law as amended and in force on 12 February 2025. It also warns that uncommenced amendments are not shown; any uncommenced amendments affecting the law are accessible on the Legislation Register. Endnote 1 explains that modifications (changes made by other laws that do not amend the text) may not be shown directly in the compilation.

Practical significance of the amendment history

• The amendment history highlights that the instrument’s temporal provisions (s 6) have been modified since original registration. Practitioners must therefore check the current in‑force instrument as published in the Federal Register of Legislation to confirm the exact current text and any further amendments after the compilation date.

• The compilation records the administrative provenance (prepared by the Department of Employment and Workplace Relations) and the procedural history (registration and commencement dates). These entries are part of the authoritative legislative history for the instrument.

In short, the instrument was first registered and commenced in April 2022 and was subsequently amended in February 2024 and February 2025, with those amendments affecting at least the repeal clause (s 6). The compiled text reflects those amendments up to 12 February 2025. For pre‑amendment versions or to check for later changes, consult the Legislation Register entries referenced in the endnotes.

The compiled instrument and its endnotes do not record any litigation history. There are no cases, judgments, or tribunal decisions cited in or appended to the instrument or the endnotes. The compilation’s endnotes provide legislative history and amendment details only; they do not include judicial treatment.

Practical implications for practitioners

• Absence of recorded litigation: The absence of any litigation references in the compilation means that there is no instrument‑specific case law recorded in the instrument’s endnotes up to the compilation date (12 February 2025). That does not preclude judicial or tribunal proceedings arising after that date. It also does not prevent administrative review or judicial review challenges to the instrument’s making or to the subsequent grant/refusal of a licence under Part VIII.

• How litigation might arise: If interested parties sought to challenge the declaration (for example, on administrative law grounds such as failure to take into account a relevant consideration, jurisdictional error, or absence of procedural fairness, depending on the applicable legal test), proceedings would need to engage the statutory power under s 100 of the Act and any applicable administrative law principles. Any such litigation would be recorded separately in court or tribunal databases and would not automatically appear in the instrument’s compilation endnotes.

• Litigation on licensing outcomes: Courts or tribunals could also be engaged if a licence under Part VIII is granted or refused and aggrieved parties seek review of licensing decisions. Such litigation would typically involve application of the Act, its Part VIII provisions and any administrative law grounds. Again, no such litigation is recorded in the compilation.

• Due diligence imperative: Practitioners advising Toll Transport, its employees, insurers or competitors should therefore treat the instrument as an administrative instrument with potential reviewability under administrative law, but must search court and tribunal records or legal databases to determine whether any litigation has in fact occurred since the compilation date.

In summary, the compilation contains no litigation history; practitioners seeking to assess legal risk in relation to this instrument should perform independent searches of judicial and tribunal records beyond the compilation to identify any proceedings involving the declaration, its making, or licensing decisions under Part VIII.

The instrument is concise, but several practical and legal pitfalls arise from its form and limited scope. These “gotchas” are matters of legal mechanics, timing, scope and record. Each is grounded in the instrument text and the compilation endnotes.

1. Eligibility is not the same as grant

• The instrument declares Toll Transport “eligible to be granted a licence under Part VIII of the Act” (s 5). It does not grant a licence, specify licence conditions, or impose the Act upon Toll Transport’s employees by the act of declaration alone. Parties who assume the Act already applies to Toll Transport’s employees by reason of this instrument will be mistaken. Proper analysis must track whether and when a licence under Part VIII is actually granted.

2. Identity must match precisely

• The instrument identifies Toll Transport by name and by ABN/ACN in s 4. Only the named legal entity is covered. Employers that use trading names, operate through related entities, or have restructured should note the instrument applies only to the corporate entity with the ABN/ACN listed. Reliance on this instrument for related but distinct corporations can be misplaced.

3. The instrument is time‑limited and has been amended

• Section 6 provides for repeal “the day after the end of the period of 54 months beginning on the day this instrument commences.” The compiled instrument commenced on 2 April 2022 (endnote 3). Practitioners should not assume indefinite effect. Moreover, s 6 itself was amended by later instruments (F2024L00233 and F2025L00116) as recorded in endnote 4. The content of those amendments matters: the current compiled text must be checked against the Legislation Register to ensure no further adjustments have occurred. Misreading the current expiry can lead to missed deadlines or incorrect assumptions about eligibility windows.

4. The instrument does not specify the decision‑maker’s identity

• The text uses first person (“Being satisfied … I declare …”) but does not identify the officeholder in the body of the instrument. The compilation notes will indicate registration and administrative provenance (prepared by the Department of Employment and Workplace Relations), but if a party needs to plead or challenge the decision, obtaining the instrument’s executed copy or administrative record is necessary to identify the decision‑maker and the factual basis relied upon.

5. No immediate financial or compliance obligations in the instrument

• Because this instrument does not set licence conditions, fees or contributions, relying parties cannot treat it as creating immediate financial obligations or as a substitute for consulting the Act and Part VIII. Assumptions that eligibility automatically brings obligations for compensation contributions or premiums are premature; those obligations flow from licence terms under the Act.

6. The instrument records a competition fact but does not itself alter other legal regimes

• The Note states Toll Transport competes with a Commonwealth authority or a corporation formerly a Commonwealth authority. This fact explains the declarant’s rationale but does not itself change procurement, competition or Commonwealth authority law. Parties who infer broader regulatory change from that note risk overstating the instrument’s legal footprint.

7. Amendments and missing provisions

• Endnote 4 records that s 2 was repealed under the Legislation Act s 48D. The body of the instrument shows a numbering gap (s 1, s 3). Users should be alert to such numbering or structural changes in compiled instruments and consult earlier versions if they need the text that was repealed.

8. Administrative review and judicial review pathways

• The instrument’s brevity might be exploited in litigation or review by parties seeking further explanation of the decision‑maker’s satisfaction and factual findings. Because the instrument provides only a short factual note, administrative records or reasons in the file will be crucial in any review. Parties lacking access to the administrative file should not presume that the Note is exhaustive of the reasons.

9. Confusion over commencement and registration dates

• The compilation records registration and commencement dates (registered 1 April 2022; commenced 2 April 2022) and later amendment registration/commencement dates (February 2024 and February 2025). Practitioners should not rely on the registration date alone to compute expiry; the instrument ties repeal to the day this instrument commences (s 6). Always use the commencement date in the instrument to calculate any temporal deadlines.

10. Compilation warnings about uncommenced amendments and modifications

• The compilation preface warns that uncommenced amendments are not shown and that modifications made by other laws may not be visible in the compiled text. Users relying solely on the compiled instrument should confirm on the Legislation Register whether additional instruments or modifications affect the instrument’s operation.

These are practical points that follow from the instrument’s wording and the compilation notes. They show where common misunderstandings can arise and what specific items require careful confirmation before taking action based on this instrument.

Compliance in relation to this instrument has a narrow, procedural focus because the instrument confers eligibility rather than obligations. The steps below are a pragmatic checklist for Toll Transport, advisers, and other interested parties, grounded in the instrument text and the compilation endnotes.

1. Confirm entity identity and corporate particulars

• Verify that Toll Transport Pty Ltd’s ABN (31 006 604 191) and ACN (006 604 191) match the corporate identity recorded in s 4. If corporate restructuring, mergers, name changes, or transfers have occurred, confirm whether the named legal entity remains the relevant operating entity. The instrument applies only to the legal entity as defined.

2. Understand the distinction between eligibility and licence grant

• The instrument confers eligibility to be granted a licence under Part VIII (s 5). It does not itself grant a licence. To obtain the rights and to trigger any duties under the Act, a licence must be granted under Part VIII. Accordingly, Toll Transport should consult Part VIII of the Act to understand application procedures, documentary requirements, and the licensing decision‑maker.

3. Apply for a licence under Part VIII if the intention is to be covered

• If the commercial or compliance objective is for the Act to apply to Toll Transport’s employees, an application for licence under Part VIII should be prepared in accordance with the Act and any statutory or administrative guidance that implements Part VIII. The declaration should facilitate eligibility, but the licensing authority retains discretion to grant or refuse.

4. Track dates and lifespan of the instrument

• Use the commencement date to calculate the end of the 54‑month period in s 6. The compiled instrument commenced on 2 April 2022 (endnote 3). Under s 6 the instrument is repealed the day after 54 months from commencement. That means the instrument would cease to be in effect after the relevant date (calculate precisely for planning). Also monitor subsequent amending instruments (the compilation records amendments in 2024 and 2025) and consult the Legislation Register to confirm the current in‑force text.

5. Maintain and obtain the administrative record

• The instrument records the declarant’s factual satisfaction as the basis for the declaration. For purposes of administrative review or for documentary proof that the eligibility was declared, obtain a copy of the executed instrument and any administrative file or reasons that explain the factual basis (for example, the competition fact relied upon in the Note). The compilation notes that the instrument was prepared by the Department of Employment and Workplace Relations; that department is a likely starting point for administrative records.

6. If licence is granted, obtain and comply with licence terms

• The Act and Part VIII will specify licence conditions, duties and potential penalties. If a licence is granted, obtain a certified copy of the licence and map out compliance obligations, reporting duties and any financial contributions or insurance requirements referred to in the licence. The instrument itself imposes none of those obligations.

7. For insurers and advisers: model the contingency

• Insurers, actuaries and advisers should treat the instrument as a contingent change in legal exposure for Toll Transport’s workforce. Pricing, premium models and risk assessment should account for the possibility that a licence will be granted and the Act will apply to employees. However, because the instrument does not itself create financial obligations, models should reflect the contingent nature of the outcome.

8. For competitors and public authorities: monitor market effects and procurement obligations

• Competitors or Commonwealth authorities that interact commercially with Toll Transport should note the recorded competitive fact in the instrument’s Note and monitor whether a licence is actually granted. If a licence is granted and the Act applies to Toll Transport’s employees, there may be downstream compliance or operational implications in contractual arrangements.

9. Confirm no immediate enforcement exposure

• Because the instrument creates eligibility only, it does not expose Toll Transport to immediate enforcement under the Act unless and until a licence is granted. Parties should therefore avoid assuming enforcement steps are automatically available on the basis of the instrument alone.

10. Keep the instrument under review for amendments and legal developments

• The compilation records amendments in February 2024 and February 2025. Practitioners should check the Federal Register of Legislation for any later amendments, uncommenced provisions, or related legislative instruments that could alter the instrument’s effect, expiry or operational mechanics.

Checklist summary

• Verify ABN/ACN and corporate identity (s 4).
• Confirm commencement date and calculate expiry under s 6 (use compilation endnote 3).
• Apply for licence under Part VIII if desired; do not assume licence is granted by the declaration (s 5).
• Obtain administrative file and executed instrument for evidentiary purposes.
• If licence granted, obtain licence terms and map compliance obligations under the Act.
• Monitor amendments and register entries (endnotes record F2024L00233 and F2025L00116).

These steps are procedural and instrument‑specific: because the instrument confers eligibility rather than substantive obligations, compliance is primarily about using the eligibility in the correct statutory pathway (Part VIII) and observing the instrument’s temporal and identity constraints.
