What it does
This Act is South Australia’s legislative mechanism for referring constitutional power over corporations and financial products and services to the Commonwealth Parliament under section 51(xxxvii) of the Constitution. It does not itself regulate corporations; rather, it enables the Commonwealth to enact and amend the Corporations Act 2001 and the Australian Securities and Investments Commission Act 2001 so that those laws apply of their own force in South Australia. Before this Act, the Corporations Law was applied in each state by separate state legislation, creating a patchwork that required constant coordination. The referral replaces that model with a single Commonwealth statute that operates directly within the state.
The Act creates two distinct references. The initial reference under section 4(1)(a) refers the matters contained in the “tabled text” - the text of the proposed Corporations Bill 2001 and ASIC Bill 2001 as tabled in the New South Wales Legislative Assembly. The Commonwealth may enact laws in the terms, or substantially in the terms, of that text, and those laws become the Corporations legislation. The amendment reference under section 4(1)(b) refers the matters of the formation of corporations, corporate regulation and the regulation of financial products and services, but only to the extent of making express amendments to the Corporations legislation. This second reference allows the Commonwealth to amend the Corporations Act directly without needing a fresh referral from each state each time.
Both references are conditional. They operate only to the extent that the referred matters are not already within Commonwealth legislative power (otherwise than by section 51(xxxvii)) and are within the legislative power of South Australia. Section 4(2) makes this explicit. The Act also clarifies that the references are not subject to any condition restricting Commonwealth amendment power (section 4(4)), ensuring the Commonwealth can amend the legislation using its own existing powers (such as the corporations power in section 51(xx) of the Constitution) as well as the referred power.
