Rural Industry Adjustment and Development Act 1985

The Act centres on a small set of statutory concepts that determine who can receive assistance, how the Fund is capitalised and spent, and the locus of decision-making.

• The Fund. The statutory Fund is the Rural Industry Adjustment and Development Fund, established “at the Treasury” (s 5(1)). It is the accounting vehicle into which authorised amounts are paid and from which authorised loans, grants and certified administration expenses are paid (s 5(2)-(3)). The Fund is distinct from other statutory funds that may be declared funds (see below).

• Declared fund. This term is defined to include the Rural Industry Assistance Fund, the Rural Industry Adjustment Fund and any other fund that the Minister may declare by Gazette notice to be a declared fund (s 4). The Act contemplates transfers from declared funds into the Fund where a declared fund’s balance exceeds the Minister’s view of the “relevant amount” (s 6(1)-(2)).

• Relevant amount. The “relevant amount”, in relation to a declared fund, is an amount that the Minister, in the Minister’s opinion, considers adequate to meet the State’s obligations under the Act that established the declared fund (s 6(2)). This definition makes the threshold for transfers an opinion-based test vested in the Minister.

• Farmer. The Act defines “farmer” narrowly as a person engaged in the growing of crops or the rearing of animals in South Australia; “farm” and “farming” have corresponding meanings (s 4). This definition sets the class of primary producers that the Act targets for direct farm loans and assistance measures.

• Loans and Grants. The Minister is empowered to make loans (s 8) and grants (s 9). Loans can be made to farmers for farm development or adjustments to farming methods to improve efficiency or management, and to “any person” for projects or research for the benefit of farmers or classes of farmers (s 8(1)). Grants can be made to fund projects or research for the benefit of farmers, to assist development of farming, or to assist development of geographic parts of the State for farming (s 9(1)).

• Conditions and security. Loans are subject to conditions: inability to obtain loans on reasonable terms elsewhere, security as required by the Minister, prospects of financial viability for farmer loans, triennial review of interest rates that are below commercial levels, and other Ministerial conditions (s 8(2)(a)-(d)). Grants are conditional on compliance with Ministerial conditions (s 9(2)).

• Delegation and administration. The Minister may delegate powers and functions under the Act, subject to conditions and revocability (s 12). The Treasurer must certify administration expenses paid from the Fund (s 5(3)(b)). The Auditor-General audits Fund accounts at least annually (s 14). The Minister must cause proper accounts to be kept and an annual report to be laid before each House of Parliament (ss 14-15).

• Compliance and enforcement. Applicants must apply in writing and provide all information required by the Minister (s 10). Knowingly providing false or misleading information in connection with an application is an offence carrying a penalty not exceeding $1 000 (s 10(3)). Persons involved in administering the Act are prohibited from unauthorised disclosure of applicant information, with specified exceptions, punishable by $1 000 (s 11). The Act states offences are summary offences (s 13).

These concepts distribute authority primarily to the Minister, with financial auditing and legislative reporting obligations providing external oversight. Several of the Act’s definitions and tests are opinion- or discretion-based, for example the Minister’s opinion determining a declared fund’s “relevant amount” (s 6(2)), and the Minister’s satisfaction thresholds for loan eligibility (s 8(2)(a)).

The Act creates financial, administrative and compliance effects for a circumscribed set of participants. The primary legal and practical stakeholders are:

• Farmers (as defined). The Act's direct assistance categories for loans and development focus on “farmers”, which the Act defines as persons engaged in growing crops or rearing animals in South Australia (s 4). Farmers within that definition can apply for loans intended to develop a farm or adjust farming methods to improve efficiency or management (s 8(1)(a)). Farmers are also potential indirect beneficiaries of grants that fund projects or research for their benefit (s 9(1)(a)).

• Any person proposing project or research for farmers. The Act permits loans and grants not only to farmers but to “any person” undertaking projects or research for the benefit of farmers or classes of farmers (s 8(1)(b), s 9(1)(a)). This captures researchers, industry bodies, service providers and other entities that submit proposals targeted at farmer benefit.

• The Minister. The Minister is the central decision-maker: authorising payments into and out of the Fund (ss 6-7), making loans and grants and imposing terms and required securities (ss 8-9), declaring other funds to be declared funds by Gazette notice (s 4), and delegating powers (s 12). The Minister also has an opinion-based role in determining “relevant amount” and whether a person could obtain finance on reasonable terms elsewhere (s 6(2), s 8(2)(a)(i)).

• Treasurer. The Treasurer has a role in certifying that administration expenses have been incurred before payment from the Fund (s 5(3)(b)). That certification function gives the Treasurer an approval checkpoint for administrative spend from the Fund.

• Auditor-General. The Auditor-General may audit the Fund accounts at any time and must audit at least once each year (s 14(2)). This provides an external financial oversight mechanism.

• Parliament. The Minister must prepare and table an annual report on administration of the Act and the Fund, including the audited statement of accounts for the reporting period, and table it within 14 sitting days of receipt (s 15). Both Houses of Parliament receive the report.

• Applicants and persons engaged in administration. Applicants are required to apply in writing and furnish all information the Minister requires (s 10). Persons engaged in administering the Act have a statutory confidentiality obligation concerning information furnished in applications, subject to limited exceptions and a $1 000 penalty for unlawful disclosure (s 11).

• Declared funds and their administrators. Administrators of funds identified as declared funds are implicated indirectly, because the Minister may transfer surplus balances from those declared funds into the Fund if the Minister forms the requisite opinion that the declared fund’s balance exceeds a “relevant amount” (s 6). The Act names two declared funds by definition: the Rural Industry Assistance Fund and the Rural Industry Adjustment Fund (s 4).

Each affected party bears particular obligations and faces specified limits. Farmers and other applicants face compliance requirements and potential penalty exposure for false information (s 10). The Minister bears discretion and administrative responsibilities, including record-keeping, reporting and ensuring loans are secured and reviewed where interest is concessional (ss 8, 14, 15). The Treasurer and Auditor-General have statutory certification and audit roles that channel administrative accountability without prescribing substantive policy choices about whom to fund.

The Act establishes a set of statutory duties and rights for the Minister, applicants, the Treasurer, the Auditor-General and persons administering the Act.

Ministerial duties and powers

• Establish and control the Fund. The Minister establishes the Fund at Treasury (s 5(1)) and may authorise payments into or out of the Fund (ss 6-7). The Minister may authorise payment into the Fund from declared funds where the declared fund’s balance exceeds the Minister’s opinion of the relevant amount (s 6(1)-(2)). The Minister may authorise payments out of the Fund for loans and grants (s 7).

• Loan and grant powers. The Minister may make loans and grants on terms and conditions the Minister determines (s 8(1), s 9(1)). For loans, the Minister must be satisfied that the applicant could not obtain the loan on reasonable terms elsewhere, that farmer loans have reasonable prospects of financial viability, require security, review concessional interest rates every three years, and may impose other conditions (s 8(2)(a)-(d)). Grantees must comply with Ministerial conditions (s 9(2)).

• Delegation. The Minister may delegate powers or functions to any person, subject to conditions and revocability (s 12). Delegation does not prevent the Minister from acting personally in any matter (s 12(2)(b)).

• Reporting and accounts. The Minister must maintain proper accounts for the Fund (s 14(1)), ensure the Auditor-General audits the accounts at least annually (s 14(2)), and prepare an annual report to Parliament incorporating audited accounts and table it within statutory timeframes (s 15).

Applicant duties and rights

• Application and information duties. An applicant for a loan or grant must apply in writing and provide all information required by the Minister with respect to the proposal (s 10(1)-(2)). Failure to supply requested information would impede receipt of assistance under the Act.

• Confidentiality protections and limitations. Applicants’ provided information is protected from disclosure by persons engaged in the Act’s administration, except for specified exceptions (in the course of administration, pursuant to law, or with the applicant’s consent) (s 11). This is a statutory right to confidentiality subject to listed exceptions.

• Criminal exposure for false information. Applicants who knowingly furnish false or misleading information in connection with an application commit an offence with a penalty not exceeding $1 000 (s 10(3)).

Treasurer duties

• Certification of administration expenses. The Treasurer must certify that administration expenses have been incurred before such expenses are authorised as payments out of the Fund (s 5(3)(b)). This certification function places the Treasurer in a gatekeeper role for administrative withdrawals.

Auditor-General duties

• Audit oversight. The Auditor-General may audit the Fund accounts at any time and must audit at least once a year (s 14(2)). This duty confers continuing audit scrutiny of Fund accounting and transactions.

Delegation rights and limitations

• Delegation by the Minister is permissible to any person (s 12(1)), subject to conditions and revocability (s 12(2)(a)-(b)). The Act thus permits the Minister to allocate practical decision-making to delegates but preserves Ministerial authority to act.

Parliamentary and public reporting rights

• The Minister must cause an annual report, including audited accounts, to be prepared and laid before both Houses within 14 sitting days of receipt (s 15(1)-(3)). This gives Parliament the right to consider and debate the Fund's administration.

Enforcement framework

• The Act enumerates two monetary penalty offences: false or misleading information in applications (s 10(3)) and unlawful disclosure of applicant affairs by persons administering the Act (s 11). Both carry a penalty capped at $1 000, and the Act states its offences are summary offences (s 13), which affects how they are prosecuted and heard.

The combination of rights and duties emphasises ministerial discretion in financial decision-making paired with accounting, audit, and parliamentary reporting obligations. Applicants have statutory confidentiality protections and are exposed to modest monetary penalties for knowing falsehoods. The Treasurer and Auditor-General have prescribed administrative and oversight duties that operate as checks on financial flows.

The Act contains a narrow enforcement design with limited criminal penalty exposure and administrative oversight measures. The enforcement provisions are confined to two specific penalty offences, an overarching classification of offences and statutory audit and reporting requirements.

Penalty offences and quantum

• False or misleading information. Section 10(3) makes it an offence for a person who, in connection with an application for a loan or grant under the Act, furnishes information to the Minister that the person knows to be false or misleading in a material particular. The maximum penalty stated in the Act is $1 000.

• Unauthorised disclosure. Section 11 prohibits a person who is or has been engaged in the administration of the Act from disclosing information about a person’s affairs furnished in connection with an application for a loan or grant, subject to three listed exceptions: in the course of administration of the Act, pursuant to a legal obligation, or with the consent of the person to whom the affairs relate. The penalty for contravening s 11 is $1 000.

• Summary offence classification. Section 13 states the offences constituted by the Act are summary offences. The Act does not specify procedural rules for prosecution or prosecution responsibility; those matters fall to the general criminal and summary law framework in operation in South Australia outside this text.

Administrative enforcement and oversight

• Audit role. Section 14(2) gives the Auditor-General the authority to audit the Fund accounts at any time and requires at least one audit annually. This provides an administrative oversight mechanism that can identify compliance lapses, accounting irregularities, or misuse of monies, but it is investigative and audit-focused rather than penal.

• Accounts and Treasurer certification. The Minister must cause proper accounts to be kept (s 14(1)), and the Treasurer must certify administration expenses as incurred before they are paid from the Fund (s 5(3)(b)). The Treasurer’s certification is a financial control that prevents uncertified administration expenditures being charged to the Fund.

• Reporting to Parliament. Section 15 requires an annual report on the Act’s administration, incorporation of audited accounts, and tabling before each House of Parliament within 14 sitting days of receipt. This parliamentary reporting requirement exposes the Fund’s operations to political and public accountability.

Practical enforcement features and limits

• Narrow criminal exposure. The Act’s criminal penalties are limited to false/misleading information and unlawful disclosure, both carrying an identical cap of $1 000. The Act does not create offences for misuse of loans or grants beyond the false information and confidentiality provisions, nor does it create a separate civil recovery regime or specify forfeiture conditions for non-compliant recipients. Any recovery or enforcement beyond the Act’s specific penalties would have to be pursued using general law remedies or contractually imposed conditions.

• Delegation and revocability. The Minister may delegate powers and functions to any person (s 12), and such delegations are revocable at will (s 12(2)(b)). Delegation can distribute decision-making and potentially accelerate administration. Revocability allows the Minister to rescind delegated authorities, which serves as an executive control but does not in itself create a sanctions mechanism.

• Summary procedure. Classification as summary offences means alleged contraventions proceed through summary criminal processes in South Australia. The Act does not prescribe investigative powers or administrative sanctioning avenues such as infringement notices, financial penalties beyond the fixed maxima, or civil penalty regimes.

Overall, the enforcement architecture combines modest criminal sanctions, audit and certification controls, and parliamentary reporting. The Act does not include extensive statutory civil enforcement or recovery provisions specific to loans and grants, and the principal financial controls are audit and Treasurer certification rather than a regime of pecuniary penalties, statutory forfeiture or scales of fines for varying breaches.

The Act is written to operate alongside other statutory funds, general administrative and criminal law, and parliamentary processes. The text itself contains a few explicit cross-references and implies others by operation.

Declared funds and other statutes

• The Act’s “declared fund” concept expressly incorporates other statutorily established funds. The definition of “declared fund” lists the Rural Industry Assistance Fund and the Rural Industry Adjustment Fund, and it allows the Minister to declare “any other fund” a declared fund by Gazette notice (s 4). That mechanism means the Act can draw capital from other statutory funds created under separate Acts where the Minister determines a declared fund has an excess beyond the State’s obligations under the originating statute (s 6(2)). Therefore, the Act interoperates operationally with the statutes that established those funds by permitting reallocation subject to Ministerial opinion.

• The Act’s legislative history explicitly records that it amended earlier legislation, including the Rural Industry Assistance Act 1977 and the Rural Industry Assistance (Special Provisions) Act 1971. The text of the Act provided here does not reproduce those amendments, but the history indicates the 1985 Act was enacted in a statutory environment where related rural assistance statutes existed and were adjusted by this principal Act.

Treasury, Treasurer and Auditor-General roles

• Treasury is the statutory location of the Fund (s 5(1)). The Treasurer’s certification duty for administration expenses (s 5(3)(b)) and the Auditor-General’s audit role (s 14(2)) tie the Act into broader public finance, audit and appropriation frameworks. These offices’ statutory powers and duties outside this Act will determine the practical reach of certification and audit activity; the Act provides the specific touchpoints.

Parliamentary reporting and general statutory frameworks

• The Minister’s annual reporting obligation (s 15) requires preparation and parliamentary tabled reports in accordance with the sitting-day timetable and likely interacts with parliamentary standing orders and public accounts processes. The Act does not specify further procedural detail beyond the 14 sitting-day tabling requirement after receipt of the report.

Administrative law and delegations

• The Act permits delegation of Ministerial powers to any person (s 12). Such delegations operate within the wider administrative law framework, including doctrines of lawful exercise of power, natural justice where applicable, and statutory limits on delegated authority. The Act itself does not specify detailed conditions for exercise beyond revocability and ministerially set conditions, but practical operation will be governed by general administrative law principles.

Criminal procedure and enforcement

• Penalties are expressed as monetary caps and the Act designates offences as summary (s 13). Criminal procedure, prosecution, evidentiary standards and sentencing practices will be governed by the broader criminal and summary offences framework of South Australia outside this Act.

Regulations

• Section 16 empowers the Governor to make regulations “contemplated by, or necessary or expedient for the purposes of, this Act.” Any implementing or detailed procedural rules, formats, eligibility criteria, security arrangements, or prescribed forms could therefore be created by regulation. The Act therefore anticipates subordinate legislation to fill practical gaps.

Legislative drafting and revision

• Notes in the legislative history show that later revision under the Legislation Revision and Publication Act 2002 omitted ss 2 and 3 and Schedules 1 and 2 from the published Act and amended the long title. These drafting housekeeping changes affect the published form and cross-references used in consolidated law resources.

In short, the Act is structured to sit within the South Australian public finance and administrative law framework. It creates discrete statutory hooks, declared funds, Treasurer certification, Auditor-General audit, delegation rules and a regulation-making head of power, that are designed to interact with, and be supported by, broader statutes and institutional controls outside the Act’s text.

The Act’s provided legislative history identifies the Act’s origin and a small number of later statutory housekeeping amendments.

• Principal Act details. The Rural Industry Adjustment and Development Act 1985 is recorded as Year 1985, No 68, assented on 6 June 1985 and commenced on 27 June 1985 (Gazette 20.6.1985 p2182). The Act’s long title expresses its purpose as establishing the Rural Industry Adjustment and Development Fund and for other purposes.

• Amendments to earlier statutes. The entries under “Legislation amended by principal Act” indicate that the 1985 Act amended the Rural Industry Assistance Act 1977 and the Rural Industry Assistance (Special Provisions) Act 1971. The legislative history in the supplied text does not reproduce the exact amendment clauses but records that the 1985 Act varied those prior statutes.

• Subsequent revision under Legislation Revision and Publication Act 2002. The supplied notes record later editorial amendments effected under the Legislation Revision and Publication Act 2002. Specifically, the long title was amended under that Act; sections 2 and 3 and Schedules 1 and 2 were omitted under that Act. The legislative history table marks which provisions were varied and records the omission of certain sections and schedules under the 2002 revision process. The document lists that new entries appear in bold and deleted provisions in italics, but the operative point is that the Act’s published form was subject to consolidation and revision procedures in 2002.

• No further amendments recorded in the supplied text. The material provided here does not list any subsequent substantive amendments to the operative provisions such as ss 5-16. That absence should be understood as an absence in the supplied text rather than a guarantee there have been no later amendments, this note uses only the text provided.

• Continuity with named funds. The Act’s definition of “declared fund” names the Rural Industry Assistance Fund and the Rural Industry Adjustment Fund as specific funds. Where those funds originated in earlier statutes, the 1985 Act’s legislative history indicates it adjusted or engaged with those earlier frameworks.

The amendment history as provided is therefore limited: it identifies the Act’s enactment date and commencement, records that the 1985 Act amended certain earlier rural industry Acts, and records later editorial revisions under the Legislation Revision and Publication Act 2002 which removed certain sections and schedules and altered the long title in the published version. The Act’s text supplied here should be read in light of those revision notes where applicable.

The supplied Act text contains no recorded judicial decisions, court citations or specific litigation history. It does not reference any cases, declaratory judgments, or adjudications concerning the Act’s application, nor does it record precedents or dispute outcomes. The Act’s enforcement provisions are limited to summary offences and administrative audit and reporting obligations (ss 10, 11, 13, 14, 15), but no prosecutorial or case law examples are included in the Act text supplied.

Because the source does not supply any litigation record, practitioners should not assume from this text whether, how often, or with what results the Act’s provisions have been litigated. Any assessment of litigation risk, precedent on interpretation of key terms (for example “relevant amount”, the Minister’s satisfaction tests, or the scope of confidentiality), or the enforcement appetite of prosecution authorities would require consultation of external case law databases, court records and prosecutorial practice materials not contained in the supplied statute.

The Act’s design, however, creates several topics that could give rise to disputes in practice if litigated: the Minister’s opinion-based determinations (s 6(2)), the Minister’s satisfaction test regarding inability to obtain alternative finance on reasonable terms and the viability requirement (s 8(2)(a)), the meaning and application of conditions imposed on loans and grants (ss 8(2)(d), 9(2)), the Secretariat’s confidentiality obligations and their exceptions (s 11), and the proper scope of delegation (s 12). In the absence of authorities in this text, those points remain possible litigation focal points, but this note does not supply or invent case law.

The Act’s wording yields several practical pitfalls and operation points to watch for. These are concrete technical features that create implementation, compliance or legal risk if overlooked.

1. Ministerial opinion and broad discretion

• The Act gives the Minister opinion-based control over transfers from declared funds by reference to a “relevant amount” that is defined as an amount that the Minister, in the Minister’s opinion, regards as adequate to meet the declared fund’s statutory obligations (s 6(2)). That means transfers from declared funds depend on a Ministerial judgment rather than an objective formula, concentrating capital-allocation discretion in the Minister. Practitioners should document the basis of any Ministerial opinion where transfers are significant.

2. Narrow statutory definition of “farmer”

• “Farmer” is defined as a person engaged in the growing of crops or the rearing of animals in this State, and “farm” and “farming” have corresponding meanings (s 4). This definitional scope may exclude persons engaged in other primary production activities (for example viticulture if not classed as crop-growing in the specific instance, horticulture or value-added agricultural enterprises) unless they fall within the text’s plain meaning. Applicants should confirm that their activity falls within the statutory definition before applying for a farmer-targeted loan.

3. Ability-to-obtain-finance test

• A loan under s 8 can only be made if the Minister is satisfied the person “would not be able to obtain the loan upon reasonable terms and conditions except from the Minister” (s 8(2)(a)(i)). This is a strict pre-condition. Applicants must expect to produce evidence that they cannot obtain finance on reasonable terms from commercial sources, and Ministers or delegates will make subjective assessments of reasonableness.

4. Security requirement and enforcement gaps

• The Act requires security “as the Minister requires” for repayment of loans (s 8(2)(b)). The Act does not prescribe types of permitted security, nor does it prescribe statutory enforcement remedies in the event of default. Recovery may therefore rely on contractual terms and ordinary law remedies; practitioners should ensure loan agreements specify enforceable securities and contractual default terms that operate effectively in practice.

5. Interest-rate concession review

• Where the interest charged is less than a commercial rate, the Minister must review the rate at least once every three years with a view to increasing it to commercial rates at the earliest practicable opportunity (s 8(2)(c)). The Act imposes a duty to review but phrases the outcome as an objective (“with a view to increasing it”), not an obligation to increase immediately. Lenders and borrowers should track review timelines and the Minister’s stated “view”.

6. Confidentiality exceptions

• Confidentiality for applicant information is statutory, but subject to three clear exceptions: in the course of administration, pursuant to law, or with consent (s 11). The “in the course of administration” exception is broad and likely permits routine internal disclosure to delegates, advisers and auditors. Parties should not assume absolute secrecy; they should seek express consent clauses where necessary and treat internally disclosed material as subject to statutory confidentiality but not immutable secrecy.

7. Modest penalty quantum

• The monetary penalties for providing false information or unlawful disclosure are capped at $1 000 (ss 10(3), 11). The relatively modest quantum may not be a strong deterrent for economically significant applicants or administrators. The Act does not specify additional civil penalties or recovery mechanisms specific to misuse of funds, so administrative or contractual enforcement will be important.

8. Delegation revocability

• Delegation is revocable at will and may be subject to conditions (s 12(2)). A delegate’s authority may be withdrawn without notice, which can disrupt applicants dealing with delegated officers. Contractual arrangements should include mechanisms to address changes in delegations where timing is critical.

9. Limited statutory enforcement regime over loans/grants

• The Act does not set out statutory recovery, forfeiture, or suspension mechanisms for misapplied grant monies beyond the false information and confidentiality offences. Enforceability will therefore depend heavily on the terms and conditions imposed under ss 8 and 9 and on ordinary contractual and equitable remedies.

10. Reliance on regulations and broader frameworks

• The Governor is empowered to make regulations necessary or expedient for the Act (s 16). Practical details likely to be material for compliance, such as application forms, procedural timeframes and prescribed conditions, might sit in subordinate regulations or administrative practice rather than the Act. Applicants and advisers should check applicable regulations or instruments made under s 16 and any administrative guidelines.

Each “gotcha” flows from an explicit provision in the Act. Parties should plan for Ministerial discretion, evidence requirements for finance inability, security arrangements, triennial reviews of concessional interest, statutory confidentiality limits, delegation instability, modest monetary penalties, and the likelihood that material procedural detail will be in regulation or administrative guidance rather than the Act.

Compliance under the Act requires attention to procedural steps, documentary evidence, contractual detail and ongoing reporting or review obligations. The Act places duties on applicants, on the Minister and on administering officials; compliance for applicants and administrators involves meeting written application, information and security requirements and abiding by the conditions of any assistance.

Practical steps for applicants (farmers and project proponents)

1. Confirm statutory eligibility. Verify that the activity falls within the Act’s definitions. For farmer-targeted loans, ensure the applicant is a person engaged in the growing of crops or the rearing of animals in South Australia (s 4) and that the proposed loan purpose falls within s 8(1)(a) or s 8(1)(b) for non-farmer projects.

2. Prepare a written application. The Act requires applications to be made in writing to the Minister (s 10(1)). Ensure the application is clear about the proposal, funding sought and how the assistance meets the Act’s stated purposes (development, adjustment of farming methods, project or research for farmer benefit).

3. Furnish full information. The applicant must provide all information required by the Minister in relation to the proposal (s 10(2)). Anticipate requests for financials, business plans, evidence of inability to obtain commercial finance, collateral details and projected viability for farmer loans. Given s 8(2)(a)(i), compile contemporaneous evidence demonstrating attempts to obtain commercial finance and the terms offered.

4. Avoid false or misleading information. Section 10(3) creates an offence and penalty for furnishing information known to be false or misleading in a material particular. Ensure all submissions are accurate, signed by authorised persons, and cross-checked against supporting documents.

5. Prepare for security requirements. Loans require such security as the Minister requires (s 8(2)(b)). Early legal and valuation advice is advisable to identify acceptable securities (mortgages, charges, guarantees) and to draft enforceable documentation.

6. Understand conditions and interest reviews. Loans and grants will carry conditions set by the Minister (ss 8(2)(d), 9(2)). If the loan rate is concessional, note that the Minister must review it at least once every three years with a view to increasing it to commercial rates (s 8(2)(c)). Budget for potential interest-rate increases at review.

7. Consider confidentiality and consent. Applicant information is protected under s 11, but disclosure may be made in the course of administration, by law, or with consent. If confidentiality is commercially sensitive, include explicit consent mechanisms and confidentiality requests in the application.

For administrators and the Minister’s office

1. Maintain proper accounts. The Minister must cause proper accounts to be kept for the Fund (s 14(1)). Implement a clear accounting system that records receipts, loan repayments, authorised transfers and certified administrative expenses.

2. Treasurer certification process. Ensure that a robust internal workflow exists to obtain Treasurer certification of administration expenses before payments are drawn from the Fund, as required by s 5(3)(b).

3. Audit readiness. Because the Auditor-General may audit at any time and must audit annually (s 14(2)), keep detailed records and supporting documentation for all Fund transactions, loans, securities, grant conditions and decisions.

4. Document Ministerial opinions and satisfaction. Given that transfer decisions from declared funds rely on the Minister’s opinion of a relevant amount (s 6(2)), and loan eligibility relies on the Minister’s satisfaction about alternative finance and viability (s 8(2)(a)), maintain documented records of the factual basis and reasoning that informed those conclusions to withstand audit or parliamentary scrutiny.

5. Use conditional delegation carefully. Delegations under s 12 may be subject to conditions and are revocable. Prepare clear delegation instruments, maintain a delegation register, and ensure delegated officers have consistent processes for assessing applications, requiring security and imposing standard conditions to reduce legal risk.

6. Reporting and timetable management. Prepare the annual report on administration of the Act and the Fund for the year ending 30 June and ensure it is completed on time so the Minister can lay it before each House of Parliament within 14 sitting days of receipt (s 15). Budget resources to incorporate audited accounts into the report.

7. Draft loan and grant documentation with enforceability in mind. Because statutory enforcement mechanisms for default are not detailed in the Act, create loan and grant agreements that set out repayment obligations, default triggers, enforcement rights over specified securities, reporting covenants and remedies.

8. Ensure regulation alignment. Check whether regulations under s 16 have been made that prescribe application forms, eligibility criteria or procedural requirements. Where regulations exist, ensure internal procedures and public guidance align with those subordinate instruments.

9. Control confidential information. Apply the confidentiality duty in s 11 by limiting disclosure to persons involved in administration unless an exception applies, logging disclosures made in the course of administration, and obtaining consents where necessary.

10. Monitor interest-rate review cycles. Where concessional rates are granted, implement a monitoring schedule to ensure the statutory triennial review of such rates occurs and to document the Minister’s “view” and any decision to increase to commercial rates (s 8(2)(c)).

Following these steps will align applicants’ and administrators’ practices with the Act’s express requirements. The emphasis in the Act on Ministerial judgement, documented reasoning, Treasurer certification and audit argues for conservative record-keeping, clear contractual documentation and pre-application evidence of finance-market attempts.
