Rural Business Development Corporation Act 2000

Approved assistance scheme: The Act confines the Corporation’s power to give financial assistance to programmes that meet the statutory definition of an approved assistance scheme (s 30). An approved assistance scheme must state the purpose and nature of assistance, identify categories of eligible persons, and be approved by both the Minister and the Treasurer (s 30(1)). Schemes may include conditions on assistance (s 30(2)). Schemes established by Commonwealth-State agreements are also taken to be approved assistance schemes if the Treasurer approves and the Minister approves administration arrangements (s 31).

Corporation as agent of the Crown: The Corporation is expressly an agent of the Crown in right of the State and carries the status, immunities and privileges of the Crown (s 6). That status may affect remedies and liabilities (see s 36 (protection from tort liability) and ss 27-28 (Treasurer guarantees and appropriation)).

Functions and powers: The statutory function list (s 7) combines operational duties (administer schemes, directly give financial assistance, provide funds to departments/agencies to give assistance) with research and policy advisory roles (s 7(1)(d)-(e)). The Corporation has “all the powers it needs” to perform its functions (s 9), and may acquire, hold and dispose of real and personal property where necessary for scheme administration (s 10). The Corporation may also deliver memorials of disposals of interests in land to the relevant Registrar, and registered memorials create restrictions on subsequent dealings without the Corporation’s consent (s 11).

Governance: A board of five directors appointed by the Minister governs the Corporation (s 12(2)). Directors must have relevant financial management qualifications or other relevant experience (s 12(3)). The board performs the Corporation’s functions in its name (s 13). Directors’ remuneration and allowances are set by the Minister on the recommendation of the Public Sector Commissioner (s 14). Schedule 1 provides detailed governance rules: terms of office, resignation/removal, meetings, quorum, voting, resolutions without meeting, remote attendance, committees, and conflicts of interest (Schedule 1, cl 1-16; cl 17-21 relates to disclosure and voting where directors have material personal interests).

Delegation and administrative arrangements: The Corporation may delegate functions to the CEO or a director (s 8(1)), and a CEO may be authorised to subdelegate (s 8(2)). Delegations must be in writing (s 8(6)). The chief executive officer is appointed under the Public Sector Management Act 1994 and administers day‑to‑day operations subject to board direction (s 19). The Corporation may engage consultants and use public sector staff or facilities under arrangement (ss 21-22).

Financial architecture: Funds comprise parliamentary appropriations, Commonwealth contributions under agreements, contributions and repayments from schemes, borrowing, specific transferred funds (Schedule 2 cl 6), fees, and any other lawful monies (s 23). Those funds are credited to the Rural Business Development Corporation Operating Account, established as an agency special purpose account under the Financial Management Act or with Treasurer approval at a bank (s 24(1)). The Account funds the Corporation’s administrative costs, assistance payments, director remuneration, any payments required under staff usage arrangements, interest and repayments on borrowings and all other lawful expenditures (s 24(2)). Borrowing from the Treasurer requires Treasurer approval and terms (s 25); other borrowing requires prior written Treasurer approval and may be limited by yearly caps approved by the Treasurer (s 26). The Treasurer may guarantee borrowings and require security before giving a guarantee (s 27). Payments by the Treasurer under guarantees are appropriated to the Consolidated Account and the Treasurer must credit recovered amounts back to that Account (s 28).

Information powers, confidentiality and privacy: The Minister generally has the right to information held by the Corporation, including copies of documents (s 17), though the Corporation may withhold information it considers confidential (s 18(1)). The confidentiality exception does not defeat information disclosure required by other written law or given with written consent of the person(s) to whom the information relates (s 18(2)). A separate confidentiality obligation attaches to directors, officers, contractors and persons whose services are used by the Corporation: they must not record, disclose or use information obtained in the course of duty except for specified purposes (s 37), with an express penalty (s 37).

Compliance and enforcement concepts: The Act creates offences and monetary penalties for willfully making false statements in applications (s 32(4)), for failing to comply with creditor information notices (s 35(2)), and for making false statements in purported compliance with creditor information notices (s 35(3)). Schedule 1 imposes a penalty for failure to disclose material interests for directors (cl 17). Regulations may prescribe additional fees, procedures, duties and penalties of up to $2,000 (s 40(2)).

Transitional continuity: Schedule 2 provides that existing applications and assistance under the repealed Act are treated as applications and grants under this Act (Sch 2 cl 7-8), and transfers funds from the repealed Act accounts into the new Operating Account (Sch 2 cl 6).

Parliamentary and audit oversight: The Corporation’s financial administration and reporting are subject to the Financial Management Act 2006 and the Auditor General Act 2006 (s 29(1)). The Minister must cause directions to be laid before each House of Parliament and included in the Corporation’s annual report (s 16(3), (7)). Additionally, the Corporation must provide the Minister with a monthly written report of operations (s 29(2)).

Directly affected parties

• Applicants/recipients of financial assistance: Any person who may fall within the categories identified by an approved assistance scheme is eligible to apply for financial assistance only in the manner approved by the Corporation (s 30(1)(b); s 32(1)). Applicants are subject to document disclosure requirements (s 32(2)), may be refused for failure to comply (s 32(3)), and face a penalty of $10,000 for wilfully making false statements or providing false information in relation to an application (s 32(4)). The Corporation may refuse applications inconsistent with scheme provisions or ministerial directions (s 32(5)-(6); s 33).

• Creditors of applicants: The Corporation may require a creditor of an applicant to provide documents or information in the creditor’s possession or control relevant to the Corporation’s purposes (s 35(1)). Failure to comply within 28 days without reasonable excuse attracts a maximum penalty of $5,000 (s 35(2)), and making false statements in purported compliance attracts a penalty of $10,000 (s 35(3)). Creditor cooperation thus can be compelled operationally.

• The Corporation’s board, directors and officers: Directors and officers are subject to obligations on disclosure of material personal interests (Schedule 1 cl 17-21) including monetary penalty for non‑disclosure (cl 17). Directors must meet experience qualifications (s 12(3)), and the chief executive officer cannot be a director (s 12(5)). Officers and persons engaged by or whose services are used by the Corporation are subject to confidentiality requirements (s 37). Directors are remunerated and must have their remuneration determined by the Minister on the Public Sector Commissioner’s recommendation (s 14).

• The Minister and Treasurer: The Minister approves schemes (s 30), may give general written directions on administration (s 16(1)) subject to limits on directions that relate to particular persons or applications (s 16(2)), must lay directions before Parliament (s 16(3)-(6)) and is entitled to information in the Corporation’s possession (s 17). The Treasurer approves borrowing under ss 25-26, may guarantee borrowings (s 27) and appropriation effects are specified where the Treasurer pays under a guarantee (s 28). Both the Minister and the Treasurer are gatekeepers of key financial and policy levers.

• Departments, agencies and instrumentalities: The Corporation may provide moneys to a department, agency or instrumentality to give financial assistance under a scheme (s 7(1)(c)). Those bodies may administer approved schemes with Ministerial approval; however, such schemes administered by another entity are not administered on behalf of the Corporation (s 7(2)).

Indirectly affected parties

• State taxpayers and the Consolidated Account: Parliamentary appropriations (s 23(a)) and potential payments by the Treasurer under guarantees (s 28) expose public finances to the costs of scheme administration and borrowings. The Treasurer’s guarantee and appropriation mechanism (ss 27-28) create contingent fiscal exposure that falls on the Consolidated Account if triggered.

• Registered proprietors and prospective purchasers of land: Where the Corporation disposes of an estate or interest in land under a scheme, the Corporation may deliver a memorial to the relevant Registrar which, when registered, prohibits registration of instruments effecting transfers, assignments or leases of the land without the Corporation’s consent (s 11(2)-(3)). The Registrar may register transfers only upon appropriate authorisation signed by the chairman (s 11(4)). These mechanics can impede title transactions while the Corporation’s memorial remains on the register.

• Lenders and secured parties: The Act requires the Corporation to secure repayments by “the best and most appropriate security” in each case, which may be subordinated to other securities (s 34(1)). This creates possible priority and enforcement consequences for lenders and may affect the nature of finance available to prospective assistance recipients.

• External contractors and consultants: The Corporation may engage consultants with Ministerial approval (s 21). Those contractors will be subject to confidentiality obligations under s 37 when engaged by the Corporation.

Who pays and who decides

• Who pays: Assistance may be funded from parliamentary appropriations (s 23(a)), Commonwealth contributions under agreements (s 23(b); s 31), repayments and interest (s 23(d)), borrowings (ss 25-26), fees (s 23(g)) and other lawful revenues (s 23(h)). The Consolidated Account may be charged where the Treasurer pays under a guarantee (s 28(2)). Thus costs are shared between the State (appropriations, guarantees), possible Commonwealth funds under agreements, borrowers/recipients through repayments and fees, and on‑balance the Corporation’s own borrowings.

• Who decides: The Minister and the Treasurer have decisive roles. The Minister approves schemes and appoints directors and chairman (ss 12(2), 30(1); s 16), can give general directions which the Corporation must follow (s 16(1)), and has statutory rights to information (s 17). The Treasurer approves borrowing and may guarantee borrowings (ss 25-27). The board is statutorily mandated to govern the Corporation and perform its functions (s 13), and the chief executive officer administers day‑to‑day operations subject to board control (s 19).

Potential behavioural changes induced by the Act

• Applicants will be required to provide greater documentary transparency and may face restrictions (including criminal penalties) if they provide false information (s 32(2)-(4)).

• Creditors may become subject to information demands by the Corporation and must respond within 28 days or face penalties (s 35).

• Lenders may require different or higher quality securities or adjust lending terms to accommodate subordination possibilities (s 34(1)) and Registrar memorials under s 11.

• Public servants may be seconded to the Corporation and retain continuity of employment rights (s 22(4)).

• The Corporation and the board will operate within the oversight frame of the Financial Management Act and the Auditor General Act, and will supply monthly operation reports to the Minister (s 29).

Duties of the Corporation and board

• Administer approved assistance schemes and ensure such schemes are “properly and fairly administered” (s 7(1)(a)). The board is the governing body and must perform the functions of the Corporation in its name (s 13).

• Only give assistance under approved assistance schemes, or for the purposes of approved schemes administered by departments or agencies with Ministerial approval (s 30(3)). Schemes must be approved by both Minister and Treasurer (s 30(1)).

• Subject to directions given under s 16(1), implement scheme provisions and comply with any Ministerial directions relating to scheme administration (s 33(2) and s 16(1)).

• Provide monthly written reports of operations to the Minister in addition to annual reports required by the Financial Management Act (s 29(2)).

• Manage funds through the Operating Account and ensure the Account is charged with statutory items: administration costs, assistance payments, director remuneration, staff arrangement payments, interest and repayments on borrowings, and other lawful expenditures (s 24(2)).

• Acquire, hold and dispose of property as necessary for scheme administration (s 10) and take security for repayments (s 34).

Duties of applicants and creditors

• Applicants must apply in the manner approved by the Corporation (s 32(1)) and comply with requests to provide documents or information for proper assessment (s 32(2)); failure to comply permits the Corporation to refuse to deal with the application (s 32(3)).

• Applicants must not wilfully make false statements or provide false information in or in relation to an application, under penalty (s 32(4)).

• Creditors must comply with written notices to provide documents or information to the Corporation within 28 days, unless they have a reasonable excuse; non‑compliance attracts a penalty (s 35(1)-(2)).

Rights and protective rules

• Ministerial oversight rights: The Minister is entitled to information in the Corporation’s possession and to make use of the Corporation’s staff to obtain information for the Minister (s 17(1)-(2)). The Minister may give general or particular written directions relating to administration and the performance of functions and the Corporation must give effect to such directions (s 16(1)); however, the Minister cannot give directions relating to a particular person, a particular application or a matter relating to a particular application (s 16(2)). The Minister must cause the text of any direction to be laid before Parliament (s 16(3)) and include directions in the Corporation’s annual report (s 16(7)).

• Confidentiality obligations and protections: The Corporation may withhold information it regards as confidential from the Minister under s 18(1), subject to exceptions for disclosure required by law or where the person to whom the information relates consents (s 18(2)). Directors, officers and contractors are under a strict statutory duty not to record, disclose or use information obtained in the course of duty except for specified purposes (s 37).

• Protection from tort liability: Persons acting in good faith in the performance or purported performance of functions under the Act are protected from tort actions (s 36(1)); the Crown and Corporation are relieved of liability arising from such acts by others (s 36(2)). The protection applies even where the action might have been possible independent of the Act and extends to omissions (s 36(3)-(4)).

• Delegation and execution powers: The Corporation may delegate functions to the CEO or a director (s 8(1)) and the CEO may delegate further to officers (s 8(2); s 20). Delegations must be in writing (s 8(6); s 20(4)). Documents may be executed under seal or by authorised signatories; seal affixation requires two directors to attest (s 38).

Board and director duties

• Board must keep accurate minutes and submit copies of minutes to the Minister within 14 days after confirmation (Schedule 1 cl 12).

• Directors must disclose material personal interests as soon as possible and have the disclosure recorded (Schedule 1 cl 17). Interested directors are disqualified from voting and presence during discussion unless the board passes a resolution to the contrary in accordance with cl 19 or the Minister declares cl 18/20 inapplicable for a specified matter (Schedule 1 cl 18-21).

Obligations related to property and land

• Where the Corporation disposes of an estate or interest in land under a scheme, it may lodge a memorial with the Registrar which restricts subsequent registration of transfers or leases without the Corporation’s consent; the Registrar may accept transfers only with appropriate authorisation signed by the chairman (s 11(2)-(4)). This creates enforceable procedural control over land dealings tied to assistance.

Regulatory and procedural duties

• The Governor may make regulations covering fees, procedures, duties and conduct of applicants, and penalties up to $2,000 for breaches of regulations (s 40(1)-(2)). The board determines its own procedures subject to the Act (Schedule 1 cl 16).

Enumerated offences and penalties

• Willfully making a false statement or wilfully providing false information in or in relation to an application for assistance: penalty $10,000 (s 32(4)). This applies to applicants under approved assistance schemes administered by the Corporation.

• Failure to comply with a written notice from the Corporation requiring a creditor to provide documents or information within 28 days: penalty $5,000 (s 35(2)). The statute allows a reasonable excuse as a defence.

• Wilfully making a false statement or providing false information in purported compliance with a creditor information notice: penalty $10,000 (s 35(3)).

• Failure by a director to disclose a material personal interest: penalty $5,000 (Schedule 1 cl 17(1)).

• Regulations may prescribe offences and penalties not exceeding $2,000 for breaches of regulations (s 40(2)(d)).

Enforcement mechanisms

• Criminal/penal enforcement: Penalties are expressed as monetary amounts; the Act contemplates prosecutions for those offences. A prosecution for an offence under the Act must be commenced within five years after the offence (s 39). The Act does not specify which prosecuting authority enforces offences; standard practice is that State prosecutorial authorities proceed.

• Administrative refusal and conditionality: The Corporation may refuse to deal with an application where the applicant fails to comply with documentary requirements (s 32(3)); may refuse an application where grant would be inconsistent with scheme provisions, agreements with the Commonwealth, or a Ministerial direction (s 32(5)-(6)); and may grant assistance on terms and conditions it considers appropriate subject to scheme provisions and Ministerial directions (s 33).

• Registrar controls on land dealings: Where the Corporation has recorded a memorial under s 11, the Registrar is prohibited from registering a transfer, assignment or lease without the Corporation’s consent (s 11(3)). This is effectively an administrative lock on land title transactions until the Corporation authorises dealings (s 11(4)).

• Compulsion of external information: The Corporation may compel creditors to provide information (s 35(1)) and may require applicants to provide documents for assessment (s 32(2)). Both powers are enforceable via penalties for non‑compliance.

• Financial enforcement: The Corporation may take security for repayments and charge applicants fees for arranging securities (s 34). The Act allows security to rank after other securities (s 34(1)), and does not limit the types of appropriate security.

• Ministerial oversight: The Minister’s power to give written directions (s 16(1)) and the statutory requirement to include directions in the annual report (s 16(7)) provide administrative levers and parliamentary transparency as indirect enforcement/oversight mechanisms.

Protections and limits on enforcement

• The Corporation and persons acting under the Act in good faith are protected from tort liability (s 36), which limits private civil suits for wrongdoing where good faith is established.

• The Minister’s authority to give directions is limited by s 16(2) which prevents the Minister giving directions relating to a particular person, application or matter relating to a particular application, thereby constraining potentially targeted administrative interference.

Audit and fiscal controls

• The Financial Management Act 2006 and the Auditor General Act 2006 apply to the Corporation (s 29(1)), meaning its financial statements, internal controls and audit processes are subject to statutory audit and financial management regimes. Monthly reports to the Minister (s 29(2)) increase frequency of oversight.

Treasurer guarantees and appropriation consequences

• The Treasurer may guarantee borrowings (s 27). Where the Treasurer makes payments under such a guarantee, those payments are charged to the Consolidated Account and are appropriated by the Act (s 28(2)). The Treasurer must credit recoveries back to the Consolidated Account (s 28(3)). These provisions set out the fiscal enforcement architecture and state liability consequences.

Practical enforcement consequences and risks

• The Act’s combination of documentcompulsion powers, monetary penalties, land registry memorials, and the taking of security creates multiple parallel enforcement routes: penal/retributive (fines and prosecutions), administrative (refusal of applications, memorials on title), contractual (security enforcement), and fiscal (Treasurer guarantees and public appropriations). The Act reserves considerable discretion to the Corporation, the board and to the Minister/Treasurer within statutory bounds.

Financial and audit law

• The Act expressly imports the Financial Management Act 2006 and the Auditor General Act 2006 regulatory framework for statutory authorities, applying the financial administration, audit and reporting requirements in those statutes to the Corporation (s 29(1)). The Corporation is therefore subject to Treasury financial management rules, requirements on special purpose accounts, audit processes and statutory reporting obligations.

Public sector employment law

• The chief executive officer is appointed under Part 3 of the Public Sector Management Act 1994 (s 19(1)). The Act also protects employment continuity where public servants’ services are used by the Corporation: a period of service used by the Corporation does not constitute a break in service for the purposes of the Public Sector Management Act or other Acts (s 22(4)). Use of public sector staff and facilities is permitted by arrangement (s 22(1)-(2)).

Property and land registration law

• Section 11 interacts directly with land registration systems administered under the Land Administration Act 1997 and the functions of the relevant Registrars. The Act defines Registrar as the Registrar of Titles or Registrar of Deeds and Transfers (s 11(1)) and authorises the Corporation to lodge memorials against titles. Those memorials constrain subsequent registration of transfers or leases except with the Corporation’s consent or with an authorisation signed by the chairman (s 11(2)-(4)). The Act therefore creates a statutory mechanism that interfaces with land title registration processes to protect the Corporation’s interests arising from assistance transactions.

Corporations law and insolvency

• The definition of an “insolvent under administration” for removing a director refers to the Corporations Act 2001 (Schedule 1 cl 2(c)). Thus corporate insolvency concepts under Commonwealth law have a role in director eligibility and removal provisions.

Commonwealth-State agreements and federal funding

• Section 31 treats schemes established under Commonwealth-State agreements as approved assistance schemes where the Treasurer approves and the scheme is administered with the Minister’s approval. The Act therefore contemplates and integrates Commonwealth funding instruments into the State’s scheme architecture, subject to Treasurer and Minister approvals.

Interpretation and transitional law

• Schedule 2 provides transitional rules dealing with continuity from the repealed Rural Adjustment and Finance Corporation Act 1993, including transfer of accounts and treatment of pending applications (Sch 2 cl 3-9). The Interpretation Act 1984 is stated to apply where relevant (Sch 2 cl 2), and provisions omitted under the Reprints Act 1984 are noted in the compilation table.

Administrative law and reviewability

• The Act confers discretionary powers (e.g. to approve schemes s 30; to grant or refuse applications s 33; to give directions s 16). While the Act does not itself set out merits review or appeal mechanisms for decisions, such decisions will typically be amenable to judicial review in the State’s administrative law framework where they involve jurisdictional error, procedural unfairness, or breach of statutory limits. The Act’s internal limits on Ministerial directions (s 16(2)) and requirements for procedural notice (s 32(6)) create statutory markers against which judicial review might be brought. The Act does not spell out review pathways; it integrates audit and parliamentary oversight via s 29 and s 16.

Criminal law and penalties

• Offences and penalties (s 32(4); s 35; Schedule 1 cl 17) are statutory and enforced under State criminal/prosecutorial processes. The Act’s five‑year limitation on prosecutions (s 39) interacts with general criminal procedural rules.

Secrecy and disclosure law

• Section 18 creates a narrow statutory confidentiality shield against Ministerial access where the Corporation considers information confidential, but that shield is qualified by other written law or by written consent. Section 37 creates statutory duties of confidentiality on officers, contractors and persons whose services are used by the Corporation, with a defined penalty. These provisions sit alongside other disclosure obligations arising under freedom‑of‑information and other statutory regimes, and the Act’s confidentiality exceptions are expressly subordinate to disclosure required or allowed by other written law (s 18(2)).

Regulatory interaction

• The Governor may make regulations under s 40 to prescribe fees, procedures, and conduct of applicants and to create regulatory offences up to $2,000. Those regulations will sit with and supplement the Act’s substantive provisions and interact with other regulatory frameworks depending on their content.

The Act has been amended and reprinted since its enactment in 2000. The compilation table and notes supplied in the source identify the following legislative changes and reprints; the list below follows the Act’s own recorded compilation history and cites the amending instruments and relevant sections as shown in the source material:

• Rural Business Development Corporation Act 2000 (No. 72 of 2000): Assent 6 December 2000; main Act came into force from 20 December 2000 for the substantive provisions (s 2 and Gazette notices cited in the compilation table).

• Corporations (Consequential Amendments) Act 2001 (No. 10 of 2001), s 220: Amended Schedule 1 cl 2 regarding removal of directors and the reference to insolvency under administration. Commenced 15 July 2001 (as per compilation table).

• Reprint 1: The Rural Business Development Corporation Act 2000 as at 24 October 2008 consolidates earlier amendments.

• Financial Legislation Amendment and Repeal Act 2006 (No. 77 of 2006), ss 4, 5(1) and 17: Amended various provisions and made the Financial Management Act and Auditor General Act references applicable; relevant amendments commenced 1 February 2007 (compilation table entries identify s 29 amendments and s 16 amendments).

• Statutes (Repeals and Miscellaneous Amendments) Act 2009 (No. 8 of 2009), s 113: Amendment noted in the compilation table, commenced 22 May 2009.

• Public Sector Reform Act 2010 (No. 39 of 2010), s 89: Amended s 14 (remuneration and allowances of directors), commenced 1 December 2010 (compilation table).

• Statutes (Repeals and Minor Amendments) Act 2011 (No. 47 of 2011), s 16: Amended s 11 dealing with registration of memorials and Registrar endorsements; commenced 26 October 2011 (compilation table).

Notes and omissions recorded in the Act’s compilation material

• The compilation table notes that certain provisions in the Act that repealed the previous Act have been omitted under the Reprints Act 1984 s 7(4)(f) and other omissions are recorded for sections 42 and 44 (omitted under the Reprints Act) which are not substantive amendments but editorial reprint adjustments.

• Schedule 2 contains transitional provisions that effect continuity with the repealed Rural Adjustment and Finance Corporation Act 1993, such as transferring funds and treating existing applications and grants as continuing under the new Act (Schedule 2 cl 6-8).

Practical consequences of amendment history

• The recorded amendments make clear that the Act has been kept in step with broader public sector and financial legislation reforms, notably by explicitly incorporating the Financial Management Act 2006 and the Auditor General Act 2006 regimes (s 29), and by aligning director removal/insolvency references with the Corporations Act (Schedule 1 cl 2). The amendment to s 11 (2011) refined how memorials and Registrar endorsement processes operate, reinforcing the registration control mechanics. The remuneration provision amendment (2010) aligns director payments with the Public Sector Commissioner’s role. The compilation table is the authoritative list of amendments recorded in the source.

The Act text provided does not contain or cite judicial decisions, case names, reported litigation, or statutory interpretation authorities. The source material therefore does not record any litigation history or judicial pronouncements concerning the Act. The Act itself does, however, create procedural and substantive decision points that are commonly the subject of litigation or review in administrative law contexts, for example:

• decisions to approve or refuse assistance under an approved assistance scheme (ss 30, 32-33);
• the Minister’s giving of directions (s 16) and any assertion by the Minister that a direction falls outside s 16(2)’s limits (prohibition on directions relating to particular persons or applications);
• the Corporation’s exercise of coercive information powers against creditors (s 35);
• disputes arising from the taking and ranking of securities for repayments (s 34) and the interaction of those securities with other secured interests; and
• the use and registration of memorials against land titles (s 11) which could affect third‑party rights.

Potential litigation avenues implicit in the Act

• Judicial review: Decisions of the Corporation or Ministerial directions could be amenable to judicial review on grounds of jurisdictional error, failure to observe procedural fairness, or acting beyond statutory authority. The Act imposes procedural obligations (e.g. reasons for refusal s 32(6); limits on Ministerial direction s 16(2)) that create reviewable statutory safeguards.

• Criminal prosecutions/penalties: The Act includes penal provisions (ss 32(4), 35; Schedule 1 cl 17). Enforcement of those provisions could give rise to criminal prosecutions and consequent appellate or review processes.

• Civil enforcement and registration disputes: The operation of s 11 memorials could result in civil proceedings concerning title, priority and the validity of disposals. The Act’s authorisation requirement for Registrar acceptance of instruments (s 11(4)) creates a municipal administrative gate that could be legally challenged in particular circumstances.

• Audit and public law scrutiny: Given the incorporation of the Financial Management Act and Auditor General Act, disputes may arise as a consequence of audits, financial reporting, or compliance findings which could precipitate administrative or judicial processes.

Because the source contains no reported cases, researchers or practitioners who need precedent must search external case law databases and administrative decisions for judicial treatment of these or closely related provisions. The Act itself does not provide an internal merits review tribunal or appeal mechanism for grant decisions; remedies available to aggrieved parties would follow from general administrative law and criminal law processes.

Statutory scope limits and discretion

• Assistance limited to approved assistance schemes: The Corporation can only give financial assistance under approved assistance schemes approved by both Minister and Treasurer (s 30(1), (3)). That means ad hoc or de facto assistance outside approved schemes is not authorised. The Corporation’s discretion to formulate schemes exists, but Minister and Treasurer approvals are necessary gating steps.

• Ministerial directions: The Minister may give general or particular written directions on administration and performance of functions (s 16(1)), which the Corporation must give effect to. While s 16(2) prevents directions relating to “a particular person” or a “particular application”, the absence of a definition of “matter relating to a particular application” creates possible ambiguity about the permissible scope of directions. The Act requires laying of directions before Parliament (s 16(3)) and inclusion in the annual report (s 16(7)), but these transparency measures do not eliminate potential operational influence.

Confidentiality versus transparency

• The Corporation may withhold information from the Minister where it considers the information confidential (s 18(1)). The confidentiality shield is narrow: it does not apply where disclosure is required by other law or with written consent (s 18(2)). The Act does not explicitly reconcile this confidentiality power with other disclosure regimes such as freedom of information; practitioners should note the statutory hierarchy and seek legal clarification where parallel disclosure obligations exist.

Agent of the Crown and tort immunity

• The Corporation is an agent of the Crown (s 6) and s 36 removes tort liability for persons acting in good faith in the performance or purported performance of functions under the Act. The “good faith” qualifier and the scope of “purported performance” introduce potential legal uncertainty about when tort claims are barred. The statutory protection also relieves the Crown of liability for another person’s acts (s 36(2)), which can complicate redress for harmed parties.

Security ranking and lending consequences

• The Act requires “the best and most appropriate security” but permits that security to rank after another security (s 34(1)). This flexibility may result in the Corporation accepting subordinate security, reducing recoverability in insolvency, and creating complications for commercial lenders who typically expect priming or pari passu positions. Lenders and financiers need to check the precise security terms and whether scheme rules or the Corporation have prioritised instruments.

Land registration constraints

• Memorials in the land registry (s 11(2)) block registration of transfers or leases without the Corporation’s consent or a chairman’s authorisation (s 11(3)-(4)). That mechanism can stall property transactions, and purchasers may face concealed risks unless searches reveal the memorial. The Act imposes specific procedural safeguards for Registrar endorsements, but the practical effect can be immediate title market friction.

Compulsion of creditor information

• The Corporation’s power to compel creditors to produce documents or information (s 35(1)) can catch third parties who have not applied for assistance. Creditors must comply within 28 days or risk penalties (s 35(2)). The Act allows a defence of reasonable excuse, but the statutory timeframe and penalty regime can be a trap for unwary creditors.

Delegation and subdelegation pitfalls

• Delegation is permitted but must be in writing (s 8(6); s 20(4)). Delegations to the chief executive officer may authorise subdelegation (s 8(2)), and subdelegations are treated as delegations under the Interpretation Act (s 8(5)). If delegations are improperly made or not documented correctly, decisions may be vulnerable to procedural challenge.

Account and reporting burdens

• The Operating Account must be established under the Financial Management Act or with Treasurer approval at a bank (s 24(1)), and the Account funds a broad set of obligations (s 24(2)). The Corporation must also provide monthly written reports to the Minister (s 29(2)), in addition to statutory annual reporting. These create ongoing compliance and administrative burdens and increase transparency to Treasury and Parliament.

Penalties and prosecution limitations

• Statutory penalties for false statements and non‑compliance exist (s 32(4); s 35). A prosecution must be commenced within five years (s 39). Practitioners should note limitation periods and preserve relevant documents accordingly.

Interaction with other laws and gaps

• The Act does not set out merits review mechanisms for grant decisions; it relies on general administrative law for reviewability. Where the Act is silent on appeal routes, administrative law remedies (judicial review) may be the only avenue for challenging decisions. That can be a procedural limitation for applicants seeking timely redress.

Transitional continuity technicalities

• Schedule 2 treats applications and funds under the repealed Act as continuing under this Act (Sch 2 cl 6-8). Where transfers of trust‑like funds or obligations occur, practitioners must confirm that records and securities transferred as part of the repeal process were effectively moved to the Operating Account and documented in accordance with s 24 and Sch 2.

Minister/Treasurer approval bottlenecks

• The requirement that both the Minister and Treasurer approve schemes (s 30(1)) and that Treasurer approval is required for borrowing (s 25-26) centralises key decisions within political and fiscal offices, which can create bottlenecks or delays in scheme approval, borrowing and operation.

Checklist for the Corporation and board

• Approve and document schemes correctly: Ensure each assistance programme is formally documented as an approved assistance scheme stating purpose, nature of assistance and eligible categories, and obtain the Minister’s and Treasurer’s approval as required by s 30(1).

• Establish the Operating Account in conformity with the Financial Management Act: Create the Rural Business Development Corporation Operating Account as an agency special purpose account or with Treasurer approval at a bank (s 24(1)), and ensure all funds set out in s 23 are credited appropriately.

• Track permitted expenditures for the Account: Only charge the Account with the items listed in s 24(2) and maintain financial records in line with the Financial Management Act and Auditor General Act obligations (s 29(1)). Prepare and deliver monthly written operations reports to the Minister (s 29(2)).

• Maintain delegation records: Make all delegations in writing (s 8(6); s 20(4)), document subdelegations authorised under s 8(2), and ensure delegations specify conditions and limitations consistent with the Act and the Interpretation Act.

• Implement governance processes per Schedule 1: Keep accurate minutes and submit them to the Minister within 14 days after confirmation of the minutes (Schedule 1 cl 12). Ensure quorum and voting rules are followed (Schedule 1 cl 9-10). Manage conflict of interest disclosures and voting prohibitions under Schedule 1 cl 17-21, and record disclosures in the minutes.

• Set director remuneration in accordance with s 14: Remuneration and allowances should be determined by the Minister based on a recommendation from the Public Sector Commissioner.

• Prepare for Treasurer approvals on borrowings: Any borrowing beyond Treasurer loans requires prior written Treasurer approval (s 26). Record all securities and be prepared to provide the security the Treasurer requires before he or she gives a guarantee (s 27(3)).

Checklist for applicants and creditors

• Applicants: Apply in the manner approved by the Corporation (s 32(1)); respond promptly and fully to any written requests for documents or information made under s 32(2); avoid making false statements or providing false information, noting the $10,000 penalty for wilful falsehoods (s 32(4)); expect reasons for refusal where the Corporation refuses an application (s 32(6)).

• Creditors: If served with a written notice under s 35(1), provide the requested information within 28 days unless you have a reasonable excuse; understand that failing to comply risks a $5,000 penalty (s 35(2)), and providing false information risks $10,000 (s 35(3)). Establish internal processes for rapid response to such notices and preserve documents to mitigate limitation concerns (s 39).

Practical steps for banks, secured creditors and purchasers

• Check title searches for memorials: Before transacting in land that may be subject to assistance, check for memorials or endorsements lodged under s 11 that could prevent registration without Corporation consent or chairman authorisation (s 11(2)-(4)). Where a memorial exists, obtain the Corporation’s consent or the chairman’s authorisation in the prescribed form.

• Review security frameworks: When lending to potential assistance recipients, ascertain whether the Corporation will take security, and whether that security will rank behind existing securities (s 34(1)). Negotiate loan documentation to protect priority where possible.

• Contracting and confidentiality: Contractors and consultants engaged by the Corporation will be bound by statutory confidentiality obligations (s 37). Ensure contracting arrangements reflect this and include appropriate data handling, recordkeeping and consent processes.

Ministerial and Treasury liaison

• If designing schemes, engage early with Treasury and the Minister’s office to secure the necessary approvals under s 30(1) and to understand possible Ministerial directions under s 16. Document evidentiary bases for scheme eligibility rules and conditions to reduce risk of challenge.

Legal compliance processes and records

• Establish written delegations and subdelegations, ensure they comply with ss 8 and 20 and are recorded; retain copies for audit (s 29(1)).

• Implement compliance checks to prevent false declarations by applicants and ensure officers handling applications are trained on the statutory penalties in s 32 and s 35.

• Maintain robust minute records and ensure timely submission of minutes to the Minister (Schedule 1 cl 12) and inclusion of Ministerial directions in the annual report (s 16(7)).

• Reconcile transitioned funds and instruments: If any part of the Corporation’s operations still relates to measures initiated under the repealed Act, ensure the funds and applications were transferred into the Operating Account and documented under Schedule 2 cl 6-8.

Risk management and insurance

• Note that s 36 provides protection from tort liability for acts done in good faith. However, undertake risk assessments and consider appropriate indemnity or insurance arrangements for directors and officers to cover acts outside the scope of s 36 or where good faith may be contested.

• For borrowing that requires Treasurer guarantees, ensure the Corporation’s obligations under s 27(3) to provide security and execute necessary instruments are planned and capability to meet guarantee conditions is assessed.

Regulatory filings and audits

• Prepare to meet Financial Management Act reporting and audit standards and to cooperate with the Auditor General (s 29(1)). Adopt internal financial controls and reporting schedules that facilitate monthly reporting to the Minister (s 29(2)) and statutory annual reporting.

Final practical note

• The Act centralises decision power in statutory and executive offices (Minister and Treasurer) and imposes specific procedural requirements and penalties. Compliance requires a documented, auditable trail for scheme approvals, application assessments, securities taken, information notices, and disclosures. Failure to follow the Act’s procedural steps (written delegations, authorisations, minutes, notices, and Registrar authorisations) risks administrative invalidity, penalties, or title transaction blocks. Practitioners should develop template documentation that maps each step of the assistance lifecycle to the relevant statutory provision cited above.
