What it does
This Act authorises the Royal Melbourne Hospital corporation (the corporation) to raise capital by issuing debentures and establishes a public guarantee and recovery framework for those borrowings. Mechanically the Act does four things.
First, it creates a borrowing power for the corporation, subject to executive approval, permitting the issue of debentures under the corporation’s seal for sums not exceeding Five hundred thousand pounds in aggregate (s 2(1)). The Governor in Council must approve the corporation’s borrowing and may make regulations prescribing the form and the term for which debentures may be issued (s 2(1), (3)). The Act also specifies that repayment of principal and interest on those borrowings is to be secured on the revenues of the corporation (s 2(2)).
Second, the Act permits the Treasurer of Victoria to guarantee, on behalf of the State, repayment of any sums borrowed under s 2 and payment of interest thereon, and it gives the Treasurer broad discretion as to the manner, form and conditions of any such guarantee (s 3(1)). Any amounts the Treasurer pays under a guarantee are to be paid out of the consolidated revenue, which the Act expressly appropriates to that extent (s 3(2)). Where the Treasurer recovers sums in respect of payments made under a guarantee, those sums are to be paid into consolidated revenue (s 3(2)). The Treasurer must lay before both Houses of Parliament a statement of the guarantee and an account of any sums paid as soon as may be after the guarantee is given or sums are paid (s 3(3)).
Third, the Act prescribes the priority and destination for proceeds from the sale of the corporation’s existing land, buildings, improvements and equipment that the Principal Act authorised to be sold. Those proceeds are to be applied first to recoup the Treasurer for amounts previously paid under a guarantee, secondly to repay moneys borrowed under this Act, and any remaining balance to The Building Plant and Equipment Account of the corporation to be applied as provided by the Principal Act (s 4(1)). Where immediate application of the proceeds is impracticable because of repayment terms, the Act permits temporary lodgement to the credit of a Treasurer‑approved trust account, temporary investment of those funds as the Treasurer approves, and application of the investment income in the same priority order (s 4(2)(a)-(c)).
