Royal Melbourne Hospital Act 1935

The Act is structured around a set of property law and public administration concepts: Crown grants and Orders in Council; corporate capacity and trustee holdings; sale and lease powers; retention and application of trust funds; mortgage and borrowing powers subject to executive approval; and public audit and financial reporting requirements.

Crown grant and Orders in Council. The Act revokes three pre‑existing instruments, the original New South Wales appropriation, an 1853 Order in Council, and the 1859 Crown grant, and enables the Governor in Council to issue a new Crown grant over the First Schedule land, s. 3(1)-(2). It also revokes two 1929 Orders in Council which had reserved the Second and Third Schedule lands and treats those lands as unalienated Crown land thereafter, s. 5(1).

Corporation and trustee status. The term “corporation” is defined as The Royal Melbourne Hospital, s. 2. The preamble recites the historical vesting of the hospital lands in the corporate body under Victorian incorporation legislation, and the Act continues to treat the corporation as the entity with the power and duty to implement sales and to construct the new hospital, s. 4, s. 6.

Sale, lease and purchaser definitions. The statutory definition extends “sell” to include lease and “purchaser” to include lessee, s. 2. Section 4 authorises sales of the First Schedule land or parts of it, and of buildings and equipment, subject to the Governor in Council’s approval of price, terms and conditions. Section 4(2) preserves a statutory immunity from public or municipal rates for those parts of the First Schedule land on which possession has not been given to a purchaser.

Borrowing and mortgage. The corporation may borrow for the express purposes of providing the new hospital by mortgaging the First Schedule land or other security approved by the Governor in Council, s. 8. The borrowing requires Governor in Council approval, introducing an executive check on secured borrowings.

Application and character of proceeds. Section 7 directs how sale proceeds must be applied: first to the costs of providing the new hospital (construction, equipment, improvements), then any balance to the Building Plant and Equipment Account. Section 7(3) categorises all moneys arising from the sales as capital or principal moneys and bars their application to general maintenance or current hospital expenses.

Trusts and continuity. Section 9 expressly permits sale and borrowing even where buildings or improvements were paid for from trust funds. It declares that moneys held in trust for the hospital on the First Schedule land are applicable for the like purposes of the hospital on the Fourth Schedule land. The Act therefore continues trust purposes across the relocation, while allowing asset realisation and borrowing against those assets.

Administrative safeguards: receipts and audit. A receipt from the corporation under its common seal or an authorised attorney is a sufficient discharge for purchase money and relieves the payer from liability to trace or challenge application of funds, s. 10. The corporation’s committee must keep proper accounts of sale proceeds and borrowings and provide audited copies to the Treasurer when required; the Auditor‑General has statutory audit powers for that purpose, s. 11.

Schedules and land description. The Schedules specify the First Schedule as the original hospital site in central Melbourne (four acres three roods), the Second and Third Schedules as the Parkville lands reserved in 1929, and the Fourth Schedule as the parcel the Act intends to reserve and grant to the corporation for a general hospital, Schs. 1-4. Those land‑specific descriptions anchor the Act’s operational mechanics.

Executive discretion. Several operative powers require the Governor in Council’s approval or satisfaction (issue of new Crown grant, approval of sale terms, reservation and grant of Fourth Schedule land upon satisfaction of substantial and permanent improvements), see s. 3(2), s. 4(1), s. 5(2)-(3). The Treasurer and Auditor‑General hold oversight roles tied to account reporting, s. 11.

Legal effect on rates and purchaser protection. The Act alters the rates exposure for unsold parts of the First Schedule land, s. 4(2). It also provides transactional finality to purchasers via s. 10 receipts.

Amendment footnotes. The Act as presented includes annotations showing later statutory amendments and repeals, notably the Dental Hospital (Finance) Act 1957 and the Dental Hospital Land Act 2011, which altered or repealed certain subsections and a Schedule; those amendments are recorded in the endnotes.

These concepts together convert old trust and Crown arrangements into a process for site rationalisation, asset realisation and reinvestment into a new hospital campus while preserving trust continuity and subjecting financial flows to public audit and executive oversight.

Primary legal subjects. The Act principally affects the corporation, defined as The Royal Melbourne Hospital, s. 2. The corporation bears the duties to sell, to erect and equip the new hospital, to borrow with approvals and to keep and produce audited accounts, under ss. 4-9 and 11. The committee of the corporation is specifically required to maintain accounts and to provide audited copies to the Treasurer, s. 11(1)(a)-(b).

Government actors. The Governor in Council holds several decisive powers. The Governor in Council appoints the day upon which the revocations in s. 3(1) take effect and may issue the new Crown grant over the First Schedule land, s. 3(1)-(2). The Governor in Council must approve sale prices, terms and conditions, s. 4(1), and may permanently reserve the Fourth Schedule land and grant it to the corporation once satisfied substantial and permanent improvements have been effected, s. 5(2)-(3). The Treasurer can require audited accounts and is the recipient of audited reports from the Auditor‑General, s. 11(1)(b). The Auditor‑General is empowered to audit with the same powers the office holds over public accounts, s. 11(2).

Purchasers and lessees. Persons acquiring land, buildings, improvements or equipment from the corporation are affected in three concrete ways. First, the statutory definition treats purchasers as including lessees, s. 2. Second, receipts under the corporation’s common seal or from an authorised attorney effectually discharge the payer from any duty to inspect or enforce application of the funds, s. 10. Third, purchasers taking possession become subject to public and municipal rates for those parts of the First Schedule land where possession has been given, because those parts that have not been given in possession enjoy immunity from rates, s. 4(2).

Trust beneficiaries and donors. Trusts and donor funds are engaged. The Act expressly allows sales and borrowings to proceed notwithstanding that buildings or improvements were paid for from trust funds, and it transfers applicability of trust funds to the like purposes on the Fourth Schedule land, s. 9(1)-(2). Beneficiaries whose benefits depend upon the hospital’s existence at the original site are affected by the statutory migration of the hospital purpose to the Fourth Schedule land; the Act does not require affirmative consent from individual donors.

Registrar of Titles. The corporation is required to surrender the old 1859 Crown grant to the Registrar of Titles upon issue of the new Crown grant, s. 3(3). That produces administrative record changes affecting title registration.

Local government and ratepayers. Municipal authorities are affected by s. 4(2), which preserves rate immunity for unsold parts of the First Schedule land. That alters the local council’s base for rating during the sale and subdivision process.

University of Melbourne (historic reference). The preamble and some schedule material refer to the Fifth Schedule and to a reservation for a dental hospital and school to be granted to the University of Melbourne. The endnotes show that Sch. 5 was later repealed by the Dental Hospital Land Act 2011; the current version includes those annotations. For present purposes the Act’s operative rights and duties, as found in ss. 3-11, operate primarily between the Crown, the corporation and purchasers.

Lenders. Any lender taking security over the First Schedule land or other approved securities must deal with the Governor in Council’s approval requirement for borrowing under s. 8, and with the capital‑only character of sale proceeds per s. 7(3). Lenders will be affected by the corporation’s power to mortgage and by the procedural requirements for the issue of Crown grants and surrender of old titles.

In short, the Act affects the corporation as the central actor; Crown and executive officers who approve grants, sales and reserves; financial counterparties and purchasers; municipal rating authorities; trust beneficiaries and donors; the Registrar of Titles; and the Auditor‑General and Treasurer by reason of audit and reporting obligations.

Duties of the corporation

• To arrange for the issue of a new Crown grant and surrender the old one. Once the Governor in Council issues a new Crown grant in respect of the First Schedule land, the corporation must surrender the 1859 Crown grant to the Registrar of Titles, s. 3(2)-(3).

• To sell First Schedule land and related assets only with Governor in Council approval. The corporation may sell the land, buildings, improvements and equipment only in the manner, for the price and upon such terms and conditions as the Governor in Council approves, s. 4(1).

• To provide a general hospital on the Fourth Schedule land. The corporation is required to “forthwith take steps to provide a general hospital” on the Fourth Schedule land and to erect buildings and provide and install equipment and make improvements necessary to carry the Act’s purposes, s. 6.

• To apply proceeds to specified capital purposes. The corporation must apply sale proceeds to the costs of providing the hospital on the Fourth Schedule land and related capital works, s. 7(1).

• To treat proceeds as capital and restrict use. All moneys arising from the authorised sales are declared capital or principal moneys and may not be applied, whether in whole or part or by anticipation, to general maintenance or current expenses, s. 7(3).

• To maintain accounts and cooperate with audits. The committee of the corporation must keep proper accounts of moneys received from sale and borrowing and of their disbursements, and must furnish the Treasurer with audited copies on request; the Auditor‑General has audit powers for that purpose, s. 11(1)-(2).

Rights of the corporation

• To sell or lease First Schedule land and associated assets, subject to Governor in Council approval, s. 4(1). The definition of “sell” includes lease, s. 2.

• To borrow on mortgage of First Schedule land or other Governor in Council approved security for hospital provision purposes, s. 8.

• To receive a grant of the Fourth Schedule land once the Governor in Council is satisfied substantial and permanent improvements have been effected, s. 5(3).

Rights and protections for purchasers and payers

• Receipts signed under the corporation’s common seal or by an authorised attorney are effectual discharges for purchase money. Such a receipt relieves the payer from having to see to the application of funds or being answerable for loss or misapplication, s. 10.

• Statutory immunity from rates for unsold parts. Any part of the First Schedule land that has not been given into possession by a purchaser enjoys the same immunity from public or municipal rates, charges, taxes and assessments as prior to the Act, s. 4(2).

Executive rights and duties

• Governor in Council discretionary powers. The Governor in Council decides the appointed day for revocations, may issue the new Crown grant over First Schedule land subject to usual reservations and conditions, approves sale terms, may reserve and grant Fourth Schedule land once satisfied of improvements, and must approve mortgages/borrowings as necessary, ss. 3(1)-(2), 4(1), 5(2)-(3), 8.

• Treasurer’s auditing oversight. The Treasurer may require audited copies of the accounts and receives the audit reports under s. 11(1)(b). The Auditor‑General has statutory powers to audit for this purpose, s. 11(2).

Trust and donor‑related rights and duties

• Continuity of trust purposes. Trust moneys held for the First Schedule hospital are declared applicable for the like purposes on the Fourth Schedule land, s. 9(2).

• Authority to sell notwithstanding trusts. Sales and borrowings may proceed even if buildings or improvements were originally paid for from trust funds, s. 9(1).

Procedural rights for title

• Registrar of Titles receipt. On issue of the new Crown grant, the corporation must surrender the 1859 Crown grant to the Registrar of Titles, s. 3(3), which affects formal title registration and extinguishes the older instrument.

Limitations and prohibitions

• Restriction on use of proceeds. Sale proceeds are restricted to capital purposes only and cannot be applied to current maintenance or operational expenditure, s. 7(3).

• Borrowing approval requirement. Borrowing for the new hospital requires Governor in Council approval and is constrained to purposes described in s. 7(1), s. 8.

These duties and rights structure a transfer of capital assets and the institutional obligation to re‑establish the hospital at a new location, while imposing executive oversight, audit requirements and capital use restrictions.

The Act contains no express criminal penalties, fines, or formal sanctioning provisions. Enforcement operates through administrative obligations, executive discretion and accounting oversight rather than by penal or criminal provisions.

Administrative enforcement mechanisms

• Governor in Council approval controls. Many of the Act’s powers and transitions require action by or approval of the Governor in Council. The Governor in Council decides the appointed day for the revocation of existing instruments, may issue the new Crown grant, must approve the terms of sale, may permanently reserve and grant the Fourth Schedule land once satisfied of improvements, and must approve mortgage/borrowing arrangements, ss. 3, 4, 5 and 8. Where the Act requires the Governor in Council’s satisfaction, the practical enforcement of the Act’s conditions is exercisable through those executive approvals and denials.

• Audit and financial accountability. The corporate committee has a statutory duty to cause proper accounts to be kept of the sale proceeds and borrowings and to furnish the Treasurer with audited copies of those accounts when required, s. 11(1)(a)-(b). The Auditor‑General is empowered to exercise the same audit powers as for public accounts, s. 11(2). The Auditor‑General’s statutory audit power provides a public accountability mechanism and a means by which the Treasurer may require compliance with the accounting obligations.

• Title and property mechanics. The requirement to surrender the old Crown grant to the Registrar of Titles upon issue of the new Crown grant, s. 3(3), ties statutory compliance to land registration processes. Non‑compliance could have practical effects on the corporation’s registered title status and its ability to transact.

Legal effect of receipts. Section 10 provides purchasers and payers with a statutory protection: a receipt in writing under the corporation’s common seal or under the hand of an authorised attorney is a sufficient discharge for purchase money and absolves the payer from being bound to see to the application of the funds or being answerable for loss or misapplication. That provision limits civil recourse from purchasers to challenge the application of funds once payment has been evidenced by the stipulated receipt form.

No expressed sanctions for breach. The Act does not specify remedies, injunctions or damages for breach of duties such as the corporation’s duty to provide the hospital on the Fourth Schedule land (s. 6), nor does it prescribe penalties for failing to keep accounts or to furnish audited copies. Enforcement would therefore be by ordinary civil law remedies or by political and executive pressure mediated through the Governor in Council, Treasurer and Auditor‑General functions. For example, the Governor in Council’s discretionary grant of the Fourth Schedule land is contingent on being satisfied that substantial and permanent improvements have been effected by the corporation, s. 5(3). That places practical leverage on the corporation to perform, but the Act leaves the means of compelling performance to executive discretion rather than to statutory penalty.

Implications for lenders and purchasers. The absence of statutory forfeiture or penal clauses means lenders and purchasers must rely on contract, mortgage terms, title registration and the corporation’s compliance with Governor in Council approvals. Purchasers also obtain statutory finality through s. 10 receipts, which reduces purchaser risk of having to trace or challenge use of funds.

In short, enforcement is achieved by executive control over grants and approvals, and by financial oversight through mandatory accounts and the Auditor‑General’s audit powers, rather than by penal sanctions within the Act itself. Any coercive remedies for non‑performance would arise through the exercise of executive powers, common law remedies, or contractual remedies negotiated between private parties.

References to the Land Acts and Crown land regime. The Act expressly preserves and operates within the broader land law framework. Section 3(2) allows the Governor in Council, notwithstanding anything to the contrary in the Land Acts, to issue a new Crown grant in respect of the First Schedule land subject to usual reservations, exceptions and conditions incident to Crown grants of purchased lands. Section 5(1) revokes the 1929 Orders in Council and treats the lands as unalienated Crown land, and s. 5(2) (as annotated) contemplated reservation under the Land Acts. These references show the Act was designed to work alongside Victoria’s statutory land alienation and reservation regime while providing specific exceptions and processes for hospital land.

Register of Titles and Crown grant mechanics. Section 3(3) requires the corporation to surrender the 1859 Crown grant to the Registrar of Titles upon issue of the new Crown grant, linking this Act to the statutory mechanics of title registration and transfer. The operation of the Registrar of Titles under existing property registration law will be the mechanism by which legal title and associated interests are recorded following the new grant and subsequent sales or mortgages.

Audit and public accounts law. Section 11(2) gives the Auditor‑General the same powers in relation to audits under this Act as he has in relation to the audit of public accounts. That cross‑references the Auditor‑General’s statutory powers and implies that the corporation’s accounts for these particular moneys are subject to public audit standards and powers provided by the broader statutes governing the financial oversight of public monies or public interest matters.

Trust law and donor funds. Section 9 modifies the operation of existing trusts by allowing sale and borrowing notwithstanding that buildings or improvements were funded from trust moneys, and by making trust moneys applicable to like purposes on the Fourth Schedule land. This interacts with trust law principles concerning variation, cy‑pres and the application of trust property to changed circumstances. The Act itself authorises particular dispositions that otherwise might require court variation in trust contexts.

Municipal rates law. Section 4(2) preserves immunity from public or municipal rates, charges, taxes and assessments for parts of the First Schedule land “as to all parts of which possession has not been given to and taken by a purchaser.” That interacts with municipal rating statutes and local government budgeting, by preserving an historic immunity until possession is transferred. Local rating law will govern the point at which possession causes rating obligations to commence.

Governor in Council executive powers. Multiple provisions require or permit action by the Governor in Council, which implicates the administrative law framework governing executive decision‑making, including public law principles of procedural fairness where relevant and statutory limits on delegated executive power. The Act does not lay out administrative review mechanisms, so ordinary administrative law remedies and prerogative review rights would apply to any contested executive decisions made under this Act.

Mortgage and securities law. Section 8 authorises borrowing upon mortgage of the First Schedule land or other securities approved by the Governor in Council. That interacts with mortgage registration and priority rules under property and personal property securities statutes where applicable. The Act’s requirement for Governor in Council approval is a statutory precondition to enforceability of any mortgage or borrowing arrangement.

Other statutes and amendments. The endnotes record later amendments by the Dental Hospital (Finance) Act 1957 and the Dental Hospital Land Act 2011. Those amending Acts altered and repealed certain subsections and a Schedule of this Act. Practitioners must consult those amending instruments and current consolidated law for the up‑to‑date statutory matrix.

In summary, the Act functions within and modifies interactions with Crown grant/land reservation statutes, the land titles system, municipal rating law, trust law, the Auditor‑General’s audit provisions and mortgage/security registration regimes. It delegates important decision points to executive actors, bringing administrative law principles and public audit standards into the operation of what are partly private corporate actions.

Assent and commencement. The Act was assented to and came into operation on 9 December 1935, as recorded in the endnotes.

Recorded amendments and repeals. The version provided incorporates later amendments up to 7 June 2011. The endnotes identify at least two amending enactments expressly recorded in this version:

• Dental Hospital (Finance) Act 1957, No. 6142/1957. Assented 10 December 1957, commenced 10 December 1957. The Act as printed carries an annotation that s. 5(4) of the 1935 Act was amended by No. 6142 s. 5(1) and subsequently repealed by the Dental Hospital Land Act 2011, see endnote annotations adjacent to s. 5.

• Dental Hospital Land Act 2011, No. 15/2011. Assented 31 May 2011. The endnotes record that ss. 7 and 8 of that 2011 Act commenced on 7 June 2011 by Special Gazette (No. 177) 7.6.11 p. 1. The act of 2011 repealed or amended certain provisions of the Royal Melbourne Hospital Act 1935: annotations in s. 5 show that s. 5(2) was repealed by No. 15/2011 s. 7, and that s. 5(4) which had been earlier amended by the 1957 Act was repealed by No. 15/2011 s. 7. The Schedule 5 entry shows that Sch. 5 was repealed by No. 15/2011 s. 8.

Nature of amendments visible in text. The embedded annotations indicate that some powers originally conferred in s. 5 were later removed or modified by the 2011 Act. Specifically, s. 5(2) (which in the original allowed the Governor in Council to permanently reserve the Fourth Schedule land for a general hospital) is marked as repealed by the Dental Hospital Land Act 2011. The legislative history as annotated suggests a restructuring of the land reservation and grant mechanics by the 2011 Act that affected how the Fourth Schedule land and the remainder of the Second Schedule land (the intended dental hospital site) are to be treated.

Surrender, title and schedule changes. The Act’s endnotes and schedule annotations show that Sch. 5 was amended and ultimately repealed. Sch. 5 in the printed version is marked as repealed by No. 15/2011 s. 8. The preamble’s references to the University of Melbourne and a dental hospital and dental school reflect the original legislative design; subsequent amending legislation modified that design and removed some schedule content.

Consolidation status. The version presented is described as “Version No. 002” incorporating amendments as at 7 June 2011. Users must bear in mind that amendments recorded in the endnotes are limited to those identified; further amending Acts post‑dating 7 June 2011 would not be captured in this version. The printed endnotes include a Table of Amendments and Explanatory Details that specify which parts were amended or repealed by the later Acts.

Practical consequence of amendments. The recorded repeals and amendments narrow or adjust the Governor in Council powers and certain schedule provisions. For example, the repeal of s. 5(2) removes a statutory power that had allowed reservation of the Fourth Schedule land “in accordance with the Land Acts”; s. 5(3) remains to make grant of the land contingent on the Governor in Council’s satisfaction as to improvements. Practitioners must read the annotated text in conjunction with the amending Acts themselves to determine the full current text and the precise operative mechanics post‑amendment.

No legislative revocation of key financial reporting obligations. Despite the 2011 and 1957 amendments to some land reservation provisions and a schedule, the Act retains the core provisions concerning sale, proceeds application, borrowing approvals and the audit/accounting obligations in ss. 4, 7, 8 and 11 as printed.

For complete amendment tracing beyond 7 June 2011, users should consult the official consolidated statute database and the texts of the Dental Hospital (Finance) Act 1957 and the Dental Hospital Land Act 2011 for the exact amending wording and commencement details.

The textual version of the Act supplied contains no references to case law or litigation arising under the Act. The printed Act and its endnotes list only parliamentary and administrative instruments, preambles and later amending Acts. There are no judicial decisions cited, no reported cases named in the Act itself, and no footnote references to litigation.

Consequently within the scope of this source there is no recorded litigation history. The Act does not supply precedent‑level guidance, appellate rulings or judicial interpretation of its provisions. Where interpretation questions arise (for example, the meaning of “substantial and permanent improvements” in s. 5(3), the timing and effect of the Governor in Council’s satisfaction, the limits of the “notwithstanding” clause in s. 3(2) relative to the Land Acts, or the interplay between s. 10 receipts and equitable tracing claims), those questions are not resolved by material in the Act itself.

Practitioners seeking judicial treatment or trustee litigation outcomes will need to consult case law databases and reports beyond the Act text. Because the Act expressly permits sales and borrowings notwithstanding earlier trust expenditures, and because it limits purchaser exposure by providing for final receipts, litigation would likely engage trust law principles, statutory construction and administrative law principles if disputed. None of that judicial material is contained in the source provided.

If a client requires a search for reported decisions, particulars such as the land parcel (First Schedule site in Melbourne CBD) and the statutory provisions (ss. 3-11) provide search hooks, but further legal research is necessary since the Act itself contains no litigation history.

Timing by proclamation. The revocations in s. 3(1) take effect only on a day appointed by the Governor in Council by proclamation in the Government Gazette. Until that proclamation is made, the old Crown grant, appropriation and 1853 Order in Council remain in force. Practitioners should not assume that the new grant pathway or sale powers are immediately operable; the statutory pathway is triggered by proclamation.

Governor in Council discretion and ambiguity. Many key steps depend on the Governor in Council’s approval or satisfaction: the issue of the new Crown grant over the First Schedule land, approval of sale prices and terms, reservation and grant of the Fourth Schedule land, and approval of borrowing security, ss. 3(2), 4(1), 5(3), 8. Those are discretionary executive decisions for which the Act provides no detailed procedural criteria or timelines. The absence of expressed standards creates administrative uncertainty about the test the Governor in Council will apply, particularly for s. 5(3)’s requirement that the Governor in Council be “satisfied that substantial and permanent improvements have been effected.”

Receipt as absolute discharge. Section 10 makes receipts under the corporate seal or by an authorised attorney a statutory sufficient discharge that absolves the payer from liability to see to application of the funds or being accountable for loss or misapplication. That provision can extinguish buyer or lender claims to challenge application of sale proceeds once the prescribed receipt is given. Buyers and lenders should ensure contractual protections are negotiated into the sale or mortgage documents because statutory receipts limit post‑payment recourse under this Act.

Capital‑only restriction. All sale proceeds are expressly declared capital or principal moneys and are not available for general maintenance or current expenses, s. 7(3). That restriction is strict and encompasses anticipation and part application. Hospital operators used to funding via asset realisation for liquidity might find their operational needs cannot be met from these proceeds. The Building Plant and Equipment Account receives any balance, but returns on investment are to be added to capital and used for capital expansions, s. 7(2).

Trust funds and no donor consent mechanism. Section 9 permits sale and borrowing even where buildings or improvements were originally paid for from trust funds. The Act applies those trust moneys to the like purposes of the new hospital site, s. 9(2), without requiring donor consent or a court‑ordered variation. Donors or beneficiaries who expect hospital activity at a particular site may find statutory authorisation of relocation sufficient without the usual trust variation procedures.

Rates immunity tied to possession. Section 4(2) preserves the pre‑Act immunity from public or municipal rates only for those parts of the First Schedule land “as to all parts of which possession has not been given to and taken by a purchaser.” Once a purchaser takes possession, municipal rates, charges and taxes will apply. That creates potentially complex first‑possession timing issues in multi‑lot sales and subdivisions.

No penal enforcement clauses. The Act does not prescribe penalties for non‑compliance with duties such as the corporation’s obligation to provide the hospital on the Fourth Schedule land or the committee’s accounting duties. Enforcement chiefly relies on executive action, audit and ordinary civil remedies. Parties cannot point to specific statutory sanctions within this Act to compel performance.

Borrowing requires Governor in Council approval. Section 8 authorises borrowing upon mortgage of the First Schedule land or other security approved by the Governor in Council. Lenders must therefore ensure the statutory precondition is satisfied; absent Governor in Council approval borrowers may lack statutory authority to encumber the land.

Effect of amendments. Annotations show s. 5(2) and s. 5(4) were repealed by the 2011 Act and that Sch. 5 was repealed. Practitioners should not rely on any earlier printed version for current powers; confirm current law by consulting the amending acts and the consolidated statute.

Spatial and practical implementation. The Act requires the corporation to “forthwith take steps” to provide a general hospital on the Fourth Schedule land, s. 6, but provides no timetable or specification of minimum standards. That leaves the corporation exposed to executive judgment and potential reputational or funding consequences without a clear statutory remedy to force performance.

In short, the Act centralises discretion with the Governor in Council, preserves strong buyer protections via receipts, restricts the use of sale proceeds to capital purposes, and displaces some trust‑law pathways by statutory authorisation. These features create practical implementation risks that need to be managed contractually and administratively.

For the corporation (The Royal Melbourne Hospital)

1. Monitor proclamation and Crown grant steps. Do not begin sale or mortgage processes over the First Schedule land until the Governor in Council has appointed the operative day and, where required, issued the new Crown grant, s. 3(1)-(2). On issue of the new Crown grant, prepare to surrender the old 1859 Crown grant to the Registrar of Titles as required by s. 3(3).

2. Seek Governor in Council approvals in writing. Before marketing or contracting to sell or lease any part of the First Schedule land, obtain written approval of sale terms, price and conditions from the Governor in Council as required by s. 4(1). Likewise, if borrowing is intended, obtain Governor in Council approval for any mortgage or other security, s. 8.

3. Contractual protections for purchasers and lenders. Given s. 10 provides statutory finality to receipts, ensure sale contracts include negotiated protections and warranties regarding title, development obligations and timing of possession, and ensure mortgage documents are conditional on receipt of Governor in Council approvals. Secure escrow or trust arrangements where necessary to address purchaser reluctance to rely solely on the statutory receipt mechanism.

4. Apply sale proceeds only to authorised capital purposes. Establish and maintain the Building Plant and Equipment Account for balances per s. 7(2). Segregate proceeds from general funds and ensure treasury and accounting treatments reflect the capital‑only status in s. 7(3). Invest balances in accordance with the corporation’s mandated trust investment powers and document investment strategies and income additions as capital.

5. Plan and document improvements on the Fourth Schedule land. To obtain grant under s. 5(3) the Governor in Council must be satisfied that substantial and permanent improvements have been effected. Maintain detailed project plans, expenditure records, permits and progress reports demonstrating that improvements meet a “substantial and permanent” threshold and make those materials available to the Governor in Council and the Auditor‑General.

6. Maintain rigorous accounts and arrange audits. The committee must keep proper accounts showing all moneys received by sale and borrowing and the disbursements of those moneys, s. 11(1)(a). Engage the Auditor‑General’s office early to understand audit expectations and produce audit‑ready financial statements. Provide audited copies to the Treasurer when required, s. 11(1)(b).

7. Manage rate exposures and possession timing. When selling the First Schedule land in parts, control the timing of possession transfers to manage municipal rating exposures and buyer obligations under s. 4(2). Include clear contractual clauses allocating responsibility for rates and taxes from defined possession dates.

8. Communicate with donors and trust stakeholders. Where prior donor funds were used to develop the First Schedule site, proactively communicate the statutory position under s. 9 and the intended application of trust funds to the new hospital. Where possible, document consent or record decisions to mitigate reputational or legal risk from aggrieved donors.

For purchasers and lenders

1. Require written Governor in Council approvals to be evidenced. Before finalising a purchase or mortgage, confirm the Governor in Council’s approvals required by ss. 3, 4 and 8 have been obtained and are evidenced in writing. Demand confirmations about the status of the new Crown grant and the surrender of the old grant to the Registrar of Titles, s. 3(3).

2. Negotiate protections despite s. 10 receipts. Recognise that s. 10 provides statutory discharge via a corporate receipt. To protect against improper use of funds, negotiate escrow holds, step‑in rights, enforceable covenants or independent audit certificates to be provided at key milestones.

3. Check title and registration. Ensure proper searches at the Registrar of Titles show the new Crown grant or current title position and register mortgages or other security interests consistent with any statutory approvals. Verify the chain of title and any reservations, exceptions or conditions attached to the new Crown grant per s. 3(2).

4. Account for capital‑only proceeds. Lenders relying on sale proceeds for repayment should take account of s. 7(3) limitations and structure financing accordingly. Where the corporation intends to borrow against the First Schedule land under s. 8, include conditions precedent to the Governor in Council’s approval and ensure those approvals will not be frustrated by the capital‑only restriction on proceeds.

For government and auditors

1. Maintain documentation of executive decisions. Decisions by the Governor in Council authorising grants, sales and borrowings should be recorded with reasons where appropriate to reduce administrative and legal risk.

2. Use audit powers proactively. The Auditor‑General should coordinate with the Treasurer to set expectations for audit scope regarding sale proceeds, investments of the Building Plant and Equipment Account and the application of trust monies under s. 9.

General compliance practices

• Maintain clear separation of capital receipts from operational funds.

• Document every Governor in Council approval, and link approvals to contractual milestones.

• Keep contemporaneous records of improvements on the Fourth Schedule land to evidence “substantial and permanent” works per s. 5(3).

• Understand that while sale receipts may be discharged by statutory receipt under s. 10, contractual arrangements remain critical to protect buyers, lenders and trust beneficiaries.

• Where there is any risk of donor dispute, seek early legal advice on trust law implications and consider seeking formal donor consents, or if necessary, expert legal or court guidance on the transfer of trust purposes.

Following these steps will align transactional practice with the Act’s statutory constraints and the executive and audit oversight the Act envisages.
