Royal Agricultural Society Act Amendment Act 1929

The Act operates through three core legal concepts: targeted rate exemption, statutory authorised security over land, and statutory protection for secured parties and successors.

1. Targeted rate exemption (s 2). The Act excludes land “vested in or held by the Royal Agricultural Society” from being “rateable land” as defined in the Local Government Act 1995 (s 2(1)). This is a definitional displacement: land that would otherwise attract municipal rates is declared non-rateable for that purpose. The scope is restricted by subsection (2), which removes the exemption for lands other than those enumerated in the Schedule when they are leased by the Society for purposes other than agricultural shows. The Schedule lists specified Swan locations and an historical sale and purchase agreement.

2. Statutory capacity to mortgage (s 3). The Act grants the Royal Agricultural Society, and any agricultural society registered under the principal Act, capacity to borrow “for any purpose whatsoever” and to secure borrowing by mortgage or charge over the whole or part of its lands. The internal governance precondition is explicit: the borrowing must be approved by “the concurrence of the majority of the members” present and voting at a “properly constituted meeting” (s 3(1)). The provision begins with “Notwithstanding the provisions of any other Act”, thereby creating a statutory override to other possible legal impediments to such borrowing.

3. Crown-consent limitation (s 3(2)). A narrower protection applies where the lands have been “acquired directly or indirectly by grant from the Crown, and without valuable consideration”. Mortgages over such lands are not valid unless the Governor gives written consent (s 3(2)). This imposes an executive check on encumbrances of certain Crown-derived land.

4. Mortgage content and effect (s 4). Statutory permission extends to the usual enforcement powers in mortgages, including powers to sell or lease the mortgaged land on default (s 4(1)). The statute further provides that a purchaser or lessee from the mortgagee will hold freed from prior trusts or restrictions about the use of the land, i.e. the purchaser’s title is not subject to former user restrictions (s 4(1)). This changes the effect of sale under mortgage compared with typical trust or covenant constraints that might otherwise bind successors.

5. Non-inquiry and bona fide purchaser protection (s 4(2)). The Act protects mortgagees and their purchasers or lessees by removing duties to inquire into the regularity of the members’ authorisation or the application of loan proceeds. Mortgagees are not “affected by the notice that the same is irregular, unnecessary, or improper” (s 4(2)). Practically, that reduces the ability of third parties to attack the validity of a mortgage on grounds of defective internal approval.

Legally, these concepts intersect property law (mortgages, purchasers), corporation or association governance (member voting at meetings), Crown land law (grants without valuable consideration), and local government revenue law (rates under the Local Government Act 1995). The Act is short and prescriptive rather than procedural; it creates substantive rules about validity and priority rather than setting administrative processes.

The Act alters legal relations and incentives for a small set of parties directly, and a wider set indirectly.

Directly affected parties:

• Royal Agricultural Society of Western Australia, Incorporated (the Society). The Act confers on it a statutory exemption from local government rates in defined circumstances (s 2) and an express statutory power to borrow secured against its land subject to internal approval (s 3(1)). The Society’s members are the internal decision-makers whose majority concurrence at a appropriately constituted meeting authorises borrowings.

• Agricultural societies registered under the principal Act. The borrowing and mortgage powers in s 3 apply not only to the Royal Agricultural Society but also to “any agricultural society registered under the principal Act” (s 3(1)). Those societies and their memberships are subject to the same internal authorisation requirement and Crown-consent limitation.

• Mortgagees, purchasers and lessees from mortgagees. Section 4(1) and (2) grant legal protections to mortgagees and those who buy or lease from them. Mortgagees may include banks, financial institutions or private lenders. The Act removes duties of inquiry and insulates such third parties from claims of irregularity in internal authorisation.

• Governor and Crown executive. Section 3(2) requires the Governor’s written consent for mortgages over land acquired by grant from the Crown without valuable consideration. The Governor’s decision will determine whether such encumbrances are valid and binding.

Indirectly affected parties:

• Local governments and rating authorities. The Act excludes certain Society land from being “rateable land within the meaning of the Local Government Act 1995” (s 2(1)). That changes the revenue base available to local councils for the specific parcels identified and for lands vested or held by the Society subject to the Schedule limitation.

• Prior grantors and institutions with historical dealings in the Schedule parcels. The Schedule lists specific Swan locations and an agreement involving the University of Western Australia. Those historic conveyancers, and successors in title, will find the listed parcels receive special treatment under the rates exemption and the mortgage regime.

• Beneficiaries of trusts and holders of restrictive covenants. Section 4(1) provides that purchasers or lessees from a mortgagee will hold land “freed and absolutely discharged from any trusts or restrictions as to the user thereof” existing prior to sale or lease. Parties who rely on such trusts or restrictions to control use of the land can be directly affected by a sale under mortgage.

• Members of the Society. Although they authorise borrowings, their internal rights and remedies may be limited by the Act’s protection for mortgagees (s 4(2)). Members who dissent from borrowing decisions face constraints on invalidating post-facto mortgages vis-à-vis third parties.

The Act does not create offences, licensing regimes, or new administrative bodies; its effects are chiefly on ownership, charges over land, and municipal rating. The immediate beneficiaries are the Society and secured creditors; the immediate cost-bearers are local councils that would have otherwise rated the land and any prior covenant beneficiaries whose restrictions can be displaced by sale under mortgage.

The Act prescribes several discrete duties, authorisations and legal effects. These are the operational legal obligations and entitlements that parties must observe.

Society and registered agricultural societies

• Right to be relieved from rates: Land “vested in or held by the Royal Agricultural Society” is not rateable under the Local Government Act 1995 (s 2(1)). This is an entitlement for lands meeting the statutory description.

• Limitation on rate exemption: The exemption does not apply to lands other than those specifically listed in the Schedule if they are “leased by the Society otherwise than for agricultural show purposes” (s 2(2)). The Society therefore must observe the use of its leases if it wishes to retain the exemption for non-scheduled lands.

• Right to borrow and mortgage: The Society may “from time to time … borrow and take up at interest for any purpose whatsoever any sum or sums of money on mortgage or charge of the whole or any portion of its lands” provided the concurrence of the majority of members present and voting at a properly constituted meeting authorises the borrowing (s 3(1)). That is both a substantive right and a governance-based precondition.

• Duty to secure Governor’s consent for Crown-grant lands: If the land was acquired directly or indirectly by grant from the Crown and without valuable consideration, any mortgage or charge over that land is not valid and binding unless the Governor’s written consent is obtained (s 3(2)). The Society must therefore obtain that consent to ensure mortgage validity in those circumstances.

Mortgagees, purchasers, and lessees

• Right to include enforcement powers in mortgage: Mortgages may include “such powers, clauses, and provisions as may be deemed expedient, including power to sell and to lease the mortgaged lands” upon default (s 4(1)). A mortgagee may therefore rely on a statutory sanction to enforce security by sale or lease.

• Right to acquire land free of prior trusts or use restrictions: Any purchaser or lessee from the mortgagee will take the land “freed and absolutely discharged from any trusts or restrictions as to the user thereof” that predated the sale or lease (s 4(1)). This is a substantive title right that benefits successors following enforcement.

• Relief from inquiry duties and notice: Mortgagees and their purchasers or lessees are not required to inquire into whether the internal authorisation was properly obtained, nor to see to the application of proceeds or the necessity, regularity or propriety of the mortgage, and they are not affected by notices asserting irregularity (s 4(2)). Practically this lessens due diligence burdens insofar as the statute removes some bases for challenge.

Local governments and rating authorities

• Duty curtailed to rate certain land: Where land falls within s 2(1), local government authorities will not treat that land as rateable land within the meaning of the Local Government Act 1995. That reduces their statutory duty to levy rates on those specific parcels.

Governor

• Discretion to consent in writing: The Governor has the procedural gatekeeping role for mortgages over certain Crown-origin land (s 3(2)). The Act gives legal effect only where that written consent is obtained.

Absent duties and prohibitions

• The Act contains no offence provisions, nor does it prescribe penalties or fines for breaches. It does not require registration formalities within its text, nor does it prescribe procedural requirements for the Governor’s consent or for the conduct of “properly constituted meetings”. These matters are either left to other laws or to customary practice and institutional governance.

Taken together, the Act creates affirmative rights to mortgage and specific procedural preconditions for validity, while conferring protections for secured parties and purchasers. Parties who rely on internal controls or prior restrictions face statutory limits on challenging mortgages once a purchaser or lessee from the mortgagee has acquired the land.

The Amendment Act does not create criminal offences, monetary penalties, or an administrative enforcement regime within its text. It is a short statutory instrument that operates primarily by altering property rights and validating certain transactions, rather than by imposing sanctioning mechanisms.

Enforcement within the Act’s framework operates through property-law processes and the legal validity of instruments rather than through penalties:

• Validity of mortgages. The Act makes the absence of required internal concurrence or irregularity in authorisation less effective as a ground to invalidate mortgages as against mortgagees and subsequent purchasers or lessees. Section 4(2) specifies that a mortgagee or a purchaser or lessee from the mortgagee “shall not be necessary … to inquire” into the proper internal authorisation, and the mortgagee “shall not be affected by the notice that the same is irregular, unnecessary, or improper.” That shifts enforcement away from private claims that challenge title, by insulating third-party secured parties.

• Governor’s consent as a condition precedent. For lands acquired by Crown grant without valuable consideration, a mortgage is not “valid and binding” without the Governor’s written consent (s 3(2)). The Governor’s consent functions as a legal gate that makes the mortgage enforceable in rem; absence of consent therefore affects enforceability against the Crown-derived title. Challenges concerning validity will therefore invoke whether the requisite consent exists.

• Effect of sale or lease on prior trusts and restrictions. The Act prescribes that purchasers or lessees from a mortgagee take lands “freed and absolutely discharged from any trusts or restrictions as to the user thereof” that existed prior to sale or lease (s 4(1)). Where a mortgagee enforces by sale, the statutory effect is to extinguish prior user restrictions as between the purchaser and the land, limiting the remedies available to beneficiaries of such trusts or restrictions. Enforcement is therefore mechanistic: a sale or lease by a mortgagee changes the title relationship.

Absent statutory penalties, disputes arising under the Act would be litigated in civil property or equity proceedings. The Act’s express protections (s 4(2)) are likely to be asserted defensively by mortgagees and purchasers in litigation. The Act does not prescribe a tribunal, court, or administrative decisionmaker for authorisations, nor does it set out a process for the Governor’s written consent. Consequently, enforcement and dispute resolution will rely on existing courts and property registration systems, and any contested fact questions (for example, whether a mortgage was over Crown grant land acquired without valuable consideration, or whether the Governor’s consent was given) will be resolved under ordinary legal processes.

In short, enforcement under the Act is achieved through validation of transactions and limitation of certain equitable and notice-based defences rather than through criminal or administrative sanction. Parties seeking to avoid or challenge a mortgage’s effect will need to rely on property-law remedies and evidence, and on whether the statutory preconditions (for example Governor’s consent) have been satisfied.

The Act explicitly references and modifies interactions with other statutory regimes and, by its terms, operates in some places regardless of other Acts.

References found in the text

• Local Government Act 1995. Section 2(1) makes land “not be rateable land within the meaning of the Local Government Act 1995.” That is a direct interaction: the Amendment Act declares that affected Society land falls outside the operational definition used in the local government rating statute. The Amendment Act therefore displaces the Local Government Act’s application to the listed land by statute.

• Principal Act (Royal Agricultural Society Act 1926). The Amendment Act is explicitly an amendment to the principal Act and is to be read with it (s 1). Several provisions extend to “any agricultural society registered under the principal Act” (s 3). The Amendment Act uses governance language such as “properly constituted meeting” and “majority of the members… present and voting” that may be further defined or qualified within the principal Act. However the Amendment Act itself does not supply definitions for those terms.

• Overriding other Acts. Section 3(1) begins with “Notwithstanding the provisions of any other Act,” which signals the legislature’s intent that the borrowing and mortgage authority conferred will operate despite conflicting statutory limitations elsewhere. This suggests that statutory barriers in other laws to mortgaging society lands are displaced to the extent of any inconsistency with s 3(1). The scope of that displacement would be assessed by reference to general principles of statutory construction and any express conflict in other statutes.

Tensions and points of interface

• Crown land and executive consent. Section 3(2) creates a special check when lands were “acquired directly or indirectly by grant from the Crown, and without valuable consideration.” That interacts with Crown land tenure rules and any statutory schemes governing the alienation or mortgaging of Crown land. The Governor’s written consent requirement places the exercise of private security rights within the orbit of executive approval for certain classes of title.

• Trusts and covenants. Section 4(1) provides that purchasers or lessees from a mortgagee take land “freed and absolutely discharged from any trusts or restrictions as to the user thereof” that applied before sale or lease. This provision interacts with trust law and restrictive covenants: where a purchaser acquires land from a mortgagee following enforcement, prior equitable claims or covenants as to use are statutorily displaced as against that purchaser. The precise scope of displacement would depend on title, registration, and the nature of the restriction.

• Registered title and conveyancing practice. While the Amendment Act speaks to the legal effect of mortgages and sales, it does not set out registration procedures. Interaction with land registration, Torrens title registration, and mortgage registration rules will therefore be necessary in practice to give effect to mortgages and transfers. The Act’s protections for mortgagees may influence the behaviour of registries and lenders but do not themselves create registration mechanics.

• Local government revenue. The local council’s ability to assess and collect rates is limited for the specified lands by s 2(1), creating a direct statutory carve-out from the Local Government Act 1995 for those parcels. How that interacts with rates liability for other lands held by the Society will depend on the Schedule and on whether a particular landholding is leased in ways that forfeit the exemption (s 2(2)).

Amendments and reprints

• The compilation notes show later legislative instruments have amended the Act: Local Government (Consequential Amendments) Act 1996 amended s 2 (No. 14 of 1996 s 4) and the Standardisation of Formatting Act 2010 made amendments including to s 2 and s 3 and the Schedule heading (No. 19 of 2010 s 33(2), s 33(3) and s 51). These later Acts interact with the Amendment Act by changing its text and headings but do not, in themselves, alter the policy mechanics embodied in the sections cited.

In summary, the Amendment Act operates by statutory displacement and validation: it disapplies the local rating statute for defined land, it validates mortgages despite other statutory impediments, and it provides statutory title effects on enforcement sales. Its full practical effect will play out in conjunction with the principal Act, land registration and conveyancing law, Crown land rules, and local government rating regimes.

The Act as compiled includes the original 1929 instrument and subsequent amendments recorded in the compilation table. The reprint notes provide the legislative provenance and the dates of assent and commencement for principal changes.

• The Schedule heading was inserted by the Standardisation of Formatting Act 2010 (No. 19 of 2010 s 33(3)), according to the note adjacent to the Schedule.

No further amendments are recorded in the provided compilation table. The Amendment Act remains a short, largely self-contained instrument amending the principal Act on targeted issues. The compilation table documents legislative housekeeping and the insertion of standardised headings, as well as the Local Government-linked amendment.

Readers should treat the dates and section references in the compilation table as the authoritative legislative history set out in the reprint. Where this Amendment Act cross-refers to other laws (for example the Local Government Act 1995), any later amendments to those external statutes may affect operation but are not listed in this Amendment Act’s compilation history.

The Amendment Act text and the compilation notes supplied contain no citations to judicial decisions, reported litigation, or precedent that interprets its provisions. The provided reprint does not record any cases, nor does it include marginal notes referencing judicial treatment. Therefore, within the materials made available here there is no recorded litigation history.

Practical implications of the absence of recorded cases in the source

• Unresolved interpretive questions. Because the reprint includes no case law, parties must anticipate that some terms in the Amendment Act may be open to judicial interpretation if contested. Key terms and phrases left undefined in the Amendment Act include “properly constituted meeting”, “majority of the members … present and voting”, “agricultural show purposes”, and the scope of “lands acquired directly or indirectly by grant from the Crown, and without valuable consideration.” The absence of binding judicial gloss in the provided material means that those phrases could be litigated in future disputes.

• Reliance on statutory language. With no litigated clarifications in the Act text, legal actors must give effect to the plain statutory wording as written. For example, the statutory protection in s 4(2) that removes the mortgagee’s duty to inquire is clear in its terms and would be the primary textual defence in any litigation. Whether courts will construe s 4(2) narrowly or broadly, or how it interacts with equitable doctrines not expressly displaced, would be matters for judicial determination absent existing authorities cited here.

• Predictability and litigation risk. The Act gives strong protections to mortgagees and purchasers under its terms. In the absence of precedent, lenders and purchasers may nonetheless prefer to obtain documentation and evidentiary proof of internal authorisations and Governor’s consent where applicable to reduce transactional risk. Those practical risk-avoidance steps reflect the absence of a settled litigation track record in the supplied materials.

• Records of executive consent. Given that s 3(2) conditions validity of mortgages over Crown-granted lands on the Governor’s written consent, disputes are likely to involve documentary evidence of whether such consent was obtained. The absence of reported cases in the reprint does not remove the evidentiary role of such documents, but it does mean that how courts might characterise a defective or informal consent is not addressed in the provided materials.

In sum, the supplied source does not include any litigation history or appellate treatment of the Amendment Act. The practical consequence is that parties and their advisers must work from the statutory text alone and be prepared for potential litigation to resolve open questions. Any subsequent cases that interpret these provisions are not recorded in the provided compilation.

The Amendment Act contains short, targeted provisions, but several concrete pitfalls and risk points arise from its wording and mechanics. These are factual and legal features that can cause unintended loss of entitlement or create exposure unless carefully managed.

1. Schedule-driven limitation to the rate exemption (s 2(2)). Section 2(1) makes Society land non-rateable, but s 2(2) qualifies that the exemption “shall not apply to any land other than the land mentioned in the Schedule … and leased by the Society otherwise than for agricultural show purposes.” That means: (a) for lands not in the Schedule, a lease not for agricultural show purposes removes the exemption; and (b) the Schedule is definitive for which parcels get special treatment irrespective of vesting or holding. Parties who assume all Society land is non-rateable will be surprised; the exemption is contingent on use and on being listed in the Schedule for certain cases.

2. Broad borrowing power tied to internal formalities (s 3(1)). The Society may borrow for “any purpose whatsoever” on mortgage of its lands if authorised by a majority of members “present and voting at a properly constituted meeting.” The risk points are (a) the Act does not define what constitutes a properly constituted meeting within this text, and (b) the authorising vote must be of the majority present and voting, not necessarily a majority of all members. Failure to follow the Society’s own governance rules or any relevant definition in the principal Act may create internal disputes.

3. Governor’s consent requirement for Crown-grant lands (s 3(2)). Mortgages over land “acquired directly or indirectly by grant from the Crown, and without valuable consideration” are invalid unless the Governor’s written consent is obtained. Parties seeking to rely on a mortgage should ensure that the land is not within this category, or else obtain the written consent. The Act does not specify the process or standard for the Governor’s consent, nor any time limit.

4. Sale or lease can extinguish user restrictions (s 4(1)). A purchaser or lessee from a mortgagee “shall hold the said lands freed and absolutely discharged from any trusts or restrictions as to the user thereof” that existed before sale or lease. Beneficiaries of covenants, easements or trusts that limit user will lose that protection upon enforcement sale. That changes the bargaining leverage and the remedies available to those beneficiaries.

5. Mortgagee non-inquiry protection limits member remedies (s 4(2)). Mortgagees and their purchasers or lessees are not required to inquire about the regularity of the internal authorization or the application of proceeds and “shall not be affected by the notice that the same is irregular, unnecessary, or improper.” This statutory bar makes it difficult for members to invalidate mortgages against third-party mortgagees; internal governance defects may not protect the Society’s land from third-party enforcement.

6. Tension with other statutes and registration regimes. Section 3(1) begins “Notwithstanding the provisions of any other Act,” which suggests a statutory override; however the Act does not address registration practice, priority or interaction with other statutory covenants or trust instruments. Practitioners cannot assume that registration steps are unnecessary; the Amendment Act deals with legal validity and effect rather than procedural steps in land registries.

7. No regulatory guidance on Governor’s consent or meeting formalities. The Act’s silence on procedural rules for the Governor’s written consent and what qualifies as a “properly constituted meeting” shifts the burden to other instruments, internal constitutions, or later practice. The lack of statutory procedure creates implementation risk and potential disputes.

8. Narrowness of the Act’s enforcement architecture. Because the Act contains no penalty regime and does not confer express remedies beyond property effects, parties must rely on ordinary civil remedies to resolve disputes. That may increase litigation costs and uncertainty as to the scope of equitable defences not expressly displaced.

9. Historical specificity of Schedule entries. The Schedule contains specific Swan locations and a 1928 sale agreement. Those particulars may not reflect contemporary land holdings. Users must confirm whether a parcel currently held by the Society corresponds to a Schedule entry before relying on the exemption.

10. Ambiguity about “agricultural show purposes.” The Act uses this phrase to define the permissible leasing use that preserves the exemption for non-schedule lands (s 2(2)). There is no statutory definition within the Amendment Act; what qualifies as an agricultural show purpose may be contested. Parties leasing Society land should ensure the lease purpose is clearly expressed and consistent with any accepted meaning to avoid losing the rate exemption.

Awareness of these “gotchas” should inform title searches, due diligence, corporate governance compliance, and the drafting of mortgages and leases. The text affords protections to mortgagees but also assigns operational duties to the Society and to the Governor in specific circumstances; overlooking those will have tangible consequences.

This section lists concrete, source-grounded steps a Royal Agricultural Society, a registered agricultural society, a mortgagee, a purchaser, or a local government should follow to give effect to the Act’s requirements and to reduce legal risk. All steps are derived from the Act’s operative language.

For the Society or an agricultural society registered under the principal Act

1. Identify covered land. Check whether the land is “vested in or held by the Royal Agricultural Society” and whether any parcel is listed in the Schedule. The Schedule identifies specific Swan locations and a portion arising from a 1928 agreement (Schedule). Maintain contemporaneous title evidence tying current holdings to the Schedule entries.

2. Manage leases to preserve rate exemption. Where land is not in the Schedule, ensure any lease is for “agricultural show purposes” if the Society wishes to preserve the exemption under s 2(2). Document the lease purpose expressly in the lease instrument and maintain records evidencing use consistent with that stated purpose.

3. Comply with internal authorisation for borrowing. Before executing mortgages or charges over land, convene a meeting that meets the Society’s governance rules and is properly constituted. Obtain the “concurrence of the majority of the members … present and voting” and keep minute records and signed resolutions confirming the majority vote. The Act conditions the power to mortgage on that internal approval (s 3(1)).

4. Ascertain Crown origin of title. Determine whether any land to be mortgaged was “acquired directly or indirectly by grant from the Crown, and without valuable consideration.” If so, obtain the Governor’s written consent before granting a mortgage, because s 3(2) renders such mortgages invalid without that consent.

For mortgagees and lenders

1. Confirm internal authorisation and Governor’s consent (where relevant). Although s 4(2) states that mortgagees need not inquire into internal concurrence and will not be affected by notices of irregularity, prudent practice is to obtain evidence of the Society’s internal authorisation and to secure the Governor’s written consent where the land may be Crown-derived. Doing so reduces factual dispute and evidentiary risk in enforcement.

2. Draft mortgage powers consistent with s 4(1). Draft mortgage instruments to include powers to sell and lease upon default, as permitted by s 4(1), and be explicit about enforcement triggers. Where enforcement is contemplated, note the Act’s express effect that purchasers or lessees from the mortgagee will hold free from prior trusts or use restrictions.

3. Title and registration checks. Confirm that the land titles and registry entries corresponding to the parcels are consistent with the Society’s ownership and with any Crown-grant history. While the Act speaks to legal validity, registration steps remain essential in practice to protect priority and to effect transfers.

For purchasers and lessees from a mortgagee

1. Rely on statutory protection, but obtain title documentation. Section 4(1) grants purchasers or lessees from a mortgagee a title freed from prior trusts or restrictions; nevertheless obtain and retain records of the chain of title, the mortgagee’s instrument, and evidence of enforcement to demonstrate that the acquisition falls within the Act’s protection.

For local governments and rating authorities

1. Apply s 2(1) and s 2(2) as written. For parcels vested in or held by the Society, and for those listed in the Schedule, treat the land as not rateable under the Local Government Act 1995 where the statutory conditions are met. Where land is leased “otherwise than for agricultural show purposes” and is not in the Schedule, treat it as rateable.

Cross-cutting recordkeeping and risk-reduction measures

1. Maintain documentary evidence of meetings, votes and resolutions authorising borrowings. Because the Act conditions mortgages on member concurrence at a “properly constituted meeting” and because s 4(2) addresses irregularity, clear records will support the position that authorisation occurred and will reduce litigation risk.

2. Maintain a register of whether a parcel was acquired by Crown grant without valuable consideration. For titles with any Crown nexus, keep contemporaneous documentation and, where necessary, obtain the Governor’s written consent and file it with mortgage documents.

3. Express lease and use clauses precisely. To preserve the rate exemption for non-Schedule land, express in leases that the permitted use is for agricultural show purposes and document actual use.

4. Take practical due diligence steps despite statutory non-inquiry protections. Although s 4(2) reduces legal exposure for mortgagees, standard diligence, checking title, verifying the Society’s minutes and internal approvals, and confirming the Governor’s consent when relevant, reduces factual disputes and transactional friction.

5. Seek legal advice when the land’s status is unclear. Where it is not obvious whether a parcel benefits from the s 2 exemption, or whether it was Crown-granted without valuable consideration, obtain legal confirmation before relying on the statutory provisions.

These compliance steps translate the Act’s text into operational obligations. The Act itself does not provide procedural forms for Governor’s consent or meeting configuration, so internal constitutions, the principal Act, and administrative practice must be used to develop compliant processes.
