Roman Catholic New Norcia Church Property Act 1929

The central legal concept is the corporation sole, created by section 4. The Abbot Nullius of New Norcia is made a corporation sole by the name “The Abbot Nullius of New Norcia” with perpetual succession. This means the office itself is a legal person distinct from the natural person holding it. The corporation sole can sue and be sued, hold property, and sell, mortgage, lease and dispose of property vested in it, subject to the Act’s constraints. Perpetual succession ensures that when one Abbot dies or resigns, the property remains vested in the office, not the individual, and the successor automatically steps into the same legal shoes. This avoids the need for conveyancing on each change of officeholder.

The Territory Nullius of New Norcia is not defined in the Act but is a historical ecclesiastical jurisdiction. The Act refers to property “situated within the Territory Nullius of New Norcia”. The Schedule lists land within that territory as at 1929, but section 3 also vests “all other property now or hereafter belonging to the Roman Catholic Church or vested in any person as trustee on account of the said Church and situated within the Territory Nullius of New Norcia”. So the Act is not closed; it covers future-acquired property within that territory.

The concept of trusts is critical. Section 3 vests property “subject to all trusts and dispositions respectively affecting the same”. The Abbot does not take the property free of existing equitable obligations. Similarly, the power to mortgage under section 6 is expressly “subject to the trusts and dispositions aforesaid”, and section 6(5) prohibits mortgages of land held upon any express trust or condition against alienation. The power to sell under section 7 prohibits sale of land held upon any express trust or condition against alienation. So the Act does not authorise the Abbot to override trust terms; it merely centralises legal title and management.

The Governor’s approval under section 8 is a restriction on the Abbot’s powers. It applies only to lands “granted by the Crown to or for the use or benefit of the Roman Catholic Church, without pecuniary consideration therefor”. For such land, no assurance on sale, mortgage, or lease for a term exceeding 21 years is valid unless countersigned as approved by the Governor with the advice and consent of the Executive Council. This means the Crown retains a veto over substantial dealings with land originally given free. The requirement does not apply to land acquired by purchase or otherwise given for consideration. The approval is a condition of validity; lack of it renders the dealing void.

The primary party affected is the Abbot Nullius of New Norcia, who holds legal title as corporation sole and exercises the statutory powers. The Abbot is empowered to lease, mortgage and sell, but also bears responsibility to comply with trust obligations and the Governor approval requirement. The Roman Catholic Church within the Territory Nullius is affected because its property is centralised in the Abbot’s hand, removing any other trustees. Existing trustees holding property for the Church within the territory are divested of that property by operation of section 3, which vests it absolutely in the Abbot. Those trustees lose their legal role, though the trusts themselves continue.

Purchasers, mortgagees and lessees are affected by the protections in section 9. They are not bound to inquire into the regularity of the exercise of powers, nor into whether the land is within the territory, nor into the Abbot’s appointment. However, that protection is subject to section 8, so if the Governor’s approval is required and not obtained, the dealing is invalid and the protection may not apply. Those dealing with the Abbot should still verify that any required approval has been given, even though the Act says they are not bound to inquire.

The Governor and Executive Council are affected by section 8, which imposes a duty to consider and approve or reject proposed sales, mortgages and long leases of Crown-granted land. This is a limited but real administrative involvement in the management of Church property.

The Vicar General and a Priest of the Abbey Nullius are affected by section 11, which allows them to be appointed as attorneys to exercise all or any of the Abbot’s powers during his absence from Western Australia. They can execute documents and sign writings in the Abbot’s name.

An administrator appointed under section 12 is affected by its role in stepping into the Abbot’s shoes from the date of his death until a successor is canonically appointed and takes possession. The administrator’s documents have the same force as if executed by the Abbot in his lifetime.

The Registrar of Titles and the Registrar of Deeds are affected by section 10, which requires the vesting of land to be registered free of charge under the Transfer of Land Act 1893 or the Registration of Deeds Act 1856, as the case may require. The section does not require registration of subsequent dealings, but the Act clearly contemplates that the vesting be noted on the title.

The Abbot has the right to lease any vested land for any term, with or without renewal, and on any covenants and conditions, under section 5. That right is subject to section 8, meaning leases over 21 years on Crown-granted land given without consideration require Governor approval. The Abbot also has the right to borrow money on the security of any vested land under section 6, for building, improvement, or any purpose he deems necessary, and for paying off existing mortgages on church lands within the territory. The mortgage may include a power of sale, leasing, and distress. However, section 6(5) prohibits mortgages of land held on an express trust or condition against alienation. A notable right in section 6(3) is that, unless otherwise expressed in the mortgage, no personal obligation is imposed on the mortgagor (the Abbot as corporation sole) for repayment. The mortgagee’s recourse is against the land itself, not against the Abbot personally. That limits the mortgagee’s remedies to foreclosure or sale of the land, and the Abbot is not personally liable for any shortfall.

The right to sell vested land under section 7 is subject to section 8 and to any express trust or condition against alienation. So if the land is held on trust with a condition that it not be sold, the Abbot cannot sell it. Otherwise, he can sell and transfer to a purchaser.

The duty to obtain Governor approval for dealings on Crown-granted land given without consideration is a critical obligation. Failure to do so renders the dealing invalid. The Abbot also has a duty to act within the scope of the trusts affecting the property; he is not free to ignore them.

Purchasers, mortgagees and lessees have the right under section 9 not to be bound to inquire into the regularity of the exercise of powers, the application of money, the necessity or propriety of the dealing, or the fact of the Abbot’s appointment. But that right is expressly subject to section 8. If a dealing requires Governor approval and has not received it, the dealing is invalid, and the protection may not protect the counterparty from that invalidity. The provision likely protects a counterparty who has relied on the Abbot’s apparent authority, but the statutory condition of validity remains paramount.

The Abbot has the right to appoint attorneys and administrators under sections 11 and 12 to exercise his powers in his absence or after his death. The administrator’s powers are limited to the period until the successor is canonically appointed and takes possession. The appointment must be by instrument in writing under hand and seal.

The Act contains no express penalty provisions. There are no fines, imprisonment terms, or civil penalties for breach of its requirements. Enforcement is achieved through the invalidity of non-compliant dealings. Section 8 states that an assurance on sale, mortgage, or lease over 21 years of Crown-granted land given without consideration “shall not be valid” unless approved by the Governor. A dealing that contravenes section 8 is void. The counterparty (purchaser, mortgagee, lessee) risks losing their interest if the approval is not obtained. The Abbot may also be in breach of trust if he deals with property in a manner that violates the trusts to which it is subject, but that is a matter of general trusts law, not this Act.

Similarly, if the Abbot attempts to mortgage land held on an express trust against alienation (section 6(5)), the mortgage would likely be void or voidable, again not because of a penalty but because the Act does not authorise it. The same applies to sales of land held on such trusts (section 7). The protection for purchasers in section 9 does not apply if the dealing is invalid under section 8, and it may not protect against invalidity arising from a breach of trust if the counterparty had notice.

The Act does not create an offence for the Abbot or anyone else. The only enforcement mechanism is the legal invalidity of the dealing and the possibility of a court declaration or an action for breach of trust. The Governor’s approval is a condition precedent to validity; if the Abbot proceeds without it, the transaction is a nullity. A mortgagee under such an invalid mortgage would have no security. A lessee would have no valid lease. A purchaser would get no title. So the practical enforcement is the risk of losing the deal entirely.

There is no provision for a penalty against the Abbot personally, and section 6(3) expressly excludes personal liability for mortgage repayment unless the mortgage otherwise provides. That suggests the drafters intended that the Abbot not be held personally liable for debts incurred on behalf of the office, consistent with his role as a corporation sole.

The Act directly interacts with the Transfer of Land Act 1893 and the Registration of Deeds Act 1856 through section 10, which requires the vesting of land by the Act to be registered and noted on the document of title free of charge. This ensures that the Torrens system register reflects the change of proprietorship. Later dealings by the Abbot would also be registrable under those Acts, subject to their requirements. The Transfer of Land Act 1893 (now the Transfer of Land Act 1893 as amended) governs the registration of interests in land under the Torrens system; the Registration of Deeds Act 1856 governs the registration of deeds in the old system. The Act does not override the principles of indefeasibility or the registration requirements; it simply provides for the initial vesting to be noted.

The Act operates within the general law of trusts. Property vested in the Abbot is held subject to existing trusts. The Abbot’s powers to deal are constrained by those trusts. The Act does not create new trusts or amend existing ones. Consequently, the general law of trusts, including the Trustees Act 1962 (WA) and equitable principles, would apply to the Abbot as a trustee, except to the extent that the Act expressly modifies those duties. For example, section 9 relieves the Abbot from the duty to see to the application of purchase money if the counterparty is not bound to inquire; but that is a protection for the counterparty, not an exoneration of the Abbot for misapplication.

The Act interacts with the Property Law Act 1969 (WA) and the Conveyancing Act 1919 in relation to powers of sale and mortgage. However, because the Act grants specific powers, those general statutes may be displaced or supplemented. For instance, the Act’s power to mortgage under section 6 includes express powers of sale and distress, which may differ from the default powers under the Property Law Act. The Act’s provisions are likely to prevail as a special statute.

The requirement for Governor approval under section 8 involves the Executive Council, and the mechanism would be governed by the Interpretation Act 1984 (WA) and general administrative law. The Governor’s approval is not a royal prerogative but a statutory requirement. It may be reviewable under administrative law, but the Act gives no guidance on criteria.

The Act does not interact with federal laws, as it concerns State land and a State ecclesiastical entity. The Australian Charities and Not-for-profits Commission Act 2012 (Cth) might apply if the Roman Catholic Church entities are registered charities, but that is separate. The Act is purely Western Australian.

The Act is a private Act in effect, applying only to the New Norcia Benedictine community. It does not establish a general scheme for church property in Western Australia. It is a one-off vesting statute.

The Act was originally passed as Roman Catholic New Norcia Church Property Act 1929 (Act No. 32 of 1929), assented to 23 December 1929, and commenced on 31 December 1930 as fixed by proclamation. The first amendment was the Roman Catholic New Norcia Church Property Act Amendment Act 1930 (Act No. 9 of 1930), which came into effect on the same day as the original Act (31 December 1930). That amendment added new properties to the schedule: it added the entries for Crown Leases No. 2663/1915 and No. 48/22, and a Conditional Purchase Lease No. 20464/47. The schedule is reproduced in the current compilation as including those additions. No further substantive amendments have been made.

The second amendment was by the Land Information Authority Act 2006 (Act No. 60 of 2006), section 156, which amended section 10 to update the reference from the “Transfer of Land Act 1893” to “Transfer of Land Act 1893” (no change) and from “Registration of Deeds Act 1856” to “Registration of Deeds Act 1856” (no change), but the amendment likely dealt with the phrase “free of charge” or the registration mechanism. The section now reads: “The vesting of any land by this Act in ‘The Abbot Nullius of New Norcia’ shall be registered and noted under the Transfer of Land Act 1893 or the Registration of Deeds Act 1856, as the case may require, and on the document of title to such land free of charge.” The 2006 amendment may have added the word “on” before “the document of title” or otherwise clarified. This amendment commenced 1 January 2007.

The third amendment was by the Standardisation of Formatting Act 2010 (Act No. 19 of 2010), section 4, which amended the heading of the Schedule to read “Schedule , Land vested in Abbot Nullius of New Norcia” (previously “Schedule”). This amendment commenced 11 September 2010.

Thus, the Act’s substantive provisions have remained unchanged since 1930. The only changes are to update the schedule of land and to modernise references and formatting. The Act is a historical statute that has not been the subject of significant legislative revision, reflecting the stable nature of the property regime it established.

The source text contains no references to any court cases interpreting or applying the Act. The compilation notes do not list any judicial decisions. It is possible that the Act has been tested in litigation, but the text provided does not indicate any. The Act may have been involved in conveyancing disputes, questions about the validity of dealings without Governor approval, or issues about the scope of the Territory Nullius. However, there is no reported case law from the Supreme Court of Western Australia or the High Court of Australia that is obvious from the source. The Act is very specific and narrow, and likely administered with minimal controversy because the New Norcia community is small and the land is relatively remote.

Potential areas of litigation could include: (1) a challenge to the validity of a sale or mortgage on the ground that Governor approval under section 8 was not obtained; (2) a dispute about whether particular land falls within the Territory Nullius of New Norcia; (3) a dispute about whether the Abbot had power to deal with land held on an express trust against alienation; (4) a claim by a beneficiary of a trust that the Abbot has misapplied proceeds or acted in breach of trust. Section 6(3) could be litigated where a mortgagee attempts to recover personally from the Abbot; the Act clearly states no personal liability. Section 9 would be relevant if a counterparty is sued by a beneficiary and tries to rely on the protection.

Without specific cases in the source, we cannot comment further. But the absence of cited litigation may indicate the Act operates smoothly, or that disputes are resolved privately or through internal church processes rather than in the courts.

Several provisions contain traps for the unwary. First, section 8 applies only to Crown grants made “without pecuniary consideration”. That is a narrower category than all Crown grants. If the Crown originally granted the land in exchange for money (e.g., a conditional purchase), the Governor approval requirement does not apply. Identifying whether a particular title falls within section 8 requires historical inquiry into the original grant. The schedule includes “Conditional Purchase Lease: No. 20464/47” which suggests some land was purchased, not given free. For such land, dealings are not subject to section 8, but the Abbot still must comply with trust conditions.

Second, the protection in section 9 is subject to section 8. This means a purchaser, mortgagee or lessee cannot blindly rely on section 9 if the dealing is one that requires Governor approval under section 8. If the Abbot proceeds without that approval, the dealing is invalid even if the counterparty was innocent. The counterparty must ensure the approval exists or risk losing the interest. The Act does not say the counterparty may rely on a certificate or representation from the Abbot. Practical due diligence requires obtaining a copy of the Governor’s countersignature.

Third, section 6(3) means a mortgagee has no personal recourse against the Abbot. Unless the mortgage deed expressly includes a personal covenant, the mortgagee can only enforce against the land. If the land is insufficient to cover the debt, the mortgagee cannot sue the Abbot personally. This is unusual in commercial lending and may restrict the availability of mortgage finance on these lands. Lenders must assess the land’s value carefully and may demand a higher interest rate or additional security.

Fourth, the Abbot cannot mortgage or sell land held on an express trust or condition against alienation (sections 6(5) and 7). This overrides the general power. If the trust instrument prohibits alienation, the Abbot is stuck. A counterparty dealing in such land would get no title. The Act does not provide a mechanism to override such conditions, even with beneficiary consent. So the trust terms must be checked before any dealing.

Fifth, section 12 allows the Abbot to appoint an administrator to act after his death, but this appointment must be made in writing during his lifetime. If the Abbot dies without making such an appointment, the Act is silent. The corporation sole continues, but who exercises the powers? The administrator mechanism only works if appointed beforehand. This creates a gap if the Abbot dies intestate as to the appointment. The successor cannot act until canonically appointed and taking possession, which could take months. During that period, the property may be unmanaged, and documents cannot be executed. That is a risk for tenants or mortgagees dealing with the estate.

Sixth, the vesting under section 3 is automatic by force of law, but the registration under section 10 is mandatory for the vesting to be noted on title. Until registered, the legal title may not be reflected in the Torrens register, creating a discrepancy. The Act does not say the vesting is void if unregistered, but registration is required to note it. A purchaser from the Abbot after vesting but before registration might face priority issues under the Transfer of Land Act. The Act does not excuse registration; it provides for it free of charge, but the Abbot must still take steps.

For the Abbot Nullius (or administrator or attorney acting on his behalf), compliance requires several steps. First, ensure that all property within the Territory Nullius that is held by the Church or by trustees for the Church is formally vested in the Abbot as corporation sole. This occurred automatically on the commencement of the Act, but registration under section 10 should be completed at Landgate to note the change on each certificate of title. The Abbot should check that each title listed in the Schedule, and any after-acquired property, is registered in the name “The Abbot Nullius of New Norcia” free of charge.

When dealing with property, the Abbot must first identify the source of the land. Determine whether it was originally granted by the Crown without pecuniary consideration. If so, any sale, mortgage, or lease for a term exceeding 21 years requires Governor approval under section 8. The Abbot should apply to the Executive Council for that approval, providing details of the proposed dealing, and obtain a countersignature on the assurance document. If the land was not Crown-granted without consideration, or is a lease for 21 years or less, section 8 does not apply, and the Abbot can proceed under sections 5-7.

Second, the Abbot must respect any trusts or conditions affecting the land. Check any trust instruments: if they contain an express condition against alienation, the Abbot cannot sell or mortgage that land. If they only restrict the use or destination of proceeds, the Abbot may deal but must ensure proceeds are applied in accordance with the trust. For land held on trust, the Abbot should keep records of the trusts and ensure that any dealing is for a proper purpose under the trust.

Third, for mortgages, the Abbot should be aware that section 6(3) excludes personal liability unless the mortgage deed expressly includes a personal covenant. If the Abbot wants to provide personal recourse, he can include it. Otherwise, the mortgagee must accept that recourse is limited to the land. The Abbot should ensure that mortgage proceeds are used for the purposes stated in section 6(1)(a) or (b), i.e., building, improvement, any necessary purpose, or paying off existing mortgages. The proceeds can also be used to improve other land within the territory not comprised in the security.

Fourth, for leases over 21 years on Crown-granted land without consideration, Governor approval is necessary. The lease must be countersigned. Leases under 21 years, or on other land, are not subject to that requirement.

Fifth, when executing documents, the Abbot should use the corporate name “The Abbot Nullius of New Norcia”. If he is absent from Western Australia, he may appoint the Vicar General and a Priest (or either) as attorneys under section 11 to exercise all or any powers. The appointment must be in writing under hand and seal. The attorney executes documents in the Abbot’s name. Similarly, for death, the Abbot should appoint an administrator in writing during his lifetime to act from death until successor appointed.

For counterparties (purchasers, mortgagees, lessees), practical compliance means: (1) obtain a copy of the Governor’s approval if the dealing involves land originally granted by the Crown without consideration; (2) check whether the land is subject to an express trust against alienation; (3) for mortgages, understand that the Abbot is not personally liable unless the mortgage says so; (4) rely on section 9 for not having to inquire into internal matters, but do not assume that covers the absence of Governor approval; (5) ensure the dealing is executed by the Abbot or a properly appointed attorney or administrator; (6) register the dealing under the Transfer of Land Act 1893 or Registration of Deeds Act 1856 in the usual way.

Overall, the Act is narrow and specialised. Compliance focuses on due diligence as to the provenance of the land, respect for trust conditions, and obtaining Governor approval where required. The absence of penalties does not reduce the risk of invalidity.
