Riverbank Act 1997

The Act scaffolds a handful of legal-technical concepts that determine who controls land, services and obligations on the Site. Understanding these core concepts is the starting point for legal and commercial analysis.

• Site, casino site, subsidiary sites and common area. The Site is the land defined by regulation (s 5). The Governor and the Corporation have mechanisms to vary the definition and boundaries. The casino site is defined by regulation and may include an expansion area declared by the Governor (s 7(1), (1a)-(1c)). Subsidiary sites and the common area are defined by regulation and may be redefined by Gazette notice from the Corporation subject to stakeholder consent rules (s 7A(1)-(3)). The Act requires a stakeholder’s agreement for many boundary changes (s 7(3); s 7A(3)), but also creates an exception where the Governor may make consequential variations for the expansion area without those consents (s 7(4)).
• Stakeholder and membership. A stakeholder is the occupier of a subsidiary site; the Act defines occupier to include fee simple owners or lessees depending on lease status (s 3). Each stakeholder is a member of the Corporation (s 12(1)), holds voting rights fixed by regulation (s 12(2)) and those rights attach to the stakeholder automatically on a change in identity (s 12(3)(a)). Voting rights are inalienable by other means (s 12(3)(b)).
• Corporation and common area custodianship. The ASER Services Corporation is a statutory corporate entity with broad capacities (ss 9-11). The Corporation holds custody and control of the common area (s 15(1)), must exercise that custody for the benefit of stakeholders and the public (s 15(2)), but must recognise stakeholder appurtenant rights and may restrict public access or grant exclusive occupation for periods up to three years by special resolution (s 15(3)(a)-(c); s 15(4)).
• Shared facilities and basic services. Shared facilities are either those listed in regulation or, if the Corporation publishes a Schedule with unanimous stakeholder agreement, the facilities listed in that Schedule (s 17(1)-(2a)). Basic services are defined categorically (electricity, fire protection, chilled water for air conditioning, waste water disposal, and others by unanimous agreement) and must be provided by the Corporation at the request of a stakeholder on reasonable terms (ss 17(3); 18). Importantly, shared facilities are treated as chattels that vest in the Corporation and do not merge with the realty even if annexed (s 19).
• Compulsory contributions. The Corporation finances its activities by levying compulsory contributions set in an annual budget (s 21) and raised on a basis fixed by regulation or, if changed, by unanimous corporate decision (s 22(1)-(2)). Contributions can be based on usage, separated by type of responsibility, and carry interest including punitive rates for late payment (s 22(3)). Contributions are recoverable as a debt (s 22(4)) and services may be discontinued for arrears subject to a safety exception (s 22(5)).
• Statutory rights of support. The Act creates enforceable rights of support between relevant sites for existing, lawfully erected, or modified buildings and structures (s 7C(1)-(2)). The Supreme Court can make orders for enforcement including mandatory injunctions and may entertain applications either by occupiers of dominant sites or by the Corporation on its own behalf or on behalf of a stakeholder (s 7C(3), (5)).
• Executive development and project powers in Schedule 1. Schedule 1 introduces the concept of a designated project declared by the Governor. For a designated project the Minister can recommend the Governor suspend or modify existing rights (cl 2), authorise entry and works including demolition and occupation (cl 3), and create new rights and interests such as easements or rights of access (cl 4). Schedule 1 contains express non-compensation clauses for action under those provisions (cl 2(9); cl 3(5); cl 4(6)). Instruments made under cl 4 can be registered by the Registrar-General without consent (cl 4(7)) and prevail over inconsistent existing rights (cl 4(4)).
• Interaction and override. The Act expressly operates notwithstanding the Real Property Act 1886 (s 4) and contains express interaction points permitting the Treasurer to exempt dealings from other statutory regimes within a defined time window (s 30). The Act also provides s 29: acts done under this Act do not constitute breaches or defaults under statutes or contracts nor civil or criminal wrongs.

These concepts produce several mechanical incentives. Ownership of shared facilities vests in the Corporation (s 19), so stakeholders rely on the Corporation for maintenance and service provision (ss 16-20) and must finance those functions through compulsory contributions (ss 21-22). The Schedule 1 powers create an asymmetric, executive-led pathway to alter rights and physical fabric of the Site for designated projects, with limited or no compensation and registration priority (Sch 1 cll 2-4). Governance rights within the Corporation are attached to stakeholders and are not freely alienable (s 12(3)), creating a closed-membership governance model that ties service obligations to occupier status. The next section explains who precisely carries obligations and who faces the costs.

The Act concentrates effects on a defined set of actors connected to the Site and on public authorities with executive powers. The primary categories are stakeholders (occupiers of subsidiary sites), the Corporation, TransAdelaide and ASER, the Governor, the Treasurer and the Minister, and third parties in the designated areas.

• Stakeholders. The Act defines a stakeholder as the occupier of a subsidiary site (s 3). That includes fee simple owners where the subsidiary site is not leased, and lessees where it is (s 3). Stakeholders are directly affected in multiple ways: they become members of the Corporation with fixed voting rights (s 12); they are liable to compulsory contributions as set in the Corporation’s budget (ss 21-22); they may be required to permit operational or maintenance works on their subsidiary sites by the Corporation or its agents (s 20(2)-(3)); and,if a designated project is declared under Schedule 1,some of their rights (development rights, access, support rights, service rights) may be suspended or modified by Gazette notice on the Minister’s recommendation (Sch 1 cl 2).
• The Corporation. The ASER Services Corporation (s 9) is a statutory corporate manager charged with custody and control of the common area (s 15), provision and maintenance of shared facilities (ss 17, 20), insurance obligations (s 14), budgeting (s 21) and accounting/audit obligations (ss 23-24). The Corporation may levy compulsory contributions and may recover them as debts (s 22). It can publish a Schedule of shared facilities with unanimous stakeholder agreement (s 17(2)). The Corporation’s powers include entry to carry out operational work on subsidiary sites (s 20(2)). If it fails in its obligations, stakeholders can apply to the Supreme Court for appointment of an administrator who takes possession and control of the Corporation’s property and may exercise its powers under Court terms (s 25).
• ASER, TransAdelaide and head lessees. The Act’s historical background and certain provisions engage ASER and TransAdelaide directly. The Act allows severance or substitution of head leases and mechanisms to apportion rent and reflect head lease terms in severed leases with the Treasurer stepping in to determine fair apportionment if parties fail to agree (s 8). Land added under s 6(1) vests in TransAdelaide (s 6(2)). Section 28 grants a time-limited stamp duty exemption for specified instruments involving ASER and its related entities if lodged within one year.
• Executive authorities. The Governor, Minister and Treasurer hold decision-making powers with practical effect. The Governor may enlarge the Site (s 6(1)), declare the expansion area for the casino site (s 7(1b)) and make regulations (s 31). The Minister may recommend suspensions or modifications under Schedule 1 and may authorise entry and works (Sch 1 cll 2-3). The Treasurer may determine fair apportionments of rent and terms where parties fail to agree under lease severance provisions (s 8(b)-(c)) and may, within one year of commencement, exempt the creation of interests in the Site from specified statutes (s 30(1)).
• Third parties and the public. The Act affects the public’s access to the common area because the Corporation’s custody is for the benefit of stakeholders and the public (s 15(2)), but the Corporation may restrict access if authorised by the Minister (s 15(3)(b)). The Schedule’s defined adjacent areas extend the scope of development powers to nearby land marked in deposited plans (Sch 1 cl 1).
• Service providers and contractors. The Corporation may contract agents or contractors and will be responsible for operational and maintenance work, including entry onto subsidiary sites (s 20(2)). Providers of basic services may be engaged under the Corporation’s insurance and service obligations (ss 14, 18), and third-party rights in services may be created or varied under Schedule 1 (Sch 1 cl 4).

Who pays and who bears risk. Stakeholders fund the Corporation through compulsory contributions fixed in the annual or supplementary budgets (s 21(1)-(3); s 22). If the Corporation defaults on obligations, stakeholders can pursue Court appointment of an administrator, but the costs of administration are charged to the Corporation’s funds (s 25(6)). Where Schedule 1 powers are exercised, the Act expressly denies rights to compensation (Sch 1 cll 2(9), 3(5), 4(6)), so those who lose rights or face occupation and works for designated projects carry the economic and operational risks unless the Governor or Minister provides substitute rights on terms. The Crown acquires the common area on winding up (s 27(2)(a)) but is not subject to the Corporation’s other obligations (s 27(2)(c)).

The Act therefore affects occupiers and owners materially by altering governance, financing, maintenance responsibilities and by granting executive power to modify or suspend rights and create new interests in the designated area with limited compensation recourse. The practical behaviour change expected is that stakeholders must budget for contributions, accept statutory maintenance and entry regimes, and factor in the executive risk of Schedule‑1‑driven project action.

The Act defines a set of enforceable duties for the Corporation and concurrent rights for stakeholders and others. These duties and rights are contractual, statutory and administrative in nature and are concentrated in Part 4 and Schedule 1.

Key duties of the Corporation

• Custody and control of common area. The Corporation must exercise custody and control of the common area for the benefit of stakeholders and the public (s 15(1)-(2)). It must recognise and allow stakeholder appurtenant rights under leases (s 15(3)(a)), may restrict access if Minister authorised (s 15(3)(b)), and may grant limited exclusive occupation by special resolution for up to three years (s 15(3)(c); s 15(4)).
• Maintenance, lighting and safety. The Corporation must maintain the common area in good condition, keep it well lit and make reasonable provision for safety of persons and property (s 16).
• Provision and maintenance of shared facilities and operational access. The Corporation must provide and maintain shared facilities for stakeholders (s 20(1)). To do so, it may enter subsidiary sites at reasonable times with necessary vehicles and equipment and carry out operational or maintenance work (s 20(2)). Operational work may include excavation, cutting into buildings or partial demolition if reasonably necessary for proper operation or maintenance of shared facilities (s 20(3)). The Act requires the Corporation to attempt to keep disturbance to stakeholders to a minimum (s 20(4)).
• Provision of basic services. The Corporation must, at a stakeholder’s request, provide basic services on reasonable terms and conditions (s 18). Basic services are defined as electric power (including emergency), fire protection, chilled water for air conditioning, waste water disposal and others by unanimous agreement (s 17(3)).
• Insurance. The Corporation must maintain insurance to an extent fixed by the regulations against specified classes of liability (s 14(1)). The Corporation may also insure stakeholders at their request and on their behalf (s 14(1a)). The Corporation’s liability for a covered class is limited to the amount it was or should have been insured for (s 14(2)).
• Budgeting, levying and accounts. The Corporation must prepare an annual budget fixing compulsory contributions (s 21). It must keep proper accounts and comply with Corporations Act accounting standards (s 23). It must have its accounts audited within six months after each financial year by a registered company auditor and lay audited accounts before members (s 24).
• Compliance with regulations and internal procedures. Regulations may govern the Corporation’s operations, management and internal procedures (s 11). Where regulations do not deal with a matter, the Corporation determines how the matter is handled (s 11(2)).

Rights of stakeholders and others

• Membership and voting rights. Each stakeholder is a member of the Corporation and has voting rights fixed by regulation (s 12(1)-(2)). Voting rights attach to a stakeholder and automatically transfer on identity change (s 12(3)(a)) and cannot be alienated otherwise (s 12(3)(b)). Decisions by majority of votes cast at a meeting are Corporation decisions (s 13(3)). A special resolution requires at least 75% of votes as defined (s 3).
• Use and enjoyment of common area and shared facilities. Stakeholders have rights to the use of the common area and shared facilities appurtenant to leases; the Corporation must recognise these (s 15(3)(a)). The Corporation must provide shared facilities and basic services (ss 17-20).
• Support rights. Statutory rights of support exist between relevant sites for buildings and structures as described (s 7C(1)-(2)). These are enforceable against owners and occupiers of servient sites and enforceable via Supreme Court orders, including mandatory injunctions (s 7C(3)). Applications for enforcement may be brought by occupiers of dominant sites or by the Corporation (s 7C(5)).
• Right to enforcement and remedies. If the Corporation fails in its duties, a stakeholder may apply to the Supreme Court for appointment of an administrator to take possession and control and exercise corporate powers under the terms fixed by the Court (s 25). The costs of administration are paid from the Corporation’s funds (s 25(6)).
• Rights of priority and registration for new interests. Under Schedule 1 cl 4 instruments creating new rights or interests may be registered by the Registrar-General on application without consent (Sch 1 cl 4(7)), and such instruments prevail over inconsistent existing rights to the extent of inconsistency (Sch 1 cl 4(4)).
• Limited protection from contractual or statutory default claims. The Act provides that nothing done under it constitutes a breach of, or default under, an Act or other law, or a breach of contract or civil or criminal wrong (s 29). That clause creates a statutory immunity for authorised acts under the Act, subject to the exact terms of the Act.

Duties and rights under Schedule 1

• Suspension and modification of rights. The Governor may, on Minister recommendation, suspend or modify specified rights in the designated area for a designated project (Sch 1 cl 2). The Minister must be satisfied the action is reasonably necessary (cl 2(2)). The notice may be limited and on terms or conditions (cl 2(3)). The Minister should endeavour to grant substitutional rights on terms unless doing so would adversely impact a project or is unnecessary (cl 2(4)). No right to compensation or action arises from suspension (cl 2(9)).
• Authorisation of works and occupation. The Minister or an authorised person may enter, occupy, modify or remove structures and services (Sch 1 cl 3). The Act criminalises obstruction and imposes a penalty (Sch 1 cl 3(3) maximum $5,000). No compensation is payable for acts under cl 3(5).
• Creation of new rights. The Minister may create new rights and interests by instrument and may permanently modify existing rights (Sch 1 cl 4(1)-(3)). The Minister must take reasonable steps to avoid materially affecting business viability (cl 4(5)) but no right to compensation arises for actions under cl 4(6). Instruments registerable by the Registrar-General give priority and are registrable without consent (cl 4(7)).

These duties and rights reallocate operational and financial responsibility for common infrastructure to the Corporation, while giving stakeholders governance inputs via membership and voting. The Act also places significant executive discretion in the hands of the Governor and Minister for designated projects, subject to limited procedural and substantive checks contained in the Schedule.

The Riverbank Act places a number of enforcement mechanisms, civil remedies and criminal penalties in the hands of statutory entities, the courts and regulatory instruments. Enforcement is split between compliance with statutory duties (civil recovery, court orders), criminal offences for obstruction, administrative remedies (appointment of an administrator), and regulatory penalties.

Civil enforcement and recovery

• Debt recovery for contributions. Compulsory contributions set in the Corporation’s budget are recoverable as a debt from the relevant stakeholder (s 22(4)). There is no special property charge or statutory lien in the text; the means of recovery are expressed as ordinary debt recovery, which allows the Corporation to litigate to recover unpaid sums.
• Discontinuation of services for arrears. If a contribution is in arrears, the Corporation may discontinue provision of service to that stakeholder while outstanding, except where discontinuance would create or increase risk of physical damage to property (s 22(5)). This creates a self-help enforcement mechanism linked to service provision rather than a direct statutory property remedy.
• Statutory rights of support enforcement. Rights under s 7C are enforceable by the Supreme Court which may make orders including mandatory injunctions to require a servient site occupier to permit construction of foundations or supports (s 7C(3); s 7C(4)). Applicants include the occupier of a dominant site and the Corporation on its own right or on behalf of a stakeholder (s 7C(5)).

Administrative enforcement

• Appointment of administrator. If the Corporation fails to perform obligations, a stakeholder may apply to the Supreme Court for appointment of an administrator (s 25(1)). The Court may appoint an administrator on terms and remuneration fixed by the Court (s 25(2)). The administrator is entitled to possession and control of the Corporation’s property and may exercise the Corporation’s powers under Court authority (s 25(3)). While appointed, the administrator’s powers alone are exercisable in relation to the Corporation (s 25(4)). The costs of administration, including remuneration, are paid from Corporation funds (s 25(6)). The administrator may resign or be removed by the Supreme Court (s 25(5)).
• Corporate governance enforcement. The Corporation must keep proper accounts, comply with Corporations Act standards (s 23), and have audited accounts laid before members (s 24). Failure to comply potentially engages external regulatory regimes or gives members grounds for action, though the Act does not set out express statutory penalties for accounting non‑compliance beyond the audit and disclosure requirements.

Criminal penalties and statutory fines

• Obstruction of operational or maintenance work. Section 20(5) makes it an offence to obstruct operational or maintenance work under s 20. The maximum penalty is $2,500.
• Schedule 1 obstruction penalty. Under Sch 1 cl 3(3) a person must not, without reasonable excuse, hinder or obstruct a person exercising a power under that clause; maximum penalty $5,000.
• Regulatory penalties. The Governor may make regulations for the Act and may impose penalties not exceeding $2,500 for contravention of or non-compliance with a regulation (s 31(2)). Specific regulations and their penalties are not in the text provided; the Act permits them.

Legal immunities and limitation on claims

• No breach or wrong. Section 29 provides that nothing done under the Act constitutes a breach, default or civil or criminal wrong. That provision is broad and operates to limit legal challenge to acts done under the Act within its authority, subject to the Act’s own processes. Similarly, Schedule 1 contains express clauses denying rights to compensation for suspensions, authorised works or creation of rights under cll 2(9), 3(5) and 4(6). Clause 4(4) gives newly created rights priority over inconsistent existing rights.

Supervisory judicial role

• Supreme Court oversight remains available in key areas: enforcement of support rights under s 7C; appointment and oversight (removal/approval of resignation) of administrators under s 25; and, implicitly, any proceedings alleging overreach beyond the Act’s powers. The Act lends wide executive power for designated projects but contains judicially justiciable hooks through the Supreme Court for certain remedies.

Other enforcement considerations

• Insurance limitation. The Corporation’s liability for insured classes is limited to amounts for which it was or ought to have been insured (s 14(2)). That limits exposure for claims in respect of liabilities that the regulations require insurance for.
• No compensation for Schedule actions. The repeated denial of compensation for actions under Schedule 1 shifts the financial burden from the State to affected stakeholders or occupiers in many scenarios involving designated projects. The Act does not, in the text provided, supply a compensatory or equivalent relief mechanism in the face of Schedule 1 actions.

In practice, enforcement is a combination of self-help (service disconnection), contractualistic remedies (debt recovery), administrative remedy (administrator appointment), limited criminal sanctions for obstruction, and judicial enforcement of certain property remedies. The Act’s immunity clauses and Schedule 1 non-compensation provisions reduce the statutory avenues for damages for actions that are authorised by the Act or Schedule 1 notices.

The Act expressly positions itself to interact, override and be coordinated with other statutory regimes. The Act includes both overrides of pre-existing property law and delegation of exemption powers to Treasury and regulatory instruments. The principal interaction mechanisms are set out in ss 4 and 30, and in Schedule 1.

Express override and primacy

• Real Property Act. Section 4 states the Riverbank Act has effect despite the Real Property Act 1886. That is an express statutory primacy provision: where the Act conflicts with the Real Property Act 1886, the Riverbank Act prevails within its scope.
• Registrations and priority for Schedule instruments. Schedule 1 cl 4(7) obliges the Registrar-General to register instruments creating rights under cl 4 without the need for any consent. Schedule 1 cl 4(4) makes instruments created under cl 4 prevail over inconsistent pre-existing rights to the extent of inconsistency. Those clauses directly affect land registration and priority rules that otherwise govern property dealings.

Delegations and exemptions

• Treasurer's exemptions. Section 30(1) permits the Treasurer, by instrument within one year after commencement, to exempt the creation of an interest in or a dealing with the Site under this Act from specified Acts: the Land and Business (Sale and Conveyancing) Act 1994; the Retail Shop Leases Act 1995; and Part 4 of the Development Act 1993. Where such an exemption is granted, s 30(2) provides that an application under s 223LD of the Real Property Act 1886 for division of land need not be accompanied by a certificate under Part 4 of the Development Act 1993. These clauses permit the Treasurer to disapply land sale/conveyancing retail lease and some development procedural regimes for Site dealings for a limited period.
• Corporations Act standards. The Corporation is required to keep accounts and comply with the requirements and standards applicable to a public company under the Corporations Act 2001 of the Commonwealth (s 23(2)). For winding up, s 27(1) declares the winding up of the Corporation to be an applied Corporations legislation matter and references Parts 5.5 and 5.6 of the Corporations Act accordingly (s 27(1)-(1a)). These cross-references import national corporate accounting, audit and insolvency standards.

Interaction with leases and tenure

• Head lease severance and substitution. The regulations may authorise severance of a head lease covering multiple sections into separate leases and may provide for apportionment of rent and terms; if TransAdelaide and ASER fail to agree the Treasurer may determine a fair and reasonable apportionment (s 8). Section 26 allows substitution of a new head lease without surrender or termination of underleases, and such underleases automatically attach to the new head lease (s 26). These provisions interact with established lease law and sublease relationships, altering the mechanics of assignment and substitution for head leases.
• Shared facility property description. The Act treats shared facilities as chattels and provides that they do not merge with realty (s 19). That interacts with doctrines of fixtures and land law by classifying shared facilities as personal property owned by the Corporation regardless of annexation degree.

Development approvals and rights

• Development Act interface. Section 7B(2)(a) requires that stakeholder developments obtain any authorisation or approval required under the Development Act 1993. At the same time, s 30 allows the Treasurer to exempt the creation of an interest from Part 4 of the Development Act 1993 within one year. Schedule 1 gives the Minister wide powers to suspend development rights or authorise works, including demolition and occupation, for designated projects (Sch 1 cll 2-3). There is therefore a dual tension: ordinary developments require Development Act approvals, but designated projects operate under Schedule 1 powers which can modify or suspend development rights without the usual consents.
• Conferral of rights overriding other interests. Schedule 1 cl 4(4) expressly provides that where instruments created under cl 4 are inconsistent with any other right or interest in the designated area, the new instrument prevails to the extent of the inconsistency. That is an explicit statutory interposition into pre-existing statutory and private rights, including easements or registered interests.

Remedies and immunity

• Non-liability for acts under the Act. Section 29 states that nothing done under this Act constitutes a breach of or default under another Act or contract or a civil or criminal wrong. Coupled with Schedule 1 non-compensation clauses, these provisions substantially limit cross‑claims under other statutes or private law for authorised acts taken under the Act.

Registrars and administration

• Registrar-General obligations. Schedule 1 cl 4(7) requires the Registrar-General to register instruments under cl 4 on application, without consent, which interacts directly with land registration rules and the Registrar-General's usual requirement for consent or supporting instruments.

Practical interactions and timing constraints

• Time-limited exemptions and stamp duty relief. Section 30 exemptions and s 28’s stamp duty exemptions are time-limited, raising practical interactions with conveyancing and taxation law for transactions within the relevant one-year windows.
• Corporations Act obligations. By importing accounting and audit standards, the Act places the Corporation within the broader federal corporate regulatory framework. That produces an interaction between South Australian statutory duties and Commonwealth corporate regulation in accounting, auditing and winding up.

Overall, the Riverbank Act is drafted to operate as a specialised statutory regime with priority over selected pre-existing land law, the capacity to disapply certain statutory formalities temporarily (via Treasurer instruments), and the power to create and register novel rights that can displace existing interests. Practitioners must therefore read the Act in conjunction with registration practice rules, the Development Act and Corporations Act standards to understand full legal consequences for titles, leases and development approvals.

The Act has been subject to a series of amendments since its enactment in 1997. The legislative history set out in the provided text records changes and the dates of amendment and commencement. Below are the concrete changes recorded and the operational effects they produced.

Principal enactment and commencement

• ASER (Restructure) Act 1997 (No 38 of 1997), assented 17 July 1997. General commencement: 5 February 1998 except Part 4 and s 27 which commenced 30 June 1998 (Gazette references provided in history).

Subsequent amendments recorded in the legislative history include:

• ASER (Restructure) (Miscellaneous) Amendment Act 1999 (No 45 of 1999), assented 12 August 1999, commenced 19 August 1999. This amendment made several structural changes: substitution of Part 2 Division 2 (s 7 et seq replaced), insertion of Part 2 Divisions 3 and 4 (development by stakeholders and statutory rights of support), substitution of Part 4 heading and Division 2 heading, insertion of s 14(1a) (insurance for stakeholders), amendments to s 15(3) and insertion of s 15(4), substitution of s 17(1) and (2), insertion of s 17(2a), amendments to s 22(1) and (2), insertion of s 22(3a) and other structural adjustments. These changes broadened stakeholder development rights, statutory support regimes and corporate functions.
• Statutes Amendment (Corporations) Act 2001 (No 23 of 2001), assented 14 June 2001, with parts operative from 15 July 2001 being the day the Corporations Act 2001 (Commonwealth) came into operation. This amendment adjusted s 23(2) and s 27 to align the Corporation’s accounting and winding‑up processes with the federal Corporations Act, including declaring winding up as an applied Corporations legislation matter (s 27(1a)).
• Statutes Amendment (New Rules of Civil Procedure) Act 2006 (No 17 of 2006), assented 6 July 2006, with certain commencement changes on 4 September 2006. This amendment altered s 25(5) concerning the administrator’s resignation and removal provisions.
• ASER (Restructure) (Facilitation of Riverbank Development) Amendment Act 2016 (No 40 of 2016), assented 29 September 2016, commenced 6 October 2016. Key insertions: s 6(3) enlarging the Site to include the expansion area under s 7 when the Governor declares it; new provisions in s 7 to add an expansion area (ss 7(1a)-(1c), 7(4)); insertion of Schedule 1 to facilitate development (Sch 1); amendments to s 1 and other formatting or clarifying edits. Schedule 1 (inserted by s 7 of the amending Act) created the designated area concept, the designated project declaration mechanism, suspension/modification powers (cl 2), authorisation of works and occupation (cl 3), and the power to create new rights and interests (cl 4).

Historical reprints and editorial notes

• The text notes reprints at dates 19 August 1999, 15 July 2001, and 4 September 2006. The legislative history included a table of provisions amended, with entries indicating the provision changed, the nature of the variation, and the commencement date. Many amendments substituted entire divisions or introduced new functions for the Corporation.

Operational effects of amendments

• 1999 amendments restructured the internal governance and functions of the Corporation, formalised shared facility and basic service definitions, created statutory support rights (s 7C), and refined compulsory contribution mechanisms (s 22) including the capacity to levy separate contributions and interest.
• 2001 amendments harmonised corporate accounting and winding-up rules with Commonwealth Corporations Act obligations (s 23 and s 27).
• 2006 amendments affected administrator removal/resignation mechanics and aligned the Act with new civil procedure rules.
• 2016 amendments materially expanded executive development powers through Schedule 1, introduced an expansion area mechanism for the casino site, and clarified certain boundary and regulatory powers (s 7(4); s 6(3)). Schedule 1 introduced potentially far-reaching statutory tools for designated projects, including suspension of rights, authorisation of works, and creation of new registrable interests without consent.

Time-limited transitional provisions

• The Act provided time-limited instruments such as the Treasurer’s power to exempt dealings under s 30 within one year after commencement, and stamp duty exemptions under s 28 for certain instruments if lodged for stamping within one year after commencement. These were short‑term transitional measures intended to facilitate restructuring.

Notes on editorial and revision caveats

• The legislative history contains a note that references to other legislation, instruments or body titles may not be automatically updated in the published revision, indicating potential obsolescence of cross‑references outside the Act’s own amendments.

For practitioners this amendment history matters: the 1999 and 2016 amendments altered the governance, property and executive landscape for the Site and inserted Schedule 1 powers that materially changed development authority. Any historical title searches or contract reviews should reference the operative version relevant to the date of the transaction because the Act expressly overrides or disapplies certain pre-existing property law provisions (s 4) and because Schedule 1 instruments may have been used to create or alter rights that affect current title and obligations.

The text of the Riverbank Act 1997 provided here contains no citations to judicial decisions, and no cases are named in the Act itself. The Act records no litigation history in the printed legislative history attached to the version provided. Consequently, from the source document alone:

• There are no case names, decided judgments, or reported litigation summaries included in the Act text or legislative history provided.
• The Act sets out multiple hooks for judicial involvement , notably Supreme Court enforcement for statutory rights of support (s 7C) and supervisory jurisdiction regarding the appointment, removal and payment of administrators (s 25). Those provisions imply potential future litigation avenues, but no litigated instances are reported in the Act text.
• Any actual litigation arising from this Act (for example, disputes about support rights, enforcement against stakeholders for contributions, challenges to Schedule 1 notices or to the exercise of power under Schedule 1, or claims in relation to severance of head leases under s 8) are not recorded in the legislative history attached to the Act provided.

Practical implication for lawyers and researchers

• Because the source does not include judicial authorities, legal advisers must search case law databases, Supreme Court records and tribunal decisions for any post‑enactment disputes involving the Act to assess interpretative trends, judicial deference to executive actions under Schedule 1, enforcement of statutory support rights, construction of the Act’s immunity clauses (s 29) or the Court’s approach to appointing administrators under s 25.
• Absent cases in the provided source, one cannot draw source-based conclusions about judicial treatment of the Act’s novel features such as the non-compensation rules in Schedule 1, the Registrar‑General’s registration obligations under cl 4(7), or the compatibility of the Act’s override of the Real Property Act with broader property law principles.
• Stakeholders and counsel should treat the Act as creating potential but untested causes or defences, and plan for contested litigation scenarios because the Act confers both discretion to the executive and specific court remedies.

In short, the Act contains multiple provisions that invite judicial involvement but the provided text does not record any litigation history. Any assessment of how courts will interpret or apply the Act requires case-law research outside this source.

The Act contains several provisions and structural features that create non-obvious legal and commercial consequences for stakeholders, purchasers, lenders, occupiers and counsel. The following are precise, source-grounded items that merit attention when advising clients or drafting transactions.

1. No compensation for many State actions under Schedule 1. Schedule 1 contains explicit clauses denying compensation or other rights of action for suspensions (cl 2(9)), authorised entry and works (cl 3(5)), and creation of new rights (cl 4(6)). Where a designated project is declared, affected occupiers may lose rights or have works carried out on their land with no statutory right to compensation. That shifts financial risk to affected occupiers unless the Minister grants substitutional rights under cl 2(4).
2. Broad ministerial power to suspend rights with limited procedural safeguards. Sch 1 cl 2 allows suspension or modification of a wide list of rights (including development rights, rights of support and rights of access), but the only statutory threshold is that the Minister be satisfied the action is reasonably necessary for the project (cl 2(2)). A notice takes effect by Gazette and need not be registered on title to be operative (cl 2(11)), while s 29 immunises acts under the Act from constituting breaches of other laws.
3. Instruments creating new rights prevail over inconsistent existing rights and are registerable without consent. Sch 1 cl 4(4) and (7) give the Minister power to create rights which prevail to the extent of inconsistency and require the Registrar-General to register such instruments without consent. That affects marketability and title searches because interests may be created that displace previously existing rights.
4. Service discontinuation as an enforcement lever. The Corporation can discontinue provision of service for arrears (s 22(5)). While limited by the safety exception, this is a direct and immediate enforcement tool that could materially impair a stakeholder’s operations (for example, loss of chilled water for air conditioning or electric power) where contributions are unpaid.
5. Shared facilities are chattels owned by the Corporation. Section 19 treats shared facilities as chattels that do not merge with the realty. For lenders and purchasers, fixture doctrine may be displaced for these items and the Corporation’s ownership may mean lenders cannot rely on typical mortgage remedies that assume fixtures secure the land.
6. Voting rights inalienable and attached to occupier identity. Section 12(3) provides that voting rights attach to the stakeholder and automatically transfer on change of identity of the stakeholder, but cannot be otherwise alienated. This creates an unusual governance link between title/occupation and corporate governance separate from share or membership transfer mechanics.
7. Limited access to compensation and immunities. Section 29’s broad clause that nothing done under the Act constitutes a breach, default or civil or criminal wrong, combined with Schedule 1 non-compensation clauses, may preclude claims that would otherwise be available in tort, contract or under other statutes. The practical reach of s 29 in exclusionary effect is a source of legal uncertainty absent judicial interpretation.
8. Treasurer’s and Governor’s discretion and time limits. The Treasurer can exempt dealings from other statutes but only within one year after commencement (s 30(1)). Practitioners must be alert to the expired window for exemptions; if the exemption was not exercised, developers must comply with the standard regimes. Similarly, the Governor’s capacity to declare expansion areas and make consequential boundary regulations (s 7(1b), (4); s 6(1)-(3)) may produce boundary changes that do not require stakeholder consent in certain circumstances.
9. Corporations Act integration and winding-up results. The Corporation must comply with Corporations Act accounting standards (s 23) and winding-up is treated as an applied Corporations matter (s 27(1)-(1a)). On winding-up the common area vests in the Crown and the Crown need not assume other corporate obligations (s 27(2)(a)-(c)), potentially leaving stakeholders with appurtenant usage rights but no corporate counterparty for other obligations.
10. No recorded case law in the source. The Act’s novel mechanisms (non-compensation clauses, broad ministerial powers, registration without consent) remain untested in the text provided. Advisers must plan for litigation risk without statutory judicial precedent and include contractual protections where possible.
11. Potential conflicts with Development Act pathways. Stakeholder developments still require any Development Act authorisations (s 7B(2)(a)), but Schedule 1 may suspend these rights. Transaction documents should account for the possibility of Schedule 1 notices and for the Treasurer’s limited capacity to exempt dealings from the Development Act (s 30(1)).
12. Registration and title risk: Gazette notices operative without registration. Sch 1 cl 2(11) provides that a Schedule 1 notice has effect according to its terms without the need to register or note instruments on title. This can complicate due diligence; searching title records alone may not reveal operative Schedule 1 notices.

Each gotcha above flows directly from the statutory text. Practitioners should therefore adjust title searches, contract warranties, lease drafting, lender protections, insurance arrangements and budgeting to reflect the possibility of non-consensual, non-compensated executive action under Schedule 1, the Corporation’s enforcement tools, and the Act’s override and registration mechanics.

Compliance under the Riverbank Act requires coordinated attention across governance, finances, regulatory approvals, property record-keeping and strategic risk management. The following practical checklist and recommended steps are grounded in the Act’s requirements and mechanics.

1. Determine regulatory definitions and boundaries

• Confirm what land constitutes the Site, casino site, subsidiary sites and common area by consulting the regulations and any Corporation Gazette notices (s 5; s 7; s 7A). If an expansion area has been declared by the Governor, note s 7(1b)-(1c) and s 6(3). For conveyancers, ensure plan numbers and deposited plans referenced in s 7(1c) and Sch 1 cl 1 are inspected.

2. Establish membership and voting position

• Verify stakeholder status (occupier definition in s 3). Ensure that membership and voting rights are correctly recorded and that any transfers of stakeholdership are documented so voting rights attach automatically per s 12(3). Where voting thresholds matter, note the definition and use of special resolution (s 3).

3. Budget and contributions

• Prepare and approve annual and any supplementary budgets in line with s 21. Ensure the budget fixes the amount to be raised by compulsory contributions and the relevant basis (regulation or unanimous corporate decision) for levying them (s 21(3); s 22(1)-(2)). Where contributions may be based on usage, ensure metering and allocation mechanisms are in place (s 22(3)(a)). Include contractual provisions for interest on late payments given s 22(3)(c).

4. Contracts and service arrangements

• Document terms for basic services and shared facilities. The Corporation must provide basic services on reasonable terms at a stakeholder’s request (s 18). Draft clear service agreements, operating procedures and access protocols for operational and maintenance work on subsidiary sites (s 20(2)-(4)), including notice requirements and disturbance minimisation protocols to align with s 20(4).

5. Insurance and risk transfer

• Ensure the Corporation complies with regulatory insurance requirements and consider the Corporation insuring stakeholders on request (s 14(1)-(1a)). Verify insurance levels required by regulation and confirm cover types. Remember s 14(2) limits corporate liability to insured amounts for certain liability classes.

6. Accounting and audit compliance

• Maintain accounts in accordance with Corporations Act standards (s 23(2)) and arrange audit by a registered company auditor within six months after the end of each financial year, with audited accounts laid before members (s 24). Keep financial governance documentation and ensure external auditor independence and timetables.

7. Lease drafting and head lease management

• When drafting or negotiating leases, include terms to reflect possibilities under s 8 (severance of head lease), s 26 (substitution of head lease), and s 19 (shared facilities are owned by Corporation, not merging with realty). Lenders should consider security implications given shared facilities are chattels (s 19).

8. Due diligence on Schedule 1 risks

• Before transactions or significant development, check whether a designated project has been declared (Sch 1 cl 2) and whether any Gazette notices under cll 2-4 have been published. Consider adding contractual protections: representation and warranty clauses about absence of Schedule 1 notices, indemnities, termination/compensation triggers, and insurance carve outs. Be aware that Schedule 1 gives the Minister and Governor powers to suspend rights or authorise works without compensation (Sch 1 cll 2(9), 3(5), 4(6)). Title searches may not reveal Gazette notices; therefore search Government Gazettes and Corporation publications.

9. Registration and notice strategies

• If instruments are created under Sch 1 cl 4, coordinate registration with the Registrar‑General given cl 4(7) requires registration on application without consent. Include mechanics in transaction documents to address newly registrable interests and ensure informed consent or contractual allocation of risk where relevant.

10. Prepare for enforcement scenarios

• Establish procedures for debt recovery consistent with s 22(4). Implement protocols for service discontinuance that respect the safety exception in s 22(5). Ensure contingency plans are in place if the Corporation questions the adequacy of funding or if an administrator is appointed under s 25; note costs of administration are paid from Corporation funds (s 25(6)).

11. Regulatory consents and Development Act interactions

• For stakeholder development, secure approvals under the Development Act 1993 as required (s 7B(2)(a)). However, check whether any Treasurer exemptions under s 30 were exercised within the one‑year window after commencement. If not, standard development approvals will apply. Where project timeframes intersect with the Treasurer’s one-year exemption window, obtain evidence of whether an exemption was granted.

12. Governance and dispute minimisation

• For boundary redefinition or Schedule of shared facilities, secure stakeholder unanimous agreement where required (s 17(2); s 7A(2)-(3)). Draft voting protocols and dispute-resolution mechanisms into leases and Corporation rules to minimise litigation risk. Consider including arbitration clauses for disputes that may emerge from application of s 7C (statutory support) or from operational maintenance work.

13. Communicate with lenders and insurers

• Advise lenders that shared facilities are chattels (s 19). Lenders should insist on appropriate legal opinions and security structures, including possibly taking ship‑and‑mortgage style security over chattels or contractual assignments of rights to contributions and guarantees from stakeholders.

14. Monitor legislative and gauge notices

• Maintain a monitoring regime for Gazette notices, regulations under s 31, and Corporation Gazette notices under s 7A(2). The Governor may make regulations and proclamations (s 31), and regulations can impose penalties up to $2,500 (s 31(2)). Track any regulatory changes that alter contribution bases, insurance requirements, or definitions of shared facilities.

15. Transactional remedies and warranties

• In sale or financing documents include specific warranties about compliance with the Riverbank Act obligations, the absence of Schedule 1 notices affecting the property, confirmation of budgets and contributions, and certification of no outstanding maintenance accesses or notices. Consider escrow mechanisms for disputed contributions.

Execution checklist for counsel and compliance teams: confirm site definitions and deposited plans; verify corporate membership and voting arrangements; review leases for appurtenant rights and service provision clauses; ensure budgets and accounting/audit workstreams are in place; assess Schedule 1 exposure and obtain Gazette searches; ensure insurer engagement and confirm regulatory insurance minimums; draft protections for lenders and purchasers that address chattel‑classification of shared facilities and potential executive action without compensation.

Adopting these steps aligns operational practice with the Act’s statutory duties and the risk allocations the Act creates.
