Regional Development Commissions Act 1993

The Act organises a set of connected legal concepts that govern regional development functions, governance, financial flows and ministerial oversight. Key conceptual elements follow, with statutory anchors.

• Commission as statutory corporate body and an agent of the Crown. Each commission is a body corporate with perpetual succession, may sue and be sued, and is expressly an agent of the Crown (s 14). This legal formality creates public law accountability and determines certain liabilities and procurement relationships.

• Board governance model. Each commission’s board, chaired by a Ministerially appointed chair and deputy, is the decision-making authority and may authorise execution of documents under seal or by authorised signatories (ss 15, 22). Board composition rules require up to three cohorts among appointed members: residents nominated under regs; local government councillors nominated by local governments; and Ministerial discretionary appointees; the regulations must be consistent with these proportions unless special circumstances require otherwise (s 16). Schedule 2 prescribes terms of office, removal grounds, temporary members, meeting rules and internal procedure discretion.

• Director and public‑service integration. Each commission’s Director, appointed under the Public Sector Management Act 1994, runs day‑to‑day administration (s 27). Where a Director or officer is a Senior Executive Service member, the Public Sector Management Act prevails to the extent of inconsistency (s 27(3)). Commissions may make use of Public Service staff and facilities under arrangement with Ministers and the Public Sector Commissioner (s 29).

• Functions framed around economic development. Statutory objects include maximising job creation, broadening the economic base, identifying infrastructure, providing information for business development and promoting equitable government service delivery in the regions (s 23(1)). Functions include promotion, coordination with statutory bodies and encouragement of investment and infrastructure (s 23(2)). These are enabling, non‑prescriptive functions rather than limits on activity.

• Powers and limits. A commission may do anything necessary or convenient for its functions and may give financial support by grant (s 24(1), (1a)). Explicit statutory limits disallow entering business undertakings, acquiring land other than tenancy for office premises, and borrowing money (s 24(2)). Part 5 creates an exception by vesting land of certain repealed authorities into successor commissions and empowers those commissions to manage and dispose of that land with Ministerial approval (ss 39-41). The commission’s power to delegate exists but a delegated function is taken to have been performed by the board (s 18).

• Funding and fiscal accountability. Commission funds are parliamentary appropriations and other lawful receipts credited to an agency special purpose account established under the Financial Management Act (s 31). Commissions are subject to the financial administration, audit and reporting provisions of the Financial Management Act 2006 and the Auditor General Act 2006 (s 32). Ministerial directions to commissions must be included in the accountable authority’s annual report under the FMA framework (s 25(2)).

• Ministerial oversight and information rights. The Minister may give directions which a commission must implement (s 25). The Minister may request and must be given access to information and documents in a commission’s possession; commissions must comply and may be required to make staff and facilities available (s 26). The Minister’s appointments power is the principal mechanism for exerting policy control (ss 15, 16; Sch 2 cl 2 provides removal grounds).

• Accountability obligations and sanctions. The Act imposes duties to disclose pecuniary interests at meetings and to record them, with an express offence and penalty of $5 000 for non‑compliance (s 21). Consultants must disclose pecuniary interests and the chair must record that disclosure, with criminal and civil liability attached for non‑recording (s 28). There is a secrecy offence applicable to board members, staff and contracted persons with a penalty of $10 000 (s 30).

These concepts create a statutory structure that mixes local representation (resident nominees and local government councillors), central executive control (Ministerial appointments, directions and information access), constrained financial autonomy (no borrowing; specific account arrangements), and accountability through public sector financial laws (FMA; Auditor General Act).

The Act creates obligations and opportunities for multiple distinct groups. Identifying who is directly affected clarifies where behavioural change and administrative load will appear.

• Commissions and their boards. The primary addressees are the nine named regional commissions (Part 2; Schedule 1). Each commission holds corporate status and is an agent of the Crown (s 14). Boards are the governing bodies; their members (Directors and appointed members) carry statutory duties (ss 15-17, 21) and are protected from personal liability for acts done in good faith (s 20), subject to the Statutory Corporations (Liability of Directors) Act 1996 for two commissions.

• Directors and commission staff. Directors are appointed under the Public Sector Management Act and administer day‑to‑day operations (s 27). Staff and officers appointed under that regime are within the scope of secrecy obligations and reporting requirements (ss 27, 30).

• Minister and central agencies. The Minister to whom the Act is committed appoints and removes board members, gives directions, and may request and obtain information from commissions (ss 3(2), 15, 25, 26). The Public Sector Commissioner is involved in setting remuneration (s 19) and in arrangements to use staff and facilities (s 29). The Auditor General and FMA structures affect commissions’ annual reporting and controls (s 32).

• Local governments and their councillors. Local governments in each region are a source of nominations for one third of appointed board members (s 16(b)). A board member nominated as a local government councillor must be a councillor to remain eligible and the Minister must terminate appointment if the person ceases to be a councillor (Sch 2 cl 2(4)). Local governments also are consultation points when a committee is established (Sch 2 cl 8(2)-(3)).

• Regional communities and businesses. The Act’s objects (s 23) and the creation of Regional Development Advisory Committees (Sch 2 Part 2 div 1) affect businesses, industry groups, education and training institutions and the community by creating an institutional channel for information, advice and possible financial support (s 23(2)(c)-(f); Sch 2 cl 9). Those seeking grants can be affected by grant-making decisions permitted by s 24(1a).

• Persons engaged as consultants or contractors. Commissions can engage consultants with prior Ministerial approval (s 28(1)). Consultants must disclose pecuniary interests related to their services (s 28(2)) and are subject to the secrecy provision (s 30).

• The State’s finances and taxpayers. Funding for commissions is derived from parliamentary appropriation and other lawful receipts and is held in a dedicated special purpose account (s 31). Therefore, any grants, remunerations or operational costs paid by commissions are ultimately supported by the State’s budget processes and subject to FMA controls (s 31, s 32). This creates a fiscal impact that is realised through appropriation decisions.

• Bodies and successors under repealed Acts. The Act sets succession paths for certain former authorities. On repeal of earlier statutes their assets, liabilities, contracts and land passed to the successor commission (Sch 3, ss 1-3; Part 5 ss 39-41). Entities with contractual relationships or land interests with former authorities are affected by the statutory vesting and registration provisions (s 41).

In short, who pays: State appropriation and other lawful receipts that feed the commission accounts (s 31). Who decides: the Minister in appointments, directions and approvals (ss 15, 25, 28); boards in day‑to‑day governance subject to statutory procedure and oversight (ss 15, 17, Sch 2). What behaviour changes: creation of formal regional promotion and coordination activities; centralised appointment and reporting structures that channel regional representation and constrain financial autonomy (s 24(2), s 31, s 32).

The statutory regime generates specific duties on commissions, board members, consultants and others, and confers rights such as corporate capacity, access to funds and ministerial consultation. The key duties and rights are as follows, with statutory references.

Duties imposed on commissions and board members

• Duty to perform objects and functions. Commissions must pursue the objects in s 23(1) and carry out the enumerated functions in s 23(2). These duties require proactive identification of investment opportunities, infrastructure needs and coordination with other agencies.

• Duty to give effect to Ministerial directions. The Minister’s written directions are binding on a commission and the commission must give effect to them (s 25(1)). Direction texts must be disclosed in the commission’s annual report under the FMA framework (s 25(2)).

• Duty to comply with Ministerial information requests and grant access. The commission must furnish information and allow copies and access to documents requested by the Minister and make staff and facilities available for that purpose (s 26).

• Duty of confidentiality. Persons who are or have been board members, committee members, officers, employees or persons engaged under ss 28 or 29 must not record, divulge or communicate information concerning the affairs of another person acquired in connection with the Act, except in performance of a function under the Act (s 30). Penalty: $10 000.

• Duty to disclose pecuniary interests. A board or committee member with a direct or indirect pecuniary interest in a matter must disclose it at a meeting as soon as possible, have the disclosure recorded in the minutes, and, unless the board or committee determines otherwise, must not be present during deliberation or take part in the decision (s 21). Penalty for contravention: $5 000.

• Duty to record consultant disclosures. A consultant who has a pecuniary interest must disclose to the chairperson and the chair must cause the disclosure to be recorded in the minutes (s 28(2)-(3)). Failure by the chair to cause recording creates civil liability for damages and a statutory fine of $5 000 (s 28(4)).

• Financial administration duties. Commissions must manage funds credited to their special purpose accounts in accordance with FMA rules and apply funds to specified categories including repayment of advances, remuneration/allowances and lawful expenditure (s 31; s 32 binds commissions to FMA and Auditor General Act obligations).

Rights and powers conferred

• Corporate capacity and agency status. Each commission is a body corporate and may sue and be sued, a legal capacity that supports contracting and property dealings within statutory limits; commissions are agents of the Crown for legal effect (s 14).

• Power to provide grants. Commissions may provide financial support in the form of grants for the performance of their functions (s 24(1a)).

• Broad power to do necessary and convenient things. The general power clause allows commissions to act in ways incidental to performance of functions (s 24(1)), including acting with any person or government agency (s 24(3)).

• Delegation power. Boards may delegate functions to an appointed member, the Director, officers or committees, except for the power of delegation itself (s 18). Delegated acts are treated as acts of the board for statutory purposes (s 18(2)).

• Access to appropriation and other lawful moneys. Commissions receive funds by parliamentary appropriation and any other lawful receipts and hold them in an agency account under the FMA framework (s 31).

• Powers in relation to vested land. For land vested under Part 5 from repealed authorities, the successor commissions may manage, dispose, develop or contract in relation to that land, subject to Ministerial approval (ss 39-41; s 40(2)).

Other procedural duties

• Execution of documents. The common seal may be used only by board resolution and in the presence of the chair and one other board member who must sign to attest (s 22). Boards may authorise officers to sign under seal (s 22(4)).

• Compliance with public sector appointment and remuneration rules. Appointment and terms of Directors and officers are subject to the Public Sector Management Act (s 27); remuneration for appointed members is set by the Minister after consultation with the Public Sector Commissioner (s 19).

The rights and duties create a framework where commissions are afforded corporate and operational capacities while being subject to centralised accountability, financial controls and statutory duties to avoid conflicts and misuse of information.

The Act contains a limited set of statutory offences with specified penalties, administrative removal powers, financial and audit oversight via other statutes and express enforcement channels through ministerial powers. Set out below are the principal enforcement mechanisms and penalties recorded in the Act.

Statutory offences and monetary penalties

• Failure to disclose a pecuniary interest. A board member or committee member who contravenes s 21 by failing to disclose or comply with the consequences of disclosure commits an offence. Penalty: $5 000 (s 21(4)).

• Consultant non‑disclosure. A person engaged as a consultant who does not disclose a direct or indirect pecuniary interest in a matter to which the services relate is liable to a penalty of $5 000 (s 28(2)).

• Chairperson failing to record consultant disclosure. If the chairperson fails to cause a consultant’s disclosure to be recorded in the minutes, the chairperson is liable to the commission for any damage or loss suffered as a result and commits an offence carrying a fine of $5 000 (s 28(4)(a)-(b)).

• Secrecy offence. Persons to whom s 30 applies (board members, committee members, officers, employees, consultants and persons using facilities) must not record or divulge information about the affairs of another person acquired through their office except in the performance of a function under the Act. Penalty: $10 000 (s 30(1)).

Administrative and executive enforcement

• Removal of appointed members. The Minister may remove an appointed board member at any time for specified reasons, including incapacity, incompetence, neglect of duty, insolvency under administration (as per the Corporations Act 2001 definition), absence, and any other act or omission the Minister considers may cause prejudice or injury to the board (Sch 2 cl 2(2)(a)-(d)). Misconduct includes contravention of s 21, s 28(3) or s 30 (Sch 2 cl 2(3)).

• Ministerial directions. The Minister may issue written directions to a commission and the commission is required to give effect to the directions (s 25(1)); this is an administrative enforcement tool that binds the commission rather than a criminal sanction.

• Ministerial approval requirements. Certain actions (for example the engagement of consultants requires prior Ministerial approval: s 28(1); transactions involving land vested under Part 5 require Ministerial approval and conditions: s 40(2)). Non‑compliance with approval processes can trigger remedial administrative measures and potential contractual invalidity.

Audit, reporting and financial controls

• Financial Management Act and Auditor General Act oversight. The Financial Management Act 2006 and Auditor General Act 2006 apply to commissions, thereby subjecting commissions to public sector financial controls, audit scrutiny, reporting obligations and the potential consequences of adverse audit findings under those statutes (s 32).

• Annual report disclosure of directions. Text of Ministerial directions must be included in the accountable authority’s annual report under the FMA framework (s 25(2)), enabling parliamentary and public scrutiny.

Civil liability and contractual remedies

• Chairperson civil liability for non‑recording. The chairperson’s failure to record a consultant disclosure creates civil liability to the commission for damage or loss resulting from that failure (s 28(4)(a)).

• Corporate liabilities. Commissions, as bodies corporate and agents of the Crown, can be party to legal proceedings under their corporate name and civil enforcement against commissions and their contracts can be pursued (s 14).

Protections and limits on personal liability

• Protection for board and committee members. A board member or committee member acting in good faith is not personally liable for acts done or omitted in good faith by the commission, board or committee (s 20(1)), subject to the Statutory Corporations (Liability of Directors) Act 1996 in its operation for two commissions.

Enforcement profile and practical effect

The enforcement architecture is a mix of criminal penalties targeted at integrity failures (pecuniary interest disclosure, secrecy, consultant disclosure), executive controls via Ministerial directions and approvals, and administrative oversight via public sector financial law. The Act provides both deterrence (monetary penalties) and corrective, administrative levers (Ministerial removal, directions, audit) designed to secure compliance with duties and control use of public funds. The FMA linkage means that audit findings, parliamentary scrutiny and reporting obligations are likely the principal channels for enforcement of financial propriety beyond the limited criminal sanctions in the Act itself.

The Act is tightly integrated with several other Western Australian and Commonwealth statutes and administrative arrangements. The text itself specifies interaction points and supremacy rules where inconsistencies may arise. The principal interactions are as follows, with statutory references.

Public Sector Management Act 1994

• Director and staff appointments. Directors and other officers of each commission are appointed under and subject to Part 3 of the Public Sector Management Act 1994 (s 27(1)). Where a Director or officer is a member of the Senior Executive Service, any inconsistency between this Act and the Public Sector Management Act is resolved in favour of the Public Sector Management Act (s 27(3)). This places commission staffing and certain employment terms within the public sector employment framework.

Financial Management Act 2006 and Auditor General Act 2006

• Financial administration and reporting. The provisions of the Financial Management Act 2006 and the Auditor General Act 2006 regulating financial administration, audit and reporting of statutory authorities apply to commissions (s 32(1)). The Act directs that those provisions are to apply as if the term Minister used in those provisions had the meaning given by s 3(3) (s 32(2)). Commissions therefore operate as accountable authorities under the FMA, with the attendant obligations such as maintaing agency accounts, financial controls and audited annual reports.

Statutory Corporations (Liability of Directors) Act 1996

• Director liability carve‑out. The statutory protection from personal liability for board and committee members (s 20(1)) is stated to apply subject to the Statutory Corporations (Liability of Directors) Act 1996 so far as it applies to the Mid West and South West Development Commissions (s 20(2)). For those commissions, the statutory corporations liability regime may modify director exposure and duties.

Local Government Act 1995 and WALGA nomination process

• Local government councillors’ nominations. Two of the three Ministerial appointees on the Regional Development Council must be selected from nominations provided by the Western Australian Local Government Association constituted under s 9.58 of the Local Government Act 1995 (s 34(3)). Additionally, one third of appointed members on boards are to be members of councils of local governments in the region and are to be nominated by local governments in accordance with regulations (s 16(b)). Sch 2 cl 2(4) requires termination if a nominated councillor ceases to be a councillor.

Corporations Act 2001 (Commonwealth)

• Insolvency ground for removal. Removal of an appointed member may be effected if the member is an "insolvent under administration" as defined in the Corporations Act 2001 (Sch 2 cl 2(2)(b)). This imports a Commonwealth definition into the grounds for removal under the Act.

Regulations and boundary changes

• Governor’s regulation power and commission recommendation requirement. The Governor may amend Schedule 1 by regulation to change region boundaries (s 13(1)), but regulations to change boundaries may only be made if each affected commission has recommended the regulation (s 13(2)). Schedule 1 itself has been amended by later regulations as recorded in the compilation table and notes (Compilation table; Schedule 1 inserted/amended notes).

Transitional and repealed Acts

• Succession of assets, liabilities and land. On repeal of certain regional development Acts, this Act establishes successor commissions and provides for vesting of property, liabilities and contracts to pass to the new bodies (Sch 3 cl 1-3; ss 39-41). Registrars of Titles and Deeds are empowered to register those changes (s 41). This creates legal continuity for contracts and property interests despite statutory repeal.

Other interactions and consequences

• Ministerial directions and FMA reporting. Section 25(2) requires inclusion of the text of ministerial directions in the annual report submitted under Part 5 of the Financial Management Act 2006. Thus ministerial direction becomes part of the public FMA reporting regime, enabling parliamentary and public scrutiny.

• Use of staff and facilities. Arrangements to use Public Service staff and facilities must be agreed with the relevant Minister and on terms agreed with the Public Sector Commissioner (s 29). This cross‑links commission activities to central agency processes for staffing and resource allocation.

The Act therefore functions not as an autonomous legal silo but as a node in the broader state administrative framework. The FMA and Public Sector Management Act links embed financial, employment and audit controls; the Corporations Act and Local Government Act supply definitions and nomination processes that have practical effect for appointments and removals. Practitioners engaging with commissions must be cognisant of these cross‑references because they determine procurement, appointment, financial reporting and dispute pathways.

The text includes a compilation table and notes listing the Act’s amendments and related regulatory changes. The compilation table supplies dates of assent and commencement for each amending instrument. The steps below summarise the statutory amendment history as recorded in the Act’s compilation and notes, and identify the principal mechanical changes shown in the schedule and marginal notes.

Chronology of major amendments recorded in the compilation table

• 1993: Regional Development Commissions Act 1993 (No. 53 of 1993), assent 22 December 1993, commencement 8 April 1994 (Gazette reference provided).

• 1994: Acts Amendment (Public Sector Management) Act 1994 (No. 32 of 1994) , amendments to s 27 are noted in the body of the Act and in the notes (replacing references to Public Service Act with Public Sector Management Act). Commenced 1 October 1994.

• 1996: Local Government (Consequential Amendments) Act 1996 (No. 14 of 1996) , multiple textual amendments, and Schedule 1 was inserted by No. 14 of 1996 s 4 (as noted under Schedule 1's insertion).

• 1996: Statutory Corporations (Liability of Directors) Act 1996 (No. 41 of 1996), which affects s 20 protections for members of Mid West and South West Development Commissions. Commenced 1 December 1996.

• 1997: Regional Development Commissions Amendment Act 1997 (No. 16 of 1997), which amended various provisions including terms of office in Schedule 2 cl 1 and related appointment provisions. Commenced 2 August 1997.

• 1997: Acts Amendment (Land Administration) Act 1997 Pt 51 (No. 31 of 1997) with later commencement noted; relevant to land administration provisions in Part 5 and s 41 registration provisions.

• 1999: Reprint incorporating amendments up to 26 November 1999.

• 2001: Corporations (Consequential Amendments) Act 2001 (No. 10 of 2001) and Regional Development Commissions Amendment Act 2001 (No. 18 of 2001). The Corporations Act linkage appears in Sch 2 cl 2(2)(b) (insolvent under administration definition). The 2001 amendments commenced during 2001.

• 2003: Regional Development Commissions Amendment Act 2003 (No. 5 of 2003), which inserted the explicit grant power in s 24(1a). The notes record a saving provision in the amendment act confirming the validity of prior grants.

• 2004-2005: Local Government Amendment Act 2004 s 13 affected Council membership and WALGA nominations (s 34(3) amendment), with commencement 1 April 2005.

• 2006: Machinery of Government (Miscellaneous Amendments) Act 2006 (No. 28 of 2006) and Financial Legislation Amendment and Repeal Act 2006 (No. 77 of 2006) included changes tying the commissions more closely to the Financial Management Act and clarifying reporting obligations (s 25(2), s 31 amendments referencing FMA accounts and s 32 changes referencing FMA and Auditor General Act application). Reprint 2 as at 15 September 2006 consolidates these changes.

• 2010: Public Sector Reform Act 2010 (No. 39 of 2010) effected changes to remuneration and other public sector references (noted as amending s 19).

• 2020: Regional Development Commissions (Act Amendment) Regulations 2020 (SL 2020/216) updated Schedule 1 local government district lists; r 4 specifically amended Schedule 1 as recorded in the Schedule 1 marginal note.

Substantive mechanical changes recorded in marginal notes and amendments

• Grants power: s 24(1a) inserted by the 2003 amendment explicitly authorises provision of financial support in the form of grants. The notes include an express provision validating past grants made prior to the amendment.

• Financial framework alignment: s 31(2) establishes for each commission an agency special purpose account under s 16 of the Financial Management Act 2006; s 32 makes the FMA and Auditor General Act applicable to commissions, and s 25(2) requires disclosure of Ministerial directions in the accountable authority’s annual report to align ministerial oversight with the FMA reporting regime.

• Board composition and local government nomination: s 16 and Sch 2 amendments in the late 1990s and early 2000s clarified nomination mechanics and limits on consecutive terms (Sch 2 cl 1). s 34(3) required WALGA nominations for two Council appointees, following the Local Government Amendment Act 2004.

• Liability and public sector employment alignment: s 20 is applied subject to the Statutory Corporations (Liability of Directors) Act 1996 for two commissions (Mid West and South West), and s 27 imports the Public Sector Management Act appointment regime for Directors.

• Regional boundaries: Schedule 1 has been amended by regulation (SL 2020/216 r 4) as indicated in the schedule notes; s 13 requires commissions affected by boundary changes to have recommended the regulation before the Governor may make it.

The compilation table and marginal notes in the Act are the source for this history. The Act’s structure and many of its operational ties are the product of incremental legislative amendments that have: (a) incorporated commissions into FMA and public sector machinery; (b) clarified appointment and governance mechanics; (c) authorised grant-making; and (d) updated regional definitions via regulation. The compilation table provides the precise enactment and commencement dates for each amending instrument and should be consulted for exact historical chronology when preparing advice or compliance work.

The Act’s text and accompanying compilation and notes supplied do not set out any judicial decisions or litigation history. The document provided is a statutory compilation and amendment record only. It contains no citations of cases, no reported judicial interpretations, and no summaries of litigation arising from the Act.

What the Act itself enables and the procedural instruments for review do indicate where disputes might arise, although the statute does not record any such disputes. Areas potentially subject to litigation (from a doctrinal perspective within the text) include:

• Ministerial directions and administrative law review. Section 25 gives the Minister a power to issue written directions that the commission must give effect to. The Act does not prescribe internal appeal routes; judicial review of administrative decisions made under that power would arise under general public law principles rather than this Act. The Act requires inclusion of direction texts in annual reports (s 25(2)), providing transparency rather than a substantive judicial check in the statute itself.

• Contractual and property succession. Schedule 3 confers succession of contracts, assets and liabilities from repealed bodies to successor commissions and Part 5 vests land in successor commissions (ss 39-41; Sch 3). Disputes about the scope of vested rights or interpretation of transferred contracts would be managed through ordinary civil proceedings in the relevant courts but such cases are not recounted in the statute.

• Pecuniary interest and secrecy offences. Sections 21 and 30 create statutory offences; enforcement and any prosecutions for contraventions (including disputed factual circumstances) would be matters of criminal or administrative law enforcement. No cases or enforcement histories are recorded in the statutory compilation.

• Financial administration and audit findings. Since commissions are subject to the Financial Management Act 2006 and the Auditor General Act 2006 (s 32), audit reports and FMA compliance processes could generate disputes or examination by Parliament. The Act does not summarise any such outcomes.

Because the provided statute is a primary text and compilation table only, practitioners seeking jurisprudence on the Act will need to consult case law databases, tribunal or court records and Auditor General reports for subsequent adjudication, enforcement actions or judicial interpretation not contained in the statute itself. The Act’s linking to general administrative law and financial reporting regimes indicates the channels through which litigation or review would commonly occur, but neither the Act nor its compilation notes supply litigation examples.

This section flags statutory features that commonly create operational or legal pitfalls, with precise references to the text and a description of the mechanism by which each arises.

Ministerial primacy and binding directions (s 25)

• Mechanism: The Minister may issue written directions to a commission and those directions are binding; the commission must give effect. Directions are publicly reported in the commission’s annual report under the FMA reporting regime (s 25(1)-(2)).
• Practical effect: Boards may be required to implement policy choices over which they have limited autonomy. For advisers and counsel, a key check is whether a board’s decision conflicts with a ministerial direction; statutory duty is to comply.

Ministerial access to documents and staff (s 26)

• Mechanism: The Minister may request information and documents and make use of staff and facilities to obtain them; commissions must comply and make staff/facilities available (s 26(2)-(3)).
• Practical effect: Confidentiality expectations of third parties may be affected. Contracts or arrangements entered by a commission should be drafted knowing that the Minister may access and copy documents.

Limits on financial autonomy and the grant exception (s 24(2), (1a))

• Mechanism: Commissions are explicitly barred from entering into any business undertaking, acquiring land other than tenancy for office premises, and borrowing money (s 24(2)). However, s 24(1a) (inserted 2003) permits financial support in the form of grants.
• Practical effect: Commissions may fund projects by grant but cannot acquire equity stakes or borrow to finance operations. Where a project requires longer‑term finance or land acquisition, the commission must rely on other entities or secure Ministerial approvals and alternative structures. Part 5 provides some leeway for land formerly vested in repealed authorities, but that is limited and subject to Ministerial approval (ss 39-41, s 40(2)).

Secrecy and broad confidentiality obligations (s 30)

• Mechanism: s 30 applies to board members, committee members, officers and consultants and forbids recording or divulging information concerning another person’s affairs acquired by reason of office except in performance of a function under the Act. Penalty: $10 000.
• Practical effect: Commissions and practitioners must ensure document handling, FOI responses and communication protocols comply with s 30. There is a real penal exposure for inadvertent or inappropriate disclosure.

Pecuniary interest disclosure and recording obligations (s 21; s 28)

• Mechanism: Board and committee members must disclose direct or indirect pecuniary interests at meetings and have disclosures recorded; failure is an offence with $5 000 penalty (s 21). Consultants must disclose interests to the chair, and the chair must cause disclosure to be recorded; chair failure attracts civil liability and a $5 000 fine (s 28(2)-(4)).
• Practical effect: Minute‑keeping and conflict registers are critical. Non‑compliance can trigger criminal, civil and administrative consequences including removal for misconduct (Sch 2 cl 2(3)).

Appointment and removal discretion (ss 15-16; Sch 2 cl 2)

• Mechanism: The Minister appoints and may remove appointed members for broad reasons including any act or omission that, in the Minister’s opinion, may cause prejudice to the board (Sch 2 cl 2(2)(d)). One third of members are to be local government councillors nominated by local governments, one third residents nominated per regulations, and one third at the Minister’s discretion (s 16).
• Practical effect: Board composition is subject to political and administrative discretion. Legal advisers should note the potential for abrupt removal and the interplay of nomination rules (eg, termination if a local government councillor ceases office, Sch 2 cl 2(4)).

Delegation but no sub‑delegation (s 18)

• Mechanism: Boards may delegate functions to an appointed member, the Director, officers or a committee, but the instrument of delegation itself may limit scope and the board cannot delegate the power of delegation (s 18).
• Practical effect: Delegations need clear instruments and records. Acts performed under delegation are treated as acts of the board (s 18(2)), which affects liability and audit trails.

FMA and audit obligations (ss 31-32)

• Mechanism: Commission funds are held in an agency special purpose account under the FMA (s 31(2)) and commissions are subject to the FMA and Auditor General Act for financial administration and reporting (s 32).
• Practical effect: Commissions must adopt public sector financial controls, procurement rules and audit preparation compatible with FMA requirements. Failure to comply will attract audit findings and possible remedial directions under those statutes.

Land and assets vesting transition traps (Part 5; Sch 3)

• Mechanism: Assets, liabilities and land of repealed bodies passed to successor commissions, and registration mechanisms are prescribed (ss 39-41; Sch 3).
• Practical effect: Existing contracts, encumbrances and title matters may require careful review. Instruments executed before repeal are to be read as referring to the new body (Sch 3 cl 4-5), but third parties should confirm registrations, particularly where ministerial approvals are required before transactions (s 40(2)).

Regulation of boundaries requires affected commissions’ recommendation (s 13)

• Mechanism: Governor may amend Schedule 1 by regulation but only if each affected commission has recommended the regulation (s 13(2)).
• Practical effect: Boundary changes are council/commission‑dependent. If a party wants to challenge a boundary change, a threshold procedural fact is whether the commissions gave the required recommendation.

Remuneration and committee payments subject to Ministerial determination (s 19)

• Mechanism: Remuneration and allowances for appointed members and members of committees are set by the Minister after consultation with the Public Sector Commissioner (s 19(1)). Members who are officers of the Public Service are not eligible for separate remuneration under this provision.
• Practical effect: Fee structures and potential conflicts must be administered within the public sector framework.

These features require careful operational design: robust minutes and conflict registers; clear delegation instruments; procurement and grant processes aligned with the FMA; and due diligence on any land or contract matters transferred from former authorities. Failure to observe these statutory mechanics carries penal, civil and administrative consequences.

This section provides a practical compliance checklist mapped to statutory provisions, an outline of governance and financial controls a commission and advisers should implement, and pointers for transactional and administrative processes required by the Act.

Governance and board compliance

• Appointment and terms. Ensure board appointments comply with s 15 and s 16 composition rules and that instruments of appointment set fixed terms up to three years consistent with Sch 2 cl 1(1). Track reappointment limitations (Sch 2 cl 1(1)(a) and (b)) and termination triggers (Sch 2 cl 2).

• Minutes and disclosure. Maintain accurate minutes at every meeting recording pecuniary interest disclosures as required by s 21(2). Establish a standardised disclosure form and a conflict-of-interest register. Ensure minutes show whether a member was present for deliberation and whether the board limited participation.

• Consultant engagement and recording. Obtain prior Ministerial approval before engaging consultants where required (s 28(1)). Require consultants to sign disclosure statements on direct or indirect pecuniary interests and ensure the chair causes such disclosures to be recorded at the next meeting (s 28(2)-(3)). Train chairpersons on the civil and penal consequences of failing to record disclosures (s 28(4)).

• Delegations and authorisations. Prepare written instruments of delegation in accordance with s 18, make clear which functions are delegated, and retain delegation registers. Remember that delegated functions are treated as performed by the board (s 18(2)). Authorise document execution under s 22(4) with clear limits for officers and board members.

• Secrecy protocols. Adopt information handling policies that implement s 30: restrict access to identifiable third party business affairs, define lawful purposes for disclosure, and train staff and board members on the $10 000 penalty for improper disclosure. Integrate these policies with FOI procedures to ensure lawful responses.

Financial controls and reporting

• Agency account management. Set up and manage the agency special purpose account as required by s 31(2) under the FMA. Ensure all receipts and payments are properly recorded and reconcile accounts regularly; apply funds in accordance with s 31(3) categories.

• FMA and audit compliance. Implement financial management frameworks that satisfy the Financial Management Act 2006 and Auditor General Act 2006 requirements (s 32). Maintain procurement, internal control and reporting policies consistent with public sector standards. Prepare to provide full cooperation with audit processes.

• Grants policy. If making grants under s 24(1a), adopt a transparent grants policy that sets eligibility, assessment criteria, conflict-of-interest management and reporting. Ensure grants are authorised in accordance with board delegations and any Ministerial requirements.

Ministerial interaction and transparency

• Handling Ministerial directions. Establish internal procedures to receive, record and implement Ministerial directions (s 25). Ensure the text of any such directions is retained for inclusion in the annual report, pursuant to s 25(2) and FMA reporting requirements.

• Responding to information requests. Implement processes to promptly comply with Ministerial requests for information and document copies under s 26, including staff allocation and secure transfer protocols. Ensure such transfers are logged and that the secrecy obligations in s 30 are observed where applicable.

Operational and statutory requirements

• Director and staff appointments. Ensure Director and staff appointments are made under the Public Sector Management Act (s 27(1)) and any Senior Executive Service status is handled in accordance with s 27(3) and relevant public sector instruments.

• Use of public service staff and facilities. Make any arrangements to use department staff or facilities under agreement with relevant Ministers and terms agreed with the Public Sector Commissioner (s 29). Document these arrangements.

• Land dealing where applicable. Where a commission holds land vested under Part 5, any proposed subdivision, disposal or development must be authorised by the Minister when required (s 40(2)). Seek and record Ministerial approval and any conditions.

• Boundary change participation. If a boundary change is proposed under s 13, ensure the affected commission fulfils its obligation to recommend (or not) the proposed regulation; maintain records of board consideration and formal recommendation.

Procedural and administrative hygiene

• Policies and manuals. Produce and maintain an induction manual for board members that includes conflict-of-interest procedures (s 21), secrecy provisions (s 30), minute-taking standards, delegation registers, and execution of documents procedures (s 22).

• Training and legal advice. Provide training on public sector and financial compliance, the disclosure obligations under s 21 and s 28, and the operational limits in s 24(2). Obtain legal advice for complex transactions, especially those touching on land vested under Part 5 or arrangements implicating borrowing or business undertakings.

• Record retention and audit trail. Keep a robust audit trail: appointment instruments, delegation instruments, ministerial directions, board minutes recording disclosure and attendance, consultant engagement contracts and disclosure statements, financial records for the agency account, and audit responses.

• Risk management and insurance. While the Act provides personal liability protection for board members acting in good faith (s 20(1)), commissions should maintain appropriate risk management frameworks and consider insurance consistent with public sector guidance and the Statutory Corporations (Liability of Directors) Act 1996 where it applies.

Practical checklist at time of major action

• Appointing a board member: verify nomination compliance with s 16, prepare instrument of appointment consistent with Sch 2 cl 1, publish appointment in Gazette per s 15(4).

• Engaging a consultant: secure Ministerial approval if required (s 28(1)), obtain signed pecuniary interest disclosure, circulate to chair, record disclosure in minutes at next meeting, and ensure confidentiality protections for any third party information (s 30).

• Making a grant: confirm statutory ability to grant under s 24(1a), check available funds in the agency account (s 31), ensure vote and delegation authority for the grant, document assessment criteria and reporting requirements.

• Dealing with land originally vested in a repealed authority: confirm vesting under s 39, obtain necessary Ministerial approval under s 40(2) before entering development or disposal transactions, and register instruments per s 41.

Following these steps will align commission operation with the statutory duties and rights set out in the Act, reduce exposure to the civil and criminal sanctions enumerated in the text, and ensure auditable compliance under the Financial Management Act and Auditor General Act.
