Radiocommunications (Spectrum Licence Limits) Direction No. 2 of 2012

The Direction establishes a short list of core legal concepts and links them to other statutory definitions. The principal substantive concept is a spectrum‑use cap applied at the level of a person or a “specified group of persons”, expressed as fixed MHz limits inside two defined frequency ranges (s 4(1)). The second is the concept of “associate”, which aggregates a set of legal and commercial relationships such that the holdings or uses of spectrum by one linked person will be treated together for cap purposes (s 3(1), definition of associate).

Associates are defined differently depending on whether the primary subject is a body corporate or an individual. For bodies corporate an associate includes directors and secretaries, related bodies corporate, directors or secretaries of related bodies corporate, and individuals who control at least 15% of the voting power or hold at least 15% of issued shares in the body (s 3(1)(a)). For individuals the associate set includes the individual’s spouse and de facto partner (as defined in the Acts Interpretation Act 1901), bodies corporate the individual controls at a 15% threshold, bodies corporate of which the individual is a director or secretary, and bodies corporate related to those (s 3(1)(b)). The definition expressly incorporates the Corporations Act 2001 meaning of “related body corporate” (s 3(1), definition of related body corporate).

The Direction also treats contractual and practical commercial relationships as aggregating relationships via the definition of “associate” and “relevant agreement”. Any person who has a “relevant agreement” with the applicant is included as an associate for the purposes of forming the “specified group of persons” (s 3(1)(c), definition of associate; definition of relevant agreement). “Relevant agreement” is broadly drafted to include formal and informal, written and oral, legally enforceable or non‑enforceable arrangements that either relate to the use by a party of spectrum licensed to either party under a spectrum licence for a part of the spectrum referred to in the re‑allocation declaration, or relate to the acquisition of a spectrum licence for a part of that spectrum (s 3(1), definition of relevant agreement). Two specified categories of agreements are excluded from the definition of “relevant agreement”: Roaming Services Agreements, and agreements between carriers provided for by or under the Telecommunications Act 1997 or Part XIC of the Competition and Consumer Act 2010 (s 3(1), definition of relevant agreement).

The term “specified group of persons” is defined as an applicant for a spectrum licence and all of the applicant’s associates (s 3(1), definition of specified group of persons). The Direction aggregates overlapping groups: two or more specified groups of persons having one member in common are taken to be one specified group of persons (s 3(3)). The frequency inclusion rule clarifies that each frequency band includes all frequencies greater than the lower frequency up to and including the higher frequency (s 3(2)). The Direction’s scope is tied to the re‑allocation declaration’s “designated area”, which is described in subsection 4(2) of the re‑allocation declaration (s 3(1), definition of designated area; definition of re‑allocation declaration).

Finally, the Direction is procedural rather than punitive in form. It requires the ACMA to determine procedures under the Act (s 4(1)), rather than directly prohibiting conduct or specifying sanctions. The numerical limits are therefore implemented by delegated procedure rather than by a standalone prohibition with immediate penalty language within this Direction.

The Direction principally affects three actor classes: the Australian Communications and Media Authority as the decision‑maker, applicants for spectrum licences in the specified re‑allotted 2.5 GHz bands, and persons linked to those applicants by the associate tests and by relevant agreements.

ACMA is required by the Direction to determine allocation procedures under subsection 60(1) of the Radiocommunications Act 1992 that will implement the 40 MHz ceilings in each of the two bands (s 4(1)). That places the regulatory and procedural drafting burden on ACMA: ACMA decides the detailed rules, enforces them through its allocation processes, and will carry the administrative responsibilities that flow from implementing the Direction.

Spectrum licence applicants participating in the allocation described in Subdivision B of Division 1 of Part 3.2 of the Act are directly subject to the caps. The Direction defines a “specified group of persons” as an applicant and all of its associates (s 3(1), definition of specified group of persons). That means that any person who is an applicant will have to count the spectrum held or used by its associates when assessing whether the 40 MHz limit will be exceeded (s 4(1)). The Direction therefore affects companies and individuals who apply for spectrum licences in the designated area covered by the re‑allocation declaration (s 3(1), definitions referencing the re‑allocation declaration and the designated area).

Associates include a variety of ownership and personal relationships. For bodies corporate, associates include directors, secretaries, related bodies corporate, directors or secretaries of related bodies corporate, and individuals with at least 15% control or shareholding (s 3(1)(a)). For individuals associates include spouses, de facto partners, bodies corporate controlled at the 15% threshold, bodies corporate of which the individual is a director or secretary, and related bodies corporate (s 3(1)(b)). This brings nominees, shareholders above the 15% threshold, and close corporate structures into the calculation.

Commercial counterparties who enter into “relevant agreements” with an applicant or with associates are also within scope. A relevant agreement is very broadly defined to include formal or informal, written or oral, legally enforceable or not, arrangements that enable use of spectrum licensed to either party or that relate to acquiring such a licence (s 3(1), definition of relevant agreement). This brings commercial partners, joint venture counterparties, buyers or sellers with spectrum use arrangements, and other business arrangements that relate to the specified spectrum within scope, unless the agreement falls within the express exclusions (s 3(1), definitions of relevant agreement and Roaming Services Agreement).

Excluded actors include parties to Roaming Services Agreements where the principal purpose is enabling end‑users to roam between carriers (s 3(1), definition of Roaming Services Agreement), and parties to agreements “between carriers provided for by or under” the Telecommunications Act 1997 or Part XIC of the Competition and Consumer Act 2010 (s 3(1), part of definition of relevant agreement). The Direction therefore leaves typical regulatory and industry‑mandated carrier interconnection or roaming arrangements outside the “relevant agreement” aggregation test.

Geographic effect is confined to the relevant “designated area” described in subsection 4(2) of the re‑allocation declaration (s 3(1), definition of designated area; definition of re‑allocation declaration). The Direction is tied to a specific re‑allocation exercise and its geographic specification; it does not assert a nationwide cap beyond the designated area referenced in the re‑allocation declaration.

In sum, the parties who pay the most attention to this Direction are ACMA as the rule‑maker and enforcer, applicants for the spectrum licences under the specified allocation, their corporate and personal associates as defined in s 3(1), and counterparties to commercial arrangements that meet the wide definition of relevant agreement.

The Direction imposes one primary duty and defines the universe of actors to which that duty will apply. The duty is placed on the ACMA. Section 4(1) instructs the ACMA to determine procedures under subsection 60(1) of the Radiocommunications Act 1992 that impose limits ensuring that, as a result of the allocation of spectrum licences under Subdivision B of Division 1 of Part 3.2 of the Act, no person or specified group of persons may use more than 40 MHz in each of the two stated bands (s 4(1)). The Direction therefore obliges the regulator to design and apply procedural measures that will produce that outcome.

The Direction does not create a freestanding statutory offence or civil penalty within its text. It does not set out rights to appeal or review directly in the Direction’s text; any procedural or appeal rights must be found in the underlying Act or in the procedures the ACMA makes under subsection 60(1) of the Act (s 4(1)). The Direction’s silence on penalties and dispute resolution means that the ACMA’s procedures will be the primary vehicle for enforcement mechanisms and any associated rights, including appeal or review avenues that the Act may provide.

The Direction sets out detailed rules for how to count related persons. It defines “associate” such that an applicant must count holdings and uses across a range of ownership and family relationships: corporate office‑holders, related bodies corporate, directors and secretaries of related bodies corporate, individuals with at least 15% control or shareholding, spouses and de facto partners, and bodies corporate connected by the 15% threshold or directorship/secretary status (s 3(1)(a)-(b)). It also incorporates agreements as a basis for association: any person who has a “relevant agreement” with the applicant is taken to be an associate (s 3(1)(c)). The practical duty on applicants, therefore, is to identify and account for all associates when determining aggregate use relative to the 40 MHz caps.

The Direction grants an aggregating rule: two or more specified groups of persons that have one member in common are taken to be one specified group (s 3(3)). That imposes a duty to aggregate holdings across previously distinct applicant groupings where membership overlaps, reducing the possibility of circumvention by parallel applications with a common participant.

It also sets a computational rule for frequencies: each frequency band includes all frequencies greater than the lower frequency up to and including the higher frequency (s 3(2)). That removes ambiguity about end points of the band limits when counting MHz.

Rights in the Direction are largely negative and procedural: the Direction gives ACMA authority to make procedures, and applicants have the right to participate in the allocation subject to the procedures ACMA adopts. The Direction does not itself confer any substantive entitlement to licence, nor does it create an express right to a particular allocation outcome. Any rights to challenge ACMA decisions, or rights to relief if the procedures are misapplied, will depend upon the Radiocommunications Act 1992, the procedures ACMA makes under that Act, and the general administrative law framework, none of which the Direction itself purports to change in text.

In short, the Direction imposes a duty on ACMA to design caps and lays out rules for who must be counted against those caps; it leaves enforcement mechanisms, appeal rights, and sanctions to the enabling statute and the procedures ACMA will make under subsection 60(1).

The Direction itself contains no explicit penalty provisions or enforcement sanctions. It directs ACMA to determine procedures under subsection 60(1) of the Radiocommunications Act 1992 that will impose limits on allocations (s 4(1)). Therefore enforcement and any penalties or compliance mechanisms are to be established within the procedures ACMA makes and by operation of the Act. This Direction is an instruction to the regulator to embed the limits into allocation procedures; it does not, on its face, prescribe fines, civil penalties, licence revocation grounds, or criminal offences.

Because the Direction refers explicitly to procedures under subsection 60(1) of the Radiocommunications Act 1992 (s 4(1)), enforcement machinery will arise either from that subsection and related provisions of the Act or from the procedures ACMA adopts pursuant to that power. The Direction does not reproduce subsection 60(1) or any other enforcement provision of the Act in its text, so the Direction must be read in conjunction with the Act for the full compliance and enforcement architecture. This compilation of the Direction does not include the text of subsection 60(1) or other enforcement provisions from the Act.

Operationally, enforcement will require ACMA to do at least the following when designing procedures: specify how applicants must declare associates and relevant agreements; set rules for counting MHz across persons and associates in the designated area; specify the process for detecting and remedying breaches of the caps; and describe the consequences of non‑compliance within the statutory toolkit it has under the Act. The Direction contemplates that ACMA will exercise administrative decision‑making and enforcement discretion in the course of applying those procedures because it places the procedural design and implementation function on ACMA (s 4(1)).

A related practical point for regulated parties is that the Direction’s aggregation rules will make circumvention more difficult but will also create compliance complexity. ACMA procedures are the immediate site of enforcement detail and will be the instrument that specifies evidentiary burdens, disclosure obligations, investigative powers, and the nature of any sanctions or remedial measures, consistent with the Radiocommunications Act 1992 and other applicable laws. Because the Direction itself does not state those mechanisms, parties must examine both the enabling Act and the ACMA procedures once published to know the specific consequences of contravening the cap.

Finally, the Direction’s linkage to the re‑allocation declaration and the designated area means enforcement concern is geographically limited to that declared exercise; enforcement machinery under the Act and the ACMA procedures will be applied in that spatial context (s 3(1), definitions). The Direction therefore signals the cap but routes enforcement and penalties to existing regulatory procedure rather than creating new sanctioning powers within the Direction.

The Direction explicitly cross‑references and depends on several other statutory instruments and statutes, creating an intersectional regulatory framework. The Direction is made under subsection 60(10) of the Radiocommunications Act 1992, as stated in the instrument header, and it requires the ACMA to exercise powers under subsection 60(1) of that Act to determine procedures implementing the caps (s 4(1)). It therefore operates as a subordinate instrument implemented through the statutory powers in the Radiocommunications Act 1992.

The Direction cross‑refers to Subdivision B of Division 1 of Part 3.2 of the Radiocommunications Act 1992 as the allocation process to which the caps must apply (s 4(1)). That situates the Direction within a specific allocation mechanism from the Act. The Direction does not, however, reproduce the text of Subdivision B or Part 3.2; those provisions must be consulted to see how the ACMA’s procedures will interact with the allocation mechanics, application processes, and statutory rights under the Act.

Several other statutes are expressly invoked in the definitions. The terms “carrier” and “public mobile telecommunications service” are given the same meaning as in the Telecommunications Act 1997 (s 3(1), definitions of carrier and public mobile telecommunications service). The definition of “de facto partner” is to be read as given by the Acts Interpretation Act 1901 when the definition of associate includes de facto partner status for individuals (s 3(1)(b)). The Direction adopts the Corporations Act 2001 meaning of “related body corporate” to define corporate relationships (s 3(1), definition of related body corporate). These cross‑references ensure the Direction’s associate and aggregation tests align with existing statutory definitions in adjacent legal regimes.

The Direction also interacts with the Competition and Consumer Act 2010 by excluding from the “relevant agreement” definition agreements “between carriers provided for by or under the Telecommunications Act 1997 or Part XIC of the Competition and Consumer Act 2010” (s 3(1), definition of relevant agreement). The Direction therefore recognises that certain statutory carrier arrangements and regulated access or interconnection agreements under Part XIC should not be treated as associative commercial arrangements for the purposes of aggregating spectrum holdings.

Instrumental interplay with a specific subordinate instrument is explicit: the Direction ties its geographic scope to the “designated area” described in subsection 4(2) of the Radiocommunications (Spectrum Re‑allocation) Declaration No. 2 of 2011 (s 3(1), definitions of re‑allocation declaration and designated area). That re‑allocation declaration will contain the spatial description of where the caps apply. Thus to understand geographic application the reader must consult that re‑allocation declaration’s subsection 4(2), which the Direction specifically references.

The Direction also references allocation under a specified part of the Act rather than a general licensing power. By directing ACMA to implement the cap “as a result of the allocation of spectrum licences under Subdivision B of Division 1 of Part 3.2 of the Act” (s 4(1)), the Direction confines its effect to one statutory allocation form and not to other ways the Act may permit spectrum authorisations to be issued. Interaction with other Acts and instruments will therefore depend on the content of those provisions.

In practical terms, parties affected by the Direction must consult and reconcile at least the Radiocommunications Act 1992 (the enabling Act), the specified re‑allocation declaration, the Telecommunications Act 1997 (for carrier and service definitions), the Corporations Act 2001 (for related body corporate), the Acts Interpretation Act 1901 (for de facto partner definitions), and Part XIC of the Competition and Consumer Act 2010 when categorising agreements that are excluded from the “relevant agreement” test (s 3(1)). The Direction is thus a node in a network of statutory definitions and regulatory procedures, and understanding how the cap will be operationalised requires reading the Direction alongside those instruments.

The compilation includes a clear amendment record. The Direction as presented was prepared on 14 December 2012 and takes into account amendments up to Radiocommunications (Spectrum Licence Limits) Direction No. 2 of 2012 (Amendment No. 1 of 2012) (compilation header). The Table of Instruments records the original Direction’s Federal Register of Legislative Instruments registration date as 8 February 2012 with commencement on 9 February 2012, and Amendment No. 1 of 2012 was registered and commenced on 14 December 2012 (Notes, Table of Instruments).

The Table of Amendments included in the compilation records that section 3 of the Direction was amended by 2012 No. 1 (Notes, Table of Amendments). The compilation’s Note 1 reiterates that the Direction is the Radiocommunications (Spectrum Licence Limits) Direction No. 2 of 2012 and that the Direction commences on the day after registration on the Federal Register of Legislative Instruments (s 1; s 2). The Table of Amendments identifies the provision affected as “S. 3” and indicates it was amended by the 2012 No. 1 instrument (Notes, Table of Amendments).

The compilation therefore shows a single recorded amendment affecting the interpretation provisions in section 3. The compilation does not reproduce the text of the amendment instrument nor the pre‑amendment text, other than the present form of s 3 which reflects the amendment. The Notes table indicates that the instrument as shown is amended as indicated in the tables below, and the Table of Instruments provides the dates of registration and commencement for both the original Direction and Amendment No. 1 (Notes).

No further amendments beyond Amendment No. 1 of 2012 are noted in this compilation. The Direction’s own commencement provision (s 2) states it commences the day after it is registered on the Federal Register of Legislative Instruments, and the compilation records the relevant registration dates. Any later amendment history, if it exists, is not recorded in this compilation.

Readers requiring the precise amendment text, the instrument that made Amendment No. 1 of 2012, or any later changes must consult the Federal Register of Legislative Instruments entry and the amending instrument itself. The compilation identifies the existence and date of the amendment but does not set out the amending instrument’s text within this document.

The Direction compilation contains no case law, judicial decisions, or records of litigation concerning the Direction. The text of the Direction and the accompanying Notes and Tables of Instruments and Amendments do not reference any proceedings, appeals, or judicial review decisions. The compilation is administrative and legislative in nature, and it records the instrument’s content and amendment history only.

Because the Direction delegates procedural detail and enforcement to ACMA via subsection 60(1) of the Radiocommunications Act 1992 (s 4(1)), any litigation that might arise would most likely concern the ACMA’s exercise of that delegated power or challenges to ACMA’s procedures or allocation decisions. The Direction itself does not create or record any cases or litigation outcomes.

The compilation should therefore be treated as not containing litigation history. Practitioners and researchers seeking to identify litigation related to the 2.5 GHz allocation, associated ACMA procedures, or disputes over how the caps were applied will need to search judicial and tribunal records, or ACMA records and administrative decisions, for any challenges made after the Direction’s commencement dates recorded in the Notes (Notes, Table of Instruments). This Direction text does not supply those records.

The Direction contains several drafting and operational features that create compliance and interpretation risks that regulated parties should note, each grounded in the Direction’s text.

Broad scope of “relevant agreement”: the definition of “relevant agreement” is deliberately broad. It includes formal and informal, written and oral, and legally enforceable or non‑enforceable arrangements (s 3(1), definition of relevant agreement). That means commercial understandings, side‑letters, exclusivity understandings, options, and certain informal understandings could be treated as a “relevant agreement” if they relate to the use of spectrum licensed to either party or to the acquisition of a relevant spectrum licence. Parties should not assume that only formal, written contracts will create associative ties.

Exclusions are narrow and specific: the definition of relevant agreement excludes Roaming Services Agreements as defined in the Direction and excludes agreements between carriers provided for by or under the Telecommunications Act 1997 or Part XIC of the Competition and Consumer Act 2010 (s 3(1), definition of relevant agreement). Parties may wrongly assume other commercial arrangements are excluded; they are not. The exclusion is limited to roaming for the principal purpose described and to carrier agreements provided for by those specific statutory regimes.

15% control/shareholding threshold: the associate test for bodies corporate and for individuals uses a 15% threshold for control or shareholding to trigger association (s 3(1)(a), (b)). Small shareholders under this threshold will not automatically be associates by that test, but the definition also catches other relationships (directorships, secretaries, related bodies corporate). Parties attempting to structure ownership to avoid association should note multiple avenues of aggregation in the definition (s 3(1)(a)-(b)).

Family ties are counted: for individuals, spouses and de facto partners are associates (s 3(1)(b)(i)-(ii)), with de facto partner cross‑referenced to the Acts Interpretation Act 1901. This brings family arrangements and household control into the aggregation calculation.

Aggregation across overlapping applicant groups: two or more specified groups with one member in common are taken to be one specified group (s 3(3)). Parallel applications by nominally separate groups may be aggregated if they share any member. This rule reduces the possibility of structuring around the cap by creating multiple entities with partial common ownership.

Frequency inclusion rule and endpoints: the Direction states that each frequency band includes frequencies greater than the lower frequency up to and including the higher frequency (s 3(2)). Parties calculating MHz must include the higher frequency endpoints. That mechanical rule removes a potential point of dispute but must be applied precisely.

Tie to a specific re‑allocation declaration and designated area: the Direction applies to spectrum referred to in the Radiocommunications (Spectrum Re‑allocation) Declaration No. 2 of 2011 and to the designated area described in subsection 4(2) of that re‑allocation declaration (s 3(1), definitions). Parties should not assume a national application: the Direction’s geographic and spectral scope is defined by the re‑allocation declaration. Failure to consult the re‑allocation declaration will lead to uncertainty about whether a particular licence or area is covered.

Procedural delegation creates timing and uncertainty risk: the Direction requires ACMA to determine procedures under subsection 60(1) of the Radiocommunications Act 1992 (s 4(1)). Until ACMA publishes those procedures, regulated parties face uncertainty as to the precise mechanics of declaration, declaration triggers, timing, evidentiary disclosures, allocation methodology, and enforcement. Applicants should monitor ACMA procedure publications closely.

No penalties set out in the Direction: because this Direction does not specify sanctions, parties may be uncertain about the consequences of breach until ACMA procedures are released and the Act’s enforcement provisions are examined (s 4(1)). That uncertainty is a practical risk in bidding and structuring decisions during the allocation process.

Definition drafting idiosyncrasies and numbering: the definitions in s 3(1) as compiled contain non‑sequential numbering (for example some subparagraph numbers jump), which is a drafting artefact of the compilation. Readers should rely on the definitions’ substance rather than numbering for interpretation, but be attentive when cross‑referencing.

Potential for capture of informal commercial arrangements: because relevant agreement includes arrangements irrespective of legal enforceability, joint business plans, consortium arrangements, and pre‑allocation understandings can be captured. Parties must therefore document and assess pre‑existing and contemporaneous commercial arrangements to identify whether they fall within the relevant agreement definition.

In short, the main “gotchas” are the breadth of the associate and relevant agreement definitions, the aggregation rule for overlapping groups, the endpoint inclusion rule for frequencies, the linkage to a specific re‑allocation declaration and designated area, and the procedural uncertainty until ACMA issues implementing procedures.

Compliance requires a mix of pre‑allocation diligence, structural analysis, and active engagement with ACMA’s procedures once they are published. The Direction itself establishes two clear compliance objectives: do not exceed 40 MHz in the 2500-2570 MHz band and do not exceed 40 MHz in the 2620-2690 MHz band as a result of the Subdivision B allocation, when counting the applicant and all associates (s 4(1); s 3(1), definition of specified group of persons).

Step 1: Identify whether the Direction applies. Consult the Radiocommunications (Spectrum Re‑allocation) Declaration No. 2 of 2011 to determine the “designated area” described in subsection 4(2) of that declaration (s 3(1), definitions). If intended licences fall within that designated area and the allocation will occur under Subdivision B of Division 1 of Part 3.2 of the Act, the Direction applies (s 4(1)).

Step 2: Map the specified group. For each applicant, prepare an associates inventory in accordance with the Direction’s definitions. For bodies corporate, list directors and secretaries, related bodies corporate (per the Corporations Act 2001 definition), directors and secretaries of related bodies, and individuals controlling at least 15% of voting power or holding at least 15% of issued shares (s 3(1)(a); definition of related body corporate). For individual applicants, include spouse and de facto partner (as defined in the Acts Interpretation Act 1901), bodies corporate the individual controls at 15% or more, bodies corporate of which the individual is director or secretary, and related bodies corporate (s 3(1)(b)). Include any persons with a relevant agreement with the applicant (s 3(1)(c)).

Step 3: Audit agreements for “relevant agreement” status. Review all commercial arrangements with counterparties to check whether they enable use of spectrum licensed to either party or relate to acquiring a licence for the spectrum in the re‑allocation declaration’s bands. The test is broad and covers informal and oral arrangements, and arrangements irrespective of legal enforceability (s 3(1), definition of relevant agreement). Do not assume that only written contracts are captured. Exclude arrangements that fall squarely within the Direction’s express exclusions: Roaming Services Agreements as defined and agreements between carriers provided for by or under the Telecommunications Act 1997 or Part XIC of the Competition and Consumer Act 2010 (s 3(1), definition of relevant agreement).

Step 4: Aggregate spectrum holdings and uses. Calculate aggregate spectrum usage or rights in each of the two specified bands across the whole specified group. Use the inclusion rule for frequency endpoints: each band includes frequencies greater than the lower frequency up to and including the higher frequency (s 3(2)). Count MHz across the applicant plus associates and include any arrangements that permit use of licensed spectrum by either party under a relevant agreement (s 3(1)(c)).

Step 5: If aggregate holdings approach or exceed 40 MHz in either band, restructure or clarify arrangements. Options consistent with the text include removing persons from the specified group by altering relationships below the associative triggers (for example changing shareholding or control levels below the 15% threshold), terminating relevant agreements that create association, or excluding arrangements by recharacterising them so they fall within the excluded categories when appropriate and lawful (s 3(1)(a)-(c)). Any such restructuring should be documented and timed carefully in light of the allocation timetable and the Direction’s commencement and the ACMA procedures. Note that family relationships and corporate office roles are specifically captured, so changes involving those relationships will require careful legal and factual analysis.

Step 6: Monitor ACMA procedures and disclosures. Because the Direction delegates procedural detail to ACMA under subsection 60(1) of the Act (s 4(1)), parties must monitor ACMA publications to understand the exact requirements for declaration, evidence, disclosures, timing, and enforcement. ACMA’s procedures will determine how applicants must disclose associates and relevant agreements, how ACMA will treat aggregated holdings, and what remedies or sanctions apply for breach.

Step 7: Prepare documentary evidence and declarations. Anticipate that ACMA’s procedures will require applicants to make declarations about associates and relevant agreements and to provide documentary evidence of ownership, control, contractual arrangements, and declarations from associates or counterparties. Given the Direction’s broad definition of “relevant agreement”, maintain records of informal understandings, side‑letters, and commercial correspondence that might be relevant.

Step 8: Seek procedural clarification if needed. If ACMA procedures are unclear on key points, use the channels provided by ACMA during the allocation process to seek clarification or rulings. The Direction does not itself provide dispute resolution or appeal mechanisms; those mechanisms will be found in the Act and in ACMA’s procedures. Early engagement will reduce the risk of later disqualification or remedial action.

Step 9: Consider aggregation with overlapping groups. If an applicant is a member of multiple applicant groups, remember that two or more specified groups with one member in common are treated as one specified group (s 3(3)). Coordinate strategy across related groupings to ensure aggregate holdings remain under the 40 MHz caps.

Step 10: Document compliance decisions and timing. Because the Direction commences the day after registration (s 2) and the allocation procedures are applied to the relevant Subdivision B allocation (s 4(1)), time management is essential. Keep contemporaneous records showing when agreements were entered into, modified, or terminated; when shareholdings or control thresholds changed; and when declarations were made to ACMA.

Following these concrete steps will align applicant conduct with the Direction’s text. Because the Direction delegates implementation detail to ACMA, staying alert to ACMA’s procedure notices and integrating those requirements into compliance systems is essential.
