Radiocommunications (Area-Wide Licences – Limits, Authorisations and Transfers) Determination 2024

The instrument rests on a few interlocking definitional and functional concepts drawn from the Radiocommunications Act regime and the instrument’s own definitions.

Area-wide licence: The instrument relies on the term "area-wide licence" as that expression is defined in the Radiocommunications (Interpretation) Determination 2015 or any instrument that replaces it (clause 4(1)(a)-(b)). An area-wide licence is a statutory category of transmitter licence under section 98 of the Act (clause 4 note). The instrument operates by controlling allocation/issue of these licences in particular frequency ranges and geographic cells.

Named persons and associates: The instrument identifies a specific set of corporate entities as "named person" (clause 4(1), listing Mobile JV Pty Limited; NBN Co Limited; Optus Mobile Pty Limited; and Telstra Limited). It then defines "associate" in clause 4(2) to include related bodies corporate, directors and secretaries of the named person, and foreign companies for which the named person is a local agent. Schedule 2, clause 1 introduces the concept of a "relevant group of persons" to capture aggregation rules for determining thresholds, and contains a narrow carve-out excluding certain individuals providing company secretarial services to foreign incorporated related bodies corporate from being treated as a link between groups (Schedule 2, clause 1(2)).

Relevant area-wide licence: The instrument uses the phrase "relevant area-wide licence" to denote an area-wide licence authorising operation of transmitters in specified parts of the 3.8 GHz or extended 3.8 GHz bands within the metropolitan, regional or rural area (clause 4(1), definition of relevant area-wide licence). The scheduling provisions operate only in respect of these relevant licences.

Band definitions and cross-band counting: The instrument defines band ranges precisely (clause 4(1)). Significantly, Schedule 2 measures allocation limits in terms of how much of the spectrum in the 3.4 GHz band a person is "authorised to use" (Schedule 2, clause 2(3)(b), 2(5)(b), 2(7)(b)). The 3.4 GHz band is defined to cover 3.4-3.95 GHz (clause 4(1)), so the allocation-counting rule sweeps in authorisations across that wider 3.4 GHz band even though the operational restrictions and licences concerned are described as in the 3.8 GHz or extended 3.8 GHz bands. That cross-reference is deliberate in the instrument text and will affect how holdings across spectrum licences and area-wide licences are aggregated.

Geographic cells: The metropolitan, regional and rural areas are defined by reference to the Hierarchical Cell Identification Scheme in the Australian Spectrum Map Grid 2012 and to specific identifiers listed in Schedule 3. The instrument provides an ACMA tool to convert identifiers to placemark files for mapping (Schedule 3 notes).

Time-limited structure: The instrument explicitly creates two distinct temporal regimes: an initial zero allocation/transfer/authorisation regime (Schedule 1) in force from commencement to 30 September 2024 (clause 6), and a subsequent cap-based regime (Schedule 2) from 1 October 2024 to 30 September 2025 (clause 7). The instrument is therefore expressly temporary and tied to fixed dates.

Counting and exclusions: Schedule 2, clause 2(9) instructs that, when measuring how much of the 3.4 GHz band a person is authorised to use, ACMA must take into account authorisations in spectrum licences and authorisations in area-wide licences that exist at the time, regardless of whether they have come into force. Conversely, the instrument excludes non-area-wide transmitter licences, and authorisations provided under subsections 68(1) and 114(1) of the Act, from that calculation (Schedule 2, clause 2(10)). The instrument also includes a note that section 102G of the Act does not empower ACMA to impose limits that capture receiver licences, class licences or receiver-class authorised use, echoing the statutory perimeter (Schedule 2 note).

Authority and references: The instrument records its statutory authority in clause 3 and instructs that references to other legislative instruments are to be read as in force from time to time (clause 5). References to Commonwealth Acts for interpretation are signposted to the Acts Interpretation Act 1901 and the Legislation Act 2003 (clause 5 notes).

The instrument identifies several clear categories of affected persons and indirectly affects others through constraints on licensing activity.

Named persons and their associates: The direct beneficiaries of the definitional attention are the four named corporate entities: Mobile JV Pty Limited (ACN 628 500 916), NBN Co Limited (ACN 136 533 741), Optus Mobile Pty Limited (ACN 054 365 696) and Telstra Limited (ACN 086 174 781) (clause 4(1), “named person”). The instrument targets named persons and their associates for prohibitions and counting rules. An "associate" is anyone who is a related body corporate of the named person, a director or secretary of the named person, or a foreign company for which the named person is a local agent (clause 4(2)). This means corporate groups, officers and certain foreign arrangements of the named persons are within scope.

Licensees and prospective licensees of area-wide licences: The instrument constrains ACMA’s ability to allocate or issue area-wide licences where doing so would enable the named persons or their associates to use spectrum in the specified bands during the Schedule 1 period (Schedule 1, clause 1(2)-(7)). During the Schedule 2 period, ACMA must ensure allocations/issues do not cause any person or relevant group to exceed allocation limits (Schedule 2, clause 2). Therefore any business that holds, seeks or trades area-wide licences in the 3.8/extended 3.8 GHz bands, or holds spectrum licences in the 3.4 GHz band, is affected because their holdings will be counted for the allocation limit in the relevant area.

Third-party users under licences and licensees who grant third-party authorisations: Schedule 1 prohibits licensees of relevant area-wide licences from authorising named persons and their associates to operate transmitters under those licences in the corresponding areas (Schedule 1, clause 2). Licensees who grant third-party usage rights therefore face an express prohibition during Schedule 1.

Transfer counterparties: Schedule 1 prevents transfers of relevant area-wide licences to named persons or their associates while it has effect (Schedule 1, clause 3). This directly affects potential buyers (acquirers) in transfers involving those named persons or their associates during Schedule 1.

Entities with authorisations in the 3.4 GHz band: Schedule 2 counts authorisations in spectrum licences and area-wide licences that exist at the time , whether or not they have come into force , when determining whether allocation limits are exceeded (Schedule 2, clause 2(9)). Holders of spectrum licences in the 3.4 GHz band therefore may find their authorisations counted when ACMA assesses allocation/issue decisions for area-wide licences. Conversely, non-area-wide transmitter licences, class licences and authorisations under ss 68(1) and 114(1) of the Act are excluded from that calculation (Schedule 2, clause 2(10) and the accompanying note).

ACMA and decision-makers: The Australian Communications and Media Authority is affected operationally insofar as the instrument prescribes the constraints it must observe when exercising specified statutory functions under the Act. The instrument is made under paragraphs of ss 102G, 115 and 131AC of the Act (clause 3), and it therefore directly limits ACMA’s discretion in allocation/issue, third-party authorisation determinations and transfer approvals in the stated bands and areas while the relevant schedules are in force.

Foreign companies and company secretarial service providers: The instrument’s associate definition expressly reaches foreign companies for which a named person is a local agent (clause 4(1)), and Schedule 2, clause 1(2) provides a technical exclusion for individuals who provide company secretarial services to related bodies corporate incorporated outside Australia under narrowly defined conditions. That carve-out will affect how corporate structures with foreign-incorporated affiliates are treated for aggregation.

Geographic stakeholders: Parties whose business models depend on coverage in particular geographic cells must be aware that the metropolitan, regional and rural areas are defined by lists of Hierarchical Cell Identification Scheme identifiers in Schedule 3. These lists are detailed and will be decisive for whether a licence sits in the metropolitan, regional or rural category.

Finally, the instrument indirectly affects market participants such as investors, bidders, and landlords of passive infrastructure since changes in the availability, transferability and authorised use of licences can affect asset valuations and deal structures, but the instrument itself names and directly binds the parties and decision-maker categories summarised above.

The determination creates duties on ACMA and on licensees, and it confers or preserves rights for other participants under the Radiocommunications Act framework. The instrument must be read alongside the Act for the broader statutory context, but the instrument sets express duties within its scope.

Duties on ACMA: The instrument requires ACMA, in exercising particular functions, to observe the limits and determinations it sets out. Under Schedule 1, ACMA must not allocate or issue area-wide licences in the relevant bands that would result in any named person or associate being authorised to use any part of those bands in the metropolitan, regional or rural areas because the limit is zero MHz (Schedule 1, clause 1(2)-(7)). Under Schedule 2, after the Schedule 1 period ends, ACMA must ensure allocation/issue of area-wide licences does not result in a person or their relevant group of persons exceeding the allocation limits (metropolitan 140 MHz; regional 160 MHz; rural 160 MHz) (Schedule 2, clause 2(2)-(8)). These are duties on how ACMA applies its allocation and issue powers under s100(1) of the Act (Schedule 2, clause 2(3)(a), 2(5)(a), 2(7)(a)).

Duties on licensees: During the Schedule 1 period, licensees of relevant area-wide licences must not authorise named persons or their associates to operate radiocommunications transmitters under the licences in the metropolitan, regional or rural areas as applicable (Schedule 1, clause 2(2)-(3)). During that same period, relevant area-wide licences are not transferrable to a named person or associate (Schedule 1, clause 3(2)-(3)). The instrument therefore imposes duties on licensees not to grant certain third-party use rights and not to transfer licences to particular counterparties while Schedule 1 is in force.

Aggregation and measurement duties: Schedule 2 instructs ACMA on how to determine whether an allocation would cause a person to exceed an allocation limit. ACMA must count existing authorisations in spectrum licences and existing area-wide licences in the 3.4 GHz band “whether or not the spectrum licence [or area-wide licence] has come into force” (Schedule 2, clause 2(9)). It must exclude transmitter licences that are not area-wide licences and authorisations under subsections 68(1) and 114(1) of the Act from that calculation (Schedule 2, clause 2(10)). These are prescriptive measurement duties that constrain ACMA’s assessment methodology.

Rights preserved for other persons: The instrument does not remove ACMA’s ability to allocate, issue or permit transfer of area-wide licences to persons who are not named persons or associates, provided the allocation limits and other determinations are met. Under Schedule 2, persons that are not named persons may receive allocations/issues subject to the allocation limits in clause 2(8). Licence-holders retain the right to authorise third-party usage generally, except as constrained by the Schedule 1 prohibition in respect of named persons and associates. The instrument leaves in place the normal statutory rights and procedures in the Radiocommunications Act for allocation, issue, revocation and enforcement, subject to the instrument’s limitations; the instrument itself does not create new rights to compensation or new property interests outside the Act’s existing framework.

Temporal limits on duties/rights: The duties and restrictions are expressly time-limited. Schedule 1 duties apply only until 30 September 2024 (clause 6). Schedule 2 duties apply from 1 October 2024 to 30 September 2025 (clause 7). That means rights to be allocated or to acquire licences may change as the instrument’s schedules commence, expire or are superseded.

Interaction with other statutory limitations: The instrument includes an explicit note stating that section 102G of the Act does not permit ACMA to impose limits on aggregate spectrum use authorised under existing receiver licences or class licences or receiver licences, and accordingly use under those licences is not taken into account (Schedule 2 note). That is a limitation on the duties created by the instrument and clarifies scope.

Reference and interpretive duties: Clause 5 requires that references to other instruments are to be read as in force from time to time, which creates an interpretive duty to apply the current text of cross-referenced instruments when implementing the determinations.

The Determination itself prescribes binding limits and prohibitions, but it does not set out specific criminal offences, civil penalties or administrative fines within its text. Enforcement and penalties for contraventions of the radiocommunications licensing regime reside in the Radiocommunications Act and associated enforcement provisions, rather than in this instrument. The instrument is made under the authority of subsections 102G(1), 115(1) and 131AC(1) of the Act (clause 3), and so enforcement of the instrument’s constraints will operate through ACMA’s licensing and regulatory functions under the Act.

Practical enforcement mechanisms implicit in the instrument are as follows. First, ACMA’s allocation, issue and transfer processes are administrative decision points at which compliance can be enforced: the instrument requires ACMA not to allocate/issue licences or to approve transfers that would breach the limits or that contravene the specific transfer prohibition in Schedule 1 (Schedule 1 clauses 1-3; Schedule 2 clause 2). That means ACMA enforces the instrument prospectively by refusing to take actions (allocations, issues, authorisations and approvals) that would cause a breach. A decision by ACMA that is contrary to the binding terms of this instrument would be made without regard to the constraints the instrument imposes and could be subject to statutory review mechanisms under the Act and administrative law review, but the instrument itself does not create or list remedies.

Second, licensees are put on notice by Schedule 1 not to authorise certain third-party users or to transfer licences to named persons or associates while Schedule 1 has effect (Schedule 1, clauses 2 and 3). If a licensee authorises a named person contrary to clause 2 during Schedule 1, or transfers a relevant area-wide licence to a named person contrary to clause 3, the transaction or authorisation may be inconsistent with the statutory licensing framework. The instrument does not itself specify penalties for non-compliance, but such conduct could engage the Act’s enforcement provisions (for example, decisions about licence validity, powers to revoke, or other remedies in the Act). The instrument’s note reiterating that section 102G does not empower ACMA to impose limits on receiver or class licences (Schedule 2 note) also signals the perimeter of the instrument’s enforceable effect.

Third, the instrument is a legislative instrument registered under the Legislation Act 2003 and enacted under the Act. Failure by ACMA to follow the requirements of the instrument in exercising its delegated powers could expose ACMA decisions to legal challenge. Persons affected by a purported allocation, authorisation or transfer that has already occurred can, under the Act and administrative law, seek review where a relevant statutory instrument has not been followed; the instrument itself does not provide a bespoke private remedy.

Because the instrument does not list specific fines or penalty clauses, practitioners should look to the Radiocommunications Act, associated regulations and ACMA’s operational policies for the concrete enforcement measures and sanctioning mechanisms that would apply in the event of non-compliance. The instrument’s effect is to constrain ACMA and licensees at the point of decision; enforcement will therefore be primarily through administrative refusal/withholding of allocation, issue or transfer, and by application of the Act’s usual enforcement apparatus to any contravening behaviour.

This Determination is framed as a statutory instrument operating within the Radiocommunications Act 1992 licensing regime and interacts explicitly with other statutory instruments and bodies of law in several ways.

Primary statutory authority and the Act: The instrument is made under particular powers in the Radiocommunications Act , paragraphs 102G(1)(a) and (b) (allocation limits), 115(1)(b) (authorisations under licences), and 131AC(1)(b) (transfers) , as stated in clause 3 and used across Schedule 1 and Schedule 2 (see Schedule 1 heading lines and Schedule 2 clause 2(1) note). Its legal effect is to constrain how ACMA performs those functions under the Act during the periods specified. Implementation and interpretation must therefore be read with the Act’s provisions concerning allocation, issue, authorisation, transfer and enforcement.

Definitions in other instruments and the Corporations Act: The instrument’s interpretation section imports meanings from other instruments and statutes. It takes the definition of "area-wide licence" from the Radiocommunications (Interpretation) Determination 2015 or any replacement instrument (clause 4(1)(a)-(b)). It adopts the Corporations Act 2001 definitions for "foreign company", "local agent" and "related body corporate" (clause 4(1)), thereby importing corporate law concepts into the radiocommunications regulatory regime. That has the effect that corporate groupings, director/secretary roles and local agent relationships under the Corporations Act are material to whether a person is an associate and therefore within scope of the instrument.

Counting rules and the 3.4/3.8 GHz bands: Schedule 2 requires ACMA to count authorisations to use spectrum in the 3.4 GHz band when measuring allocation limits for area-wide licences in the 3.8 GHz band (Schedule 2, clause 2(9), (8)). The 3.4 GHz band is defined in clause 4(1) to extend from 3.4 GHz to 3.95 GHz, which overlaps and is broader than the 3.8 GHz band. This cross-band interaction means holdings and authorisations under spectrum licences in the 3.4 GHz band will affect allocation decisions for area-wide licences in the 3.8 GHz band, so holders of spectrum licences should consider this instrument when assessing their entitlements and strategies. The instrument also tells ACMA not to take into account authorisations in transmitter licences that are not area-wide licences, and not to take into account authorisations under ss 68(1) and 114(1) of the Act for this specific measurement purpose (Schedule 2, clause 2(10)). The instrument also notes section 102G of the Act does not permit ACMA to impose limits on receiver or class licences, so those remain outside the instrument’s aggregation ambit (Schedule 2 note).

Legislative hierarchy and interpretation: Clause 5 provides that references to other legislative instruments are to be read as in force from time to time, and references to writings are likewise dynamic. Notes point to the Acts Interpretation Act 1901 and the Legislation Act 2003 for Commonwealth Acts' interpretation (clause 5 notes). That means the instrument’s application will track changes in cross-referenced instruments and Acts, for example if the Radiocommunications (Interpretation) Determination 2015 is replaced.

Property, contract and corporate law effects: The instrument limits transfers of relevant area-wide licences to named persons or associates during Schedule 1 (Schedule 1, clause 3). That interacts with private contractual arrangements regarding sale and purchase of licences, assignment clauses, share sales or asset deals. Parties negotiating transfers will need to ensure the transaction structure does not run afoul of the instrument during Schedule 1, and may need to build contractual protections (conditions precedent, termination triggers) tied to the instrument’s timelines and ACMA approvals. Corporate group restructures that create or extinguish related body corporate relationships may change whether a person is an associate under the Corporations Act definitions the instrument imports.

Administrative law and review: Because the instrument constrains ACMA decision-making, ACMA decisions taken contrary to the instrument could be susceptible to administrative review or judicial review. The instrument itself does not change rights of review under the Act but becomes a binding parameter for lawful exercise of ACMA’s functions.

International and foreign company implications: The instrument’s reach into foreign companies for which a named person is a local agent (clause 4(1)) and the Schedule 2 carve-out about company secretarial services for foreign incorporated related bodies (Schedule 2, clause 1(2)) mean corporate arrangements spanning jurisdictions interact materially with the instrument’s aggregation rules. Practitioners must read the Corporations Act interfaces carefully.

In short, the instrument is tightly integrated with the Radiocommunications Act’s allocation/authorisation/transfer framework, imports corporate definitions from the Corporations Act, relies on other legislative instruments for definitional content, and has direct practical effects on contractual and corporate transactions that touch on area-wide licences in the affected bands and geographic cells.

The instrument as provided contains its own commencement date, authority and the temporal operation of its schedules. It has two prescribed temporal phases: Schedule 1 (initial limits) applies from commencement until the end of 30 September 2024 (clause 6), and Schedule 2 (subsequent limits) applies from the start of 1 October 2024 until the end of 30 September 2025 (clause 7). The instrument states it is made under specified subsections of the Radiocommunications Act 1992 (clause 3). Beyond those internal temporal provisions, the text contains no recorded prior versions, amendments or revocations within the instrument itself.

Clause 5 directs that references to other legislative instruments are to be read as those instruments are in force from time to time (clause 5(a)), which means that future amendments to instruments it cross-references (for example the Radiocommunications (Interpretation) Determination 2015) will be picked up for definitional purposes. Clause 4(1)(a)-(b) explicitly contemplates that, if another instrument replaces the Radiocommunications (Interpretation) Determination 2015 and defines "area-wide licence", the replacement instrument’s definition will be used.

The instrument’s own dates fix its temporary operation; once Schedule 1 ends on 30 September 2024, its zero-MHz prohibitions (Schedule 1 clauses 1-3) will no longer apply. Schedule 2’s caps begin on 1 October 2024 and expire on 30 September 2025 unless further legislative instruments are made. There is no amendment record in the text provided showing that this Determination has been amended since registration.

Practitioners should note two operational consequences: first, the instrument’s provisions are time-limited and so compliance strategies must be aligned to the operative schedule; second, because clause 5 requires references to other instruments to be read as in force from time to time, future amendments to cross‑referenced instruments may alter how some definitions operate in practice (for example, if the definition of "area-wide licence" is updated). Any later amendment instruments or replacement determinations would themselves need to be located on the Federal Register of Legislation, as the instrument’s notes stress (clause 2 note; clause 5 notes).

Because the instrument does not itself list amendment events, repeal or supersession would occur by subsequent legislative instrument or by operation of new statutory determinations under the Radiocommunications Act. Users should monitor the Federal Register of Legislation and ACMA publications for any further determinations that modify or replace the measures in this instrument.

The text of the Radiocommunications (Area-Wide Licences - Limits, Authorisations and Transfers) Determination 2024 as provided contains no references to judicial decisions, litigation or case law. It does not cite any court rulings, nor does it record any challenges to the instrument. The instrument’s notes and clauses do not refer to prior litigation or settled case law that shaped its content.

Given the instrument is expressed to operate through ACMA’s statutory functions under the Radiocommunications Act, any litigation that might arise would be expected to concern administrative law challenges to ACMA decisions made in purported compliance with, or in contravention of, the Determination, or private disputes over transfers or authorisations affected by the Determination. However, the instrument itself does not record any such litigation history.

For practitioners, that absence of recorded litigation in the instrument means that legal questions about the proper construction, scope and limits of the Determination will have to be tested in the usual forums if contested. Potential areas that could give rise to litigation include: whether particular corporate arrangements constitute an "associate" under the instrument’s definitions; whether ACMA has correctly aggregated authorisations in the 3.4 GHz band in assessing allocation limits; whether a transfer or authorisation contravenes the Schedule 1 prohibitions; and whether ACMA’s refusal to allocate or transfer, based on the Determination, is a lawful exercise of power. None of those possibilities is reflected in the instrument’s text as existing litigation. Any litigated interpretation would need to be grounded in the instrument text and the Radiocommunications Act, and any reference to case law should be made to cases that discuss the Act, but the Determination itself does not name any.

Users requiring up-to-date litigation tracking should consult court records and ACMA published decisions after the Determination’s commencement date, because the instrument itself does not provide a litigation history.

Several drafting features and definitional choices in the instrument create points of friction and potential traps for practitioners, bidders and licence-holders. These are factual and textual risks grounded in the instrument’s language.

Cross-band counting versus band labels: The allocation limits in Schedule 2 are expressed as limits on the amount of "spectrum in the 3.4 GHz band" a person is authorised to use (Schedule 2, clause 2(3)(b), (5)(b), (7)(b)), whereas the operational licences and prohibitions are described as area-wide licences in the 3.8 GHz band or extended 3.8 GHz band (Schedule 1 and Schedule 2 headings). The instrument defines the "3.4 GHz band" as 3.4-3.95 GHz and the "3.8 GHz band" as 3.8-3.95 GHz (clause 4(1)). Practically, that means holdings and authorisations across a larger band (3.4-3.95 GHz) will be aggregated for the purposes of the 3.8 GHz allocation limits. Do not assume only 3.8-3.95 GHz holdings matter.

Counting of authorisations that have not come into force: Schedule 2 requires counting authorisations in spectrum licences and area-wide licences "that exist at the time (whether or not the spectrum licence has come into force)" (Schedule 2, clause 2(9)(a)-(b)). Practitioners must therefore include allocations or licences that have been granted but not yet activated. Deals and conditional allocations can therefore affect the allocation headroom even before operations commence.

Exclusions that may be surprising: The instrument explicitly instructs not to take into account authorisations in transmitter licences that are not area-wide licences, and not to take into account authorisations under s68(1) (third party use and spectrum licences) or s114(1) (third party use and apparatus licences) of the Act (Schedule 2, clause 2(10)). Additionally, the instrument notes that section 102G of the Act does not empower limits on aggregate spectrum use authorised under receiver licences, class licences or receiver licences (Schedule 2 note). Parties relying on non-area-wide transmitter licences, or on class licences and third-party authorisations under s68(1) and s114(1), may nevertheless be surprised if they think those will affect allocation calculations , they will not be counted here.

Broad drafting of "associate": The definition of associate reaches related bodies corporate, directors and secretaries, and foreign companies for which a named person is a local agent (clause 4(2)). That can capture group companies, interposed entities, and cross-border structures. The instrument’s Schedule 2, clause 1(2) contains a narrow exemption for individuals providing company secretarial services in certain circumstances; do not rely on a broad company secretarial exception. Entities should map corporate relationships under the Corporations Act to determine whether they are associates for these purposes.

Temporal differences between prohibitions and caps: Schedule 1 imposes an absolute zero-MHz prohibition on allocation/issue to named persons and associates and also prohibits authorisations and transfers to those persons while that Schedule is in force (Schedule 1, clause 1-3). Those prohibitions end on 30 September 2024. Schedule 2 then imposes allocation caps from 1 October 2024 to 30 September 2025, but does not carry forward an explicit transfer and authorisation ban of the same character. That means the absolute prohibition on transfers and third-party authorisations to named persons is not, on its face, continued into the Schedule 2 period. Parties planning transactions that straddle 30 September 2024 must therefore be careful to time and structure deals to account for the change in regime.

Geographic specificity and cell lists: The metropolitan, regional and rural areas are enumerated by long lists of Hierarchical Cell Identification Scheme identifiers in Schedule 3. The instrument offers an ACMA tool to convert lists to mapping files (Schedule 3 notes), but mistakes in mapping licence footprints to the Schedule 3 cells could lead to erroneous aggregation of holdings or misclassification of an area-wide licence as metropolitan, regional or rural. Practitioners must use ACMA’s mapping tool and ensure the exact Hierarchical Cell IDs for their licence areas are identified.

Measurement in MHz and aggregation across persons/groups: The allocation limits are expressed in MHz (Schedule 2, clause 2(8)). Aggregation rules involve "the person, or the relevant group of persons that includes the person" (Schedule 2, clause 2(3)(b) etc). The "relevant group of persons" definition in Schedule 2, clause 1 can aggregate across groups where they share at least one member, which can cause apparently separate entities to be treated as a single group. There is an exemption where the only commonality is a company secretary providing services to foreign-incorporated related bodies corporate via an independent third party (Schedule 2, clause 1(2)); otherwise, shared personnel or corporate links can bring aggregation.

Transfers and private contracts: A transfer of a relevant area-wide licence to a named person or associate is prohibited under Schedule 1 (clause 3) while that Schedule is in force. Contracts that purport to transfer licences during that period will be caught. Parties need to structure conditional settlement, escrow, or staged acquisition mechanisms carefully, with conditions precedent tied to the expiry of Schedule 1 or to ACMA approvals reliant on compliance with the Determination.

Interaction with Corporations Act roles: Because associate is defined to include directors and secretaries, a person who becomes a director or secretary of a named person (or who is an officer of a related body corporate) may bring transactional counterparties within the instrument’s scope. Small administrative appointments could have licensing consequences.

Ambiguities and interpretation risk: Several drafting choices create interpretive questions that affected parties should not assume are straightforward. Examples include the limits’ reference to “the allocation or issue of area-wide licences that authorise the operation of radiocommunications transmitters in the 3.8 GHz band” but counting being made in terms of authorisations in the 3.4 GHz band (Schedule 2, clauses 2(2)-(9)). Because these features can materially affect entitlement and strategy, parties should not rely on cursory readings.

Compliance requires identifying whether the entity is a named person or an associate, mapping current and prospective authorisations in the 3.4 GHz band, checking geographic cell identifiers, and structuring transactions and authorisations to avoid contravening the instrument during the applicable period. Below is a practical checklist grounded in the Determination’s text and numbering.

1. Establish status: Determine whether your organisation is one of the named persons listed in clause 4(1) (Mobile JV Pty Limited; NBN Co Limited; Optus Mobile Pty Limited; Telstra Limited) or an associate as defined in clause 4(2). For corporate groups, apply the Corporations Act definitions of related body corporate, and examine director and secretary roles and any local agent relationships with foreign companies.

2. Identify the licences and authorisations to be counted: For allocation-limit purposes under Schedule 2, count authorisations to operate radiocommunications devices in specified parts of the 3.4 GHz band where those authorisations are in spectrum licences that exist at the time and in area-wide licences that exist at the time (Schedule 2, clause 2(9)). Remember to include licences that exist even if not yet in force. Do not count transmitter licences that are not area-wide licences, and do not count authorisations under subsection 68(1) or 114(1) of the Act (Schedule 2, clause 2(10)). Document the existence date of each relevant licence or authorisation.

3. Map geographic scope using Schedule 3: Determine whether each authorisation applies to the metropolitan, regional or rural area by reference to the Hierarchical Cell Identification Scheme identifiers in Schedule 3. Use ACMA’s conversion tool noted in Schedule 3 to visualise cells and confirm area classification. Treat the exact cell identifiers in Schedule 3 as decisive for area determination.

4. Calculate MHz totals against allocation limits: For the Schedule 2 period, aggregate the MHz of spectrum a person or relevant group is authorised to use in the relevant area and compare against the allocation limits (metropolitan 140 MHz; regional 160 MHz; rural 160 MHz) in Schedule 2, clause 2(8). Determine whether any contemporaneous allocations or existing licences push the aggregate over the cap.

5. Avoid authorising named persons under relevant area-wide licences during Schedule 1: If you are a licensee of a relevant area-wide licence, do not authorise any named person or associate to operate a transmitter under that licence in the metropolitan or regional area (for 3.8 GHz band licences) or in the rural area (for extended 3.8 GHz band licences) while Schedule 1 is in force (Schedule 1, clause 2). Put compliance controls in place to prevent inadvertent third‑party authorisations to named persons.

6. Avoid transferring relevant area-wide licences to named persons during Schedule 1: If you propose a transfer, check Schedule 1 clause 3 , a transfer of a relevant area-wide licence to a named person or associate is not allowed while Schedule 1 is in effect. Make contractual settlement conditional on the expiry of Schedule 1 (or on receipt of a clearance from ACMA that the Determination’s constraints do not prevent transfer) if transfers are time‑sensitive.

7. Structure acquisitions with aggregation risk in mind: When negotiating acquisitions or allocations, conduct due diligence to identify whether the target, the acquirer or any member of the relevant group of persons that includes them will be authorised to use more spectrum in the 3.4 GHz band than the allocation limit permits (Schedule 2, clause 2(3)-(8)). Use conditions precedent and representations and warranties that secure remedies if a proposed allocation or issue would breach the caps.

8. Check corporate roles and local agent relationships: Because associate includes directors and secretaries and foreign companies for which the named person is a local agent (clause 4(2)), review officer appointments and agency arrangements that could result in aggregation. Note the narrow Schedule 2 carve-out for company secretarial services supplied by an independent third party to foreign incorporated related bodies corporate (Schedule 2, clause 1(2)). Do not assume that routine administrative relationships will be outside the instrument’s scope without checking the specific tests in that clause.

9. Keep records of licence existence dates and ACMA communications: Because Schedule 2 counts licences and area-wide licences that "exist at the time" whether or not in force (Schedule 2, clause 2(9)), maintain precise records of grant dates, notices and any ACMA communications showing that a licence exists. That recordkeeping will be essential in any allocation assessment or dispute.

10. Use ACMA tools and seek pre-emptive engagement: Use ACMA’s mapping and spectrum grid tools referenced in Schedule 3 to confirm geographic classifications and to visualise cell coverage. Where there is doubt about whether an allocation or transfer would contravene the Determination, consider seeking ACMA guidance or view clearance in advance. Because the instrument constrains ACMA’s decision-making, an ACMA pre-decision discussion can reduce the risk of a refused allocation or transfer.

11. Transactional drafting: Build Deal protection for timing risk, including termination rights and price adjustments for inability to obtain ACMA allocation or transfer approvals consistent with the Determination. If a sale is intended to introduce a named person as transferee or authorised third party, ensure the timing falls after Schedule 1’s expiry and that Schedule 2 caps will not be breached.

12. Monitor legislative changes: Clause 5 requires references to other instruments to be read as in force from time to time. Monitor amendments to the Radiocommunications (Interpretation) Determination and other ACMA instruments, and watch for further determinations that might extend, replace, or modify the limits set out in this Determination.

13. Legal review of corporate structures: If businesses are organised through foreign-incorporated related bodies corporate or rely on local agent relationships, obtain specialist corporate law advice to determine whether the instrument’s associate definition brings them into an aggregated group. The Schedule 2 carve-out for company secretarial providers is narrow and fact-sensitive.

14. Compliance audit and internal controls: Licence-holders and prospective licensees should run a compliance audit mapping all relevant spectrum and area-wide authorisations, with an internal control system to prevent prohibited authorisations and to flag prospective allocations or transfers that would exceed the allocation limits.

Following this checklist will assist licence-holders, acquirers and ACMA in implementing the instrument’s requirements. The instrument’s text (Schedule 1 clauses 1-3; Schedule 2 clause 2; clause 4 definitions; Schedule 3 identifiers) is the primary source for the precise duties and measurement rules, and operational compliance must be anchored to those provisions.
