Queen Victoria Women's Centre Act 1994

Trust as statutory corporate entity: The Act establishes the Queen Victoria Women’s Centre Trust as a body corporate with perpetual succession and a common seal (s 4(1)-(3)). The Trust has legal capacity to sue and be sued, hold property and enter into contracts (s 4(2)(c)-(d)). The courts must judicially notice the Trust’s common seal on documents (s 4(4)).

Specified land and restricted alienation: The Queen Victoria Women’s Centre land is identified in Schedule 1 and vests in fee simple in the Trust, but subject to prior encumbrances and restrictions (s 15(1)). The Trust may not sell, mortgage or otherwise dispose of the land, nor grant leases exceeding five years, nor use the land otherwise than for Trust purposes, without the Minister’s written consent (s 15(2)(a)-(c)). The land’s reversion to the Crown on winding up is automatic (s 23).

Functions and powers: The Trust’s functions combine custodial and service provision obligations: to manage and use the land for the Centre, to manage and promote the Centre, to seek funding and provide services for women including health information and meeting spaces, and to provide information about services (s 5(a)-(f)). The Trust’s powers are broadly enabling and include doing works on the land, advertising and promotion, employing staff and consultants, providing advisory services, contracting with third parties, entering leases and licences subject to s 15, charging fees, and accepting gifts and grants (s 6(1)-(2)).

Governance composition and appointment mechanics: The Trust comprises 12 members appointed by the Governor in Council on the Minister’s recommendation (s 7). Up to 4 of the 12 may be selected from a panel of eight names submitted to the Minister by Queen Vic. Women’s Centre Inc. or, if that body ceases, by a successor entity recognised by the Minister (s 7(a)-(b)). Members serve up to four years per appointment and are eligible for reappointment; remuneration and allowances are fixed by the Governor in Council (s 8(1)-(2)). The Public Administration Act 2004, except Part 3, applies to members in respect of the office of member (s 8(3)).

Accountability and financial governance instruments: The Trust may open bank accounts with authorised deposit-taking institutions (s 16). It has borrowing and investment powers as conferred by the Borrowing and Investment Powers Act 1987 (s 17). The Trust must prepare a business plan annually in a Minister-approved form incorporating a statement of corporate intent, financial statements and other matters the Minister directs (s 18(1)-(3)). The Trust may act only in accordance with that plan unless it first informs the Minister in writing of intended deviation (s 19). The Act classifies the Trust as a public statutory authority under the Financial Management Act (s 20), thereby subjecting it to the financial control and reporting regime established in that legislation.

Intervention and insolvency mechanisms: The Minister may appoint an administrator if the Trust is likely unable to pay its debts as they fall due, with the administrator assuming full control of operations and operating in accordance with the Act (s 21). The Minister may determine the Trust should be wound up and appoint a liquidator; the winding-up procedure is declared an applied Corporations legislation matter with specified modifications, including substitution of the Minister for ASIC and the Government Gazette for the Commonwealth Gazette where relevant (s 22(1)-(3)). On winding up the land reverts to the Crown (s 23).

Meeting, quorum and conflict rules: Meetings are chaired by the chairperson (or a presiding member in the chair’s absence), require a quorum of a majority of current membership to determine questions, and resolve by majority votes with the chairperson having a casting vote where necessary (s 14(1)-(3)). Members must declare direct or indirect pecuniary interests at meetings and are, unless the Trust directs otherwise, not to participate in deliberations or vote on the matter; votes by interested members are to be disallowed (s 13(1)-(3)). The Act preserves the validity of Trust acts despite appointment defects, vacancies or acting-member technicalities (s 12).

Regulation-making and title amendments: The Governor in Council may make regulations for matters required or permitted to be prescribed by the Act (s 25). The Registrar of Titles must make necessary amendments under the Transfer of Land Act 1958 to reflect the operation of this Act (s 24(2)).

Primary institutional actors: The Trust created by the Act is the primary actor. Trust members, the chairperson, any administrators or liquidators appointed under ss 21-22, and the Minister and Governor in Council who make appointments and give consents will be directly affected by the Act’s institutional design and powers (ss 4, 7-9, 15(2), 18(2), 21-22). The Trust is classified as a public statutory authority under the Financial Management Act, which subjects the Trust to the state’s public finance framework (s 20).

The Crown and public authorities: The Crown is an indirect but continuous stakeholder. The land vests in the Trust, but with reversion to the Crown on winding up (s 23), and disposals, mortgages or leases over five years require the Minister’s written consent (s 15(2)). The Minister and the Governor in Council have decision-making roles affecting appointments, remuneration (s 8(2)), regulator-like interventions (ss 21-22) and approvals of business-plan form and timing (s 18).

Nomination body and civil society: Queen Vic. Women’s Centre Inc., or its Minister-recognised successor, has a structured role in nominations: up to four members may be selected from a panel of eight names that the incorporated body submits to the Minister (s 7). That gives the incorporated body a formal channel to influence the Trust’s composition.

Service users and tenants: Women and organisations using the Centre for services, health information, meeting rooms and other facilities are affected by the Trust’s duties and powers to provide and charge for services (s 5(e); s 6(g)). Prospective tenants and licencees are affected by the Trust’s power to enter leases and licences (s 6(f)), but also by the five-year cap on lease terms that the Trust can grant without Ministerial consent (s 15(2)).

Creditors and funders: Potential lenders, investors, grantors and counterparty contractors are affected by the Trust’s financial and insolvency regime. The Trust may borrow under s 17 via the Borrowing and Investment Powers Act 1987, but on winding up the land vests back in the Crown (s 23), and winding up procedures are controlled by the Minister rather than a Court-initiated process under the Corporations Act as modified (s 22(3)). These provisions affect security, priority and enforcement expectations for external financiers.

Public sector employees and advisers: Staff and consultants engaged by the Trust (s 6(c)) will be employed under terms the Trust determines, but members themselves are subject to the Public Administration Act in respect of their office (s 8(3)). The classification under the Financial Management Act (s 20) signals obligations for reporting and financial controls that will affect staff responsibilities.

Third parties engaging with the Trust: Contractors, advertisers, promoters, donors and community groups engaging with the Centre will deal with a legally recognised corporate trustee with capacity to contract, hold accounts (s 16), accept gifts (s 6(h)) and charge fees (s 6(g)). Counterparties will also be affected by the Ministerial consent requirement for longer leases and land disposals (s 15(2)) and by the need to ensure dealings reflect any encumbrances noted at vesting (s 15(1)).

Regulators and registries: The Registrar of Titles is obliged to update the Transfer of Land Register to reflect the Act’s operation (s 24(2)). Under s 22(3) winding up procedures map applied Corporations provisions to state institutions, with the Minister substituting for ASIC in certain references, affecting how regulators and public registers interact in insolvency contexts.

Trust’s duties: The Act specifies the Trust’s core duties as management, operation, use, promotion and efficient financial management of the Queen Victoria Women’s Centre and land (s 5(a)-(c)). It must provide services and facilities for women, including health information and meeting spaces, and provide information about services available at the Centre (s 5(e)-(f)). The Trust is duty-bound to prepare an annual business plan in the Minister’s approved form, containing a statement of corporate intent, accounting policies, performance measures and financial statements as requested by the Minister (s 18(1)-(3)). The Trust must act only in accordance with its business plan unless it first informs the Minister in writing of any intended departure (s 19).

Ministerial and Governor in Council duties: The Minister must recommend members to the Governor in Council (s 7) and must appoint one of the members as chairperson (s 9(1)). The Minister determines the date for the business plan submission and approves the form (s 18(2)-(3)). Subject to evidence that the Trust is unlikely to pay debts as they fall due, the Minister may appoint an administrator who takes full control and must operate under the Act (s 21). The Minister may determine the Trust should be wound up and appoint a liquidator and fix the liquidator’s remuneration (s 22(1)-(2)). The Governor in Council fixes member remuneration and appoints members on the Minister’s recommendation (ss 7, 8(2)) and may appoint acting members for temporary vacancies (s 11(1)).

Members’ rights and obligations: Members hold office for terms up to four years and are eligible for reappointment (s 8(1)). They are entitled to such remuneration and allowances as the Governor in Council fixes (s 8(2)). Members must declare direct or indirect pecuniary interests at meetings and, unless the Trust otherwise directs, must not be present during deliberations or vote on the relevant matter; if they vote, the vote is disallowed (s 13(1)-(3)). Members are subject to the Public Administration Act (s 8(3)), which imports public sector standards and obligations for the office of member as provided for under that Act.

Trust’s legal and operational rights: The Trust has entitlement to open and maintain accounts with authorised deposit-taking institutions (s 16), employ staff and consultants (s 6(c)), contract with persons and bodies (s 6(e)), charge fees for services and entry (s 6(g)), accept gifts and grants (s 6(h)), and carry out works on the land (s 6(2)(a)). It has perpetual succession and the legal capacity to hold and dispose of property subject to statutory limits (s 4(2)(a)-(d)).

Constraints on use and alienation: The Trust must not use the land for other than Trust purposes without Ministerial consent (s 15(2)(c)). The Trust cannot sell, mortgage or otherwise dispose of the land, nor grant leases over five years, without the Minister’s written consent (s 15(2)(a)-(b)). These constraints are duties in the negative: they limit certain acts unless an explicit written consent is obtained.

Financial governance duties: The Trust must prepare a business plan annually and act in accordance with it (ss 18-19). Being a public statutory authority under the Financial Management Act (s 20) imposes further financial management and reporting obligations provided by that statute (the Act itself designates the Trust within the FMA definition of public body). The Trust’s borrowing and investment authorities are those conferred by the Borrowing and Investment Powers Act 1987 (s 17).

Administrator and liquidator duties: An administrator appointed under s 21 assumes full control and responsibility for Trust operations (s 21(3)(a)) and must conduct operations in accordance with the Act (s 21(3)(b)). On winding up under s 22 the Minister appoints a liquidator and fixes remuneration (s 22(2)); the winding-up process is governed by applied Corporations Act provisions, subject to the modifications listed (s 22(3)).

Registrar of Titles and regulatory duties: The Registrar of Titles must make necessary amendments to the Transfer of Land Register consequent on the Act’s operation (s 24(2)). The Governor in Council may make regulations required or permitted by the Act to give effect to it (s 25), creating delegated rule-making duties for the executive.

Statutory enforcement framework: The Act itself does not create express criminal offences or pecuniary penalties within its text other than by reference to the statutory control mechanisms it institutes. Enforcement is effected largely through administrative controls and structural constraints rather than standalone penal provisions. The primary enforcement levers are Ministerial consent requirements, Ministerial appointment powers, administrative intervention, and winding-up powers.

Ministerial intervention and administrators: If the Minister believes the Trust is unlikely to pay its debts as they fall due, the Minister may appoint an administrator who assumes full operational control (s 21). The administrator must act under the Act (s 21(3)). This is an administrative enforcement mechanism that functions as a preventive remedy against financial distress rather than a penal sanction against misconduct.

Winding up and liquidator powers: The Minister may determine the Trust should be wound up for inability to meet debts as they fall due and must appoint a liquidator and fix remuneration (s 22(1)-(2)). The Act declares the winding up an applied Corporations legislation matter for the purposes of Part 3 of the Corporations (Ancillary Provisions) Act 2001 and maps Part 5.6 (Winding up generally) of the Corporations Act to the Trust with specific modifications (s 22(3)). Those modifications replace certain Commonwealth regulators and references (for example, ASIC references become references to the Minister; the Gazette becomes the Government Gazette) and subject the Trust to the procedural framework of corporate insolvency, giving liquidators statutory powers to realise assets and distribute proceeds in accordance with applied law, but with the critical distinction that Queen Victoria Women’s Centre land vests back in the Crown on winding up (s 23). This reversion affects the assets available to the liquidator.

Limits and practical enforcement: The Trust is required to act in accordance with its business plan, and deviation must be preceded by written notice to the Minister (s 19). Ministerial control over business-plan form and content, and the requirement that the Trust follow the plan, create an enforcement mechanism by which non-compliance can justify Ministerial action, appointment of an administrator or winding up (ss 18-22). Members are subject to the Public Administration Act for the office of member (s 8(3)), which itself contains standards and disciplinary mechanisms applicable under that statute. The Act’s pecuniary interest provisions (s 13) create an internal governance enforcement obligation: declarations must be made and minutes kept, with non-compliant votes to be disallowed.

Absence of express criminal sanctions in the Act text: The Act does not specify criminal penalties or fines for breaches of its specific obligations; enforcement is administrative and structural via Ministerial powers, the public sector framework and insolvency processes. Where other statutes apply to the Trust or its members (for example, the Public Administration Act or the Financial Management Act), the enforcement provisions in those statutes, including disciplinary or administrative penalties, will be relevant.

Court recognition and legal capacity: The Trust’s common seal and corporate status are recognised for evidentiary and procedural purposes, courts must take judicial notice of the seal and presume it was duly affixed until proven otherwise (s 4(3)-(4)). This reduces litigation friction in establishing authority for documents executed by the Trust.

Public Administration Act 2004: The Act expressly applies the Public Administration Act 2004 (other than Part 3) to members in respect of the office of member (s 8(3)). This imports public sector obligations and standards for members’ conduct, recruitment and possibly conflict-of-interest and disclosure frameworks contained in that Act. Any compliance or disciplinary processes under the Public Administration Act will therefore apply to members acting in that office.

Financial Management Act 1994: The Act classifies the Trust as a public statutory authority within the meaning of paragraph (a) of the definition of public body in s 3 of the Financial Management Act 1994 (s 20). As a consequence the Trust will be subject to the financial governance, reporting, audit and cash management obligations provided by the Financial Management Act and any subordinate instruments made under it.

Borrowing and Investment Powers Act 1987: The Trust’s borrowing and investment capacities are those conferred by the Borrowing and Investment Powers Act 1987 (s 17). Practically, any borrowing, investment or related financial transaction will need to be examined against that Act’s limits and procedural requirements.

Corporations (Ancillary Provisions) Act 2001 and Corporations Act: The Act makes winding up an applied Corporations legislation matter (s 22(3)) for purposes of Part 3 of the Corporations (Ancillary Provisions) Act 2001 and applies Part 5.6 of the Corporations Act (Winding up generally) to the Trust with stated modifications (s 22(3)(a)-(g)). Modifications include substituting references to ASIC with the Minister, the Gazette with the Government Gazette, directors with Trust members, and an order of Court with a Ministerial determination (s 22(3)(b)-(e)). Regulation-making powers allow other modifications to be prescribed (s 22(3)(g)).

Transfer of Land Act 1958: The Registrar of Titles is required to make necessary amendments to the Register under the Transfer of Land Act 1958 consequent on the operation of this Act (s 24(2)). The land vests in fee simple in the Trust but subject to conditions and encumbrances existing at vesting (s 15(1)), so registered interests and encumbrances will continue to affect the land post-vesting.

Authorised Deposit-takers and Banking Act 1959 (Cth): The Trust is permitted to open accounts with any authorised deposit-taking institution within the meaning of the Banking Act 1959 of the Commonwealth (s 16). This cross-references Commonwealth definitions to identify permitted banking counterparties.

Other statutes with potential application: Members are potentially subject to other public-sector and administrative law obligations, as the Act imports the Public Administration Act and identifies the Trust under the Financial Management Act. The Trust’s contracts, employment relations, occupational health and safety obligations, privacy, anti-discrimination and other general law obligations in Victoria and federally remain applicable to its operations unless specifically displaced by statute, which the Act does not purport to do.

Regulations: The Governor in Council may make regulations for matters required or permitted to be prescribed by this Act or necessary to give effect to it (s 25). Such regulations can interact with the statutory framework by tailoring applied Corporations Act modifications, specifying additional matters for business plans, and setting procedural particulars.

The endnotes list the legislative instruments that have amended this Act since 1994. The table in the Act’s endnotes identifies the following principal amendments and their mechanical effects where specified in the text:

• Public Sector Reform (Miscellaneous Amendments) Act 1998, No. 46/1998 (assent 26 May 1998). The endnotes record commencement for s 7(Sch. 1) on 1 July 1998. The consolidated text shows s 8(3) as amended by this instrument originally; later further amendments refined that provision.

• Transfer of Land (Single Register) Act 1998, No. 85/1998 (assent 17 Nov 1998). Commencement 1 Jan 1999. The endnotes state s 24(1) was repealed by this Act; the consolidated text retains s 24(2) requiring Registrar of Titles to make necessary Transfer of Land Register amendments.

• Statute Law Amendment (Authorised Deposit-taking Institutions) Act 2001, No. 11/2001 (assent 8 May 2001). Commencement 1 June 2001. The endnotes note an amendment to s 16; the consolidated text now expressly allows the Trust to maintain accounts with authorised deposit-taking institutions in the meaning of the Banking Act 1959 (s 16).

• Corporations (Consequential Amendments) Act 2001, No. 44/2001 (assent 27 June 2001). Commencement 15 July 2001. This amendment is reflected in the insertion and replacement of s 22(2)-(3), making the Trust’s winding-up an applied Corporations legislation matter with specified modifications, and modernising the insolvency approach by mapping Corporations Act Part 5.6 procedures to the Trust (s 22(3)).

• Public Administration Act 2004, No. 108/2004 (assent 21 Dec 2004). Commencement 5 April 2005 for the relevant schedule item. The working text shows the Public Administration Act applying to members (s 8(3)).

• Public Sector Acts (Further Workplace Protection and Other Matters) Act 2006, No. 80/2006 (assent 10 Oct 2006). Commencement 11 Oct 2006 for the listed schedule item. The endnotes indicate an amendment of s 8(3) occurred as a result of this instrument.

• Statute Law Revision Act 2011, No. 29/2011 (assent 21 June 2011). Commencement 22 June 2011. The endnotes record this Act repealed s 26 and made technical revisions where noted.

What the amendments changed in practice: The 2001 Corporations-related amendments are the most substantively operational: they replaced a state-specific winding-up regime with an applied Corporations Act procedure adapted for a public statutory entity, shifting insolvency mechanics into a framework familiar to corporate practitioners, but with Ministerial instead of ASIC/Court primacy for certain steps (s 22(3)(b)-(e)). The 2001 authorised deposit-taking amendment (s 16) clarified permitted banking counterparties. The 2004 Public Administration Act amendment explicitly subjects members to public sector standards and obligations (s 8(3)), altering the personal legal environment of members by importing public sector accountability frameworks. The 1998 Transfer of Land change removed a previously redundant subsection and left the practical Register amendment duty under s 24(2).

No entries in the Act’s Explanatory Details endnote appear in the consolidated text. The endnotes include the Bill’s long title and dates of assent and commencement. Users should consult the Victorian Government Gazette and the Acts themselves for the precise amendment texts and schedules if drafting or advising on historic compliance or transitional arrangements.

The Act’s consolidated text and the supplied endnotes do not record any judicial decisions or litigation history associated with the Queen Victoria Women’s Centre Act 1994. The endnotes include the Minister’s second reading speech dates and the Bill’s long title, but they do not reference any cases, adjudicative rulings, judicial interpretations, or tribunal decisions. The Schedule and Endnotes sections contain no litigation listings.

Practical implications of the absence of recorded litigation in the source: There are no reported court interpretations of the Act’s provisions within the supplied material. Consequently, any legal practitioner assessing uncertain or novel questions of statutory construction, ministerial discretion, or interplay with applied Corporations provisions (s 22(3)) will likely need to rely on general statutory interpretation principles, cross-references to the applied statutes (for example, the Corporations Act and the Financial Management Act) and, where necessary, seek declaratory relief or administrative review if a dispute arises over Ministerial decisions under this Act. The Act’s text itself contains several points that could produce contested questions,Ministerial discretion in nominations and consents (ss 7, 15, 18), the Trust’s obligation to act in accordance with a Minister-approved business plan (ss 18-19), and the modifications to Corporations Act winding-up procedures (s 22(3)). Without reported decisions, there is no authoritative judicial gloss on how those provisions are to be applied in close cases.

For tasks requiring precedent or interpretive certainty (for example, advising lenders on the effect of land reversion on secured interests), practitioners should treat the absence of local judicial authority as requiring particular care: review the primary statutes (Corporations Act insofar as applied, Financial Management Act, Borrowing and Investment Powers Act, Public Administration Act), obtain up-to-date titles and encumbrance searches for the land in Schedule 1 (s 15(1), s 24(2)), and consider protective contractual drafting or seeking advisory opinions where commercially material.

Ministerial consent constraints on land use and alienation: The Trust may not sell, mortgage or otherwise dispose of the Queen Victoria Women’s Centre land, nor grant leases exceeding five years, without the Minister’s written consent (s 15(2)(a)-(b)). That limitation prevents the Trust from unilaterally realising the land as security or providing long-term leases that would normally support large capital investment. Practitioners advising potential tenants, lenders or developers should not assume the Trust can grant long leases or mortgage the land , explicit Ministerial consent is required.

Reversion of land on winding up: On winding up the Queen Victoria Women’s Centre land vests back in the Crown (s 23). For secured creditors this is a material feature: the Trust’s land will not remain as Trust property in the ordinary course of liquidation, which may restrict the assets available to creditors. Lenders must evaluate the practical effect of s 23 and s 22(3)’s applied Corporations Act framework, liquidators’ powers over the land may be curtailed by the automatic reversion.

Business-plan rigidity and Ministerial control: The Trust must prepare an annual business plan in a Minister-approved form and act only in accordance with it unless it has first informed the Minister in writing of its intention to act otherwise (ss 18-19). The Minister can direct content (s 18(3)(c)) and set the due date (s 18(2)). This centralises strategic control and can restrict the Trust’s agility in responding to opportunities or exigencies without prior Ministerial communications.

Vacancy, quorum and acting-member interaction: The Act requires a quorum of a majority of current membership for meetings to determine questions (s 14(2)). The Act also protects the validity of Trust acts despite defects or vacancies (s 12), and permits the Governor in Council to appoint acting members (s 11). However, if vacancies are extensive such that a majority cannot be assembled, the Trust’s ability to meet and make decisions could be impaired. While s 12 immunises past acts from invalidity, s 14 requires a functioning quorum for decision-making going forward; practical governance needs active use of s 11 acting-appointments to avoid deadlock.

Pecuniary interest exceptions: Members must declare pecuniary interests and, unless the Trust otherwise directs, must not be present or vote (s 13(1)-(3)). The “unless the Trust otherwise directs” language provides an explicit internal exception allowing interested members to participate where the Trust permits. That creates an internal governance discretion which practitioners should note when advising on conflict-of-interest exposures or when drafting minutes and resolutions.

Ministerial appointment and nomination dynamics: Up to four of the 12 members may be selected from a panel of eight names submitted by Queen Vic. Women’s Centre Inc. or a Minister-recognised successor (s 7). While this provides a voice for that incorporated body, the Minister retains recommendation power to the Governor in Council for appointments. The Minister’s discretion in selecting the successor organization where the incorporated body ceases to exist (s 7(b)) introduces an executive decision point that can affect the Trust’s composition.

Applied Corporations Act modifications: Winding up is treated as an applied Corporations matter subject to modifications (s 22(3)(a)-(g)). Modifications include substituting the Minister for ASIC and using the Government Gazette in place of the Commonwealth Gazette (s 22(3)(b)-(c)). Those substitutions change who exercises certain functions and where notices are published, which affects standing, notice and procedural expectations compared with ordinary corporate insolvency. Commercial parties should not assume standard Corporations Act insolvency processes and outcomes without checking the listed modifications and any regulations made under s 22(3)(g).

Trust’s public body classification and reporting obligations: The Trust is a public statutory authority under the Financial Management Act (s 20) and members are subject to the Public Administration Act for their office (s 8(3)). This brings reporting, audit and conduct obligations that differ from private-sector norms and can increase compliance costs and limit certain discretionary actions that would otherwise be available to private trustees.

Absence of express criminal sanctions in the Act itself: As noted, the Act relies on administrative levers rather than criminal penalties for enforcement. Enforcement therefore hinges on Ministerial action, public sector disciplinary mechanisms under the Public Administration Act, or insolvency processes. Parties seeking deterrent or punitive remedies may need to look to other statutes or administrative remedies.

Practical issue with Schedule 1: The Act identifies the land by reference to a hatched plan in Schedule 1. The consolidated text in this document does not contain a visible plan image. Practitioners must inspect the official printed or electronically maintained Schedule 1 (and the Transfer of Land Register pursuant to s 24(2)) to confirm exact parcel boundaries, encumbrances and registered interests.

Governance and membership processes: For Ministers and the Minister’s advisers: maintain transparent nomination and appointment records for Governor in Council submissions (s 7). For Trusts and incorporated bodies nominating panel candidates: provide an eight-name panel in accordance with s 7, ensuring the organisation is recognised as Queen Vic. Women’s Centre Inc. or a Minister-endorsed successor where required. For prospective members: ensure appointment instruments specify terms, conditions and any additional terms noted (s 8(1), (4)) and be prepared to comply with the Public Administration Act obligations for office-holders (s 8(3)).

Business plan compliance: The Trust must prepare an annual business plan in the Minister-approved form and deliver it by the Minister-determined date each year (s 18(1)-(2)). The plan must include a statement of corporate intent (objectives, main undertakings, accounting policies and performance measures), financial statements requested by the Minister and any other matters the Minister directs (s 18(3)). Practically: set an internal business-plan timetable that anticipates the Minister’s deadline, draft the statement of corporate intent with measurable performance indicators, prepare financial statements aligned with the Minister’s expectations and document any material departures from the plan in writing to the Minister before acting outside the plan (s 19).

Land use, leasing and disposals: Before entering any lease of the land or any agreement affecting the land longer than five years, obtain the Minister’s written consent as required by s 15(2). For leases of five years or less the Trust may proceed under s 6(f) but must ensure the lease does not contravene s 15(2) or other encumbrances listed at vesting (s 15(1)). For developers and tenants: factor in the inability of the Trust to grant long-term leases or mortgage the land without the Minister’s consent; negotiate short-term arrangements or seek Ministerial consent early in transaction timelines.

Financial, banking and borrowing controls: Maintain Trust accounts with authorised deposit-taking institutions (s 16), and ensure any borrowing is structured in compliance with the Borrowing and Investment Powers Act 1987 (s 17). Establish robust internal financial controls consistent with obligations under the Financial Management Act to which the Trust is a public statutory authority (s 20). Prepare to produce financial statements and accounting policy documentation as required by the Minister in the business plan (s 18(3)(a)-(b)).

Conflicts and minutes: Implement a pecuniary-interest declaration process for meetings: require members to declare direct or indirect pecuniary interests as soon as practicable, have the presiding officer ensure a record is made in the minutes (s 13(1)-(2)), and, unless the Trust directs otherwise, exclude the interested member from deliberations and votes (s 13(3)(a)-(c)). Where the Trust intends to allow participation despite an interest, document the Trust’s direction and the rationale carefully to manage transparency and legal risk (s 13(3)).

Meetings and quorum management: Schedule meetings so a majority of current membership can attend to meet the quorum requirement for determining questions (s 14(2)). Where the Trust anticipates vacancies or member incapacity, engage the Governor in Council early to appoint acting members under s 11 to avoid decision-making paralysis. Maintain records that show the current membership count to calculate the majority quorum correctly.

Use of the common seal and contracting: Keep the common seal secure and only affix it pursuant to the Trust’s authorisations as required by s 4(3). Ensure that documents requiring the common seal are executed in accordance with Trust resolutions and internal delegations to preserve evidentiary presumptions conferred by s 4(4).

Administrator and insolvency readiness: Monitor cashflow and solvency closely. If the Minister indicates concern about the Trust’s ability to pay debts, be prepared to cooperate with an administrator (s 21). Maintain up-to-date asset registers and documentation that a liquidator would require, with special attention to the land’s vesting and any registered encumbrances given the automatic reversion on winding up (s 23).

Dealing with donors, grants and fees: When accepting gifts, grants and devises (s 6(h)), properly document the terms and ensure compliance with any conditions. For charging fees or entry charges (s 6(g)), adopt transparent pricing policies and account for those revenues in the Trust’s financial statements and business-plan forecasts (s 18(3)(b)).

Registrar of Titles and title searches: After vesting or whenever the land’s status is in question, ensure the Registrar of Titles has made the necessary amendments under the Transfer of Land Act 1958 (s 24(2)). For transactional work, obtain up-to-date title searches and certificates of title showing encumbrances that existed at vesting (s 15(1)). Do not rely on the Schedule in this consolidated text alone, inspect the authoritative Schedule 1 as registered.

Regulations and subordinate law: Monitor regulations made under s 25 and any regulations under s 22(3)(g) that may modify the application of Corporations Act provisions to winding up. Regulations could specify procedural requirements for business-plan content, applied Corporations Act modifications, or other operational matters. Ensure compliance teams review the Victorian Government Gazette and consult counsel when regulations are promulgated.

Engage early with the Minister for strategic matters: Because the Minister approves the business-plan form and date (s 18(2)-(3)), must consent to disposals and longer leases (s 15(2)), and can appoint an administrator or determine winding up (ss 21-22), it is prudent to engage Ministerial offices early for major strategic proposals, long-term lease negotiations, or when seeking approvals to alter the land’s use.

Documentation and record-keeping: Keep rigorous minute records of meetings, declarations of interest, authorisations for use of the common seal, application of revenue and gifts, business-plan drafts and submissions, and any Ministerial consents (s 4(3)-(4); s 13(2); ss 18-19; s 15(2)). This documentation will be essential in any administrative review, audit under the Financial Management Act, or in insolvency proceedings.

Consult primary texts when in doubt: For issues involving borrowing, insolvency, public finance, or member conduct, review the Borrowing and Investment Powers Act 1987, the Corporations Act insofar as applied under s 22(3), the Financial Management Act and the Public Administration Act as they apply to the Trust. The Act cross-references those statutes directly; compliance requires reading them together with the Queen Victoria Women’s Centre Act 1994.
