Queen Victoria Market Lands Act 1996

The Act operates through several legal mechanisms. Revocation of reservations and Crown grants (section 3) is the central concept. The Orders in Council listed in Schedule 1 had, from 1867 onward, permanently set aside the land for market purposes. The Crown grants had transferred the land to the City of Melbourne but subject to those market‑purpose restrictions. Revoking both the orders and the grants extinguishes the public‑purpose dedication and the City’s existing title. Reversion to the Crown (section 4) then occurs automatically: the land is divested from the City and becomes “unalienated land of the Crown”, a statutory fiction that wipes all prior interests. Surrender (section 5) uses a similar mechanism for the parcel that came from the Commonwealth via the 1904 Act, which was not a Crown grant but a conveyance with a statutory restriction. Road closure (section 6) operates by force of the Act itself, not by a separate local government process. The hatched portions shown in Schedules 2 and 3 cease to be roads, and all easements and public rights are extinguished. Crown grant (section 7) is the reconveyance mechanism. Unlike a normal Crown grant of unalienated land under the Land Act 1958, this grant is authorised directly by the Act and can contain any terms the Governor in Council determines. That power is broad: the government could impose covenants about market operations, heritage protection, public access, or even resale restrictions. Lease preservation (section 8) is a critical concept because the City had granted leases over parts of the site (stall‑holder licences, commercial leases) that would otherwise be destroyed by the reverter. The Act deems those leases to continue without interruption, but with the lessor changing automatically first to the Crown and later to the City again. This avoids the need for novation or renegotiation. Repeal of earlier Acts (section 10) removes the statutory underpinning of the old restrictions, ensuring no residual obligations linger. Taken together, these concepts create a legislative title‑remedy that is self‑executing: the Act itself does the work of clearing, transferring and preserving, without requiring conveyancing steps or court orders.

The primary entity affected is the City of Melbourne, which loses its existing title and restrictions on day one but becomes the applicant for a new, unencumbered fee‑simple grant under section 7. The City bears the cost of requesting the Crown grant, updating its records and managing the transition of lease counterparties. Existing lessees of the market are affected in a mostly passive way. Their leases are preserved in substance but the lessor changes: initially to the Minister administering the Land Act 1958, then to the City again once the new Crown grant is issued. They face no requirement to renegotiate or re‑register, but may need to deal with a different counterparty for a period. Public users of Queen Street and Peel Street lose rights of passage over the closed road portions. This affects pedestrians, vehicles and possibly utility easements, though the Act does not provide for alternative access or compensation. The Crown (the State of Victoria) gains temporary ownership of the site between reverter and re‑grant, and the Governor in Council acquires discretionary power to dictate the terms of the new grant. That discretion could be exercised to impose conditions that restrict the City’s future use beyond what the old market‑purpose reservations required. Neighbouring landowners and businesses may be affected by the road closures if they relied on those streets for access or services. The Act does not consult or compensate them. Historical or heritage advocates are indirectly affected because the old legislative scheme that tied the land to market use is repealed, removing the statutory assurance that the site must be used for a market. The new Crown grant terms will determine whether a market use remains obligatory. The Registrar‑General and Registrar of Titles are directed to update their records without requiring the usual evidence of title, which streamlines administration but bypasses normal title verification safeguards.

The Act imposes very few ongoing duties. Its main duties are administrative and fall on public officials. Section 9 obliges the Registrar‑General and Registrar of Titles, on request, to make all necessary entries in the records. They must do so without requiring production of certificates of title or duplicate Crown grants. That is a duty to act expeditiously and to accept the Act as sufficient authority. The City of Melbourne has the right to apply for a Crown grant under section 7. It also has the duty, as lessor under the preserved leases (once the Crown grant is issued), to honour those leases on their existing terms. The Minister administering the Land Act 1958 has the duty to act as interim lessor under section 8(2) before the Crown grant issues. The Governor in Council has the discretionary right to grant the land to the City, and to attach any terms, conditions, covenants, exceptions, reservations and limitations it thinks fit. That discretion is unfettered by the Act. The lessees have the right to continue their leases unchanged, except that the lessor changes automatically. Section 8(5) expressly provides that nothing done by virtue of section 8 places a lessee in breach of a prohibition against assignment. That is a statutory override of any contractual anti‑assignment clause. The Act gives the public no right of challenge over the road closures. Section 6(3)(a) extinguishes all rights of the public and any person as part of any express or implied grant, and the provisions take effect despite any other law. The Crown acquires all the fee‑simple rights over the land between reverter and re‑grant, including the right to lease or occupy it, though the Act does not authorise dealing with the land before the grant is made. The Act does not create any right of compensation for any loss of value caused by the reverter, the road closures or the removal of the market‑purpose dedication. That is a notable gap: lessees whose businesses depend on market character, or abutting owners whose property value relied on road access, receive no statutory remedy.

The Act contains no penalty provisions. It does not create any offences, fines, infringement notices or civil penalties. Enforcement mechanisms are limited to the ordinary law of property and contract. If the City of Melbourne fails to apply for a Crown grant, or if the Governor in Council refuses to issue one, the land remains with the Crown. There is no legal compulsion on either party to complete the process. If the Registrar‑General or Registrar of Titles fails to make the required amendments after being requested, they could be subject to mandamus or other administrative law remedies, but the Act does not prescribe a consequence. The real enforcement risk lies in the lease preservation provisions. If a lessor (the Minister or later the City) tries to treat a lease as terminated by the title changes, the lessee can rely on section 8(1) and (4) to assert its continuity. Similarly, if the City attempts to develop the land in breach of a condition in the new Crown grant, the Crown may enforce that condition as a covenant running with the land under the Transfer of Land Act 1958 and the general law. The Governor in Council’s power to impose conditions is thus the main lever to compel ongoing compliance. Because the Act operates by force of law and does not rely on licensing or registration, there is no annual reporting, audit or monitoring requirement. The only ongoing legal effect that could give rise to disputes is the interpretation of section 8 as to whether a particular lease is “existing immediately before the commencement of this section” and whether a particular arrangement counts as a lease. For stall‑holder agreements that might be licences rather than leases, section 8 may not apply, potentially leaving those occupiers unprotected. That interpretive risk is the closest the Act comes to an enforcement concern.

The Act expressly overrides inconsistent laws. Section 3(4) provides that the revocation of reservations and Crown grants has effect “despite anything to the contrary in any Act, law or instrument”. Section 8(4) gives the lease preservation provisions the same pre‑emptive effect. The Act therefore sits above the general property law, the Torrens system and any other statute that might otherwise require registration of title changes through the Transfer of Land Act 1958. It also overrides the common law rule that a reversion destroys leases. The Act interacts with the Land Act 1958 by deeming the Minister administering that Act to be the interim lessor under section 8(2). Once the Crown grant issues, the Land Act ceases to govern the site for most purposes. The Act also interacts with the Transfer of Land Act 1958 by directing the Registrar of Titles to amend the Register without requiring production of certificates of title (section 9(2)). That bypasses the usual protection of the Torrens system but is a limited exception. The Act repeals the Melbourne General Market Site Act 1877, the Melbourne Lands Exchange Act 1904 and the Melbourne General Market Lands Act 1917 in their entirety. Those Acts are no longer law, so no residual rights or obligations under them survive, except as preserved by section 8 for leases. The Act does not interact with the Heritage Act or local planning schemes directly, but the new Crown grant may incorporate conditions that require compliance with heritage or planning laws. The road closures under section 6 operate independently of the Road Management Act 2004 or any local law; no separate road‑closure procedure is needed. The Act does not amend the City of Melbourne Act 2001 (which was enacted later) but functionally it gives the City fee‑simple ownership, removing the need for special legislation to manage the market site. The interaction with federal law is minimal, except that the surrender of the 1904 Act land cleans up an inter‑governmental conveyance. The Act also implicitly interacts with the common law of property and contracts by preserving leases but changing lessors by statutory assignment, overriding privity of contract rules. Overall, the Act displaces a large body of normal land‑title and conveyancing law in favour of a single, self‑contained statutory scheme.

According to the version notes at the end of the Act, there have been no amendments made to the Queen Victoria Market Lands Act 1996. The Table of Amendments states: “There are no amendments made to the Queen Victoria Market Lands Act 1996 by Acts and subordinate instruments.” The version as at 14 September 1999 is designated Version No. 001, confirming no further amending Acts had been passed up to that date. The Act received Royal Assent on 17 December 1996. Part 1 (sections 1 and 2) commenced on that day. The remainder of the Act was to commence on a day to be proclaimed, but because no proclamation was made before 1 July 1997, the remaining provisions automatically came into operation on that date under section 2(3). The Act has never been repealed. Its operative provisions were quickly executed: the Crown grant to the City of Melbourne presumably issued shortly after July 1997. The Act remains on the Victorian statute book but is effectively spent, because the title changes and road closures it authorised are now complete. However, the lease preservation provisions in section 8 still have ongoing effect for any leases that predated July 1997 and that continue today. The Act may also be relevant for interpreting conditions in the Crown grant if they are later disputed. Because the Act has not been amended, it retains its original language and numbering. There is no later Victorian Act that has modified its operation, though subsequent heritage or planning laws may impose additional requirements on the site that are independent of this Act. The absence of amendments suggests the Act was well‑drafted for its narrow purpose and that no unforeseen issues required legislative correction.

The Act itself records no litigation history. The text does not refer to any court cases. Because the Act is a machinery statute that vested land and closed roads by direct legislative action, litigation opportunities were limited. Disgruntled lessees, abutting owners or members of the public could theoretically have sought judicial review of the Governor in Council’s decisions under section 7, but the discretionary power is broad and likely non‑justiciable. The road closures could have been challenged on natural justice grounds, but section 6(3)(a) extinguishes all rights by operation of law, making review difficult. There is no evidence in the public record of any reported Victorian Supreme Court decisions directly interpreting this Act, and searching typical case law databases yields no results for “Queen Victoria Market Lands Act 1996” as a cited authority. The Act appears to have been implemented without litigation. The reasons are straightforward: the Act was supported by the City of Melbourne, the land was already under City control, and existing lessees were protected by section 8. The only parties with standing and motive to challenge were those whose interests were taken away (e.g., persons benefiting from the old market‑purpose reservation, or road‑access rights holders). The market‑purpose reservation was a public benefit that the City itself wanted removed, and the State government agreed. Road users and neighbours may not have had sufficient stake to mount a challenge, especially given the immediate re‑grant to the City, which gave them a counterparty familiar with the site. The Act’s litigation history is therefore effectively blank. Any future litigation would likely concern the interpretation of conditions in the Crown grant, the continuation of a particular lease under section 8, or a claim that the Governor in Council exceeded power by imposing a condition not authorised by section 7. As of the last available version (1999), no such cases had arisen.

Several features of the Act could trap the unwary. First, the unfettered discretion of the Governor in Council under section 7(2) to impose any terms and conditions on the new Crown grant. The City of Melbourne must accept whatever conditions are offered, or the land remains with the Crown. If the government of the day chooses to impose onerous heritage, public‑access or resale restrictions, the City has no statutory recourse. This is a potential source of future conflict. Second, the extinguishment of all public rights over the closed roads (section 6(3)(a)) is absolute. A neighbouring business that enjoyed informal access across Queen Street or Peel Street loses that right, and the Act provides no compensation or alternative route. Third, the Act does not define what constitutes a lease for the purpose of preservation under section 8. Stall‑holder licences, market‑day permits and other occupancy agreements that are not leases at law are not protected. Those occupants could be evicted upon title reverter, or the Crown/City could treat the arrangement as terminated. Fourth, the automatic change of lessor under section 8(2) and (3) may create confusion. Lessees must deal first with the Minister administering the Land Act 1958, then with the City again. During that transition, a lessee might have difficulty determining whom to pay rent to, or whose consent is needed for subleasing. The Act does not provide a notice mechanism. Fifth, the repeal of the three old Acts (section 10) removes the statutory guarantee that the land is for market purposes. Even if the new Crown grant includes a condition requiring market use, that condition is private to the Crown and the City, not a dedication to the public. The public no longer has standing to enforce market use. Sixth, the Act operates despite anything to the contrary in any instrument (sections 3(4), 8(4)). That means any private easements, restrictive covenants or contractual rights that are not leases are extinguished. A utility company that held an easement over the unclosed portion of road might still hold it, but rights over the reverted land are wiped out. Seventh, the Registrar‑General and Registrar of Titles are directed to make amendments without requiring the usual supporting documents. This could lead to errors if the old records are incomplete, but there is no safeguard for correcting mistakes. Finally, the Act contains no sunset clause or review provision. Once executed, its effects are permanent, and there is no mechanism for Parliament to revisit the Crown grant conditions.

Compliance obligations under this Act fall almost entirely on the City of Melbourne and state officials. Private parties (lessees, neighbours) have no positive duties, but they must understand how their rights have changed. For the City of Melbourne, the first step is to take note of the reverter and the automatic transition of leases to the Minister under section 8(2). The City should identify all existing lessees and inform them of the change of lessor and the new lessor’s identity. Practically, the City should maintain rent collection and management as usual but acknowledge the Minister as the interim landlord. The City must then apply for a Crown grant under section 7. It should negotiate the terms of the grant with the Department of Environment, Land, Water and Planning (or the relevant successor agency) and ensure the grant document reflects the City’s intended use of the site. Once the grant issues under section 7(3), the City becomes lessor again under section 8(3) and should notify lessees accordingly. The City must comply with any conditions in the new Crown grant, for example, a condition requiring ongoing market operation or public access. The City should also lodge a request with the Registrar of Titles under section 9(2) to amend the Register. For existing lessees, compliance is passive. They should continue paying rent to the party specified in the lease or as directed by the Minister/City. They should note that their lease is statutorily preserved and that any anti‑assignment clauses are overridden by section 8(5). Lessees should obtain written confirmation of the new lessor from time to time. If a lessor changes, a lessee should request that the lessor produce evidence of the statutory assignment. Lessees under licence arrangements that are not leases should seek legal advice; they may not be protected. For the Registrar of Titles and Registrar‑General, compliance is mandatory upon request. They must make all necessary entries and amendments, and must not delay the process by demanding duplicate certificates of title. For the public and neighbouring landowners, there is no compliance step, but they should review their own title and easement rights. If they relied on the closed road portions for access, they should negotiate new access arrangements with the City of Melbourne as the new owner. Utility companies may need to confirm whether their easements have been extinguished and seek new easements. Overall, the Act requires little ongoing paperwork but does demand careful tracking of lease transitions and prompt administrative action to finalise the Crown grant and title updates.
