Puffing Billy Railway Act 2022

The Act rests on a set of interlocking legal concepts: statutory continuation and corporate capacity, Crown representation and ministerial control, constrained commercial capacity, governance and conflict-of-interest management, statutory delegation, planning and reporting obligations, and regulatory backstops.

Statutory continuation and corporate capacity: s 4 continues the Emerald Tourist Railway Board as a corporate entity with perpetual succession, a common seal and powers to hold and dispose of property, sue and be sued. Continuity is anchored by Part 4 transitional provisions that preserve property, liabilities, contracts and proceedings (s 42), and preserve employee entitlements and continuity of service (s 43).

Crown representation and ministerial control: the Board represents the Crown (s 5) and is subject to the Minister’s general direction and control (s 9(1)). The Minister can issue specific written directions that the Board must follow (s 9(2)-(3)), and can recommend appointments to the Governor in Council (s 10). These arrangements embed political accountability and a route for administrative control.

Constrained commercial capacity and fiscal controls: the Board’s power to contract is broad (s 8(1)), but major transactions are constrained: contracts or agreements with consideration exceeding $1 million require the Minister’s written approval (s 8(2)); borrowing through a financial accommodation or financial arrangement requires the Minister’s written approval (s 8(4)); leases over Crown land are temporally limited (s 27(2)); grants of leases/licences/easements over any land longer than 21 years require Ministerial approval (s 27(3)); and disposal of freehold land requires the Minister’s written approval (s 28). The Board is also subject to the Borrowing and Investment Powers Act 1987 for borrowing/investment powers (s 8(3)). Those rules create checkpoints for major commercial commitments and financial exposure.

Governance, conflicts and separation from the Preservation Society: appointment rules set skills-based collective criteria (s 10(2)(a)), cap Puffing Billy Preservation Society representation to no more than two directors and ban current elected office-holders from appointment (s 10(2)(b); s 10(3); s 12(3)). The CEO cannot be a director or a recent member of the Society (s 23(2)). Conflict of interest disclosure and abstention rules apply at meetings (s 21). These provisions formalise separation between the statutory Board and the long-standing volunteer preservation group.

Planning, transparency and confidentiality tension: the Board must prepare and obtain Ministerial approval for strategic plans annually (s 31) and rail corridor plans every ten years (s 33). Drafts must be provided by strict dates (draft by 31 May; revised by 31 August) with Ministerial requests for changes and possible extensions (s 31(3)-(5)). The Board must act in accordance with approved plans (s 32(1)), but may revise them with Ministerial approval (s 32(2)-(3)). Notably, publication of strategic plans or making them publicly available requires the Minister’s written approval (s 32(4)), while the Board’s objects include openness and transparency (s 7(2)(b), s 6(i)). That combination creates an institutionalised publication control point.

Delegation and operational management: the Board may delegate functions to the CEO (s 22), who may sub-delegate to employees, consultants, contractors or agents (s 22(2)) and the CEO may also delegate (s 25). The CEO manages day-to-day affairs and employment actions (s 24), is subject to Board direction (s 24(2)), but not to the Public Administration Act 2004 in respect of the CEO office (s 24(3)).

Regulatory and safety levers: the Act empowers the Governor in Council to make regulations about travel conditions, prohibited conduct, trespass, interference with infrastructure and exclusions or removals (s 38). It also requires the Board to report incidents and significant risks to the Minister and allows the Board to commission investigations and provide reports (s 30).

Land, safety and operational prerogatives: the Board may grant leases, licences and easements (s 27) within prescribed limits and subject to Ministerial approval thresholds; the Board is not required to fence land and is not liable for loss, damage or injury caused by lack of fencing (s 35), which alters the Board’s liability posture and private landowners’ risk allocation adjacent to the railway. The Board can serve notices to remove dangerous trees and can enter land and recover costs where recipients do not comply (s 36). The Board can use and close level crossings while rail track is in use subject to interface agreements (s 37).

Transitional tax and employee protections: Part 4 ensures the transfer of property, rights and employee entitlements from the old Board to the new without duties or other tax consequences for those transfers (ss 42-44).

Taken together, the Act frames the Puffing Billy Railway as a ministerially-accountable public entity with constrained commercial latitude, specified governance separations from volunteer organisations, clear planning and reporting obligations, and operational prerogatives in respect of land, trees, fencing and level crossings.

Primary decision-makers and payers

• The Minister and the Governor in Council: the Minister controls appointments (recommending directors, appointing the chair), issues directions to the Board (s 9), approves strategic and rail corridor plans (ss 31-34) and must approve specified contracts, borrowings and long-term leases/licences (s 8(2), s 8(4), s 27(3), s 28). The Governor in Council makes formal appointments and may remove or suspend directors on the Minister’s recommendation (ss 10, 14).

• The Puffing Billy Railway Board: the corporate entity that represents the Crown (s 5), operates and manages the railway, and is the legal recipient of liabilities, assets and contracts (s 4, s 42).

Directly affected operational actors

• Directors and the chief executive officer: directors are appointed under s 10, have defined duties, immunities (s 18), conflict-of-interest rules (s 21) and potential grounds for suspension or removal (s 14). The CEO, appointed under s 23, runs day-to-day operations (s 24) and can employ staff and engage contractors (s 24(1)(c)-(d)); the CEO is not subject to the Public Administration Act 2004 in respect of the office (s 24(3)).

• Employees and volunteers: employees of the old Board transfer to the new Board with continuity of entitlements and service (s 43). Volunteers are recognised in the objects (s 6(e)) and the Board has a function to manage volunteer engagement (s 7(1)(b)), but volunteers also appear as represented interest-holders in the stakeholder consultative committee (s 9A(3)(d)).

Local and industry stakeholders

• Puffing Billy Preservation Society: explicitly named and limited in relation to Board composition , no more than two directors may be or have been members within the prior 12 months (s 10(2)(b)), membership that includes holding elected office in the Society creates ineligibility (s 10(3)), and directors who were members in the prior 12 months must disclose that interest (s 21(2)). The Society therefore is a named stakeholder with constrained formal influence on the Board.

• Local councils, communities, schools, local trader associations, chambers of commerce and tourism organisations: these entities are enumerated as representative categories for the stakeholder consultative committee, which the Board must establish and which must meet at least twice yearly (s 9A).

• Landowners and occupiers adjacent to the railway: their obligations and liabilities change where trees or wood pose a safety risk; the Board can require removal and may enter land and recover costs if the owner/occupier fails to comply (s 36). Also, the Board is not required to fence land and not liable for loss or injury caused by unfenced land (s 35), which affects those adjacent owners and potential users.

Commercial counterparties and tenants

• Persons contracting with the Board: the Board may enter contracts, leases, licences and easements (s 8(1), s 27). However, those seeking long leases, licences longer than specified limits or large contracts will face additional Ministerial approval gates (s 8(2), s 27(2)-(3), s 28).

• Lenders and financiers: the Board’s borrowing powers are subject to the Borrowing and Investment Powers Act 1987 (s 8(3)), and borrowings using financial accommodations or arrangements require Ministerial approval (s 8(4)), constraining financiers dealing with the Board.

Regulatory and enforcement actors

• Persons authorised under s 221AB of the Transport (Compliance and Miscellaneous) Act 1983: regulations may confer powers or duties on such authorised persons or other classes (s 38(2)(c)), enabling operational enforcement of rules.

• Courts and tribunals: the new Board is substituted into pending proceedings involving the old Board (s 42(c)(i)), meaning litigants against the old Board proceed against the statutory Board.

Diffuse public and visitors

• Tourists, visitors and users of the Puffing Billy Railway: their conditions of travel, prohibited conduct and exclusions can be regulated by the Governor in Council through regulations (s 38(1)(a)-(g)), and level crossing closures for rail use can affect road users' access at times (s 37(b)).

Who pays

• The Board bears operational costs and any liability consequent on its acts (s 4(2)(d); s 18(2) places liability on the Board where directors have immunity). Where the Board exercises powers under s 36(4) to clear dangerous trees, it may recover costs from the owner/occupier as a debt. Where major contracts, borrowings or land disposals require Ministerial approval, public funds or the State’s fiscal exposure could be implicated if the Minister approves borrowings or guarantees. Part 4 also exempts duty and other taxes in relation to the transfer steps at commencement day (s 44).

In short, the Act affects the Board itself, the Minister and Governor in Council, directors and the CEO, the Puffing Billy Preservation Society, volunteers, employees, local councils and communities, lessees and contractors, adjacent landowners, financiers and the public. Decision-making authority centralises in the Board subject to Ministerial oversight; financial and land transaction thresholds create decision gates that shift the costs or approvals onto the Minister.

Statutory duties imposed on the Board and its officers

• Duty to pursue enumerated objectives: the Board must have the objectives listed in s 6, including economic sustainability, heritage preservation, safety, tourism promotion, volunteer recognition and staff inclusion and diversity. These objectives are mandatory and inform functions and decision-making (s 6; s 7(2)(c)(i)).

• Duty to operate on a not-for-profit basis and be open, transparent and accountable: s 7(2)(a)-(b) places express operating expectations on the Board.

• Duty to perform specified functions: s 7(1) assigns functions, including operating, managing and maintaining infrastructure safely and efficiently, managing volunteers, marketing, and reporting to the Minister on incidents and safety matters.

• Duty to comply with Ministerial directions and requests: the Board must comply with written directions from the Minister (s 9(2)-(3)) and must provide information on operation and performance on request (s 29(1)-(2)).

• Planning duties: the Board must prepare a strategic plan within one year of the relevant section commencing and annually thereafter, with detailed content requirements (business plan, corporate intent statement, business goals, strategies for finance, risk, OHS and HR, and planned activities) (s 31(1)-(2)). Drafts must be provided to the Minister by 31 May, and revised drafts by 31 August (s 31(3)-(4)). The Board must act in accordance with approved strategic plans (s 32(1)) and must not publish plans without the Minister’s written approval (s 32(4)). The Board must also prepare a rail corridor plan within one year and then every ten years, with Ministerial approval and revision procedures (ss 33-34).

• Reporting obligations for incidents and risks: the Board must report incidents (that cause or may cause death, serious injury, serious property/environment damage or reputational harm) to the Minister and consult about significant risks; it may commission investigations and must provide reports to the Minister (s 30).

• Governance and procedural duties: make rules/policies consistent with the Act for governance, manage affairs (s 19); meet quorum and voting rules (s 20); manage conflicts (s 21); delegate appropriately (s 22); maintain the common seal appropriately (s 4(3)). Directors must disclose conflicts and not be present or vote where interest applies (s 21(1), (3)).

Statutory rights and powers

• Corporate capacities: the Board, as a body corporate, can sue and be sued, hold property and do anything a corporate body may do (s 4(2)(a)-(e)).

• Contracting and property powers: the Board may enter into agreements, contracts, leases, licences and easements over land it owns or manages and may act as committee of management under the Crown Land (Reserves) Act 1978 (s 8(1)(a), (c); s 27(1)). However, term and approval limits apply for Crown land and long-term disposals (s 27(2)-(3), s 28).

• Employment and engagement powers: the Board may engage staff, consultants, contractors and agents (s 8(1)(b); s 24(1)(c)-(d)) and the CEO is empowered to employ staff on the Board’s behalf (s 24(1)(c)).

• Delegation: the Board can delegate functions and powers to the CEO (s 22(1)), who can sub-delegate if authorised (s 22(2)); the CEO may delegate (s 25).

• Operational rights in respect of land and safety: the Board may issue tree-removal notices for safety reasons and, if not complied with, may enter land to remove trees and recover costs (s 36(2)-(4)). The Board may use and close level crossings while the track is in use, subject to interface agreements (s 37).

• Rulemaking and regulatory interface: regulations can be made by the Governor in Council covering travel conditions, prohibited conduct, trespass, interference with infrastructure, vehicle movement/parking on level crossings and exclusion/removal powers (s 38(1)) and those regulations can confer powers on authorised persons or specified persons (s 38(2)(c)).

Limits and constraints

• Not-for-profit obligation: the Board must operate on a not-for-profit basis (s 7(2)(a)), which constrains commercial profit distribution.

• Ministerial approval thresholds: contracts >$1 million (s 8(2)), borrowings using financial accommodations/arrangements (s 8(4)), leases/licences over Crown land longer than statutory maxima (s 27(2)) and leases/licenses/easements over any land exceeding 21 years (unless Minister approves) (s 27(3)), and sale/disposal of freehold land (s 28) are all subject to Ministerial approval.

• Transparency/control tension: although the Board must be open and transparent (s 7(2)(b)), it cannot publish or make strategic plans public without the Minister’s written approval (s 32(4)), inserting a statutory control over public disclosure of strategic materials.

Enforcement and removal rights

• Suspension/removal of directors: the Governor in Council may suspend or remove directors on the Minister’s recommendation for specified grounds, including failure to attend meetings, insolvency, commission of indictable offences, misconduct, negligence, failure to disclose conflicts, or extended absence (s 14).

• Immunity allocation: directors acting in good faith enjoy personal immunity; any resulting liability attaches to the Board (s 18). That shifts the practical cost of director error or omitted duties to the corporate body.

Duties that affect third parties

• Tree removal notices and enforcement: the Board may require owners/occupiers to remove dangerous trees and may recover costs if it must enter land to perform the work and the owner/occupier fails to comply (s 36(2)-(4)).

• Fencing and liability allocation: the Board is not required to fence and is not liable for loss, damage or injury caused by unfenced land forming part of the railway (s 35(1)), subject to the Charter exception.

• Level crossing authority: the Board may close level crossings to road traffic while the railway track is in use (s 37(b)), affecting road users’ access.

Collectively, the Act creates a statutory set of duties requiring planning, reporting and ministerial accountability, while preserving rights to contract, manage property and exercise operational safety powers, subject to significant controls and procedural checks.

Statutory enforcement framework and available sanctions

• Regulation-based penalties: the Act does not itself prescribe a broad catalogue of criminal offences or penalty provisions for conduct on the railway. Instead, it delegates power to the Governor in Council to make regulations covering conditions of travel, prohibited conduct, trespass, interference with infrastructure, vehicle movement/parking on level crossings, exclusion or removal of persons and related matters (s 38(1)(a)-(g)). Regulations may impose penalties not exceeding 20 penalty units for contraventions (s 38(2)(d)). The Act therefore leaves the day-to-day enforcement regime to subordinate legislation.

• Director removal and suspension: governance enforcement is partly administrative: the Governor in Council may suspend or remove a director on the Minister’s recommendation for specific causes listed in s 14, including non-attendance at meetings, insolvency, conviction of indictable offences (or equivalent offences committed elsewhere), conduct relating to duties as a director, negligence, failure to disclose conflicts of interest, or extended inability to perform duties. Suspension may be for any period up to the remainder of the term (s 14(1)-(2)). That provides an administrative sanctioning mechanism for misconduct or incapacity.

• Ministerial directives and compliance: the Board must comply with written directions given under s 9(2)-(3) and must provide information requested by the Minister under s 29(1)-(2). Non-compliance is not given a specific penalty in the Act, but a failure to comply could lead to political or administrative consequences, including further directions, Ministerial oversight or potential referral to other statutory enforcement mechanisms externally. The Act does not specify criminal sanctions for non-compliance with directions.

• Liability allocation and director immunity: directors are protected from personal liability for acts or omissions done in good faith in the exercise of functions or powers under the Act or regulations (s 18(1)). Liability resulting from acts or omissions that would otherwise attach to a director attaches to the Board (s 18(2)). That structure limits personal liability for directors and concentrates legal and financial responsibility in the corporate Board, which is the defendant in litigation (s 4(2)(c); s 18(2)).

Practical enforcement mechanisms

• Debt recovery for tree removal: where the Board issues a notice requiring the owner/occupier to fell and remove dangerous tree or wood and the owner/occupier does not comply, the Board may enter the land and do the work and recover costs as a debt (s 36(4)(a)-(b)). That provides a civil enforcement mechanism and an express route to recover costs without specifying a penalty.

• Use and closure of level crossings: the Board may, subject to interface agreements, use and close level crossings for rail use (s 37). Enforcement of closures, and the exclusion of vehicles or persons, would likely be under regulations or authorised-person powers described in s 38(2)(c), and would be enforceable through regulatory penalties or other criminal/statutory measures created under those regulations.

• Regulations conferring enforcement powers: s 38(2)(c) allows regulations to confer powers or impose duties in connection with regulations on persons authorised under s 221AB of the Transport (Compliance and Miscellaneous) Act 1983 or other specified classes. That permits operational enforcement by the State’s authorised officers or other designated agents and permits subordinate instruments to assign enforcement functions.

Limits on enforcement reach in the Act

• No fixed penalty schedule in the Act itself: outside the regulation-making power, the Act contains no express penalty schedule for many operational matters described elsewhere (for example, no penalty for failing to prepare plans on time, or for failing to comply with some administrative duties). The primary statutory sanctions are administrative (e.g., removal of directors) or are left to regulation.

• Charter exception: s 35(1) modifies duty to fence and liability for unfenced land “despite any Act (other than the Charter of Human Rights and Responsibilities) or rule of law to the contrary” but carves out the Charter as an exception. That preserves human-rights constraints on the Board’s statutory immunity from liability in respect of fencing.

• Litigation avenues: although the Board represents the Crown (s 5), the Act provides that the Board may sue and be sued (s 4(2)(c)), and the new Board is substituted into existing proceedings of the old Board (s 42(c)(i)). Consequently, enforcement and dispute resolution for civil liability remains available through ordinary legal processes against the Board.

Enforcement incentives and institutional levers

• Ministerial oversight as enforcement: the Minister’s capacity to direct the Board (s 9) and to require strategic and rail corridor plan revisions (s 32(3), s 34(3)) provides administrative levers that can be used to enforce compliance with policy or address perceived mismanagement. Compliance with directions is obligatory (s 9(3)), and the Minister’s approval function over major contracts and borrowings (s 8(2), s 8(4)) provides preventive control over fiscal and commercial risk exposures.

• Removal and public accountability: the Governor in Council’s power to suspend or remove directors on specified grounds (s 14) operates as a sanction for governance failures or criminality and can serve as a reputational deterrent for directors.

In sum, the Act establishes a regulatory framework in which substantive behavioural enforcement for on-rail matters is primarily delegated to regulations with capped penalties, governance failures are addressed by administrative removal powers and Ministerial direction, and civil remedies against the Board remain available through ordinary legal processes. The Act shifts personal exposure from directors to the corporate Board, while providing discrete civil enforcement powers for safety-related interventions such as tree removal cost recovery.

Direct textual cross-references

• Borrowing and Investment Powers Act 1987: the Board has the powers conferred by that Act for performing its functions (s 8(3)); however the Board must not borrow under a financial accommodation or arrangement without the Minister’s written approval (s 8(4)). The statutory interaction imports the financial governance regime of that Act to the Board’s borrowing/investment decisions.

• Crown Land (Reserves) Act 1978: the Board may accept appointment as committee of management of land reserved under that Act for purposes consistent with the Board’s objectives (s 8(1)(c)). Section 27(1)(b) allows the Board to grant leases or licences over Crown land under the Board’s management, subject to restrictions in s 27(2).

• Rail Safety National Law (Victoria): the definitions of “interface agreement”, “rail infrastructure”, and “rolling stock” are drawn from the Rail Safety National Law (Victoria) (s 3 definitions). Section 37(a) requires that the Board’s use of a level crossing be subject to and in accordance with any applicable interface agreement, thereby integrating national rail safety interface regimes into the Board’s power to use level crossings.

• Transport (Compliance and Miscellaneous) Act 1983: s 38(2)(c) expressly permits regulations to confer powers or impose duties on persons authorised under s 221AB of that Act, thereby allowing operational enforcement to be vested in transport-authorised officers.

• Charters and human rights: s 35 limits the Board’s liability in relation to fencing “despite any Act (other than the Charter of Human Rights and Responsibilities) or rule of law to the contrary,” preserving the Charter as an intervening constraint that may operate independently of the statutory immunity conferred by s 35.

• Public Administration Act 2004: the CEO is explicitly not subject to the provisions of that Act in respect of the office of CEO (s 24(3)). That exclusion creates a distinct employment and governance regime for the CEO compared to other public sector leadership positions governed by the Public Administration Act.

Transitional interaction and continuity

• Repeal and substitution of references: Part 4 repeals the Emerald Tourist Railway Act 1977 (s 40) and provides that references to the old Board in other Acts, subordinate instruments, agreements or documents are taken to be references to the new Board for periods on or after the commencement day, to the extent the context allows (s 42(d)). This avoids technical discontinuity across statutes and instruments.

• Transfer of proceedings and contracts: the new Board is substituted for the old Board as a party to proceedings and contracts (s 42(c)), interacting with court and contract law to maintain continuity.

• Employee rights and industrial law: s 43 preserves employees’ accrued and accruing entitlements and deems service continuous for all purposes, which interacts with employment law and industrial instruments that govern entitlements, continuity, redundancy or superannuation. The CEO’s exclusion from the Public Administration Act modifies the relationship where otherwise public sector employment frameworks might have applied.

Regulatory and offences interplay

• Regulations under the Act and existing enforcement regimes: s 38 empowers the Governor in Council to prescribe matters such as travel conditions, trespass, interference and exclusions, and to create penalties up to 20 penalty units. Those regulations can interact with broader criminal trespass law and transport offences, and may empower authorised officers under other transport statutes (s 38(2)(c)). Careful drafting will be necessary to avoid duplication or conflict with existing offences in related statutes.

• Interface with planning law: s 36(5) expressly states that a permit under the Planning and Environment Act 1987 is not required to fell and remove any tree or wood when the Board exercises its power under s 36. That displaces usual planning approval obligations in that context, creating a direct statutory exemption from planning permit requirements for a safety-based tree clearance action.

Liability and Crown representation

• Board represents the Crown (s 5): representation as the Crown may interact with Crown immunity doctrines and indemnity arrangements; however, the Act also makes clear the Board may sue and be sued (s 4(2)(c)) and places liability arising from directors’ good faith acts upon the Board rather than the individual directors (s 18(2)). The statutory representation of the Crown will affect how litigation against the Board proceeds and may interface with State liability arrangements.

Limits on the Board’s powers and external approvals

• Ministerial approvals and oversight: the numerous provisions requiring Ministerial approvals for major contracts, long-term leases/disposals, borrowings, strategic plans and rail corridor plans create points of interaction with administrative law principles (e.g., obligation of the Minister to exercise powers reasonably), but the Act itself imposes compliance duties on the Board to follow directions (s 9(3)) and act in accordance with approved plans (s 32(1)).

In short, the Act is designed to slot the Board into existing statutory regimes for rail safety, Crown land management, transport enforcement, planning, borrowing and public administration, while carving out specific exceptions (CEO exclusion from Public Administration Act, tree removal exemption from planning permits, Ministerial approval thresholds) to shape the Board’s operating environment. Practitioners should map the Act’s express references against those other statutes when advising on procurement, borrowing, rail operations, interfacing at level crossings, planning exemptions or litigation.

Statutory provenance and current version

• The Puffing Billy Railway Act 2022 (No. 16 of 2022) was assented to on 12 April 2022 and, where not earlier proclaimed, came into operation on 1 July 2023 (s 2(2); Endnotes). The text in this deep dive incorporates amendments as at 1 July 2024 (cover page and version information).

Express amendments recorded in endnotes

• The Table of Amendments records that Part 5 (ss 45-47) was amended by the State Taxation and Treasury Legislation Amendment Act 2022 (No. 23/2022) and that section 45 was never proclaimed and was repealed on 1 July 2022 by s 9 of that amending Act (Table of Amendments; Endnotes). The endnotes note that s 47 repealed Pt 5 on 1 July 2023; subsequent notes state s 45 never proclaimed and repealed on 1 July 2022. The published consolidated version is labelled Version No. 002 incorporating amendments as at 1 July 2024.

• The endnotes include general legislative information (e.g., second reading dates in both Houses) and a statement that the Act’s long title was “A Bill for an Act to establish the Puffing Billy Railway Board, to provide for the objectives, functions and powers of the Board, to provide for matters relating to the Puffing Billy Railway, to repeal the Emerald Tourist Railway Act 1977 and for other purposes.” The second reading dates are stated as Legislative Assembly 9 March 2022 and Legislative Council 24 March 2022 (Endnotes).

Transitional amendments and consequential effects

• The Act contains built-in transitional provisions that operate as immediate legal amendments upon commencement: repeal of the Emerald Tourist Railway Act 1977 (s 40), continuation of current members of the old Board as directors on the same terms to the end of their existing term (s 41), and vesting of all property, rights and liabilities of the old Board in the new Board (s 42). These are not amendments to the Act as such, but transitional mechanics that effect change in status and property through the Act itself.

• Section 44 provides a temporary fiscal amendment for the purpose of the transition by exempting duty or other taxes in respect of anything done under the Part 4 transfers. That is an express tax-related amendment tied to the transition.

Scope for future amendments

• The Act grants regulation-making power (s 38) that enables future subordinate law development and the imposition of penalties up to 20 penalty units for contraventions of regulations (s 38(2)(d)). That regulatory headroom is effectively a future amendment mechanism for operational rules that do not require primary legislation.

• Ministerial approval points and operational controls (contract approval threshold, borrowing approvals, land disposal approvals, strategic plan approvals) create levers that allow the Minister and Governor in Council to shape how the Board operates without further amendment, but more substantive changes to the statutory architecture (e.g., the Board’s objects, appointment numbers, immunity provisions) would require primary-legislation amendment.

Recorded amendment events in the consolidated text

• The Version No. 002 consolidated text explicitly acknowledges incorporation of amendments up to 1 July 2024 and the Table of Amendments indicates the State Taxation and Treasury Legislation Amendment Act 2022 affected Pt 5 provisions. No other amending statutes are listed in the Table of Amendments.

For practitioners, the amendment history is compact: the Act was new in 2022, commenced in mid-2023 for most parts, and has had a small consequential amendment recorded tied to the State Taxation and Treasury Legislation Amendment Act 2022 that affected Part 5. Subordinate regulations remain a likely locus of change in operational detail given s 38’s broad enabling scope.

Recorded litigation in the source

• The Act text and the endnotes as provided do not record any judicial decisions or litigation history relating to the Puffing Billy Railway Act 2022. The Endnotes list parliamentary and legislative metadata (assent and commencement dates) but contain no entries under “Explanatory details” and list no case law. Therefore the source supplies no precedent or judicial interpretation history to cite.

Potential causes of disputes based on statutory text

• Ministerial directions and administrative law challenges: the Act gives the Minister broad power to give general or specific written directions to the Board (s 9(1)-(3)) and requires compliance. Where a Minister’s direction is alleged to be ultra vires, unreasonable, made without jurisdiction, or procedurally unfair, affected parties could seek judicial review of the Minister’s exercise of power. The Act itself does not create privative clauses or oust judicial review; the existence of the Minister’s power combined with substantive obligations on the Board (e.g., to act in accordance with approved strategic plans s 32(1)) suggests potential administrative-law litigation points if directions conflict with statutory duties or exceed the Minister’s scope.

• Director suspension/removal and procedural fairness: s 14 allows the Governor in Council to suspend or remove a director on the Minister’s recommendation for enumerated grounds. If a director is suspended or removed, they may challenge the decision on procedural fairness or jurisdictional grounds. The Act does not specify a procedural removal process (e.g., notice, hearing) in detail; that absence may generate litigation about the adequacy of process, particularly where s 14 is exercised.

• Contractual and property disputes transferred on commencement: s 42 substitutes the new Board for the old Board in existing proceedings and contracts. That substitution could give rise to contractual disputes about novation, assignment or performance obligations where counterparties contest changes in parties, but s 42(c) is designed to effect substitution. Litigation could occur if counterparties contend a change of legal personality alters obligations or triggers consent requirements in third-party contracts.

• Liability and fencing/tree clearance claims: s 35 displaces the Board’s general obligation to fence and makes the Board not liable for loss, damage or injury caused by land not being fenced, “despite any Act (other than the Charter of Human Rights and Responsibilities) or rule of law to the contrary.” That statutory immunity could be litigated where an injured person alleges statutory immunity conflicts with other duties or where human-rights claims are advanced. Similarly, s 36 permits the Board to enter land to remove dangerous trees and recover costs; disputes might arise about the reasonableness of the Board’s assessment of risk, the service of notices (s 36(3) prescribes methods) or cost recovery steps.

• Publication and transparency obligations: the Act requires the Board to operate openly and transparently (s 7(2)(b)) yet forbids publication of strategic plans without the Minister’s written approval (s 32(4)). Litigation might arise if a party seeks access to strategic plans under FOI or similar regimes and the Minister or Board relies on s 32(4) to withhold publication. The Act does not directly address FOI interaction; any access dispute might therefore involve cross-statutory interpretation.

• Rail safety and interface agreement disputes: s 37 ties level crossing use to applicable interface agreements under the Rail Safety National Law (Victoria). Conflicts between the Board and other rail or road authorities over the terms or operation of interface agreements could give rise to arbitration or litigation, particularly where closure of a level crossing affects third-party access or contractual rights.

Absence of reported cases in source and practical implications

• Because the provided source contains no judgments, tribunals decisions or litigation records, there is no binding judicial guidance on how courts will interpret the Act’s tensions (e.g., between openness and publication restrictions, or between director immunity and Board liability). Practitioners should therefore treat contentious provisions as areas of legal uncertainty where contested administrative actions, removal decisions, emergency safety actions (tree felling, level crossing closures), or information disclosure disputes might be litigated in the future.

Procedural note for litigators

• The Act’s substitution clause (s 42(c)) and the Board’s capacity to sue and be sued (s 4(2)(c)) mean that plaintiffs in pending proceedings against the old Board should prepare for their cases to proceed against the statutory Board. Removal of directors (s 14) and immunity vesting (s 18) may alter available respondents and may influence how liability is allocated if litigation arises from historic events predating the commencement day.

In summary, the Act itself contains no recorded litigation history in the provided source. It does, however, create multiple statutory interfaces and decision points that are plausible candidates for future litigation, including administrative-law challenges to Ministerial directions, procedural disputes over director removal, FOI and publication conflicts, and liability claims in relation to fencing, trees and level crossings.

Ministerial approvals create operational bottlenecks: the Act requires written Ministerial approval for contracts or agreements with consideration over $1 million (s 8(2)), borrowing under financial accommodation or financial arrangements (s 8(4)), leases/licences for Crown land beyond specified maxima and any lease/license/easement over land for more than 21 years unless the Minister approves (s 27(2)-(3)), and the sale/disposal of freehold land requires the Minister’s written approval (s 28). These approval gates are practical chokepoints: they add an approval step that can delay procurement, financing, lease negotiations or asset disposals, especially where the Minister’s capacity to process approvals is constrained. The Act does not set statutory timeframes for Ministerial decisions on these approvals, creating timing uncertainty for counterparties.

Tension between transparency obligations and publication prohibition: the Board is required to operate in an open, transparent and accountable manner (s 7(2)(b)) yet must not publish a strategic plan or make it publicly available without the Minister’s written approval (s 32(4)). That creates a statutory tension: the Board’s statutory transparency duty is qualified by the Minister’s publication control over strategic plans. Practically, this can hamper stakeholder scrutiny and complicate grant applications, community consultation, or fundraising efforts that rely on a public strategic platform.

Director and Society membership restrictions create eligibility complexities: the Act limits Puffing Billy Preservation Society representation on the Board to no more than two directors and bars persons who held elected office in the Society within the previous 12 months from appointment (s 10(2)(b), s 10(3); s 12(3)). Additionally, directors and the CEO must not be recent members of the Society (s 12(3); s 23(2)). These rules can have unexpected effects on recruitment, particularly in a volunteer-led heritage environment where the Society is a major source of expertise, creating potential resentment or campaign dynamics among volunteers and the Society.

Director immunity shifts liability to the Board: s 18 grants directors immunity for acts or omissions done in good faith and transfers resulting liabilities to the Board. This reduces personal legal risk for directors but concentrates exposure in the Board’s balance sheet and the State’s exposure, potentially affecting insurance, indemnity arrangements and creditors’ risk assessments. Insurers and counterparties should note that director-level indemnities will not substitute for Board-level liability.

Fencing immunity and tree-removal powers affect neighbours and insurers: s 35(1) removes a statutory obligation to fence and eliminates Board liability for loss, damage or injury caused by unfenced land forming part of the railway, “despite any Act (other than the Charter of Human Rights and Responsibilities) or rule of law to the contrary.” This statutory immunity changes the default risk allocation for adjacent landowners and visitors and may affect insurance underwriting around the railway. Similarly, s 36 permits compulsory tree removal with a range of service options for notices (s 36(3)) and provides for cost recovery if the Board must perform the removal (s 36(4)(b)). Landowners may find themselves facing immediate liabilities or loss if the Board exercises these powers.

CEO exclusion from Public Administration Act 2004: s 24(3) expressly excludes the CEO, in respect of the office, from the Public Administration Act’s provisions. That alters the regulatory and HR environment for the CEO post and forecloses certain public sector employment protections or obligations that flow from the Public Administration Act. Practically this changes the legal lens for disputes about CEO appointment, performance or termination.

Strategic plan timing obligations: s 31(3)-(4) requires draft strategic plans to be provided to the Minister by 31 May and revised drafts by 31 August for plans covering the subsequent financial year. These fixed dates impose operational deadlines on the Board and intersect with budget cycles and procurement windows. The Minister may extend time at the Board’s request (s 31(5)), but absent extension requests being granted, failure to meet those dates could generate compliance concerns.

Limited penalties in primary legislation: the Act largely leaves operational offences to regulations (s 38). Primary legislation lacks explicit penalties for some governance non-compliances (e.g., failing to prepare strategic plans timely). Reliance on subordinate regulations means the enforcement regime depends on what the Governor in Council prescribes, creating legal uncertainty until regulations are finalised.

Transfer and continuity mechanics: Part 4 ensures property and employees transfer and preserves service continuity (ss 42-43). However, counterparties should check for consent clauses in existing contracts; while s 42(c)(ii) substitutes the new Board as party, third-party contractual consents may be required by contract language. Also, s 44 exempts duties and taxes in respect of transfers effected under Part 4, but that exemption is limited to those transfer acts; ordinary operations remain subject to applicable taxes.

Regulation-making scope and authorised persons: s 38(2)(c) allows regulations to confer powers or impose duties on persons authorised under s 221AB of the Transport (Compliance and Miscellaneous) Act 1983 or any other specified persons. The practical effect is that enforcement powers may be given to transport-authorised officers or other classes not directly part of the Board, creating coordination and delegation issues.

No express public right to access strategic/rail corridor plans: beyond the Minister’s control over publication (s 32(4)), the Act does not create a statutory right for third parties to obtain strategic or rail corridor plans, suggesting that stakeholders seeking access must rely on FOI processes or Ministerial consent. The Act’s requirement to not publish without Ministerial approval can therefore limit normal transparency channels.

In short, the Act contains multiple administrative control points, delegations, and immunity allocations that create practical friction and legal risk for procurement, borrowing, community relations, disclosure and local landowners. Parties negotiating contracts, planning events near the railway, or engaging volunteers should map these statutory constraints early to avoid timing and legal surprises.

Practical compliance checklist for the Board and officers

1. Governance and appointments

   • Ensure board composition meets statutory requirements: between 5 and 10 directors appointed by the Governor in Council on Ministerial recommendation (s 10(1)); ensure collective skills matrix per s 10(2)(a); ensure no more than two directors are current or recent members of the Puffing Billy Preservation Society (s 10(2)(b)); ensure ineligible Society office-holders are not appointed (s 10(3)); ensure directors’ terms do not exceed three years and instruments specify terms and conditions (s 12(1)).
   • Appoint chairperson and optionally deputy by Minister (s 11).
   • Keep written instruments of appointment and ensure instruments specify remuneration, conditions and the period of office (s 12).

2. Conflicts of interest and board procedures

   • Adopt board rules, policies and procedures consistent with the Act (s 19) covering meeting agendas, minutes, quorums, casting votes, and conflict-of-interest management.
   • Implement a conflict disclosure register and enforce abstention from presence and voting where interests are disclosed (s 21(1)-(3)).
   • Maintain common seal securely and document its authorised use (s 4(3)-(4)).
   • Verify attendance to avoid suspension grounds (s 14(1)(a)).

3. CEO and staffing

   • Recruit and appoint a CEO who is not a director and not a recent member of the Puffing Billy Preservation Society (s 23(1)-(2)).
   • Ensure CEO employment instrument is clear on terms for up to three-year appointment and able to be reappointed (s 23(3)-(4)).
   • Design employment contracts that reconcile s 24(3) exclusion from the Public Administration Act 2004 and ensure staff transfer continuity where applicable (s 43).

4. Planning and reporting regime

   • Prepare and approve an annual strategic plan: compile required content (business plan, statement of corporate intent, business goals, strategies for financial, risk, OHS and HR, and planned activities) for the year and four subsequent years as required (s 31(2)).
   • Deliver draft strategic plan to the Minister by 31 May before the financial year, and deliver revised drafts by 31 August after ministerial requested changes, or apply for an extension (s 31(3)-(5)).
   • Do not publish strategic plans without the Minister’s written approval (s 32(4)).
   • Prepare a rail corridor plan within one year and then every ten years and send draft to the Minister for approval, incorporating changes requested (ss 33-34).
   • Institute internal compliance calendars to respect statutory deadlines and to record Ministerial approvals in writing.

5. Incident reporting and risk management

   • Create incident reporting procedures to report to the Minister any incident that caused or allegedly caused death, serious injury, serious property/environmental damage, or which may harm reputation (s 30(1)).
   • Establish risk identification and consultation protocols and retain capacity to commission independent investigations and prepare reports for the Minister (s 30(3)-(4)).
   • Integrate incident reporting with OHS and rail safety regulatory obligations under the Rail Safety National Law (Victoria), noting definitions imported in s 3.

6. Contracting, leasing and borrowing

   • Implement procurement thresholds and escalation: all contracts with consideration over $1 million must be documented and submitted to the Minister for written approval before contracting (s 8(2)).
   • For borrowings involving financial accommodation/arrangements, obtain the Minister’s written approval in advance (s 8(4)); also comply with the Borrowing and Investment Powers Act 1987 (s 8(3)).
   • For leases and licences over Crown land observe term limitations: no lease over Crown land exceeding 50 years, no licence over Crown land exceeding 10 years, and no easement over Crown land or across railway track (s 27(2)); obtain Ministerial approval if any lease, licence or easement exceeds 21 years (s 27(3)).
   • Seek Ministerial approval in writing before selling or disposing of any freehold land (s 28).

7. Land safety and neighbour engagement

   • Implement a tree and vegetation audit adjacent to railway tracks and issue written notices where tree or wood poses a safety risk (s 36(1)-(2)).
   • Ensure notice service procedures align with s 36(3) (personal service, post, left at address with person 16+, prescribed service mechanisms, or, if owner/occupier unknown, display and publication in a newspaper).
   • If works are necessary and owner/occupier does not comply, document entry and work, and ensure cost recovery processes for debts raised against the owner/occupier (s 36(4)). Track cost recovery as a civil debt process.

8. Fencing and level crossings

   • Record and communicate that the Board is not required to fence railway land and is not liable for loss from unfenced land, while noting Charter of Human Rights exceptions (s 35(1)). Manage community expectations and consider voluntary fencing where prudent.
   • Coordinate interface agreements under the Rail Safety National Law for level crossings and establish protocols for closing level crossings to road traffic while track is in use (s 37).

9. Stakeholder consultative committee and community relations

   • Establish a stakeholder consultative committee within twelve months of the commencement of s 9A (s 9A(1)), populate it with representative members as listed (s 9A(3)(a)-(i)) and ensure it meets at least twice each year (s 9A(4)).
   • Use the committee to consult on business, strategic and safety matters, volunteer management and heritage preservation per s 9A(2).

10. Regulatory compliance and enforcement readiness

    • Monitor for regulations made under s 38 and design compliance processes for any offences or penalty regimes created, noting penalties up to 20 penalty units (s 38(2)(d)).
    • Liaise with authorised officers (Transport (Compliance and Miscellaneous) Act 1983 s 221AB) where regulations confer enforcement duties on them (s 38(2)(c)).

11. Records, reporting and legal files

    • Maintain statutory registers: director appointment instruments, minutes of Board meetings (quorum and voting records per s 20), conflict-of-interest disclosures (s 21), delegation instruments (s 22), common seal records (s 4(3)), and written Ministerial approvals/directions (s 9).
    • Preserve documents pertinent to transferred property, liabilities and employee files to implement s 42 and s 43, and rely on s 44’s duty/tax exemption for Part 4 transfers where applicable.

12. Insurance and risk allocation

    • Review insurance programs to reflect that director liability is limited by s 18 but that liabilities attach to the Board; update indemnity and insurance arrangements accordingly and assess effect of s 35 fencing immunity on liability exposures.

Quick operational checklists for common transactions

• Before entering a contract with consideration > $1M, obtain written Ministerial approval and keep the approval instrument in contract file (s 8(2)).
• Before pledging assets or securing loans involving financial accommodations, confirm Borrowing and Investment Powers Act compliance and secure written Minister approval for borrowings under financial accommodation/arrangements (s 8(3)-(4)).
• Before granting or agreeing to a lease/license/easement exceeding 21 years, prepare written request and terms for Ministerial approval (s 27(3)); confirm Crown-land-specific term caps (s 27(2)).
• For tree removal notices, use the methods of service in s 36(3) and retain proof of service in file. If entry is required, ensure officers follow prescribed reasonable time entry, record works performed and prepare debt recovery notices per s 36(4).

By structuring compliance around statutory checklists, deadlines (s 31(3)-(4)), required approvals (s 8, s 27, s 28), and record-keeping (s 4, s 19, s 21, s 22), the Board and its officers can operationalise the Act’s duties while minimising administrative and legal risk.
