The deed introduces several key concepts that structure the scheme.

Public Sector Superannuation Scheme (PSS) - The occupational superannuation scheme established by the deed for Commonwealth employees, statutory office holders, and other persons who become members under Part 3 of the Act. It is not a standard accumulation fund; it is a defined benefit scheme (though the deed does not say that explicitly, the term “benefits” and reference to “preserved benefit members” imply a defined benefit structure where benefits are calculated by formula rather than solely by account balance). The scheme is administered by CSC in accordance with the deed and the Act.

PSS Fund - The trust fund vested in CSC, comprising contributions from members and employers, income from investments, accretions, profits, and other money paid under the Act. The fund is held on trust and used to pay benefits, costs, and expenses of management and investment.

CSC (Commonwealth Superannuation Corporation) - The trustee and administrator of the scheme. CSC is defined in the Governance of Australian Government Superannuation Schemes Act 2011. The deed sets out its functions (clause 3.1) and powers (clause 3.2). CSC has a fiduciary duty under clause 3.3 to act honestly, with care and diligence, in the best interests of members, and to keep fund assets separate. It must also formulate an investment strategy considering risk, return, diversification, liquidity, and liability discharge.

Members, preserved benefit members, and associates - The deed uses these terms, which are defined in the Act and Rules. Members are current employees contributing to the scheme. Preserved benefit members are former members who have not yet taken their benefit. Associates are typically spouses or former spouses entitled to an associate benefit (often under family law splitting). The deed requires CSC to provide information to these groups and to act in their best interests.

Investment manager - Any person or entity engaged by CSC to invest and manage fund assets. Under clause 10.5, CSC must invest available moneys only through investment managers. Clause 10.6 requires that investment managers operate within CSC’s investment powers and strategy, and report to CSC.

Reconsideration Advisory Committee - A committee established under the Rules to examine and report on decisions of CSC and its delegates relating to benefit entitlements. Clause 12.2 allows CSC to delegate its power to reconsider decisions to such a committee, which can affirm, vary, substitute, or set aside the decision, and refund any fee paid.

Delegation and sub-delegation - The deed provides extensive delegation powers. CSC may delegate powers (except its own reconsideration power) to directors, staff, APS employees, officers of investment managers, or any other person (clause 12.1). Sub-delegation is permitted in a structured hierarchy (clause 12.3). The Finance Minister may delegate powers to CSC or its CEO, or to APS employees (clause 13.1).

The deed also contains tables for productivity contribution rates, spouse pension adjustment, and maximum additional cover, which are part of the Rules.

The deed directly affects three main groups: the Commonwealth as employer and scheme sponsor, CSC as trustee and administrator, and the individuals who are members, preserved benefit members, or associates of the scheme.

Commonwealth employees and statutory office holders - These are the primary members of the PSS. The deed does not specify who is eligible; that is determined by Part 3 of the Act. Members are required to contribute (though the deed does not set contribution rates; those are in the Rules). They have rights to benefits as defined in the Act and Rules, and rights to information under clause 3.3(h) (access to information prescribed in Corporations Act regulations). Members may also choose particular investment strategies, though the PSS is largely a defined benefit scheme; any such choice is limited and CSC may charge fees for it (clause 3.2(m)).

Employers - The Commonwealth and approved authorities are employers who contribute to the fund. The deed requires CSC to provide them information, but employer duties are primarily in the Act, not the deed. Employers must pay contributions as determined by the Act and the deed.

CSC and its delegates - CSC is the central actor. It must perform functions and exercise powers subject to strict fiduciary duties. Its decisions affect benefit entitlements, investment returns, and the financial health of the fund. CSC may delegate powers widely, including to investment managers, reconsideration committees, and even “any other person”. This creates a chain of accountability that may be difficult for members to trace.

Investment managers - Entities engaged by CSC must operate within CSC’s investment powers and strategy, and report to CSC. They are not directly accountable to members.

Families and former spouses - Associates (typically non-member spouses) have entitlements under family law splitting. CSC may charge fees for arranging such splits (clause 3.2(m)).

Taxpayers - Because the Commonwealth is the ultimate sponsor, any shortfall in the PSS Fund ultimately falls on the Consolidated Revenue Fund. The deed references payments from the Consolidated Revenue Fund into the PSS Fund (clause 3.4(c)). Thus taxpayers bear the risk of investment underperformance or insufficient contributions.

Private sector competitors - The PSS is a large occupational scheme that crowds out private superannuation for Commonwealth employees. Those employees cannot choose an alternative fund for their compulsory employer contributions (unless they are in the later accumulation plan). This reduces competition in the superannuation market and limits individual choice. The scheme’s existence also shields CSC from the competitive pressures that private trustees face, potentially reducing incentives for cost efficiency and innovation.

The deed imposes specific duties on CSC and confers certain rights on members, but member rights are limited and largely mediated by CSC.

CSC’s duties (clause 3.3):

• Act honestly in all matters concerning the scheme and fund.
• Exercise the same degree of care, skill, and diligence as an ordinary prudent person would exercise in dealing with property of another for whom the person felt morally bound to provide (this is the common law fiduciary standard, codified).
• Perform duties and exercise powers in the best interests of members, preserved benefit members, and associates.
• Keep fund assets separate from CSC’s own assets and from assets of standard employer-sponsors.
• Not enter any contract that would prevent or hinder performance of functions.
• Formulate and give effect to an investment strategy that considers risk, return, diversification, liquidity, and liability discharge.
• If there are reserves, formulate a prudential management strategy.
• Allow members and preserved benefit members access to information prescribed in Corporations Act regulations (clause 3.3(h)).
• Keep proper records of contributions, benefits, and transfers between the fund and the Consolidated Revenue Fund (clause 3.4).

CSC’s powers (clause 3.2):

• Give guarantees.
• Underwrite or sub-underwrite investments.
• Borrow money and give security over fund assets.
• Appoint agents and attorneys.
• Act as agent for others.
• Engage consultants and investment managers.
• Engage a panel to assist in invalidity retirement decisions.
• Establish Reconsideration Advisory Committees.
• Effect insurance policies for additional death and invalidity cover.
• Take action to control, manage, or protect the value of investments.
• Establish a trust for investing the fund.
• Charge fees for member choices of investment strategies and family law splitting.

Members’ rights: Not extensively spelled out in the deed. They include:

• Right to receive benefits as per the Act and Rules (implicit).
• Right to have CSC act in their best interests.
• Right to information prescribed in Corporations Act regulations (clause 3.3(h)).
• Right to request reconsideration of CSC decisions through a reconsideration committee (clause 3.2(h) and clause 12.2).
• Right to choose particular investment strategies (if provided in the Rules), subject to fees.

Rights of the Minister: The Minister may request information from CSC on the administration and operation of the scheme (clause 11.1). The Finance Minister may delegate powers under the deed (clause 13.1).

Rights of delegators: Delegates may sub-delegate within limits. But the deed does not create rights for members to challenge delegation or sub-delegation.

The deed itself does not prescribe penalties for non-compliance. Enforcement mechanisms arise from external statutes. Clause 3.2A requires CSC to comply with the Superannuation Industry (Supervision) Act 1993 (SIS Act). The SIS Act imposes civil and criminal penalties for breaches of trustee duties, such as failure to act honestly (SIS s 52), improper use of information (s 201), and failure to lodge reports. CSC is a constitutional corporation and its directors are subject to the SIS Act’s director penalties. Breach of the SIS Act can also lead to the Australian Prudential Regulation Authority (APRA) stepping in, including issuing directions, removing trustees, or applying to the court for civil penalties.

The Superannuation Act 1990 also provides mechanisms for enforcement, but the deed does not detail them. Clause 3.3 sets out fiduciary duties; a breach of those duties could lead to civil action by the Commonwealth, by members (as beneficiaries of the trust), or by APRA. Because the scheme is a trust, members may have standing to sue CSC for breach of trust. However, the deed contains no indemnity clause (clauses 4-8 were deleted), so any indemnity would be under the Act or general law.

The deed’s requirement that CSC keep proper records (clause 3.4) is enforceable; failure could lead to criminal penalties under the PGPA Act for record-keeping breaches.

For delegates and sub-delegates, there is no direct penalty in the deed, but they are subject to the same duties if they act as agents or employees of CSC. The Acts Interpretation Act 1901 provisions (s 34AA, s 34A) referenced in clause 12.4 and 12.5 ensure that sub-delegation is subject to the same legal framework as delegation, so any exercise of a delegated power is treated as an exercise by the original delegator for the purpose of review and liability.

There are no specific penalties for members in the deed; they are not penalised directly for not complying with the deed, since they are not bound by it in the same way as CSC. However, failure to pay contributions or provide information when required under the Act could have consequences such as benefit reduction or loss of insurance.

The deed operates within a web of Commonwealth legislation and is expressly subject to several statutes.

Superannuation Act 1990 - This is the primary Act. The deed is made under section 4 of that Act. The deed must be consistent with the Act; if there is inconsistency, the Act prevails (clause 1.1). The Act provides for contributions, benefits, and other scheme rules that are not duplicated in the deed.

Superannuation Industry (Supervision) Act 1993 (SIS Act) - Clause 3.2A requires CSC to comply with the SIS Act and its regulations. This brings the PSS into the mainstream prudential framework for superannuation funds, including covenants, investment restrictions, and reporting. However, because the PSS is a public sector scheme, some SIS provisions may not apply or are modified. The deed’s claw 3.2A suggests compliance is mandatory.

Public Governance, Performance and Accountability Act 2013 (PGPA Act) - The Finance Minister is defined as the minister administering the PGPA Act (clause 1.3AA). The PSS Fund is likely a Commonwealth entity for PGPA purposes, meaning CSC must comply with PGPA requirements for proper use of public money, accountability, and reporting. The deed does not explicitly reference PGPA, but the connection is through the Finance Minister.

Corporations Act 2001 - Clause 3.3(h) gives members and preserved benefit members access to information “prescribed in Regulations under the Corporations Act 2001”. This incorporates by reference part of the disclosure regime applicable to superannuation funds, even though the PSS is not a registrable superannuation entity under the Corporations Act. This provision ensures minimum disclosure standards.

Family Law Act 1975 - Clause 3.2(m) allows CSC to charge fees for arrangements connected with splitting superannuation interests under the Family Law Act. The PSS is subject to the family law superannuation splitting regime.

Acts Interpretation Act 1901 - Sections 34AA and 34A are applied to sub-delegation by clauses 12.4 and 12.5. This ensures that sub-delegated powers are exercised in accordance with standard Commonwealth administrative law principles, including that the delegate cannot sub-delegate further unless authorised, and that the sub-delegate must act within the scope of the delegation.

Governance of Australian Government Superannuation Schemes Act 2011 - This Act defines CSC and governs its constitution. The deed refers to its commencement to define when CSC took over administration (clause 2.1(h)).

Other laws: The deed does not mention tax law, but as a complying superannuation fund, the PSS would need to satisfy the tax concessions requirements under the Income Tax Assessment Act 1997.

The deed itself takes precedence over the Rules (clause 1.1). If there is inconsistency between the deed and the Act, the Act prevails. This hierarchy is important: the Minister cannot vary the deed to override the Act, and the Rules cannot override the deed.

The deed has been amended many times, as indicated by the reference in clause 2.1(h) to the “35th amending deed” that deleted clauses 4, 5, 6, 7, 8 and 8A. The deed originally had clauses covering matters that are no longer in force, likely including trustee powers that were superseded by later legislation. The 35th amending deed appears to have removed those clauses.

The deed also shows changes in the identity of the trustee over time:

• From commencement to 24 June 1995: administered by the Commonwealth Superannuation Board of Trustees No. 1.
• 24 June 1995 to 30 June 2006: administered by the PSS Board.
• 30 June 2006 to commencement of the Governance of Australian Government Superannuation Schemes Act 2011: administered by the Australian Reward Investment Alliance (ARIA).
• After that commencement: administered by CSC.

These changes reflect successive reforms to the governance of Commonwealth superannuation schemes, culminating in the establishment of CSC as the single trustee for all major Commonwealth schemes.

Clause 10.4 requires CSC to determine an investment strategy as soon as possible after 1 July 1990 and regularly review it. This suggests that the deed has been amended to update investment powers and to reflect changing market practices.

The reference to “the Act” has been updated over time, as the Superannuation Act 1990 has been amended. The deed likely has been amended to incorporate references to other Acts like the PGPA Act (clause 1.3AA).

The deed does not specify the number of amendments or their dates, except the 35th amending deed. The fact that there have been at least 35 amending deeds indicates substantial regulatory evolution. Many amendments likely deal with the transfer of administration among successive trustee bodies, changes in investment powers, and updates to align with SIS and other legislation.

The deed itself is a living instrument that can be amended by the Minister under section 5 of the Superannuation Act 1990, without a new Act of Parliament, subject to any disallowance mechanism.

The source text does not cite any cases. Given the constraints, we cannot invent litigation history. Any actual litigation would have involved decisions of CSC (or its predecessors) regarding benefit entitlements, or challenges to investment decisions. Common issues in public sector superannuation litigation include disputes over invalidity retirement classifications, preservation rules, and application of the SIS Act covenants. However, the deed itself has probably been the subject of interpretation in the Administrative Appeals Tribunal or the Federal Court, particularly regarding the scope of CSC’s discretion and the application of the “best interests” duty. Because the deed is a trust instrument, beneficiaries could bring actions for breach of trust. The inclusion of a Reconsideration Advisory Committee (clause 3.2(h) and 12.2) suggests an internal review mechanism, which likely reduces litigation by providing an alternative dispute resolution pathway. The deed’s delegation provisions might also generate disputes about whether a delegate validly exercised a power. Without specific case references from the source, this section must remain general and note the likely areas of contention.

Several provisions in the deed can trap the unwary practitioner.

1. Delegation to “any other person” - Clause 12.1(h) allows CSC to delegate any power (except reconsideration) to “any other person”. This is extremely broad. It could include external contractors, consultants, or even a private company. There is no requirement that the delegate be an employee of CSC or the Commonwealth. Combined with sub-delegation powers (clause 12.3), this could lead to a long chain of actors exercising CSC’s powers, with members not knowing who made a decision affecting their benefit. The requirement to act honestly and in best interests binds CSC, but not necessarily the delegate directly unless the Act provides otherwise.

2. Sub-delegation limits - Sub-delegation is allowed only in a specific cascade (director to another director or certain staff; staff to other staff). If CSC delegates to “any other person” under clause 12.1(h), that person cannot sub-delegate because paragraph (h) is excluded from clause 12.3. So a delegate who is not a director or staff member cannot sub-delegate. But if CSC delegates to a committee under paragraph (g), the committee may consist of persons who individually could not sub-delegate, but the committee as a whole might be able to? Clause 12.3 is ambiguous; it refers to “the delegate” being a director or a person in paragraphs (aa),(d),(e),(f). A committee is not such a person. So a committee delegate likely cannot sub-delegate either. This creates a trap: a delegate with a broad portfolio must personally exercise the power or obtain a fresh delegation.

3. Investment via managers only - Clause 10.5 requires that CSC invest available moneys only through investment managers. CSC cannot directly purchase securities or real estate. This limits flexibility and adds layers of fees. However, clause 10.5 does not apply if money is not available for investment (i.e., needed for payments). Also, CSC can still manage the fund in ways that are not “investment” as defined in 10.1 (expend moneys with a view to obtaining financial return). For example, holding cash or using derivatives for hedging might not be “investment” if the primary purpose is risk management rather than return. This could be argued but is risky.

4. Borrowing and security - CSC can borrow money and give security over fund assets (clause 3.2(c)). This is an unusual power for a superannuation trustee and could expose the fund to leveraged risk. If the borrowing is not carefully managed, it could impair the ability to pay benefits. Members have no say in such decisions.

5. Fees for member choices - Clause 3.2(m) permits CSC to charge fees for members choosing particular investment strategies and for family law splitting. The deed does not cap these fees or require them to be cost-related. CSC could set fees that recover more than the cost of administration, effectively reducing member benefits. Members may not realise that choosing an option triggers a fee.

6. Information access limited - Members’ right to information under clause 3.3(h) is limited to information “prescribed in Regulations under the Corporations Act 2001”. This may be a narrower set than what a member would receive from a retail super fund under general disclosure obligations. There is no express right to a Product Disclosure Statement or to investment returns information beyond what is prescribed.

7. Reconsideration Committee fee - Clause 12.2 allows CSC to refund fees when setting aside a decision. This implies that a fee is charged for reconsideration applications. If the fee is not refunded, members may be deterred from challenging decisions, especially for small amounts.

8. The Act prevails over the deed - Clause 1.1 says the deed prevails over the Rules, but the Act prevails over the deed. Practitioners must check the Act for any provision that modifies or overrides a deed clause. For example, if the Act imposes a stricter investment standard than the deed, the Act applies.

9. No expiry date - The deed does not have a sunset clause. Even though no new members are joining, the deed remains in force for existing members and preserved benefits indefinitely. The 35th amending deed deleted clauses 4-8, which suggests that old provisions have been removed, but the core structure remains.

10. Ministerial information requests - Clause 11.1 gives the Minister power to request information from CSC on “the general administration and operation” of the scheme and fund. This could be used to compel CSC to disclose sensitive information about investment strategies or individual member data, subject to privacy laws.

Compliance with the deed is primarily the responsibility of CSC and its delegates. For practitioners advising CSC or member representatives, the following steps are necessary.

1. Adhere to fiduciary duties - CSC must embed the clause 3.3 duties into its governance framework. This means documenting how decisions are made, ensuring that every decision (investment, benefit, delegation) is in the best interests of members, with care and diligence. Regular training for directors and staff on these duties is essential. Minutes should record how the duty was considered.

2. Establish and maintain an investment strategy - Clause 3.3(f) and clause 10.4 require CSC to formulate and give effect to an investment strategy. The strategy must be documented and reviewed regularly (at least annually, given the words “regularly review”). It must address risk, return, diversification, liquidity, and liability discharge. The strategy should also cover reserves if any. CSC must consult such persons as it thinks fit (clause 10.4) but is not required to consult members.

3. Engage investment managers only - CSC cannot self-invest. It must appoint investment managers under clause 10.5, and ensure they operate within CSC’s investment powers and strategy (clause 10.6(a)). Compliance requires a written agreement with each manager setting out these constraints and reporting obligations under clause 10.6(b).

4. Keep proper records - Clause 3.4 requires records of contributions, benefits, and transfers between the fund and the Consolidated Revenue Fund. CSC must maintain systems that capture this data accurately. Records must be kept for the periods required by the PGPA Act and the Archives Act.

5. Comply with SIS Act - Clause 3.2A mandates compliance with SIS Act and regulations. CSC must lodge annual returns with APRA, comply with the SIS investment restrictions (in-house assets, borrowing limits), and adhere to the trustee covenants in SIS s 52. This is a fundamental compliance obligation.

6. Provide information to members - Under clause 3.3(h), CSC must provide members and preserved benefit members with access to information prescribed in Corporations Act regulations. This likely includes periodic statements (annual reports, transaction notifications). CSC should review the current regulations to determine exactly what must be provided.

7. Manage delegation carefully - If CSC delegates powers, it must do so by instrument under its seal (clause 12.1). The instrument must specify the delegate, the powers delegated, and any conditions. For sub-delegation, only authorised persons may sub-delegate, and only within the permitted chain. CSC should maintain a register of all delegations and sub-delegations, and ensure that delegates are aware of their duties.

8. Handle reconsiderations - If CSC establishes a Reconsideration Advisory Committee, it must delegate the reconsideration power under clause 12.2. The committee must act in accordance with the Rules. CSC should set a fee for reconsideration that is reasonable and consider refunding it if the decision is set aside.

9. Respond to Ministerial requests - Under clause 11.1, CSC must furnish information to the Minister as required. It should have a process for receiving and responding to such requests promptly, while protecting member privacy as far as law allows.

10. Update the deed as needed - The Minister may amend the deed under the Act. CSC should advise the Minister on changes that are needed to comply with new laws or to improve scheme administration.

For member representatives, compliance means ensuring that CSC is meeting its duties and that members receive the information and benefits they are entitled to. They can use the reconsideration process or seek action from APRA if they believe CSC has breached its duties.
