Public Interest Disclosures Regulations 2019

The Regulations rest on a handful of tightly defined concepts and cross-references. The core definitional provision is simple: "the Act" is defined to mean the Public Interest Disclosures Act 2012 (Reg 5). The objective (Reg 1) situates the instrument as subordinate to the Act: these Regulations answer a specific statutory delegation to prescribe material for a written statement required by s 28 of the Act. The authorising provision is s 79 of the Act, as noted in Reg 2; thus these Regulations operate as subordinate legislation made under that head of power.

The principal operative concept is "written statement of advice, public interest complaint" as contemplated by s 28(3) of the Act. For the purposes of that subsection, the Regulations prescribe the two matters listed at Reg 6(a)-(b): a copy of s 72 and Parts 6 and 7 of the Act, and an explanation of the effect of that section and those Parts. The Regulations therefore distinguish between primary-source material (verbatim statutory text) and secondary-source material (an explanation of effect). The Regulations do not prescribe a definition of "explanation", nor do they prescribe format, length, level of detail, or the person who must prepare the explanation.

The Interpretation material in the Endnotes imports specified rules under the Interpretation of Legislation Act 1984 (ILA) about style, headings, punctuation, examples, and provision numbers being part of a statutory rule (Endnote 1, Interpretation of Legislation Act 1984 (ILA) section). That material is included in the printed version and, per the Endnotes, forms part of the Statutory Rule to the extent those ILA provisions operate to make such elements part of the rule. The Endnotes also state that explanatory memoranda and materials printed after the Endnotes do not form part of the Statutory Rule (Endnote 1, Other material paragraph).

Several absences are conceptually significant. The Regulations do not: prescribe the timing for providing the written statement; identify the person or office responsible (the reference is only to the requirement in s 28(3) of the Act); specify how the "copy" should be presented (for example, as an annexure or incorporated verbatim); require the "explanation" to be prepared or certified by legal counsel; or provide any sanction or enforcement mechanism specific to erroneous or misleading explanations. These absences mean the Regulations perform a limited, content-focussed function rather than a comprehensive procedural regime.

Finally, the Regulations revoke the prior Protected Disclosure Regulations 2013 (Reg 4 and Endnote 4). The Endnotes confirm there are no subsequent amendments to these Regulations, and that no amendments were "Not in Operation" at the date of publication (Endnotes 2-3). The instrument will sunset ten years after making (Endnote 1).

The Regulations affect any person or body required by the Act to provide a written statement under s 28(3). The instrument itself does not identify particular agencies, officers or classes of official; its operative prescription is keyed to the contingent duty created by s 28(3) of the Act (Reg 6 preamble: "For the purposes of section 28(3) of the Act, the following matters are prescribed"). Consequently, the immediate obliged parties are those who, under the Act, must prepare and give a written statement of advice in relation to a public interest complaint. The Regulations thereby directly affect:

• the official, officer, investigator or decision-maker obliged by s 28(3) to produce the written statement;
• the agency administering public interest disclosures whose internal templates and processes will need to incorporate the prescribed material; and
• the person who is the subject of, or the discloser in, a public interest complaint who will receive the written statement.

Because the Regulations require inclusion of statutory text (s 72 and Parts 6 and 7) and an "explanation of the effect" (Reg 6), the Regulations also create downstream operational effects for legal advisers, compliance officers, records managers and administrative staff. Agencies will likely need to ensure that staff preparing the written statement either draft the explanatory material in-house or obtain legal input to explain statutory effect reliably. That produces a resource consequence for legal teams and compliance units.

The revocation of the Protected Disclosure Regulations 2013 (Reg 4) affects any forms, templates and practices that relied on the 2013 instrument. Administrators must replace or update any materials that had been built on the revoked instrument. The Endnotes record that the Regulations will sunset on 17 December 2029 (Endnote 1), which affects long-term compliance planning: bodies that deal with public interest disclosures must be aware that the subordinate instrument itself has a legislated expiry date and may require renewal or replacement as that date approaches.

Stakeholders beyond government decision-makers are affected indirectly. Recipients of s 28(3) written statements will receive the prescribed statutory text and an explanation; that changes the informational baseline available to disclosers and respondents in the complaint process. However, the Regulations do not prescribe the content quality, readability, or language of that explanation, so the practical effect on complainants and respondents will vary according to agency practice.

The Regulations impose a narrowly focused duty: where a written statement is required under s 28(3) of the Act, the written statement must contain two things. First, a copy of s 72 and Parts 6 and 7 of the Act (Reg 6(a)). Second, an explanation of the effect of that section and those Parts (Reg 6(b)). Those requirements are absolute in form: the Regulations use mandatory language ("the following matters are prescribed") and itemise the two required inclusions. The duty is defined in relation to s 28(3) of the Act; the Regulations do not create an independent duty outside the Act’s framework.

The Regulations themselves do not create express rights for recipients beyond the prescriptive content requirement. The text does not provide an enforcement mechanism, remedies, review rights, or timeframes for delivery; any such rights or enforcement mechanisms must be sought in the Act (which is the parent instrument) or through general administrative law. The Regulations are silent about whether recipients have a right to challenge the sufficiency or accuracy of the required "explanation of effect" under these Regulations, although the presence of that explanatory requirement may inform expectations and possibly administrative review claims under other laws.

Administrative duties implicit in the Regulations include updating templates and procedures to include the prescribed items when a s 28(3) written statement is being produced. The Endnotes’ Interpretation section brings statutory style rules into play: headings, examples, punctuation and provision numbers form part of Statutory Rules made after 1 January 2001 in the ways described (Endnote 1). For practitioners preparing the written statement, that means attention should be paid to how statutory text is copied and presented so that headings and punctuation that form part of the Statutory Rule are not omitted.

Because the Regulations revoke the 2013 instrument (Reg 4), administrative duty also includes ensuring no reliance on revoked forms or processes. Agencies must ensure continuity: they must adopt the new content requirements and retire references to the revoked Regulations. The Endnotes indicate that the Regulations will sunset on 17 December 2029 (Endnote 1), creating a future administrative duty to review or re-enact any subordinate instrument addressing the same subject before sunset if continued regulation is desired.

The Regulations do not speak to delegation, certification of explanatory material, or whether the explanation must be prepared by a legal practitioner. Those matters remain open and will be decided by the Act, agency practice or supporting guidance. The Regulations therefore impose a mandatory content obligation while leaving significant procedural discretion to the parent Act and to administrative practice.

The Regulations are silent about specific penalties, fines, or enforcement mechanisms. There is no provision in Regs 1-6 that prescribes a sanction for failure to include the items required by Reg 6, nor do the Endnotes introduce any subordinate penalties. The instrument is a content-prescription regulation and does not itself contain enforcement clauses.

Because the Regulations are made under s 79 of the Act (Reg 2), any enforcement of obligations created by the Act, including consequences for failure to comply with duties under s 28(3), will depend on the parent Act’s enforcement architecture. The Regulations do not replicate, modify or extend enforcement mechanisms; they simply prescribe content for a written statement required under the Act. Legal consequences for omission, inaccurate copying of s 72 and Parts 6 and 7, or materially misleading or incorrect "explanation of the effect" would therefore need to be found in the Act or in general administrative law (judicial review, statutory sanctions under the Act if present, or other applicable regimes). The Regulations provide no express private right of action or administrative penalty.

From a practical compliance perspective, the lack of regulation-level penalties shifts compliance incentives to internal governance, reputational risk, and any legal consequences flowing from the Act or from general liability rules. Agencies and officers facing operational risk from providing inaccurate or incomplete statements must consider internal risk-management measures: review protocols, legal clearance for the explanatory material, record-keeping and audit trails. The Endnotes do state that explanatory memoranda and materials printed after the Endnotes do not form part of the Statutory Rule (Endnote 1, Other material). That means that any guidance or explanatory memoranda accompanying these Regulations are not themselves regulatory instruments and so cannot be enforced as such; enforcement remains tied to the Act and to general legal accountability.

Finally, because the Regulations revoke the 2013 instrument (Reg 4), any enforcement model that had been implemented under the prior Regulations will need to be re-evaluated to ensure ongoing compliance with the current instrument. The Regulations themselves do not create or modify inspection, reporting or auditing powers in respect of written statements under s 28(3).

These Regulations are a subordinate instrument under the Public Interest Disclosures Act 2012, made under s 79 of that Act (Reg 2). Their operation is expressly contingent on the content and operation of the Act: Reg 6 prescribes matters for inclusion in a written statement "for the purposes of section 28(3) of the Act." Accordingly, any change to s 28(3), s 72, Parts 6 or 7 of the Act, or to the Act’s overall structure will interact directly with these Regulations.

The Endnotes import interpretive rules from the Interpretation of Legislation Act 1984 (ILA) and state how style changes and headings, examples, punctuation and provision numbers form part of Statutory Rules made on or after specified dates (Endnote 1, Interpretation). That interaction means that when presenting statutory text copied under Reg 6(a), agencies should be attentive to ILA-prescribed elements that are treated as part of the Statutory Rule. The Endnotes also state that explanatory memoranda and other materials printed after the Endnotes do not form part of the Statutory Rule (Endnote 1, Other material); therefore, any guidance documents printed with the Regulations are not themselves regulatory law.

The Regulations revoke the Protected Disclosure Regulations 2013 (Reg 4). Where the 2013 Regulations contained procedural detail or transitional provisions that affected interactions with other Acts, those interactions ceased when the 2013 instrument was revoked and were replaced by this instrument as of its commencement date (31 December 2019). Practitioners must therefore not rely on provisions in the revoked instrument unless subsequently reproduced elsewhere under proper authority.

The Regulations do not expressly interact with other statutory regimes (for example privacy law, freedom of information, or employment law). However, the requirement to include statutory text and an explanation may generate operational intersections with other laws in practice. For example, an explanation that discloses personal information might engage privacy obligations; inclusion of statutory text in correspondence could affect access to information requests. Those interactions are not regulated here and will be governed by the other relevant statutes and administrative practice.

Because the Regulations do not create enforcement mechanics, any consequences for failing to comply must be sought in the Act or in other legal regimes. The Regulations therefore function as a focused cross-reference device: they instruct what must be included in a document required by the Act, while other statutory and common law rules govern validity, admissibility, confidentiality and remedies in relation to that document.

The published instrument contains a short formal amendment history. The Table of Amendments states there are no amendments made to the Public Interest Disclosures Regulations 2019 by statutory rules, subordinate instruments or Acts (Endnote 2). The publication also records that there are no amendments "Not in Operation" as at the date of that publication (Endnote 3). The Endnotes further document that Reg 4 revokes the Protected Disclosure Regulations 2013 and cross-reference Reg 4 to S.R. No. 7/2013 as amended by S.R. No. 7/2013 (Endnote 4). Beyond that, the instrument records its making date (17 December 2019), commencement date (31 December 2019) and sunset provision (10 years after making, 17 December 2029) pursuant to s 5 of the Subordinate Legislation Act 1994 (Endnote 1).

Practically, those statements mean the instrument has had no subordinate amendments recorded in the provided source. Absent any later statutory rule, the Regulations remain as originally made (Version No. 001 as at 31 December 2019). If an agency is relying on a later version, it must check the legislation database; the Endnotes advise the reader to see the Victorian legislation website for up-to-date information.

Because the Regulations revoke the 2013 instrument, any amendment history relevant to the 2013 Regulations would need to be examined separately. The present document does not list any transitional or savings provisions that might have been used to carry-over forms, template language or practices from the revoked instrument; the only reference is the simple revocation in Reg 4 and the explanatory detail recorded in the Endnotes.

The ILA interpretation notes in the Endnotes indicate that certain style amendments authorised by the ILA may have been applied (Endnote 1, Style changes). Those are not substantive amendments to the policy content but affect presentation and are recorded as part of the statutory printing history.

The Regulations, as published in this material, contain no recorded litigation history. There are no notes of cases, judicial consideration, appeals or determinations presented in the Endnotes or in the body of the Regulations. The Endnotes do not list judicial decisions, nor do they indicate that these Regulations have been subject to challenges, interpretation or enforcement actions recorded in the printed instrument.

Because these Regulations are short and directed to documentary content, litigation would most likely arise, if at all, in the context of proceedings under the parent Act, or in judicial review proceedings challenging administrative actions taken under the Act. Any such litigation would rely on the Act and on administrative law principles; it would not arise from the Regulations themselves except insofar as the Regulations prescribe required content and an applicant alleges non-compliance or seeks relief related to the content provided.

Practitioners requiring authoritative litigation history should consult court databases and the Victorian legislation site for decisions that reference these Regulations or the obligations they impose. The source provided here contains no reported litigation and records no cases.

Several practical pitfalls arise from the narrow drafting and the interdependence with the Act and with other interpretive statutes.

1. Narrow content prescription, broad residual discretion. Reg 6 mandates only two items but leaves all other aspects (format, timing, who prepares the explanation, the level of legal detail required) unspecified. That creates a risk of inconsistency across agencies and cases. The Regulations do not require a particular standard or certification for the "explanation of the effect," which can lead to varying quality and possible disputes about sufficiency. The instrument is explicit on the two items required (Reg 6(a)-(b)) but silent otherwise.

2. Reliance on the Act’s structure. The Regulations require a copy of s 72 and Parts 6 and 7 of the Act (Reg 6(a)). If the Act is amended and section or part numbering changes, agencies must be careful to supply the correct, contemporaneous text. The Regulations do not specify whether the copy should be as at the date of the written statement or as at a different date; practice should therefore record the version date to avoid ambiguity. The ILA interpretation provisions noted in the Endnotes (Endnote 1) mean headings and punctuation may be part of statutory text presentation, so omission of those elements when reproducing the text could be material.

3. Revocation and transition. Reg 4 revokes the Protected Disclosure Regulations 2013. If agencies retained forms or templates based on the 2013 instrument, those must be updated. The Endnotes indicate the revocation but provide no transitional provisions; administrators should not assume transitional grandfathering.

4. No enforcement mechanism in the Regulations. Because there are no penalties or specified remedies in the Regulations, a failure to include the prescribed material may not, in itself, attract a subordinate-instrument penalty. Any legal consequence depends on the Act and on general law. That means practitioners cannot rely on the Regulations alone to enforce compliance; they must look to the Act and to administrative remedies.

5. Explanatory material not part of the Statutory Rule. The Endnotes state that explanatory memoranda and material printed after the Endnotes do not form part of the Statutory Rule (Endnote 1, Other material). That is a gotcha for those who read accompanying guidance as authoritative law; the guidance may be useful but it is not legally part of the Regulations.

6. Sunset date. The instrument will sunset ten years after making (Endnote 1). That requires planning for review and possible replacement before 17 December 2029.

7. Ambiguity about "copy" and "explanation". The Regulations do not define "copy" (is an extract sufficient?) or the scope of an "explanation of the effect" (legalistic analysis, plain English summary, or both?). Agencies risk disputes or complaints if recipients argue the explanation is inadequate.

8. Interaction with privacy and other laws not addressed. Reproducing statutory text is unlikely to trigger privacy issues, but explanatory material could, depending on content. The Regulations do not cross-reference privacy, FOI, or other regimes.

Mitigations are largely practical: adopt a template that reproduces the relevant statutory text verbatim including headings and punctuation, date the version of the Act used, create an internal sign-off process for the explanatory material (legal review or quality assurance), and retire any forms based on the 2013 Regulations.

Compliance with these Regulations is straightforward in principle but requires attention to detail in practice. Agencies and responsible officers should adopt a documented process for preparing any written statement required by s 28(3) of the Act that ensures the two prescribed items in Reg 6 are included. Practical steps:

1. Template design. Create a s 28(3) written-statement template that includes: (a) a verbatim reproduction of s 72 of the Act and the full text of Parts 6 and 7 of the Act; and (b) a clearly‑labelled "Explanation of effect" section. The reproduction should include headings and punctuation consistent with the Statutory Rule printing conventions referenced in the Endnotes (Endnote 1, Interpretation). Record the version date of the Act text reproduced (for auditability).

2. Legal input. Because Reg 6(b) requires "an explanation of the effect," engage legal counsel or trained policy staff to draft the explanatory section, and maintain a sign-off process. The Regulations do not prescribe who must author the explanation, but legal review reduces risk of inaccurate interpretation. Keep a record of the legal advice or internal approval as part of the administrative file.

3. Version control and dating. When copying s 72 and Parts 6 and 7, annotate the statement with the date of the Act text reproduced and the relevant version citation. This avoids ambiguity if the Act is later amended.

4. Retire old templates. Remove or update any materials derived from the Protected Disclosure Regulations 2013 (Reg 4 and Endnote 4). Confirm that all staff working on public interest disclosure matters use the new template.

5. Staff training. Train staff who prepare s 28(3) written statements on the narrow content requirement and on the need for accurate explanations. Provide plain-language guidance on how to balance statutory fidelity with accessibility for recipients.

6. Record-keeping. Maintain an audit trail showing that the required materials were included, who prepared the explanation, the date, and any legal sign-off. Given the Regulations contain no enforcement provision, good records are the primary mitigation against complaints that required material was omitted or incorrect.

7. Coordination with other legal obligations. When preparing explanatory material, consider other obligations such as privacy and FOI. The Regulations do not address those interactions; ensure explanatory material is vetted for disclosure issues before release.

8. Monitor legislative change and sunset. Monitor the Act for changes to s 72 and Parts 6 and 7 and update templates accordingly. Note that the Regulations will sunset on 17 December 2029 (Endnote 1) and plan a review well before that date to ensure continued compliance with any successor instrument.

9. Quality assurance. Establish an internal QA checklist that confirms inclusion of both required items, correct reproduction of statutory text, dating/version annotation, and legal or managerial sign-off for the explanation.

Following these steps aligns operational practice with the express prescriptions in Reg 6(a)-(b), utilises the interpretive guidance in the Endnotes regarding style and form, and addresses the practical risks identified in the Gotchas section. The primary legal references for these compliance steps are Regs 1-6 and the Endnotes (particularly the Interpretation paragraphs and the sunset/commencement details).
