Public Corporations (Southern Select Super Corporation) Regulations 2012

The regulations revolve around a small number of organising concepts: statutory subsidiary trustee, constrained functions, delegated investment implementation, supervisory control by Ministers and Treasurer, prescribed governance machinery including member elections, mandatory audit arrangements, and financial obligations tied to an establishment loan. Each of these concepts appears directly in the text and prescribes a navigable set of decision rights and compliance duties.

Statutory subsidiary trustee. Southern Select Super Corporation is created as a subsidiary of the Minister and given corporate attributes (reg 5). Its legal role is limited in scope: principally to be trustee of Super SA Select, to administer the trust deed and rules, to receive and maintain member accounts, to manage and invest the fund, and to ensure payment of entitlements (reg 13). The definition of “fund” is incorporated through the trustee’s duty to pay members’ amounts into a fund maintained by the board (reg 13(e); interpretation).

Limited and prescripted functions. The subsidiary’s powers are not unconstrained. The charter prepared by the Minister and Treasurer may limit or otherwise regulate the subsidiary’s functions and impose reporting and accounting requirements (reg 15(2)-(3)). The Treasurer’s approval is a gate for structural and transactional changes such as forming subsidiary companies, acquiring controlling interests, entering profit‑sharing schemes or joint ventures, or undertaking indirect operations (regs 16-17). Commercial borrowings and lending are similarly subject to Treasurer consent (reg 19).

Delegation of investment implementation. The subsidiary is legally responsible for the fund’s management and investment and must prepare an investment policy statement setting risk/return objectives and asset allocation policies (reg 14(1)-(2)). The subsidiary must consult with the Superannuation Funds Management Corporation of South Australia when setting those objectives (reg 14(3)). Critically, the SFMC is required to implement the subsidiary’s investment policy statement and strategies as agent for the subsidiary (reg 14(4)). The regulations thus separate responsibility for policy (subsidiary) from formal implementation (SFMC acting as agent).

Governance and member voice. Governance is specified and changes over time. Initially the Minister appointed all board members until 30 November 2015 (reg 7). From 1 December 2015, board composition is a mixed model: presiding member appointed by the Governor, two members elected by Super SA Select members under Schedule 1, and two members appointed by the Governor on the Minister’s nomination (reg 8). Schedule 1 further sets out election mechanics including voter eligibility cut‑offs, nomination requirements and preferential ballot rules.

Audit and internal controls. The subsidiary must maintain effective internal auditing and an audit committee unless exempted by the Treasurer (reg 18). The audit committee must include at least one board member and other persons appointed by the board, but may not include the chief executive, if any (reg 18(3)-(4)). The functions are traditional: review of annual financial statements, liaison with external auditors and review of accounting and risk management systems (reg 18(4)).

Reporting, confidentiality and review. The subsidiary must produce an annual financial report within three months and a report on Southern Select Super within four months, both to be laid before Parliament (regs 22-23). Confidentiality obligations prevent disclosure of personal/member‑specific information except in enumerated circumstances, and contraventions can be treated as misconduct for the purpose of removal from office (reg 11). Decisions are subject to merits review by the South Australian Civil and Administrative Tribunal if challenged within 21 days (reg 24).

Loan repayment mechanics. If a loan was made from the South Australian Superannuation Board to establish the fund, the subsidiary must comply with the repayment terms in Schedule 2. Interest is calculated quarterly at an average daily deposit rate and is payable annually, but may be capitalised if the fund does not have a net surplus (Schedule 2 cl 2). Principal repayment is tied to at least 20% of the net surplus for a financial year, with an exemption where member administration fees do not exceed administration costs (Schedule 2 cl 3).

Together these concepts form a regulatory template that combines statutory control points with prescribed internal corporate governance and external oversight. The subsidiary retains trustee responsibilities and must operate within a framework that prioritises consultation with SFMC for investment implementation, ministerial and Treasurer controls over strategic transactions, and a member electoral element for board composition after 2015.

The regulations directly affect a handful of defined groups and indirectly affect service providers and public entities involved in public sector superannuation administration and investment.

Primary stakeholders named in the text

• Members of Super SA Select. They are the owners of the membership entitlements the subsidiary administers. The regulations require the subsidiary to receive payments from or on behalf of members, maintain accounts for members and pay amounts into the fund (reg 13(c)-(e)). Members are also electoral stakeholders: two board members are to be elected by members under Schedule 1 from 1 December 2015 (reg 8(1)(b); Schedule 1).
• The subsidiary’s board and directors. The instrument determines how directors are appointed, removed and when vacancies occur. Members appointed initially by the Minister have fixed terms until 30 November 2015 (reg 7). From 1 December 2015 the composition and tenure are prescribed with appointment by Governor, election by members and appointment by Governor on the Minister’s nomination (reg 8). The regulations set removal grounds including incapacity, neglect of duty and misconduct (regs 7(6), 8(6)). Confidentiality obligations apply to current and former directors and employees; contraventions may be treated as misconduct (reg 11(1), (3)).
• The Minister for Finance and the Treasurer. The Minister is the corporate parent who is the source of subsidiary formation and the Minister and Treasurer prepare a charter which may bind and constrain the subsidiary (reg 15). The Treasurer has a number of approval powers: forming subsidiary companies, requiring conditions in subsidiary constitutions, approval of indirect operations, lending and commercial borrowing restrictions, exemptions from audit duties and reviews (regs 16-19, 18).
• The Governor. The Governor appoints the presiding member and two appointed members on the Minister’s nomination from 1 December 2015 (reg 8(1)(a), (c)). The Governor also has removal powers for appointed or elected members on specified grounds (reg 8(6)). Where an election fails, the Governor may appoint a Minister‑nominated person to the position (reg 8(2a)). For short vacancies in elected offices the Governor may appoint nominees from specified unions (reg 8(7)).

Public agencies and service providers

• Superannuation Funds Management Corporation of South Australia (SFMC). The subsidiary must consult SFMC when preparing investment objectives and asset allocation policies and SFMC is to implement the subsidiary’s investment policy statement and strategies as agent (reg 14(3)-(4)). That gives SFMC a de jure operational role in implementing investment decisions.
• Electoral Commissioner. The Electoral Commissioner conducts member elections under Schedule 1, publishes election timetables, distributes and counts ballots and handles scrutineering processes (Schedule 1 cl 2-13). The Electoral Commissioner determines ballot order by lot and may distribute ballot packs by post or via employers (Schedule 1).
• South Australian Superannuation Board. If a loan from that Board was used to establish the fund, repayment and interest obligations are set out in Schedule 2 and the subsidiary must ensure compliance with those terms, including payment timelines tied to net surplus (Schedule 2).

Other affected parties

• Employers of members. Employers may be recipients for ballot papers to distribute to employees under Schedule 1 cl 7(4)(b). Employers are also recipients of disclosure about member entitlements where specified (reg 11(1)(c)).
• External auditors, internal auditors and other financial advisors. The subsidiary is required to maintain internal auditing and an audit committee unless exempted by the Treasurer (reg 18). The committee liaises with external auditors (reg 18(4)(b)). The subsidiary must prepare financial statements and deliver reports to the Minister which will be tabled in Parliament (regs 22-23).
• Public service administrative units. While subsidiary staff are not Public Service employees (reg 10(2)), the subsidiary may, with the approval of a Minister responsible for a particular administrative unit, make use of that unit’s staff or facilities (reg 10(3)). This creates an interface between the subsidiary and parts of the public service for operational support.

Indirect or contingent impacts

• Private asset managers and custodians. The regulations require SFMC to implement the investment policy statement as agent (reg 14(4)). The text does not expressly prevent SFMC from engaging private managers, but the implementation role is placed with SFMC, thereby affecting who directly places trades, allocates assets and contracts for investment services. The practical consequence is that SFMC holds a formal implementation role even though the subsidiary retains responsibility for the policy.
• Potential lenders and counterparties. Treasurer approval is required for commercial borrowings and certain lending activities by the subsidiary (reg 19). That condition affects the subsidiary’s ability to enter market borrowing arrangements without prior state approval.

Who decides and who pays

• Decision-makers include the board (subject to the charter and statutory approvals), the Minister and the Treasurer (charter and approvals), the Governor (appointments and removals), the Electoral Commissioner (elections), and SFMC (implementation as agent). Payments into and out of the fund are the responsibility of the subsidiary as trustee; loan interest and principal repayments, where a loan exists, are funded from the fund’s net surplus under Schedule 2. The subsidiary therefore bears the operational costs and is the payor for member entitlements and, subject to Schedule 2 rules, for any loan servicing required.

This mapping highlights that the regulations distribute governance rights across publicly accountable offices, mandate institutional interactions, and tie financial obligations to fund performance. The exercise of approval powers, the timing of elections and the interaction with SFMC are the principal levers that determine outcomes for members, providers and the subsidiary’s commercial counterparties.

The regulations specify a compact set of duties for the subsidiary and associated rights of oversight held by the Minister, the Treasurer and Parliament. These are legal obligations rather than discretionary policy statements and establish the subsidiary’s operational and reporting baseline.

Primary trustee duties and investment duties

• Trustee and administrative duties. The subsidiary must act as trustee of Super SA Select, administer the trust deed and rules, receive member payments, maintain member accounts and ensure payments into and out of the fund as required by the trust deed or law (reg 13(a)-(e)). These are the core fiduciary operational duties encoded in the regulations.
• Investment policy and management. The subsidiary must prepare an investment policy statement for the fund that sets risk/return objectives and asset allocation policies (reg 14(2)). It must consult SFMC when doing so (reg 14(3)). Importantly the SFMC is to implement the subsidiary’s investment policy statement and strategies as agent (reg 14(4)). The subsidiary remains legally responsible for the fund’s management and investment (reg 14(1)), but implementation is delegated to SFMC by operation of the regulations.

Internal governance and controls

• Internal audit and audit committee. The subsidiary must maintain effective internal auditing and, unless exempted by the Treasurer, have an audit committee (reg 18(1)-(2)). The audit committee must include a board member or members and other persons appointed by the board, and must not include the chief executive (if any) (reg 18(3)). The audit committee’s functions include reviewing annual financial statements, liaising with external auditors and reviewing accounting and financial management systems (reg 18(4)).
• Board procedures and minutes. The board determines its own procedures subject to the regulations, must keep minutes and is authorised to meet by electronic means subject to notice and communications requirements (reg 9(5)-(8)). A quorum is three members and decisions are by majority of those present (reg 9(3)-(4)). The common seal may only be affixed in accordance with a board decision and must be attested by the signatures of two directors (reg 21(1)).

Delegations, staff and employment status

• Staff appointment with Minister's approval. The subsidiary may appoint staff with the Minister’s approval (reg 10(1)), but those appointed are not Public Service employees (reg 10(2)). The subsidiary may use public service staff or facilities with approval of the relevant Minister (reg 10(3)). This creates a duty to secure ministerial approvals when creating staff roles and a right to access public service resources subject to separate approvals.

Approval functions retained by the Treasurer and Minister

• Limits on corporate expansion. The subsidiary must not form subsidiary companies or acquire controlling interests without Treasurer approval (reg 16(1)). The Treasurer may impose conditions on subsidiary constitutions or direct actions to ensure limitations and controls consistent with those applicable to the subsidiary (reg 16(2)).
• Limits on joint or indirect operations. Entering trusts, partnerships, profit sharing schemes or joint ventures requires Treasurer approval (reg 17).
• Limits on lending and borrowing. The subsidiary must not lend money or undertake commercial borrowings without Treasurer approval (reg 19(1)-(2)). These are affirmative constraints on permissible commercial finance activities.

Reporting and disclosure duties

• Reports to Minister and Parliament. The subsidiary must deliver a report on Southern Select Super within four months of the financial year end, including financial statements relating to members’ contributions and payments, and must deliver an annual report on the subsidiary’s financial operations within three months (regs 22(1)-(2), 23(1)). The Minister must lay both reports before Parliament within 12 sitting days of receipt (regs 22(3), 23(2)). These impose strict timing duties and create transparency rights for Parliament.
• Provision of information to Minister or Treasurer. The subsidiary must, on written request, furnish information or records in the subsidiary’s possession in the form required by the Minister or Treasurer and must notify the other officer when requested by one (reg 20(1), (5)). The Minister or Treasurer may copy and deal with records as they see fit (reg 20(2)).

Confidentiality duties and exceptions

• Non‑disclosure of personal or benefit information. Directors and current or former persons employed in the administration of Super SA Select must not divulge personal or benefit information except where permitted by a list of exceptions (reg 11(1)-(2)). Exceptions include statutory requirements, consent of the person, disclosure to the person’s employer, disclosures necessary for administration of Triple S scheme, court orders, or as allowed by the trust deed (reg 11(1)(a)-(f); definition of Triple S scheme). A breach may amount to misconduct for removal purposes (reg 11(3)).

Election rights and duties

• Member voting eligibility and election process. Members who meet the Schedule 1 eligibility cut‑off are entitled to vote in board elections (Schedule 1 cl 4). The Electoral Commissioner conducts elections, publishes a timetable and handles ballot distribution, counting, and declaration (Schedule 1 cl 2-3, 7, 11, 13). Candidates must be nominated in a specified form, signed by at least three voters and received by nomination hour (Schedule 1 cl 5). Voting uses preferential numbering and specific rules for duplicate or late returns apply (Schedule 1 cl 9-10).

Review right

• Merits review of decisions. A person dissatisfied with a decision of the subsidiary under the regulations may apply to the South Australian Civil and Administrative Tribunal for review within 21 days of the decision (reg 24(1)-(2)). The 2018 variation substituted reg 24 to redirect review from the District Court to SACAT and included transitional provisions (Legislative history, Transitional Sch 1).

Loan servicing duties

• Loan interest and principal obligations. Where a loan from the South Australian Superannuation Board exists, the subsidiary must ensure compliance with Schedule 2 including interest payable annually calculated by reference to an average daily deposit rate and principal repayments linked to net surplus (Schedule 2 cl 1-3). If no net surplus exists in a year, interest may be capitalised into principal (Schedule 2 cl 2(4)). An administrative fee test can defer principal repayment (Schedule 2 cl 3(2)).

Collectively these duties constrain the subsidiary’s commercial actions, impose governance processes and reporting obligations, place a formal implementation role with SFMC for investments, and create member rights to elect board representation and pursue merits review. The rights to request and receive information rest with the Minister and Treasurer and Parliament’s right to receive laid reports is explicit. Removal of directors for misconduct or incapacity is linked to confidentiality and other duties set out in the regulations.

The regulations implement an administrative enforcement architecture rather than criminal sanctions within the text itself. Penalties and remedies are therefore primarily governance and administrative: removal from office, Treasurer approvals and directions, report and information requests, parliamentary scrutiny and merits review by the Tribunal.

Removal and misconduct

• Removal grounds for directors. A director’s office becomes vacant on death, resignation, completion of term, or removal by the Minister or the Governor on grounds of mental or physical incapacity to carry out duties, neglect of duty, or misconduct (reg 7(6) for pre‑2015 appointments; reg 8(6) for post‑2015 appointees/elected members). The regulations explicitly link contravention of confidentiality rules to potential treatment as misconduct for removal purposes (reg 11(3) read with reg 7(6) and reg 8(6)). This is an internal governance sanction rather than a civil penalty provision.

Administrative controls and approvals

• Treasurer approvals as control measures. Multiple activities require Treasurer approval , forming subsidiary companies or acquiring controlling interests, structuring subsidiary company constitutions with conditions, entering indirect or joint operations, lending and commercial borrowings (regs 16-19). The Treasurer may also exempt the subsidiary from the internal audit and audit committee requirements (reg 18(1)-(2)). These approval regimes allow the Treasurer to prevent or condition strategic and financial activity. Non‑compliance with approval requirements would expose actions to being invalid or subject to ministerial/Treasurer directions, and could trigger internal disciplinary consequences for directors.

Reporting and parliamentary scrutiny

• Mandatory reporting and tabling in Parliament. The subsidiary must deliver financial and operational reports within fixed timeframes (reg 22(1), 23(1)). The Minister must table these reports before both Houses within 12 sitting days (regs 22(3), 23(2)). Failure to provide timely reports would place the subsidiary in breach of its statutory duties and expose it to public and parliamentary scrutiny; the regulations do not specify fines or criminal liability for late reporting.

Information requests and handling of records

• Minister/Treasurer requests for information. The subsidiary must furnish records and information within such form and manner as requested by the Minister or Treasurer (reg 20(1)). When records are furnished, the Minister or Treasurer may make and deal with copies as they see fit (reg 20(2)). The board may advise that some material is confidential; the Minister or Treasurer must consider that advice and, if satisfied a duty of confidence exists, ensure its observance subject to proper ministerial performance (reg 20(3)-(4)). Non‑compliance with properly issued requests could lead to administrative consequences, including further directions or failure to secure approvals required for operations.

Judicial and administrative review

• Merits review by SACAT. A person dissatisfied with a subsidiary decision under the regulations may seek review by the South Australian Civil and Administrative Tribunal under section 34 of the South Australian Civil and Administrative Tribunal Act 2013, subject to a 21 day time limit (reg 24). The 2018 variation substituted reg 24 to create this route and included transitional provisions preserving existing proceedings with the District Court if already commenced (Transitional Sch 1). The Tribunal can provide remedies within its statutory powers; the regulations do not appoint criminal sanctions through the Tribunal process.

Disciplinary effect of confidentiality breaches

• Confidentiality contraventions may be treated as misconduct. A breach of reg 11(1) or (2) may be regarded as misconduct for purposes of removal of a member of the board under regs 7(6) or 8(6) (reg 11(3)). This is a direct link between data protection duties and the enforcement mechanism of director removal.

Loan enforcement through repayment mechanics

• Loan repayment obligations ensconced in Schedule 2. If a loan from the South Australian Superannuation Board was used to establish the fund, the subsidiary must comply with the repayment structure in Schedule 2. The terms prescribe interest calculations, annual payment timings, capitalisation in deficit years, and principal repayments linked to net surplus (Schedule 2 cl 1-3). Failure to comply would be a breach of the subsidiary’s statutory obligations and could trigger enforcement by the creditor entity or ministerial intervention; the regulations themselves do not specify criminal penalties for loan default.

No express civil or criminal penalties

• The regulations do not create express fines, imprisonment or civil penalty schemes within their text. Enforcement is therefore exercised through administrative levers: removal of directors, withholding or conditioning of approvals, direction by Treasurer, tabling of reports in Parliament and merits review through SACAT. Practically, consequences for serious breach would therefore be managed through those governance instruments and through any remedies available to third party creditors or courts outside the instrument.

In summary, the enforcement architecture is administrative and governance‑centric. The primary sanctions are removal for misconduct or incapacity, control of financial and corporate activity through Treasurer approvals, reporting and parliamentary exposure, and the availability of merits review by the Tribunal for affected persons who act within the 21 day window.

The regulations place the subsidiary inside an established legal matrix and reference multiple external statutory regimes and public bodies. They are subordinate to the Public Corporations Act 1993 and intersect with Commonwealth family law and South Australian superannuation statutes.

Relationship to the Public Corporations Act 1993

• The subsidiary is created under section 24 of the Public Corporations Act 1993 and these regulations operate as subsidiary regulations under that Act (see heading and reg 5). Regulation 4 specifies which provisions of the Act apply to the Minister including Part 1 (Preliminary), section 24 (Formation), section 25 (Dissolution), and the Schedule provisions applicable to subsidiaries (reg 4(a)-(d)). The regulations must be read in the statutory context of the parent Act and any general provisions applicable to subsidiaries.

Interaction with trust deed and trustee law

• The subsidiary’s trustee duties are exercised under the trust deed and rules of Super SA Select; the regulations require adherence to those instruments and to statutory obligations including the Family Law Act 1975 (reg 13(b), (e)). Confidentiality obligations allow disclosure as required under Part VIIIB of the Family Law Act 1975 (reg 11(1)(e), (2)). The subsidiary’s administration therefore sits at the intersection of trust law duties, the trust deed and specific Commonwealth family law obligations in property splitting contexts.

South Australian public sector statutes and bodies

• The Superannuation Funds Management Corporation of South Australia is given a formal agent role for implementation of the subsidiary’s investment policy statement (reg 14(3)-(4)). That explicitly integrates SFMC operationally into the subsidiary’s investment function. The subsidiary’s interaction with public service administrative units for staff or facilities is governed by reg 10(3), but those staff remain Public Service employees; the subsidiary’s own appointees are not Public Service employees (reg 10(2)). The charter must be prepared by the Minister and Treasurer and tabled in Parliament, engaging parliamentary oversight and legislative processes (reg 15(1), 15(6)-(7)).

Electoral and tribunal law

• Election processes are administered by the Electoral Commissioner under Schedule 1 (Schedule 1 cl 2). That embeds electoral administrative law and established electoral procedures. Decisions of the subsidiary are reviewable under the South Australian Civil and Administrative Tribunal Act 2013, section 34, via reg 24, as substituted in 2018. Transitional provisions in the variation regulations preserve proceedings that had already commenced before the change by reference to the Administrative and Disciplinary Division of the District Court (Transitional Sch 1 cl 1-2). Thus merits review is located squarely within the SACAT statutory framework.

Family Law Act 1975

• The regulations expressly cross‑reference Part VIIIB of the Family Law Act 1975 for the trustee’s obligations to pay or deal with entitlements on family law matters (reg 13(e) and reg 11(2) reference to Part VIIIB). This creates a direct operational obligation for the subsidiary when family law disputes affect superannuation interests.

Financial and treasury law

• Schedule 2 defines interest calculation using the “average daily deposit rate” as issued by Treasury (Schedule 2 cl 2(2)). Repayment of loan principal is tied to “net surplus of the fund” (Schedule 2 cl 3). These stipulations create payment flows that defer to Treasury declarations and definitions; they also embed State financial practice into the subsidiary’s obligations.

Other superannuation statutes

• The regulations refer to the Superannuation Act 1988 and the Southern State Superannuation Act 2009 when specifying eligibility to be elected to the board; a person employed in duties connected with administration of those Acts or Super SA Select is not eligible (reg 8(2)). The term Triple S scheme is defined by reference to the scheme continued by the Southern State Superannuation Act 2009 and is an express exception for confidentiality disclosures (reg 11(5) and definition of Triple S scheme).

Parliamentary and public disclosure obligations

• The charter and annual reports must be tabled in both Houses of Parliament within 12 sitting days of coming into force or receipt respectively (reg 15(7), 22(3), 23(2)). That integrates parliamentary oversight of the subsidiary into standing practice for public corporations and trustees holding public member funds.

Taken together, the regulations do not operate in isolation. They create a statutory trustee embedded within public finance, electoral, family law and superannuation statutory frameworks. Practitioners must read these regulations alongside the Public Corporations Act 1993, the trust deed of Super SA Select, the South Australian Civil and Administrative Tribunal Act 2013, the Family Law Act 1975 and any relevant South Australian superannuation Acts to fully map legal obligations and rights.

The legislative history attached to the regulations lists several amendments and variations across 2013, 2016 and 2018, each changing specific clauses and adding transitional measures. The summary below records what the source reports and the apparent statutory effects.

Principal instrument and commencement

• The Public Corporations (Southern Select Super Corporation) Regulations 2012 were gazetted on 29 November 2012 and commenced on 1 December 2012 (Gazette 29.11.2012 p5247; commencement r 2 indicates 1.12.2012).

2013 variation (No 295)

• The 2013 variation (Gazette 19.12.2013) is recorded as varying r 11 (confidentiality) by r 4(1) and inserting r 11(5) by r 4(2). It also inserted Part 3 Division 4 (review) by r 5, creating reg 24 and associated review rights. The effect in the text is to expand confidentiality exceptions and to create a mechanism for review of decisions; the precise wording of the 2013 variation is reflected in the current reg 11 and the insertion of reg 24 in the instrument.

2016 variation (No 52)

• The 2016 variation (Gazette 16.6.2016) varied r 8(2) and inserted r 8(2a). It also inserted Schedule 1 cl 9(3) (ballot papers) by r 5. These changes relate to eligibility requirements for elected board members and election procedural detail. The current reg 8(2) contains an eligibility exclusion for persons employed in duties connected with the administration of certain superannuation Acts, and r 8(2a) provides for appointment by the Governor if an election fails, indicating the 2016 variation added an administrative backstop to elections and refined eligibility.

2018 variation (No 178)

• The 2018 variation (Gazette 28.6.2018; commencement 5.7.2018: r 2) is titled the Public Corporations (Southern Select Super Corporation) (SACAT) Variation Regulations 2018. This variation substituted reg 24 (as recorded) to direct review of decisions to the South Australian Civil and Administrative Tribunal, and included transitional provisions (Transitional Sch 1) to ensure existing rights of appeal to the Administrative and Disciplinary Division of the District Court are exercised as if the substituted reg 24 had been in place, so that proceedings could be commenced before the Tribunal rather than the District Court. Transitional provisions preserved proceedings already commenced in the District Court (Transitional Sch 1 cl 1-3). The legislative history records r 24 substituted by 178/2018 r 5, and the transitional schedule is reproduced in the regulations.

Legislative History Table

• The legislative history lists principal regulations and variations in bold with commencement dates:
  • 2012, No 240 , principal instrument, commencement 1.12.2012.
  • 2013, No 295 , variation, commencement 19.12.2013.
  • 2016, No 52 , variation, commencement 16.6.2016.
  • 2018, No 178 , variation, commencement 5.7.2018.

Provisions varied and particulars

• R 2 was omitted under the Legislation Revision and Publication Act 2002 (19.12.2013).
• Reg 8(2) was varied by 52/2016 r 4(1), (2) effective 16.6.2016.
• Reg 8(2a) was inserted by 52/2016 r 4(3) effective 16.6.2016.
• Reg 11 was varied by 295/2013 r 4(1) effective 19.12.2013 and further varied by 178/2018 r 4 effective 5.7.2018.
• Reg 11(5) was inserted by 295/2013 r 4(2) effective 19.12.2013.
• Part 3 Division 4 (reg 24) was inserted by 295/2013 r 5 effective 19.12.2013 and subsequently substituted by 178/2018 r 5 effective 5.7.2018.
• Schedule 1 cl 9(3) was inserted by 52/2016 r 5 effective 16.6.2016.

Transitional arrangements

• The 2018 SACAT variation includes specific transitional provisions (Transitional Sch 1) to ensure that rights of appeal that existed prior to the relevant day may be exercised before the Tribunal rather than the District Court, and that ongoing District Court proceedings are preserved (Transitional Sch 1 cl 1-3). The effect is a seamless transfer of forum for new challenges while protecting existing litigation.

Practical effect of amendments

• The central operational changes effected by the amendments are: an expansion and clarification of confidentiality exceptions and their enforcement consequences (2013 and later variations), refinement of electoral eligibility and a fallback appointment process where elections fail (2016), and relocation of review jurisdiction from the District Court to SACAT with transitional protection for existing cases (2018). The variations also show a pattern of tightening governance procedures and ensuring that administrative remedies and oversight are located within contemporary administrative law institutions.

The legislative history signals evolving administrative detail rather than wholesale structural change; practitioners should review the version history and the specific variation instruments cited in the legislative history if precise historical wording or transitional obligations are relevant to a matter under consideration.

The source provides no court or tribunal decisions arising under these regulations. The only material in the regulations’ legislative history that touches on litigation is the 2018 variation which substituted the review mechanism and provided transitional provisions for ongoing proceedings.

Review forum transition

• The 2018 SACAT Variation Regulations substituted regulation 24 so that review of decisions of the subsidiary is to be brought to the South Australian Civil and Administrative Tribunal under section 34 of the South Australian Civil and Administrative Tribunal Act 2013, with an application required within 21 days (reg 24(1)-(2)). The associated Transitional Schedule 1 states that a right of appeal under the former regulation 24 to the Administrative and Disciplinary Division of the District Court in existence before the relevant day, but not exercised before that day, will be exercised as if the substituted reg 24 had been in operation before the right arose, so proceedings may instead be commenced before the Tribunal (Transitional Sch 1 cl 1). It preserved any proceedings already before the District Court prior to the relevant day (Transitional Sch 1 cl 2). This is the only explicit litigation‑related material in the legislative record contained in the source.

No reported decisions in instrument

• The regulations themselves do not cite any case law, and the legislative history does not list any litigation outcomes. There is therefore no case law named in the text to trace precedent on interpretation, enforcement, or appeals under the regulations. Practitioners seeking litigation history will need to consult case databases and tribunal records external to this instrument.

Implications for dispute resolution practice

• Because the regulations now locate merits review in SACAT, any dispute about a subsidiary decision under the regulations is to be filed in SACAT within 21 days (reg 24). The change in forum likely changes procedural rules, remedies and costs regimes compared to the former District Court jurisdiction. The transitional provisions protect existing actions that had already been commenced in the District Court. This relocation means practitioners must follow SACAT practice directions and timeframes rather than District Court civil procedure for new matters, and assess the availability of interim or interlocutory relief under SACAT rules.

Absence of direct enforcement litigation references

• The regulations do not supply any recorded litigation outcomes, statutory interpretation decisions or precedent. Any litigation involving confidentiality breaches, removal for misconduct, disputes about investment policy implementation by SFMC, loan repayment disputes under Schedule 2, or procurement and contractual disputes would have to be researched outside the instrument. For matters with potential court or tribunal impact, the applicable external statutes and common law will be determinative and should be examined alongside Tribunal and court records.

In short, the instrument contains procedural and jurisdictional instructions for challenge but provides no internal litigation history. The key litigation‑related change documented is the shift of review jurisdiction to SACAT and the transitional protection for ongoing District Court proceedings.

The regulations are prescriptive in many areas but leave specific operational questions and potential traps for compliance that practitioners must note. The following are concrete implementation or interpretive risks that arise from the text, together with the specific provisions where the risk originates.

Timing and cut‑offs for member elections

• Voter eligibility is determined against a narrow temporal cut‑off: a person who was a member of Super SA Select on the last business day before the 7 day period immediately preceding the day on which notice was published under Schedule 1 cl 3 is eligible to vote (Schedule 1 cl 4(1)). That is a layered cut‑off that can trip administrators; the subsidiary must compile and provide the eligible voter list to the Electoral Commissioner within 7 days after notice is published (Schedule 1 cl 4(2)). Mistiming the notice or the voter list can disenfranchise members or create a challenge to the election.

Backup appointment if an election fails

• If an election fails, reg 8(2a) allows the Governor to appoint a Minister‑nominated person to the vacant position, and the appointee is taken to have been "appointed after due election" under reg 8(1)(b). This creates potential governance ambiguity about representative legitimacy where elections fail. Administrators should be aware that the instrument contemplates an appointment remedy and that Ministerial nominations can fill an elected seat, which has political and governance consequences.

Definition and operation of "net surplus"

• Schedule 2 ties interest capitalisation and principal repayments to the "net surplus of the fund" for a financial year (Schedule 2 cl 2(3)-(4) and cl 3). The regulations do not explicitly define "net surplus" in the instrument. Practitioners will need to rely on the trust deed, accounting standards and relevant public finance definitions to determine net surplus, and ensure consistent treatment for interest calculation and principal repayments. Absent a precise statutory definition in the regulations, disagreement about the calculation base could trigger dispute.

Interest calculation reference to Treasury rate

• Interest is calculated by reference to the average daily deposit rate "issued by the Treasury" on a quarterly basis (Schedule 2 cl 2(2)). This makes the subsidiary’s interest burden state dependent. Practitioners must ensure they use the correct Treasury source and version of the rate for each quarter. Failure to use the officially issued figure could result in an incorrect interest calculation.

Confidentiality exceptions and interplay with family law

• Confidentiality is broadly required but expressly subject to numerous exceptions including as required by Part VIIIB of the Family Law Act 1975 (reg 11(1), (2)). Because family law claims can require disclosure of superannuation interests, the subsidiary must have protocols to process such requests while respecting other confidentiality duties and rules under the trust deed. Contraventions may be regarded as misconduct under removal grounds (reg 11(3)), so errors in disclosure decisions carry career risks for board members and staff.

Conferring the investment implementation role on SFMC

• The subsidiary must consult SFMC on risk/return objectives and asset allocation and SFMC is to implement the subsidiary’s investment policy statement as agent (reg 14(3)-(4)). The regulation creates an obligation to use SFMC as the formal implementing agent, which affects operational arrangements and contracts. The regulations do not state whether SFMC may subdelegate or engage third parties; a practical consequence is that documentation is required to record the agency relationship and any subdelegation. Failure to document or clarify delegation could expose the subsidiary to gaps in control and legal risk if SFMC actions are disputed.

Treasurer approvals can be broad and impose conditions

• The Treasurer may require the subsidiary to include limitations in a subsidiary company’s constitution or otherwise impose controls as a condition of approval (reg 16(2)). Approvals can therefore come with onerous conditions and may delay or change transaction economics. Plan for lead time, conditioning and possible directions when seeking Treasurer approvals for subsidiaries, share acquisitions, joint ventures or commercial borrowings (regs 16-19).

Election administration details

• Schedule 1 prescribes detailed ballot rules including preferential numbering, what constitutes a "tick" or "cross" and rules on duplicate or late ballot papers (Schedule 1 cl 9-10). The Electoral Commissioner determines the order of names by lot (Schedule 1 cl 7(2)), can decide scrutineer presence and must publish declarations (Schedule 1 cl 11-13). Errors in ballot printing, distribution, or counting could invalidate elections. The Electoral Commissioner’s role is central; ensure coordination and adherence to the published timetable (Schedule 1 cl 3).

Board quorum, meeting and decision‑making flexibilities

• The board may act despite vacancies but requires three members for a quorum (reg 9(2)-(3)). A conference by telephone or electronic means counts as a meeting given notice requirements (reg 9(5)). A proposed resolution may be passed outside a meeting by written concurrence of a majority in specified forms (reg 9(6)). These flexibilities speed decision‑making but also open the possibility of procedural challenges if notice or communication requirements are not strictly followed. Keep strict minute records as required (reg 9(8)).

Staffing status and use of public service resources

• Staff appointed by the subsidiary are explicitly not Public Service employees (reg 10(2)). However the subsidiary may use public service staff or facilities with approval from the relevant Minister (reg 10(3)). This creates a hybrid staffing model that implicates employment, industrial and procurement rules. Clarify employment contracts, industrial coverage and indemnities when using public service resources.

No express civil penalties within the text

• The regulations do not provide monetary penalties or express civil penalty provisions for breaches; enforcement is administrative. Practitioners should not assume criminal or penalty frameworks apply under the instrument itself and must look to other statutes or contractual remedies if recovery or compensation is sought.

Laying of charter and amendments before Parliament

• The charter and its amendments come into force on a day specified in the charter but must be laid before both Houses within 12 sitting days after coming into force (reg 15(6)-(7)). The timing between coming into force and tabling could be very short; ensure coordination with parliamentary sitting calendars to avoid inadvertent noncompliance.

Review time limit

• The 21 day time limit for SACAT review is short (reg 24(2)) and is a strict bar to later review. Affected persons should act quickly once a decision is made. The transition of review forum to SACAT further changes procedural expectations and remedies.

Each of these points arises from the regulations themselves. Implementing bodies and advisors must prepare procedures, calendars and documentation to manage these nuanced operational and legal constraints.

Compliance under these regulations requires establishing protocols across governance, investment, reporting, confidentiality, elections and approvals. The actions below translate statutory duties into concrete compliance items and timeframes grounded in the regulations.

Governance and board compliance

• Constitution and appointments. Ensure board composition complies with the temporal rules. If operating prior to 1 December 2015, the Minister appoints five members (reg 7). From 1 December 2015 operate under the mixed model: one presiding member appointed by the Governor, two elected by members per Schedule 1, and two appointed by Governor on the Minister’s nomination (reg 8(1)). Maintain records of appointment instruments and deputy appointments (reg 7(3), reg 8(3)). Monitor term expiries and fill casual vacancies as described (regs 7(4)-(5); 8(4)-(5)).
• Quorum and meeting procedures. Implement meeting protocols to ensure a quorum of three members (reg 9(3)). Publish notice methods for electronic conferences and maintain minute‑taking procedures (reg 9(5)-(8)). Adopt written concurrence procedures for out‑of‑meeting decisions and document majority concurrence as required (reg 9(6)).
• Seal and execution authorities. Maintain a register of instruments authorising persons to execute documents under the common seal and ensure the common seal is only affixed per a board decision and attested by two directors (reg 21(1)-(4)).
• Removal and misconduct processes. Adopt internal codes of conduct and confidentiality procedures so that breaches are identified, investigated, and, if necessary, actioned under the removal provisions (regs 7(6), 8(6), 11(3)). Document processes to permit Minister or Governor action where grounded in incapacity, neglect, or misconduct.

Investment and fund management

• Investment policy statement. Prepare and document an investment policy statement that sets risk/return objectives and asset allocation policies (reg 14(2)). Ensure consultation records with SFMC are maintained as required (reg 14(3)).
• Implementation via SFMC. Execute an agency agreement or written memorandum with SFMC that clarifies the implementation role, operational workflows, reporting lines, subdelegation powers, fee arrangements and liability allocation, consistent with reg 14(4) that SFMC implements the policy as agent. Maintain evidence of SFMC implementing board‑approved policies.
• Investment governance. Coordinate the audit committee’s review of investment risk and ensure audit committee composition rules are met, remembering that the chief executive cannot be a member of the audit committee (reg 18(3)-(4)).

Audit, internal control and Treasury approvals

• Internal audit and audit committee. Unless exempted by the Treasurer, establish an internal audit function and an audit committee that meets the requirements in reg 18(1)-(4). Document charters, terms of reference, meeting minutes and follow up on audit recommendations.
• Approvals for structural and transactional actions. Before forming subsidiary companies, acquiring relevant interests or entering joint ventures, seek Treasurer approval as required by regs 16-17. For lending or commercial borrowings, obtain prior written approval from the Treasurer (reg 19). Maintain application records and be prepared to accept conditions imposed under reg 16(2).
• Treasury rate usage. For any Schedule 2 interest calculations, use the average daily deposit rate issued by Treasury for the relevant quarter and retain documentary evidence of the rate used (Schedule 2 cl 2(2)). Prepare reconciliation processes for interest capitalisation where the fund lacks a net surplus.

Reporting, records and parliamentary obligations

• Reports and timetable. Prepare and deliver the report on Southern Select Super within four months of the end of each financial year and the annual report on the subsidiary within three months (regs 22(1), 23(1)). Arrange for the Minister to table reports before both Houses within 12 sitting days of receipt (regs 22(3), 23(2)). Build a compliance calendar with alerts tied to financial year end and sitting days.
• Record retention. Keep full minutes of board proceedings (reg 9(8)), audit committee minutes, copies of the investment policy statement and SFMC implementation records, and copies of documents furnished to the Minister or Treasurer (reg 20(2)). Where records are furnished to Ministers or Treasurer, flag items considered confidential and provide reasons, and track ministerial or treasurer responses under reg 20(3)-(4).

Confidentiality, family law obligations and disclosures

• Confidentiality policies. Draft and implement data protection and disclosure policies to comply with reg 11. Include decision trees for permitted disclosures: statutory obligations, consents, employer disclosures, Triple S scheme administration, court orders, and trust deed allowances (reg 11(1)(a)-(f); definition of Triple S scheme). Record consents and court orders as documentary proof of permitted disclosure.
• Family law matters. Establish procedures to identify Part VIIIB Family Law Act requests and handle them promptly and lawfully while preserving other confidentiality obligations (reg 11(2); reg 13(e)).

Elections and member engagement

• Election timetable. For member elections, coordinate with the Electoral Commissioner to publish the timetable in a statewide daily newspaper at least 14 days before nomination close, specify ballot distribution and return dates and fix return windows in line with Schedule 1 cl 3(1)-(2). Provide the Electoral Commissioner with a voter list within 7 days of the notice (Schedule 1 cl 4(2)).
• Nomination and ballot materials. Prepare candidate material limits in accordance with Schedule 1 cl 8, ensure nominations meet the requirement of at least three voter signatures and are delivered by the hour of nomination (Schedule 1 cl 5). Cooperate with the Electoral Commissioner on ballot paper printing, watermarks or initialling and postal distribution options (Schedule 1 cl 7).
• Voting logistics and counting. Implement postal or workplace distribution processes and ensure return envelopes, signature requirements and preferential voting rules are communicated clearly to voters (Schedule 1 cl 7-9, 11). Ensure safeguards to avoid duplicate ballots and late returns and maintain chain of custody for ballots.

Information requests and ministerial interactions

• Respond to information requests. When the Minister or Treasurer requests records, respond in writing and in the form required, and notify the other officer of the request as required by reg 20(5). If asserting confidentiality, provide written reasons under reg 20(3) and track ministerial or Treasurer determinations to ensure observance under reg 20(4).
• Charter consultation and reviews. Engage proactively with the Minister and Treasurer during preparation of the subsidiary charter and schedule annual reviews of the charter after consultation with the subsidiary as required by reg 15(1), (4). Ensure charter changes are laid before Parliament within 12 sitting days of coming into force (reg 15(6)-(7)).

Loan servicing and accounting

• Loan repayment mechanics. If a loan exists, calculate interest quarterly using the Treasury rate and ensure annual payment of interest on or before 31 July if the fund has a net surplus; otherwise capitalise interest into principal as permitted (Schedule 2 cl 2). Calculate the principal repayment minimum of 20% of the net surplus each financial year and verify the administrative fee test that can exempt repayment where member admin fees do not exceed administration costs (Schedule 2 cl 3). Document accounting policies used to calculate “net surplus”.
• Accounting standards and financial statements. Prepare financial statements that provide a true and fair view of receipts and payments relating to members and the subsidiary, and present them to the audit committee and board for review as required by reg 18(4)(a).

Legal and contract documentation

• Agency and delegation documentation. Draft and maintain formal agency agreements with SFMC and any subdelegation or outsourcing agreements to ensure clarity of authority, liabilities and reporting lines, consistent with reg 14(4). Keep instrumental authorisations for document execution under the common seal (reg 21(2)-(3)).
• Contracts and Treasurer conditions. Where Treasurer approvals are granted for subsidiaries or borrowings, ensure those approvals are obtained in writing, all conditions are documented and consents are tracked. Include mechanisms to secure modification where conditions are performance contingent.

Dispute and review readiness

• Merits review timeframe. Implement a system to identify decisions subject to challenge and alert legal counsel immediately upon notification of a decision, because the right to apply to SACAT is time barred at 21 days (reg 24(2)). Prepare for SACAT procedural requirements and preserve evidence and administrative records to support decisions.

Practical operational checklist

1. Establish compliance calendar for report filings, charter review, election timelines and audit committee meetings. (Regs 15, 18, 22, 23; Schedule 1 cl 3.)
2. Draft and adopt formal investment policy statement, consult SFMC and execute agency implementation agreement. (Reg 14.)
3. Create confidentiality policy with disclosure decision templates tied to reg 11 exceptions and family law obligations. (Reg 11.)
4. Establish internal audit and audit committee terms of reference unless Treasurer exemption is sought. (Reg 18.)
5. Prepare processes for Treasurer approval applications for corporate activities, lending and borrowing. (Regs 16-19.)
6. Coordinate election administration with Electoral Commissioner, compile voter lists and nomination forms. (Schedule 1.)
7. Document seal use and execution authorisations; maintain minute books. (Reg 21; reg 9(8).)
8. If loan exists, document interest and principal calculation methods and ensure accounting treatments for capitalised interest and net surplus calculation. (Schedule 2.)
9. Build record retention for information provided to Minister/Treasurer and notifications of confidentiality claims. (Reg 20.)
10. Maintain legal readiness for SACAT review and ensure 21 day windows are monitored. (Reg 24.)

Following these steps and building internal checklists and sign‑offs aligned to the cited regulations will materially reduce compliance risk and position the subsidiary to meet its statutory duties.
