Public Corporations (International Koala Centre of Excellence) Regulations 2018

These regulations establish the International Koala Centre of Excellence (IKCE) as a statutory subsidiary of the Minister for Environment and Water under the Public Corporations Act 1993 (regulation 5(1); application of the Act to the Minister is set out in regulation 4). IKCE is a body corporate with perpetual succession, a common seal and the capacity to sue and be sued in its corporate name (regulation 5(2)). The instrument creates an appointed board of directors as IKCE's governing body and sets out detailed requirements for composition, appointment, terms, meetings and decision-making (regs 6, 7, 8, 9, 11). The Minister controls key governance levers: appointments (reg 7(1)), removal (reg 8(3)(f)), the requirement that IKCE obtain Ministerial approval before making material policy or budget changes (reg 14(2)), the power to prepare and amend IKCE's charter and performance statement and to lay those documents before Parliament (regs 15, 16).

Mechanically the regulations also create an associated Gift Fund for deductible donations, set rules for its administration and restrict how those funds may be used (regs 19-22). Financial controls and reporting obligations are imposed: IKCE must maintain internal audit practices, report quarterly to the Minister on its financial position, obtain Treasurer approval before lending money or undertaking commercial borrowings and deliver an annual report within three months of financial year end (regs 23-25, 28). The regulations circumscribe IKCE’s ability to expand commercially without Ministerial approval by requiring approval before forming subsidiaries, entering joint ventures or establishing trusts or profit‑sharing schemes (regs 17-18). They also set processes for exercising IKCE’s common seal and executing documents (reg 27) and for providing requested information to the Minister, with limited confidentiality protections (reg 26; see also reg 11(9)-(11), reg 13).

The stated purpose is environmental: reg 14(1) defines IKCE as an environmental organisation whose principal purpose is research into, and education on, the biology, management and conservation of koalas, together with a list of ancillary functions such as research leadership, intellectual property management and fundraising (reg 14(1)(a)-(l)). The regulations therefore create an institutional vehicle combining public appointment and oversight with a segregated gift fund holding deductible donations intended to support that principal purpose (regs 19-22). They allocate decision rights and reporting lines principally to the Minister and Treasurer, impose internal compliance requirements on the board, and constrain the use of Gift Fund assets to the specified principal purpose (regs 10, 14(2), 19-21).

The instrument rests on a small set of legal and organisational building blocks.

• Subsidiary status and statutory parent. IKCE is a statutory subsidiary of the Minister under section 24 of the Public Corporations Act 1993 as applied by regulation 4 and formally established by regulation 5. Its legal personality, perpetual succession and corporate attributes are set out in regulation 5(2).

• Governing board. The board is the primary governing body (reg 6). The Minister appoints up to seven directors, including one who must be employed in the Public Service administrative unit assisting the Minister in administering the National Parks and Wildlife Act 1972 (reg 7(1)(a)). The remaining members are appointed for qualifications or experience the Minister considers necessary (reg 7(1)(b)). At least three directors must be "responsible persons" as defined in reg 7(2), that is, persons with public recognition through public functions or membership of a professional body with codes of conduct, or formal recognition by an Australian Government for services to the community (reg 7(2)(a)-(b). One director chairs meetings and the Minister may appoint a deputy chair and deputies for absent members (reg 7(3)-(4), (6)).

• Principal purpose and functions. Regulation 14(1) is the substantive mission clause. IKCE is an environmental organisation whose principal purpose is research, information and education on koalas, with listed functions that include research leadership, fundraising facilitation, establishing the Gift Fund, education, policy leadership, collaboration, intellectual property management and ministerially conferred functions (reg 14(1)(a)-(l)). IKCE must obtain Ministerial approval before materially changing policy direction or budget (reg 14(2)).

• Charter and performance statement. The Minister prepares a charter and a performance statement in consultation with IKCE; the charter covers the scope of operations, reporting obligations, financial statement form, accounting and audit systems and acquisition or disposal of capital or assets (reg 15(1)-(3), (2)(a)-(e)). The charter is binding on IKCE once in force and must be reviewed annually (reg 15(4)-(6)). The performance statement sets performance targets for a specified period and is reviewed and may be amended by the Minister after consultation (reg 16).

• Gift Fund and deductible gift recipient status. IKCE must establish the International Koala Centre of Excellence Gift Fund to hold gifts for IKCE's principal purpose (reg 19(1)). A Gift Fund management committee of at least three directors, a majority of whom must be responsible persons, manages the Fund (reg 19(2)). Gift Fund assets must be applied solely towards the principal purpose and cannot be distributed to directors or to the Crown (reg 20(1)-(2)). IKCE must also comply with Commonwealth requirements for deductible gift recipient status and provide required information (reg 22).

Directly affected parties are defined and described within the regulations.

• The Minister for Environment and Water. The Minister is the statutory parent of IKCE (reg 5(1)), appoints the board and individual directors (reg 7(1)), prepares and amends the charter and performance statement (regs 15, 16), receives reports and information from IKCE and lays documents before Parliament (regs 15(7), 26, 28). The Minister also may direct the inclusion of conditions in subsidiary companies by way of memorandum or articles of association as a condition of approval (reg 17(2)).

• IKCE board members and deputies. Directors are appointed by the Minister for up to three years per term and may be reappointed subject to a maximum of six consecutive years (reg 8(1)-(2)). At least three directors must meet the “responsible person” criteria (reg 7(2)). Directors may be removed by the Minister (reg 8(3)(f)). Directors receive remuneration, allowances and expenses paid from IKCE funds other than the Gift Fund (reg 10). Directors must observe meeting procedures, maintain minutes and ensure compliance with the charter and reporting obligations (reg 11).

• IKCE staff and authorised agents. IKCE may appoint staff with Ministerial approval and make use of public service staff, facilities and services by arrangement (reg 12). The board may authorise specified employees or other persons to execute documents on IKCE’s behalf (reg 27(2)-(3)).

• Donors and the public. Donors who wish to make tax deductible gifts under the Commonwealth Income Tax Assessment Act 1997 will interact with the Gift Fund created by reg 19. Gift Fund assets are restricted to IKCE’s principal purpose and donors must be assured that contributions will be used only for that purpose (regs 19-22).

• The Crown and public funds. The regulations explicitly prevent distribution of Gift Fund assets to the Crown (reg 20(2)) and specify transfer of surplus Gift Fund assets to a public fund listed on the Register of Environmental Organisations under the Income Tax Assessment Act 1997 in certain winding up circumstances (reg 21).

• The Treasurer and Commonwealth bodies. The Treasurer must approve loans and borrowings (reg 25). IKCE is required to comply with Commonwealth ministerial rules and departmental requirements that relate to deductible gift recipient status, including providing information on changes to names or Gift Fund membership and statistical gift information (reg 22). These obligations create a reporting interface with Commonwealth administrative structures.

The regulations allocate explicit duties, rights and procedural entitlements to IKCE, its board, the Minister and other actors.

Duties imposed on IKCE and the board

• Carry out principal purpose and listed functions. IKCE's core statutory duty is to pursue the principal purpose defined in regulation 14(1): research, information and education on koalas and related functions including fundraising facilitation, leadership in management strategies and intellectual property management (reg 14(1)(a)-(l)).

• Obtain Ministerial approval for material changes. IKCE must seek the Minister’s approval before making material changes to policy direction or budget (reg 14(2)).

• Establish and manage Gift Fund. IKCE must establish the Gift Fund and a management committee of at least three directors (majority responsible persons) to administer it, and must ensure Gift Fund assets are applied solely toward IKCE’s principal purpose (regs 19-20).

• Internal audit and reporting. IKCE must establish and maintain effective internal auditing (reg 23), report quarterly to the Minister on financial position (reg 24) and furnish any information or records requested by the Minister in the manner required (reg 26(1)).

• Financial approvals. IKCE must not lend money, securities or property to any person or undertake commercial borrowings without prior written approval of the Treasurer (reg 25(1)-(2)).

• Minutes and meeting procedures. The board must keep accurate minutes (reg 11(8)) and may determine its own procedures subject to the regulations (reg 11(12)). The quorum rule requires a majority presence including the chair or deputy (reg 11(1)).

• Execution and seal. The common seal must be affixed pursuant to a board decision and attested by two directors (reg 27(1)). Documents may be executed under authority conferred by the board (reg 27(2)-(4)).

Rights and entitlements

• Remuneration. Directors are entitled to remuneration, allowances and expenses payable from IKCE funds other than the Gift Fund, as determined by the Minister (reg 10).

• Directors’ reporting protection. A director does not breach duty by reporting IKCE matters to the Minister (reg 13(2)). IKCE must notify a third party if it discloses confidential matters to the Minister (reg 13(1)).

The regulations do not set out express monetary fines, criminal sanctions or administrative penalties within their text. Enforcement and compliance rely on a combination of Ministerial controls, approval requirements, reporting obligations and disqualification events for directors. The instrument therefore uses administrative levers rather than specified statutory penalties inside the regulations.

Mechanisms for enforcement and compliance in the regulations

• Appointment and removal power. The Minister may remove a director by written notice (reg 8(3)(f)). Removal power is a principal enforcement device for director conduct or non‑performance.

• Disqualification for specific events. A director's office becomes vacant if the director becomes bankrupt, applies for relief under insolvent debtor laws, is convicted of an indictable offence or sentenced to imprisonment (reg 8(3)(d)-(e)). These are automatic vacancy triggers rather than discretionary penalties.

• Ministerial control over approvals. IKCE must obtain Ministerial approval for material policy or budget changes, the formation of subsidiaries and arrangements that create subsidiaries, and for participation in trusts, partnerships and joint ventures (regs 14(2), 17-18). Non‑compliance with these prohibitions would expose IKCE to administrative consequence through the Minister’s supervisory role, including directions or statutory intervention powers under the Public Corporations Act 1993 as applied by regulation 4 (reg 4 lists Parts of the Act that apply).

• Treasurer approval for loans and borrowings. IKCE must obtain the Treasurer’s written approval before lending money or undertaking commercial borrowings (reg 25). Acting without approval would place IKCE in breach of its regulatory obligations and may trigger Ministerial or Treasurer action, although the regulations do not specify automatic sanctions.

• Reporting and information requisitioning. The Minister may require IKCE to furnish records and information in such form as the Minister requires (reg 26(1)). The Minister may retain and deal with copies of records (reg 26(2)). Failure to comply would be an actionable breach of the statutory reporting regime.

• Parliamentary oversight. The requirement that the Minister lay the charter, amendments and IKCE’s annual report before both Houses (regs 15(7), 28(2)) creates a parliamentary scrutiny mechanism that can lead to political or administrative consequences for non‑compliance.

The regulations explicitly tie IKCE to both the South Australian Public Corporations Act 1993 and the Commonwealth Income Tax Assessment Act 1997, and create administrative interfaces with other governmental processes.

Interaction with the Public Corporations Act 1993

• The regulations are made under the Public Corporations Act 1993, and regulation 4 expressly applies specified provisions of that Act to the Minister. The provisions listed are Part 1 (Preliminary), section 24 (Formation of subsidiary by regulation), section 25 (Dissolution of subsidiary established by regulation) and the Schedule (Provisions applicable to subsidiaries) (reg 4). Those provisions of the parent Act provide the statutory framework by reference, so certain powers or duties in the Act will operate in relation to IKCE in conjunction with these regulations.

• Because the regulations are a subordinate instrument under the Act, the Minister’s powers and obligations under regs 15 and 16 to prepare and review charters and performance statements sit within the scheme established by the Public Corporations Act 1993, which governs the treatment of subsidiaries generally. The regulations do not reproduce all provisions of the Act, only those expressly applied in reg 4; any other relevant provisions of the Act would apply only if provided for by the Act itself.

Interaction with Commonwealth taxation and DGR rules

• The Gift Fund is designed for deductible gifts under the Commonwealth Income Tax Assessment Act 1997. Regulation 21 refers directly to IKCE’s deductible gift recipient status under that Commonwealth Act and prescribes transfer of surplus Gift Fund assets to a public fund listed on the Register of Environmental Organisations in specific wind up scenarios (reg 21).

• Regulation 22 obliges IKCE to comply with Commonwealth requirements relating to DGR status and the administration of the Gift Fund, including ministerial rules or departmental requirements and statistical reporting within 4 months after the end of the financial year (reg 22(c)). The regulation refers to the Guidelines to the Register of Environmental Organisations under the Income Tax Assessment Act 1997 and anticipates model rules for public funds. IKCE’s compliance with Commonwealth DGR rules is therefore a condition precedent to donors receiving tax deductibility and to IKCE retaining that status.

Interaction with public service and other South Australian legislation

The legislative history provided in the instrument is concise. These regulations are identified as the Public Corporations (International Koala Centre of Excellence) Regulations 2018. The principal regulations were made in 2018, Gazette No. 234, published 29 November 2018, referenced at p 4104 with commencement on 29 November 2018 under regulation 2. The text contains a "Legislative history" note which points the reader to the Index of South Australian Statutes or the South Australian legislation website for further information (end note).

What the text shows concretely

• The regulations commence on the day they are made (reg 2). The Legislative history reproduces the making date and commencement date as 29.11.2018.

• No subsequent amending instruments are listed in the document supplied. The "Legislative history" heading is present but contains no amendment entries beyond the principal regulations entry.

Implications for users and for research

• Practitioners should treat these regulations as originally enacted on 29 November 2018 and verify whether any later instruments have amended them by consulting the Index of South Australian Statutes or the legislation.sa.gov.au website as suggested in the note. The regulations themselves require Ministerial amendments to the charter (reg 15(5)) and the Minister must lay the charter or any amendments before both Houses (reg 15(7)); these are internal amendments to the charter rather than to the statutory instrument.

• Because the regulations rely on the parent Public Corporations Act 1993 (see reg 4), any amendments to that Act which affect subsidiaries or the administered provisions applied under reg 4 could change the statutory environment in which IKCE operates. The regulations do not list such interactions in the Legislative history, so readers should check for subsequent changes to the Act.

• The absence of an internal amendment history in the supplied text does not preclude later regulatory changes. Users should confirm the current form of the regulations and any consequential amendments by consulting the official consolidated version on the South Australian legislation website.

The regulations as provided do not reference any judicial decisions, tribunal determinations or litigation relating to IKCE or these regulations. There are no cases or dispute outcomes named in the text.

What practitioners should do

• Because the instrument anticipates Ministerial directions, removal powers and approval requirements (regs 7, 8, 14, 17-18, 25), disputes about compliance, ministerial decisions or board appointments could, in theory, give rise to administrative law litigation under general principles of public law (judicial review) or contractual disputes with third parties. The regulations themselves contain no internal dispute resolution or adjudicative provisions.

• For any actual or potential litigation, counsel should trace which provisions of the Public Corporations Act 1993 apply to the Minister under reg 4 and whether those provisions confer additional procedural rights, oversight mechanisms or reviewable decision making. The regulations require substantial engagement with Ministerial discretion; any challenge to a ministerial act would typically follow administrative law channels rather than be governed by the regulations themselves.

• The instrument’s ties to Commonwealth DGR rules may invite tax administrative review if DGR status is questioned. The regulations anticipate transfer of Gift Fund assets if DGR status ceases (reg 21). Litigation concerning DGR status would proceed under Commonwealth tax law, not under these regulations.

In short, the supplied text contains no litigation history. Any litigation arising from the operations of IKCE would need to be researched in court or tribunal records and would likely involve review of Ministerial powers contained in the parent Act or disputes under Commonwealth tax administration rules.

The regulations contain several specific operational traps and compliance sensitivities that can produce operational or legal risk if overlooked. Below are concrete “gotchas” grounded in the text.

Gift Fund segregation and permitted receipts

• Only gifts for IKCE's principal purpose may be paid or credited into the Gift Fund. Regulation 20(3) forbids receiving into the Gift Fund “money or property that is not of a kind referred to in regulation 19(1)”. The Gift Fund must be used solely toward the principal purpose and cannot distribute to a director or to the Crown (reg 20(1)-(2)). Practically, this prohibits channelling operational revenue, service fees or unrelated funding into the Gift Fund; doing so risks breaching reg 20(3) and threatens DGR status.

Director remuneration funding source

• Regulation 10 expressly provides that directors are entitled to remuneration, allowances and expenses payable from IKCE funds other than the Gift Fund. That is, the Gift Fund cannot be used to pay directors. Organisations that fail to maintain this separation risk improper application of donated funds and possible contravention of reg 20.

DGR compliance is a state-commonwealth coordination point

• IKCE must comply with Commonwealth requirements for DGR status, including ministerial rules and Departmental requirements as to information and model rules for public funds (reg 22). Failure to meet Commonwealth reporting or model rule requirements risks loss of DGR status, triggering the winding up provisions in reg 21 that require transfer of surplus assets to a listed public fund. Practitioners should note the timing: statistical information about gifts must be provided within four months after the end of the financial year to which the gifts relate (reg 22(c)). Missing that reporting window can be material.

Ministerial approvals for strategic and financial decisions

• IKCE must obtain the Minister's approval before making material changes to policy direction or budget (reg 14(2)) and must obtain Ministerial approval to form subsidiaries, acquire certain contingent share interests, or enter joint ventures, trusts or profit‑sharing arrangements (regs 17-18). IKCE must also obtain the Treasurer's written approval before lending or advancing money or undertaking commercial borrowings (reg 25). Failure to secure these approvals in advance could render actions unauthorised and subject IKCE to administrative sanctions, including directions, rejection of contractual obligations or political consequences.

This section sets out concrete compliance steps and a practical checklist tied to specific regulations. It is oriented to board members, chief executives, accountants, compliance officers and departmental administrators.

Governance and board composition

• Appointments. Ensure the Minister appoints up to seven directors and that at least one director is employed in the Public Service administrative unit assisting the Minister with the National Parks and Wildlife Act 1972, as required by reg 7(1)(a). Confirm that at least three directors meet the “responsible person” criteria in reg 7(2) and that the Minister’s instrument of appointment specifies terms not exceeding three years (reg 8(1)).

• Term limits. Implement a director register to track terms and reappointments so that no director serves consecutive terms exceeding six years (reg 8(2)). Schedule succession planning to avoid forced turnover.

• Chair, deputy and deputies. Obtain Ministerial appointment of the chair and any deputy chair and establish deputy arrangements for absent directors per reg 7(3)-(6).

• Remuneration documentation. Seek Ministerial determination of directors’ remuneration and record payments in IKCE operating accounts only, not the Gift Fund (reg 10). Maintain payroll and expense records in line with rules in the charter (reg 15(2)(c)-(d)).

Meetings, minutes and procedures

• Quorum and decision-making. Maintain a standing meeting schedule and ensure quorum as defined in reg 11(1), including presence of the chair or deputy. Adopt procedures for telephone/video conferences and for written resolutions under reg 11(6)-(7). Keep accurate minutes as required by reg 11(8).

• Ministerial attendance. If the Minister authorises a representative to attend meetings, ensure they are provided access to papers but are not permitted to participate (reg 11(9)). Record any instances where the board advises the Minister that matters should be treated as confidential and obtain confirmation of the Minister's decision regarding confidentiality (reg 11(10)-(11)).

Charter and performance statement

• Charter development. Coordinate with the Minister to prepare the charter covering the matters in reg 15(2) and ensure it is reviewed at the end of each financial year (reg 15(4)). Record any charter amendments and ensure the Minister lays the charter or amendment before both Houses within 12 sitting days of coming into force (reg 15(7)).
