Public Corporations (Distribution Lessor Corporation) Regulations 2025

The Regulations rest on a small number of interlocking legal concepts that determine the subsidiary’s institutional shape and operational envelope.

Subsidiary and statutory continuation

• The subsidiary is continued as a statutory body corporate under the Public Corporations Act 1993 by r 5. It has perpetual succession, a common seal, and capacity to sue and be sued (r 5(2)). The statutory basis ties the entity to the Act’s Schedule provisions and to the Treasurer as the responsible minister under the Act (see r 4).

Board governance and ministerial control

• Governance is board-centric, with a board of three directors appointed by the Treasurer (r 7(1)). The Treasurer appoints the chair and may appoint deputies (r 7(2)-(3), 7(5)). Directors are appointed for terms up to three years, eligible for reappointment, and removable by the Treasurer on any ground the Treasurer considers sufficient (r 8(1)-(2)). The Regulations therefore centralise appointment and removal powers in the Treasurer.

Scope of functions and "prescribed assets"

• The subsidiary’s operational remit is narrow and transactional: acting as lessor under leases granted by transfer order or sale/lease agreement made under the Electricity Corporations (Restructuring and Disposal) Act 1999, acting as party to related instruments, operating prescribed assets after expiry or termination of such leases, and holding prescribed assets as owner or lessee (r 13(1)(a)-(d)). The definition of prescribed assets explicitly includes powerlines under the Electricity Act 1996, substations, relevant land, and other distribution network assets (r 13(2)). The subsidiary’s permissible actions are further circumscribed by r 13(1)(e)-(f) (functions conferred by the Treasurer and ancillary actions).

Charter and parliamentary oversight

• The Treasurer prepares a charter that defines operational scope, reporting obligations, accounting and auditing systems, and rules about acquisitions, disposals, borrowing and lending (r 14(1)-(2)). The Treasurer must review the charter annually after consultation with the subsidiary and may amend it at any time after consultation (r 14(4)-(5)). A charter or amendment comes into force on a day specified therein and must be laid before both Houses of Parliament within 12 sitting days of coming into force (r 14(6)-(7)). The charter may limit or regulate functions and powers (r 14(3)(a)).

Financial controls and constraints

• The Treasurer controls the subsidiary’s borrowing, lending, investments and related arrangements. The subsidiary cannot lend without Treasurer approval, cannot borrow without Treasurer authorisation, and must, unless otherwise authorised, deposit or invest only with the Treasurer or SAFA (r 19(1)-(3)). The subsidiary also cannot give guarantees or indemnities for liabilities of its subsidiaries, form subsidiaries, acquire controlling interests in companies, or enter joint ventures, trusts or partnerships without Treasurer approval (rr 15-17). The Treasurer can impose conditions or directions about subsidiary companies’ constitutions to align them with the subsidiary’s controls (r 15(2)).

Audit and accountability structures

• Internal audit and an audit committee are required unless the Treasurer exempts the subsidiary (r 18(1)-(2)). The audit committee must include at least one board member and other persons appointed by the board, but may not include the chief executive (if any) (r 18(3)). Its functions include reviewing annual financial statements, liaising with external auditors and regularly reviewing accounting, internal auditing and financial systems (r 18(4)).

Information, confidentiality and ministerial oversight

• The Treasurer has broad information rights: the subsidiary must furnish information or records on written request (r 20(1)-(2)). A Treasurer’s representative may attend board meetings and access board papers (r 11(9)). The Regulations give the board the ability to advise the Treasurer that a matter should be confidential; if satisfied that a duty of confidence exists, the Treasurer must ensure observance of the duty, subject to necessary ministerial disclosures (rr 11(10)-(11), 20(3)-(4)). Directors are expressly protected from breach of duty for reporting matters to the Treasurer (r 12(2)). The confidentiality provisions create a mechanism where the Treasurer controls the state of disclosure while being required to respect legitimate confidence subject to ministerial duties.

Validation and procedural rules

• Acts of the board are not invalidated solely due to vacancies or appointment defects (r 9). The board sets its own procedures subject to the Regulations (r 11(12)). Meeting rules include a quorum of two directors (r 11(1)), voting and casting votes by the presiding director (r 11(4)-(5)), validation of telephone/video meetings provided notice and communication capability exists (r 11(6)), and the ability to pass decisions by written concurrence (r 11(7)). Minutes must be kept (r 11(8)).

Execution, reporting, and parliamentary laying

• The common seal may only be affixed by board decision attested by two directors (r 21(1)). The board may authorise persons to execute documents under specified limitations (r 21(2)-(4)). The subsidiary must deliver an annual financial report within three months after the end of each financial year to the Treasurer, who must lay it before both Houses of Parliament within 12 sitting days (r 22).

Interrelationship with other legislation

• Definitions and certain functions reference other statutes: Electricity Corporations (Restructuring and Disposal) Act 1999 (transfer orders, sale/lease agreements), Electricity Act 1996 (powerlines), Government Financing Authority Act 1982 (SAFA), and the Public Corporations Act 1993 for the continuing statutory framework and the Act’s Schedule provisions (r 4 and r 13(2)).

These concepts show a regulatory design that retains a corporate form for the subsidiary but embeds tight ministerial control over board composition, key commercial decisions, financial management, and disclosure, while establishing audit and reporting obligations and parliamentary tabling requirements.

The Regulations name and bind a limited but interrelated set of actors. The primary parties affected are:

• The Treasurer for the State of South Australia (the Treasurer): The Regulations apply specific provisions of the Public Corporations Act 1993 to the Treasurer (r 4). The Treasurer appoints and removes directors (rr 7, 8), prepares and amends the subsidiary’s charter (r 14(1), (5)), must review the charter annually (r 14(4)), authorises or approves borrowing, lending, guarantees, formation of subsidiaries, joint ventures and investments (rr 15-19), may exempt the subsidiary from internal audit requirements (r 18), receives the subsidiary’s annual report and must lay it before Parliament (r 22), and receives information and records requested under r 20. A Treasurer’s authorised representative may attend board meetings and access papers (r 11(9)). The Regulations therefore impose significant decision-making, oversight and administrative obligations on the Treasurer and the Treasurer’s office.

• Distribution Lessor Corporation (the subsidiary): The entity continued under r 5 is the primary addressee of the obligations. It is subject to constraints on its functions (r 13), a charter prepared by the Treasurer (r 14), approval requirements for forming subsidiaries, guarantees, joint ventures and borrowings (rr 15-19), internal audit and an audit committee (r 18), execution and seal rules (r 21), reporting and parliamentary tabling obligations (r 22), and information supply obligations to the Treasurer (r 20).

• Directors and board members: Directors are appointed by the Treasurer (r 7(1)), serve up to three years with eligibility for reappointment (r 8(1)), are removable by the Treasurer (r 8(2)), and receive remuneration as determined by the Treasurer paid from the subsidiary’s funds (r 10). They must observe meeting rules, quorum requirements, voting and minute keeping (r 11). The Regulations protect directors against breach of duty claims where they report to the Treasurer (r 12(2)).

• Deputy directors and authorised deputies: The Treasurer may appoint a deputy for the chair and for other members during absence (r 7(3), 7(5)), and deputies count as directors when acting (r 7(5)). The board’s procedural provisions recognise deputies in chairing meetings (r 11(3)).

• Treasurer’s representatives: A person authorised in writing by the Treasurer may attend board meetings and access board papers (r 11(9)). They act as an information conduit between the board and the Treasurer, and can be involved in confidentiality determinations (r 11(10)-(11)).

• Counterparties to leases and transactions involving prescribed assets: The subsidiary’s narrow authorised functions make it the lessor under leases granted by transfer order or sale/lease agreement under the Electricity Corporations (Restructuring and Disposal) Act 1999 (r 13(1)(a)). Lessees, operators who may take over at lease expiry (r 13(1)(c)), purchasers, and other parties to instruments related to such leases (r 13(1)(b)) will directly deal with the subsidiary.

• SAFA: The South Australian Government Financing Authority is referenced as the default permissible deposit or investment counterparty for the subsidiary unless otherwise authorised by the Treasurer (r 19(3)). Financial management of the subsidiary will therefore involve SAFA where funds are deposited or invested.

• External auditors and audit committee members: The audit committee must liaise with external auditors and review financial systems and practices (r 18(4)(b)-(c)), so external auditors, audit committee appointees and internal auditors are affected by the procedural and oversight requirements.

• Parliament: The Treasurer must lay the charter (or an amendment) before both Houses of Parliament within 12 sitting days after it comes into force (r 14(7)). The Treasurer must also lay the subsidiary’s annual report within 12 sitting days after receipt (r 22(2)). Parliament therefore receives oversight material that may inform scrutiny or questions.

• Employees of the subsidiary and persons executing documents: The board may authorise employees or other persons to execute documents on behalf of the subsidiary, subject to limitations (r 21(2)). Employees involved in execution, record-keeping and reporting must comply with the Regulations’ procedural and secrecy provisions.

• Potential investors, lenders and counterparties: The requirement for Treasurer approvals for borrowing, guarantees, subsidiary formation, joint ventures and investments (rr 15-19) affects third parties seeking to transact with or extend credit to the subsidiary because such activities require ministerial sign-off and may be subject to conditions imposed by the Treasurer.

Less directly affected are consumers of electricity distribution services and private sector operators of distribution networks, to the extent that the subsidiary’s leasing and operational decisions over prescribed assets affect access, network operation or contractual terms; however the Regulations themselves are focused on the corporate and governance perimeter rather than tariff-setting or operational regulation.

The Regulations therefore affect a narrow circle of public actors, the subsidiary’s board and governance apparatus, certain statutory agencies, and commercial counterparties who must transact with an entity whose ability to commit is constrained by ministerial approvals.

The Regulations set out specific duties, powers and entitlements for the subsidiary, the board, directors, and the Treasurer. These are the operative legal obligations and permissive rights a practitioner should note.

Duties and limitations of the subsidiary

• Function limitation: The subsidiary’s functions are strictly limited to specified roles as lessor, party to instruments related to those leases, operator on lease expiry or termination, holder of prescribed assets and any additional functions the Treasurer confers (r 13(1)). The subsidiary must not act beyond those enumerated functions unless the Treasurer confers further functions.
• Charter compliance: The subsidiary must continue to have a charter prepared by the Treasurer, and must operate within the nature, scope, reporting and financial systems set out in the charter (r 14(1)-(2)). The charter can limit or otherwise regulate the subsidiary’s functions and powers (r 14(3)(a)).
• Restrictions on subsidiaries, guarantees and joint arrangements: The subsidiary must obtain Treasurer approval before forming a subsidiary, acquiring share interests that would create a subsidiary, giving guarantees or indemnities for liabilities of a subsidiary company, or entering a trust, partnership, profit-sharing arrangement or joint venture (rr 15-17). These limitations are duties to seek and obtain approval before acting.
• Financial restrictions: The subsidiary must not lend, advance or borrow money or obtain financial accommodation without Treasurer approval (r 19(1)-(2)). Unless authorised otherwise by the Treasurer, deposits or investments must be with the Treasurer or SAFA (r 19(3)). These provisions constrain the subsidiary’s treasury functions.
• Internal audit and audit committee: Unless exempted by the Treasurer, the subsidiary must maintain effective internal auditing and have an audit committee with specified functions (r 18(1)-(4)). The audit committee must review financial statements, liaise with external auditors and review accounting, internal auditing and reporting systems.
• Information furnishing: The subsidiary must furnish to the Treasurer information or records in its possession on written request, in the form the Treasurer requires (r 20(1)). If furnished, the Treasurer or delegate may copy, retain and deal with records as they think fit (r 20(2)). The board may advise on confidentiality, which the Treasurer must protect if satisfied a duty of confidence exists (r 20(3)-(4)).
• Reporting and parliamentary requirements: The subsidiary must deliver an annual report on its financial operations within three months of the end of each financial year (r 22(1)). The Treasurer must lay the report before both Houses within 12 sitting days (r 22(2)).

Directors’ rights, duties and protections

• Appointment and tenure: Directors are appointed by the Treasurer for terms not exceeding three years and can be reappointed (r 8(1)). The Treasurer determines director remuneration, allowances and expenses, payable from the subsidiary’s funds (r 10).
• Removal: The Treasurer may remove a director by written notice on any ground the Treasurer considers sufficient (r 8(2)). The office otherwise becomes vacant on death, non-reappointment at the end of term, resignation, bankruptcy or insolvency, conviction of an indictable offence or being sentenced to imprisonment (r 8(3)(a)-(f)).
• Meeting participation and voting: Directors have defined procedural rights at meetings. A quorum is two directors (r 11(1)). Each director has one vote; the presiding director may exercise a casting vote in the event of an equality of votes (r 11(4)-(5)). The chair or a deputy presides where present; if neither is present, directors at the meeting select a presiding director (r 11(2)-(3)).
• Procedural flexibility and validation: Decisions may be made by telephone or video conference provided notice and two-way communication capability are satisfied (r 11(6)), and by written concurrence where notice of a proposed resolution is given and a majority express concurrence in writing (r 11(7)). Acts of the board are not invalid due to vacancies or appointment defects (r 9).
• Protection for reporting to Treasurer: A director does not commit breach of duty by reporting matters relating to the subsidiary to the Treasurer (r 12(2)). This is an explicit protection when directors disclose to the Treasurer.

Treasurer’s powers and obligations

• Appointments and removals: The Treasurer appoints the board, chair and deputy positions, and may remove directors (rr 7-8).
• Charter control: The Treasurer prepares, reviews annually and may amend the subsidiary’s charter after consultation; the Treasurer must lay the charter or amendments before both Houses within 12 sitting days of coming into force (r 14(1), (4)-(7)).
• Approval authorities: The Treasurer’s prior approval is required for forming subsidiary companies, acquiring share interests that result in another subsidiary, guarantees or indemnities for subsidiaries, establishing trusts, partnerships or joint ventures, borrowing and lending, and in practice for most major commercial commitments (rr 15-19).
• Information and confidentiality obligations: The Treasurer may require the subsidiary to furnish information (r 20). When the board advises that information should be confidential, the Treasurer must ensure observance of the duty of confidence if satisfied one exists, but the Treasurer retains the right to disclose as necessary in performance of ministerial functions (rr 11(10)-(11), 20(3)-(4)).
• Parliamentary tabling: The Treasurer must lay the charter and the subsidiary’s annual report before both Houses as required (rr 14(7), 22(2)).

Rights of third parties and procedural rules

• Common seal and execution: The subsidiary’s common seal may only be affixed pursuant to a board decision and must be attested by two directors (r 21(1)). The board may authorise directors, employees or other persons to execute documents on its behalf, including joint execution authorities (r 21(2)-(4)). Third parties relying on executed documents will typically be able to regard such execution as duly authorised where the Regulation’s procedural requirements are observed.
• Access and attendance rights: A Treasurer’s authorised representative may attend board meetings and access board papers (r 11(9)). The board may flag matters as confidential to the Treasurer (r 11(10)-(11)).

Obligations not expressly criminalised

• The Regulations set duties and procedural requirements but do not themselves create specified civil penalties or criminal offences within their text. Enforcement appears to be administrative and via ministerial controls such as removal powers, approval conditions, and the Act’s Schedule provisions (r 4(d)). Practitioners should link the Regulations to the enforcement framework in the Public Corporations Act 1993 Schedule for full consequences.

Collectively, these duties and rights allocate operational discretion to the board while concentrating approval and oversight levers with the Treasurer. The practical effect is a corporate entity constrained to specified asset-related functions that must operate within a Treasury-determined charter and require ministerial sign-off for key transactions.

The Regulations themselves do not prescribe specific monetary penalties, criminal offences or administrative fines for breach of their provisions. Enforcement and remedial mechanisms are implemented through supervisory and control devices embedded in the Regulations and through their connection to the Public Corporations Act 1993 (the Act). The key enforcement mechanisms and legal consequences are as follows.

Administrative control by the Treasurer

• Appointment and removal power: The Treasurer’s power to remove directors on any ground the Treasurer considers sufficient (r 8(2)) is an immediate administrative mechanism to change governance where the Treasurer considers that a director’s conduct or fitness warrants removal. Removal is effectuated by written notice. This is a direct governance enforcement lever rather than a monetary penalty.
• Approval regime: Many core corporate actions and financial commitments are conditioned on Treasurer approval or authorisation (rr 15-19). The practical enforcement consequence of acting without prior approval is that the subsidiary would be in breach of its regulatory constraints; the immediate legal effect depends on the legal significance the Treasurer attaches under the Act’s Schedule and on remedies available at common law or under the relevant statutes. The Regulations themselves do not specify a civil penalty, but they preclude the subsidiary from taking those steps absent approval.

Reporting, information requests and ministerial oversight

• The Treasurer may require the subsidiary to furnish information or records in a specified manner (r 20(1)). The Regulations provide that furnished records may be copied and retained by the Treasurer (r 20(2)). A failure to comply with a valid request may be treated as non-compliance with the Regulatory framework and brought to the Treasurer’s attention; the immediate remedy is ministerial direction or administrative consequences rather than a specified fine.

Parliamentary scrutiny and reputational enforcement

• The Treasurer must lay charters and annual reports before both Houses of Parliament (rr 14(7), 22(2)). Parliamentary scrutiny can lead to political and reputational consequences, inquiries or requests for remedial action. While not a legal penalty contained in the Regulations, Parliamentary oversight serves as a public enforcement channel.

Confidentiality and disclosure

• The Regulations create a confidentiality mechanism in which the board may advise the Treasurer that a matter is confidential and the Treasurer must ensure observance of a duty of confidence if satisfied one exists (rr 11(10)-(11), 20(3)-(4)). This is an obligation on the Treasurer to control disclosure, subject to necessary ministerial disclosures. If the Treasurer wrongfully discloses, the consequences would arise under general law concerning confidence and ministerial obligations; the Regulations themselves do not specify a penalty for disclosure.

Validation of acts and avoidance of technical invalidation

• The Regulations invalidate the possibility of challenging board acts solely because of vacancies or defects in appointment (r 9). This reduces the potential for enforcement by invalidation and channels enforcement towards ministerial and administrative remedies rather than nullity challenges on procedural defects.

Connection to the Public Corporations Act 1993

• The Regulations apply to the Treasurer specific provisions of the Act, including section 24 (formation of subsidiary by regulation), section 25 (dissolution), and the Act’s Schedule (r 4). The Act’s Schedule contains "provisions applicable to subsidiaries". The substantive enforcement modalities available under the Act’s Schedule or other sections of the Act are therefore potentially engaged, but are not reproduced in these Regulations. Practitioners must therefore consult the Public Corporations Act 1993 (and its Schedule) for statutory enforcement mechanisms that operate alongside these Regulations.

Absence of express statutory offences

• There are no express penalties, criminal sanctions, or administrative fines in the Regulations for breaches of the approval and reporting requirements. Enforcement therefore depends on the Treasurer’s use of administrative powers, ministerial directions, removal of directors, parliamentary scrutiny, and any remedies or penalties available under the Act or other statutes referenced by the Regulations.

Practical enforcement levers available to third parties

• The Regulations do not create a private right of action or set out enforcement procedures for third parties. Third parties who suffer loss because the subsidiary acts beyond its regulated powers may explore common law remedies, contractual remedies, or seek judicial relief depending on circumstances, though the Regulations’ preservation of board acts despite vacancies (r 9) may reduce procedural grounds for relief.

In sum, enforcement in this instrument is mainly administrative and supervisory. The Treasurer’s controls, approval requirements and removal powers form the primary enforcement architecture, with Parliamentary tabling and general law remedies providing additional, non-prescriptive enforcement channels. Practitioners should refer to the Public Corporations Act 1993 Schedule and other relevant statutes for detailed statutory penalties or enforcement procedures not included in these Regulations.

The Regulations expressly reference, incorporate by cross-reference or have operational intersections with a small number of statutory instruments and general legal principles. The key interactions are:

Public Corporations Act 1993

• The Regulations are made under the Public Corporations Act 1993 and explicitly apply specified parts of the Act to the Treasurer (r 4). The applied provisions include Part 1 (Preliminary), s 24 (formation of subsidiary by regulation), s 25 (dissolution of subsidiary established by regulation) and the Schedule (provisions applicable to subsidiaries) (r 4). The Regulations therefore operate in conjunction with the Act’s Schedule, which contains subsidiary governance provisions, accountability requirements and possibly enforcement mechanisms. The Regulations continue the subsidiary under the authority provided by s 24 of the Act (r 5 header reference and r 5(1)). Practitioners must consult the Act and its Schedule to understand obligations or enforcement measures not reproduced in the Regulations.

Electricity Corporations (Restructuring and Disposal) Act 1999

• The subsidiary’s core functions reference leases granted by transfer order or sale/lease agreements under the Electricity Corporations (Restructuring and Disposal) Act 1999 (r 13(1)(a)). That Act will therefore be relevant to the subsidiary’s transactional role as lessor and to the legal structure under which assets are transferred or leased. Key definitions such as "asset", "lease", "lessor" and "lessee" are taken from that Act by r 13(2).

Electricity Act 1996

• The definition of prescribed assets in r 13(2) refers to powerlines "within the meaning of the Electricity Act 1996". Thus any legal duties, safety obligations, regulatory definitions or licensing requirements under the Electricity Act 1996 that attach to powerlines or operators may affect the subsidiary when it holds or operates such assets.

Government Financing Authority Act 1982 (SAFA)

• Regulation 19(3) restricts, unless authorised otherwise, the subsidiary’s deposits or investments to the Treasurer or SAFA. That creates a direct operational link between the subsidiary’s cash management and SAFA’s role as a permissible counterparty. The rules, risk constraints and credit arrangements applicable to SAFA under the Government Financing Authority Act 1982 may therefore be relevant to how the subsidiary manages liquidity.

Statutory duties, confidentiality and ministerial functions

• The Regulations create a confidentiality interface between the subsidiary and the Treasurer: the board may advise that certain matters are confidential and the Treasurer must ensure observance if satisfied a duty of confidence exists, but the Treasurer may disclose as required in the proper performance of ministerial functions or duties (rr 11(10)-(11), 20(3)-(4)). This cross-links to the general body of law on ministerial duties, public disclosure obligations, freedom of information regimes and administrative law principles. For example, disclosures required by statutory reporting duties, FOI requests or parliamentary procedure may intersect with these confidentiality protections; the Regulations do not displace those general statutory regimes.

Company law and common law principles

• While the subsidiary is a body corporate under the Act (r 5(2)), its governance is framed by the Regulations rather than the Corporations Act 2001. However, certain common law principles (fiduciary duties of directors, contract law doctrines, tort liability) and contract enforcement standards will still be relevant in external dealings. The Regulations expressly provide that a director does not breach duty when reporting to the Treasurer (r 12(2)), but other duties such as prudence in contracting, avoiding conflicts of interest and honest administration will remain relevant under general law.

Parliamentary procedure and oversight

• The charter and annual report must be laid before both Houses of Parliament within 12 sitting days after coming into force or receipt (rr 14(7), 22(2)). This procedural requirement links the subsidiary’s governance to Parliamentary oversight mechanisms and potential scrutiny processes under Parliament’s internal rules.

Potential interaction with procurement, public finance and state guarantees

• The restrictions on guarantees and fiscal commitments (rr 15-16, 19) suggest interaction with the State’s public finance framework, Treasury instructions and any statutory controls on guarantees, indemnities and contingent liabilities. Where the subsidiary seeks approval to form a subsidiary or provide a guarantee, those approvals will likely be considered against government guarantees policies and public finance rules not contained in these Regulations.

Practical implications of cross-reference

• The Regulations frequently signal that the precise legal effect of certain decisions will depend on the content of other statutes or the Treasurer’s exercise of powers. For example, the subsidiary’s role as lessor depends on the content of transfer orders or sale/lease agreements under the Electricity Corporations (Restructuring and Disposal) Act 1999; borrowing authorisation may be linked to the Treasurer’s consistency with public finance rules; charter provisions and their amendments are subject to Parliamentary tabling. Practitioners should therefore treat the Regulations as a governance shell that must be read alongside the Public Corporations Act 1993, the Electricity Acts, and the Government Financing Authority Act 1982 to understand operational limits, statutory duties and enforcement regimes.

In sum, the Regulations operate as part of a statutory network: they are not a self-contained corporate code but a focused regulation tying a corporate vehicle to the Treasurer, electricity asset transfer regimes and State financial management institutions.

The Regulations contain a concise legislative history in their text. Key points are:

• Commencement: The Regulations come into operation on the day on which they are made (r 2). The principal regulations citation in the Legislative History shows the instrument as Public Corporations (Distribution Lessor Corporation) Regulations 2025, Gazette 26.6.2025 p2073, No. 44, with commencement 26 June 2025 (Legislative history note and r 2). This confirms immediate operation on the date of making.

• Repeal of prior regulations: Schedule 1 expressly repeals the Public Corporations (Distribution Lessor Corporation) Regulations 2010 (Schedule 1). The 2010 Regulations are replaced by the 2025 instrument in full. The Schedule contains only the single line “The Public Corporations (Distribution Lessor Corporation) Regulations 2010 are repealed.”

• Subsidiary continuation: The Regulations continue Distribution Lessor Corporation as a subsidiary of the Treasurer pursuant to section 24 of the Public Corporations Act 1993: the heading to r 5 references the statutory authority and r 5(1) continues the subsidiary.

• No other amendments recorded in the instrument: The text contains no later amendments, transitional provisions, or staged commencements beyond the single commencement rule in r 2. There are no amendment dates or historical amendment notes contained in the Regulations themselves other than their making and repeal of the 2010 Regulations.

• Parliamentary tabling of charters and reports: The Regulations require that copies of charters or amendments be laid before both Houses of Parliament within 12 sitting days after coming into force (r 14(7)). Annual reports are also to be laid before Parliament within 12 sitting days of the Treasurer receiving them (r 22(2)). These procedural steps embed Parliament into the post-commencement oversight cycle and mean subsequent changes to the charter will generate Parliamentary documentation.

• Interaction with the Act for subsidiary formation/dissolution: The Regulations explicitly apply section 24 (formation by regulation) and section 25 (dissolution by regulation) of the Act to the Treasurer (r 4). Any future regulatory changes under s 24 or s 25 of the Act would be additional instruments that would either modify or dissolve the subsidiary, subject to the Act’s procedural and legislative requirements.

For practitioners tracking statutory change, the immediate action points are to note the repeal of the 2010 Regulations, confirm the 26 June 2025 commencement, and monitor the Treasurer’s exercise of charter amendments and the laying of charters and reports before Parliament. Any amendments to the Regulations themselves would be made by subsequent subordinate instruments under the Act and will require checking the online statute database or Government Gazette for updated versions.

The text of the Regulations includes no reference to litigation, judicial decisions, interpretative rulings or case law. It does not cite any judicial authorities nor record any prior litigation concerning Distribution Lessor Corporation or the 2010 Regulations. Therefore:

• There is no litigation history contained in the instrument to cite. The Regulations are silent on any cases, disputes or court determinations arising under the prior 2010 Regulations or otherwise.

• Potential causes of litigation may include disputes that commonly arise under governance and ministerial-control regimes. The Regulations themselves preserve certain protective features against procedural invalidation: an action of the board is not invalid merely because of a vacancy or defective appointment of a director (r 9). That provision can reduce the viability of procedural challenges based on composition defects.

• Areas where litigation commonly arises in comparable frameworks, though not evidenced in these Regulations, include:

  • Challenges to ministerial removal of directors where procedural fairness or statutory limits are alleged to have been breached. The Regulations grant the Treasurer broad removal power (r 8(2)), but any dispute about the validity of removal may bring administrative law scrutiny if the action is challenged in court under general law principles.
  • Contractual disputes with third parties over the subsidiary’s capacity to bind itself given the approval constraints in rr 15-19. If the subsidiary enters a transaction without required Treasurer approval, third parties may challenge enforceability or seek remedies. r 9’s validation clause may, however, limit certain procedural challenges.
  • Confidentiality and disclosure disputes concerning what the Treasurer is permitted or required to disclose under ministerial duties and statutory regimes. The Regulations require the Treasurer to ensure observance of confidence if satisfied it exists, subject to proper ministerial disclosure (rr 11(10)-(11), 20(3)-(4)). Litigation could arise if a party alleges unlawful disclosure or improper nondisclosure, though the Regulations give the Treasurer discretion.

• Because the Regulations are primarily administrative and governance-focused with no express statutory sanctions, most enforcement is expected to be administrative rather than judicial. Any litigation history would therefore be fact-specific and arise from particular disputes rather than from the Regulations themselves.

Practitioners should therefore treat the absence of litigation in the Regulations as an invitation to consider where disputes could arise in practice and to pre-emptively address those areas through clear approval processes, documented ministerial decisions, careful contract drafting that recognises approval conditions, and rigorous record-keeping to support any administrative or judicial scrutiny.

These Regulations generate a number of practical pitfalls and implementation risks that can create legal, operational and political exposure if not anticipated. The following are concrete issues to watch for, each grounded in the text.

1. Treasurer’s unfettered removal power

• r 8(2) gives the Treasurer power to remove a director by written notice on "any ground that the Treasurer considers sufficient". That breadth means directors have limited statutory protection from removal; disputes about removal may raise administrative law issues, but the Regulations give the Treasurer broad discretion. Practitioners should ensure removal processes are documented, and consider arranging appropriate employment/termination terms in appointment instruments to manage expectations and liabilities.

2. Extensive approval requirements

• The subsidiary may not form subsidiaries, acquire controlling interests, give guarantees for subsidiaries, or enter joint ventures or profit-sharing arrangements without Treasurer approval (rr 15-17). Borrowing and lending similarly require Treasurer authorisation (r 19(1)-(2)). Failure to obtain approval may render an act procedurally improper and expose the subsidiary to remedial administrative actions. Third parties contracting with the subsidiary should insist on evidence of required Treasurer approvals for material commitments.

3. Deposit and investment constraints

• r 19(3) restricts deposits/investments (unless otherwise authorised) to the Treasurer or SAFA. This limits treasury flexibility and may reduce ability to invest surplus funds for returns or to use diverse counterparties. Absent express authorisation, the subsidiary cannot place funds with commercial banks unless Treasurer permits.

4. Charter control and immediate binding effect

• The Treasurer prepares the charter, may amend it after consultation, and the charter or an amendment becomes binding on a day specified in the instrument (r 14(1), (5)-(6)). There is potential for significant operational change through charter amendment. The requirement to lay charters before Parliament within 12 sitting days (r 14(7)) creates a short window for parliamentary scrutiny, but until Parliament acts, the charter takes effect as specified, which may surprise stakeholders if consultation is limited.

5. Confidentiality qualified by ministerial functions

• The board may advise that a matter should be confidential, and if the Treasurer is satisfied, the Treasurer must ensure observance of that duty (rr 11(10)-(11), 20(3)-(4)). However, disclosure can occur if required in the proper performance of ministerial functions or duties. This carve-out means confidentiality is not absolute. Practitioners should be careful when designating materials confidential and retain records explaining the basis, because the Treasurer may nevertheless lawfully disclose in performance of ministerial duties.

6. Virtual meeting validation and quorum risk

• Telephone or video conferences count as meetings if notice is given and each participant can communicate with every other participant (r 11(6)). The quorum is two directors (r 11(1)). With a three-member board, absences can compromise quorum and decision-making. Ensure remote meeting procedures and contingencies for quorum are documented to avoid hold-ups.

7. Validation of acts despite defects

• r 9 declares that acts of the board are not invalid merely because of vacancies or defects in appointment. While this protects continuity, it also removes a potential ground for third parties to challenge board acts on technical grounds. Conversely, it creates risk that internal governance defects will not invalidate externally significant transactions; boards should maintain robust internal processes to avoid substantive errors that are not cured by r 9.

8. Limited director remuneration process

• r 10 provides that the Treasurer determines remuneration payable from the subsidiary’s funds. Directors cannot rely on independent ratification by the subsidiary for pay beyond Treasurer determination. Practitioners should ensure appointment instruments and remuneration determinations are documented.

9. Audit committee composition and CEO exclusion

• The audit committee must include a board member or members and other persons appointed by the board, but may not include the chief executive (if any) (r 18(3)). This requires separate governance for audit oversight and careful appointment of independent members to meet audit independence expectations.

10. Information requests and record handling

• r 20(1)-(2) allows the Treasurer to require information in any manner and the Treasurer or recipient may retain and deal with copies. This could raise privacy, confidentiality and records management issues. The board’s ability to assert confidentiality is subject to the Treasurer’s satisfaction (r 20(3)-(4)). The subsidiary should institute processes for timely and secure response to information requests and for marking and documenting confidentiality claims.

11. Execution formalities

• The common seal may only be affixed by a board decision and must be attested by signatures of two directors (r 21(1)). Documents executed under authority must be properly recorded. Lapses in execution formality can cause transaction disputes. The board may authorise employees to execute documents, but the instrument of authority should be clearly drafted and recorded (r 21(2)).

12. Parliamentary timing for reports and charters

• The Treasurer must lay the charter and annual report before both Houses within 12 sitting days (rr 14(7), 22(2)). Missing these timelines can attract Parliamentary attention and political consequences. Compliance teams must calendar these deadlines.

13. Narrow functional remit may constrain commercial flexibility

• r 13 limits functions to assets defined in r 13(2). If the subsidiary is asked to perform wider roles, it requires Treasurer action under r 13(1)(e) or a charter amendment. Expect friction where market participants expect the subsidiary to engage beyond its narrow statutory remit.

14. Reliance on external statutes for key definitions

• Many operative terms are defined in other Acts (r 13(2), and cross-references in r 13(1)(a)). Legal interpretation disputes may arise about the reach of those external definitions; practitioners should consult the referenced Acts for precise definitions.

These "gotchas" point to a governance model that centralises control and requires tight coordination with the Treasurer’s office. Absent robust administrative processes and clear documentation of approvals and authorisations, the subsidiary and its counterparties face procedural and reputational risk.

This section sets out a practical compliance checklist and step-by-step operational actions for the subsidiary, the board, directors, and the Treasurer’s office to meet the Regulations’ requirements. Each task references the relevant regulation.

1. Corporate existence and charter

• Ensure the subsidiary’s corporate registry, common seal and legal identity are in order pursuant to r 5(2). Confirm corporate name and capacity to sue and be sued are correctly documented.
• Obtain and maintain a copy of the Treasurer’s charter. The charter must address the scope of operations, reporting obligations, forms of accounts, accounting and audit systems, and rules on asset acquisition/disposal and borrowing/lending (r 14(2)). Implement internal policies to comply with charter requirements.

2. Board appointments, tenure and documentation

• Appointment process: Ensure instruments of appointment for each director specify the term (not exceeding three years) as required by r 8(1). Keep signed appointment instruments on file.
• Removals and resignations: Maintain procedures to handle resignations (written notice to Treasurer per r 8(3)(c)) and to document any removal decisions by the Treasurer (r 8(2)). Keep records of any Treasurer removal notices.
• Deputies: If the Treasurer appoints deputies, document their authority and periods of actings (r 7(3), r 7(5)).
• Remuneration: Record the Treasurer’s determination of director remuneration, allowances and expenses and ensure those amounts are properly authorised and paid from subsidiary funds (r 10).

3. Board procedures and meetings

• Quorum and voting: Organise meeting calendars to ensure at least two directors attend in person or by remote means (r 11(1)). Provide for presiding rules and casting vote by presiding director (r 11(2)-(5)).
• Remote meetings and written resolutions: Adopt notice procedures and communications technology protocols to comply with r 11(6) for telephone/video participation and r 11(7) for written resolution concurrence. Record all such decisions and preserve contemporaneous evidence of notice and unanimity or majority concurrence.
• Minutes: Keep accurate minutes of board proceedings in accordance with r 11(8). Minutes should clearly record attendance, decisions, declarations of interests and any confidentiality directions.

4. Treasurer interaction and confidentiality

• Treasurer representative access: Anticipate attendance by an authorised Treasurer representative at board meetings. Ensure meeting agendas and papers are prepared to accommodate their attendance (r 11(9)).
• Confidentiality advice: If a matter may be confidential, prepare a written rationale for confidentiality to provide to the Treasurer so that the Treasurer can properly assess and, if satisfied, ensure observance (rr 11(10)-(11), 20(3)-(4)). Maintain a register of confidentiality requests and Treasurer determinations.
• Information requests: Establish a records and disclosure procedure enabling prompt compliance with written requests by the Treasurer for information or records in the form required (r 20(1)-(2)). Ensure secure transfer and controlled retention of copies.

5. Charter review and parliamentary tabling

• Annual charter review: The Treasurer must review the charter after consultation with the subsidiary at the end of each financial year (r 14(4)). Work with Treasury to schedule and document consultation, and prepare required information.
• Charter amendments: Where the Treasurer proposes amendments, cooperate in the consultation and ensure the subsidiary’s operations will transition to any new requirements on the charter’s specified effective date. Track the 12-sitting-day Parliamentary tabling requirement following coming into force (r 14(6)-(7)).

6. Financial controls, treasury and borrowings

• Borrowing and lending approvals: Never lend, advance, borrow or obtain financial accommodation without written Treasurer approval per r 19(1)-(2). Implement an internal sign-off matrix that requires sight of Treasurer authorisations before entering credit agreements.
• Deposit and investment policy: Unless written authorisation from the Treasurer permits other counterparties, restrict deposits and investments to the Treasurer or SAFA (r 19(3)). Document any Treasurer authorisations for alternate investments.
• Guarantees and subsidiaries: Seek written Treasurer approval before forming subsidiary companies, acquiring shareholdings that generate subsidiaries, giving guarantees or indemnities in respect of subsidiary liabilities, or entering joint ventures, trusts, or partnerships (rr 15-17). For any approved subsidiary, ensure subsidiary constitutions include provisions the Treasurer requires (r 15(2)).

7. Audit arrangements and internal controls

• Internal audit and audit committee: Unless exempted by the Treasurer, establish an internal audit function and an audit committee in line with r 18(1)-(3). Ensure the audit committee’s charter clarifies membership (at least one board member plus other appointees) and excludes the chief executive from membership if applicable (r 18(3)).
• Audit committee responsibilities: Define the audit committee’s responsibilities to review annual financial statements, liaise with external auditors, and review accounting and reporting systems periodically (r 18(4)). Maintain minutes of audit committee meetings and document recommendations and management responses.

8. Execution and seal

• Board authorisations: Ensure any affixing of the common seal is pursuant to a board decision and attested by the signatures of two directors (r 21(1)). Keep a register of instruments of authority that specify authorised signatories and any limitations (r 21(2)-(4)).
• Document execution process: Maintain executed copies of instruments and certificates evidencing compliance with execution rules. For joint execution, ensure instruments specify persons authorised to sign jointly.

9. Annual reporting and Parliamentary tabling

• Annual report preparation: Prepare an annual report on the subsidiary’s financial operations within three months after the end of each financial year (r 22(1)). Coordinate with the Treasurer to deliver the report and monitor the Treasurer’s Parliamentary tabling obligations (r 22(2)).
• Financial statements: Ensure financial statements meet the charter’s specified form and content (r 14(2)(c)) and reflect the audit committee’s advice and the external auditor’s report.

10. Contract management and counterparty due diligence

• Conditions precedent: Incorporate a condition precedent in material contracts that Treasurer approvals required under the Regulations have been obtained. Require counterparties to produce evidence of Treasurer consents where their exposure depends on the subsidiary’s authority.
• Capacity warranties: Where appropriate, include warranties in contracts that the subsidiary has complied with its statutory approval regime and its charter.

11. Records, retention and FOI considerations

• Records management: Implement a records management policy to retain minutes, charters, Treasurer correspondence, approvals and confidentiality determinations. Ensure secure storage for material deemed confidential and document the legal basis for confidentiality.
• FOI and statutory disclosure: Coordinate with the Treasurer’s office on likely Freedom of Information or Parliamentary disclosure requests, because confidentiality is subject to ministerial functions and statutory disclosure regimes.

12. Legal review and cross-referencing statutes

• External statute compliance: Review related statutes referenced in the Regulations (Public Corporations Act 1993 Schedule, Electricity Corporations (Restructuring and Disposal) Act 1999, Electricity Act 1996, Government Financing Authority Act 1982) to ensure operational decisions align with definitions, transfer orders and external statutory obligations.
• Legal sign-off: Obtain regular legal advice before entering transactions with fiscal or operational significance, particularly where Treasurer approvals are complex or contingent.

13. Contingency planning and governance resilience

• Quorum contingencies: Because quorum is two directors (r 11(1)), establish processes for deputy appointments and interim action to avoid governance paralysis.
• Dispute resolution and litigation preparedness: Maintain documentation supporting the lawfulness of decisions and Ministerial approvals to withstand possible administrative or contractual challenges.

Adopting the above measures will align the subsidiary with the Regulations’ operational, reporting and governance rules. Coordination with the Treasurer’s office and close record-keeping are central to avoiding procedural non-compliance and ensuring third-party counterparties can rely on the subsidiary’s authority.
