Public Corporations (Adelaide Film Festival) Regulations 2017

The instrument sets up a narrowly focused public subsidiary, governed by a Ministerially constituted board, with duties and constraints tailored to running an internationally recognised annual film festival and ancillary screen-culture activities. Key legal concepts that structure the subsidiary are corporate personality, delegated governance, ministerial oversight, financial controls, reporting obligations, and constraints on commercial expansion.

Corporate personality: The subsidiary is explicitly a body corporate, with perpetual succession and a common seal, and capacity to sue and be sued (s 5(2)). The regulations give formalities for execution of documents and use of the common seal (s 22), which establishes how contracts and deeds may be validly executed on the subsidiary’s behalf.

Delegated governance: Governance is through a board of directors that continues in existence (s 6). The Minister appoints directors up to a cap of eight (s 7(1)), designates a chair and may appoint deputies for the chair and for absent directors (s 7(3)-(4), (6)). Directors have terms up to three years and may be reappointed, but a person may not serve more than nine consecutive years (s 8(1)). The board’s internal procedures are largely left to the board (s 11(13)), subject to minimum meeting frequency, minute keeping and quorum rules (s 11(1), (8)-(9)). Board acts are not invalidated solely by vacancies or defects in appointments (s 9).

Ministerial oversight and controls: The Minister prepares and may amend the subsidiary’s charter, sets a performance statement in consultation with the subsidiary, and must be consulted for material changes to policy or budget (s 13(2), s 14(1)-(7), s 15(1)-(3)). The Minister may determine directors’ remuneration, allowances and expenses, to be paid from subsidiary funds (s 10). The Minister can require information and records from the subsidiary; files supplied to the Minister may be copied and retained (s 21(1)-(2)), and confidentiality claims by the board are subject to Ministerial determination (s 11(11)-(12), s 21(3)-(4)). The regulations also apply specified provisions of the parent Act to the Minister (s 4).

Financial constraints and oversight: The subsidiary must maintain internal audit arrangements (s 18), provide quarterly reports on financial position (s 19), and submit audited annual accounts and an annual report within three months after the financial year (s 23(1)). Major financial actions require higher-level approval: the Treasurer’s prior written approval is required for lending, advancing money, securities or property and for commercial borrowing (s 20(1)-(2)), and the subsidiary must not establish trusts, partnerships, profit-sharing schemes or joint ventures without Treasurer approval (s 17). The subsidiary needs Ministerial approval before forming subsidiary companies or acquiring relevant interests that would create a subsidiary relationship (s 16(1)).

Operational scope: The subsidiary’s permissible activities are enumerated and confined to screen-festival and screen-culture development functions, including contracting, commissioning, charging admission, intellectual property management and the performance of incidental functions or any functions conferred by the Minister (s 13(1)). This express scope both empowers festival activity and limits diversification absent Ministerial approval.

Parliamentary accountability: The Minister must lay the charter or any amendments before both Houses within 12 sitting days after the charter comes into force (s 14(7)); similarly, the Minister must lay the subsidiary’s annual report before both Houses within 12 sitting days of receipt (s 23(2)). These mechanisms connect statutory subsidiary governance to parliamentary oversight.

Collectively these concepts set up a Minister-controlled statutory vehicle, with board-based self-administration constrained by reporting, audit and approval requirements for strategic changes and significant financial transactions.

Primary legal actors: the subsidiary (Adelaide Film Festival), the Minister for the Arts, the board of directors, and the Treasurer. The regulations define the subsidiary as the statutory body continued under Part 3 (s 3). The Minister for the Arts is the appointing authority and the entity that prepares and amends the charter and performance statement, receives the subsidiary’s reports and may request information (s 3 definition; s 14; s 15; s 21). The Treasurer is given specific approval powers over lending, borrowing and joint/venture structures (ss 17, 20). Directors are affected as appointees with specific tenure, removal and remuneration regimes (ss 7-11, 10, 8(2)(f)).

Employees and contractors: While the regulations do not set out general employment law, they authorise the subsidiary to enter employment contracts and to authorise employees to execute documents on the subsidiary’s behalf (s 13(1)(h); s 22(2)). Suppliers and contractual counterparties are impacted by the subsidiary’s capacity to contract, lease or hire venues, and to enter distribution and screening agreements (s 13(1)(h)-(i)). Any entity negotiating commercial borrowings or lending arrangements with the subsidiary will be affected by the requirement for Treasurer approval (s 20).

Stakeholders in the screen sector and public: The subsidiary’s functions explicitly target screen practitioners, audiences and industry participants by funding, staging and promoting a recognised film festival, workshops, forums and awards (s 13(1)(a)-(f)). Members of the public who attend events may be charged admission (s 13(1)(k)). The regulations also affect organisations invited to co-commission screen products or to partner in festival events (s 13(1)(g)).

Parliament and public accountability actors: Parliament is engaged through the requirement that the Minister table the charter and annual reports within 12 sitting days (ss 14(7), 23(2)). The subsidiary’s audited accounts and quarterly reports place its financial position under regular scrutiny by the Minister and, by extension, Parliament.

Who bears costs: The instrument does not specify the source of government funding. The regulations state directors’ remuneration is payable from the subsidiary’s funds (s 10). The subsidiary is required to maintain audited accounts and internal audit functions (ss 18, 23(1)), implying budgetary cost for compliance, audit and reporting. The subsidiary’s authority to charge for admission (s 13(1)(k)) and to enter commercial contracts (s 13(1)(h)-(i)) suggests that some operating income may be derived from festival activities, but the regulations do not prescribe appropriation or grants.

Who makes decisions: The Minister appoints directors, sets and reviews the charter and performance statement, and has approval powers over material policy or budget changes, subsidiary companies and record-keeping disclosures (ss 7, 13(2), 14, 15, 16, 21). The board makes operational decisions, subject to quorum and voting rules, and runs the subsidiary’s day-to-day affairs; anything the board does in administration is binding on the subsidiary (s 6(2), s 11). The Treasurer makes decisions on approvals for lending, commercial borrowings and joint arrangements (ss 17, 20). A person authorised in writing by the Minister may attend board meetings (but not participate) and access board papers (s 11(10)).

Who may be removed or constrained: Directors can be removed by the Minister by written notice (s 8(2)(f)). The board’s ability to expand commercial activity is constrained by the Minister and Treasurer’s approval requirements (ss 16, 17, 20). Confidentiality claims by the board are dependent on Ministerial acceptance and subject to disclosure where required in the proper performance of ministerial functions (s 11(11)-(12), s 21(3)-(4)).

Duties imposed on the subsidiary and the board

• Operate within a defined functional scope. The subsidiary’s functions are enumerated and limited to festival-related activities, workshops, forums, commissioning, contracting, IP management, charging admission and incidental or Minister-conferred functions (s 13(1)). The subsidiary must secure Ministerial approval before making material changes to policy direction or budget (s 13(2)). These are affirmative duties to act within the statutory purpose and to obtain authorisation for strategic changes.

• Charter and performance statement compliance. The subsidiary must have and operate under a charter prepared by the Minister (s 14(1)), and execute against a performance statement prepared by the Minister setting targets for the coming financial year (s 15(1)). The subsidiary must participate in the Minister’s review and potential amendment of both documents (ss 14(4), 15(2)-(3)).

• Reporting, audit and financial prudence. The subsidiary must maintain internal audit arrangements (s 18) and deliver quarterly reports on its financial position to the Minister (s 19). It must deliver an annual report including audited statements within three months of year end, and the Minister must lay that report before both Houses within 12 sitting days (s 23(1)-(2)). Approval is required from the Treasurer for loans, advances, securities or property transfers and for commercial borrowings (s 20). The subsidiary must obtain Ministerial approval before forming a subsidiary company or acquiring share interests that would make another corporation its subsidiary (s 16).

• Availability of information and confidentiality procedures. The subsidiary must furnish records and information to the Minister on written request, in the manner the Minister requires (s 21(1)). If records are provided, the Minister may copy and retain them (s 21(2)). The board may advise the Minister that particular material should be treated as confidential; if satisfied, the Minister must ensure observance of that duty, subject to proper performance of ministerial functions (s 21(3)-(4); s 11(11)-(12)).

Board and director rights and obligations

• Appointment, tenure and removal. The Minister appoints directors for terms up to three years, eligible for reappointment, but no director may serve more than nine consecutive years (s 8(1)). The office of a director becomes vacant on death, resignation, bankruptcy or insolvency proceedings, conviction of an indictable offence or imprisonment, or by removal by the Minister by written notice (s 8(2)(a)-(f)). These provisions create both job security mechanisms and clear grounds and processes for vacancy and removal.

• Governance procedures. The board must meet at least six times per year, keep accurate minutes, and follow quorum and voting rules: quorum is one half of total members (ignoring fractions) plus one; decisions are by majority; the presiding director has a casting vote in the event of equality (s 11(1), (4)-(5), (8)-(9)). Meetings via telephone or video conference count as meetings if notice is given and participants can communicate with each other (s 11(6)). A board resolution will be valid even if not voted on at a meeting provided notice is given and a majority express concurrence in writing (s 11(7)).

• Remuneration and expenses. Directors are entitled to remuneration, allowances and expenses as the Minister determines, paid from the subsidiary’s funds (s 10). This establishes the Minister’s control over board compensation and creates an explicit funding source for that remuneration.

Execution and delegation rights

• Execution of documents and common seal. The common seal must only be affixed by decision of the board and attested by two directors (s 22(1)). The board may authorise named directors, employees or others to execute documents on behalf of the subsidiary and may require joint execution by two or more authorised persons (s 22(2)-(3)). A document is duly executed either by affixing the common seal in accordance with these rules or by signature under a proper instrument of authority (s 22(4)).

Confidentiality and disclosure protections

• The subsidiary must give written notice to the person owed the duty of confidence if it discloses a confidential matter to the Minister under the Act or these regulations (s 12(1)). A director does not breach duty by reporting matters relating to the affairs of the subsidiary to the Minister (s 12(2)). The Minister, however, has discretion over observance of confidentiality subject to proper ministerial functions (s 11(11)-(12), s 21(3)-(4)).

Rights of Minister and Treasurer

• The Minister has broad supervisory and gatekeeping powers: preparation and amendment of the charter (s 14(1), (5)), preparation and amendment of the performance statement (s 15(1), (3)), approval for material policy and budget changes (s 13(2)), power to appoint and remove directors (ss 7, 8(2)(f)), and power to demand information and retain copies (s 21). The Treasurer has specific financial approvals to grant for loans, commercial borrowing and for trusts, partnerships or joint venture arrangements (ss 17, 20). These rights create administrative control points for governance and financial risk management.

Notably absent as explicit duties or rights in this instrument

• The regulations do not specify sources of funding such as appropriation, grants or fees beyond the power to charge for admission (s 13(1)(k)). The instrument does not set out criminal penalties or enforcement sanctions within the text provided. Enforcement is effected by the regulatory approvals, reporting, removal powers and obligations noted above.

The regulations provided primarily establish administrative controls and obligations rather than enumerating express criminal offences or pecuniary penalties. Enforcement mechanisms within the instrument operate through governance powers, approval requirements, reporting obligations and Ministerial/Treasurer discretion.

Administrative enforcement mechanisms in the instrument

• Ministerial oversight and controls. The Minister prepares and may amend the charter and performance statement, must be consulted on material policy or budget changes (s 13(2), s 14(1)-(7), s 15). The Minister can require the subsidiary to furnish records and information in the form and manner required (s 21(1)). The Minister may also attend board meetings (via an authorised representative) and access board papers (s 11(10)). The Minister can remove a director by written notice (s 8(2)(f)) and determine directors’ remuneration paid from subsidiary funds (s 10). These powers allow the Minister to supervise the subsidiary’s compliance and reshape governance where the Minister considers it necessary.

• Treasurer approval conditions. The Treasurer’s prior written approval is required for lending and advancing assets, and for commercial borrowings (s 20(1)-(2)). The Treasurer’s approval is also required before the subsidiary establishes trusts, partnerships or profit-sharing/joint venture arrangements for sharing profits (s 17). Requiring Treasurer approval for these financial actions creates a financial gatekeeper function to limit unapproved exposure.

• Reporting and audit obligations. The subsidiary must establish and maintain internal auditing arrangements (s 18), provide quarterly financial reports to the Minister (s 19), and deliver audited financial statements and an annual report within three months of financial year end (s 23(1)). These requirements enable oversight, transparency and the ability for remedial administrative responses where financial mismanagement is detected.

Legal consequences not specified in the instrument

• No express criminal offences or monetary penalties are set out in these regulations as provided. The instrument does not in itself prescribe sanctioning powers beyond removal of directors, withholding of approvals, or other administrative actions the Minister or Treasurer may take under their statutory powers. Where breaches of the Act or other laws occur, enforcement mechanisms under those laws would be engaged; the regulations themselves do not detail those remedies.

Practical enforcement implications

• Actions carried out without required approvals (Ministerial or Treasurer) will be unauthorised under the regime established by these regulations. The instrument does not state the legal effect of unauthorised acts; practitioners should consider whether such acts may be ultra vires, voidable or otherwise subject to remedies under the Act or general law. The regulations do preserve board acts from invalidation purely on account of vacancies or defects in appointment (s 9), which mitigates some technical challenge risks, but do not insulate substantive non-compliance with approval or reporting requirements.

• The Minister’s ability to require information and to copy and retain records (s 21(1)-(2)) and the obligation to table charters and annual reports before Parliament (ss 14(7), 23(2)) generate political and parliamentary accountability as an enforcement channel. Oversight by the Treasurer on financial matters adds an additional control.

• Directors are exposed to office vacation events that include bankruptcy, conviction of an indictable offence or imprisonment (s 8(2)(d)-(e)), which function as bright-line triggers with immediate governance consequences.

In summary, enforcement in this instrument is administrative and supervisory, implemented by ministerial direction, removal powers, approval gates and reporting obligations. The regulations do not themselves set out criminal penalty regimes or specific pecuniary sanctions.

Primary statutory interaction: Public Corporations Act 1993. The regulations are made under the Act and explicitly apply listed provisions of the Act to the Minister (Part 2, s 4). The provisions applied are Part 1 (Preliminary), section 24 (Formation of subsidiary by regulation), section 25 (Dissolution of subsidiary established by regulation), and the Schedule (Provisions applicable to subsidiaries), other than clause 12 (s 4). This means the subsidiary and ministerial functions sit within the Act’s broader statutory framework for public corporations.

Ministerial and Treasury oversight continuity: The regulations allocate particular decision-making roles to the Minister and the Treasurer. Treasurer approvals for lending, advances and commercial borrowings (s 20) and for trusts, partnerships and profit-sharing joint ventures (s 17) create points of contact with financial management legislation and Treasury policy. That interaction implies that Commonwealth or state financial management regimes and Treasurer directions may apply to the exercise of those approval powers, though the regulations themselves do not quote or reproduce external financial management rules.

Parliamentary accountability and standing orders: The requirement that the Minister lay the charter and annual report before both Houses within 12 sitting days (ss 14(7), 23(2)) invokes parliamentary processes and may interact with standing orders, public accounts scrutiny, and parliamentary committee oversight. The instrument therefore intersects with parliamentary mechanisms for transparency, though the specifics depend on parliamentary practice.

General administrative law: The Minister’s powers to appoint, remove and direct directors, to request information and to approve or refuse certain actions will engage administrative law principles (procedural fairness, lawful exercise of power, reasonableness) when exercised. The regulations do not specify internal appeal routes or statutory review mechanisms; any aggrieved party would look to judicial review remedies under general administrative law.

Contract and corporate law: The subsidiary’s capacity to enter into contracts, to form corporate subsidiaries (with Minister approval), and to hold and dispose of intellectual property (s 13(1)(h)-(j); s 16) interacts with the general law on corporations, property and contract. The execution rules for documents (s 22) will be relevant to determining validity of deeds and contracts under the general law. The prohibition on creating subsidiary companies or acquiring relevant share interests without Ministerial approval (s 16(1)) creates an overlay on corporate action that may otherwise be permitted under corporate law.

Confidentiality and disclosure laws: The regulations permit the Minister to receive confidential information and require written notice to the person owed the confidence if the subsidiary discloses a confidential matter to the Minister (s 12(1); s 21(1)-(4)). The Minister must ensure observance of duties of confidence if satisfied of their existence (s 11(12); s 21(4)), but disclosure may still occur as necessary for proper ministerial functions. These provisions must be read alongside other confidentiality regimes and public interest disclosure frameworks that may impose separate obligations or protections.

Financial reporting and audit regimes: The requirement for internal audit (s 18) and audited annual accounts (s 23(1)) suggests interaction with audit standards, public-sector accounting standards and potentially with an Auditor-General’s functions, depending on the broader statutory audit framework for public entities in South Australia. The regulations do not itself specify which audit standards apply; other statutes or ministerial directions may supply those requirements.

Legislation Revision and Publication Act implications: The legislative history notes that certain technical changes were effected under the Legislation Revision and Publication Act 2002, such as omission of r 2 and a schedule clause (Legislative history). Those changes are procedural and affect how the regulations are published and revised. Practitioners should check consolidated statutes to capture those technical amendments.

Limits of the text: The regulations do not reproduce the entirety of the Act or other instruments they interact with. As such, compliance and enforcement may involve reading the Public Corporations Act 1993 and applicable financial management, accounting, audit and administrative law frameworks to understand the full set of legal obligations and remedies.

The principal instrument was made in 2017. The legislative history in the instrument records:

• Public Corporations (Adelaide Film Festival) Regulations 2017, No 72, Gazette 30.5.2017 p1984, commencement 30.5.2017 (r 2).

• A subsequent variation in 2023, Gazette 1.6.2023 p1393, Commencement 1.6.2023 (r 2), numbered 54/2023. The entries indicate that regulation 2 was omitted under the Legislation Revision and Publication Act 2002 on 1.6.2023, and regulation 13(1) was amended by 54/2023 r 3 on 1.6.2023. Schedule 1, cl 1 was also omitted under the Legislation Revision and Publication Act 2002 on 1.6.2023. The published table records which provisions were varied and identifies the 2023 instrument as the source of the variation.

What the amendments show in statutory terms

• The 2017 instrument replaced the earlier Public Corporations (Adelaide Film Festival) Regulations 2002 (Legislative history: “The Public Corporations (Adelaide Film Festival) Regulations 2017 revoked the following: Public Corporations (Adelaide Film Festival) Regulations 2002”).

• The 2023 instrument made at least one substantive change to the functions provision (regulation 13(1)) and effected editorial revisions or omissions under the Legislation Revision and Publication Act 2002 such as removing regulation 2 and a schedule clause. The legislative history does not supply the text of the earlier or amended versions; it only records the variation. The consolidated text reproduced here appears to reflect the post-amendment form where r 13(1) is the functions enumeration currently in force.

Transitional provision

• Schedule 1 contains a transitional clause preserving continuity of board membership. A member of the board holding office immediately before commencement of Schedule 1 will continue in office only for the balance of their term (Schedule 1, cl 2). The legislative history shows some schedule entries were omitted under revision law in 2023, but the transitional protection preserving incumbents for the remainder of their term remains recorded.

Practical steps for tracking change

• Because regulation 13(1) was amended in 2023, practitioners should review the version history of r 13(1) to identify textual differences and assess any operational impacts on permitted functions. The legislative history lists the instruments and commencement dates; for the full amendment text, consult the 2023 instrument 54/2023 and the consolidated regulations as maintained by the South Australian legislation portal.

• Any ministerial instruments or charters made under the regulations (s 14) will reflect and operationalise changes to the subsidiary’s statutory remit. The Minister is required to cause the charter or its amendment to be laid before both Houses within 12 sitting days after coming into force (s 14(7)), creating a contemporaneous paper trail that will reflect the subsidiary’s current obligations following amendments.

The text of the regulations provided contains no recorded litigation history, and no cases are cited in the instrument. The legislative history section lists only the instruments made and revoked and the variation entries; it does not include court decisions. Therefore, within the source text there are no judicial authorities or litigation outcomes that interpret these regulations.

Implications for legal practitioners

• Absence of litigation in the instrument does not mean the subordinate instrument has never been the subject of judicial review or dispute. It means the instrument itself does not provide or catalogue case law. To determine any litigation that has engaged these regulations or their predecessor instruments, practitioners must consult case law databases, tribunal decisions and reports of judicial review involving the Adelaide Film Festival subsidiary, the Minister for the Arts, or actions taken under the Public Corporations Act 1993.

• Particular areas where litigation or review might plausibly arise include: ministerial appointment/removal of directors (s 7, s 8(2)(f)), exercise of Treasurer approval powers (ss 17, 20), alleged ultra vires acts by the subsidiary (acts beyond the functions set out in s 13), disputes about the validity of contracts executed under the seal or by authorised signatories (s 22), and claims about improper disclosure or confidentiality where the Minister either discloses or withholds information (ss 11(11)-(12), 12(1), 21(3)-(4)). The instrument itself does not record whether any such litigation has occurred.

Recommended approach to find litigation

• Search South Australian and federal court databases, tribunal records and legal reporting services for decisions mentioning the Adelaide Film Festival, the subsidiary, the Minister for the Arts, or the Public Corporations (Adelaide Film Festival) Regulations 2017. Check decisions involving the Public Corporations Act 1993 as well, since that Act provides the statutory backdrop and additional enforcement mechanisms may be found there.

• Review parliamentary materials, ministerial correspondence and audit reports for any contested administrative decisions that might have proceeded to litigation or formal revision.

1. The "as far as practicable" gender balance duty is not a strict quota (s 7(2)). The board "must, as far as practicable, be comprised of equal numbers of women and men." That phrase creates a flexible obligation and will likely be interpreted in light of practical constraints such as available candidates, required skills and the cap on board size (s 7(1)). It is not an absolute numerical mandate and may be evidence in challenge only to the extent a complainant can show practicability was ignored.

2. Ministerial removal power is broad and unqualified in the regulations (s 8(2)(f)). The Minister may remove a director by written notice. The instrument does not set out procedural protections or grounds for removal. Administrative law limits on the exercise of ministerial power remain available but are not explicit in the text.

3. Approval gates create conditional capacity. The subsidiary cannot form subsidiary companies without Minister approval (s 16(1)) and cannot enter trust, partnership or profit-sharing joint ventures without Treasurer approval (s 17). Similarly, lending, advancing assets and commercial borrowing require Treasurer approval (s 20). These pre-approvals may materially constrain strategic commercial activity and can cause delays if approvals are withheld or conditions are imposed.

4. Confidentiality is qualified. The board can notify the Minister that materials should be treated as confidential and the Minister, if satisfied, must ensure observance of that duty (s 11(12); s 21(4)). However, the instrument also allows disclosure "as required in the proper performance of ministerial functions or duties" (s 11(12); s 21(4)). Practically, this means confidentiality protections can be overridden for official functions, which may create tension with private counterparties or artists expecting strict confidentiality.

5. Directors’ remuneration comes from subsidiary funds and is Minister-determined (s 10). The Minister’s control over remuneration may create conflicts of interest or perceptions of dependency; the regulations do not establish an independent remuneration committee or remuneration-setting process.

6. Quorum and voting arithmetic can be counterintuitive. Quorum is calculated as one half of the total number of members ignoring fractions, plus one (s 11(1)). For boards with an even or odd number of members, this formula produces particular cut-offs. A small board (for example, three or four members) must be mindful that missing a single member may prevent valid quorate meetings. The board must meet at least six times per year (s 11(8)), which is a firm minimum.

7. Vacancy and defect protection is limited. Acts of the board are not invalid merely because of vacancies or defects in appointment (s 9). That protects continuity but does not validate acts beyond statutory functions or where approvals were required but not obtained.

8. Annual reporting timeline is strict but enforcement unspecified. The subsidiary must deliver audited statements and an annual report within three months of year end (s 23(1)), and the Minister must lay it before both Houses within 12 sitting days of receipt (s 23(2)). The regulations do not specify consequences for late filing, but late disclosure can have political and administrative consequences.

9. Document execution formalities may trip counterparties. The common seal requires attestation by two directors for affixation (s 22(1)). The board may authorise employees to execute documents (s 22(2)), but third parties dealing with the subsidiary should confirm that execution complies with the instrument’s authorisation procedures.

10. Limited specification of funding sources. The regulations do not set out whether or how the subsidiary will be funded by parliamentary appropriation or grants, beyond its power to charge admission (s 13(1)(k)). Funding arrangements and financial resilience considerations will therefore rely on external instruments or contractual revenue, creating potential uncertainty for medium-term planning.

11. Ministerial representative may attend board meetings but cannot participate (s 11(10)). The presence of a Minister’s representative gives the Minister visibility but does not entitle the representative to vote or participate in deliberations. However, the board may advise the Minister that matters should be confidential (s 11(11)). Practitioners should anticipate both reporting and confidentiality management when sensitive matters are discussed.

12. The instrument leaves unspecified many operational details to the charter. The Minister’s charter (s 14) will determine the subsidiary’s operational parameters, accounting formats and internal controls, and the Minister may amend the charter at any time (s 14(5)). Much practical compliance therefore depends on the content of the charter, which must be reviewed each financial year (s 14(4)).

Governance and board compliance

• Appointment and tenure. Ensure all director appointments comply with the cap on numbers (not more than eight) and aim for gender balance "as far as practicable" (s 7(1)-(2)). Record terms of appointment in writing and limit each appointment to a maximum term of three years (s 8(1)). Track cumulative continuous service to prevent a director exceeding nine consecutive years (s 8(1)). Maintain instruments of appointment and any deputy appointments in writing and on file, noting the substitute arrangements authorised by regulation (s 7(4), (6)).

• Meetings and minutes. Schedule at least six board meetings per year and ensure notice procedures for meetings, including telephone or video conferencing where the board permits such meetings under the rules (s 11(6), (8)). Keep accurate minutes of each meeting (s 11(9)). Monitor quorum requirements closely using the formula provided (s 11(1)). If relying on circular resolutions, ensure notice is given to all directors in accordance with board procedures and that a majority of directors express written concurrence setting out the resolution (s 11(7)).

• Chair and presiding arrangements. Ensure the Minister’s appointed chair is recorded and that deputy chair arrangements are documented. For meetings where the chair is absent, the deputy or a director chosen by those present should preside as specified (s 7(3)-(4); s 11(2)-(3)).

Operational and statutory obligations

• Charter and performance statement. Work with the Minister to obtain the charter and performance statement, and align subsidiary policies and accounting practices with the charter’s requirements (s 14(1)-(3); s 15(1)). Plan for the annual review of the charter and performance statement in consultation with the Minister (s 14(4); s 15(2)). Keep copies of the charter and note the requirement for the Minister to lay the charter or amendments before both Houses within 12 sitting days after coming into force (s 14(6)-(7)).

• Policy and budget changes. Obtain prior written Ministerial approval before making any material change to the subsidiary’s policy direction or budget (s 13(2)). Define internal thresholds or criteria for what the subsidiary considers "material" so that timely approval requests can be made and recorded.

Financial compliance and approvals

• Internal audit and quarterly reporting. Establish and maintain an internal audit function and audit plan (s 18). Prepare and deliver quarterly reports on the subsidiary’s financial position to the Minister in the manner and form the Minister may require (s 19; s 21(1)). Create templates and internal controls to ensure consistent quarterly financial reporting.

• Treasurer approvals and limits on borrowing and lending. Do not lend, advance, or otherwise transfer money, securities or property, or undertake commercial borrowings, without prior written approval from the Treasurer (s 20(1)-(2)). Similarly, do not enter trust schemes, partnerships, profit-sharing joint ventures, or other profit-sharing arrangements without Treasurer approval (s 17). Implement internal approval workflows that require a Treasurer-approval checklist before initiating such transactions. Maintain written records of any approvals granted.

• Subsidiary companies. Obtain prior Ministerial approval before forming a subsidiary company or acquiring relevant interests in shares that would result in another corporation becoming a subsidiary of the Adelaide Film Festival (s 16(1)). If approval is given, be prepared to include constitutional provisions for the subsidiary company as required by the Minister (s 16(2)(a)-(b)).

Contracts and document execution

• Execution formalities. Use the common seal only pursuant to a board decision and ensure attestation by two directors when the seal is affixed (s 22(1)). Where the board authorises employees or other persons to sign documents, ensure the authorisation is in writing under the common seal or in accordance with the form of authority the board resolves (s 22(2)-(4)). Confirm with counterparties the authorised signatories and preserve records of authorising instruments.

Reporting and parliamentary obligations

• Annual report and audited statements. Produce audited financial statements and an annual report within three months of the end of the financial year, and deliver them to the Minister (s 23(1)). Prepare material for parliamentary tabling and maintain records to facilitate the Minister’s obligation to lay the report before both Houses within 12 sitting days (s 23(2)). Coordinate with the Auditor or relevant audit authority to ensure timely audit completion.

Confidentiality and information provision

• Handling confidential material. When disclosing confidential matters to the Minister, provide written notice to the person owed the duty of confidence as required (s 12(1)). If the board believes a matter should be confidential, provide reasoned advice to the Minister under s 11(11); be prepared to document the basis for confidentiality claims and the potential consequences for disclosure in ministerial functions (s 11(11)-(12); s 21(3)-(4)).

Remuneration and conflicts

• Directors’ remuneration. Record and implement the Minister-determined remuneration, allowances and expenses for directors and ensure payments are made from the subsidiary’s funds as authorised (s 10). Keep proper disclosure and conflict of interest records for directors, noting any contractual or commercial relationships between directors and the subsidiary.

Operational planning within statutory scope

• Stay within prescribed functions. When planning new initiatives or revenue streams, evaluate whether proposals fall within the functions set out in s 13(1), or whether they constitute a "material change" to policy or budget requiring Ministerial approval (s 13(2)). For proposals that could involve forming a corporate subsidiary, entering profit-sharing arrangements, or taking on significant borrowings, initiate pre-approval engagement with the Minister and Treasurer as required (ss 16, 17, 20).

Records, audit trail and transparency

• Maintain a robust audit trail for board decisions, Ministerial and Treasurer approvals, contracts, financial transactions and minutes. This supports reporting obligations, internal auditing and the subsidiary’s ability to demonstrate compliance with the regulations and the charter.

Practical checklists and systems

• Create governance checklists for: director appointments and tenure tracking; meeting notices and quorum verification; resolution circulation and written concurrence records; charter and performance statement compliance; quarterly and annual reporting timelines; Treasurer/Minister approval request templates; and document execution authorisation registers.

Engage early with Ministerial and Treasurer offices

• Because many strategic moves require prior written approval from the Minister or Treasurer, engage early and maintain clear, complete business cases and risk assessments when seeking approvals for material policy changes, subsidiary formation, borrowing or joint ventures.

In sum, compliance is an operational task of aligning board practice, internal controls, financial reporting and strategic planning with the approvals and reporting gates set out in the regulations. The charter prepared by the Minister will supply further operational detail, so coordinate compliance planning with the charter’s requirements and the Minister’s office.
