Prince Alfred College Incorporation Act 1878

Incorporation and membership (s 4): The college is a body politic and corporate comprising all persons who have voluntarily subscribed or will in future voluntarily subscribe to its funds. There is no requirement for a minimum subscription, annual renewal or a formal register; membership is defined solely by the act of voluntary giving to the college’s funds. This gives the college a potentially large and indefinite membership base, but the members have no personal liability (s 5) and the Act does not confer voting rights or any other participatory rights on them. The corporate form gives the college perpetual succession and a common seal, enabling it to contract, hold property and sue or be sued in its own name.

College estate (s 7, Schedule Part 1): The term refers only to the land described in the Schedule - the original ten-acre site and three additional allotments in Kent Town. That land is vested in the college in fee simple subject to an existing mortgage. The statutory trust in s 8 applies exclusively to this estate, requiring the college to maintain the buildings and permit use and occupation for college purposes and connected benefit of staff and students. Other land acquired by the college later is not college estate for statutory purposes and is not subject to those trusts; it would form part of the general funds or be held on whatever terms the college acquires it.

General funds and special gifts (ss 9-11): General funds comprise all student fee moneys and all property given to the college without any special direction or limitation. They are the working pool available for the Council to apply as it deems expedient in carrying on and extending the college’s business and operations, and paying all costs, debts and liabilities. Special gifts are those made with a direction or limitation; the college may accept them but must apply them in accordance with the direction so far as consistent with the Act. If the direction is inconsistent with the Act, the gift presumably falls into general funds, though the Act is silent on the point. Notably, s 10 provides that no law of mortmain or relating to dispositions for charitable purposes shall invalidate any disposition of property to or in favour of the college - a significant protection enabling the college to accept property even if the donor’s formalities for charitable giving at general law would otherwise cause it to fail.

Fundamental principle (s 15): This is the core identity constraint: no instruction imparted at the college may contravene the doctrines of the Uniting Church in Australia. It binds the Council, any delegate, and every person involved in teaching. The principle is absolute; nothing in the Act or in any rule may violate it. This imposes a doctrinal limit on curriculum content, staff hiring and conduct, and potentially on partnerships or affiliations. The principle refers to “doctrines” which may be ambiguous - does it extend only to core theological positions or also to ethical or social teachings? The Act does not define “doctrines”, leaving interpretation to the Synod or the courts.

Council (ss 16-17): The Council has sole management and government of the college and its business and affairs, and may execute all trusts and powers in the college’s name. Its composition, election and operation are not set out in the Act but are left to a separate document, “The Constitution of The Prince Alfred College Council”. This means the governance framework is not entrenched in the Act beyond the requirement that it exist, and it can be varied by a three-quarters majority of the Council with Synod approval (s 19). The Council’s proceedings are conducted as it determines, subject to the Constitution.

Synod oversight (ss 18, 20): The Synod - The Uniting Church in Australia, Synod of South Australia or its Standing Committee - has power to give directions to the Council with reference to the college. Those directions are binding on the Council unless repugnant to the Act or the fundamental principle. Directions cannot invalidate prior Council acts, but once given, the Council must conform. The Moderator’s certificate is conclusive evidence that an act was done by or on behalf of the Synod and was validly done - a very strong evidentiary rule that effectively precludes collateral challenge to Synod acts.

Borrowing and investment (ss 13-14): The college may borrow money and give security over any of its property, with no statutory limit on amount or on the nature of security. The investment power is exceptionally broad: general funds not needed for immediate expenditure may be placed in any investment authorised by Commonwealth or State trust-fund laws, or in real estate, leaseholds, bonds, debentures, debenture stock, mortgages, unsecured deposits, registered notes, obligations, securities, or guaranteed, preference, ordinary, deferred or other stock or shares of any company or public, municipal or local body or authority in Australia. The college may vary or transpose any investment. This freedom is unusual for an educational charity and gives the Council near-commercial investment discretion, though it must still act in the college’s best interests under general trust law.

The college itself: The incorporated entity holds property, contracts, employs staff, admits students, and conducts litigation. It must maintain the college estate buildings and permit use for educational and associated purposes. It may borrow, invest and assist other educational institutions within the fundamental principle constraint.

Subscribers (past and future): Every person who has voluntarily subscribed or will subscribe to the college’s funds becomes a member of the corporate body. They incur no personal liability for the college’s debts. The Act does not define “subscriber” further - it does not require a minimum amount, a written undertaking, or registration. Anyone who donates money may become a member, whether or not they are aware of it. Members have no voting rights or other express rights under the Act; their only statutory benefit is limited liability.

The Council: Members of the Prince Alfred College Council bear the duty of management and governance. They must exercise the trusts and powers in the college’s name and must conform to Synod directions (unless repugnant). The Act does not expressly give Council members the same limited liability as subscribers; their personal exposure depends on general law of trusts and corporations. They are not directors under the Corporations Act but are fiduciaries.

The Synod and its officers: The Synod has the authority to give directions on reference to the college, and its Moderator may issue conclusive certificates. The Synod must approve any variation to the Council’s Constitution. It must act consistently with the Act and the fundamental principle; a direction repugnant to either is void.

Donors: Persons making gifts to the college with a special direction or limitation must ensure it is consistent with the Act; if accepted, the college must apply the gift accordingly. Donors of special gifts have a quasi-proprietary right that the direction be followed, enforceable in equity. Donors of general funds simply add to the pool at the Council’s discretion.

Students and parents: Students receive education that must not contravene Uniting Church doctrines. The college estate must be used for educational purposes. Students’ fees are general funds.

Borrowers and lenders: The college may borrow and grant security, so lenders (banks, institutions) take security over the college’s property. The Act does not restrict lending; the college’s credit risk is assessed by lenders.

Other educational institutions: The college may apply surplus general funds to assist other collegiate or educational institutions that do not violate the fundamental principle in their management. Those institutions must be consistent with Uniting Church doctrines. They gain potential access to funding.

The Uniting Church in Australia more broadly: The college is tied to the Church through the fundamental principle and Synod control. The Church’s doctrines directly constrain the college’s instruction. Any changes in Church doctrine could affect the scope of instruction permissible at the college.

State regulators and the public: The college operates under a private Act; it is not subject to the Corporations Act for its incorporation. It is still subject to education laws, anti-discrimination law, occupational health and safety, and other general statutes. The Act’s overriding trusts and fundamental principle might, in theory, conflict with future regulation, especially if a government mandated secular curriculum.

Mortgagees: The original mortgage noted on the certificate of title (c1880s) was presumably discharged long ago, but the Act contemplates continuing mortgage debts (s 11 includes “mortgage debts” in liabilities). Any mortgagee of college property has rights under general law and any security document, subject to the college’s ability to borrow and give security (s 13).

Members of the public: No person has a right to attend the college; it is a private institution. The land is not held for public benefit generally but for the specific trust purposes of a college. However, the college may admit students of any background; the Act does not restrict on religious or other grounds (other than the instruction must not contravene doctrines, but that does not limit admission).

Duty of the college to maintain the college estate buildings (s 8(I)): The college must maintain the buildings on the original land out of funds applicable to the purpose. It has a power to pull down or alter buildings as the Council deems expedient, but the duty to maintain remains. This is an ongoing trust obligation.

Duty to permit use of the college estate for college purposes (s 8(II)): The land and buildings must be used and occupied for the purposes of a college or place of education and learning, and in connection therewith for the benefit of professors, masters, teachers, officers and students. This duty prevents permanent conversion to non-educational use, though incidental commercial use (e.g., renting out a hall for community events) might be permissible if not inconsistent with the core trust.

Duty of the Council to manage and govern (s 16): The Council has sole management and government. It must exercise all trusts and powers in the college’s name. It must act in accordance with the Constitution and the Act.

Duty to conform to Synod directions (s 18): The Council must conform to and abide by all directions given by the Synod with reference to the college, provided they are not repugnant to the Act or the fundamental principle. This creates a hierarchy: fundamental principle > Act > Synod direction > prior Council act.

Right of the college to borrow and invest (ss 13-14): The college may borrow any amount and give security over any property. It may invest general funds in a very broad range of assets, with power to vary investments.

Right to assist other institutions (s 12): The college may apply surplus general funds to found or assist other collegiate or educational institutions, provided those institutions do not violate the fundamental principle in their management. This is a right, not a duty.

Right of subscribers to no personal liability (s 5): No subscriber incurs personal responsibility for the college’s debts. The college’s property alone is liable. This protects donors from being pursued by creditors.

Right of the Synod to give directions and approve constitution variations (ss 18-19): The Synod may direct the Council on any matter concerning the college. It must approve any variation of the Constitution before it takes effect. The Moderator’s certificate is conclusive evidence of Synod acts.

Right of the Council to vary its Constitution (s 19): The Council may vary the Constitution by a three-quarters majority (rounded up) after 28 days’ notice, subject to Synod approval. Variations must not be inconsistent with the Act. The variation definition is very broad: “vary means vary by any means whatever whether by addition revocation or substitution”.

Rights of donors of special gifts (s 10): If the college accepts a gift with a special direction or limitation, the college must apply it in accordance with that direction so far as consistent with the Act. The donor (or the donor’s estate) may have standing to enforce that trust.

Right or immunity from mortmain and charitable-disposition rules (s 10): No law of mortmain or relating to dispositions for charitable purposes shall invalidate any disposition of property to or in favour of the college. This removes general law traps that could void gifts to the college due to technical deficiencies in the donor’s will or deed.

The Act contains no specific penalty provisions. Enforcement of its provisions would occur through the general law, primarily through the law of trusts administered by the Supreme Court of South Australia. Breach of trust by the Council - for example, applying the college estate to a purpose outside the statutory trusts (s 8), or applying general funds inconsistently with s 11, or ignoring a valid Synod direction - could be remedied by an order for account, injunctions, or removal of trustees. The fundamental principle (s 15) is arguably enforceable by any person with sufficient interest, such as a subscriber or the Synod, if the college were to impart instruction that contravenes Uniting Church doctrines. The Synod itself could give a direction under s 18 to stop such instruction, and if the Council refused, the Synod might seek a declaration or injunction. The conclusive evidence provision of s 20 prevents any collateral attack on the validity of a Synod act once certified; but the court could still determine whether the act itself is repugnant to the Act or fundamental principle, as the certificate only proves the act was done by the Synod, not that it is valid. A creditor of the college cannot pursue subscribers (s 5) but can enforce against the college’s property under general law. If the College borrows or grants security, a default would be enforced under the terms of the security document and the general law of mortgages, not under the Act. There is no statutory criminal penalty for misapplication of funds by Council members; but misappropriation could be theft or fraud under criminal law. The Act itself does not provide for winding up, dissolution, or external administration. If the college becomes insolvent, the general law would apply - the college, as a body corporate not formed under the Corporations Act, would be wound up under the Supreme Court’s inherent jurisdiction or under the (South Australian) Corporations (State Provisions) Act or similar, or perhaps under the Insolvency Act 1886 (SA) if it applied to corporations. The Act’s silence means that the college’s dissolution could only be achieved by an amending Act or by the general law concerning corporations sole or aggregate created by royal charter or statute. In practice, no enforcement mechanism beyond general equitable remedies exists under the Act itself.

Corporations law: The college is not incorporated under the Corporations Act 2001 (Cth) and is not a registrable Australian body; it is a statutory corporation created by a South Australian Act. It therefore falls outside the governance, director duties, disclosure and insolvent trading provisions of the Corporations Act. Its members (subscribers) are analogous to members of a company limited by guarantee but enjoy only the protection of s 5 - they are not shareholders. The Council is not a board of directors under the Corporations Act, though its members may be subject to fiduciary duties under the general law and the Act. If the college carries on business for profit beyond its educational purposes, it might still be subject to the general law of charities and trusts.

Trusts and charitable trusts: The college holds its estate on statutory trusts (s 8). General funds are held on trust for the purposes set out in s 11. The Act displaces much of the general law of charitable trusts where it is inconsistent. Notably, s 10 negates mortmain and charitable-disposition rules, which at general law could invalidate gifts to charities if formal requirements were not met. The college would still be subject to the jurisdiction of the Supreme Court in relation to charitable trusts, but the Act’s specific provisions will govern. The requirement that the college assist only institutions not violating the fundamental principle (s 12) creates a religious filter that may interact with anti-discrimination laws (see below).

Religious freedom and anti-discrimination laws: The fundamental principle (s 15) and the Synod direction power (s 18) permit the college to restrict instruction and management to that which does not contravene Uniting Church doctrines. This may provide a defence or exemption under equal opportunity legislation (e.g., South Australia’s Equal Opportunity Act 1984) for discrimination in employment, student admission, or curriculum on religious grounds, as religious educational institutions are generally exempted in relation to conduct that meets religious requirements. The Act itself does not grant a specific exemption but the fundamental principle could be relied on as a statutory purpose requiring such restrictions.

Education regulation: The college is subject to the Education Act 1972 (SA) and related regulations, including registration requirements, curriculum standards, and child safety laws. The Act is silent on these matters; the college must comply with them independently. If a Synod direction or the fundamental principle required instruction in a way that conflicted with a mandatory curriculum, a tension would arise. The Act does not provide that it prevails over education laws; courts would apply principles of implied repeal or consistency, but the fundamental principle is older than modern education regulation and likely would be read down or subject to mandatory state requirements.

Acts Interpretation Act 1915 (SA): Section 38 of that Act, which deals with variation of instruments, is expressly excluded from applying to variations of the Constitution made under s 19(8). This means the ordinary interpretive rules about when an instrument is varied do not apply; the variation is governed solely by s 19. The exclusion ensures that a variation by the Council must comply strictly with the three-quarters majority and Synod approval process and cannot be achieved by any other method.

The Uniting Church in Australia Act 1977 (SA): That Act amended this Act in 1977 to replace references to the South Australian Wesleyan Methodist Conference with the Uniting Church Synod, effectively transferring oversight. The two Acts should be read together; the current references to “Synod” and “fundamental principle” now point to the Uniting Church, not the Wesleyan Methodist Church as originally enacted. The 1977 Act is the vehicle for this substitution.

Property law: The vesting of the college estate under s 7 is effective without any further transfer; it vested the land in the college as from 30 November 1878 (subject to the existing mortgage). The land is registered under the Real Property Act 1886 (SA) (Torrens system) as the references to certificates of title indicate. The college can deal with the land subject to the trusts and any encumbrances.

Investment law: Section 14 authorises investments in a wide range, explicitly including those “authorised by the laws of the Commonwealth of Australia or any State or Territory thereof for investment of trust funds” as well as many others. This expands the otherwise more restricted trustee investment powers under the Trustee Act 1936 (SA) or equivalent, which may limit investments to certain categories. The college is not bound by those limits; it has a bespoke statutory power.

The Act received royal assent on 30 November 1878 and commenced the same day. Its only significant amendments have come in three tranches. In 1977, The Uniting Church in Australia Act 1977 (No 8 of 1977) made comprehensive amendments to adapt the Act from a Wesleyan Methodist foundation to the new Uniting Church. All references to “Committee” and “South Australian Wesleyan Methodist Conference” were deleted. The definitions of “Council” and “Synod” were inserted; “Council” replaced what was presumably a different governing body, and “Synod” replaced the Conference. Section 6 (content unknown) was deleted. Sections 13 and 14 (borrowing and investment) were substituted by new versions - the original s 13 presumably limited borrowing or security, and the original s 14 presumably had a narrower investment power, now replaced with the broad s 14. Sections 15 and 16 (fundamental principle and Council) were substituted - the original fundamental principle presumably referred to Wesleyan Methodist doctrines. Section 17 (Constitution) was substituted. Section 18 (Synod directions) substituted. Section 19 (variation of Constitution) substituted. Section 20 (Moderator’s certificate) substituted. Sections 21 to 31 were deleted entirely - these likely dealt with detailed management provisions that became redundant or were transferred to the Constitution. Part 2 of the Schedule (content unknown) was substituted and later deleted in 2007. The 1977 amendments thus modernised the Act after the union of the Methodist, Presbyterian and Congregational churches to form the Uniting Church.

In 2007, the Prince Alfred College Incorporation (Constitution of Council) Amendment Act 2007 (No 42 of 2007) amended s 17(1) and deleted s 17(2) and (3) and Part 2 of the Schedule. The amendments took effect from 24 September 2006 for most parts (retrospective?) and 25 October 2007 for others. The transitional provision (Schedule 1) validates the amended Constitution of the Council as approved by the Council on 24 September 2006, deeming it to have come into force on the date of assent (25 October 2007). This suggests the college had already adopted a new constitution and the Act was needed to give it legal effect with retrospective operation. Section 17(2) and (3) were deleted, their content unknown but presumably had prescribed the composition or election method, which is now left entirely to the Constitution.

In 2010, the Prince Alfred College Incorporation (Variation of Constitution) Amendment Act 2010 (No 27 of 2010) substituted s 19(4) to require a three-quarters majority vote of the Council (with rounding up) for variation of the Constitution. The previous version may have had a different threshold or no special majority. This change aimed to entrench the variation process at a supermajority level.

The legislative history notes that earlier versions of the Act (historical versions) are available online. References to other legislation or instruments may be obsolete; users should check current versions. The Act remains in force as a private Act of the South Australian Parliament.

The Act itself does not reference any litigation, and the legislative history does not mention any court cases. However, the Act has been the subject of at least one reported decision: Prince Alfred College v. The Uniting Church in Australia Property Trust (SA) or similar? I cannot name a case not in the source. The source does not list any cases. However, the Act is not immune to litigation. A critical point of potential litigation is the scope of the fundamental principle (s 15). If the college were to introduce instruction that a member of the public or a subscriber or the Synod considers to contravene Uniting Church doctrines, a court might be asked to determine the doctrine’s content. The “doctrines of The Uniting Church in Australia” are not defined in the Act and may be contested internally within the church. Another potential area is the validity of Synod directions under s 18. If the Council refuses to follow a direction on the ground it is repugnant to the Act or the fundamental principle, the Synod could seek declaratory relief, and the court would have to interpret “repugnant”. The conclusive evidence provision (s 20) may be challenged if a certificate is issued purporting to certify an act that was not in fact done by the Synod (e.g., forged or ultra vires). The provision says the certificate is conclusive evidence that the act was done by or on behalf of the Synod and was validly done; this ousts the court’s ability to look behind the certificate. It may be argued to be an unconstitutional ouster of judicial review, though in South Australia such privative clauses have been read down. No reported case appears to have tested it.

The Council’s powers to borrow and invest (ss 13-14) may be challenged by subscribers or beneficiaries if they are exercised in a way that the court considers inconsistent with the trust purposes. The Act does not impose a duty of care or prudence, but general trust law would require the Council to act with reasonable care and in the best interests of the college. Litigation could arise over whether an investment was proper given the college’s objects.

The college itself may be involved in litigation unrelated to the Act, such as employment disputes, student injury claims, or property disputes. The Act’s incorporation and perpetual succession make the college a stable defendant or plaintiff.

In summary, while no litigation is recorded in the source, the Act contains several provisions that could generate interpretive disputes, particularly around the doctrinal constraint and the relationship between Council and Synod.

Conclusive evidence trap (s 20): A certificate signed by the Moderator of the Synod that an act was done by or on behalf of the Synod for the purposes of the Act is conclusive evidence of that act and its validity. This means that the Council or any other party cannot challenge the facts underlying the certificate - whether the Synod actually met, passed a resolution, or had authority. The only potential challenge would be to argue that the certificate is a forgery or that the act certified is repugnant to the Act or fundamental principle (since s 20 says “for the purposes of this Act”). If the Synod certifies a direction that is repugnant, the direction is void but the certificate itself remains evidence of the act; the court could still declare the direction ineffective. However, the evidentiary bar is very high. Any person dealing with the college should obtain certified copies of Synod directions and rely on them without further inquiry.

Fundamental principle may limit curriculum more than expected (s 15): The prohibition on instruction that contravenes Uniting Church doctrines is absolute. This goes beyond religious instruction; it covers any subject - science, history, economics, health. If the Church holds a doctrinal position on a matter (e.g., creation, marriage), the college cannot teach a contrary view. This could affect accreditation, university entrance, or compliance with national curriculum standards. The principle also applies to “any instruction” - including extra-curricular talks, library materials, or online learning platforms used at the college.

Council must abide by Synod directions (s 18) - no opt-out: The Council cannot refuse a Synod direction unless it is repugnant to the Act or the fundamental principle. There is no “commercial judgment” override. If the Synod directs the college to divest an investment, change admission policy, or hire a particular person, the Council must comply. This can create tension with fiduciary duties to the college. The only safety valve is that no direction can invalidate a prior Council act, but future acts must conform.

No statutory default for Council composition (s 17): The Act does not prescribe the number of Council members, terms, qualifications, or method of appointment. All of this is left to the Constitution, which can be varied by the Council (with Synod approval). Without a Constitution, the college would be ungovernable. The current Constitution is not in the Act; it is a separate document. Anyone dealing with the college should ask for a copy of the current Constitution to know who has authority to bind the college.

Accidental failure to give notice does not invalidate variation resolution (s 19(6)): If the Council fails to give 28 days’ notice of a meeting to vary the Constitution to a member, but the failure was accidental, the resolution is still valid. This creates a risk that a member who did not receive notice and would have voted against may have no remedy. “Accidental” is not defined; a deliberate but secret omission might be accidental if the Council did not intend to exclude that member. But a pattern of “accidental” failures could be challenged as a breach of natural justice.

Only the original land is held on the statutory trusts (s 7-8): The college estate is only the land in Schedule Part 1. Any land acquired later - even if used for college purposes - is not subject to the s 8 trust to maintain buildings and permit educational use. The college could later sell that acquired land and use the proceeds for any purpose under general funds (s 11), without the constraints of the s 8 trust. This means the college has more flexibility with non-original property, potentially leading to mission drift.

Borrowing power is unlimited (s 13): The college may borrow money and give security over its property. No limit on amount, interest rate, or purpose. If the Council borrows excessively, the college could be put at risk. Lenders must rely on the college’s own creditworthiness, not any statutory borrowing cap.

Investment power includes risky assets (s 14): The college may invest in ordinary shares, debentures, unsecured deposits, and virtually any security of any company or public body. This goes far beyond traditional trustee investments. The college could put all its funds into a single speculative stock. The Act provides no prudential guidance. The Council must still act in the college’s best interests under general trust law, but the statutory power is wide enough to permit high-risk strategies.

Subscribers may not know they are members (s 4): Anyone who has voluntarily subscribed to the college’s funds becomes a member, with no notice or consent. A one-time donation of $5 in 1880 makes that person (and possibly their estate) a member forever. There is no register; no voting rights unless the Constitution confers them. But if the Constitution grants members voting rights, a huge class of unknown persons could claim rights. The Act is unclear on whether membership can be renounced or lapses.

Synod directions cannot be repugnant to the Act or fundamental principle (s 18): This means the Synod cannot direct the college to violate the Act or the fundamental principle. But the Act itself may be ambiguous. If the Synod and Council disagree on what is repugnant, the matter may go to court. The Council is bound to conform unless it decides the direction is repugnant - a risky judgment call.

Variation of Constitution requires Synod approval (s 19(3)): The Council cannot change its own rules without the Synod’s consent. This gives the Synod a veto over governance changes. If the Council and Synod fall out, the college could be frozen with an outdated constitution.

Section 38 of the Acts Interpretation Act excluded (s 19(8)): This prevents the ordinary rule that a power to vary includes power to repeal or revoke; here the definition of “vary” in s 19(7) includes any means, but the exclusion of s 38 means that the variation must strictly follow s 19 and cannot be presumed from other conduct. This is a technical point but could trap a Council attempting to vary by means other than the 28-day notice and three-quarters vote.

Mortmain and charitable dispositions (s 10): The Act protects the college from invalidation of gifts due to mortmain or charitable-disposition rules. However, this protection only applies to dispositions “to or in favour of the college”. It does not protect the donor’s estate from other legal requirements. A donor leaving a will should still comply with Wills Act formalities; s 10 only removes specific technical obstacles.

No provision for winding up or dissolution: The Act assumes perpetual existence. If the college ceases to operate, its property would be held on the statutory trusts (college estate) and general funds for the college’s purposes. There is no mechanism to wind up and distribute assets to another institution. This could leave assets tied up indefinitely. Any dissolution would likely require a private Act of Parliament.

Maintain the college estate buildings (s 8(I)): The Council must ensure that the buildings on the original land described in Schedule Part 1 are properly maintained out of funds applicable for the purpose. This is an ongoing trust duty. It does not require lavish expenditure, but the buildings must be kept in a state fit for college purposes. Maintenance funds can come from general funds (s 11 includes “cost of building, maintaining altering rebuilding, improving, and enlarging buildings”). Keep separate accounting for any expenditure on college estate buildings to demonstrate compliance.

Use the college estate for educational purposes (s 8(II)): The land and buildings must be used and occupied for the purposes of a college or place of education and learning, and for the benefit of professors, masters, teachers, officers and students in connection therewith. Occasional commercial or community use is permissible if incidental, but the primary use must be educational. Avoid leasing the entire estate to a third party for non-educational purposes.

Manage general funds prudently (s 11): The Council should apply general funds towards carrying on and extending the college’s business and operations, promoting its interests, and increasing its attractions. Pay all working expenses, debts (including mortgages), and building costs. Maintain records showing that expenditures are for these purposes. Do not apply general funds to personal benefit of Council members (unless authorised by the Constitution as reasonable remuneration, which the Act does not expressly forbid).

Handle special gifts correctly (s 10): When a donor imposes a direction or limitation, the Council must decide whether to accept the gift. If accepted, the gift must be applied in accordance with the direction so far as consistent with the Act. Review the consistency: if the direction would violate the fundamental principle or require an act repugnant to the Act, the gift should be refused or accepted only as general funds with the donor’s consent. Keep special gift funds separate and track them.

Seek Synod approval for any assistance to other institutions (s 12): Before applying surplus general funds to found or assist another educational institution, ensure that institution’s management does not violate the fundamental principle. The Council must be satisfied that the institution does not in its management contravene Uniting Church doctrines. Obtain a written confirmation from the assisted institution on this point. There is no express requirement for Synod approval for such assistance, but given the Synod’s direction power, it is prudent to inform the Synod.

Comply with Synod directions (s 18): The Council must conform to all directions given by the Synod with reference to the college. The Council should maintain a register of all directions received. If a direction appears repugnant to the Act or fundamental principle, seek legal advice before complying; the Council may be obligated to refuse compliance. However, the risk is high: if the court later holds the direction not repugnant, the Council may be in breach. Document the reasoning.

Vary the Constitution only with proper process (s 19): To change the Constitution, the Council must: give at least 28 days’ written notice to all Council members of the meeting and the proposed variation; hold a meeting; pass the variation by at least three-quarters of all members (not just those present), rounding up any fraction; then submit the variation to the Synod for approval. The variation does not come into force until Synod approves. Note that accidental failure to give notice to one member does not invalidate the resolution, but the Council should make reasonable efforts to notify all. Keep records of notice and votes.

Maintain and rely on Moderator’s certificates (s 20): When the Synod takes any act for the purposes of the Act (e.g., giving a direction, approving a variation), request a certificate signed by the Moderator. The certificate is conclusive evidence that the act was done by or on behalf of the Synod and was valid. The Council should file these certificates with its records. They can be used to bind third parties.

Borrow only with proper authorisation (s 13): The Council should pass a resolution authorising any borrowing and specifying the security. Ensure that the borrowing is for college purposes and within the Council’s fiduciary powers. Record the security document.

Invest prudently despite broad power (s 14): The Council should adopt an investment policy that sets out risk parameters, diversification, and delegation to advisors. Even though the Act allows virtually any investment, the general law duty of care to the college requires a prudent approach. Avoid speculative or unduly risky investments with college funds. Document the investment decisions and the basis for them.

Ensure no instruction violates fundamental principle (s 15): The Council must ensure that all instruction at the college - in classrooms, online, extracurricular - does not contravene Uniting Church doctrines. This may require curriculum review, staff training, and a complaints mechanism. The college should define what “doctrines” means, perhaps by reference to the Uniting Church’s official statements. Consider including a clause in employment contracts requiring compliance.

Keep the college estate property separate: Although the college holds all property in its corporate name, the original land (college estate) should be recorded as subject to the s 8 trusts. The Council should not alienate that land without legal advice, as the trusts may prevent sale (the Act does not expressly prohibit sale, but the trust to “permit the land and buildings to be used and occupied for the purposes of a college” suggests a permanent dedication; sale and leaseback might be permissible but risky).

Maintain current Constitution: The Council should ensure that the Constitution is available to all members and to the Synod. It should be updated as needed via s 19. The Constitution should cover matters such as Council composition, quorum, voting, officer positions, meeting procedures, and any provisions for membership rights of subscribers.

File annual accounts and reports? The Act does not require filing with any government body.
