Primary Industry Funding Schemes Act 1998

The Act is organised around a set of concrete statutory concepts: funds, administering bodies, contribution schemes, management plans, auditing and reporting, examination and winding up. Each concept is defined or operationalised by particular sections.

• Fund. A fund is a statutory creation effected by regulation and identified by a distinctive name tied to a primary industry sector (s 4(1), (3), (6)). Its composition is specified: contributions paid or collected under the regulations, investment income, and any other contributions received for payment into the fund (s 4(6)). Funds may be invested when monies are not immediately required (s 4(7)).

• Administering body. The Act contemplates three forms of administration: direct Ministerial administration, an approved incorporated society or association, or a board of trustees appointed by the Minister with at least three members (s 4(4)). Approval criteria for a society or association include incorporation under the Associations Incorporation Act 1985, objects supporting the sector, appropriate rules (as judged by the Minister), and a prohibition on varying rules without Ministerial approval (s 5(a)-(d)).

• Contribution schemes. The regulations prescribe schemes that require or facilitate contributions to a fund (s 6(1)). The Act lists permitted mechanisms such as periodic industry member contributions, collection at sale, levy from other statutory fees (for example fees under the Livestock Act 1997) and other bases (s 6(2)(a)-(d)). Collection costs may be recovered from collected contributions (s 6(3)).

• Application and purposes. Funds may be applied according to the regulations, trust deed or administering body rules (s 7(1)). The Act expressly lists possible uses including compensation related to control or eradication of disease, pest or contamination according to a compensation scheme in the regulations, provision of services to industry members, benefits to individual industry members or the sector generally, and payment of administration expenses (s 7(2)(a)-(d)). The regulations may require part of a fund to be set aside for compensation and may exclude a defaulting member from compensation or benefits (s 7(3)(a)-(b)).

• Governance and transparency. Management plans covering a five year horizon must be prepared and presented at public meetings, with the first plan prepared within 12 months of the regulations and subsequent plans revised at least annually (s 9(2)). Plans must include contribution estimates, investment proposals and proposals for application of the fund (s 9(3)(a)-(c)). Industry members must be consulted during preparation of plans (s 9(4)). The administering body must keep accounts and have them audited annually by a registered company auditor (s 10). Annual reports including audited accounts and the current management plan must be prepared by 30 September each year and, if the fund is administered by a board or approved society, submitted to the Minister who must lay them before Parliament (s 11).

• Oversight powers. The Minister may appoint an examiner to examine accounts, audit working papers and confer with auditors; such examiners must report if required (s 12). Examiners, auditors and administrators have statutory powers to require production of accounts and records and to make copies, and those who refuse, fail to comply or obstruct can be subject to penalties (s 14).

• Wind up. The Minister may appoint an administrator to wind up a fund if satisfied it is in the best interests of the sector. The administrator may exercise necessary powers, and the Minister may direct distribution of remaining money and assets by Gazette to representative bodies (s 13).

• Non‑Crown status. Trustees or societies administering a fund are expressly declared not to be Crown instrumentalities and not to enjoy Crown privileges or immunities (s 15).

• Regulation-making and dispute review. The Governor may make regulations needed to implement the Act. Regulations may include offences with fines and expiation fees, may be framed with differential application, and may confer discretionary determination powers on the Minister or administering body. Regulations may also confer jurisdiction on SACAT to review determinations (s 16).

These concepts interact to create a legal architecture under which industry sectors can be levied and funds managed with statutory oversight, auditor access and Ministerial control over approval, rule variation and winding up.

The Act names and implicates a defined set of stakeholders and classes of persons; it also creates indirect effects on market participants and service providers.

Primary stakeholders

• Industry members. The Act repeatedly addresses “industry members” of the sector for which a fund is established (see definition in s 3 and numerous operative provisions such as s 6 and s 7). Industry members may be required, under regulations, to make contributions annually or at other intervals, and they may be excluded from compensation or other benefits if the governing instruments deem them to be in default (s 6(2)(a); s 7(3)(b)). Industry members are statutory consultees in the formulation of regulations (Minister must consult widely before making regulations, s 4(2)) and must be consulted during preparation of management plans (s 9(4)).

• Approved societies or associations. An incorporated association that seeks to administer a fund must be incorporated under the Associations Incorporation Act 1985 and satisfy Ministerial conditions on objects and rules. If approved, the society will administer funds in accordance with its rules subject to requirements that its rules may not be varied without Ministerial approval (s 5(a)-(d)). Approved societies will be responsible for keeping accounts, procuring audits and submitting annual reports to the Minister where relevant (s 10; s 11).

• Boards of trustees. Regulations may provide for a board of trustees to administer a fund, with at least three trustees appointed after consultation with industry members (s 4(4)(c)). Trustees must follow the trust deed incorporated in or referred to by the regulations and are required to keep accounts, submit to audits and prepare management plans (ss 4(4)(c); 9; 10).

Government actors

• The Minister. The Minister initiates the regulations establishing funds and must consult industry members before doing so (s 4(1)-(2)). The Minister approves societies, appoints trustees, receives annual reports, may appoint examiners and administrators, and may direct the distribution of funds upon winding up (s 4(2); s 5; s 11; s 12; s 13(1), (4)). The Minister therefore holds multiple gatekeeper roles.

• The Governor and Executive. The Governor makes regulations under the Act (s 4(1); s 16(1)). The Act grants regulatory powers including offences, fees, differential application, and conferral of SACAT jurisdiction (s 16).

• The Treasurer. The Treasurer may advance amounts from the Consolidated Account to cover fund insufficiencies to meet compensation payments, at the request of the administering person or body and on conditions the Treasurer thinks appropriate (s 8).

Service providers and other parties

• Auditors. Audits must be carried out by an “auditor” defined as a registered company auditor within the meaning of the Corporations Law (s 3; s 10(2)). Auditors’ working papers and programs may be examined by a Ministerially appointed examiner (s 12(1)(b)).

• Administrators and examiners. The Minister may appoint an examiner to scrutinise accounts and audits, and may appoint an administrator to wind up a fund (ss 12-13). An examiner or administrator has powers to demand production of accounts and records, including from financial institutions, and refusal or obstruction attracts monetary penalties (s 14).

• ADIs and financial institutions. The manager or principal officer of an ADI or other financial institution holding fund monies must disclose account information to auditors, examiners or administrators when required (s 14(2)). Non‑compliance carries a maximum penalty of $20 000.

Secondary and market effects

• Buyers and sellers of livestock and products. Contribution schemes can be designed to collect levies at the time of sale of livestock or products (s 6(2)(b)). Where collection is linked to sales, sellers, buyers and intermediaries could face operational changes to transaction processes and accounting.

• Bodies representing the sector. On winding up, the Minister may direct remaining funds and assets to bodies or organisations representing the sector (s 13(4)).

• The public and Parliament. Management plans must be presented at public meetings and copies kept available for inspection at a place determined by the Minister (s 9(1), (5)-(7)). Annual reports on funds administered by the Minister or by an approved society or trustees are to be laid before Parliament (s 11(3)), creating a public parliamentary transparency pathway.

Who pays and who decides

• Payments. Contributions are paid by industry members as prescribed by regulations (s 6(1)-(2)). Collection costs may be deducted from those contributions (s 6(3)). The fund pays compensation, services and administrative expenses as authorised (s 7(1)-(2)).

• Decisions. The Governor makes regulations; the Minister approves societies, appoints trustees/examiners/administrators and receives reports; the Treasurer approves advances and may set conditions on those advances (s 4; s 5; s 8; s 11; s 12; s 13). Regulations may confer additional discretionary determinations on the Minister or administering body (s 16(3)(c)).

The Act imposes concrete compliance duties on administering persons and bodies, contributions duties on industry members under regulations, and rights to information and procedural protections for public oversight. Below are the principal duties and rights with statutory citations.

Duties of the administering person or body

• Administration in accordance with governing instruments. The fund must be administered by the person or body in accordance with the regulations, the rules of an approved society, or the terms of a trust deed where applicable (s 4(4); s 7(1)). That includes applying the fund only to authorised purposes (s 7(1)-(2)).

• Management planning and public meetings. The administering body must prepare management plans covering five year periods, present the first within 12 months after the fund regulations commence, revise the plan at least annually, and present plans at public meetings (s 9(1)-(2)). Plans must include contribution estimates, investment proposals and proposals for application of the fund (s 9(3)). Industry members must be consulted when preparing plans (s 9(4)).

• Publication and availability of management plan. Notices of public meetings must be published at least two weeks before the meeting in a form likely to bring it to public attention (s 9(5)). The administering body must keep a copy of the current management plan available for public inspection, without charge and during normal office hours, at a place determined by the Minister (s 9(6)-(7)). The Act permits revisions to management plans at any time (s 9(6)).

• Accounts and audits. Proper accounts must be kept showing the purposes for which money has been received and dealt with, and these accounts must be audited at least annually by a registered company auditor (s 10(1)-(2)).

• Annual reporting. By 30 September every year the administering body must prepare an annual report on the fund’s operation for the previous financial year, and where the fund is administered by a board or approved society, submit the report to the Minister (s 11(1)). The report must incorporate the audited statement of accounts and the current management plan (s 11(2)). The Minister must lay these reports before Parliament within specified timeframes (s 11(3)).

• Cooperation with examiners, auditors and administrators. The administering body must comply with lawful requests for production of accounts and records from auditors, examiners and administrators, including providing copies (s 14(1), (3)). Failure to produce or obstruction carries a maximum penalty of $20 000 (s 14(2)-(4)).

Duties and powers of the Minister and Treasurer

• Consultation obligation. Before regulations are made establishing a fund the Minister must consult widely with industry members and give proper consideration to representations made by industry members (s 4(2)).

• Approval of societies. The Minister may approve an incorporated society to administer a fund only if statutory criteria are met, including an assessment that the society’s rules provide appropriate provision and cannot be varied without Ministerial approval (s 5(a)-(d)).

• Examination and winding up. The Minister may appoint examiners to examine accounts and auditors’ working papers and may appoint an administrator to wind up a fund if the Minister is satisfied it is in the best interests of the sector (s 12(1); s 13(1)).

• Treasurer advances. The Treasurer may advance amounts from the Consolidated Account to cover fund insufficiency for compensation payments at the request of the administering body, and the Treasurer may impose conditions on such advances (s 8(1)-(2)).

Rights and powers of examiners, auditors and administrators

• Examination and access. An examiner may examine accounts, audit programs and working papers, and confer with an auditor (s 12(1)(a)-(c)). Auditors, examiners and administrators may require production of accounts and related documents, including written records reproducing information kept by computer or other processes (s 14(1)(a)-(b)). Managers of ADIs holding fund money must disclose all accounts and documents relating to those accounts when required (s 14(2)). Persons required to produce documents must permit copying (s 14(3)). These powers are backed by maximum penalties for refusal or obstruction (s 14(2)-(4)).

Other statutory provisions creating duties or limits

• Non‑Crown status. A board of trustees or society administering a fund is not an instrumentality or agency of the Crown, does not have Crown privileges and immunities, does not represent the Crown and is not a public or government authority (s 15). This imposes limits on claims for Crown immunity for administering bodies.

• Rule variation restriction. An approved society’s rules must provide that the rules may not be varied without Ministerial approval (s 5(d)), creating a structural constraint on internal governance changes.

• Regulation‑making discretions. Regulations may confer decision‑making discretions on the Minister or the administering body (s 16(3)(c)). Regulations may impose fines up to $5 000 and expiation fees (s 16(2)).

Rights of industry members and the public

• Consultation and public meeting rights. Industry members are statutory consultees in initial regulation-making and must be consulted during preparation of management plans (s 4(2); s 9(4)). Management plans must be presented at public meetings and kept available for public inspection (s 9(1); s 9(7)).

• Parliamentary oversight. Annual reports for funds administered by the Minister or by approved societies/boards must be laid before Parliament by the Minister, creating a public record and a parliamentary oversight mechanism (s 11(3)).

• Review rights under regulations. Regulations may provide for SACAT review of determinations under the regulations (s 16(4)). The Act does not specify other statutory appeal or merits review rights within the Act itself.

The Act provides specific enforcement mechanisms and monetary penalties and creates a framework for administrative enforcement via audit, examination and winding up. Enforcement occurs through statutory powers of auditors, examiners and administrators, penal sanctions for non‑compliance with information requests, and regulatory offences created by subsidiary legislation.

Penalties in the Act

• Information production and obstruction. Section 14 prescribes three separate offences with identical maximum penalties. A manager or officer of a financial institution who fails to disclose accounts and related documents when required by an auditor, examiner or administrator faces a maximum penalty of $20 000 (s 14(2)). A person required to produce documents who fails to permit copying also faces a maximum penalty of $20 000 (s 14(3)). A broader prohibition prevents a person from refusing or failing to comply with an auditor, examiner or administrator or from hindering, delaying or obstructing them, including by altering or destroying documents; this too attracts a maximum penalty of $20 000 (s 14(4)).

Regulatory fines and expiation

• Regulation‑level offences. The Governor may make regulations that impose fines not exceeding $5 000 for contraventions of the regulations and may fix expiation fees for alleged offences under the regulations (s 16(2)(a)-(b)). The Act leaves the detailed specification of offences and expiation amounts to the regulations.

Administrative enforcement mechanisms

• Audit and examiner powers. The administering person or body must cause accounts to be audited annually by a registered company auditor (s 10(2)). The Minister may appoint an examiner to examine accounts, audit programs and working papers and to confer with auditors. The examiner may be required to provide a report to the Minister and the Minister is required to furnish a copy of that report to the administering person or body (s 12(1)-(3)). Examiners and audited reports create non‑criminal administrative pressure and public oversight that can trigger further administrative action including appointment of an administrator.

• Winding up and appointment of administrators. The Minister may appoint an administrator to wind up a fund if the Minister is satisfied it is in the best interests of the sector (s 13(1)). An administrator may exercise such powers of the administering person or body as necessary for winding up (s 13(2)). While the Act does not prescribe criminal penalties for mismanagement, the appointment of an administrator transfers operational control away from the administering body and allows the Minister to direct distribution of remaining assets by Gazette (s 13(3)-(4)).

• Treasurer advances and conditions. When a fund is insufficient to meet compensation payments, the Treasurer may advance funds from the Consolidated Account at the request of the administering body; the Treasurer may impose conditions on such advances (s 8). Conditions could include repayment terms, reporting or other requirements though the Act leaves the precise form of conditions to Treasurer discretion.

Enforcement through disclosure obligations on financial institutions

• ADI disclosure. The manager or other principal officer of an authorised deposit‑taking institution or other financial institution with which fund monies are deposited is required to disclose every account containing those monies and related documents when required by an auditor, examiner or administrator (s 14(2)). Failure to comply attracts the $20 000 maximum penalty. This provision gives auditors and examiners an effective path to trace funds through bank records.

Limits and procedural features

• No express criminal offences for misapplication of funds. The Act does not itself prescribe specific criminal offences for misuse of fund monies by administering bodies, trustees or societies. Enforcement of misapplication would therefore rely on other general laws, contractual trust remedies, or administrative steps such as appointment of an administrator under s 13.

• Regulation‑dependent offences. The Act contemplates that many specific offences and penalties will be set in regulations (s 16(2)), so the full enforcement architecture depends on what is enacted subordinate to the Act.

• Public and parliamentary disclosure as enforcement. Statutory obligations to prepare audited accounts, management plans and annual reports laid before Parliament provide transparency which may function as a form of non‑criminal enforcement via public scrutiny and political oversight (s 9; s 10; s 11).

The Act is designed to operate in conjunction with other statutory instruments and institutions. Several express cross‑references appear in the Act and in the legislative history. Interaction points include incorporation law, the Livestock Act 1997, Corporations Law definitions, financial institution regulation, and tribunal review.

Cross‑references in the statute

• Associations Incorporation Act 1985. Approval of a society or association to administer a fund under the Act requires incorporation under the Associations Incorporation Act 1985 (s 5(a)). The Act therefore imports the corporate form, capacities and constraints of incorporated associations for administering bodies that are societies.

• Corporations Law and auditors. The Act defines an auditor as a registered company auditor within the meaning of the Corporations Law (s 3). That definition ties the auditing requirement to the company/auditing regulatory framework extant at the time of enactment. Legislative history records amendments tied to financial sector reforms which may have altered related terms and regulatory responsibilities (see legislative history entries including the Financial Sector Reform (South Australia) Act 1999).

• Livestock Act 1997 and other primary industry laws. The Act contemplates contributions to funds being taken “from fees collected under the Livestock Act 1997 or any other Act relating to primary industry” (s 6(2)(c)). This creates an explicit mechanism to piggyback levies on existing statutory fees or transactional points governed by other primary industry legislation.

• ADIs and financial institutions. Section 14(2) obliges the manager or principal officer of an ADI or other financial institution to disclose accounts and documents relating to deposits of fund monies. The Act therefore intersects with banking secrecy regimes, privacy laws and regulatory duties of financial institutions. Legislative notes show the Financial Sector Reform (South Australia) Act 1999 amended s 14(2) and that the date of effect connected to Commonwealth transfer provisions (legislative history).

Review and dispute resolution

• SACAT and administrative review. The Governor may make regulations and, importantly, s 16(4) allows regulations to confer jurisdiction on the South Australian Civil and Administrative Tribunal to review determinations under the regulations. The Act itself does not exhaustively define merits review rights but provides for tribunal review by regulation, which creates an interaction with SACAT processes where regulations so provide.

• Parliamentary oversight. Annual reports of fund operation must be laid before Parliament by the Minister (s 11(3)), creating an avenue for legislative scrutiny and alignment with general public accountability frameworks.

Regulatory and administrative law interactions

• Ministerial discretion and regulation-making. The Act permits regulations to provide that certain matters be determined according to the discretion of the Minister or administering body (s 16(3)(c)). That discretion sits within the broader administrative law framework applicable in South Australia, including obligations of consultation (s 4(2)) and procedural fairness when determinations are made that affect rights or liabilities. The Act itself mandates consultation with industry members before regulations are made (s 4(2)), which will interact with standard administrative law expectations in practice.

• Trust law and corporate law. Where a fund is administered by trustees under a trust deed incorporated or referred to in the regulations, conventional trust principles will interact with the Act’s statutory overlay. The Act requires the trust deed to be followed (s 7(1)), and the Minister appoints trustees after consultation with industry members (s 4(4)(c)). The explicit declaration that trustees or administering societies are not Crown instrumentalities (s 15) clarifies the interaction with public law immunities and Crown liabilities.

Legislative history and consequential amendments

• Amendments listed in the legislative history show the Act has been modified by later South Australian statutes including the Financial Sector Reform (South Australia) Act 1999 (amending s 14(2)), the Statutes Amendment (SACAT No 2) Act 2017 (inserting s 16(4) to allow SACAT jurisdiction), and the Statutes Amendment and Repeal (Simplify) Act 2019 (amending s 9(5)). These amendments demonstrate direct legislative interaction between the Act and broader statutory reforms affecting financial sector regulation and administrative tribunal jurisdiction.

Notes on references and obsolescence

• The Act contains a legislative note warning that references to other legislation, instruments or office titles are not automatically updated and therefore may be obsolete. Practitioners must check current statutory citations and any changes in the law governing auditors, associations, financial institutions and the Livestock Act 1997 (Legislative history notes).

The Act’s legislative history, as recorded in the source, identifies a sequence of amendments and consequential notes. Below is a chronological mapping of the principal amendments stated in the Act text and the legislative history.

Enactment and commencement

• Primary Industry Funding Schemes Act 1998. Assent 3 September 1998 and commencement 1 October 1998 (Gazette 24.9.1998 p 930). That is the principal Act establishing the framework.

Subsequent amendments recorded in the legislative history

• 1999: Financial Sector Reform (South Australia) Act 1999, No 33. Assent 17 June 1999. Commencement: Schedule (item 40) , 1 July 1999, being the date specified under the Commonwealth Financial Sector transitional provisions as the transfer date for relevant provisions. This amendment is recorded as having amended s 14(2) of the Act. The 1999 amendment therefore affected the provision obliging managers or principal officers of ADIs or other financial institutions to disclose accounts and related documents to auditors, examiners or administrators (s 14(2)).

• 2017: Statutes Amendment (SACAT No 2) Act 2017, No 51. Assent 28 November 2017. Commencement of Part 38 (ss 208 & 209) on 22 February 2018 (Gazette 30.1.2018 p 524). Section 16(4) of the Principal Act was inserted by s 208 of this amending Act, enabling regulations under the Principal Act to confer jurisdiction on the South Australian Civil and Administrative Tribunal to review any determination under the regulations. Transitional provision Pt 38, s 209 states that objections being considered by the Minister immediately before the relevant day would be dealt with as if the 2017 Act had not been enacted.

• 2019: Statutes Amendment and Repeal (Simplify) Act 2019, No 25. Assent 3 October 2019. Commencement: Part 37 (s 79) on 3 October 2019. This amending Act altered s 9(5), which concerns the publication of notices for public meetings to present management plans. The legislative history notes the amendment and its commencement date.

Other legislative revision notes

• The legislative history records that certain provisions or schedule entries were omitted under the Legislation Revision and Publication Act 2002; it also records that historical versions and reprints exist, for example Reprint No 1,1.7.1999 and a reprint on 22.2.2018.

Operational implications of amendments

• The 1999 amendment (Financial Sector Reform) and the 2017 insertion of SACAT review jurisdiction at s 16(4) are particularly significant for operational oversight. The 1999 amendment aligns disclosure obligations with reforms in the financial regulatory architecture, while the 2017 amendment creates an express pathway for tribunal review of regulatory determinations, contingent on regulations conferring such jurisdiction. The 2019 amendment to s 9(5) modified procedural obligations for notice publication in relation to management plan public meetings.

Caveat about references

• The Act includes a legislative note cautioning that references to other legislation or titles may be obsolete and are not automatically updated in the published text. Practitioners must check contemporary versions of any cross‑referenced statutes such as the Associations Incorporation Act, the Livestock Act 1997, Corporations Law successors and financial sector legislation.

The Act as provided does not reference any court decisions or specific litigation history. The source contains no judicial authorities or case citations. The statutory text does however create potential legal pathways and institutional forums that are relevant for dispute resolution and review.

Tribunal review

• The Act permits regulations to confer jurisdiction on the South Australian Civil and Administrative Tribunal to review determinations under the regulations (s 16(4)). That change, inserted by the Statutes Amendment (SACAT No 2) Act 2017, establishes a potential administrative review pathway but depends on regulations actually conferring that jurisdiction. The Act itself does not record any SACAT decisions.

Administrative actions and Ministerial powers

• The Minister’s powers to appoint examiners to examine accounts and audit working papers (s 12), and to appoint an administrator to wind up a fund if satisfied that winding up is in the best interests of the sector (s 13), create administrative acts that could give rise to review or challenge. The Act does not set out appeal rights against such Ministerial appointments; whether and how a person affected by an examiner’s report or an administrator’s appointment may seek review will depend on the regulations (s 16) and on general administrative law principles external to the Act. The Act itself provides a statutory means for regulations to provide for SACAT review of determinations.

Potential legal issues that could generate litigation

• Information production and bank disclosure. Section 14(2) compels disclosure by managers or principal officers of ADIs or other financial institutions and creates maximum penalties for non‑compliance. Disputes over the scope of disclosure, evidentiary procedures or claims of confidentiality might give rise to judicial proceedings under other statutory regimes or common law causes of action; the Act does not itself prescribe dispute resolution processes beyond the penalties and the regulatory provisions.

• Ministerial discretion and procedural fairness. The Act gives the Minister wide powers of approval and appointment, and regulations may confer further discretionary determinations (s 5; s 13; s 16(3)(c)). Challenges to exercise of that discretion on grounds of legality or procedural fairness would be litigable but any specific case law will need to be sourced externally as the Act text does not cite cases.

Absence of cases in the Act

• No cases are named or referenced in the Act. The legislative history does not list any judicial determinations that interpret or apply the Act. For authoritative litigation history, practitioners should search case law databases and tribunal decisions for matters touching on funds established under the Act, Ministerial appointments, examiner reports, or regulatory determinations made under regulations enacted pursuant to the Act.

Practical note

• Because the Act contemplates that detailed operational matters will be addressed by regulation and because some review pathways require regulations to confer jurisdiction on SACAT, the existence and shape of litigation and tribunal review will depend heavily on the particular regulations made for a fund. In practice, any substantial litigation history is likely to be fund‑specific and found in decisions dealing with particular regulations, administrative appointments or disputes arising from an administering body’s conduct.

The Act creates a workable statutory framework but contains several points where duties, discretion, and regulatory dependence produce practical traps or compliance surprises. The following concrete items are drawn directly from the statutory text and set out areas requiring attentive legal and operational handling.

Ministerial approval and rule variation constraint (s 5(d))

• An incorporated society’s rules must provide that the rules may not be varied without Ministerial approval. That means an association seeking to administer a fund must cede a structural governance right to the Minister. Societies with entrenched internal governance expectations could find themselves constrained from adjusting internal rules to respond quickly to changing circumstances. Practitioners should ensure constitutions or rules are drafted with this lock‑in and that approval processes are understood.

Regulations as the locus of detail (s 4(1); s 6; s 16)

• The Act delegates extensive detail to regulations. The contribution regimes, the precise collection mechanisms, exclusions for defaulting members, fines and expiation amounts, and whether SACAT review exists are all regulation‑dependent (s 6; s 7(3); s 16(2)-(4)). This creates legal uncertainty until the regulations for a particular fund are enacted. Legal advisers must examine the specific regulations and any trust deed or association rules incorporated by reference.

Ministerial discretion and variable determinations (s 16(3)(c))

• Regulations may provide that certain matters are to be determined according to the discretion of the Minister or the person or body administering a fund. This gives considerable latitude to administrative actors. The Act’s requirement that the Minister consult widely before making regulations (s 4(2)) mitigates risk to some extent but does not eliminate the potential for unilateral determinations. Parties affected by discretionary determinations should look for procedural safeguards and regulationally provided review rights.

Non‑Crown status and no Crown immunities (s 15)

• Boards of trustees and administering societies are explicitly not Crown instrumentalities, do not represent the Crown and do not have Crown privileges or immunities. This shapes liability exposure: administering bodies cannot rely on Crown immunities in disputes. That may affect insurance needs and risk allocation in trust deeds and contracting.

Information powers, banking disclosure and penalties (s 14)

• Auditors, examiners and administrators have wide powers to require documents and records, including from financial institutions, and persons who refuse or obstruct risk a maximum penalty of $20 000 (s 14(2)-(4)). Financial institutions must disclose accounts and related documents when required (s 14(2)). Confidentiality claims, privacy issues and privilege concerns will therefore need careful handling, and advisers should anticipate potential statutory compulsion to disclose records even where other legal regimes might otherwise permit resistance.

Collection at point of sale and transactional friction (s 6(2)(b))

• Regulation may require collection of contributions when livestock or products are sold. Embedding collection into trade workflows creates operational friction for market participants and intermediaries. Contracts, sale documents and clearing processes may need to be updated. There may be disputes about who is liable to pay or collect the contribution, especially in complex supply chains.

Deduction of collection costs from contributions (s 6(3))

• The scheme may permit collection costs to be deducted from contributions. That reduces the net funds available for the specified purposes and creates incentives to economise on collection expenses. Administrators must budget accordingly and disclose the effect on net receipts in management plans.

Exclusion from benefits for defaulting members (s 7(3)(b))

• Regulations, trust deeds or rules may exclude an industry member from participating in compensation schemes or receiving other benefits if the member is, according to the governing instruments, in default. The Act leaves the definition of default to subordinate instruments. A member subject to exclusion will need to carefully review the rules and any procedural rights for contesting a default determination.

Treasurer advances and conditionality (s 8)

• Where a fund cannot meet compensation obligations, the Treasurer may advance from the Consolidated Account at the request of the administering body and may impose conditions on such advances. The Act does not specify repayment terms or prioritisation of claims, so reliance on Treasurer advances introduces contingent fiscal obligations and potential political or conditional constraints on administering bodies.

Public meeting and notice obligations (s 9(5)-(7))

• Management plans must be presented at public meetings and a notice must be published at least two weeks beforehand in a form likely to bring it to public attention. The Minister determines the place where a copy of the current plan is to be kept for public inspection (s 9(5)-(7)). Failure to comply with these procedural steps could raise transparency complaints and reputational risk.

Regulatory offences and variable fines (s 16(2))

• Regulations may create offences with fines up to $5 000 and expiation provisions. Because the Act leaves specifics to regulations, entities should not assume consistent penalty regimes across funds. The scale of fines relative to the value of levies or the size of operations may create disproportionality risks that need to be managed.

Winding up and distribution direction by Gazette (s 13(4))

• Upon winding up, the Minister may direct distribution of remaining money and assets to bodies or organisations representing the sector by Gazette. This can override expectations of administering bodies or stakeholders about residual distributions unless trust deeds or rules already anticipate such outcomes. Parties should ensure trust deeds and rules are aligned with the statutory power to direct distributions.

No express criminal offences for misuse of funds in the Act

• The Act does not itself prescribe offences for misapplication of funds. Enforcement against misapplication would rely on other laws, trust remedies, contractual claims or the administrative step of appointing an administrator. Parties concerned about misapplication should build contractual controls, audit provisions and clarity in trust deeds or association rules.

The Act prescribes a number of practical obligations and procedural steps. Compliance requires attention to governance, finance, reporting, public consultation and readiness to respond to Ministerial oversight. Below is a practical compliance checklist mapped to the statutory text.

1. Establishing and registering the administering entity

• If an incorporated society or association is to administer a fund, ensure incorporation under the Associations Incorporation Act 1985 and that the objects include promotion of the relevant primary industry sector, as required for Ministerial approval (s 5(a)-(b)). Draft the society’s rules to make “appropriate provision” for administration and include an express provision that the rules may not be varied without Ministerial approval (s 5(c)-(d)). Confirm any additional regulatory requirements that will be set by the relevant regulations (s 5(e)).

2. Preparing for regulation‑dependent details

• Identify and review the regulations that establish the fund. Determine the contribution scheme (annual contributions, collection at point of sale, levies drawn from fees under other Acts such as the Livestock Act 1997, or alternative bases) as permitted by s 6(2). Understand whether the regulations permit deduction of collection costs from contributions (s 6(3)) and whether the regulations set aside a part of the fund for compensation or exclude defaulting members (s 7(3)).

3. Management planning and public consultation

• Prepare a five year management plan. The first plan must be prepared and presented within 12 months of the commencement of the regulations establishing the fund; subsequent plans must be revised and presented at least annually, each covering the ensuing five year period (s 9(2)(a)-(b)). Ensure the management plan contains estimates of contributions, investment proposals and proposals for application of the fund (s 9(3)(a)-(c)). Conduct consultation with industry members during the plan’s preparation (s 9(4)).

4. Convening and advertising public meetings

• Convene public meetings to present management plans and publish a notice, at least two weeks before the meeting, in a form and manner likely to bring the notice to public attention (s 9(5)). Maintain a record of consultation and notices in case of later scrutiny. Keep the current management plan available for inspection, without charge during normal office hours, at a place determined by the Minister (s 9(7)).

5. Accounting and audit processes

• Keep proper accounts of all money received and spent under the Act showing the purposes for which the money has been used (s 10(1)). Engage a registered company auditor, as defined by the Corporations Law, to audit the accounts at least once each year (s 10(2)). Maintain audit working papers and ensure auditable systems are in place for contributions collected at sale points or via fees under other Acts.

6. Annual reporting and parliamentary laydown

• Prepare an annual report on the fund’s operation for the previous financial year on or before 30 September, incorporating the audited statement of accounts and the current management plan (s 11(1)-(2)). If the fund is administered by a board or approved society, submit the report to the Minister. Ensure internal processes are in place to deliver reports to the Minister in time for the Minister to lay them before Parliament within the statutory timeframes (s 11(3)).

7. Cooperation with examiners, auditors and administrators

• Be prepared to provide auditors, examiners and any appointed administrator with access to accounts, records and audit working papers. Establish data retention and record reproduction procedures for computer, microfilm or other formats so that documents can be produced in a readily understandable form (s 14(1)(a)). Ensure that ADI or bank account managers are able to identify and disclose accounts holding fund monies when required (s 14(2)). Understand that failure to comply or obstruction can attract maximum penalties (s 14(2)-(4)).

8. Trustee and trust deed alignment

• If a board of trustees will administer the fund, ensure the trust deed is drafted or amended to reflect the fund’s authorised purposes as set out in the regulations, specify the relationship to management plans, and anticipate the Minister’s power to appoint an administrator and distribute residual assets on winding up (s 4(4)(c); s 7; s 13(1), (4)).

9. Financial planning for compensation reserves and collection costs

• If regulations require part of the fund to be set aside for compensation, ensure actuarial or financial forecasting is performed to determine appropriate reserve levels (s 7(3)(a)). Where collection costs may be deducted from contributions, build conservative revenue projections to account for net receipts after collection expenses (s 6(3)).

10. Insurance, liability and non‑Crown status

• Recognise that administering boards and societies are not Crown instrumentalities and do not have Crown immunities (s 15). Obtain appropriate insurance and consider indemnities in rules or trust deeds to manage potential liabilities arising from administration.

11. Anticipate Treasurer advances and conditionality

• If the fund may need to call on the Consolidated Account advances under s 8, prepare a case and documentation for the Treasurer that anticipates potential conditions that may be imposed on advances. Understand and plan for any fiscal or reporting obligations that could accompany such advances.

12. Regulatory monitoring and enforcement readiness

• Monitor the regulations for offences, fines and expiation fees (s 16(2)). Build compliance checklists based on the specific regulatory instruments and ensure staff or governance committees understand reporting and meeting obligations.

13. Record retention and data accessibility

• Maintain records in formats that facilitate reproduction in a “readily understandable form” as required by s 14(1)(a). Document systems for allowing auditors or examiners to copy documents in a secure manner to meet statutory production obligations.

14. Review and dispute resolution pathways

• Check whether the regulations governing the fund confer SACAT jurisdiction for review of determinations (s 16(4)). If they do, identify timelines, leave or filing requirements under SACAT rules so that any rights to review or defend determinations can be exercised in time.

By mapping compliance tasks to the statutory provisions and to the regulations that implement the fund, administering bodies and industry participants can reduce legal and operational risk. The Act centralises important governance duties such as management plans, auditing and annual reporting, and it creates specific production obligations that require tight recordkeeping and banking disclosure arrangements.
